            <p>		This Act may be cited as the <i>Australian Institute of Aboriginal and </i><i> Islander Studies Act 1989</i>.</p>
          </content>

          <num>2</num>
          <heading>Commencement</heading>
          <content>
            <p>		This Act commences on the commencement of the <i>Aboriginal and </i><i> Islander Commission Act 1989</i>.</p>

          <heading>Interpretation</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><term refersTo="#term-aboriginal-person">Aboriginal person</term> means <def>a person of the Aboriginal race of .</def></p>
            <p><term refersTo="#term-appointed-councillor">appointed Councillor</term> means <def>a Councillor referred to in paragraph 12(1)(c).</def></p>
            <p><term refersTo="#term-chief-executive-officer">Chief Executive Officer</term> means <def>the Chief Executive Officer of the Institute referred to in <ref href="#sec-24">section 24</ref>.</def></p>
            <p><term refersTo="#term-council">Council</term> means <def>the Council of the Institute referred to in <ref href="#sec-12">section 12</ref>.</def></p>
            <p><term refersTo="#term-council-chairperson">Council Chairperson</term> means <def>the Chairperson of the Council appointed under subsection 14(1).</def></p>
            <p><term refersTo="#term-councillor">Councillor</term> means <def>a member of the Council.</def></p>
            <p><term refersTo="#term-elected-councillor">elected Councillor</term> means <def>a Councillor referred to in paragraph 12(1)(a) or (b).</def></p>
            <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
            <p><term refersTo="#term-institute">Institute</term> means <def>the Australian Institute of Aboriginal and Torres Strait Islander Studies established by <ref href="#sec-4">section 4</ref>.</def></p>
            <p><term refersTo="#term-institute-rules">Institute rules</term> means <def>rules made by the Council under <ref href="#sec-48">section 48</ref>.</def></p>
            <p><term refersTo="#term-torres-strait-islander">Torres Strait Islander</term> means <def>a descendant of an indigenous inhabitant of the .</def></p>
            <p><term refersTo="#term-tsra">TSRA</term> means <def>the Torres Strait Regional Authority established by <ref href="#part-3">Part 3</ref>A of <ref class="unresolved">the Aboriginal and  Islander Act 2005</ref>.</def></p>

          <num>3A</num>
          <heading>Application of the Criminal Code</heading>
          <content>
            <p>		Chapter 2 of the <i>Criminal Code </i>(except Part 2.5) applies to all offences against this Act.</p>

          <heading>Australian Institute of Aboriginal and  Islander Studies</heading>
          <subsection eId="part-2__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>An Australian Institute of Aboriginal and Torres Strait Islander Studies is established.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-4__subsec-2">
            <num>2</num>
            <content>
              <p>The Institute:</p>
            </content>
            <paragraph eId="part-2__sec-4__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-4__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>shall have a seal;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-4__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may acquire, hold and dispose of real and personal property; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-4__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>may sue and be sued.</p>
              </content>

                  <p>Note:	The <i>Public Governance, Performance and Accountability Act 2013</i> applies to the Institute. That Act deals with matters relating to corporate Commonwealth entities, including reporting and the use and management of public resources.</p>

          </subsection>

            <num>3</num>
            <content>
              <p>The seal of the Institute shall be kept in such custody as the Council directs and shall not be used except as authorised by the Council.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-4__subsec-4">
            <num>4</num>
            <content>
              <p>All courts, judges and persons acting judicially shall take judicial notice of the imprint of the seal of the Institute appearing on a document and shall presume that it was duly affixed.</p>

          </subsection>
        </section>
      </part>

        <num>3</num>
        <heading>Functions of Institute</heading>
        <section eId="part-3__sec-5">
          <num>5</num>
          <heading>Functions of Institute</heading>
          <content>
            <p>The Institute has the following functions:</p>
          </content>
          <paragraph eId="part-3__sec-5__para-a">
            <num>a</num>
            <content>
              <p>to develop, preserve and provide access to a national collection of Aboriginal and Torres Strait Islander culture and heritage;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-b">
            <num>b</num>
            <content>
              <p>to use that national collection to strengthen and promote knowledge and understanding of Aboriginal and Torres Strait Islander culture and heritage;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-c">
            <num>c</num>
            <content>
              <p>to provide leadership in the fields of:</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-i">
            <num>i</num>
            <content>
              <p>Aboriginal and Torres Strait Islander research; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>ethics and protocols for research, and other activities relating to collections, related to Aboriginal and Torres Strait Islander peoples; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-iii">
            <num>iii</num>
            <content>
              <p>use (including use for research) of that national collection and other collections containing Aboriginal and Torres Strait Islander culture and heritage;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-d">
            <num>d</num>
            <content>
              <p>to lead and promote collaborations and partnerships among the academic, research, non-government, business and government sectors and Aboriginal and Torres Strait Islander peoples in support of the other functions of the Institute;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-5__para-e">
            <num>e</num>
            <content>
              <p>to provide advice to the Commonwealth on the situation and status of Aboriginal and Torres Strait Islander culture and heritage.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-3__sec-6">
          <num>6</num>
          <heading>Powers of Institute</heading>
          <subsection eId="part-3__sec-6__subsec-1">
            <num>1</num>
            <content>
              <p>The Institute has power to do all things that are necessary or convenient to be done for or in connection with the performance of its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-6__subsec-2">
            <num>2</num>
            <content>
              <p>The powers of the Institute under subsection (1) include, but are not limited to, the following powers:</p>
            </content>
            <paragraph eId="part-3__sec-6__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>to accept gifts, grants, bequests and devises made to it;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-6__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>to act as trustee of money and other property vested in it on trust.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>In spite of anything contained in this Act, any money or other property held by the Institute on trust shall be dealt with in accordance with the powers and duties of the Institute as trustee.</p>
            </content>
          </subsection>
        </section>
      </part>

        <num>4</num>
        <heading>Members of Institute</heading>
        <section eId="part-4__sec-7">
          <num>7</num>
          <heading>Members of Institute</heading>
          <subsection eId="part-4__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this Part, the members of the Institute are persons appointed by the Council as members.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>The Council shall not appoint a person to be a member of the Institute unless:</p>
            </content>
            <paragraph eId="part-4__sec-7__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the person has applied for membership of the Institute in accordance with the Institute rules; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-7__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the person has a demonstrated interest in Aboriginal and Torres Strait Islander culture and heritage.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-4__sec-8">
          <num>8</num>
          <heading>Period of membership</heading>
          <subsection eId="part-4__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>An appointment of a person as a member of the Institute is for 5 years.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-8__subsec-3">
            <num>3</num>
            <content>
              <p>Nothing in this section prevents the Council from appointing as a member of the Institute a person who has previously been a member of the Institute.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-9">
          <num>9</num>
          <heading>Resignation</heading>
          <content>
            <p>A member of the Institute may resign by writing signed by him or her and sent to the Chief Executive Officer.</p>
          </content>
        </section>
        <section eId="part-4__sec-10">
          <num>10</num>
          <heading>Register of members</heading>
          <content>
            <p>The Chief Executive Officer shall establish and maintain a register of the members of the Institute.</p>
          </content>
        </section>
        <section eId="part-4__sec-11">
          <num>11</num>
          <heading>Rights of members</heading>
          <content>
            <p>Membership of the Institute does not confer any rights or powers other than those expressly conferred by this Act or by the Institute rules.</p>
          </content>
        </section>

                <p>There shall be a Council of the Institute consisting of the following members:</p>
              </content>

                <p>In making one or more appointments, <role refersTo="#minister">the Minister</role> must ensure that, immediately following the appointments (and taking into account the characteristics of all the elected Councillors and appointed Councillors at that time):</p>

                <num>a</num>
                <content>
                  <p>at least 5 of the Councillors are Aboriginal persons or Torres Strait Islanders; and</p>
                </content>
              </paragraph>

                <num>b</num>
                <content>
                  <p>at least one of the Councillors is a Torres Strait Islander.</p>
                </content>
              </paragraph>
            </subsection>

              <content>
                <p>A person cannot be elected or appointed as a Councillor for a term that starts immediately after the end of 2 consecutive terms of office of the person as a Councillor (whether the person was an elected Councillor or an appointed Councillor for either or both of those earlier terms).</p>

            <heading>Responsibilities of Council</heading>

              <p>It is the responsibility of the Council to ensure the proper and efficient performance of the functions of the Institute and to determine the policy of the Institute with respect to any matter.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-14">
            <num>14</num>
            <heading>Chairperson and Deputy Chairperson of Council</heading>
            <subsection eId="part-5__dvs-1__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> shall appoint a Chairperson and a Deputy Chairperson of the Council from among the Councillors.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>The Councillor who is the Chairperson or the Deputy Chairperson of the Council ceases to be the Chairperson or the Deputy Chairperson of the Council, as the case may be, if he or she ceases to be a Councillor.</p>
              </content>
            </subsection>
          </section>
        </division>

          <heading>Administrative provisions</heading>

            <heading>Term of office</heading>

                <p>An appointed Councillor holds office for such period, not exceeding 4 years, as is specified in the instrument of appointment.</p>

            </subsection>

                <p>An elected Councillor holds office for such period, not exceeding 4 years, as is determined in accordance with the Institute rules.</p>

            </subsection>

            <heading>Remuneration and allowances</heading>
            <content>
              <p>A Councillor is entitled to remuneration and allowances in accordance with <ref href="#sec-45">section 45</ref>.</p>

            <heading>Leave of absence</heading>
            <subsection eId="part-5__dvs-2__sec-17__subsec-1">

                <p><role refersTo="#minister">The Minister</role> may grant a Councillor leave of absence from duty on such terms and conditions as to remuneration or otherwise as <role refersTo="#minister">the Minister</role> determines in writing.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-17__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may delegate, to the Council Chairperson, the power under subsection (1) to grant leave of absence to the other Councillors.</p>
              </content>
            </subsection>
          </section>

            <num>18</num>
            <heading>Acting appointments</heading>
            <subsection eId="part-5__dvs-2__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p>The Deputy Chairperson of the Council shall act as the Council Chairperson:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-18__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Council Chairperson, whether or not an appointment has previously been made to the office; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-18__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Council Chairperson is absent from duty or from  or is, for any reason, unable to perform the duties of the office.</p>

                  <p>during a vacancy in that office, whether or not an appointment has previously been made to the office; or</p>
                </content>
              </paragraph>

                <content>
                  <p>during any period, or during all periods, when the appointed Councillor is absent from duty or from , or is, for any reason, unable to perform the duties of the office.</p>

                <p>A person appointed to act during a vacancy in the office of an appointed Councillor under subsection (2):</p>

              <paragraph eId="part-5__dvs-2__sec-18__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>shall not continue so to act for more than 6 months; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-18__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>shall not be re-appointed to act during that vacancy for a period that would be continuous with the period of 6 months from the date when the person first started acting during that vacancy.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-18__subsec-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> shall not appoint a person to act in an office of appointed Councillor unless, having regard to section 12, the person could be appointed to that office.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-18__subsec-5">
              <num>5</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may appoint a member of the Institute to act in the office of an elected Councillor during any period, or during all periods, when the elected Councillor is absent from duty or from Australia or is, for any reason, unable to perform the duties of the office.</p>

                <p>The appointment of a person to act in the office of a Councillor who is also the Chairperson or Deputy Chairperson of the Council does not constitute an appointment of the person to act as the Chairperson or Deputy Chairperson, as the case may be.</p>

            </subsection>
          </section>

            <num>20</num>
            <heading>Resignation</heading>
            <content>
              <p>A Councillor may resign by writing signed by him or her and sent to <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </section>
          <section eId="part-5__dvs-2__sec-21">
            <num>21</num>
            <heading>Termination of membership of Council</heading>
            <subsection eId="part-5__dvs-2__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate a person’s membership of the Council because of misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must terminate a person’s membership of the Council if the member is absent, except on leave granted under section 17, from 3 consecutive meetings of the Council.</p>

              <p>		A Councillor holds office on such terms and conditions (if any) in respect of matters not provided for by this Act as are determined by the Minister by notice in writing published in the <i>Gazette</i>.</p>

          <heading>Operations of Council</heading>
          <section eId="part-5__dvs-3__sec-23">
            <num>23</num>
            <heading>Meetings of Council</heading>
            <subsection eId="part-5__dvs-3__sec-23__subsec-1">
              <num>1</num>
              <content>
                <p>The Council Chairperson shall convene such meetings of the Council as, in the Chairperson’s opinion, are necessary for the efficient performance of the Council’s responsibilities.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, at any time, convene a meeting of the Council.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-3">
              <num>3</num>
              <content>
                <p>The Council Chairperson shall convene a meeting of the Council upon receipt of a written request for a meeting signed by at least 4 Councillors.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-4">
              <num>4</num>
              <content>
                <p>At a meeting of the Council, a quorum is constituted by 5 Councillors.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-5">

                <p>Where:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-23__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	a Councillor who is present at a meeting is required by rules made for the purposes of <i>Public Governance, Performance and Accountability Act 2013</i> not to be present during the deliberations, or to take part in any decision, of the Council with respect to a particular matter; and<ref href="#sec-29">section 29</ref> of the </p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-23__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>when the Councillor leaves the meeting there is no longer a quorum present;</p>
                </content>
                <content>
                  <p>the Councillors remaining at the meeting constitute a quorum for the purpose of any deliberation or decision at that meeting with respect to that matter.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-6">
              <num>6</num>
              <content>
                <p>The Council Chairperson shall preside at all meetings of the Council at which he or she is present.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-7">

              <content>
                <p>If the Council Chairperson is not present at a meeting of the Council:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-23__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>if the Deputy Chairperson of the Council is present, the Deputy Chairperson of the Council shall preside at the meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-23__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>in any other case, the Councillors present shall elect one of their number to preside at the meeting.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-8">
              <num>8</num>
              <content>
                <p>Questions arising at a meeting of the Council shall be determined by a majority of the votes of the Councillors present and voting.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-23__subsec-9">

              <content>
                <p>The person presiding at a meeting of the Council has a deliberative vote and, in the event of an equality of votes, also has a casting vote.</p>
              </content>
            </subsection>

                <p>The Council may regulate the conduct of proceedings at its meetings as it thinks fit and shall cause minutes of those proceedings to be kept.</p>

        <heading>Chief Executive Officer</heading>

              <p>There shall be a Chief Executive Officer of the Institute who shall be appointed by the Council.</p>

              <p>The Chief Executive Officer shall, subject to subsection (3), manage the day-to-day administration of the Institute.</p>
            </content>
          </subsection>

              <p>The Chief Executive Officer shall, in managing the administration of the Institute and in exercising any powers conferred on the Chief Executive Officer by this Act, act in accordance with any policies determined, and any directions given, by the Council in writing.</p>

          <heading>Period of appointment</heading>
          <content>
            <p>The Chief Executive Officer holds office for such period, not exceeding 5 years, as is specified in the instrument of appointment.</p>

          <heading>Remuneration and allowances</heading>

            <p>The Chief Executive Officer is entitled to remuneration and allowances in accordance with <ref href="#sec-45">section 45</ref>.</p>

              <p>	(1)	Subject to <i>Public Service Act 1999</i>.<ref href="#sec-30">section 30</ref>, the staff required to assist the Institute in the performance of its functions shall be persons engaged under the </p>

              <p>	(2)	For the purposes of the <i>Public Service Act 1999</i>:</p>
            </content>

                <p>the Chief Executive Officer and the APS employees assisting the Principal together constitute a Statutory Agency; and</p>

                <p>the Chief Executive Officer is the Head of that Statutory Agency.</p>
              </content>
            </paragraph>
          </subsection>
        </section>

          <heading>Consultants</heading>

            <num>1</num>
            <content>
              <p>The Chief Executive Officer may, on behalf of the Institute, engage as consultants to the Institute persons having suitable qualifications and experience.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-30__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	The terms and conditions on which consultants are engaged shall be as determined by the Council by notice published in the <i>Gazette</i>.</p>
            </content>
          </subsection>
        </section>
      </part>

        <heading>Finance</heading>
        <section eId="part-9__sec-36">
          <num>36</num>
          <heading>Money payable to the Institute</heading>
          <subsection eId="part-9__sec-36__subsec-1">

              <p>There is payable to the Institute such money as is appropriated by the Parliament for the purposes of the Institute.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-36__subsec-2">
            <num>2</num>
            <content>
              <p>The Finance Minister may give directions as to the amounts in which, and the times at which, money so appropriated is to be paid to the Institute.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-9__sec-38">

          <heading>Application of money held by Institute</heading>
          <subsection eId="part-9__sec-38__subsec-1">
            <num>1</num>
            <content>
              <p>Money held by the Institute shall be applied only:</p>
            </content>

              <num>a</num>
              <content>
                <p>in payment or discharge of the costs, expenses and other obligations incurred by the Institute in the performance of its functions and the exercise of its powers;</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-38__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>in payment of any remuneration and allowances payable to any person under this Act or any other Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-38__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>in making any other payments which the Institute is authorised or required to make under this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-38__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	Subsection (1) does not prevent investment, under <i>Public Governance, Performance and Accountability Act 2013</i>, of money that is not immediately required for the purposes of the Institute.<ref href="#sec-59">section 59</ref> of the </p>

          <heading>Certain information not to be disclosed</heading>

            <content>
              <p>Where information or other matter has been deposited with the Institute under conditions of restricted access, the Institute or the Council shall not disclose that information or other matter except in accordance with those conditions.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-41__subsec-2">
            <num>2</num>
            <content>
              <p>The Institute or the Council shall not disclose information or other matter held by it (including information or other matter covered by subsection (1)) if that disclosure would be inconsistent with the views or sensitivities of relevant Aboriginal persons or Torres Strait Islanders.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-10__sec-42">
          <num>42</num>
          <heading>Informing TSRA about general conduct of Institute</heading>
          <subsection eId="part-10__sec-42__subsec-2">
            <num>2</num>
            <content>
              <p>The Council may from time to time inform the TSRA about the general conduct of the activities of the Institute.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-42__subsec-3">
            <num>3</num>
            <content>
              <p>Where the Council receives a request from the TSRA for information about the activities of the Institute, the Council may give to the TSRA, as the case may be, such information relating to the activities of the Institute as the Council thinks appropriate.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-10__sec-43">
          <num>43</num>
          <heading>Minister may ask for advice</heading>
          <subsection eId="part-10__sec-43__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> or the TSRA may, from time to time, ask the Council to provide advice on aspects of the culture, history and society of Aboriginal and Torres Strait Islander peoples.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-43__subsec-2">
            <num>2</num>
            <content>
              <p>The Council:</p>
            </content>
            <paragraph eId="part-10__sec-43__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>shall comply with a request under subsection (1) made by <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-43__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>may comply with a request under subsection (1) made by the TSRA.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-43__subsec-3">
            <num>3</num>
            <content>
              <p>The Council may, in response to a request under subsection (1):</p>
            </content>
            <paragraph eId="part-10__sec-43__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>prepare its advice having regard only to any relevant information that is already in the possession of the Institute; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-43__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>if the Council considers it appropriate to do so—arrange for the conduct of research into the matter to which the request relates by or on behalf of the Institute, and prepare its advice having regard to that research and to any other relevant information that is otherwise in the possession of the Institute.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-10__sec-44">
          <num>44</num>
          <heading>Delegation to Chief Executive Officer or staff</heading>
          <content>
            <p>The Institute may, by writing under its seal, delegate any or all of its functions and powers to the Chief Executive Officer or to a member of the staff of the Institute.</p>
          </content>
        </section>
        <section eId="part-10__sec-45">
          <num>45</num>
          <heading>Remuneration and allowances</heading>
          <subsection eId="part-10__sec-45__subsec-1">
            <num>1</num>
            <content>
              <p>The following provisions apply in relation to the holder of an office who is, by a provision of this Act, entitled to remuneration and allowances in accordance with this section:</p>
            </content>
            <paragraph eId="part-10__sec-45__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the holder of the office shall be paid such remuneration as is determined by the Remuneration Tribunal;</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-45__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if no determination of that remuneration by the Remuneration Tribunal is in operation, the holder of the office shall be paid such remuneration as is determined under subsection (2) by <role refersTo="#minister">the Minister</role>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-45__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the holder of the office shall be paid such allowances as are determined under subsection (2) by <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-45__subsec-2">
            <num>2</num>
            <content>
              <p>For the purposes of paragraph (1)(b) or (c), <role refersTo="#minister">the Minister</role> may, by notifiable instrument, determine remuneration or allowances to be paid to the holder of an office.</p>

        </section>

          <heading>Recreation leave</heading>
          <content>
            <p>The holder of an office who is, by a provision of this Act, entitled to recreation leave in accordance with this section is entitled to such recreation leave as is determined by the Remuneration Tribunal.</p>
          </content>
        </section>
        <section eId="part-10__sec-47">
          <num>47</num>
          <heading>Conduct of directors, employees and agents</heading>
          <subsection eId="part-10__sec-47__subsec-1">
            <num>1</num>
            <content>
              <p>Where, in proceedings for an offence against this Act, it is necessary to establish the state of mind of a body corporate in relation to particular conduct, it is sufficient to show:</p>
            </content>
            <paragraph eId="part-10__sec-47__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>that the conduct was engaged in by a director, employee or agent of the body corporate within the scope of his or her actual or apparent authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-47__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>that the director, employee or agent had the state of mind.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-2">
            <num>2</num>
            <content>
              <p>Any conduct engaged in on behalf of a body corporate by a director, employee or agent of the body corporate within the scope of his or her actual or apparent authority shall be taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the body corporate unless the body corporate establishes that the body corporate took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-3">
            <num>3</num>
            <content>
              <p>Where, in proceedings for an offence against this Act, it is necessary to establish the state of mind of a person other than a body corporate in relation to particular conduct, it is sufficient to show:</p>

              <num>a</num>
              <content>

              <p>Any conduct engaged in on behalf of a person other than a body corporate by an employee or agent of the person within the scope of his or her actual or apparent authority shall be taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the first-mentioned person unless the first-mentioned person establishes that the first-mentioned person took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-5">
            <num>5</num>
            <content>
              <p>Where:</p>
            </content>
            <paragraph eId="part-10__sec-47__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>a person other than a body corporate is convicted of an offence; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-47__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the person would not have been convicted of the offence if subsections (3) and (4) had not been enacted;</p>
              </content>
              <content>
                <p>the person is not liable to be punished by imprisonment for that offence.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-6">
            <num>6</num>
            <content>
              <p>A reference in subsection (1) or (3) to the state of mind of a person includes a reference to:</p>
            </content>
            <paragraph eId="part-10__sec-47__subsec-6__para-a">
              <num>a</num>
              <content>
                <p>the knowledge, intention, opinion, belief or purpose of the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-47__subsec-6__para-b">
              <num>b</num>
              <content>
                <p>the person’s reasons for the intention, opinion, belief or purpose.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-7">
            <num>7</num>
            <content>
              <p>A reference in this section to a director of a body corporate includes a reference to a constituent member of a body corporate incorporated for a public purpose by a law of the Commonwealth, of a State or of a Territory.</p>
            </content>
          </subsection>
          <subsection eId="part-10__sec-47__subsec-8">
            <num>8</num>
            <content>
              <p>A reference in this section to engaging in conduct includes a reference to failing or refusing to engage in conduct.</p>
            </content>
          </subsection>

              <p>A reference in this section to an offence against this Act includes a reference to:</p>
            </content>

              <p>The Council may make rules, not inconsistent with this Act or the regulations, prescribing matters:</p>

                <p>required or permitted by this Act to be prescribed by the Institute rules; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-48__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed by the Institute rules in connection with the conduct of the affairs of the Institute.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-48__subsec-2">

              <p>Rules made under this section are not legislative instruments.</p>
            </content>
          </subsection>
        </section>

          <heading>Regulations</heading>

              <p>The Governor-General may make regulations, not inconsistent with this Act, prescribing all matters:</p>

                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-49__subsec-1__para-b">

                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-10__sec-49__subsec-2">

              <p>Without limiting the generality of subsection (1), the regulations may:</p>
            </content>
            <paragraph eId="part-10__sec-49__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>prescribe fees payable in respect of any matter under this Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-10__sec-49__subsec-2__para-b">
              <num>b</num>

                <p>provide penalties for breaches of the regulations not exceeding:</p>
              </content>
            </paragraph>

                <p>in the case of a natural person—$1,000; or</p>

            </paragraph>

                <p><term refersTo="#term-old-institute-instrument">old Institute instrument</term> means <def>an instrument: to which the old Institute was a party; that was given to or in favour of the old Institute; in which a reference is made to the old Institute; or under which money is, or may become, payable, or any other property is to be, or may become liable to be, transferred, to or by the old Institute; being an instrument subsisting immediately before the commencement.</def></p>

            <heading>Transfer of assets and liabilities of old Institute</heading>

                <p>At the commencement, the assets and liabilities of the old Institute become assets and liabilities of the new Institute.</p>
              </content>
            </subsection>
            <subsection eId="part-11__dvs-3__sec-54__subsec-2">
              <num>2</num>
              <content>
                <p>The following provisions apply to assets and liabilities that have become assets and liabilities of the new Institute because of subsection (1):</p>
              </content>
              <paragraph eId="part-11__dvs-3__sec-54__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>an asset that was, immediately before the commencement, held by the old Institute on trust shall, after the commencement, be held by the new Institute on trust and subject to the terms of the trust on which the asset was so held by the old Institute;</p>

              </paragraph>
              <paragraph eId="part-11__dvs-3__sec-54__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>liabilities of the old Institute to make payments shall, after the commencement, be taken to be liabilities incurred by the new Institute in the performance of its functions and the exercise of its powers.</p>

            </subsection>
          </section>
          <section eId="part-11__dvs-3__sec-55">
            <num>55</num>
            <heading>Old Institute instruments</heading>
            <content>
              <p>An old Institute instrument continues to have effect after the commencement but, in its operation in relation to acts, transactions, matters or things done, entered into or occurring after the commencement, has effect as if a reference in the instrument to the old Institute were a reference to the new Institute.</p>

          </section>
          <section eId="part-11__dvs-3__sec-64">
            <num>64</num>
            <heading>Operation of the Superannuation (Productivity Benefit) Act 1988</heading>
            <subsection eId="part-11__dvs-3__sec-64__subsec-1">

                <p>The Superannuation Act and any related law apply in relation to any person who:</p>
              </content>
              <paragraph eId="part-11__dvs-3__sec-64__subsec-1__para-a">

                  <p>before the commencement, was employed by the old Institute; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-11__dvs-3__sec-64__subsec-1__para-b">
                <num>b</num>

                  <p>	(b)	after the commencement, is employed under the <i>Public Service Act 1922 </i>in the new Institute;</p>
                </content>
                <content>
                  <p>as if:</p>
