            <p>		This Act may be cited as the <i>Primary Industries Research and Development Act 1989</i>.</p>

              <p>Subject to subsection (2), this Act commences on the day on which it receives the Royal Assent.</p>

          <num>2A</num>
          <heading>Simplified outline of this Act</heading>
          <content>
            <p>Establishment of research and development corporations</p>
            <p>The Rural Industries Research and Development Corporation is established and the regulations may establish, or continue in existence, other research and development corporations.</p>
            <p>Those corporations have various functions and powers. They must have R&amp;D plans and annual operational plans.</p>
            <p>Finance</p>
            <p>The <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i> provides for payments to those corporations. Under that Act:</p>
          </content>
          <paragraph eId="part-1__sec-2A__para-a">
            <num>a</num>
            <content>
              <p>	(a)	the Commonwealth must pay to those corporations amounts connected with various levies and charges collected under rules made under the <i>Primary Industries Levies and Charges Collection Act 202</i><i>4</i>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-b">
            <num>b</num>
            <content>
              <p>those corporations must spend the payments on various activities, including research and development activities and marketing activities for the benefit of primary industries; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-c">
            <num>c</num>
            <content>
              <p>the Commonwealth must also make matching payments to those corporations, based on amounts of expenditure on research and development activities or certain other activities by those corporations and on gross value of production amounts; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-d">
            <num>d</num>
            <content>
              <p>those corporations must spend the matching payments on various activities, including research and development activities for the benefit of primary industries.</p>
            </content>
            <content>
              <p>Directors</p>
              <p>This Act provides for directors of those corporations and for the appointment process for those directors, including the use of Selection Committees.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Objects</heading>
          <content>
            <p>The objects of this Act are to:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>make provision for the undertaking of research and development relating to primary industries with a view to:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-i">
            <num>i</num>
            <content>
              <p>increasing the economic, environmental and social benefits to members of primary industries and to the community in general by improving the production, processing, storage, transport or marketing of the products of primary industries; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ii">
            <num>ii</num>
            <content>
              <p>achieving the sustainable use and sustainable management of natural resources; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-iii">
            <num>iii</num>
            <content>
              <p>making more effective use of the resources and skills of the community in general and the scientific community in particular; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-iv">
            <num>iv</num>
            <content>
              <p>supporting the development of scientific and technical capacity; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-v">
            <num>v</num>
            <content>
              <p>developing the adoptive capacity of primary producers; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-vi">
            <num>vi</num>
            <content>
              <p>improving accountability for expenditure on research and development activities in relation to primary industries; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>make provision for the undertaking of marketing relating to products of primary industries.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Definitions</heading>
          <subsection eId="part-1__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act, unless the contrary intention appears:</p>
            </content>
            <content>
              <p><term refersTo="#term-annual-general-meeting">annual general meeting</term> means <def>an annual general meeting that the Corporation is required to convene under <ref href="#sec-58">section 58</ref>.</def></p>
              <p><term refersTo="#term-annual-operational-plan">annual operational plan</term> means <def>an annual operational plan of an R&amp;D Corporation in force under <ref href="#dvs-3">Division 3</ref> of <ref href="#part-2">Part 2</ref>.</def></p>
              <p><term refersTo="#term-borrowing">borrowing</term> includes <def>raising money or obtaining credit, whether by dealing in securities or otherwise, but does not include obtaining credit in a transaction forming part of the day-to-day operations of an R&amp;D Corporation.</def></p>
              <p><term refersTo="#term-chairperson">Chairperson</term> means <def>the Chairperson of the Corporation.</def></p>
              <p><term refersTo="#term-deputy-chairperson">Deputy Chairperson</term> means <def>the Deputy Chairperson of the Corporation.</def></p>
              <p><b><i>designated primary industry sector</i></b> in relation to an R&amp;D Corporation: see section 5.</p>
              <p><term refersTo="#term-director">director</term> means <def>a director of an R&amp;D Corporation, and includes: the Chairperson; and the Executive Director; of the Corporation.</def></p>

                <p><term refersTo="#term-marketing-activities">marketing activities</term> means <def>the following: the marketing, advertising or promotion of: a designated primary industry sector in relation to that Corporation; or goods that are the produce, or that are derived from the produce, of a designated primary industry sector in relation to that Corporation; activities incidental to such marketing, advertising or promotion.</def></p>

                <p>the marketing, advertising or promotion of:</p>

                <p><term refersTo="#term-member">member</term> means <def>a member of the Selection Committee, and includes the Presiding Member of the Selection Committee.</def></p>
                <p><term refersTo="#term-nominated-director">nominated director</term> means <def>a director of an R&amp;D Corporation, other than the Chairperson or the Executive Director of the Corporation.</def></p>
                <p><term refersTo="#term-presiding-member">Presiding Member</term> means <def>a person appointed under <ref href="#sec-122">section 122</ref> as the Presiding Member of the Selection Committee for an R&amp;D Corporation.</def></p>
                <p><term refersTo="#term-primary-industry">primary industry</term> means <def>any field of endeavour (other than the wool industry) whose objective is: the production of agricultural or other primary produce; or the conservation and the sustainable use and management of a natural resource. <b><i>R&amp;D Corporation</i></b> means: a research and development corporation established under regulations, or continued in existence under regulations, made for the purposes of <ref href="#sec-8">section 8</ref>; or the Rural Industries Research and Development Corporation established under <ref href="#sec-9">section 9</ref>.</def></p>

            </paragraph>

              <num>a</num>

                <p><term refersTo="#term-r-d-plan">R&amp;D plan</term> means <def>an R&amp;D plan of an R&amp;D Corporation in force under <ref href="#dvs-3">Division 3</ref> of <ref href="#part-2">Part 2</ref>.</def></p>
                <p><term refersTo="#term-representative-organisation">representative organisation</term> means <def>an organisation declared under <ref href="#sec-7">section 7</ref> to be a representative organisation in relation to the Corporation.</def></p>
                <p><b><i>research and development</i></b>: see section 5.</p>
                <p><b><i>research and development activity</i></b>: see section 5.</p>
                <p><term refersTo="#term-selection-committee">Selection Committee</term> means <def>a Selection Committee for an R&amp;D Corporation established under <ref href="#sec-124">section 124</ref> or 125.</def></p>
                <p><b><i>this Act</i></b> includes the regulations.</p>

            </paragraph>
          </subsection>

              <p>A reference in this Act to expenses incurred by a Selection Committee includes a reference to the remuneration and allowances payable to the Presiding Member and other members of the Selection Committee and persons employed or engaged by the Selection Committee.</p>

        </section>

          <num>5</num>
          <heading>Expressions defined in the Primary Industries Levies and Charges Disbursement Act 2024</heading>

            <p>		For the purposes of this Act, work out what are the following under the definitions in Part 1 of the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i>:</p>

          <heading>Representative organisations</heading>

              <p>	(1)	The Minister may, by notice published in the <i>Gazette</i>, declare one or more specified organisations to be representative organisations in relation to an R&amp;D Corporation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>A declaration may be made in respect of an R&amp;D Corporation at any time after the making of regulations under <ref href="#sec-8">section 8</ref> establishing the Corporation, even if the regulations concerned are not in force at that time.</p>

          </subsection>

            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must, in relation to each R&amp;D Corporation, declare at least one organisation to be a representative organisation.</p>

              <p>A declaration must be published on the Department’s website as soon as practicable after it is made.</p>

              </content>

                <p>continue in existence a research and development corporation prescribed by the regulations.</p>
              </content>
            </paragraph>
          </section>

              <p>The Rural Industries Research and Development Corporation is established.</p>
            </content>

            <heading>R&amp;D Corporation is body corporate etc.</heading>
            <subsection eId="part-2__dvs-1__sec-10__subsec-1">

              <content>
                <p>An R&amp;D Corporation:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>is a body corporate with perpetual succession; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-1__para-b">

                <content>
                  <p>is to have a common seal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-1__para-c">

                  <p>may acquire, hold and dispose of real and personal property; and</p>

              </paragraph>

                <p>The common seal of an R&amp;D Corporation is to be kept in such custody as the Corporation directs, and is not to be used except as authorised by the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-3">
              <num>3</num>
              <content>
                <p>All courts, judges and persons acting judicially must:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>take judicial notice of the imprint of the common seal of an R&amp;D Corporation appearing on a document; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>presume the imprint was duly affixed.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-11">
            <num>11</num>
            <heading>Functions</heading>
            <content>
              <p>The functions of an R&amp;D Corporation are:</p>
            </content>
            <paragraph eId="part-2__dvs-1__sec-11__para-a">
              <num>a</num>
              <content>
                <p>to investigate and evaluate the requirements for research and development for each designated primary industry sector in relation to the Corporation and, on the basis of such investigation and evaluation:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-i">
              <num>i</num>
              <content>
                <p>to prepare an R&amp;D plan under <ref href="#sec-19">section 19</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-ii">
              <num>ii</num>
              <content>
                <p>to review and revise the plan; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-b">
              <num>b</num>
              <content>
                <p>to prepare an annual operational plan under <ref href="#sec-25">section 25</ref> for each financial year; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-c">
              <num>c</num>
              <content>
                <p>to co-ordinate or fund the carrying out of research and development activities that are consistent with the annual operational plan prepared by the Corporation and in force at the time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-d">
              <num>d</num>
              <content>
                <p>to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-i">

                <p>the impact, on each designated primary industry sector in relation to the Corporation, of research and development activities that are co-ordinated or funded, wholly or partly, by the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-e">
              <num>e</num>
              <content>
                <p>to disseminate and commercialise, and facilitate the dissemination, adoption and commercialisation of, the results of research and development in relation to each designated primary industry sector in relation to the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-ea">
              <num>ea</num>
              <content>
                <p>	(ea)	to carry out marketing activities under the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i><i> </i>for the benefit of designated primary industry sectors in relation to the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-eb">
              <num>eb</num>
              <content>
                <p>if a person makes a gift, grant, bequest or devise to the Corporation for the purpose of the Corporation carrying out marketing activities for the benefit of a designated primary industry sector in relation to the Corporation—to use the gift, grant, bequest or devise to carry out those marketing activities; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-f">
              <num>f</num>
              <content>
                <p>such other functions as are conferred on the Corporation by this Act or any other Act.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-1__sec-12">
            <num>12</num>
            <heading>Powers</heading>
            <subsection eId="part-2__dvs-1__sec-12__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation has power to do all things necessary or convenient to be done for, or in connection with, the performance of its functions and, in particular, may:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>enter into agreements under <ref href="#sec-13">section 13</ref> for the carrying out of research and development activities or marketing activities by other persons; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>enter into agreements under <ref href="#sec-14">section 14</ref> for the carrying out of research and development activities or marketing activities by the Corporation and other persons; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>make intellectual property and other applications, including joint applications, in relation to the results of research and development; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>deal with the results of research and development vested in, or made available to, the Corporation or the Corporation and other persons; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>make charges for work done, services rendered, and goods and information supplied, by it; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>accept gifts, grants, bequests and devises made to it, and act as trustee of money and other property vested in it on trust; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-g">
                <num>g</num>
                <content>
                  <p>acquire, hold and dispose of real and personal property for the purposes of this Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-h">
                <num>h</num>
                <content>
                  <p>join in the formation of a company; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-12__subsec-1__para-j">
                <num>j</num>
                <content>
                  <p>do anything incidental to any of its powers.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-13">
            <num>13</num>
            <heading>Agreements for carrying out research and development activities and marketing activities by other persons</heading>
            <subsection eId="part-2__dvs-1__sec-13__subsec-1">
              <num>1</num>
              <content>
                <p>Without limiting the generality of subsection 12(1), an R&amp;D Corporation may enter into an agreement with a person for the carrying out of either or both of the following by the person:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>research and development activities;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>marketing activities as mentioned in paragraph 11(ea) or (eb).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-13__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting the matters that may be included in the agreement, the agreement may:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>provide for the money provided under the agreement, and any property acquired or goods produced with that money, or with money that includes that money, to be used for the purposes specified in the agreement; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>provide for the payment by the person to the Corporation of an amount equal to the whole, or such part as the Corporation determines, of the money provided under the agreement if any of the money, property or goods referred to in paragraph (a) is or are used for a purpose not specified in the agreement; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>make provision with respect to:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>assigning inventions and interests in inventions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applying for patents for inventions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>commercially exploiting patented inventions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>granting licences under patented inventions;</p>
                </content>
                <content>
                  <p>being inventions made in the course of undertaking research and development activities or doing anything else with that money or with money that includes that money; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>provide for the payment by the person to the Corporation of an amount equal to the whole, or such part as the Corporation determines, of any net income derived by the person from the money, property or goods referred to in paragraph (a) or patents or interests referred to in paragraph (c); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-e">
                <num>e</num>
                <content>
                  <p>provide for the assignment by the person to the Corporation of any money, property, goods, patents or interests referred to in paragraph (d); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-13__subsec-2__para-f">
                <num>f</num>
                <content>
                  <p>provide for the payment by the person to the Corporation of an amount of money determined by the Corporation in accordance with the agreement in the event of the disposal (otherwise than to the Corporation) of any property, goods, patents or interests referred to in paragraph (d).</p>

              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-14">
            <num>14</num>
            <heading>Agreements for carrying out research and development activities and marketing activities with other persons</heading>
            <subsection eId="part-2__dvs-1__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p>Without limiting the generality of subsection 12(1), an R&amp;D Corporation may enter into an agreement (including a joint venture agreement or a partnership agreement) with a person for either or both of the following to be carried out by the Corporation and the person:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>research and development activities;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>marketing activities as mentioned in paragraph 11(ea) or (eb).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting the matters that may be included in the agreement, the agreement is to specify:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the objectives of the activities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the expected duration of the activities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>the nature and extent of the contribution to be made by the Corporation towards the activities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-14__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>the basis for the distribution of profits and other benefits derived from the activities.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-15">

            <heading>Consultations with persons and organisations</heading>
            <subsection eId="part-2__dvs-1__sec-15__subsec-1">
              <num>1</num>
              <content>
                <p>Without limiting the generality of subsection 12(1), an R&amp;D Corporation may make arrangements for consulting:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-15__subsec-1__para-a">
                <num>a</num>
                <content>

                  <p>the Corporation agreeing to meet travel expenses reasonably incurred by a person in connection with consultations with the Corporation; and</p>

                <num>b</num>
                <content>
                  <p>subject to written guidelines given to the Corporation by <role refersTo="#minister">the Minister</role>, the Corporation agreeing to meet expenses (other than travel expenses) reasonably incurred by a representative organisation of the Corporation, or a member of a representative organisation of the Corporation, in connection with consultations with the Corporation.</p>

                <p>An R&amp;D Corporation consists of:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-16__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a Chairperson; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-16__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>an Executive Director; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-16__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>such number of other directors, not fewer than 5 nor more than 7, as <role refersTo="#minister">the Minister</role> determines, in writing, to be appropriate for that Corporation.</p>

                <p>The performance of the functions and the exercise of the powers of an R&amp;D Corporation are not affected merely because of vacancies in the Corporation’s directorship.</p>

            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-17">
            <num>17</num>
            <heading>Appointment of directors</heading>
            <subsection eId="part-2__dvs-2__sec-17__subsec-1">
              <num>1</num>
              <content>
                <p>The directors of an R&amp;D Corporation (other than the Executive Director) are to be appointed by <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-17__subsec-3">
              <num>3</num>
              <content>
                <p>The nominated directors of an R&amp;D Corporation are to be appointed from persons:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-17__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>nominated by a Selection Committee under <ref href="#part-4">Part 4</ref>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-17__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>included on a list, given to <role refersTo="#minister">the Minister</role> under paragraph 132(2)(b), of persons a Selection Committee considers suitable for nomination.</p>
                </content>
              </paragraph>
            </subsection>

                <p>The appointment of a person as a director of an R&amp;D Corporation is not invalid because of a defect or irregularity in connection with the person’s nomination or appointment.</p>

            <heading>Members of executive of representative organisation not eligible for appointment etc.</heading>
            <subsection eId="part-2__dvs-2__sec-18__subsec-1">

                <p>A person who is a member of the executive of a representative organisation of an R&amp;D Corporation must not be appointed as a director of the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>A director of an R&amp;D Corporation who becomes a member of the executive of a representative organisation of the Corporation ceases to hold office as a director of the Corporation.</p>
              </content>
            </subsection>
          </section>
        </division>

          <heading>R&amp;D plans and annual operational plans</heading>

            <num>19</num>
            <heading>R&amp;D plans</heading>
            <subsection eId="part-2__dvs-3__sec-19__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation must prepare, in written form, an R&amp;D plan for each successive period referred to in subsections (3) and (4).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>An R&amp;D Corporation’s R&amp;D plan is to include:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a statement of the Corporation’s objectives and priorities for the period to which the plan is expressed to relate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>an outline of the strategies that the Corporation intends to adopt in order to achieve those objectives.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-3">
              <num>3</num>
              <content>
                <p>The first R&amp;D plan is to be expressed to relate to:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>if the R&amp;D Corporation is established in the first 9 months of a financial year—that financial year and the 4 subsequent financial years; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>if the R&amp;D Corporation is established in the last 3 months of a financial year—the next financial year and the 4 subsequent financial years.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-4">
              <num>4</num>
              <content>
                <p>Each subsequent R&amp;D plan is to be expressed to relate to the period of 5 years commencing at the end of the period to which the immediately preceding R&amp;D plan relates.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-20">
            <num>20</num>
            <heading>Approval of R&amp;D plans</heading>
            <subsection eId="part-2__dvs-3__sec-20__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D plan is to be submitted to <role refersTo="#minister">the Minister</role> for approval no later than 2 months, or such shorter period as <role refersTo="#minister">the Minister</role>, in special circumstances, allows, before the intended day of commencement of the period to which the plan relates.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-20__subsec-2">
              <num>2</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> is of the opinion that an R&amp;D Corporation’s R&amp;D plan, submitted under subsection (1) or (3) for his or her approval, should be revised in some respect, <role refersTo="#minister">the Minister</role> may give to the Corporation a written notice:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>requesting the Corporation to make such a revision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>setting out the reasons for the request.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-20__subsec-3">
              <num>3</num>
              <content>
                <p>Where an R&amp;D Corporation receives such a request, it must:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>consider the request and the statement of reasons; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>make such revision of the R&amp;D plan it considers appropriate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>submit the plan, as so revised, to <role refersTo="#minister">the Minister</role> for approval.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-20__subsec-4">
              <num>4</num>
              <content>
                <p>Where a copy of an R&amp;D plan is submitted to <role refersTo="#minister">the Minister</role> for approval under subsection (1) or (3), a copy of the plan is at the same time also to be provided to the Presidents (or the holders of the equivalent office) within each of the representative organisations of the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-20__subsec-5">
              <num>5</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> approves an R&amp;D plan, the Corporation is, no later than one month after the day on which it is approved by <role refersTo="#minister">the Minister</role>, to notify each of its representative organisations of <role refersTo="#minister">the Minister</role>’s approval.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-20__subsec-6">
              <num>6</num>
              <content>
                <p>An R&amp;D plan does not come into operation until:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>the day on which it is approved by <role refersTo="#minister">the Minister</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-20__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p><date>the day of commencement</date> of the period to which it relates;</p>
                </content>
                <content>
                  <p>whichever is the later.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-21">
            <num>21</num>
            <heading>Variation of R&amp;D plans</heading>
            <subsection eId="part-2__dvs-3__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation must:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>as soon as practicable after 30 June next following the day on which its R&amp;D plan comes into operation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>as soon as practicable after each subsequent 30 June occurring before the day of expiration of the plan;</p>
                </content>
                <content>
                  <p>review the plan and consider whether a variation of it is necessary.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p>An R&amp;D Corporation may, at any other time, review its R&amp;D plan (whether or not the plan has come into operation) and consider whether a variation of it is necessary.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-3">
              <num>3</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> gives to an R&amp;D Corporation a notice requesting that the Corporation vary its R&amp;D plan and setting out the reasons for making the request, it must consider, having regard to the reasons, whether the requested variation of the plan is appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-4">
              <num>4</num>
              <content>
                <p>Where an R&amp;D Corporation considers that:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a variation of its R&amp;D plan is necessary; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a variation of its R&amp;D plan, requested by <role refersTo="#minister">the Minister</role>, is appropriate;</p>
                </content>
                <content>
                  <p>it may vary the plan with <role refersTo="#minister">the Minister</role>’s approval.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-5">
              <num>5</num>
              <content>
                <p>When requesting <role refersTo="#minister">the Minister</role>’s approval for a variation of the plan, the Corporation must, unless the variation was requested by <role refersTo="#minister">the Minister</role>, provide <role refersTo="#minister">the Minister</role> with:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>a statement of its reasons for making the request; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>such other information as <role refersTo="#minister">the Minister</role> requests.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-6">
              <num>6</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, after considering the request (together with the material (if any) provided under subsection (5)):</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>approve the requested variation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>reject the requested variation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-7">
              <num>7</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> approves a requested variation, the Corporation is, no later than one month after the day on which it is approved by <role refersTo="#minister">the Minister</role>, to provide a copy of the varied plan as approved by <role refersTo="#minister">the Minister</role> to the Presidents (or the holders of the equivalent office) within each of the representative organisations of the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-8">
              <num>8</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> rejects the requested variation he or she must give the Corporation his or her written reasons for doing so.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-22">
            <num>22</num>
            <heading>Approval for varied R&amp;D plans to run for 4 years from next 1 July</heading>
            <subsection eId="part-2__dvs-3__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>Where an R&amp;D Corporation requests <role refersTo="#minister">the Minister</role>’s approval for a variation of its R&amp;D plan, and that plan is in force, the Corporation may also request <role refersTo="#minister">the Minister</role>’s approval for the plan as varied to be in force until the end of 4 years beginning on the next 1 July after the day on which the variation takes effect.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>When making a request under subsection (1), the Corporation must provide <role refersTo="#minister">the Minister</role> with:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-22__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a statement of its reasons for making the request; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-22__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>such other information as <role refersTo="#minister">the Minister</role> requests.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-22__subsec-3">
              <num>3</num>
              <content>
                <p>Where:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-22__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>a request is made under subsection (1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-22__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> approves a variation of the plan under subsection 21(6); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-22__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> is satisfied that it is appropriate for the request under subsection (1) to be granted;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may, by notice in writing given to the Corporation, give his or her approval for the plan as varied to be in force until the end of 4 years beginning on the next 1 July after the day on which the variation takes effect.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-23">
            <num>23</num>
            <heading>When variations of R&amp;D plans take effect</heading>
            <subsection eId="part-2__dvs-3__sec-23__subsec-1">
              <num>1</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> approves a variation of an R&amp;D plan, the variation takes effect on:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-23__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>if <role refersTo="#minister">the Minister</role> also gives his or her approval under section 22 for the plan as varied to be in force as mentioned in that section—the day specified by <role refersTo="#minister">the Minister</role> in giving the approval under that section, or, where no such day is specified, the next 1 July after the day of approval of the variation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-23__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>in any other case—the day of approval of the variation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-23__subsec-2">
              <num>2</num>
              <content>
                <p>If the operation of an R&amp;D plan (being a plan that has come into force) takes effect on the day of <role refersTo="#minister">the Minister</role>’s approval of the variation, the plan as varied continues in force, on and after that day, as if <role refersTo="#minister">the Minister</role> had originally approved the plan as varied.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-24">
            <num>24</num>
            <heading>Consultation</heading>
            <content>
              <p>Before preparing or varying an R&amp;D plan, or making a request under subsection 22(1), an R&amp;D Corporation must consult, and have regard to the views expressed by:</p>
            </content>
            <paragraph eId="part-2__dvs-3__sec-24__para-aa">
              <num>aa</num>
              <content>
                <p><role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-24__para-a">
              <num>a</num>
              <content>
                <p>each of its representative organisations; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-24__para-b">
              <num>b</num>
              <content>
                <p>such other persons or organisations as it considers appropriate.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-3__sec-25">
            <num>25</num>
            <heading>Annual operational plans</heading>
            <subsection eId="part-2__dvs-3__sec-25__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation must, for each financial year during which an R&amp;D plan is in force, prepare, in written form, an annual operational plan that is expressed to relate to that financial year.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p>The annual operational plan is to:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>specify the broad groupings of research and development activities and marketing activities that the R&amp;D Corporation proposes to fund, wholly or partly, during the financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>describe how and to what extent funding those activities will:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>give effect to the R&amp;D plan in force during that financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>in particular, pursue the strategies outlined in the R&amp;D plan and help to achieve the objectives described in the R&amp;D plan; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>provide an estimate of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>the total amounts likely to be spent by the Corporation in respect of each broad grouping of research and development activities the Corporation proposes to fund during the financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>the total of all other amounts likely to be spent by the Corporation during the financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>the total of the amounts referred to in subparagraphs (i) and (ii); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-25__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>	(iv)	the total of the amounts that are likely to be paid to the Corporation during the financial year (other than the amounts paid under the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i>).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-3">
              <num>3</num>
              <content>
                <p>A reference in this section to research and development activities or marketing activities that an R&amp;D Corporation proposes to fund includes a reference to research and development activities or marketing activities that the Corporation is prepared, subject to its examination of specific proposals, to fund.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-26">
            <num>26</num>
            <heading>Commencement of annual operational plan etc.</heading>
            <subsection eId="part-2__dvs-3__sec-26__subsec-1">
              <num>1</num>
              <content>
                <p>An annual operational plan for an R&amp;D Corporation comes into operation on the first day of the period to which the plan relates.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-26__subsec-2">
              <num>2</num>
              <content>
                <p>Before the plan comes into operation, the Corporation must provide a copy of the plan to:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-26__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role>; and</p>
                </content>
              </paragraph>

                <p>the performance of its functions; and</p>
              </content>
            </paragraph>

                <p>are consistent with, and designed to give effect to, any R&amp;D plan, and any annual operational plan, prepared by it and in force at the time.</p>

            <heading>Annual report</heading>
            <content>
              <p>		The annual report prepared by the directors of an R&amp;D Corporation and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include:<ref href="#sec-46">section 46</ref> of the </p>
            </content>
            <paragraph eId="part-2__dvs-4__sec-28__para-a">
              <num>a</num>
              <content>
                <p>particulars of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-28__para-i">
              <num>i</num>
              <content>
                <p>the research and development activities that it co-ordinated or funded, wholly or partly, during the period; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-28__para-ia">
              <num>ia</num>
              <content>
                <p>the marketing activities that it coordinated or funded, wholly or partly, during the period; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-28__para-ii">
              <num>ii</num>
              <content>
                <p>the amount that it spent during the period in relation to each of those activities; and</p>
              </content>
            </paragraph>

                <p>an assessment of the extent to which the Corporation has, during the period, contributed to the attainment of the objects of this Act as set out in <ref href="#sec-3">section 3</ref>; and</p>
              </content>
            </paragraph>

              <num>d</num>
              <content>
                <p>in respect of the grain industry or such other primary industry or class of primary industries as is prescribed in the regulations, particulars of sources and expenditure of funds, including:</p>

            <heading>Accountability to representative organisations</heading>
            <content>
              <p>The Chairperson of an R&amp;D Corporation (other than an R&amp;D Corporation to which <role refersTo="#minister">the Minister</role>, provide copies of the report to each of the Corporation’s representative organisations, and make arrangements with each of those organisations to attend the organisation’s annual conference, or a meeting of the organisation’s executive, for the purpose of enabling:<ref href="#dvs-7">Division 7</ref> applies) must, as soon as practicable after the Corporation’s annual report has been submitted to </p>
            </content>

                <p>the annual report to be considered; and</p>

            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-29__para-ii">
              <num>ii</num>
              <content>
                <p>the Corporation’s intended activities in the financial year following the end of the period; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-29__para-iii">
              <num>iii</num>
              <content>
                <p>in respect of the grain industry and such other primary industry or class of primary industries as is prescribed in the regulations, particulars of sources and expenditure of funds, including:</p>
              </content>
              <content>
                <p>(A)	commodity, cross commodity and regional classifications; and</p>
                <p>(B)	funds derived from transfer of assets, debts, liabilities and obligations under <ref href="#sec-144">section 144</ref>; and</p>

        </division>

          <heading>Finance</heading>
          <section eId="part-2__dvs-5__sec-33">
            <num>33</num>
            <heading>Expenditure of money of R&amp;D Corporations</heading>
            <subsection eId="part-2__dvs-5__sec-33__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to this section, an R&amp;D Corporation’s money may be spent only:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for the purpose of funding research and development activities included in the broad groupings of research and development activities specified in an annual operational plan prepared by the Corporation and in force; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>in payment or discharge of the expenses and liabilities incurred by the Corporation in the performance of its functions or the exercise of its powers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>in payment of remuneration and allowances payable:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>under sections 68 and 81 to the Corporation’s directors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-ii">

                  <p>under <ref href="#sec-89">section 89</ref> to members of committees established by the Corporation under that section; and</p>
                </content>
              </paragraph>

                <content>
                  <p>	(d)	in payment to the Commonwealth of amounts payable under the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>in payment of amounts in respect of expenses (including the payment of remuneration and allowances) incurred by a Selection Committee in performing its function, and exercising its powers, in relation to the selection of directors for appointment to the Corporation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>in making any other payments that the Corporation is authorised or required to make under this Act.</p>
                </content>
                <content>
                  <p>	(1AA)	Money paid to an R&amp;D Corporation under the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i><i> </i>may be spent by the R&amp;D Corporation only in accordance with that Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-33__subsec-1A">
              <num>1A</num>
              <content>
                <p>Subsection (1) does not apply to an R&amp;D Corporation’s money to the extent that it includes a gift, grant, bequest or devise of a kind mentioned in paragraph 11(eb).</p>
              </content>

            </subsection>

              <num>2</num>
              <content>
                <p>An R&amp;D Corporation is liable to pay the expenses, and discharge the liabilities, incurred by a Selection Committee in connection with the performance of its function, and the exercise of its powers, in relation to the selection of directors for appointment to the Corporation.</p>
              </content>
              <content>
                <p>Spending must be in accordance with funding agreement</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-33__subsec-3">
              <num>3</num>
              <content>
                <p>An R&amp;D Corporation must not spend money that has been paid to the R&amp;D Corporation by the Commonwealth unless the R&amp;D Corporation does so in accordance with a written funding agreement.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-33B">
            <num>33B</num>
            <heading>State and Territory fisheries R&amp;D money</heading>
            <subsection eId="part-2__dvs-5__sec-33B__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-33B__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a State or Territory makes a payment to an R&amp;D Corporation in respect of research and development in respect of the fishing industry; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-33B__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the Commonwealth makes a payment to an R&amp;D Corporation of money paid by a State or Territory to the Commonwealth in respect of research and development in respect of the fishing industry.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-33B__subsec-2">
              <num>2</num>
              <content>
                <p>The R&amp;D Corporation must, within 5 years of receiving the payment, spend an equal amount on research and development activities of relevance to the State or Territory.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-40">
            <num>40</num>
            <heading>Separate accounting records</heading>
            <content>
              <p>The regulations may:</p>
            </content>
            <paragraph eId="part-2__dvs-5__sec-40__para-a">
              <num>a</num>
              <content>
                <p>require an R&amp;D Corporation to keep separate accounting records in relation to the funding of specified classes of activities; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-5__sec-40__para-b">
              <num>b</num>
              <content>
                <p>specify the amounts to be credited and debited in the accounting records and the manner in which the amounts are to be calculated.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-5__sec-41">
            <num>41</num>
            <heading>Borrowing from Commonwealth</heading>
            <content>
              <p>The Finance Minister may, on behalf of the Commonwealth, out of money appropriated by the Parliament for the purpose, lend money to an R&amp;D Corporation on such terms and conditions as the Finance Minister determines in writing.</p>
            </content>
          </section>
          <section eId="part-2__dvs-5__sec-42">
            <num>42</num>
            <heading>Borrowing from persons other than the Commonwealth</heading>
            <subsection eId="part-2__dvs-5__sec-42__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation may, with the written approval of the Finance Minister, borrow money from persons other than the Commonwealth on terms and conditions specified in, or consistent with, the approval.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-42__subsec-2">
              <num>2</num>
              <content>
                <p>Money may be borrowed wholly or partly in foreign currency.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-43">
            <num>43</num>
            <heading>Guarantee of borrowing</heading>
            <subsection eId="part-2__dvs-5__sec-43__subsec-1">
              <num>1</num>
              <content>
                <p>The Finance Minister may, on behalf of the Commonwealth, enter into a contract guaranteeing the performance by an R&amp;D Corporation of obligations incurred by it under <ref href="#sec-42">section 42</ref>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-43__subsec-2">
              <num>2</num>
              <content>
                <p>If the Finance Minister determines in writing that obligations incurred by the Corporation under that section are guaranteed by the Commonwealth, the obligations are so guaranteed by force of this subsection.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-43__subsec-3">
              <num>3</num>
              <content>
                <p>A contract may be entered into under subsection (1), and a determination may be made under subsection (2), in relation to a particular transaction or class of transactions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-43__subsec-4">
              <num>4</num>
              <content>
                <p>A contract under subsection (1) may include either or both of the following provisions:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-43__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a provision agreeing that proceedings under the contract may be taken in courts of a foreign country;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-43__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a provision waiving the immunity of the Commonwealth from suit in courts of a foreign country.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-44">
            <num>44</num>
            <heading>Borrowing not otherwise permitted</heading>
            <content>
              <p>An R&amp;D Corporation must not borrow money except under this Division.</p>
            </content>
          </section>
          <section eId="part-2__dvs-5__sec-45">
            <num>45</num>
            <heading>R&amp;D Corporations may give security</heading>
            <content>
              <p>An R&amp;D Corporation may give security over the whole or part of its assets for:</p>
            </content>
            <paragraph eId="part-2__dvs-5__sec-45__para-a">
              <num>a</num>
              <content>
                <p>the performance by the Corporation of any obligation incurred under <ref href="#sec-41">section 41</ref> or 42; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-5__sec-45__para-b">
              <num>b</num>
              <content>
                <p>the payment to the Commonwealth of amounts equal to amounts paid by the Commonwealth under a guarantee under <ref href="#sec-43">section 43</ref>.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-5__sec-46">
            <num>46</num>
            <heading>Liability to taxation</heading>
            <subsection eId="part-2__dvs-5__sec-46__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation is subject to taxation (other than income tax) under the laws of the Commonwealth.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-46__subsec-2">
              <num>2</num>
              <content>
                <p>Subject to subsections (3) and (4), an R&amp;D Corporation is not subject to taxation under a law of a State or Territory.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-46__subsec-3">
              <num>3</num>
              <content>
                <p>The regulations may provide that subsection (2) does not apply in relation to:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-46__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>a specified law of a State or Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-46__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>laws in a specified class of laws of a State or Territory.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-46__subsec-4">
              <num>4</num>
              <content>
                <p>Stamp duty under the law of a State or a Territory is payable by an R&amp;D Corporation in respect of transactions entered into by, and instruments and documents executed by or on behalf of, the Corporation.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-46A">
            <num>46A</num>
            <heading>Delegation by Finance Minister</heading>
            <subsection eId="part-2__dvs-5__sec-46A__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The Finance Minister may, by written instrument, delegate any of the Finance Minister’s powers or functions under <i>Public Governance, Performance and Accountability Act 2013</i>)<i> </i>of a non-corporate Commonwealth entity (within the meaning of that Act).<ref href="#sec-42">section 42</ref> or 43 to an official (within the meaning of the </p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-46A__subsec-2">
              <num>2</num>
              <content>
                <p>In exercising powers or functions under a delegation, the official must comply with any directions of the Finance Minister.</p>
              </content>
            </subsection>

          <heading>Meetings of Research and Development Corporations</heading>
          <section eId="part-2__dvs-6__sec-47">

            <heading>Times and places of meetings</heading>
            <subsection eId="part-2__dvs-6__sec-47__subsec-1">

              <content>
                <p>An R&amp;D Corporation must hold such meetings as is necessary for the efficient performance of its functions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>Subject to subsections (3) and (4), meetings are to be held at such times and places as the Corporation from time to time determines.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-47__subsec-3">
              <num>3</num>
              <content>
                <p>The Chairperson may call a meeting at any time.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-47__subsec-4">
              <num>4</num>
              <content>
                <p>The Chairperson must call a meeting if requested to do so in writing by a majority of the directors.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-6__sec-48">

            <heading>Presiding at meetings</heading>
            <subsection eId="part-2__dvs-6__sec-48__subsec-1">

                <p>The Chairperson is to preside at all meetings at which he or she is present.</p>

                <p>If the Chairperson is not present at a meeting and the Deputy Chairperson is present, the Deputy Chairperson is to preside.</p>

                <p>If the Chairperson and Deputy Chairperson are not present at a meeting, the directors present are to appoint one of their number to preside.</p>

              <p>A majority of the directors constitutes a quorum.</p>

                <p>The person presiding at a meeting has a deliberative vote and, if necessary, also has a casting vote.</p>

                <p>An R&amp;D Corporation may, subject to this Division, regulate proceedings at its meetings as it considers appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-51__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting subsection (1), an R&amp;D Corporation may permit a director to participate in a meeting by telephone or any other means of communication.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-51__subsec-3">
              <num>3</num>
              <content>
                <p>A director who is permitted to participate in a meeting under subsection (2) is to be regarded as being present at that meeting.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-6__sec-52">

            <heading>Resolutions without meetings</heading>
            <content>
              <p>Where an R&amp;D Corporation so determines, a resolution is to be taken to have been passed at a meeting of the Corporation if:</p>
            </content>

              <p>An R&amp;D Corporation may invite a person to attend a meeting for the purpose of advising or informing it on any matter.</p>

          </section>
        </division>

          <heading>Annual general meetings</heading>
          <section eId="part-2__dvs-7__sec-56">
            <num>56</num>
            <heading>Application of Division</heading>
            <content>
              <p>This Division applies to an R&amp;D Corporation if:</p>
            </content>
            <paragraph eId="part-2__dvs-7__sec-56__para-a">
              <num>a</num>
              <content>
                <p>	(a)	there are one or more levies or charges imposed by provisions prescribed by rules made under the <i>Primary Industries Levies and Charges Disbursement Act 202</i><i>4</i><i> </i>for the purposes of paragraph 15(1)(a) of that Act in relation to the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-56__para-b">
              <num>b</num>
              <content>
                <p>the regulations declare that this Division applies to the Corporation.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-7__sec-57">
            <num>57</num>
            <heading>List of levy or charge payers</heading>
            <subsection eId="part-2__dvs-7__sec-57__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation must, in respect of each financial year, prepare a list of persons whom the Corporation knows became, during the immediately preceding financial year or the 3 months after the end of the immediately preceding financial year, liable to pay any of the levies or charges covered by paragraph 56(a).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-57__subsec-2">
              <num>2</num>
              <content>
                <p>The Corporation must complete its preparation of the list for the financial year:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-57__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>no sooner than the day on or before which applications from persons seeking to be entered on the list must be received by the Corporation, in accordance with the notice published under subsection 59(1), for the Corporation’s annual general meeting in that financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-57__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>no later than 30 days after that day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-57__subsec-3">
              <num>3</num>
              <content>
                <p>The Corporation must not include in the list for the financial year persons whose applications to be entered on the list are received by the Corporation after the day referred to in paragraph (2)(a).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-57__subsec-4">
              <num>4</num>
              <content>
                <p>The Corporation must not use such a list otherwise than for the purposes of this Division.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-57__subsec-5">
              <num>5</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>person</i></b> includes a partnership and the trustee or trustees, from time to time, of a trust estate.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-7__sec-58">
            <num>58</num>
            <heading>R&amp;D Corporation to convene annual general meetings</heading>
            <subsection eId="part-2__dvs-7__sec-58__subsec-1">
              <num>1</num>
              <content>
                <p>Where an R&amp;D Corporation is required by the representative organisation to hold an annual general meeting, the Corporation must cause the meeting to be held in each financial year at a time and place determined by the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-58__subsec-2">
              <num>2</num>
              <content>
                <p>The Corporation must ensure that a period of not more than 15 months elapses between each annual general meeting.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-7__sec-59">
            <num>59</num>
            <heading>Notice of the convening of an annual general meeting</heading>
            <subsection eId="part-2__dvs-7__sec-59__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	An R&amp;D Corporation must, not later than 70 days before the day on which an annual general meeting is to be held in a financial year, cause a notice to be published in the <i>Gazette</i>, and in a newspaper that circulates throughout Australia, specifying:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-59__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the day, time and place of the meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-59__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the day (not being earlier than 14 days after the notice is published) before which applications from persons seeking to be entered on the list referred to in <ref href="#sec-57">section 57</ref> for the financial year must be received by the Corporation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-59__subsec-2">
              <num>2</num>
              <content>
                <p>In addition to publishing a notice under subsection (1), the Corporation:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-59__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>must give copies of the notice to each of its representative organisations; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-59__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>may cause particulars of the annual general meeting to be made public in such a way as the Corporation determines at any time before the day referred to in paragraph (1)(b).</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-7__sec-60">
            <num>60</num>
            <heading>Purpose of annual general meeting</heading>
            <content>
              <p>The purpose of an R&amp;D Corporation’s annual general meeting is to provide an opportunity for those included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref>:</p>
            </content>
            <paragraph eId="part-2__dvs-7__sec-60__para-a">
              <num>a</num>
              <content>
                <p>to consider the most recent annual report of the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-b">
              <num>b</num>
              <content>
                <p>to receive an address by the Chairperson of the Corporation concerning:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-i">
              <num>i</num>
              <content>
                <p>the Corporation’s performance in the financial year to which the annual report relates; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-ii">
              <num>ii</num>
              <content>
                <p>the outlook for each designated primary industry sector in relation to the Corporation and the Corporation’s intended activities in the following financial year; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-c">
              <num>c</num>
              <content>
                <p>to question the directors about any aspect of the Corporation’s activities during the financial year to which the annual report relates and any aspect of the Corporation’s intended activities; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-d">
              <num>d</num>
              <content>
                <p>to debate, and vote upon:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-i">
              <num>i</num>
              <content>
                <p>any motion relating to a matter within the Corporation’s responsibilities other than a matter relating to the amount of any of the levies or charges covered by paragraph 56(a); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-ii">
              <num>ii</num>
              <content>
                <p>any motion moved on behalf of the Corporation to endorse a recommendation that the Corporation proposes to make to <role refersTo="#minister">the Minister</role> in relation to the amount of any of the levies or charges covered by paragraph 56(a); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-60__para-iii">
              <num>iii</num>
              <content>
                <p>any motion of no confidence in the Chairperson or in the Corporation.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-7__sec-61">
            <num>61</num>
            <heading>Regulations may provide for certain matters</heading>
            <content>
              <p>The regulations may make provision with respect to one or more of the following:</p>
            </content>
            <paragraph eId="part-2__dvs-7__sec-61__para-a">
              <num>a</num>
              <content>
                <p>notifying an R&amp;D Corporation of the terms of any motion proposed to be moved at an annual general meeting by a person included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-b">
              <num>b</num>
              <content>
                <p>notifying the persons included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-i">
              <num>i</num>
              <content>
                <p>the day, time and place of an annual general meeting of the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-ii">
              <num>ii</num>
              <content>
                <p>the terms of motions proposed to be moved in the meeting; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-iii">
              <num>iii</num>
              <content>
                <p>other matters relevant to the conducting of the meeting;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-c">
              <num>c</num>
              <content>
                <p>the appointment of persons to act as proxies of persons included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> in an annual general meeting and the participation of such proxies in the meeting;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-d">
              <num>d</num>
              <content>
                <p>the method or methods by which a motion or class of motions is to be taken to have been passed at an annual general meeting of the Corporation;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-e">
              <num>e</num>
              <content>
                <p>a method:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-i">
              <num>i</num>
              <content>
                <p>of determining the number of votes that a person included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> who is entitled to vote at an annual general meeting may cast when voting at such a meeting; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-ii">
              <num>ii</num>
              <content>
                <p>that has regard to the amount of any of the levies or charges covered by paragraph 56(a) for which the person became liable to pay during, or <quantity refersTo="#deadline">within 3 months</quantity> after the end of, the financial year immediately preceding the meeting;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-7__sec-61__para-f">
              <num>f</num>
              <content>
                <p>the adoption of a procedure relating to voting at annual general meetings that will ensure that amounts of any of the levies or charges covered by paragraph 56(a) for which a person included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> became liable to pay remains confidential.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-7__sec-62">
            <num>62</num>
            <heading>Conduct of annual general meetings</heading>
            <subsection eId="part-2__dvs-7__sec-62__subsec-1">
              <num>1</num>
              <content>
                <p>An annual general meeting of an R&amp;D Corporation may be attended by:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-62__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the directors of the Corporation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-62__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the persons included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> for the financial year in which the meeting is held; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-62__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the members of the executive of each of the Corporation’s representative organisations; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-62__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>persons invited by the Corporation to attend the meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-62__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>such employees and consultants of the Corporation as the Chairperson determines, having regard to the business of the meeting.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-62__subsec-2">
              <num>2</num>
              <content>
                <p>The Chairperson must preside at an annual general meeting at which he or she is present.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-62__subsec-3">
              <num>3</num>
              <content>
                <p>A person included in the list prepared by the Corporation under <ref href="#sec-57">section 57</ref> for the financial year in which an annual general meeting of the Corporation is held is entitled to vote upon any matter to be determined at the meeting.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-62__subsec-4">
              <num>4</num>
              <content>
                <p>The Corporation must keep a record of the proceedings of an annual general meeting.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-7__sec-63">
            <num>63</num>
            <heading>Motions of no confidence</heading>
            <subsection eId="part-2__dvs-7__sec-63__subsec-1">
              <num>1</num>
              <content>
                <p>Where a motion of no confidence in an R&amp;D Corporation or in the Chairperson is moved at an annual general meeting:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the person presiding at the meeting must cease to preside until the motion has been voted on; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>an employee of the Corporation selected by the Chairperson is to preside.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-63__subsec-2">
              <num>2</num>
              <content>
                <p>Where a motion of no confidence in the Corporation is passed at the meeting:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the office of each of the directors (other than the Executive Director) is to be taken to be vacant for the purposes of <ref href="#part-4">Part 4</ref> immediately after the meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> must:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>	(i)	within one month after the meeting, by notice published in the <i>Gazette</i>, terminate the appointment of each of the directors (other than the Executive Director) with effect from a day specified in the notice; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>under <ref href="#sec-17">section 17</ref>, appoint a different Chairperson; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>under <ref href="#sec-17">section 17</ref>, appoint persons, in accordance with <ref href="#part-4">Part 4</ref>, in the place of the nominated directors whose appointments have been so terminated.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-63__subsec-3">
              <num>3</num>
              <content>
                <p>The fact that a person’s appointment as a director has been terminated under subparagraph (2)(b)(i) does not prevent the person being re-appointed under subparagraph (2)(b)(iii).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-7__sec-63__subsec-4">
              <num>4</num>
              <content>
                <p>Where a motion of no confidence in the Chairperson is passed at the meeting, <role refersTo="#minister">the Minister</role> must:</p>
              </content>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>terminate the Chairperson’s appointment as soon as possible after the meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-7__sec-63__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p><quantity refersTo="#deadline">within 2 months</quantity> after the meeting, appoint another person as the Chairperson.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-7__sec-64">
            <num>64</num>
            <heading>Notification of motions passed</heading>
            <subsection eId="part-2__dvs-7__sec-64__subsec-1">
              <num>1</num>
              <content>
                <p>An R&amp;D Corporation must, within one month after the holding of an annual general meeting, provide to each of its representative organisations a copy of the text of all motions passed at the meeting.</p>
              </content>
            </subsection>
          </section>
        </division>

          <heading>Provisions relating to directors other than Executive Directors</heading>

                <content>
                  <p>is to be appointed with effect from the day specified in the instrument of appointment; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-66__subsec-1__para-b">

                  <p>holds office, subject to this Act, for such term (not exceeding 3 years) as is specified in the instrument of appointment, but is eligible for re-appointment in accordance with this Act.</p>

              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-66__subsec-2">
              <num>2</num>
              <content>
                <p>If a director ceases to hold office before the end of the term of appointment, another person may, in accordance with this Act, be appointed in the director’s place until the end of the term.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-8__sec-67">
            <num>67</num>
            <heading>Directors hold office on part-time basis</heading>
            <content>
              <p>Directors hold office on a part-time basis.</p>
            </content>
          </section>
          <section eId="part-2__dvs-8__sec-68">

            <heading>Remuneration and allowances of directors</heading>
            <subsection eId="part-2__dvs-8__sec-68__subsec-1">
              <num>1</num>
              <content>
                <p>A director is to be paid such remuneration as is determined by the Remuneration Tribunal, but if no determination of that remuneration by the Tribunal is in operation, is to be paid such remuneration as is prescribed.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-68__subsec-2">
              <num>2</num>
              <content>
                <p>A director is to be paid such allowances as are prescribed.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-68__subsec-3">

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act</i><i> </i><i>1973</i>.</p>

            </subsection>
          </section>

            <heading>Terms and conditions of appointment not provided for by Act</heading>
            <content>
              <p>A director holds office on such terms and conditions (if any) in relation to matters not provided for by this Act as are determined, in writing, by <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </section>
          <section eId="part-2__dvs-8__sec-70">
            <num>70</num>
            <heading>Outside employment</heading>
            <content>
              <p>A director must not engage in any paid employment that, in <role refersTo="#minister">the Minister</role>’s opinion, conflicts or may conflict with the proper performance of the director’s duties.</p>
            </content>
          </section>
          <section eId="part-2__dvs-8__sec-71">
            <num>71</num>
            <heading>Leave of absence</heading>
            <subsection eId="part-2__dvs-8__sec-71__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant leave of absence to the Chairperson on such terms and conditions as <role refersTo="#minister">the Minister</role> considers appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-71__subsec-2">
              <num>2</num>
              <content>
                <p>The Chairperson may grant leave of absence to a nominated director on such terms and conditions as the Chairperson considers appropriate.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-8__sec-72">
            <num>72</num>
            <heading>Resignation</heading>
            <subsection eId="part-2__dvs-8__sec-72__subsec-1">
              <num>1</num>
              <content>
                <p>A director may resign by written notice signed and delivered to <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-72__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect (unless the director’s appointment is sooner terminated):</p>
              </content>
              <paragraph eId="part-2__dvs-8__sec-72__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>if a date of effect is stated in the notice of resignation—at the end of that day; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-72__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>in any other case—on the day on which the notice is given.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-8__sec-73">

            <heading>Termination of appointment</heading>
            <subsection eId="part-2__dvs-8__sec-73__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of the Chairperson or a nominated director:</p>
              </content>
              <paragraph eId="part-2__dvs-8__sec-73__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for misbehaviour or physical or mental incapacity; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-73__subsec-1__para-b">
                <num>b</num>
                <content>

                <p>The Executive Director is to conduct the affairs of the Corporation.</p>

                <p>In conducting the affairs of the Corporation, the Executive Director is to act in accordance with any policies determined by, and any directives given by, the Corporation.</p>

                <p>All acts and things done in the name of, or on behalf of, the Corporation by the Executive Director are to be taken to have been done by the Corporation.</p>

                <p>A person who is a member of the executive of a representative organisation of the Corporation must not be appointed as the Executive Director.</p>

                <p>If the Executive Director becomes a member of the executive of a representative organisation of the Corporation, he or she ceases to hold office as the Executive Director.</p>

              <p>The Executive Director holds office on a full-time basis or on a part-time basis, as specified in the instrument of appointment.</p>

            <heading>Terms and conditions of appointment</heading>

              <p>The Executive Director is to be appointed on such terms and conditions, including remuneration and allowances, as are determined, in writing, by the Corporation.</p>

            <heading>Leave of absence</heading>

              <p>The Chairperson may grant leave of absence to the Executive Director on such terms and conditions, as to remuneration or otherwise, as are determined, in writing, by the Corporation.</p>

            <heading>Resignation</heading>

                <p>The resignation takes effect (unless the Executive Director’s appointment is sooner terminated):</p>

                  <p>if a date of effect is stated in the notice of resignation—at the end of that day; or</p>
                </content>
              </paragraph>

                  <p>in any other case—on the day on which the notice is given.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

                  <p>during any period, or during all periods, when the Executive Director is absent from duty or from Australia or is, for any other reason, unable to perform the duties of the office.</p>

                  <p>the appointment of a person as Executive Director; or</p>
                </content>
              </paragraph>

                  <p>the determination or application of any terms and conditions on which a person appointed as Executive Director holds office or may be granted leave; or</p>
                </content>
              </paragraph>

                  <p>the termination of the appointment of the Executive Director; or</p>
                </content>
              </paragraph>

                  <p>in the case of a person employed on a full-time basis—are more favourable than the terms and conditions as to remuneration on which the Executive Director has been appointed; or</p>

                <p>The terms and conditions of engagement are to be determined by the Corporation.</p>

            <heading>Committees</heading>

                <p>An R&amp;D Corporation may establish committees to assist it in the performance of its functions and the exercise of its powers.</p>

                <p>The Corporation may fix the number of members of a committee required to constitute a quorum at a meeting of the committee.</p>

                <p>A member of a committee established by the Corporation who is not a director is to be paid such remuneration as is determined by the Remuneration Tribunal, but if no determination of that remuneration by the Tribunal is in operation, is to be paid such remuneration as is prescribed.</p>

                  <p>if there is no Selection Committee for the R&amp;D Corporation—requesting the Presiding Member to establish the Selection Committee; and</p>

                  <p>there is no Selection Committee for the Corporation;</p>

                <p>For the purposes of nominating the other members, the Presiding Member must:</p>

                  <p>consult with each of the Corporation’s representative organisations; and</p>
                </content>
              </paragraph>

                  <p>have regard to the desirability of reflecting diversity, including a diversity of expertise, experience and gender, among the nominees.</p>

              </paragraph>
            </subsection>

              <content>
                <p>Subject to subsections (4) and (5), <role refersTo="#minister">the Minister</role> must appoint the persons nominated by the Presiding Member.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-124__subsec-4">
              <num>4</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> is not satisfied that a person nominated for appointment should be appointed, <role refersTo="#minister">the Minister</role> may reject the nomination and request another nomination.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-124__subsec-5">
              <num>5</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> is satisfied that nominations for membership of a Selection Committee, as provided for under paragraph (2)(b) or subsection (4), will not be made within a reasonable time, <role refersTo="#minister">the Minister</role> may appoint persons to be members of the Selection Committee as if they had been so nominated.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-124__subsec-6">
              <num>6</num>
              <content>
                <p>The performance of the function, and the exercise of the powers, of a Selection Committee for an R&amp;D Corporation are not affected merely because of vacancies in the Selection Committee’s membership.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-125">
            <num>125</num>
            <heading>Establishment of Selection Committees—predominantly Commonwealth funded R&amp;D Corporations</heading>
            <subsection eId="part-4__dvs-1__sec-125__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to an R&amp;D Corporation if the regulations declare the Corporation to be a predominantly Commonwealth funded R&amp;D Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-125__subsec-2">
              <num>2</num>
              <content>
                <p>If a request is made under subsection 123(1) to the Presiding Member of the Selection Committee for the R&amp;D Corporation:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>if there is no Selection Committee for the R&amp;D Corporation—the Presiding Member must establish the Selection Committee for the purpose of nominating persons for appointment to the Corporation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may appoint up to 4 persons as members of that Committee for the purposes of this paragraph; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> must inform the Presiding Member of any such appointment.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-125__subsec-3">
              <num>3</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> has not appointed 4 persons under paragraph (2)(b), <role refersTo="#minister">the Minister</role> may request the Presiding Member to nominate to <role refersTo="#minister">the Minister</role> persons for appointment to the Selection Committee.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-125__subsec-4">
              <num>4</num>
              <content>
                <p>The Selection Committee so established consists of the following members:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the Presiding Member;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>up to 4 other members, being:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>the members (if any) appointed by <role refersTo="#minister">the Minister</role> under paragraph (2)(b); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-125__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>such other members appointed by <role refersTo="#minister">the Minister</role> on the nomination of the Presiding Member.</p>
                </content>
              </paragraph>
            </subsection>

              <num>4A</num>
              <content>
                <p>For the purposes of nominating persons for appointment to the Selection Committee, the Presiding Member must:</p>

          </section>

            <num>127</num>
            <heading>Function of Selection Committees</heading>
            <content>
              <p>The function of a Selection Committee for an R&amp;D Corporation is to nominate, at the request of <role refersTo="#minister">the Minister</role>, persons to <role refersTo="#minister">the Minister</role> for appointment as nominated directors of the R&amp;D Corporation.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-128">
            <num>128</num>
            <heading>Powers of Selection Committees</heading>
            <content>
              <p>A Selection Committee has power to do all things that are necessary or convenient to be done in connection with the performance of its function.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-129">
            <num>129</num>
            <heading>When Selection Committees abolished</heading>
            <subsection eId="part-4__dvs-1__sec-129__subsec-1">
              <num>1</num>
              <content>
                <p>A Selection Committee is abolished by force of this subsection at the later of the following times:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-129__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>when the term of office of the Presiding Member in which the Selection Committee was established ends (disregarding any term for which the Presiding member is reappointed);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-129__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if, when that term ends, the Selection Committee is part way through a selection process—when that selection process is complete.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-129__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of paragraph (1)(b), a selection process is complete as soon as all appointments to which the selection process relates have been made.</p>
              </content>
            </subsection>
          </section>
        </division>

          <heading>The selection process</heading>
          <section eId="part-4__dvs-2__sec-130">
            <num>130</num>
            <heading>Nominations to be made by Selection Committees</heading>
            <subsection eId="part-4__dvs-2__sec-130__subsec-1">
              <num>1</num>
              <content>
                <p>A Selection Committee for an R&amp;D Corporation must, within the period specified by <role refersTo="#minister">the Minister</role> in a request under section 123, give to <role refersTo="#minister">the Minister</role> a written notice nominating the person or persons it considers suitable for appointment to the R&amp;D Corporation, having regard to the desirability of reflecting diversity, including a diversity of expertise, experience and gender, among the nominees.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-130__subsec-2">
              <num>2</num>
              <content>
                <p>For the purpose of enabling it to make a nomination, the Selection Committee:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>must invite nomination of persons for appointment by advertisements placed in a publication, or published on a website, that it considers appropriate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>must invite nomination of persons for appointment from the representative organisation or representative organisations of the R&amp;D Corporation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>may invite nomination of persons for appointment in any other way it considers appropriate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>must make a list of persons the Selection Committee considers suitable for nomination and the details of their expertise and experience.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-130__subsec-3">
              <num>3</num>
              <content>
                <p>A notice under subsection (1) is to include a statement:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>containing, in respect of each nominee:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>details of the nominee’s qualifications and experience; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>any other information, relating to the nominee, that the Selection Committee considers will assist <role refersTo="#minister">the Minister</role> in deciding whether or not to appoint the nominee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>specifying how, in the Selection Committee’s opinion, the nomination or nominations will best ensure that the directors of the R&amp;D Corporation concerned collectively possess:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>an appropriate balance of expertise in accordance with subsection 131(2); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>experience in board affairs; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-130__subsec-3__para-iii">
                <num>iii</num>
                <content>
                  <p>appropriate diversity.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-131">
            <num>131</num>
            <heading>Selecting persons for nomination</heading>
            <subsection eId="part-4__dvs-2__sec-131__subsec-1">
              <num>1</num>
              <content>
                <p>A Selection Committee must not nominate a person for appointment to an R&amp;D Corporation unless the person appears to the Selection Committee to be suitably qualified for appointment because of expertise in one or more of the following fields:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>commodity production;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>commodity processing;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>commodity marketing;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>conservation of natural resources;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>management of natural resources;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>science;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-g">
                <num>g</num>
                <content>
                  <p>technology and technology transfer;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-h">
                <num>h</num>
                <content>
                  <p>environmental and ecological matters;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>economics;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-j">
                <num>j</num>
                <content>
                  <p>administration of research and development;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-k">
                <num>k</num>
                <content>
                  <p>finance;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-l">
                <num>l</num>
                <content>
                  <p>business management;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-m">
                <num>m</num>
                <content>
                  <p>communication;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-1__para-n">
                <num>n</num>
                <content>
                  <p>public administration.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-131__subsec-1A">
              <num>1A</num>
              <content>
                <p>Before making a nomination for appointment to an R&amp;D Corporation, the Selection Committee must consult the Chairperson (if any) of the Corporation, on the appropriate balance of expertise and experience of directors of the Corporation that, in the Chairperson’s opinion, would best ensure the effective performance of the Corporation’s functions.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-131__subsec-2">
              <num>2</num>
              <content>
                <p>In making a nomination, the Selection Committee must choose from the available candidates the person who will best ensure that the directors of the R&amp;D Corporation concerned collectively possess:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>an appropriate balance of expertise in as many as possible of the fields referred to in subsection (1), having regard to each designated primary industry sector in relation to the Corporation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>experience in board affairs.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-131__subsec-3">
              <num>3</num>
              <content>
                <p>A person may be nominated by a Selection Committee even if, on one or more previous occasions:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>a proposal for a nomination for the person’s appointment to an R&amp;D Corporation has been rejected at a meeting of a Selection Committee; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> has rejected such a nomination.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-131__subsec-4">
              <num>4</num>
              <content>
                <p>The Selection Committee must not invite nominations under paragraphs 130(2)(a) to (c) in relation to the appointment if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the Selection Committee is satisfied that a person included on a list made within the previous 18 months under paragraph 130(2)(d) is suitable for nomination by the Selection Committee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-131__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the person has not been included on a list of persons given to <role refersTo="#minister">the Minister</role> under paragraph 132(2)(b) in relation to the appointment.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-132">
            <num>132</num>
            <heading>Selection Committee to make only one nomination</heading>
            <subsection eId="part-4__dvs-2__sec-132__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to <role refersTo="#minister">the Minister</role>.<ref href="#sec-134">section 134</ref>, the Selection Committee is to nominate only one person in respect of each appointment to be made by </p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-132__subsec-2">
              <num>2</num>
              <content>
                <p>The Selection Committee must also provide <role refersTo="#minister">the Minister</role> with:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-132__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>details of the expertise and experience of the nominees; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-132__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a list of any other persons the Selection Committee considers suitable for nomination and the details of their expertise and experience.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-133">
            <num>133</num>
            <heading>Minister may request further information</heading>
            <content>
              <p>Where <role refersTo="#minister">the Minister</role> considers the statement provided by a Selection Committee in a notice under subsection 130(3) to be inadequate, <role refersTo="#minister">the Minister</role> may give to the Presiding Member of the Selection Committee a written notice requesting the Selection Committee to provide <role refersTo="#minister">the Minister</role> with further specified information within the period specified in the notice.</p>
            </content>
          </section>
          <section eId="part-4__dvs-2__sec-134">
            <num>134</num>
            <heading>Minister may reject nomination</heading>
            <subsection eId="part-4__dvs-2__sec-134__subsec-1">
              <num>1</num>
              <content>
                <p>Where <role refersTo="#minister">the Minister</role> is not satisfied that a nominee or any other person listed by a Selection Committee is suitable for appointment to an R&amp;D Corporation, <role refersTo="#minister">the Minister</role> may give to the Presiding Member of the Selection Committee a written notice requesting another nomination within a specified period.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-134__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of this Part (other than sections 124 and 125):</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-134__subsec-2__para-a">

                  <p>such a notice is to be taken to be a notice under <ref href="#sec-123">section 123</ref>; and</p>

            <heading>Selection arrangements for proposed R&amp;D Corporations</heading>

                <p>Where:</p>

              <paragraph eId="part-4__dvs-3__sec-135__subsec-1__para-a">
                <num>a</num>

                  <p>	(a)	regulations declaring the establishment of an R&amp;D Corporation (in this section called the <b><i>proposed Corporation</i></b>) under section 8 have been made but are not yet in force; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-135__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> has declared under section 7 one or more specified organisations to be representative organisations in relation to the proposed Corporation;</p>

                  <p><role refersTo="#minister">the Minister</role> may appoint a person under section 122 to be the Presiding Member of the Selection Committee for the proposed Corporation; and</p>

                <num>d</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may appoint persons to be directors of the proposed Corporation, but such appointments are only to take effect when the regulations declaring the establishment of the proposed Corporation come into force; and</p>

              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-135__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>this Part applies in relation to appointments of nominated directors of the proposed Corporation as if the proposed Corporation were an R&amp;D Corporation.</p>

            </subsection>
            <subsection eId="part-4__dvs-3__sec-135__subsec-2">
              <num>2</num>
              <content>
                <p>The Commonwealth is liable to pay the expenses, and discharge the liabilities, incurred by a Selection Committee in connection with the performance of its function, and the exercise of its powers, in relation to the selection of directors for appointment to the proposed Corporation before the regulations declaring the establishment of the proposed Corporation as an R&amp;D Corporation come into force.</p>

                  <p>a member of the Selection Committee has a direct or indirect pecuniary interest in a matter being considered, or about to be considered, by the Committee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-138__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the interest could conflict with the proper performance of the member’s duties in relation to the matter;</p>
                </content>
                <content>
                  <p>the member must disclose the nature of the interest at a meeting of the Committee as soon as practicable after the member knows the relevant facts.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-138__subsec-3">
              <num>3</num>
              <content>
                <p>The disclosure must be recorded in the minutes of the meeting.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-138__subsec-4">
              <num>4</num>
              <content>
                <p>Unless the Committee determines otherwise, the member must not:</p>
              </content>
              <paragraph eId="part-4__dvs-4__sec-138__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>be present during any deliberation of the Committee in relation to the matter; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-138__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>take part in any decision of the Committee in relation to the matter.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-138__subsec-5">
              <num>5</num>
              <content>
                <p>A member who has a direct or indirect pecuniary interest in a matter to which a disclosure relates must not:</p>
              </content>
              <paragraph eId="part-4__dvs-4__sec-138__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>be present during any deliberation of the Committee for the purpose of making a determination under subsection (4); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-138__subsec-5__para-b">

                  <p>take part in the Committee’s making of the determination.</p>
                </content>
              </paragraph>
            </subsection>

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a member (including the Presiding Member) of a Selection Committee if the member, without reasonable excuse, contravenes subsection (2), (4) or (5).</p>

            <num>139</num>
            <heading>Employees</heading>
            <subsection eId="part-4__dvs-4__sec-139__subsec-1">
              <num>1</num>
              <content>
                <p>The Presiding Member of a Selection Committee may, on behalf of the Selection Committee, employ persons to perform administrative and clerical services in connection with the performance of its function and the exercise of its powers.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-139__subsec-2">
              <num>2</num>
              <content>
                <p>The Presiding Member of a Selection Committee for an R&amp;D Corporation must not employ a person who is an employee of the R&amp;D Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-139__subsec-4">
              <num>4</num>
              <content>
                <p>The terms and conditions of employment are to be determined by the Selection Committee.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-4__sec-140">
            <num>140</num>
            <heading>Consultants</heading>
            <subsection eId="part-4__dvs-4__sec-140__subsec-1">
              <num>1</num>
              <content>
                <p>The Presiding Member of a Selection Committee may, on behalf of the Selection Committee, engage persons having suitable qualifications and experience as consultants to the Selection Committee to assist it in identifying a suitable person or persons for nomination.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-140__subsec-2">
              <num>2</num>
              <content>
                <p>The terms and conditions of engagement are to be determined by the Selection Committee.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-4__sec-141">
            <num>141</num>
            <heading>Annual reports of Selection Committees</heading>
            <subsection eId="part-4__dvs-4__sec-141__subsec-1">
              <num>1</num>
              <content>
                <p>The Presiding Member of the Selection Committee for an R&amp;D Corporation must, as soon as practicable after 30 June in each year, prepare and give to <role refersTo="#minister">the Minister</role> a report of the operations, during the immediately preceding financial year, of the Selection Committee (if any) established by the Presiding Member or another person who was the Presiding Member of the Selection Committee for the R&amp;D Corporation.</p>
              </content>
              <content>
                <p>(1AAA)	Subsection (1) does not apply if the Selection Committee (if any) for the R&amp;D Corporation did not conduct any operations during the immediately preceding financial year.</p>
                <p>(1AA)	Without limiting subsection (1), a report for a financial year must include an assessment of the processes undertaken by the Selection Committee (if any) for the R&amp;D Corporation to identify the widest possible field of available candidates for nomination for appointment to the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-141__subsec-1A">
              <num>1A</num>
              <content>
                <p>A report for a financial year may, subject to agreement between the Presiding Member and the Chairperson of the R&amp;D Corporation concerned, be included, as a discrete part, in the Corporation’s annual report for that financial year.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-141__subsec-2">
              <num>2</num>
              <content>
                <p>If subsection (1A) does not apply to a report under this section, <role refersTo="#minister">the Minister</role> must cause a copy of the report to be laid before each House of the Parliament within 15 sitting days of that House after <role refersTo="#minister">the Minister</role> has received the report.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-141__subsec-3">
              <num>3</num>
              <content>
                <p>Where the first appointment of a Presiding Member of a Selection Committee for an R&amp;D Corporation does not commence on 1 July, subsection (1) has effect in relation to the period commencing on the day the appointment commences and ending on the next 30 June as if:</p>
              </content>
              <paragraph eId="part-4__dvs-4__sec-141__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>where the period is less than 3 months—the period were included in the next financial year; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-141__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>in any other case—the period were a financial year.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-141__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>

              <content>
                <p><b><i>R&amp;D Corporation</i></b> includes a proposed Corporation within the meaning of section 135.</p>
              </content>
            </subsection>
          </section>
        </division>
      </part>

        <heading>Miscellaneous</heading>
        <section eId="part-5__sec-143">
          <num>143</num>
          <heading>Minister may give directions</heading>
          <subsection eId="part-5__sec-143__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may give to an R&amp;D Corporation written directions as to the performance of its functions and the exercise of its powers.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-143__subsec-2">
            <num>2</num>
            <content>
              <p>Subject to subsection (3), particulars of any directions given in a financial year must be included in the annual report of the R&amp;D Corporation concerned in that year.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-143__subsec-3">
            <num>3</num>
            <content>
              <p>Subsection (2) does not apply if:</p>
            </content>
            <paragraph eId="part-5__sec-143__subsec-3__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#minister">the Minister</role>, on the recommendation of the R&amp;D Corporation concerned, determines, in writing, that compliance with the subsection would, or would be likely to, prejudice commercial activities carried on by or on behalf of the Corporation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-143__subsec-3__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> determines, in writing, that compliance with the subsection would be contrary to the public interest.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-5__sec-143A">
          <num>143A</num>
          <heading>Delegations</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> may, in writing, delegate all or any of his or her powers and functions under this Act (other than section 143) to:</p>
          </content>
          <paragraph eId="part-5__sec-143A__para-a">
            <num>a</num>
            <content>
              <p><role refersTo="#secretary">the Secretary</role>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-143A__para-b">
            <num>b</num>
            <content>
              <p>an APS employee who holds or performs the duties of an SES Band 1 position, or an equivalent or higher position, in the Department.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-5__sec-144">
          <num>144</num>
          <heading>Transfer of assets etc. on the establishment of an R&amp;D Corporation</heading>
          <subsection eId="part-5__sec-144__subsec-1">
            <num>1</num>
            <content>
              <p>Where an R&amp;D Corporation is established, <role refersTo="#minister">the Minister</role> may cause to be transferred to the Corporation any assets held by the Commonwealth that <role refersTo="#minister">the Minister</role> considers appropriate to be transferred to the Corporation for the performance of its functions and the exercise of its powers.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-144__subsec-3">
            <num>3</num>
            <content>
              <p>Where an asset held by the Commonwealth is transferred to an R&amp;D Corporation under this section, the Corporation becomes liable to pay and discharge all debts, liabilities and obligations of the Commonwealth (if any) that existed in respect of the asset immediately before the transfer.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-145">
          <num>145</num>
          <heading>Transfer of assets etc. on cessation of an R&amp;D Corporation</heading>
          <subsection eId="part-5__sec-145__subsec-1">
            <num>1</num>
            <content>
              <p>Where an R&amp;D Corporation ceases to exist as a result of the repeal of regulations made for the purposes of <ref href="#sec-8">section 8</ref>, all the assets held by the Corporation immediately before the cessation are, on the cessation, to be taken to have been transferred to the Commonwealth.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-145__subsec-2">
            <num>2</num>
            <content>
              <p>Before disposing of any of the assets so transferred, the Commonwealth must have regard to the views of each of the representative organisations concerning the disposal.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-145__subsec-4">
            <num>4</num>
            <content>
              <p>Where an asset held by an R&amp;D Corporation is transferred to the Commonwealth under this section, the Commonwealth becomes liable to pay and discharge all debts, liabilities and obligations of the Corporation (if any) that existed in respect of the asset immediately before the transfer.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-146">
          <num>146</num>
          <heading>Alteration of agreements and instruments on establishment of an R&amp;D Corporation</heading>
          <content>
            <p>Where an R&amp;D Corporation is established, <role refersTo="#minister">the Minister</role> may, by writing signed by him or her, declare that specified agreements or specified instruments:</p>
          </content>
          <paragraph eId="part-5__sec-146__para-a">
            <num>a</num>
            <content>
              <p>to which the Commonwealth or the Commonwealth Government is a party; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-146__para-b">
            <num>b</num>
            <content>
              <p>that, immediately before the establishment of the Corporation, related to research and development in connection with a designated primary industry sector in relation to the Corporation;</p>
            </content>
            <content>
              <p>have effect, after the establishment of the Corporation, as if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-146__para-c">
            <num>c</num>
            <content>
              <p>the Corporation were substituted for the Commonwealth or the Commonwealth Government, as the case may be, as a party to the agreements or instruments; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-146__para-d">
            <num>d</num>
            <content>
              <p>any reference in the agreements or instruments to the Commonwealth were (except in relation to matters that occurred before the establishment of the Corporation) a reference to the Corporation;</p>
            </content>
            <content>
              <p>and, where <role refersTo="#minister">the Minister</role> makes such a declaration, the agreements or instruments have effect accordingly.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-5__sec-147">
          <num>147</num>
          <heading>Alteration of agreements and instruments on cessation of an R&amp;D Corporation</heading>
          <content>
            <p>Where an R&amp;D Corporation ceases to exist as a result of the repeal of regulations made for the purposes of <ref href="#sec-8">section 8</ref>, all the agreements and instruments to which the Corporation was a party immediately before the cessation have effect, after the cessation, as if:</p>

            <num>a</num>

              <p>the Commonwealth were substituted for the Corporation as a party to the agreement or instrument; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-147__para-b">

              <p>any reference in the agreement or instrument to the Corporation were (except in relation to matters that occurred before the cessation) a reference to the Commonwealth.</p>

          </paragraph>

          <heading>Renaming of R&amp;D Corporations</heading>
          <content>
            <p>		The regulations may change the name of an R&amp;D Corporation, and, when such regulations come into operation, subsection 25B(1) of the <i>Acts Interpretation Act 1901 </i>applies as if the regulations were an Act.</p>

          <heading>Regulations</heading>

              <p>The Governor-General may make regulations, not inconsistent with this Act, prescribing matters:</p>

                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>

                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>

              <p>Before regulations are made for the purposes of <role refersTo="#minister">the Minister</role> must have taken into consideration any relevant recommendation made to <role refersTo="#minister">the Minister</role> by any of the organisations that, in <role refersTo="#minister">the Minister</role>’s opinion, will represent any of the designated primary industry sectors in relation to that corporation upon the establishment of that corporation.<ref href="#sec-8">section 8</ref> establishing a research and development corporation, </p>
