          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Australian Maritime Safety Authority Act 1990</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to subsection (2), this Act commences on the day on which it receives the Royal Assent.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>Sections 35, 48, 62 and 63 commence on <date date="1991-01-01">1 January 1991</date>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-2A">
          <num>2A</num>
          <heading>objects of this Act</heading>
          <content>
            <p>The main objects of this Act are:</p>
          </content>
          <paragraph eId="part-1__sec-2A__para-a">
            <num>a</num>
            <content>
              <p>to promote maritime safety; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-b">
            <num>b</num>
            <content>
              <p>to protect the marine environment from:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-i">
            <num>i</num>
            <content>
              <p>pollution from ships; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-ii">
            <num>ii</num>
            <content>
              <p>other environmental damage caused by shipping; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-ba">
            <num>ba</num>
            <content>
              <p>to provide for a national search and rescue service; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-2A__para-c">
            <num>c</num>
            <content>
              <p>to promote the efficient provision of services by <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Interpretation</heading>
          <subsection eId="part-1__sec-3__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act, unless the contrary intention appears:</p>
            </content>
            <content>
              <p><term refersTo="#term-appoint">appoint</term> includes <def>re-appoint.</def></p>
              <p><term refersTo="#term-assets">assets</term> means <def>property of any description, other than rights referred to in sections 32 and 35.</def></p>
              <p><term refersTo="#term-authority">Authority</term> means <def>the Australian Maritime Safety Authority established by this Act.</def></p>
              <p><term refersTo="#term-borrowing">borrowing</term> includes <def>raising money or obtaining credit, whether by dealing in securities or otherwise, but does not include obtaining credit in a transaction forming part of the day-to-day operations of the Authority or a subsidiary of the Authority.</def></p>
              <p><term refersTo="#term-chairperson">Chairperson</term> means <def>the Chairperson of the Authority.</def></p>
              <p><term refersTo="#term-charge">charge</term> means <def>a charge referred to in <ref href="#sec-46">section 46</ref>.</def></p>
              <p><b><i>Chicago Convention</i></b> means:</p>
            </content>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	the Convention on International Civil Aviation done at Chicago on 7 December 1944, whose English text is set out in Schedule 1 to the <i>Air Navigation Act 1920</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the Protocols amending that Convention, being the Protocols referred to in subsection 3A(2) of that Act, whose English text is set out in Schedules to that Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the Annexes to that Convention relating to international standards and recommended practices, being Annexes adopted in accordance with that Convention.</p>
              </content>
              <content>
                <p><term refersTo="#term-deputy-chairperson">Deputy Chairperson</term> means <def>the Deputy Chairperson of the Authority.</def></p>
                <p><term refersTo="#term-domestic-commercial-vessel">domestic commercial vessel</term> has the same meaning as <def>in the Marine Safety (Domestic Commercial Vessel) National Law of the Commonwealth.</def></p>
                <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
                <p><term refersTo="#term-member">member</term> means <def>a member of the Authority and includes the Chairperson and Deputy Chairperson.</def></p>
                <p><term refersTo="#term-officer">officer</term> means <def>a member of the staff of the Authority.</def></p>
                <p><term refersTo="#term-payable">payable</term> means <def>due and payable.</def></p>
                <p><term refersTo="#term-share">share</term> means <def>share in the share capital of a corporation, and includes stock.</def></p>
                <p><term refersTo="#term-the-safety-convention">the Safety Convention</term> has the same meaning as <def>Safety Convention has in <ref href="">the Navigation Act 2012</ref>.</def></p>

              <p>A reference in this Act to services provided by <role refersTo="#authority">the Authority</role> is a reference to services provided as described in subsection 10(3).</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-3__subsec-3">

            <content>
              <p>	(3)	The question whether a company is a subsidiary of the Authority is to be determined in the same way as the question whether a corporation is a subsidiary of another corporation is determined for the purposes of the <i>Companies Act 1981</i>.</p>

        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Extension to external Territories</heading>
          <content>
            <p>This Act extends to all external Territories.</p>
          </content>
        </section>

        <heading>Establishment, functions and powers of Authority</heading>
        <section eId="part-2__sec-5">
          <num>5</num>
          <heading>Establishment of Authority</heading>
          <subsection eId="part-2__sec-5__subsec-1">
            <num>1</num>
            <content>
              <p>An Authority called the Australian Maritime Safety Authority is established.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#authority">The Authority</role>:</p>
            </content>
            <paragraph eId="part-2__sec-5__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate with perpetual succession; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>has a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may sue and be sued in its corporate name.</p>
              </content>

                  <p>Note:	The <i>Public Governance, Performance and Accountability Act 2013</i> applies to the Authority. That Act deals with matters relating to corporate Commonwealth entities, including reporting and the use and management of public resources.</p>

            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-3">
            <num>3</num>
            <content>
              <p>All courts, judges and persons acting judicially must take judicial notice of the imprint of the seal of <role refersTo="#authority">the Authority</role> appearing on a document and must presume that the document was duly sealed.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-6">
          <num>6</num>
          <heading>Functions of Authority</heading>
          <subsection eId="part-2__sec-6__subsec-1">
            <num>1</num>
            <content>
              <p>The functions of <role refersTo="#authority">the Authority</role> are:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to combat pollution in the marine environment; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to provide a search and rescue service; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to provide, on request, services to the maritime industry on a commercial basis; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-ca">
              <num>ca</num>
              <content>
                <p>to provide on request services of a maritime nature, on a commercial basis, to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the Commonwealth, a State, the  or the ; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>an authority or agency of the Commonwealth, a State or either of those Territories; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-cb">
              <num>cb</num>
              <content>
                <p>	(cb)	to cooperate with the Australian Transport Safety Bureau in relation to investigations under the <i>Transport Safety Investigation Act 2003</i> that relate to aircraft and ships; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>to perform such other functions as are conferred on it by or under any other Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>to provide consultancy and management services relating to any of the matters referred to in this subsection; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>to perform any other prescribed functions relating to any of the matters referred to in this subsection; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-g">
              <num>g</num>
              <content>
                <p>to perform functions incidental to any of the previously described functions.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> may provide its services both within and outside .</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>Subject to <role refersTo="#authority">the Authority</role>.<ref href="#sec-8">section 8</ref>, the functions to provide services may be performed at the discretion of </p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-4">
            <num>4</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> must not perform any of its functions otherwise than for a purpose in respect of which the Parliament has the power to make laws.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-5">
            <num>5</num>
            <content>
              <p>The provision of a search and rescue service must be in a manner that is consistent with ’s obligations under:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the  Convention; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the Safety Convention; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>the International Convention on Maritime Search and Rescue 1979 done at  on <date date="1979-04-27">27 April 1979</date>.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Functions to be performed in accordance with international agreements</heading>
          <content>
            <p><role refersTo="#authority">The Authority</role> must perform its functions in a manner consistent with the obligations of  under any agreement between  and another country.</p>
          </content>
        </section>
        <section eId="part-2__sec-8">
          <num>8</num>
          <heading>Directions</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may give <role refersTo="#authority">the Authority</role> written directions as to the performance of its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>Directions as to the performance of functions that are conferred on <role refersTo="#authority">the Authority</role> by or under another Act are to be only of a general nature.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-9">
          <num>9</num>
          <heading>Reimbursement of cost of complying with directions</heading>
          <subsection eId="part-2__sec-9__subsec-1">
            <num>1</num>
            <content>
              <p>Where <role refersTo="#authority">the Authority</role> satisfies <role refersTo="#minister">the Minister</role> that it has suffered financial detriment as a result of complying with a direction given by <role refersTo="#minister">the Minister</role> under section 8, <role refersTo="#authority">the Authority</role> is entitled to be reimbursed by the Commonwealth the amount that <role refersTo="#minister">the Minister</role> determines in writing to be the amount of that financial detriment.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9__subsec-2">
            <num>2</num>
            <content>
              <p>The reference in subsection (1) to suffering financial detriment includes a reference to:</p>
            </content>
            <paragraph eId="part-2__sec-9__subsec-2__para-a">
              <num>a</num>
              <content>

          <heading>Minister may give Authority notices about its strategic direction etc.</heading>

              <p><role refersTo="#minister">The Minister</role> may, from time to time, by notice in writing to <role refersTo="#authority">the Authority</role>, advise <role refersTo="#authority">the Authority</role> of his or her views in relation to the following matters:</p>
            </content>

              <num>a</num>
              <content>
                <p>the appropriate strategic direction of <role refersTo="#authority">the Authority</role>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9A__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the manner in which <role refersTo="#authority">the Authority</role> should perform its functions.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-9A__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> must, in performing its functions, take account of notices given to it under subsection (1).</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9A__subsec-3">
            <num>3</num>
            <content>
              <p>The members must, in preparing each corporate plan, take account of notices given to <role refersTo="#authority">the Authority</role> under subsection (1).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-9B">
          <num>9B</num>
          <heading>Minister may direct Authority to give documents and information to nominee</heading>
          <subsection eId="part-2__sec-9B__subsec-1">
            <num>1</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>ministerial nominee</i></b> means a person whose responsibilities or duties include advising the Minister about the performance and strategies of the Authority.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9B__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may direct <role refersTo="#authority">the Authority</role> to give to a specified ministerial nominee any documents or information relating to the operations of <role refersTo="#authority">the Authority</role> that the nominee requests.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9B__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> must comply with a direction by <role refersTo="#minister">the Minister</role> under subsection (2).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-9C">
          <num>9C</num>
          <heading>Extra matters to be included in annual report</heading>
          <content>
            <p>		The annual report prepared by the members of the Authority and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include the following:<ref href="#sec-46">section 46</ref> of the </p>
          </content>
          <paragraph eId="part-2__sec-9C__para-a">
            <num>a</num>
            <content>
              <p>particulars of any directions given to <role refersTo="#authority">the Authority</role> under section 8 during the period;</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9C__para-b">
            <num>b</num>
            <content>
              <p>a summary of notices given to <role refersTo="#authority">the Authority</role> under subsection 9A(1) during the period;</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9C__para-c">
            <num>c</num>
            <content>
              <p>a summary of action taken during the period by <role refersTo="#authority">the Authority</role> because of notices given to <role refersTo="#authority">the Authority</role> under subsection 9A(1) in that or any other period;</p>

            <num>d</num>
            <content>
              <p>particulars of any directions given to <role refersTo="#authority">the Authority</role> under subsection 9B(2) during the period.</p>

          </paragraph>
        </section>
        <section eId="part-2__sec-10">
          <num>10</num>
          <heading>Powers of Authority</heading>
          <subsection eId="part-2__sec-10__subsec-1">
            <num>1</num>
            <content>
              <p>In addition to any other powers conferred on it by this or any other Act, <role refersTo="#authority">the Authority</role> has, subject to this Act, power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-10__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting the generality of subsection (1), the powers include, subject to this Act, power:</p>
            </content>
            <paragraph eId="part-2__sec-10__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>to enter into contracts; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>to acquire, hold and dispose of real and personal property; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>to join in the formation of companies; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>to enter partnerships; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>to let on hire plant, machinery, equipment or goods of <role refersTo="#authority">the Authority</role> not immediately required by <role refersTo="#authority">the Authority</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-2__para-g">
              <num>g</num>
              <content>
                <p>to do anything incidental to any of the powers specified in this subsection or otherwise conferred on <role refersTo="#authority">the Authority</role>.</p>
              </content>

            <num>3</num>
            <content>
              <p>Where <role refersTo="#authority">the Authority</role> may provide a facility or service, or discharge a function, <role refersTo="#authority">the Authority</role> may do so:</p>
            </content>
            <paragraph eId="part-2__sec-10__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>itself; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>in co-operation with another person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>by arranging for another person to do so on its behalf.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-10__subsec-4">
            <num>4</num>
            <content>
              <p>In subsection (3):</p>
            </content>
            <content>
              <p><b><i>person</i></b> includes:</p>
            </content>
            <paragraph eId="part-2__sec-10__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>a State or Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>the government or an agency of the government of a foreign country.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-11">
          <num>11</num>
          <heading>Disclosure of information</heading>
          <subsection eId="part-2__sec-11__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	This section applies to information (including personal information, within the meaning of the <i>Privacy Act 1988</i>), obtained by the Authority at any time (whether before or after the commencement of this section) and by any means, including information required to be given to the Authority by law.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-11__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> may disclose the information to any person, subject to such terms and conditions (if any) as <role refersTo="#authority">the Authority</role> specifies, for any of the following purposes:</p>
            </content>
            <paragraph eId="part-2__sec-11__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>maritime domain awareness, including maritime security;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>maritime safety;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>protection of the marine environment;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>efficiency of maritime transportation;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>the administration or enforcement of a law of the Commonwealth that relates to coastal trading.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-12">
          <num>12</num>
          <heading>Consultation</heading>
          <content>
            <p>In the performance of its functions and the exercise of its powers, <role refersTo="#authority">the Authority</role> must, where appropriate, consult with government, commercial, industrial, consumer and other relevant bodies and organisations.</p>
          </content>
        </section>

        <heading>Constitution of Authority</heading>

          <heading>Constitution of Authority</heading>
          <subsection eId="part-3__sec-13__subsec-1">

              <p><role refersTo="#authority">The Authority</role> is to consist of:</p>
            </content>
            <paragraph eId="part-3__sec-13__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a Chairperson; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a Deputy Chairperson; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the Chief Executive Officer; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-d">
              <num>d</num>

                <p>if <role refersTo="#minister">the Minister</role> specifies in writing an office in the Department for the purposes of this subsection—the person for the time being occupying that office; and</p>

              <num>e</num>
              <content>
                <p>5 other members.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-2">
            <num>2</num>
            <content>
              <p>The Chairperson may be appointed as a full-time member or as a part-time member.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-3">
            <num>3</num>
            <content>
              <p>The members (other than the Chairperson and the Chief Executive Officer) are to be appointed as part-time members.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-4">
            <num>4</num>
            <content>
              <p>The members (other than the Chief Executive Officer and the member referred to in paragraph (1)(d)) are to be appointed by <role refersTo="#minister">the Minister</role>, and hold office on such terms and conditions in respect of matters not provided for by this Act as are determined by <role refersTo="#minister">the Minister</role> in writing.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-4A">
            <num>4A</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must use his or her best endeavours to ensure that at least one of the members referred to in paragraph (1)(e) is a person who <role refersTo="#minister">the Minister</role> is satisfied has knowledge of, or experience relevant to, the construction or operation of domestic commercial vessels.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-5">
            <num>5</num>
            <content>
              <p>The performance of the functions and the exercise of the powers of <role refersTo="#authority">the Authority</role> are not affected merely because of a vacancy in the membership of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-14">
          <num>14</num>
          <heading>Period of appointment of members</heading>
          <content>
            <p>Subject to this Part, a member (other than the Chief Executive Officer and the member referred to in paragraph 13(1)(d)) holds office for the period, not exceeding 5 years, specified in the instrument of appointment, but is eligible for re-appointment.</p>
          </content>
        </section>
        <section eId="part-3__sec-15">
          <num>15</num>
          <heading>Remuneration and allowances of members</heading>
          <subsection eId="part-3__sec-15__subsec-1">
            <num>1</num>
            <content>
              <p>A member (other than the Chief Executive Officer and the member referred to in paragraph 13(1)(d)) is to be paid such remuneration as is determined by the Remuneration Tribunal but, if no determination of that remuneration by the Tribunal is in operation, is to be paid such remuneration as is prescribed.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-15__subsec-2">
            <num>2</num>
            <content>
              <p>A member is to be paid such allowances as are prescribed.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-15__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	This section has effect subject to the<i> Remuneration Tribunal Act 1973</i>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-16">
          <num>16</num>
          <heading>Outside employment</heading>
          <subsection eId="part-3__sec-16__subsec-1">
            <num>1</num>
            <content>
              <p>Where the Chairperson has been appointed as a full-time member, he or she must not engage in paid employment outside the duties of his or her office without the approval of <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-16__subsec-2">
            <num>2</num>
            <content>
              <p>A member appointed as a part-time member must not engage in any paid employment that, in the opinion of <role refersTo="#minister">the Minister</role>, conflicts with the proper performance of the duties of the member.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-17">
          <num>17</num>
          <heading>Leave of absence</heading>
          <subsection eId="part-3__sec-17__subsec-1">
            <num>1</num>
            <content>
              <p>A Chairperson appointed as a full-time member has such recreation leave entitlements as are determined by the Remuneration Tribunal.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-17__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may grant a Chairperson referred to in subsection (1) leave of absence, other than recreation leave, on such terms and conditions as to remuneration or otherwise as <role refersTo="#minister">the Minister</role> determines in writing.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-17__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may grant leave to a Chairperson appointed as a part-time member to be absent from a meeting or meetings of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-17__subsec-4">
            <num>4</num>
            <content>
              <p>The Chairperson may grant leave to another member (other than the Chief Executive Officer) to be absent from a meeting or meetings of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-18">
          <num>18</num>
          <heading>Acting appointments</heading>
          <subsection eId="part-3__sec-18__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may appoint the Deputy Chairperson or another member (other than the Chief Executive Officer) to act as the Chairperson:</p>
            </content>
            <paragraph eId="part-3__sec-18__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>during a vacancy in the office of Chairperson, whether or not an appointment has previously been made to the office; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-18__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when the Chairperson is absent from duty or from  or is, for any other reason, unable to perform the duties of the office.</p>

                <p>during any period, or during all periods, when the Deputy Chairperson is absent from duty or from  or is, for any other reason, unable to perform the duties of the office.</p>

                <p>during a vacancy in the office of the ordinary member, whether or not an appointment has previously been made to the office; or</p>

                <p>during any period, or during all periods, when an ordinary member is absent from  or is, for any other reason, unable to perform the duties of the office.</p>

          <heading>Resignation</heading>
          <content>
            <p>A member other than the Chief Executive Officer may resign by instrument in writing sent to <role refersTo="#minister">the Minister</role>.</p>
          </content>
        </section>
        <section eId="part-3__sec-21">
          <num>21</num>
          <heading>Termination of appointment</heading>
          <subsection eId="part-3__sec-21__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a member for misbehaviour or physical or mental incapacity.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-21__subsec-2">
            <num>2</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-3__sec-21__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a member becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with creditors or makes an assignment of remuneration for their benefit; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a member, being a Chairperson who has been appointed as a full-time member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>engages, except with the approval of <role refersTo="#minister">the Minister</role>, in paid employment outside the duties of his or her office; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>is absent from duty, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>a member, not being a Chairperson who has been appointed as a full-time member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>engages in paid employment that, in the opinion of <role refersTo="#minister">the Minister</role>, conflicts with the proper performance of the duties of the member; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>is absent, except on leave of absence granted under <role refersTo="#authority">the Authority</role>; or<ref href="#sec-17">section 17</ref>, from 3 consecutive meetings of </p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-e">
              <num>e</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> is of the opinion that the performance of a member has been unsatisfactory for a significant period of time;</p>
              </content>
              <content>
                <p><role refersTo="#minister">the Minister</role> may terminate the appointment of the member.</p>
              </content>

              <p>If <role refersTo="#minister">the Minister</role> is of the opinion that the performance of <role refersTo="#authority">the Authority</role> has been unsatisfactory for a significant period of time, <role refersTo="#minister">the Minister</role> may terminate the appointment of all members or specified members.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-21__subsec-3A">
            <num>3A</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> is of the opinion that:</p>
            </content>
            <paragraph eId="part-3__sec-21__subsec-3A__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#authority">the Authority</role> has failed to comply with section 9B of this Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-3A__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the members have failed to comply with <i>Public Governance, Performance and Accountability Act 2013</i>;<ref href="#sec-19">section 19</ref> of the </p>
              </content>
              <content>
                <p><role refersTo="#minister">the Minister</role> may terminate the appointment of all members or specified members.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-21__subsec-4">
            <num>4</num>
            <content>

              <p><role refersTo="#authority">The Authority</role> is to hold such meetings as are necessary for the efficient performance of its functions.</p>

          </subsection>

              <p>The Chairperson:</p>
            </content>
            <paragraph eId="part-3__sec-22__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>may convene a meeting at any time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-22__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>must convene a meeting on receipt of a written request signed by not less than 2 other members.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-22__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may convene a meeting at any time.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-22__subsec-4">

              <p>The Chairperson is to preside at all meetings at which he or she is present.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-22__subsec-5">

              <p>Where the Chairperson is not present at a meeting:</p>
            </content>
            <paragraph eId="part-3__sec-22__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the Deputy Chairperson is to preside; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-22__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>if the Deputy Chairperson is not present—the members present are to appoint one of their number to preside.</p>
              </content>
            </paragraph>
          </subsection>

              <p>At a meeting 5 members constitute a quorum.</p>
            </content>
          </subsection>

              <p>Questions arising at a meeting are to be determined by a majority of the votes of the members present and voting.</p>
            </content>
          </subsection>

              <p>The person presiding at a meeting has a deliberative vote and, if necessary, also has a casting vote.</p>
            </content>
          </subsection>
        </section>

          <heading>Conduct of meetings</heading>
          <subsection eId="part-3__sec-23__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#authority">The Authority</role> may, subject to this Part, regulate proceedings at its meetings as it considers appropriate.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-23__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), <role refersTo="#authority">the Authority</role> may permit members to participate in a particular meeting, or all meetings, by telephone, closed-circuit television or any other means of communication, and a member who so participates is to be regarded as being present at the meeting.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-23__subsec-3">
            <num>3</num>
            <content>
              <p>Without limiting subsection (1), <role refersTo="#authority">the Authority</role> may invite a person to attend a meeting for the purpose of advising or informing it on any matter.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-24">
          <num>24</num>
          <heading>Resolutions without meetings</heading>
          <subsection eId="part-3__sec-24__subsec-1">
            <num>1</num>
            <content>
              <p>Where <role refersTo="#authority">the Authority</role> so determines, a resolution is to be taken to have been passed at a meeting of <role refersTo="#authority">the Authority</role> if, without meeting, 4 or more members indicate agreement with the resolution in accordance with the method determined by <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-24__subsec-2">
            <num>2</num>
            <content>
              <p>Such a resolution is taken to have been passed on a day determined in accordance with that method.</p>
            </content>
          </subsection>
        </section>
      </part>

        <num>4</num>
        <heading>Operation of Authority</heading>
        <section eId="part-4__sec-25">
          <num>25</num>
          <heading>Corporate plan</heading>
          <subsection eId="part-4__sec-25__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	This section applies to a corporate plan prepared by the members of the Authority under <i>Public Governance, Performance and Accountability Act 2013</i>.<ref href="#sec-35">section 35</ref> of the </p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-25__subsec-2">
            <num>2</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> asks the members to give the plan to <role refersTo="#minister">the Minister</role> by a specified day, the members must give the plan to <role refersTo="#minister">the Minister</role> by that day.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-25__subsec-5">
            <num>5</num>
            <content>
              <p>The plan must include details of the following matters:</p>
            </content>
            <paragraph eId="part-4__sec-25__subsec-5__para-e">
              <num>e</num>
              <content>
                <p>analysis of risk factors likely to affect safety in the maritime industry;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-25__subsec-5__para-f">
              <num>f</num>
              <content>
                <p>human resource strategies and industrial relations strategies.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-25__subsec-6">
            <num>6</num>
            <content>
              <p>The plan must also cover any other matters required by <role refersTo="#minister">the Minister</role>, which may include further details about the matters in subsection (5).</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-25__subsec-7">
            <num>7</num>
            <content>
              <p>In preparing the plan, the members must take account of notices given under <ref href="#sec-9A">section 9A</ref>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-26">
          <num>26</num>
          <heading>Minister’s response to corporate plan</heading>
          <subsection eId="part-4__sec-26__subsec-1">
            <num>1</num>
            <content>
              <p>The Minister must respond to a corporate plan referred to in subsection 25(1) <quantity refersTo="#deadline">within 60 days</quantity> of being given the plan.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-26__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role>’s response may include a direction to the members to vary the plan.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-26__subsec-3">
            <num>3</num>
            <content>
              <p>A direction under subsection (2) must be in writing and must set out its reasons.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-26__subsec-4">
            <num>4</num>
            <content>
              <p>If directing a variation of the corporate plan, <role refersTo="#minister">the Minister</role> must consider:</p>
            </content>
            <paragraph eId="part-4__sec-26__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>the objectives and policies of the Commonwealth Government; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-26__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>the objects of this Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-26__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>any other considerations <role refersTo="#minister">the Minister</role> thinks appropriate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-26__subsec-5">
            <num>5</num>
            <content>
              <p>If the Minister’s response includes a direction to vary the corporate plan, the members must prepare a revised plan and give it to the Minister <quantity refersTo="#deadline">within 28 days</quantity> of being given the response.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-27">
          <num>27</num>
          <heading>Performance indicators</heading>
          <content>
            <p>When including details of the performance indicators for <role refersTo="#authority">the Authority</role> in the corporate plan, the members must consider:</p>
          </content>
          <paragraph eId="part-4__sec-27__para-a">
            <num>a</num>
            <content>
              <p>the need for high standards of maritime safety; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-b">
            <num>b</num>
            <content>
              <p>the need for a high standard of protection for the marine environment; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-c">
            <num>c</num>
            <content>
              <p>the objectives and policies of the Commonwealth Government known to <role refersTo="#authority">the Authority</role>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-d">
            <num>d</num>
            <content>
              <p>any directions given by <role refersTo="#minister">the Minister</role> under section 8; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-e">
            <num>e</num>
            <content>
              <p>the performance of functions of <role refersTo="#authority">the Authority</role> that are directly funded by the Commonwealth; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-f">
            <num>f</num>
            <content>
              <p>the need to maintain a reasonable level of reserves, having regard to estimated future infrastructure requirements; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-g">
            <num>g</num>
            <content>
              <p>the need to maintain the extent of the Commonwealth’s equity in <role refersTo="#authority">the Authority</role>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-27__para-k">
            <num>k</num>
            <content>
              <p>any other consideration affecting the performance of <role refersTo="#authority">the Authority</role> that the members think appropriate.</p>
            </content>
          </paragraph>
        </section>
      </part>

        <heading>Finance</heading>

          <heading>General</heading>

            <heading>Transfers of certain Commonwealth assets to Authority</heading>
            <subsection eId="part-5__dvs-1__sec-30__subsec-1">
              <num>1</num>
              <content>
                <p>Where, immediately before the commencement of this section:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-30__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a function of <role refersTo="#authority">the Authority</role> was being performed by the Department; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-30__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>an asset was held or used by the Department in connection with the performance of that function;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may, at any time, cause the asset to be transferred to <role refersTo="#authority">the Authority</role>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) does not prevent the Commonwealth from transferring any asset to <role refersTo="#authority">the Authority</role> otherwise than under that subsection.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-31">
            <num>31</num>
            <heading>Statutory transfer of land etc. to Authority</heading>
            <subsection eId="part-5__dvs-1__sec-31__subsec-1">
              <num>1</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>interest</i></b> includes any estate, right or title, whether legal or equitable.</p>
                <p><b><i>land</i></b> includes buildings and fixed structures.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	Where the Minister, by notice published in the <i>Gazette </i>for the purposes of this section:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-31__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>describes any land in which the Commonwealth holds an interest; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-31__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>describes that interest;</p>
                </content>
                <content>
                  <p>the following provisions have effect.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-3">
              <num>3</num>
              <content>
                <p>The interest is transferred to <role refersTo="#authority">the Authority</role> on the day specified in the notice, not being earlier than the day of publication of the notice.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-4">
              <num>4</num>
              <content>
                <p>Where the interest of the Commonwealth is of such a kind that it is not held from another person, the transfer has effect as a grant to <role refersTo="#authority">the authority</role> of an estate in fee simple.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-5">
              <num>5</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must cause to be lodged with <role refersTo="#registrar">the Registrar</role>-General, Registrar of Titles or other appropriate officer of the relevant State or Territory a copy of the notice, certified in writing signed by an officer of the Department authorised by <role refersTo="#minister">the Minister</role> for the purpose.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-6">
              <num>6</num>
              <content>
                <p>The officer with whom a copy is lodged may register the transfer as nearly as possible as if it were a dealing in land and may deal with and give effect to the copy as if it were a grant or conveyance duly executed under the laws in force in the relevant State or Territory.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-31__subsec-7">
              <num>7</num>
              <content>
                <p>A notice must not be published under this section after one year from the commencement of this section.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-32">
            <num>32</num>
            <heading>Effects of transfers from Commonwealth to Authority</heading>
            <subsection eId="part-5__dvs-1__sec-32__subsec-1">
              <num>1</num>
              <content>
                <p>Where any assets are transferred from the Commonwealth to <role refersTo="#authority">the Authority</role>, subsections (2) to (5) (inclusive) apply.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-32__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role>:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-32__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>must, for the purposes of subsection (3) and <role refersTo="#minister">the Minister</role> determines; and<ref href="#sec-36">section 36</ref>, determine the value of the assets as on the day of the transfer or as on such day or days prior to the transfer as </p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-32__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>may determine an amount, not exceeding that value, for the purposes of subsection (3).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-32__subsec-3">
              <num>3</num>
              <content>
                <p>If an amount is determined under paragraph (2)(b), the Commonwealth is to be taken to have made, on the day of the transfer, a loan to <role refersTo="#authority">the Authority</role> equal to that amount.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-32__subsec-4">
              <num>4</num>
              <content>
                <p>The terms and conditions of the loan as to interest and otherwise are as determined by the Finance Minister.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-32__subsec-5">
              <num>5</num>
              <content>
                <p>Where, immediately before the transfer:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-32__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>a right of the Commonwealth arising out of a debt, liability or obligation of any other person in favour of the Commonwealth existed in respect of the assets; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-32__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>a debt, liability or obligation of the Commonwealth existed in respect of the assets;</p>
                </content>
                <content>
                  <p>the right, debt, liability or obligation, as the case may be, of the Commonwealth is transferred to <role refersTo="#authority">the Authority</role> to the extent determined by <role refersTo="#minister">the Minister</role>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-32__subsec-6">
              <num>6</num>
              <content>
                <p>A determination under this section must be in writing.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-33">
            <num>33</num>
            <heading>Liabilities in respect of personnel</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> is, as soon as practicable after the commencement of this section, to determine in writing for the purposes of paragraph 36(1)(h) the total amount of the provisions to be made by <role refersTo="#authority">the Authority</role> on account of liabilities transferred from the Commonwealth in respect of personnel transferred from the Commonwealth.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-34">
            <num>34</num>
            <heading>Money paid in advance to the Commonwealth</heading>
            <content>
              <p>Where:</p>
            </content>
            <paragraph eId="part-5__dvs-1__sec-34__para-a">
              <num>a</num>
              <content>
                <p>a function of <role refersTo="#authority">the Authority</role> was formerly performed by the Department; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-34__para-b">
              <num>b</num>
              <content>
                <p>an amount received by the Commonwealth is or includes an amount paid in advance on account of anything to be done by the Commonwealth in performing that function; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-34__para-c">
              <num>c</num>
              <content>
                <p>that thing was not done by the Commonwealth before the commencement of this section;</p>
              </content>
              <content>
                <p>there is payable to <role refersTo="#authority">the Authority</role> by the Commonwealth an amount that <role refersTo="#minister">the Minister</role>, having regard to all matters that he or she considers relevant, determines in writing as being payable because of the receipt of the first-mentioned amount.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-5__dvs-1__sec-35">
            <num>35</num>
            <heading>Rights in respect of services and facilities formerly provided by Department</heading>
            <subsection eId="part-5__dvs-1__sec-35__subsec-1">
              <num>1</num>
              <content>
                <p>Where, immediately before the commencement of this section:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-35__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a function of <role refersTo="#authority">the Authority</role> was being performed by the Department; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-35__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a right of the Commonwealth existed, arising out of a debt, liability or obligation of any other person in favour of the Commonwealth in respect of a service or facility provided by the Department in the performance of that function;</p>
                </content>
                <content>
                  <p>the right of the Commonwealth is transferred to <role refersTo="#authority">the Authority</role> to the extent determined in writing by <role refersTo="#minister">the Minister</role>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p>Where, immediately before the commencement of this section:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-35__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>proceedings by the Commonwealth were pending in a court; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-35__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the proceedings related to such a debt, liability or obligation;</p>
                </content>
                <content>
                  <p>then, to the extent that the proceedings so relate, they may be continued by <role refersTo="#authority">the Authority</role> and <role refersTo="#authority">the Authority</role> is to be substituted for the Commonwealth.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-36">
            <num>36</num>
            <heading>Capital of Authority</heading>
            <subsection eId="part-5__dvs-1__sec-36__subsec-1">
              <num>1</num>
              <content>
                <p>The capital of <role refersTo="#authority">the Authority</role> is the sum of:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the value of assets that have been transferred to <role refersTo="#authority">the Authority</role> by the Commonwealth as determined under section 32; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the net realisable value of any rights transferred to <role refersTo="#authority">the Authority</role> under this Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>any amounts paid to <role refersTo="#authority">the Authority</role> out of money appropriated by the Parliament for the purpose of providing capital; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>any reserves resulting from the operations of <role refersTo="#authority">the Authority</role> (whether because of the retention of profits or otherwise) or from the revaluation of <role refersTo="#authority">the Authority</role>’s assets; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>any retained profits other than reserves; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-36__subsec-1__para-f">

                  <p>any operating results affecting the capital of <role refersTo="#authority">the Authority</role>, not being reserves or retained profits;</p>
                </content>
                <content>
                  <p>less:</p>

              </paragraph>

                <num>g</num>
                <content>
                  <p>amounts taken to be loans under <ref href="#sec-32">section 32</ref>; and</p>

              </paragraph>

                  <p>the amount determined under <ref href="#sec-33">section 33</ref>; and</p>

                  <p>any amounts of capital repaid to the Commonwealth by <role refersTo="#authority">the Authority</role>.</p>

            <subsection eId="part-5__dvs-1__sec-36__subsec-2">
              <num>2</num>
              <content>
                <p>Interest is not payable to the Commonwealth on the capital of <role refersTo="#authority">the Authority</role>, but the capital of <role refersTo="#authority">the Authority</role> is repayable to the Commonwealth at such times, and in such amounts, as <role refersTo="#minister">the Minister</role> determines in writing.</p>
              </content>
            </subsection>

            <heading>Exemption from tax</heading>
            <subsection eId="part-5__dvs-1__sec-37__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#authority">The Authority</role> is not liable to pay tax under any law of the Commonwealth or of a State or Territory.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-37__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) does not apply to:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-37__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>customs duties; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-37__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a law of the Commonwealth relating to sales tax.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-39">
            <num>39</num>
            <heading>Borrowings from Commonwealth</heading>
            <content>
              <p>The Finance Minister may, on behalf of the Commonwealth, out of money appropriated by the Parliament for the purpose, lend money to <role refersTo="#authority">the Authority</role> on such terms and conditions as he or she determines in writing.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-40">
            <num>40</num>
            <heading>Borrowings otherwise than from Commonwealth</heading>
            <subsection eId="part-5__dvs-1__sec-40__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#authority">The Authority</role> may borrow money otherwise than from the Commonwealth.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-40__subsec-2">
              <num>2</num>
              <content>
                <p>Money may be borrowed under subsection (1) wholly or partly in foreign currency.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-41">
            <num>41</num>
            <heading>Guarantee of borrowings by Authority</heading>
            <subsection eId="part-5__dvs-1__sec-41__subsec-1">
              <num>1</num>
              <content>
                <p>The Finance Minister may, on behalf of the Commonwealth, enter into a contract guaranteeing:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the performance by <role refersTo="#authority">the Authority</role> of obligations incurred by it under section 40; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the performance by a company that is a wholly owned subsidiary of <role refersTo="#authority">the Authority</role> of obligations arising out of a borrowing by the company.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-41__subsec-2">
              <num>2</num>
              <content>
                <p>If the Finance Minister determines in writing that:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>obligations incurred by <role refersTo="#authority">the Authority</role> under section 40; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>obligations arising out of a borrowing by a company that is a wholly owned subsidiary of <role refersTo="#authority">the Authority</role>;</p>
                </content>
                <content>
                  <p>are guaranteed by the Commonwealth, the obligations become so guaranteed.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-41__subsec-3">
              <num>3</num>
              <content>
                <p>A contract under subsection (1) may include:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>a provision agreeing that proceedings under the contract may be taken in courts of a foreign country; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>a provision waiving the immunity of the Commonwealth from suit in courts of a foreign country.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-41__subsec-4">
              <num>4</num>
              <content>
                <p>For the purposes of this section, a company is a wholly owned subsidiary of <role refersTo="#authority">the Authority</role> if the company is a subsidiary of <role refersTo="#authority">the Authority</role> and none of the members of the company is a person other than:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#authority">the Authority</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a nominee of <role refersTo="#authority">the Authority</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>a subsidiary of <role refersTo="#authority">the Authority</role> none of whose members is a person other than <role refersTo="#authority">the Authority</role> or a nominee of <role refersTo="#authority">the Authority</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-41__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>a nominee of a subsidiary referred to in paragraph (c).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-41__subsec-5">
              <num>5</num>
              <content>
                <p>Where the Finance Minister guarantees such a borrowing, the Finance Minister must cause to be laid before each House of Parliament, within 15 sitting days of that House after the contract is entered into or the determination made, a notice specifying the amount and term of the borrowing and such other information relating to the borrowing or the guarantee as the Finance Minister considers appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-41__subsec-6">
              <num>6</num>
              <content>
                <p>	(6)	The Finance Minister may, by written instrument, delegate any of the Finance Minister’s powers or functions under this section to an official (within the meaning of the <i>Public Governance, Performance and Accountability Act 2013</i>) of a non-corporate Commonwealth entity (within the meaning of that Act). In exercising powers or functions under a delegation, the official must comply with any directions of the Finance Minister.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-42">
            <num>42</num>
            <heading>Authority may give security</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role> may give security over the whole or part of its assets for:</p>
            </content>
            <paragraph eId="part-5__dvs-1__sec-42__para-a">
              <num>a</num>
              <content>
                <p>the performance by <role refersTo="#authority">the Authority</role> of any obligation incurred under section 39 or 40; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-42__para-b">
              <num>b</num>
              <content>
                <p>the payment to the Commonwealth of amounts equal to amounts paid by the Commonwealth under a guarantee under <ref href="#sec-41">section 41</ref>.</p>
              </content>
            </paragraph>
          </section>
        </division>

          <heading>Charges and levies</heading>
          <section eId="part-5__dvs-2__sec-46">
            <num>46</num>
            <heading>Interpretation</heading>
            <content>
              <p>In this Division:</p>
              <p><b><i>charge</i></b> means:</p>
            </content>
            <paragraph eId="part-5__dvs-2__sec-46__para-a">
              <num>a</num>
              <content>
                <p>a charge for a service or facility provided by <role refersTo="#authority">the Authority</role>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-2__sec-46__para-b">
              <num>b</num>
              <content>
                <p>a fee or other charge in respect of a matter in relation to which expenses are incurred by <role refersTo="#authority">the Authority</role> under this Act or the regulations, including, but without being limited to, a fee or other charge in respect of, or for an application for:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-2__sec-46__para-i">
              <num>i</num>
              <content>
                <p>the grant, issue, renewal or variation of a certificate, licence, approval, permission, permit, registration or exemption under an Act or regulations under an Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-2__sec-46__para-ii">
              <num>ii</num>
              <content>
                <p>the grant or variation of an authorisation, or the cancellation, suspension, variation or imposition of a condition, relating to anything referred to in subparagraph (i); or</p>

            <paragraph eId="part-5__dvs-2__sec-46__para-c">
              <num>c</num>
              <content>
                <p>a fee in respect of a matter referred to in regulations or orders made under:</p>

              </content>

            <heading>Charges for services and facilities</heading>
            <subsection eId="part-5__dvs-2__sec-47__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to this section, <role refersTo="#authority">the Authority</role> may make determinations:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>fixing charges and specifying the persons by whom, and the times when, the charges are payable; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>fixing the penalty for the purposes of subsection (14).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	This section has effect subject to <i>Competition and Consumer Act 2010</i>.<ref href="#part-VII">Part VII</ref>A of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-3">
              <num>3</num>
              <content>
                <p>Before making a determination, <role refersTo="#authority">the Authority</role> must give <role refersTo="#minister">the Minister</role> notice in writing of the proposed determination:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>specifying the day from which the determination is intended to operate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>if it fixes a charge or penalty—specifying the basis of the charge or penalty; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>if it varies a charge or penalty—specifying the reason for the variation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-4">
              <num>4</num>
              <content>
                <p>Where <role refersTo="#authority">the Authority</role> receives:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	a notice under subsection 95L(3) of the <i>Competition and Consumer Act 2010</i><i> </i>about an inquiry into the supply of services or facilities by the Authority to which the proposed determination relates; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a notice under <ref href="#sec-95Z">section 95Z</ref>J of that Act withdrawing such a notice;</p>
                </content>
                <content>
                  <p><role refersTo="#authority">the Authority</role> must inform <role refersTo="#minister">the Minister</role> in writing of the notice and its contents.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-5">
              <num>5</num>
              <content>
                <p>	(5)	Where the Authority is given, under <i>Competition and Consumer Act 2010</i>, a report of an inquiry held under that Act in relation to the supply of services or facilities by the Authority, it must give a copy of the report to the Minister.<ref href="#sec-95P">section 95P</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-6">
              <num>6</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, within the period referred to in subsection (7), give <role refersTo="#authority">the Authority</role> notice in writing approving or disapproving the proposed determination, but in doing so, <role refersTo="#minister">the Minister</role> must have regard to the duties and responsibilities of <role refersTo="#authority">the Authority</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-7">
              <num>7</num>
              <content>
                <p>The period within which <role refersTo="#minister">the Minister</role> may give a notice is:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	if the Authority has received a notice under subsection 95L(3) of the <i>Competition and Consumer Act 2010</i><i> </i>about an inquiry into the supply of services or facilities by the Authority to which the proposed determination relates—within 30 days after the Minister receives from the Authority:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-7__para-i">
                <num>i</num>
                <content>
                  <p>a notice under subsection (4) that <role refersTo="#authority">the Authority</role> has received a notice under section 95ZJ of that Act; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-7__para-ii">
                <num>ii</num>
                <content>
                  <p>a copy of the report given to <role refersTo="#authority">the Authority</role> under section 95P of that Act in relation to the supply of services or facilities concerned; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>in any other case—<quantity refersTo="#deadline">within 60 days</quantity> after the Minister receives a notice of the proposed determination.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-8">
              <num>8</num>
              <content>
                <p>A notice under subsection (6) disapproving a proposed determination may recommend an alternative determination.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-9">
              <num>9</num>
              <content>
                <p><role refersTo="#authority">The Authority</role> may make a determination only if:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-9__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> has approved it; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-47__subsec-9__para-b">
                <num>b</num>
                <content>
                  <p>the period within which <role refersTo="#minister">the Minister</role> may give a notice to <role refersTo="#authority">the Authority</role> under subsection (6) has expired without <role refersTo="#minister">the Minister</role> having given such a notice.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-10">
              <num>10</num>
              <content>
                <p>	(10)	Where the Minister receives from the Authority a copy of a report under <i>Competition and Consumer Act 2010</i><i> </i>in relation to the supply of services or facilities to which the proposed determination relates, the Minister may, in the notice under subsection (6), disapprove the proposed determination and substitute a fresh determination.<ref href="#sec-95P">section 95P</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-11">
              <num>11</num>
              <content>
                <p>A determination so substituted has effect as if it had been made by <role refersTo="#authority">the Authority</role> in accordance with subsection (9).</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-12">
              <num>12</num>
              <content>
                <p>The amount or rate of a charge must be reasonably related to the expenses incurred or to be incurred by <role refersTo="#authority">the Authority</role> in relation to the matters to which the charge relates and must not be such as to amount to taxation.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-13">
              <num>13</num>
              <content>
                <p>A determination is to be made public in such manner as <role refersTo="#authority">the Authority</role> thinks appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-14">
              <num>14</num>
              <content>
                <p>Subject to subsection (15), where a charge is not paid within the period determined by <role refersTo="#authority">the Authority</role>, being a period beginning on the day on which the charge became due and payable, the person liable for the charge is liable to pay to <role refersTo="#authority">the Authority</role>, in addition to the charge, a penalty calculated upon the unpaid amount of the charge from the day on which the charge became due and payable, and compounded.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-15">
              <num>15</num>
              <content>
                <p>The penalty must not exceed a penalty equivalent to 1.5%, or such other percentage as is prescribed, of the unpaid amount of the charge for each month or part of a month during which it is unpaid, calculated from the day on which the charge became due and payable, and compounded.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-16">
              <num>16</num>
              <content>
                <p>Subsection (15) does not require the penalty to be calculated on a monthly basis.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-47__subsec-17">
              <num>17</num>
              <content>
                <p>Charges and penalties may be recovered as debts due to <role refersTo="#authority">the Authority</role>.</p>
              </content>
            </subsection>
          </section>

            <heading>Payment of amounts of levy to Authority</heading>
            <subsection eId="part-5__dvs-2__sec-48__subsec-1">
              <num>1</num>
              <content>
                <p>There are to be paid to <role refersTo="#authority">the Authority</role> amounts equal to:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>amounts of levy received, or purportedly received, by the Commonwealth under:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>	(i)	the <i>Marine Navigation Levy Act 1989</i>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	the <i>Marine Navigation (Regulatory Functions) Levy Act 1991</i>; and</p>
                </content>
              </paragraph>

          <heading>Chief Executive Officer not to engage in other work</heading>
          <content>
            <p>The Chief Executive Officer must not engage in paid employment outside the duties of his or her office without the approval of <role refersTo="#authority">the Authority</role>.</p>

          <num>51</num>
          <heading>Remuneration and allowances of Chief Executive Officer</heading>
          <subsection eId="part-6__sec-51__subsec-1">
            <num>1</num>
            <content>
              <p>The Chief Executive Officer is to be paid the remuneration that is determined by the Remuneration Tribunal. However, if no determination of that remuneration by the Tribunal is in operation, the Chief Executive Officer is to be paid the remuneration that is prescribed by the regulations.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-51__subsec-2">
            <num>2</num>
            <content>
              <p>The Chief Executive Officer is to be paid the allowances that are prescribed by the regulations.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-51__subsec-3">

              <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

          </subsection>
        </section>

          <heading>Leave of absence</heading>

            <num>1</num>
            <content>
              <p>The Chief Executive Officer has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>

          </subsection>
          <subsection eId="part-6__sec-51A__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may grant the Chief Executive Officer leave of absence, other than recreation leave, on such terms and conditions as to remuneration or otherwise as <role refersTo="#minister">the Minister</role> determines.</p>

          </subsection>
        </section>
        <section eId="part-6__sec-52">
          <num>52</num>
          <heading>Resignation</heading>
          <content>
            <p>The Chief Executive Officer may resign by instrument in writing sent to <role refersTo="#minister">the Minister</role>.</p>
          </content>
        </section>
        <section eId="part-6__sec-53">
          <num>53</num>
          <heading>Term of office</heading>
          <content>
            <p>The Chief Executive Officer holds office during <role refersTo="#authority">the Authority</role>’s pleasure.</p>
          </content>
        </section>
        <section eId="part-6__sec-54">
          <num>54</num>
          <heading>Acting Chief Executive Officer</heading>
          <subsection eId="part-6__sec-54__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, after receiving a recommendation from <role refersTo="#authority">the Authority</role>, appoint a person to act as Chief Executive Officer:</p>
            </content>
            <paragraph eId="part-6__sec-54__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>during a vacancy in the office of Chief Executive Officer, whether or not an appointment has previously been made to the office; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-54__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when the Chief Executive Officer is absent from duty or from Australia or is, for any other reason, unable to perform the duties of the office.</p>

              <p>A member of the staff who is acting as Chief Executive Officer is to continue to be paid the remuneration and allowances payable to the person as such a member but is also to be paid:</p>

              <num>a</num>
              <content>
                <p>so much of any remuneration payable to the Chief Executive Officer as exceeds the person’s usual remuneration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-54__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>so much of any allowance payable to the Chief Executive Officer as exceeds the corresponding allowance payable to the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-54__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>if an allowance is payable to the Chief Executive Officer but is not payable to the person—that allowance.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-6__sec-55">
          <num>55</num>
          <heading>Staff of Authority</heading>
          <content>
            <p>The staff of <role refersTo="#authority">the Authority</role> are to be persons appointed or employed by <role refersTo="#authority">the Authority</role> on such terms and conditions as are determined by <role refersTo="#authority">the Authority</role> in writing.</p>

        </section>

          <num>56</num>
          <heading>Consultants</heading>
          <content>
            <p><role refersTo="#authority">The Authority</role> may engage such consultants as it thinks necessary.</p>

        <heading>Miscellaneous</heading>
        <section eId="part-7__sec-57">
          <num>57</num>
          <heading>Delegation by Minister</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> may, by signed instrument, delegate all or any of the powers of <role refersTo="#minister">the Minister</role> under section 30, 31, 34, 48 or 59 to:</p>
          </content>
          <paragraph eId="part-7__sec-57__para-a">
            <num>a</num>
            <content>
              <p>the person holding or performing the duties of the office of Secretary of the Department; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-57__para-b">

              <p>an SES employee, or acting SES employee, in the Department.</p>
            </content>
          </paragraph>
        </section>

              <p>Subject to subsection (2), <role refersTo="#authority">the Authority</role> may, by written instrument, delegate to a person all or any of its powers under this or any other Act.</p>

              <p>The powers of <role refersTo="#authority">the Authority</role> under subsection 40(1), section 42, subsection 47(1) and section 56, may be delegated only to a member or officer of <role refersTo="#authority">the Authority</role>.</p>

        </section>

          <num>59</num>
          <heading>Substitution of Authority for Commonwealth in contracts etc.</heading>
          <content>
            <p>If <role refersTo="#minister">the Minister</role> so declares in writing, a specified contract or other instrument:</p>
          </content>
          <paragraph eId="part-7__sec-59__para-a">
            <num>a</num>
            <content>
              <p>to which the Commonwealth or the Commonwealth Government is a party; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-59__para-b">
            <num>b</num>
            <content>
              <p>that related to an asset immediately before the transfer of that asset under this Act;</p>
            </content>
            <content>
              <p>has effect after the transfer as if, to the extent to which the contract or instrument so relates:</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-59__para-c">
            <num>c</num>
            <content>
              <p><role refersTo="#authority">the Authority</role> were substituted for the Commonwealth or the Commonwealth Government as a party; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-59__para-d">
            <num>d</num>
            <content>
              <p>any reference to the Commonwealth or the Commonwealth Government were, in relation to matters occurring after the transfer, a reference to <role refersTo="#authority">the Authority</role>.</p>

          <heading>Publication of directions</heading>
          <content>
            <p>		Where the Minister gives a direction under <i>Gazette </i>within 21 days after it is given.<ref href="#sec-8">section 8</ref>, the Minister must cause a copy of the direction to be published in the </p>

          <heading>Regulations</heading>
          <content>
            <p>The Governor-General may make regulations, not inconsistent with this Act:</p>

              <p>prescribing matters required or permitted by this Act to be prescribed; and</p>
            </content>
          </paragraph>

              <p>prescribing matters necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
