          <content>
            <p>		This Act may be cited as the <i>National Health and Medical Research Council Act 1992</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to subsection (2), the provisions of this Act commence on a day or days to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>If a provision of this Act does not commence under subsection (1) within the period of 6 months commencing on the day on which this Act receives the Royal Assent, it commences on the first day after the end of that period.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Object of the Act etc.</heading>
          <subsection eId="part-1__sec-3__subsec-1">
            <num>1</num>
            <content>
              <p>The object of this Act is to make provision for a national body to pursue activities designed:</p>
            </content>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to raise the standard of individual and public health throughout Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to foster the development of consistent health standards between the various States and Territories; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to foster medical research and training and public health research and training throughout Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>to foster consideration of ethical issues relating to health.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-3__subsec-2">
            <num>2</num>
            <content>
              <p>It is the intention of the Parliament that, to the extent that it is practicable to do so, the NHMRC should adopt a policy of public consultation in relation to individual and public health matters being considered by it from time to time.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Interpretation</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><term refersTo="#term-account">Account</term> means <def>the Medical Research Endowment Account continued in existence by <ref href="#sec-49">section 49</ref>.</def></p>
            <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the NHMRC referred to in <ref href="#sec-6">section 6</ref>.</def></p>
            <p><b><i>chief officer</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>in relation to a Commonwealth authority—the person having principal responsibility for the administration of <role refersTo="#authority">the authority</role>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>in relation to a State or Territory Department or authority—the person having principal responsibility for the administration of the Department or authority.</p>
            </content>
            <content>
              <p><term refersTo="#term-commissioner">Commissioner</term> means <def>the Commissioner of Complaints referred to in <ref href="#sec-55">section 55</ref> and includes a person appointed under <ref href="#sec-76">section 76</ref> to act as the Commissioner of Complaints in relation to a particular complaint.</def></p>
              <p><term refersTo="#term-committee">committee</term> means <def>a Principal Committee or a working committee.</def></p>
              <p><term refersTo="#term-commonwealth-authority">Commonwealth authority</term> means <def>a body, whether incorporated or not, established by, or by or under a law of, the Commonwealth.</def></p>
              <p><term refersTo="#term-commonwealth-department">Commonwealth Department</term> means <def>a Department of State of the Commonwealth.</def></p>
              <p><term refersTo="#term-council">Council</term> means <def>the Council of the NHMRC referred to in <ref href="#sec-20">section 20</ref>.</def></p>
              <p><term refersTo="#term-court">court</term> includes <def>a tribunal, authority or person having power to require a person to produce documents or answer questions.</def></p>
              <p><term refersTo="#term-embryo-research-licensing-committee-of-the-nhmrc">Embryo Research Licensing Committee of the NHMRC</term> means <def>the Embryo Research Licensing Committee of the NHMRC established by <ref href="#sec-13">section 13</ref> of <ref href="">the Research Involving Human Embryos Act 2002</ref>.</def></p>
              <p><term refersTo="#term-human-research-guidelines">human research guidelines</term> means <def>guidelines for the conduct of medical research involving humans.</def></p>
              <p><term refersTo="#term-information-provider">information provider</term> has the meaning given by <def>subsection 80(1).</def></p>
              <p><term refersTo="#term-interest">interest</term> means <def>any direct or indirect, pecuniary or non-pecuniary interest.</def></p>
              <p><term refersTo="#term-interim-guidelines">interim guidelines</term> means <def>guidelines issued by the CEO under paragraph 7(1)(a) in the circumstances referred to in subsection 14(1), (3) or (5).</def></p>
              <p><term refersTo="#term-interim-human-research-guidelines">interim human research guidelines</term> means <def>human research guidelines issued by the CEO under paragraph 7(1)(a) in the circumstances referred to in subsection 14(1) or (5).</def></p>
              <p><term refersTo="#term-interim-regulatory-recommendation">interim regulatory recommendation</term> means <def>a regulatory recommendation made in the circumstances referred to in subsection 14(1) or (3).</def></p>
              <p><term refersTo="#term-medical-research">medical research</term> includes <def>the laboratory-based or clinical study, or group or community-based study of the causes, treatment and prevention of human diseases and also includes dental research.</def></p>
              <p><b><i>member</i></b>:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>of the Council—includes the Chair of the Council; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>of a committee—includes the Chair of that committee.</p>
            </content>
            <content>
              <p><term refersTo="#term-nhmrc">NHMRC</term> means <def>the National Health and Medical Research Council.</def></p>
              <p><term refersTo="#term-nhmrc-officer">NHMRC officer</term> has the meaning given by <def>subsection 80(1).</def></p>
              <p><term refersTo="#term-principal-committee">Principal Committee</term> means <def>a committee established, or taken to be established, by the Minister under <ref href="#sec-35">section 35</ref>.</def></p>
              <p><term refersTo="#term-public-health-research">public health research</term> includes <def>the study of the health of a community or population for purposes directed at improving or protecting the health of that community or population.</def></p>
              <p><term refersTo="#term-regulatory-recommendation">regulatory recommendation</term> means <def>a recommendation of the CEO that is intended to be given legal effect in a State by legislation of that State.</def></p>
              <p><b><i>reviewable action</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>action taken by the CEO or any delegate of the CEO in the performance of the CEO’s function under paragraph 7(1)(c) in relation to an application for funding made on or after <date date="1993-06-24">24 June 1993</date>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>action taken by the Research Committee in the performance of its function under paragraph 35(2)(a) in relation to an application for funding made on or after <date date="1993-06-24">24 June 1993</date>;</p>
            </content>
            <content>
              <p><term refersTo="#term-and">and</term> includes <def>any unreasonable delay by the CEO or Committee in relation to his, her or its consideration of such an application or any failure or refusal of the CEO or Committee to consider such an application.</def></p>

                <p>the NHMRC is a listed entity; and</p>

          <heading>Reference of matters to the CEO, Council and Principal Committees by the Minister</heading>

              <p><role refersTo="#minister">The Minister</role> may refer to <role refersTo="#ceo">the CEO</role>, the Council or a Principal Committee (other than the Embryo Research Licensing Committee of the NHMRC) any matter within the scope of <role refersTo="#ceo">the CEO</role>, Council or Committee’s functions.</p>

              <p><role refersTo="#minister">The Minister</role> may, by writing, direct <role refersTo="#ceo">the CEO</role>, the Council or a Principal Committee (other than the Embryo Research Licensing Committee of the NHMRC) as to the performance of <role refersTo="#ceo">the CEO</role>, Council or Committee’s functions or the exercise of <role refersTo="#ceo">the CEO</role>, Council or Committee’s powers.</p>

            <heading>Consultation about regulatory recommendations</heading>

                <p>Before the Council provides a regulatory recommendation to <role refersTo="#ceo">the CEO</role> for the purposes of subsection 9(1), the Council must consult persons or bodies in accordance with the steps set out in this section.</p>

                  <p>stating its intention to provide the regulatory recommendation to <role refersTo="#ceo">the CEO</role>; and</p>

                <content>
                  <p>inviting persons or bodies to make submissions relating to the proposed recommendation in accordance with the procedures, and within the period, specified in the notice; and</p>

                <num>c</num>
                <content>
                  <p>including the information prescribed by the regulations.</p>
                </content>
              </paragraph>
            </subsection>

                <p>As soon as practicable after the end of the period specified under paragraph (2)(b), the Council must, having regard to any submissions received pursuant to the invitation referred to in that paragraph:</p>

                  <p>prepare a draft of the regulatory recommendation the Council proposes to provide to <role refersTo="#ceo">the CEO</role> and publish a notice on the NHMRC’s website:</p>

                  <p>stating where copies of the draft recommendation can be obtained; and</p>
                </content>
              </paragraph>

                  <p>inviting persons or bodies to make submissions relating to the draft recommendation in accordance with the procedures, and within the period, specified in the notice; and</p>

                  <p>including the information prescribed by the regulations; or</p>

                <p>the Council provides guidelines (other than human research guidelines) to <role refersTo="#ceo">the CEO</role> for the purposes of subsection 9(1); or</p>

                <p>the Australian Health Ethics Committee provides human research guidelines to the Council for the purposes of subsection 10(2);</p>

              <content>
                <p>prepare a draft of the guidelines; and</p>
              </content>

                <p>publish a notice on the NHMRC’s website:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-13__para-i">

                <p>containing a summary of the draft guidelines; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-13__para-ii">
              <num>ii</num>
              <content>
                <p>stating where copies of the draft guidelines can be obtained; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-13__para-iii">
              <num>iii</num>

                <p>inviting persons or bodies to make submissions relating to the draft guidelines in accordance with the procedures, and within the period, specified in the notice; and</p>

                <p>including the information prescribed by the regulations; and</p>

                  <p>would ordinarily be the subject of a regulatory recommendation made, or guidelines issued, as provided to <role refersTo="#ceo">the CEO</role> under subsection 9(1); and</p>

                  <p>must, in the opinion of <role refersTo="#ceo">the CEO</role>, for any reason, be dealt with urgently;</p>

            </subsection>

                <p><quantity refersTo="#deadline">Within 30 days</quantity> after the CEO makes an interim regulatory recommendation or issues interim guidelines in accordance with subsection (1), the CEO must publish a notice on the NHMRC’s website:</p>

                <p>If a matter:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-3__para-a">

                  <p>would ordinarily be the subject of a regulatory recommendation, or guidelines (other than human research guidelines), provided to <role refersTo="#ceo">the CEO</role> under subsection 9(1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>must, in the opinion of the Council, for any reason, be dealt with urgently;</p>
                </content>

                  <p>the Council may provide a regulatory recommendation or guidelines to <role refersTo="#ceo">the CEO</role> without first undertaking one or more of the steps set out in section 12 or 13.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-14__subsec-4">
              <num>4</num>
              <content>
                <p><quantity refersTo="#deadline">Within 30 days</quantity> after the CEO makes an interim regulatory recommendation, or issues interim guidelines, provided to him or her in accordance with subsection (3), the Council must publish a notice on the NHMRC’s website:</p>

                  <p>setting out its reasons for providing the recommendation or guidelines to <role refersTo="#ceo">the CEO</role>; and</p>

                  <p>setting out:</p>
                </content>

            </subsection>

              <num>5</num>

                <p>If a matter:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>would ordinarily be the subject of human research guidelines provided to the Council under subsection 10(2); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>must, in the opinion of the Australian Health Ethics Committee, for any reason, be dealt with urgently;</p>
                </content>
                <content>
                  <p>the Committee may provide guidelines to the Council without first undertaking one or more of the steps set out in <ref href="#sec-13">section 13</ref>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-14__subsec-6">
              <num>6</num>
              <content>
                <p><quantity refersTo="#deadline">Within 30 days</quantity> after the CEO issues interim guidelines provided to the Council in accordance with subsection (5), the Australian Health Ethics Committee must publish a notice on the NHMRC’s website:</p>
              </content>

                <num>a</num>
                <content>
                  <p>setting out its reasons for providing the guidelines to the Council; and</p>
                </content>
              </paragraph>

                  <p>setting out the guidelines; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-6__para-c">

                  <p>inviting persons or bodies to make submissions to the Committee relating to the guidelines in accordance with the procedures, and within the period, specified in the notice; and</p>

                  <p>including the information prescribed by the regulations.</p>
                </content>
                <content>
                  <p>Council must advise CEO to confirm, vary or revoke interim regulatory recommendations or guidelines</p>

              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-14__subsec-7">
              <num>7</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> makes an interim regulatory recommendation or issues interim guidelines:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>in the case of human research guidelines—the Australian Health Ethics Committee must:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-i">
                <num>i</num>
                <content>
                  <p>as soon as practicable after, but not later than 30 days after, the end of the period specified in the relevant notice under subsection (2) or (6); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-ii">
                <num>ii</num>
                <content>
                  <p>having regard to any submissions received;</p>
                </content>
                <content>
                  <p>advise the Council to advise <role refersTo="#ceo">the CEO</role> to confirm, vary or revoke the guidelines; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>otherwise—the Council must:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-i">
                <num>i</num>
                <content>
                  <p>as soon as practicable after, but not later than 30 days after, the end of the period specified in the relevant notice under subsection (2) or (4); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-14__subsec-7__para-ii">
                <num>ii</num>
                <content>
                  <p>having regard to any submissions received;</p>
                </content>
                <content>
                  <p>advise <role refersTo="#ceo">the CEO</role> to confirm, vary or revoke the recommendation or guidelines.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-14__subsec-8">
              <num>8</num>
              <content>
                <p>The Council may only advise <role refersTo="#ceo">the CEO</role> to confirm, vary or revoke interim human research guidelines in accordance with the Committee’s advice under paragraph (7)(a). However, the Council is not obliged to provide particular advice to <role refersTo="#ceo">the CEO</role> merely because it has been advised to do so by the Committee in accordance with this section.</p>
              </content>
              <content>
                <p>Interim regulatory recommendations and guidelines automatically revoked after 45 days</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-14__subsec-9">
              <num>9</num>
              <content>
                <p>If the CEO fails, <quantity refersTo="#deadline">within 45 days</quantity> after the end of the period specified in the relevant notice under subsection (2), (4) or (6), to confirm, vary or revoke an interim regulatory recommendation or interim guidelines in accordance with the Council’s advice (if any) under paragraph (7)(b) or subsection (8), the CEO is to be treated as having revoked the recommendation or guidelines.</p>

            </subsection>

            <num>14AA</num>
            <heading>Consultation requirements do not apply to revoking guidelines</heading>

                <p>The Australian Health Ethics Committee may, without undertaking consultation, advise the Council to advise <role refersTo="#ceo">the CEO</role> to revoke human research guidelines.</p>

                  <p>prepared a draft of the guidelines that the person or body proposed to submit to <role refersTo="#ceo">the CEO</role>; and</p>

                <content>
                  <p>published a notice, in a manner and form acceptable to the Council:</p>

                  <p>containing a summary of the draft guidelines; and</p>
                </content>
              </paragraph>

                  <p>the Australian Health Ethics Committee is satisfied that proposed human research guidelines referred to in paragraph 13(b) raise issues that are of minor significance only;</p>

                  <p>the Council or Committee may dispense with the requirement for all or any of the steps set out in <ref href="#sec-12">section 12</ref> or 13 or subsection 14A(2), as the case requires.</p>

            <heading>Variation of corporate plan</heading>

                <p>During the period for which a corporate plan is in force, <role refersTo="#minister">the Minister</role> may request <role refersTo="#ceo">the CEO</role> to give him or her a variation of the plan.</p>

              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may, from time to time during the period in respect of which a corporate plan is in force, consider whether a variation of the plan is necessary.</p>

                <p><role refersTo="#ceo">The CEO</role> may do so on his or her own initiative or as a result of <role refersTo="#minister">the Minister</role> requesting <role refersTo="#ceo">the CEO</role> to give him or her a variation of the plan.</p>
              </content>

              <num>2</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> considers that the plan should be varied, <role refersTo="#ceo">the CEO</role> may prepare a written variation of the plan and give it to <role refersTo="#minister">the Minister</role>.</p>

              <num>3</num>

                <p>Before preparing a variation of a corporate plan, <role refersTo="#ceo">the CEO</role> must consult with <role refersTo="#minister">the Minister</role> and the Council on the matters proposed for inclusion in the variation.</p>

              <num>3A</num>
              <content>
                <p>After receiving a variation of a corporate plan, <role refersTo="#minister">the Minister</role> must either:</p>

                <num>a</num>
                <content>
                  <p>approve the variation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-3A__para-b">

                  <p>refuse to approve the variation.</p>
                </content>
              </paragraph>
            </subsection>

                <p>If <role refersTo="#minister">the Minister</role> approves the variation of the corporate plan:</p>

                  <p><role refersTo="#ceo">the CEO</role> must forthwith vary the plan accordingly; and</p>
                </content>

                  <p>the variation must be laid before each House of the Parliament within 15 sitting days of that House after its approval by <role refersTo="#minister">the Minister</role>; and</p>

                <p>during any period, or during all periods, when the holder of the office is absent from duty or from Australia, or is, for any reason, unable to perform the duties of the office.</p>

                <p>a person who holds or performs the duties of an office or position established by or under a law of the Commonwealth, a State or a Territory on a full-time basis;</p>

              <p><role refersTo="#minister">The Minister</role> may grant <role refersTo="#ceo">the CEO</role> or <role refersTo="#commissioner">the Commissioner</role> leave of absence on such terms and conditions as <role refersTo="#minister">the Minister</role> determines.</p>

          <subsection eId="part-5__sec-44__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may grant:</p>
            </content>

                <p>a member of the Council; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-44__subsec-2__para-b">

                <p>leave of absence on such terms and conditions as <role refersTo="#ceo">the CEO</role> determines.</p>

        </section>

          <heading>Resignations</heading>

            <p>A person appointed under subsection 41(1) or (2) may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> or CEO (whoever made the appointment) a written resignation.</p>

          <heading>Terminations of appointments</heading>
          <subsection eId="part-5__sec-44B__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies to an appointment under subsection 41(1) or (2).</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-44B__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> or CEO (whoever made the appointment) may terminate the appointment for misbehaviour or for physical or mental incapacity.</p>

          </subsection>
          <subsection eId="part-5__sec-44B__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> or CEO (whoever made the appointment) must terminate the appointment if the holder of the office:</p>
            </content>

              <num>a</num>
              <content>
                <p>becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with his or her creditors or makes an assignment of his or her remuneration for their benefit; or</p>

            <paragraph eId="part-5__sec-44B__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>fails, without reasonable excuse, to comply with an obligation to disclose an interest under any of the following (as the case requires):</p>

                <p>informing the holder of the office of the termination of the appointment; and</p>

        <heading>Staff, consultants and work arrangements</heading>

              <p>	(1)	The staff of the NHMRC are to be persons engaged under the <i>Public Service Act 1999</i>.</p>

              <p>	(2)	For the purposes of the <i>Public Service Act 1999</i>:</p>
            </content>

          <heading>CEO may make arrangements relating to various matters</heading>
          <subsection eId="part-6__sec-48__subsec-1">

              <p><role refersTo="#ceo">The CEO</role> may make arrangements with the chief officer of a State or Territory Department or authority for:</p>
            </content>
            <paragraph eId="part-6__sec-48__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the services of officers or employees of that Department or authority to be made available to the NHMRC; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-48__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>both:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-48__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>officers or employees of that Department or authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-48__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role>, the members of the Council, the members of a committee or the staff of the NHMRC;</p>
              </content>
              <content>
                <p>to co-operate in the performance of their functions; or</p>
              </content>
            </paragraph>

                <p>the resources of that Department or authority to be made available to be used by <role refersTo="#ceo">the CEO</role>, the Council, a committee or the staff of the NHMRC.</p>

                <p>to provide assistance:</p>

                <p>to the Departments of the Commonwealth or of a State or Territory that are engaged in medical research; and</p>
              </content>
            </paragraph>

                <p>to universities for the purpose of medical research; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-51__subsec-1__para-iii">

                <p>to institutions and persons engaged in medical research; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-51__subsec-1__para-iv">
              <num>iv</num>

                <p>in the training of persons in medical research; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-51__subsec-1__para-b">
              <num>b</num>

                <p>any other purpose that is prescribed for the purpose of this section.</p>

              <p>Assistance under subsection (1) is to be provided in such cases and subject to such conditions as <role refersTo="#minister">the Minister</role>, acting on the advice of <role refersTo="#ceo">the CEO</role>, determines.</p>

            <num>3</num>
            <content>
              <p>Without limiting the generality of the conditions to which a grant of assistance can be made under subparagraphs (1)(a)(i), (ii) or (iii), such assistance must not be provided unless the recipient agrees to comply with guidelines in force under subparagraph 7(1)(a)(v) that relate to the conduct of medical research involving humans.</p>

          </subsection>
        </section>

          <heading>Application of gifts or bequests</heading>
          <subsection eId="part-7__sec-52__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	Despite anything in this Act (other than subsection (2) of this section) or in the <i>Public Governance, Performance and Accountability Act 2013</i> (other than section 58 of that Act which deals with investment by the Commonwealth), any money that is:</p>
            </content>

              <num>a</num>
              <content>
                <p>held by <role refersTo="#minister">the Minister</role> on trust for the purposes of the Account; or</p>
              </content>
            </paragraph>

                <p>accepted by <role refersTo="#minister">the Minister</role> for the purposes of the Account subject to a condition;</p>
              </content>

                <p>is not to be dealt with except in accordance with the obligations of <role refersTo="#minister">the Minister</role> as trustee of the trust or as the person who has accepted the money subject to the condition, as the case may be.</p>
              </content>
            </paragraph>
          </subsection>

              <p>Separate accounts are to be kept of each sum of money standing to the credit of the Account that represents an amount to which subsection (1) has a separate application.</p>

                  <p>to investigate complaints concerning reviewable action made to <role refersTo="#commissioner">the Commissioner</role> in accordance with this Part; and</p>
                </content>
              </paragraph>

                <num>b</num>
                <content>
                  <p>to perform any other function that is conferred on <role refersTo="#commissioner">the Commissioner</role> by this Part.</p>
                </content>
              </paragraph>

                <p><role refersTo="#commissioner">The Commissioner</role> is not to enquire into the merits of a recommendation or a decision made by:</p>
              </content>

                <content>
                  <p><role refersTo="#ceo">the CEO</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-56__subsec-2__para-b">

                <content>
                  <p>a delegate of <role refersTo="#ceo">the CEO</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-56__subsec-2__para-c">
                <num>c</num>

                  <p>the Research Committee;</p>
                </content>
                <content>
                  <p>in the course of a reviewable action.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-8__dvs-1__sec-57">

            <heading>Who may complain</heading>
            <content>
              <p>A person whose interests are affected by a reviewable action may apply to <role refersTo="#commissioner">the Commissioner</role> to investigate a complaint concerning the action made on one or more of the grounds set out in section 58.</p>
            </content>
          </section>
          <section eId="part-8__dvs-1__sec-58">
            <num>58</num>
            <heading>Grounds for complaint</heading>
            <content>
              <p>The grounds for complaint concerning a reviewable action are the following:</p>
            </content>
            <paragraph eId="part-8__dvs-1__sec-58__para-a">
              <num>a</num>
              <content>
                <p>that the action involved a breach of the rules of natural justice;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-b">
              <num>b</num>
              <content>
                <p>that the action was induced or affected by fraud;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-c">
              <num>c</num>
              <content>
                <p>that there was no evidence or other material to justify the action;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-d">
              <num>d</num>
              <content>
                <p>that an irrelevant consideration was taken into account in relation to the action;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-e">
              <num>e</num>
              <content>
                <p>that a relevant consideration was not taken into account in relation to the action;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-f">
              <num>f</num>
              <content>
                <p>that in the course of the action a discretionary power was exercised for a purpose other than the purpose for which the power is conferred;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-g">
              <num>g</num>
              <content>
                <p>that the action involved the exercise of a discretionary power in bad faith;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-h">
              <num>h</num>
              <content>
                <p>that, in the course of the action, a personal discretionary power was exercised at the direction of another person;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-i">
              <num>i</num>
              <content>
                <p>that the action involved the exercise of a discretionary power in accordance with a rule or policy without regard to the merits of the particular case;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-58__para-j">
              <num>j</num>
              <content>
                <p>that the action involved any other exercise of a power in a way that constitutes abuse of the power.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-8__dvs-1__sec-59">

            <heading>How to make a complaint</heading>
            <content>
              <p>A complaint must:</p>
            </content>
            <paragraph eId="part-8__dvs-1__sec-59__para-a">
              <num>a</num>
              <content>
                <p>be in writing; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-59__para-b">
              <num>b</num>
              <content>
                <p>be signed by the complainant; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-59__para-c">
              <num>c</num>
              <content>
                <p>describe the action complained about; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-1__sec-59__para-d">

                <p>specify the nature of and grounds for the complaint; and</p>
              </content>
            </paragraph>

              </content>
            </paragraph>
          </section>

            <heading>Commissioner to investigate complaints</heading>

              <p>Subject to <role refersTo="#commissioner">the Commissioner</role> must investigate a complaint concerning reviewable action.<ref href="#sec-61">section 61</ref>, </p>

            <heading>Discretion not to investigate</heading>
            <subsection eId="part-8__dvs-1__sec-61__subsec-1">

                <p><role refersTo="#commissioner">The Commissioner</role> may:</p>
              </content>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>decide not to investigate a complaint concerning reviewable action; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#commissioner">the Commissioner</role> has already begun to investigate a complaint concerning reviewable action, decide to discontinue the investigation;</p>
                </content>
                <content>
                  <p>if:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> is satisfied that the complainant became aware of the matter constituting a ground for the complaint more than 12 months before making the complaint to <role refersTo="#commissioner">the Commissioner</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> has reasonable grounds for believing that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the complaint is frivolous or vexatious or is not made in good faith; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>the investigation or any further investigation of the action is not justified in all the circumstances; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>the complainant has not approached <role refersTo="#ceo">the CEO</role> in relation to the complaint, and <role refersTo="#commissioner">the Commissioner</role> is satisfied that it would be reasonable for the complainant to so approach <role refersTo="#ceo">the CEO</role>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-1__sec-61__subsec-2">
              <num>2</num>
              <content>
                <p>If <role refersTo="#commissioner">the Commissioner</role> decides not to investigate a complaint or to discontinue an investigation, <role refersTo="#commissioner">the Commissioner</role> must give the complainant written notice of the decision.</p>
              </content>
            </subsection>
            <subsection eId="part-8__dvs-1__sec-61__subsec-3">
              <num>3</num>
              <content>
                <p>The notice must include reasons for the decision.</p>
              </content>
            </subsection>
            <subsection eId="part-8__dvs-1__sec-61__subsec-4">
              <num>4</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a complaint concerning reviewable action has been made to <role refersTo="#commissioner">the Commissioner</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> believes that a complaint concerning the action:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>	(i)	could have been made by the complainant to the Information Commissioner under Part V of the <i>Privacy Act 1988</i>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>could be more conveniently or effectively dealt with by <role refersTo="#information-commissioner">the Information Commissioner</role>;</p>
                </content>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> may decide:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>not to investigate the complaint; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>to discontinue any investigation of the complaint already commenced.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-1__sec-61__subsec-5">
              <num>5</num>
              <content>
                <p>If <role refersTo="#commissioner">the Commissioner</role> decides, under subsection (4):</p>
              </content>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>not to investigate a complaint; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>to discontinue an investigation already commenced;</p>
                </content>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> must:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>transfer the complaint to <role refersTo="#information-commissioner">the Information Commissioner</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-5__para-d">
                <num>d</num>
                <content>
                  <p>give to <role refersTo="#information-commissioner">the Information Commissioner</role> any information or documents relating to the complaint that are in the possession, or under the control, of <role refersTo="#commissioner">the Commissioner</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-1__sec-61__subsec-5__para-e">
                <num>e</num>
                <content>
                  <p>as soon as possible after transferring the complaint, give the complainant a written notice that informs the complainant of the transfer.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-1__sec-61__subsec-6">
              <num>6</num>
              <content>
                <p>	(6)	A complaint transferred under subsection (5) is taken to be a complaint made to the Information Commissioner under Part V of the <i>Privacy Act 1988</i>.</p>

          <heading>Procedure and powers of Commissioner</heading>

            <heading>CEO to be informed of investigation</heading>

              <p>Before <role refersTo="#commissioner">the Commissioner</role> begins to investigate a complaint concerning reviewable action, <role refersTo="#commissioner">the Commissioner</role> must inform <role refersTo="#ceo">the CEO</role> of the impending investigation.</p>
            </content>
          </section>
          <section eId="part-8__dvs-2__sec-63">
            <num>63</num>
            <heading>Procedure of Commissioner</heading>
            <content>
              <p><role refersTo="#commissioner">The Commissioner</role> is to conduct an investigation:</p>
            </content>
            <paragraph eId="part-8__dvs-2__sec-63__para-a">
              <num>a</num>
              <content>
                <p>in private; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__dvs-2__sec-63__para-b">
              <num>b</num>
              <content>
                <p>in such manner as <role refersTo="#commissioner">the Commissioner</role> thinks fit.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-8__dvs-2__sec-64">
            <num>64</num>
            <heading>Co-operation with Commissioner</heading>
            <subsection eId="part-8__dvs-2__sec-64__subsec-1">
              <num>1</num>
              <content>
                <p>A person to whom this section applies must, in relation to the investigation of a complaint, co-operate with <role refersTo="#commissioner">the Commissioner</role> and provide <role refersTo="#commissioner">the Commissioner</role> with any assistance <role refersTo="#commissioner">the Commissioner</role> requests.</p>
              </content>
            </subsection>
            <subsection eId="part-8__dvs-2__sec-64__subsec-2">
              <num>2</num>
              <content>
                <p>In particular, a person to whom this section applies must:</p>
              </content>
              <paragraph eId="part-8__dvs-2__sec-64__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>provide any information or documents requested by <role refersTo="#commissioner">the Commissioner</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-2__sec-64__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>answer any questions that <role refersTo="#commissioner">the Commissioner</role> asks;</p>
                </content>
                <content>
                  <p>that <role refersTo="#commissioner">the Commissioner</role> has reasonable grounds for believing are relevant to the investigation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-2__sec-64__subsec-3">

                <p>This section applies to the following:</p>

            <heading>Immunity from penalty</heading>

                <p>provides information, documents or other records; or</p>
              </content>
            </paragraph>

                <p>in response to a request from <role refersTo="#commissioner">the Commissioner</role>, the person is not subject to any liability or penalty under the law of the Commonwealth, a State or a Territory because the person:</p>

                <p>provides the information, documents or other records; or</p>
              </content>

            <heading>Reports by Commissioner</heading>

                <p>has investigated a complaint concerning reviewable action under <ref href="#sec-60">section 60</ref>; and</p>

                <p>concludes that the action was affected by one of the grounds of complaint set out in <ref href="#sec-58">section 58</ref>;</p>

            <heading>Recommendations</heading>
            <subsection eId="part-8__dvs-2__sec-67__subsec-1">

                <p><role refersTo="#commissioner">The Commissioner</role> may, in relation to reviewable action concerning which a complaint has been made, recommend to <role refersTo="#ceo">the CEO</role> that:</p>

                <content>
                  <p>a decision, recommendation, act or omission involved in the action should be reconsidered by <role refersTo="#ceo">the CEO</role>, the delegate of <role refersTo="#ceo">the CEO</role> or the Research Committee, as the case requires; or</p>

                  <p>some particular step should be taken to rectify, mitigate, or alter the effects of the action; or</p>

                <p><role refersTo="#ceo">The CEO</role> must, having regard to the recommendation:</p>

                  <p>take whatever action <role refersTo="#ceo">the CEO</role> considers appropriate; and</p>
                </content>
              </paragraph>

                  <p>inform the complainant of the action <role refersTo="#ceo">the CEO</role> has taken and of <role refersTo="#ceo">the CEO</role>’s reasons for taking the action.</p>

            <heading>Annual report of Commissioner</heading>

              <p><role refersTo="#commissioner">The Commissioner</role> must, as soon as practicable after the end of each financial year, give <role refersTo="#ceo">the CEO</role> a written report of <role refersTo="#commissioner">the Commissioner</role>’s activities during that year.</p>

          <heading>Administrative arrangements for Commissioner</heading>

            <heading>Commissioner must have appropriate expertise</heading>

              <p>A person must not be appointed as <role refersTo="#commissioner">the Commissioner</role> unless he or she has appropriate expertise.</p>

                <p>the services of staff of the NHMRC to be made available to <role refersTo="#commissioner">the Commissioner</role>; and</p>
              </content>
            </paragraph>

              <num>b</num>
              <content>
                <p>the provision to <role refersTo="#commissioner">the Commissioner</role> of facilities necessary for <role refersTo="#commissioner">the Commissioner</role> to perform his or her functions or exercise his or her powers under this Act.</p>

            <num>76</num>
            <heading>Disclosure of interests of Commissioner in relation to investigation</heading>
            <subsection eId="part-8__dvs-3__sec-76__subsec-1">
              <num>1</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> is investigating, or is to investigate, a complaint concerning reviewable action; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> has, or acquires, an interest that could conflict with the proper performance of <role refersTo="#commissioner">the Commissioner</role>’s functions in relation to the investigation;</p>
                </content>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>must disclose the interest to the complainant and <role refersTo="#minister">the Minister</role>; and</p>
                </content>
              </paragraph>

                  <p>may proceed with the investigation only if the complainant and <role refersTo="#minister">the Minister</role> agree.</p>

                <p>If, in relation to the investigation of a complaint:</p>
              </content>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#commissioner">the Commissioner</role> discloses an interest under subsection (1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the complainant or <role refersTo="#minister">the Minister</role> does not agree to <role refersTo="#commissioner">the Commissioner</role> proceeding with the investigation;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may appoint a person to perform the functions and exercise the powers of <role refersTo="#commissioner">the Commissioner</role> in relation to the complaint.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-3__sec-76__subsec-3">
              <num>3</num>
              <content>
                <p>A person appointed by <role refersTo="#minister">the Minister</role> under subsection (2) is to be appointed:</p>
              </content>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>on such terms and conditions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-76__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>for such period;</p>
                </content>
                <content>
                  <p>as <role refersTo="#minister">the Minister</role> determines.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-3__sec-76__subsec-4">
              <num>4</num>
              <content>
                <p>Any recommendation made by a person appointed under subsection (2) in relation to a complaint has the same effect as if it had been made by <role refersTo="#commissioner">the Commissioner</role>.</p>

          </section>

            <num>78</num>
            <heading>Commissioner to protect personal information</heading>
            <subsection eId="part-8__dvs-3__sec-78__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#commissioner">The Commissioner</role> must not, except in the performance or exercise of his or her functions or powers under this Act:</p>
              </content>
              <paragraph eId="part-8__dvs-3__sec-78__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>make a record of; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-78__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>disclose to any person;</p>
                </content>
                <content>
                  <p>any information about another person that <role refersTo="#commissioner">the Commissioner</role> has had access to in the performance or exercise of his or her functions or powers under this Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-8__dvs-3__sec-78__subsec-2">
              <num>2</num>
              <content>
                <p>Except for the purposes of this Act, a court must not require <role refersTo="#commissioner">the Commissioner</role> to:</p>
              </content>
              <paragraph eId="part-8__dvs-3__sec-78__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>produce any document or other record in his or her possession; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-8__dvs-3__sec-78__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>disclose any matter or thing of which he or she had notice;</p>
                </content>
                <content>
                  <p>if <role refersTo="#commissioner">the Commissioner</role> has such possession or notice because of the performance or exercise of his or her functions or powers under this Act.</p>

            <heading>Protection from civil actions</heading>
            <content>
              <p>No civil proceedings may be brought against <role refersTo="#commissioner">the Commissioner</role> or a person assisting <role refersTo="#commissioner">the Commissioner</role> under an arrangement made under section 72 in relation to loss, damage, or injury of any kind suffered by a person in the course of the proper performance or exercise of the functions or powers of <role refersTo="#commissioner">the Commissioner</role> or of the person assisting <role refersTo="#commissioner">the Commissioner</role> under this Act.</p>

          <heading>Confidential commercial information</heading>
          <subsection eId="part-9__sec-80__subsec-1">

              <p>In this Act:</p>
            </content>
            <content>
              <p><b><i>information provider</i></b> means a person who provides confidential commercial information to an NHMRC officer.</p>
              <p><b><i>NHMRC officer</i></b> means a person who is:</p>
            </content>
            <paragraph eId="part-9__sec-80__subsec-1__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a member of the Council or of a committee (other than the Embryo Research Licensing Committee of the NHMRC); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a member of the staff of the NHMRC; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-1__para-d">
              <num>d</num>

                <p>a consultant engaged under <ref href="#sec-46">section 46</ref>; or</p>

              <p>A person commits an offence if:</p>
            </content>
            <paragraph eId="part-9__sec-80__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the person is an NHMRC officer; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the person discloses information; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the information was acquired by the person because of being an NHMRC officer; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>the information is in respect of any matter under consideration by <role refersTo="#ceo">the CEO</role>, the Council, a committee (other than the Embryo Research Licensing Committee of the NHMRC) or <role refersTo="#commissioner">the Commissioner</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>the person knows, or has reasonable grounds for believing, that the information is confidential commercial information.</p>
              </content>

              <p>Subsection (2) does not apply to anything done in the performance of duties, or in the exercise of powers or functions, under this Act.</p>

          </subsection>
          <subsection eId="part-9__sec-80__subsec-4">

              <p>Subsection (2) does not preclude the disclosure of confidential commercial information to a court in any proceeding, but the court must do all things necessary to prevent disclosure of that information to any other person, except for the purposes of the proceedings.</p>

          <subsection eId="part-9__sec-80__subsec-5">
            <num>5</num>
            <content>
              <p>Despite subsection (2), <role refersTo="#ceo">the CEO</role> may deal with confidential commercial information acquired by an NHMRC officer (other than <role refersTo="#commissioner">the Commissioner</role> or a person assisting <role refersTo="#commissioner">the Commissioner</role> in the performance of his or her functions under this Act) because of being such an NHMRC officer, in the following ways:</p>

              <num>a</num>
              <content>
                <p>if <role refersTo="#minister">the Minister</role> certifies in writing that it is necessary in the public interest for the information to be disclosed to a specified person, <role refersTo="#ceo">the CEO</role> may disclose the information to that person;</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-5__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role> may disclose the information to a person or body specified in the regulations;</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>if, in <role refersTo="#ceo">the CEO</role>’s opinion, the information provider has expressly or impliedly authorised another person to receive the information, <role refersTo="#ceo">the CEO</role> may disclose the information to that other person.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-80__subsec-6">
            <num>6</num>
            <content>
              <p>Despite subsection (2), <role refersTo="#commissioner">the Commissioner</role> may deal with confidential commercial information acquired by <role refersTo="#commissioner">the Commissioner</role> or a person assisting <role refersTo="#commissioner">the Commissioner</role> because of being <role refersTo="#commissioner">the Commissioner</role> or a person assisting <role refersTo="#commissioner">the Commissioner</role>, in the following ways:</p>

                <p>if <role refersTo="#minister">the Minister</role> certifies in writing that it is necessary in the public interest for the information to be disclosed to a specified person, <role refersTo="#commissioner">the Commissioner</role> may disclose the information to that person;</p>

              <num>b</num>

                <p><role refersTo="#commissioner">the Commissioner</role> may disclose the information to a person or body specified in the regulations;</p>

              <num>c</num>
              <content>
                <p>if, in <role refersTo="#commissioner">the Commissioner</role>’s opinion, the information provider has expressly or impliedly authorised another person to receive the information, <role refersTo="#commissioner">the Commissioner</role> may disclose the information to that other person.</p>

          </subsection>
          <subsection eId="part-9__sec-80__subsec-7">

              <p><role refersTo="#ceo">The CEO</role> or <role refersTo="#commissioner">the Commissioner</role> must not disclose any confidential information under paragraph (5)(c) or (6)(c) unless he or she:</p>
            </content>
            <paragraph eId="part-9__sec-80__subsec-7__para-a">
              <num>a</num>
              <content>
                <p>has notified the information provider in writing of his or her intention to disclose the information; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-7__para-b">
              <num>b</num>
              <content>
                <p>has given the information provider a reasonable opportunity to comment on the proposed disclosure of the information; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-7__para-c">
              <num>c</num>
              <content>
                <p>has considered any comments made by the information provider.</p>
              </content>

              <content>
                <p>that person or body; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-8__para-b">
              <num>b</num>

                <p>any person under the control of that person or body;</p>
              </content>
              <content>
                <p>is subject to the same obligations as a person referred to in subsection (2) who had acquired the information in the circumstances set out in that subsection.</p>

          </subsection>

              <p>Despite subsection (2), <role refersTo="#ceo">the CEO</role> may permit the information to be disclosed to:</p>
            </content>
            <paragraph eId="part-9__sec-80__subsec-9__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#secretary">the Secretary</role> of a Commonwealth Department; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-9__para-b">
              <num>b</num>
              <content>
                <p>the chief officer of a Commonwealth authority; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-9__para-c">
              <num>c</num>
              <content>
                <p>the chief officer of a State or Territory Department or authority; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-9__para-d">
              <num>d</num>

                <p>a person assisting under an arrangement entered into under <ref href="#sec-48">section 48</ref> (other than an arrangement to assist the Embryo Research Licensing Committee of the NHMRC);</p>

              <p>Despite subsection (2), <role refersTo="#commissioner">the Commissioner</role> may permit the information to be disclosed to a person assisting <role refersTo="#commissioner">the Commissioner</role> for the purposes of giving effect to an arrangement entered into under section 72.</p>

              <p>A person:</p>
            </content>

                <p>to whom this section applies; and</p>

              <num>b</num>
              <content>
                <p>to whom confidential commercial information is disclosed under subsection (9) for the purposes of an arrangement under <ref href="#sec-48">section 48</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-11__para-c">
              <num>c</num>
              <content>
                <p>who knows, or has reasonable grounds for believing, that the information is confidential commercial information;</p>
              </content>
              <content>
                <p>must not at any time, directly or indirectly, disclose the information to any person, except for the purposes of the arrangement.</p>
              </content>

              <p>Subsection (11) applies to a person who is or was:</p>
            </content>
            <paragraph eId="part-9__sec-80__subsec-12__para-a">
              <num>a</num>
              <content>
                <p>a Secretary or chief officer of a Commonwealth or State Department; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-12__para-b">
              <num>b</num>
              <content>
                <p>a chief officer of a Commonwealth or State authority; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-80__subsec-12__para-c">
              <num>c</num>
              <content>
                <p>a person under the control of a person mentioned in paragraph (a) or (b).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-80__subsec-13">
            <num>13</num>
            <content>
              <p>The powers conferred by subsections (9) and (10) are in addition to, and not in derogation of, the powers conferred by subsections (5) and (6).</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-80__subsec-14">
            <num>14</num>
            <content>
              <p>Nothing in subsection (5), (6), (9) or (10) is to be taken to limit the generality of subsection (4) or the operation of subsection (3).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-9__sec-82">
          <num>82</num>
          <heading>Delegation</heading>
          <subsection eId="part-9__sec-82__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, in writing, delegate to <role refersTo="#ceo">the CEO</role> all or any of <role refersTo="#minister">the Minister</role>’s powers or functions under section 42 in relation to members of the Council (including the Chair).</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-1A">
            <num>1A</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may delegate to <role refersTo="#ceo">the CEO</role> or to a member of the staff of the NHMRC the power of <role refersTo="#minister">the Minister</role> to deal with any money:</p>
            </content>
            <paragraph eId="part-9__sec-82__subsec-1A__para-a">
              <num>a</num>
              <content>
                <p>held by <role refersTo="#minister">the Minister</role> on trust for the purposes of the Account; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-82__subsec-1A__para-b">
              <num>b</num>
              <content>
                <p>accepted by <role refersTo="#minister">the Minister</role> for the purposes of the Account subject to a condition;</p>
              </content>
              <content>
                <p>in accordance with the obligations of <role refersTo="#minister">the Minister</role> as trustee of the trust or as the person who has accepted the money subject to the condition, as the case may be.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-1B">
            <num>1B</num>
            <content>
              <p>However, <role refersTo="#minister">the Minister</role> must not delegate the power if doing so would be inconsistent with the terms of the trust or with the condition.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-1C">
            <num>1C</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may delegate all or any of his or her powers or functions to:</p>
            </content>
            <paragraph eId="part-9__sec-82__subsec-1C__para-a">
              <num>a</num>
              <content>
                <p>the Council; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-82__subsec-1C__para-b">
              <num>b</num>
              <content>
                <p>a committee (other than the Embryo Research Licensing Committee of the NHMRC); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-82__subsec-1C__para-c">
              <num>c</num>
              <content>
                <p>a member of the staff of the NHMRC.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-2">
            <num>2</num>
            <content>
              <p>The Council may delegate all or any of the Council’s powers or functions (including a power or function delegated to it by <role refersTo="#ceo">the CEO</role>) to:</p>
            </content>
            <paragraph eId="part-9__sec-82__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the Chair of the Council; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-82__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a committee (other than the Embryo Research Licensing Committee of the NHMRC).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-3">
            <num>3</num>
            <content>
              <p>A Principal Committee may delegate to a working committee all or any of the Principal Committee’s powers or functions (including a power or function delegated to it by <role refersTo="#ceo">the CEO</role> or the Council).</p>

          </subsection>
          <subsection eId="part-9__sec-82__subsec-4">
            <num>4</num>
            <content>
              <p>A delegate must exercise a power delegated by <role refersTo="#minister">the Minister</role>, <role refersTo="#ceo">the CEO</role>, the Council or a Principal Committee in accordance with any directions of <role refersTo="#minister">the Minister</role>, <role refersTo="#ceo">the CEO</role>, the Council or the Principal Committee, as the case requires.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-82__subsec-4A">
            <num>4A</num>
            <content>
              <p>In the case of a delegation under subsection (1A), <role refersTo="#minister">the Minister</role> must not issue a direction that would be inconsistent with the terms of the trust, or with the condition, mentioned in that subsection.</p>

          </subsection>
          <subsection eId="part-9__sec-82__subsec-5">
            <num>5</num>
            <content>
              <p>A delegation by the Council or by a Principal Committee continues in force despite a change in membership of the Council or Principal Committee, as the case requires.</p>

          <heading>Annual report</heading>
          <content>
            <p>		The annual report prepared by the CEO and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include the following:<ref href="#sec-46">section 46</ref> of the </p>

            <num>a</num>
            <content>
              <p>details of the membership of the Council;</p>
            </content>
          </paragraph>
          <paragraph eId="part-9__sec-83__para-b">

              <p>details of the functions, composition and membership of each Principal Committee;</p>
            </content>
          </paragraph>
          <paragraph eId="part-9__sec-83__para-c">
            <num>c</num>
            <content>
              <p>details of all regulatory recommendations and interim regulatory recommendations made by <role refersTo="#ceo">the CEO</role> during the period;</p>

              <p>details of any matter referred by <role refersTo="#minister">the Minister</role> to <role refersTo="#ceo">the CEO</role>, the Council or a Principal Committee during the period under section 5D;</p>
