            <p>		This Act may be cited as the <i>Insurance Acquisitions and Takeovers Act 1991</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">

          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, this Act commences on a day to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>If this Act does not commence under subsection (1) within the period of 6 months beginning on the day on which it receives the Royal Assent, it commences on the first day after the end of that period.</p>
            </content>
          </subsection>
        </section>

          <num>3</num>
          <heading>Objects of Act and simplified outline of Act</heading>
          <content>
            <p>The following is a statement setting out the objects of this Act and a simplified outline of this Act:</p>
            <p>Objects of Act</p>
            <p>•	To set out rules about the <b>control</b> of, and the <b>compulsory notification</b> of proposals relating to:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>	(a)	the <b>acquisition</b> or <b>leasing</b> of <b>assets</b> of Australian-registered insurance companies (Part 3); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>	(b)	the entering into of <b>agreements</b> relating to <b>directors</b> of Australian-registered insurance companies (Part 4).</p>
            </content>
            <content>
              <p>•	To protect the <b>public interest</b> in a number of ways, including: </p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>	(a)	ensuring that the affairs of Australian-registered insurance companies are carried out in a <b>prudential manner</b>; and </p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>	(b)	preventing <b>persons who are not fit and proper</b> from being in a <b>position of influence</b> over Australian-registered insurance companies; and </p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>	(c)	preventing the <b>undue concentration of economic power</b> in the Australian general insurance industry, in the Australian life insurance industry or in the Australian financial system. </p>
            </content>
            <content>
              <p>Simplified outline of Act</p>
              <p>•	A proposal must be <b>notified</b> to the Minister.</p>
              <p>•	A proposal can be <b>stopped</b> if the Minister makes a <b>permanent restraining order</b>.</p>
              <p>•	A proposal can be <b>carried out</b> if the Minister makes a <b>go</b><b>-</b><b>ahead decision</b>.</p>
              <p>•	If an unauthorised proposal is carried out, the Minister can make a <b>divestment order</b>.</p>
              <p>•	This Act is enforced by <b>criminal sanctions</b> and <b>court orders</b>. </p>

        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Interpretation</heading>
          <subsection eId="part-1__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act, unless the contrary intention appears:</p>
            </content>
            <intro>
              <p><term refersTo="#term-accounting-period">accounting period</term> means:</p>
            </intro>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	in relation to a company authorised under the <i>Insurance Act 1973 </i>to carry on insurance business—the company’s financial year (within the meaning of that Act); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>	(b)	in relation to a company registered under <i>Life Insurance Act 1995</i>—the company’s financial year (within the meaning of that Act).<ref href="#sec-21">section 21</ref> of the </p>
              </content>
              <content>
                <p><term refersTo="#term-acquisition">acquisition</term> includes <def>an agreement to acquire, but does not include: an acquisition by will or by devolution by operation of law; or an acquisition by way of enforcement of a security held solely for the purposes of a moneylending agreement.</def></p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an acquisition by will or by devolution by operation of law; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>an acquisition by way of enforcement of a security held solely for the purposes of a moneylending agreement.</p>
              </content>
              <content>
                <p><term refersTo="#term-agreement">agreement</term> means <def>any agreement, whether formal or informal and whether express or implied, but does not include a moneylending agreement.</def></p>
                <p><term refersTo="#term-apra">APRA</term> means <def>the Australian Prudential Regulation Authority.</def></p>
                <p><term refersTo="#term-arrangement">arrangement</term> has the meaning given by <def><ref href="#sec-6">section 6</ref>.</def></p>
                <p><term refersTo="#term-asset">asset</term> includes <def>an interest in an asset.</def></p>
                <p><term refersTo="#term-associate">associate</term> has the meaning given by <def><ref href="#sec-7">section 7</ref>.</def></p>
                <p><term refersTo="#term-associate-inclusive-control-interest">associate-inclusive control interest</term> has the meaning given by <def><ref href="#sec-14">section 14</ref>.</def></p>
                <p><term refersTo="#term-australia">Australia</term> includes <def>the external Territories.</def></p>
                <p><term refersTo="#term-australian-general-insurance-industry">Australian general insurance industry</term> means <def>so much of the Australian insurance industry as does not consist of the Australian life insurance industry.</def></p>
                <p><b><i>Australian</i></b><b><i>-</i></b><b><i>registered insurance company</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	a company authorised under the <i>Insurance Act 1973 </i>to carry on insurance business; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>	(b)	a company registered under <i>Life Insurance Act 1995</i>;<ref href="#sec-21">section 21</ref> of the </p>
              </content>
              <content>
                <p>but does not include:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a company any part of the activities of which consists of State banking not extending beyond the limits of the State concerned (within the meaning of paragraph 51(xiii) of the Constitution); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a company any part of the activities of which consists of State insurance not extending beyond the limits of the State concerned (within the meaning of paragraph 51(xiv) of the Constitution).</p>
              </content>
              <content>
                <p><b><i>book outstanding claims provision</i></b>, in relation to a company, in relation to a particular date, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	if the company was authorised under the <i>Insurance Act 1973 </i>to carry on insurance business at the end of the last accounting period of the company before that date—the company’s outstanding claims liability (within the meaning of the prudential standards determined under that Act) as at the end of that accounting period; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>

                <p><b><i>book unearned premiums provision</i></b>, in relation to a company, in relation to a particular date, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	if the company was authorised under the <i>Insurance Act 1973 </i>to carry on insurance business at the end of the last accounting period of the company before that date—the company’s premiums liability (within the meaning of the prudential standards determined under that Act) as at the end of that accounting period; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>in any other case—the company’s unearned premiums provision as at that date.</p>
              </content>
              <content>
                <p><b><i>book value</i></b>, in relation to an asset held by a company at a particular time, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>if the company:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>	(i)	was authorised under the <i>Insurance Act 1973 </i>to carry on insurance business; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	was registered under <i>Life Insurance Act 1995</i>;<ref href="#sec-21">section 21</ref> of the </p>
              </content>
              <content>
                <p>at the end of the last accounting period of the company before that time—the value of the asset as at the end of that accounting period; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>in any other case—the value of the asset as at that time.</p>
              </content>
              <content>
                <p><b><i>child</i></b>: without limiting who is a child of a person for the purposes of this Act, someone is the <b><i>child</i></b> of a person if he or she is a child of the person within the meaning of the <i>Family Law Act 1975</i>.</p>
                <p><term refersTo="#term-company">company</term> means <def>a body corporate.</def></p>
                <p><b><i>constituent document</i></b>, in relation to a company, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the memorandum and articles of association of the company; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any rules or other documents constituting the company or governing its activities.</p>
              </content>
              <content>
                <p><term refersTo="#term-contract-of-insurance">contract of insurance</term> includes <def>a contract of life insurance and insurer has a corresponding meaning.</def></p>
                <p><term refersTo="#term-contract-of-life-insurance">contract of life insurance</term> means <def>a life policy or sinking fund policy, within the meaning of <ref href="">the Life Insurance Act 1995</ref>.</def></p>
                <p><term refersTo="#term-direct-control-interest">direct control interest</term> has the meaning given by <def><ref href="#sec-15">section 15</ref>.</def></p>
                <p><term refersTo="#term-director">director</term> includes <def>any person occupying the position of director of a company, by whatever name called.</def></p>
                <p><term refersTo="#term-discretionary-trust">discretionary trust</term> means <def>a trust where: a person (who may include <role refersTo="#trustee">the trustee</role>) is empowered (either unconditionally or on the fulfilment of a condition) to exercise any power of appointment or other discretion; and the exercise of the power or discretion, or the failure to exercise the power or discretion, has the effect of determining, to any extent, either or both of the following: the identities of those who may benefit under the trust; how beneficiaries are to benefit, as between themselves, under the trust.</def></p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a person (who may include <role refersTo="#trustee">the trustee</role>) is empowered (either unconditionally or on the fulfilment of a condition) to exercise any power of appointment or other discretion; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the exercise of the power or discretion, or the failure to exercise the power or discretion, has the effect of determining, to any extent, either or both of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the identities of those who may benefit under the trust;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>how beneficiaries are to benefit, as between themselves, under the trust.</p>
              </content>
              <content>
                <p><term refersTo="#term-federal-court">Federal Court</term> means <def>the Federal Court of Australia.</def></p>
                <p><term refersTo="#term-insurance-business">insurance business</term> has the same meaning as <def>in <ref href="">the Insurance Act 1973</ref>.</def></p>
                <p><term refersTo="#term-interest-in-an-asset">interest in an asset</term> has the meaning given by <def><ref href="#sec-10">section 10</ref>.</def></p>
                <p><term refersTo="#term-interest-in-a-share">interest in a share</term> has the meaning given by <def><ref href="#sec-11">section 11</ref>.</def></p>
                <p><term refersTo="#term-lending-money">lending money</term> includes <def>providing non-equity finance where the provision of the finance may reasonably be regarded as equivalent to lending money.</def></p>
                <p><term refersTo="#term-life-insurance-business">life insurance business</term> has the same meaning as <def>in <ref href="">the Life Insurance Act 1995</ref>.</def></p>
                <p><term refersTo="#term-moneylending-agreement">moneylending agreement</term> means <def>an agreement entered into in good faith in the ordinary course of carrying on a business of lending money, but does not include an agreement dealing with any matter unrelated to the carrying on of that business.</def></p>
                <p><b><i>non</i></b><b><i>-</i></b><b><i>arm’s length arrangement</i></b> means an arrangement where the parties to the arrangement are not dealing with each other at arm’s length in relation to the arrangement.</p>
                <p><b><i>non</i></b><b><i>-</i></b><b><i>arm’s length transaction</i></b> means a transaction where the parties to the transaction are not dealing with each other at arm’s length in relation to the transaction.</p>
                <p><b><i>officer</i></b>, in relation to a company, includes:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a director, secretary or employee of the company; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a receiver and manager of any part of the undertaking of the company appointed under a power contained in any instrument; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a liquidator of the company appointed in a voluntary winding up.</p>
              </content>
              <content>
                <p><term refersTo="#term-outstanding-claims-provision">outstanding claims provision</term> means <def>so much of the total provision for liabilities made in its accounts as consists of provision for claims, reduced by any allowance made in its accounts for reinsurance recoverables in respect of the claims.</def></p>
                <p><b><i>parent</i></b>: without limiting who is a parent of a person for the purposes of this Act, someone is the <b><i>parent </i></b>of a person if the person is his or her child because of the definition of <b><i>child</i></b> in this section.</p>
                <p><term refersTo="#term-prudential-conduct">prudential conduct</term> means <def>the conduct by the company of its affairs (whether or not relating to the insurance business or life insurance business of the company): in such a way as: to keep itself in a sound financial position; and not to cause or promote instability in the Australian general insurance industry, in the Australian life insurance industry or in the Australian financial system; and with integrity, prudence and professional skill.</def></p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>in such a way as:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>to keep itself in a sound financial position; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>not to cause or promote instability in the Australian general insurance industry, in the Australian life insurance industry or in the Australian financial system; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>with integrity, prudence and professional skill.</p>
              </content>
              <content>
                <p><b><i>relative</i></b>, in relation to a person, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the person’s spouse; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the person’s de facto partner within the meaning of the <i>Acts Interpretation Act 1901</i>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a parent or remoter lineal ancestor of the person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a child or remoter issue of the person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>a brother or sister of the person.</p>
              </content>

                <p><term refersTo="#term-share">share</term> means <def>a share in the share capital of the company, and includes: stock into which any or all of the share capital of the company has been converted; or an interest in such a share or in such stock.</def></p>

            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>stock into which any or all of the share capital of the company has been converted; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>an interest in such a share or in such stock.</p>
              </content>
              <content>
                <p><b><i>total book net liabilities</i></b>, in relation to a company’s contracts of life insurance, in relation to a particular date, means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	if the company was registered under <i>Life Insurance Act 1995 </i>at the end of the last accounting period of the company before that date—the total net liabilities in respect of all of the company’s contracts of life insurance as at the end of that accounting period; or<ref href="#sec-21">section 21</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>in any other case—the total net liabilities in respect of all of the company’s contracts of life insurance as at that date.</p>
              </content>
              <content>
                <p><term refersTo="#term-unearned-premiums-provision">unearned premiums provision</term> means <def>so much of the total provision for liabilities made in its accounts as consists of provision for unearned premiums.</def></p>
                <p><term refersTo="#term-value-of-an-asset-of-a-company-at-a-particular-time">value of an asset of a company at a particular time</term> means <def>the amount that, if: an accounting period of the company had ended at that time; and 	(b)	the company had, under the <i>Financial Sector (Collection of Data) Act 2001</i>, given to APRA copies of financial statements for, or as at the end of, that accounting period; and the financial statements had been prepared in accordance with applicable accounting principles; would have been shown in those statements as the value of the asset at that time.</def></p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an accounting period of the company had ended at that time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the company had, under the <i>Financial Sector (Collection of Data) Act 2001</i>, given to APRA copies of financial statements for, or as at the end of, that accounting period; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the financial statements had been prepared in accordance with applicable accounting principles;</p>
              </content>
              <content>
                <p>would have been shown in those statements as the value of the asset at that time.</p>
                <p><term refersTo="#term-voting-power">voting power</term> has the meaning given by <def><ref href="#sec-13">section 13</ref>.</def></p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-4__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	For the purposes of paragraphs (c), (d) and (e) of the definition of <b><i>relative</i></b> in subsection (1), if one person is the child of another person because of the definition of <b><i>child </i></b>in that subsection, relationships traced to or through the person are to be determined on the basis that the person is the child of the other person.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-5">
          <num>5</num>
          <heading>What is contrary to the public interest</heading>
          <subsection eId="part-1__sec-5__subsec-1">
            <num>1</num>
            <content>
              <p>For the purposes of the application of this Act to an Australian-registered insurance company, and without limiting when a matter is taken to be contrary to the public interest, a particular matter is taken to be contrary to the public interest if it is:</p>
            </content>
            <paragraph eId="part-1__sec-5__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>likely to adversely affect the prudential conduct of the affairs of the company; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>likely to result in a person who is not a fit and proper person to be in a position of influence over the company being in such a position of influence; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>likely to unduly concentrate economic power in the Australian general insurance industry, in the Australian life insurance industry or in the Australian financial system; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>contrary to the national interest.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-5__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, determine circumstances in which a person is taken, for the purposes of paragraph (1)(b), to be in a position of influence over an Australian-registered insurance company.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-5__subsec-3">
            <num>3</num>
            <content>
              <p>Subsection (2) does not limit the circumstances in which a person is taken to be in such a position of influence.</p>
            </content>
            <content>
              <p>Matters to which Minister has regard in considering public interest</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-5__subsec-4">
            <num>4</num>
            <content>
              <p>The following paragraphs apply in relation to <role refersTo="#minister">the Minister</role> considering, for the purposes of this Act, whether a particular matter is contrary to the public interest:</p>
            </content>
            <paragraph eId="part-1__sec-5__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>in considering whether the matter is likely to have the effect mentioned in paragraph (1)(a), <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>must have regard to any matters determined under subsection (6) for the purposes of this subparagraph; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>may have regard to any matters determined under that subsection for the purposes of this subparagraph;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>in considering whether the matter is likely to have the result mentioned in paragraph (1)(b), <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>must have regard to any matters determined under subsection (6) for the purposes of this subparagraph; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>may have regard to any matters determined under that subsection for the purposes of this subparagraph;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>in considering whether the matter is likely to have the effect mentioned in paragraph (1)(c), <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>must have regard to any matters determined under subsection (6) for the purposes of this subparagraph; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>may have regard to any matters determined under that subsection for the purposes of this subparagraph;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-d">
              <num>d</num>
              <content>
                <p>in considering whether the matter is contrary to the national interest as mentioned in paragraph (1)(d), <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>must have regard to any matters determined under subsection (6) for the purposes of this subparagraph; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>may have regard to any matters determined under that subsection for the purposes of this subparagraph;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-e">
              <num>e</num>
              <content>
                <p>in considering whether the matter is contrary to the public interest other than as mentioned in paragraph (1)(a), (b), (c) or (d), <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>must have regard to any matters determined under subsection (6) for the purposes of this subparagraph; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-5__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>may have regard to any matters determined under that subsection for the purposes of this subparagraph.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-5__subsec-5">
            <num>5</num>
            <content>
              <p>Subsection (4) does not limit the matters to which <role refersTo="#minister">the Minister</role> may have regard.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-5__subsec-6">
            <num>6</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, determine matters for the purposes of subparagraph (4)(a)(i) or (ii), (b)(i) or (ii), (c)(i) or (ii), (d)(i) or (ii) or (e)(i) or (ii).</p>

          </subsection>
        </section>
        <section eId="part-1__sec-6">
          <num>6</num>
          <heading>Entering into an agreement or arrangement</heading>
          <subsection eId="part-1__sec-6__subsec-1">
            <num>1</num>
            <content>
              <p>For the purposes of this Act, a person is taken to have proposed to enter into an agreement or arrangement if the person takes part in, or proposes to take part in, negotiations with a view to entering into the agreement or arrangement.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-6__subsec-2">
            <num>2</num>
            <content>
              <p>A reference in this Act to entering into an agreement or arrangement includes a reference to altering or varying an agreement or arrangement.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>A reference in this Act to entering into an arrangement is a reference to entering into any formal or informal scheme, arrangement or understanding, whether expressly or by implication and, without limiting the generality of the foregoing, includes a reference to:</p>
            </content>
            <paragraph eId="part-1__sec-6__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>entering into an agreement; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-6__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>creating a trust, whether express or implied; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-6__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>entering into a transaction;</p>
              </content>
              <content>
                <p>and a reference in this Act to an arrangement is to be construed accordingly.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-6__subsec-4">
            <num>4</num>
            <content>
              <p>A reference in this Act to an arrangement does not include a reference to a moneylending agreement.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-7">
          <num>7</num>
          <heading>Associates</heading>
          <subsection eId="part-1__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>For the purposes of this Act, the following persons are associates of a person:</p>
            </content>
            <paragraph eId="part-1__sec-7__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a relative of the person;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a partner of the person;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a corporation of which the person is an officer;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>if the person is a company—an officer of the company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>an employee or employer of the person;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>an officer of a company of which the person is an officer;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-g">
              <num>g</num>
              <content>
                <p>an employee of a natural person of whom the person is an employee;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-h">
              <num>h</num>
              <content>
                <p><role refersTo="#trustee">the trustee</role> of a discretionary trust where the person or another person who is an associate of the person by virtue of another paragraph of this subsection benefits, or is capable (whether by the exercise of a power of appointment or otherwise) of benefiting, under the trust, either directly or through any interposed companies, partnerships or trusts;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-1__para-i">
              <num>i</num>
              <content>

                <p>a company in which the person has, apart from this paragraph, an associate-inclusive control interest of not less than 15%;</p>

                <p>a person who is, because of this subsection, an associate of any other person who is an associate of the person (including a person who is an associate of the person by any other application or applications of this paragraph).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-7__subsec-2">

            <content>
              <p>	(2)	If a person (in this subsection called the <b><i>first person</i></b>) enters, or proposes to enter, into an arrangement with another person (in this subsection called the <b><i>second person</i></b>) that relates to any of the following matters:</p>
            </content>
            <paragraph eId="part-1__sec-7__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the first person and the second person being in a position, by acting together, to control any of the voting power in a company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the power of the first person and the second person, by acting together, to appoint or remove a director of a company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-7__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the situation where one or more of the directors of a company are accustomed or under an obligation, whether formal or informal, to act in accordance with the directions, instructions or wishes of the first person and the second person acting together;</p>
              </content>
              <content>
                <p>then, the second person is taken to be an associate of the first person for the purposes of the application of a provision of this Act in relation to the matter concerned.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-8">
          <num>8</num>
          <heading>Proposals to acquire shares or assets</heading>
          <subsection eId="part-1__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>For the purposes of this Act, a person is taken to propose to acquire shares or assets if the person:</p>
            </content>
            <paragraph eId="part-1__sec-8__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>makes an offer to acquire the shares or assets; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-8__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>makes or publishes a statement (however expressed) that expressly or impliedly invites a holder of the shares or assets to offer to dispose of the shares or assets; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-8__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>takes part in, or proposes to take part in, negotiations with a view to the acquisition of the shares or assets.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>A reference in this section to an asset includes a reference to any or all of the interests, rights or benefits of an Australian-registered insurance company under a contract of insurance where the company is the insurer.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-9">
          <num>9</num>
          <heading>Meaning of entitled to acquire</heading>
          <content>
            <p>For the purposes of this Act, a person is entitled to acquire anything if the person is absolutely or contingently entitled to acquire it, whether because of any constituent document of a company, the exercise of any right or option or for any other reason.</p>
          </content>
        </section>
        <section eId="part-1__sec-10">
          <num>10</num>
          <heading>Meaning of interest in an asset</heading>
          <subsection eId="part-1__sec-10__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, a person holds an interest in an asset if the person has any legal or equitable interest in the asset.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-10__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting the generality of subsection (1), a person is taken to hold an interest in an asset if:</p>
            </content>
            <paragraph eId="part-1__sec-10__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the person has entered into a contract to purchase the asset; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-10__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the person has a right (otherwise than because of having an interest under a trust) to have the asset transferred to the person or to the person’s order (whether the right is exercisable presently or in the future and whether or not on the fulfilment of a condition); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-10__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the person has a right to acquire the asset, or an interest in the asset, under an option (whether the right is exercisable presently or in the future and whether or not on the fulfilment of a condition); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-10__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>the person is otherwise entitled to acquire the asset or an interest in the asset.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-10__subsec-3">
            <num>3</num>
            <content>
              <p>A person is taken to hold an interest in an asset even if the person holds the interest in the asset jointly with another person.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-10__subsec-4">
            <num>4</num>
            <content>
              <p>For the purposes of this Act, an interest in an asset must be disregarded if it is held by a person whose ordinary business includes the lending of money and the person holds the interest solely by way of security for the purposes of a moneylending agreement.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-10__subsec-5">
            <num>5</num>
            <content>
              <p>An interest in an asset is not to be disregarded only because of:</p>
            </content>
            <paragraph eId="part-1__sec-10__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>its remoteness; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-10__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the manner in which it arose; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-10__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>the fact that the exercise of a right conferred by the interest is, or is capable of being made, subject to restraint or restriction.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-11">
          <num>11</num>
          <heading>Meaning of interest in a share</heading>
          <subsection eId="part-1__sec-11__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, a person holds an interest in a share if the person has any legal or equitable interest in the share.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-11__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting the generality of subsection (1), a person is taken to hold an interest in a share if:</p>
            </content>
            <paragraph eId="part-1__sec-11__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the person has entered into a contract to purchase the share; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the person has a right (otherwise than because of having an interest under a trust) to have the share transferred to the person or to the person’s order (whether the right is exercisable presently or in the future and whether or not on the fulfilment of a condition); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the person has a right to acquire the share, or an interest in the share, under an option (whether the right is exercisable presently or in the future and whether or not on the fulfilment of a condition); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>the person is otherwise entitled to acquire the share or an interest in the share; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>the person is entitled (otherwise than because of having been appointed as a proxy or representative to vote at a meeting of members of the company or of a class of its members) to exercise or control the exercise of a right attached to the share.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-11__subsec-3">
            <num>3</num>
            <content>
              <p>A person is taken to hold an interest in a share even if the person holds the interest in the share jointly with another person.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-11__subsec-4">
            <num>4</num>
            <content>
              <p>For the purpose of determining whether a person holds an interest in a share, it is immaterial that the interest cannot be related to a particular share.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-11__subsec-5">
            <num>5</num>
            <content>
              <p>An interest in a share is not to be disregarded only because of:</p>
            </content>
            <paragraph eId="part-1__sec-11__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>its remoteness; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the manner in which it arose; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-11__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>the fact that the exercise of a right conferred by the interest is, or is capable of being made, subject to restraint or restriction.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-12">
          <num>12</num>
          <heading>Certain interests in shares to be disregarded</heading>
          <content>
            <p>For the purposes of this Act, the following interests must be disregarded:</p>
          </content>
          <paragraph eId="part-1__sec-12__para-a">
            <num>a</num>
            <content>
              <p>an interest in a share of a person whose ordinary business includes the lending of money if the person holds the interest solely by way of security for the purposes of a moneylending agreement;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-12__para-b">
            <num>b</num>
            <content>
              <p>an interest in a share of a person, being an interest held by the person because the person holds a prescribed office;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-12__para-c">
            <num>c</num>
            <content>
              <p>an interest of a prescribed kind in a share, being an interest of such person as is prescribed.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-13">
          <num>13</num>
          <heading>Voting power</heading>
          <subsection eId="part-1__sec-13__subsec-1">
            <num>1</num>
            <content>
              <p>A reference in this Act to the voting power in a company is a reference to the total rights of shareholders to vote, or participate in any decision-making, concerning any of the following:</p>
            </content>
            <paragraph eId="part-1__sec-13__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the making of distributions of capital or profits of the company to its shareholders;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-13__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the constituent document of the company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-13__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>any variation of the share capital of the company.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-13__subsec-2">
            <num>2</num>
            <content>
              <p>A reference in this Act to control of the voting power in a company is a reference to control that is direct or indirect, including control that is exercisable as a result of or by means of arrangements or practices:</p>
            </content>
            <paragraph eId="part-1__sec-13__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>whether or not having legal or equitable force; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-13__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>whether or not based on legal or equitable rights.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-13__subsec-3">
            <num>3</num>
            <content>
              <p>If the percentage of total rights to vote or participate in decision-making differs as between different types of voting or decision-making, the highest of those percentages applies for the purposes of this section.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-13__subsec-4">
            <num>4</num>
            <content>
              <p>If a company:</p>
            </content>
            <paragraph eId="part-1__sec-13__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>is limited both by shares and by guarantee; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-13__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>does not have a share capital; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-13__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>	(c)	is an MCI mutual entity (within the meaning of the <i>Corporations Act 2001</i>);</p>
              </content>
              <content>
                <p>this section has effect as if the members or policy holders of the company were shareholders in the company.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-14">
          <num>14</num>
          <heading>Associate-inclusive control interest in a company</heading>
          <subsection eId="part-1__sec-14__subsec-1">
            <num>1</num>
            <content>
              <p>A particular type of associate-inclusive control interest that a person holds in a company at a particular time is the aggregate of:</p>
            </content>
            <paragraph eId="part-1__sec-14__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the direct control interests in the company of that type that the person holds at that time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-14__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the direct control interests in the company of that type held at that time by associates of the person.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-14__subsec-2">
            <num>2</num>
            <content>
              <p>In calculating the associate-inclusive control interest that a person holds in a company, a direct control interest held because of subsection 15(5) is not to be counted under paragraph (1)(a) to the extent to which it is calculated by reference to a direct control interest in the company that is taken into account under paragraph (1)(b).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-15">
          <num>15</num>
          <heading>Direct control interests in a company</heading>
          <subsection eId="part-1__sec-15__subsec-1">
            <num>1</num>
            <content>
              <p>A person holds a direct control interest in a company at a particular time equal to the percentage of the total paid-up share capital of the company in which the person holds an interest at that time.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-15__subsec-2">
            <num>2</num>
            <content>
              <p>A person also holds a direct control interest in a company at a particular time equal to the percentage of the voting power in the company that the person is in a position to control at that time.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-15__subsec-3">
            <num>3</num>
            <content>
              <p>A person also holds a direct control interest in a company at a particular time equal to the percentage that the person holds, or is entitled to acquire, at that time of the total rights to distributions of capital or profits of the company to its shareholders on winding-up.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-15__subsec-4">
            <num>4</num>
            <content>
              <p>A person also holds a direct control interest in a company at a particular time equal to the percentage that the person holds, or is entitled to acquire, at that time of the total rights to distributions of capital or profits of the company to its shareholders, otherwise than on winding-up.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-15__subsec-5">
            <num>5</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-1__sec-15__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>	(a)	a person holds a particular type of direct control interest (including a direct control interest that is taken to be held because of one or more previous applications of this subsection) in a company (in this subsection called the <b><i>first level company</i></b>); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-15__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the first level company holds the same type of direct control interest in another company (in this subsection called the <b><i>second level company</i></b>);</p>
              </content>
              <content>
                <p>the person is taken to hold that type of direct control interest in the second level company equal to the percentage calculated using the formula:</p>

          </subsection>
        </section>
        <section eId="part-1__sec-16">
          <num>16</num>
          <heading>Power to appoint director</heading>
          <subsection eId="part-1__sec-16__subsec-1">
            <num>1</num>
            <content>
              <p>A reference in this Act to a power to appoint a director includes a reference to such a power whether exercisable with or without the consent or concurrence of any other person.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-16__subsec-2">
            <num>2</num>
            <content>
              <p>For the purposes of this Act, a person is taken to have the power to appoint a director if:</p>
            </content>
            <paragraph eId="part-1__sec-16__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the person has the power (whether exercisable with or without the consent or concurrence of any other person) to veto such an appointment; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-16__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a person’s appointment as a director of the company follows necessarily from that person being a director or other officer of the first-mentioned person.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-17">
          <num>17</num>
          <heading>Deemed notices—options</heading>
          <content>
            <p>For the purposes of this Act, if a person gives a notice to <role refersTo="#minister">the Minister</role> stating that the person has or proposes to acquire an option to acquire shares or assets, the notice has effect as if it included a statement that the person proposes to acquire the shares or assets.</p>
          </content>
        </section>
        <section eId="part-1__sec-17A">
          <num>17A</num>
          <heading>Approved manner and form of giving notices</heading>
          <subsection eId="part-1__sec-17A__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies in relation to giving a notice if another provision of this Act refers to giving the notice in accordance with this section.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-17A__subsec-2">
            <num>2</num>
            <content>
              <p>The notice is given in accordance with this section if the notice:</p>
            </content>
            <paragraph eId="part-1__sec-17A__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is given:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>if <role refersTo="#minister">the Minister</role> has approved a manner for giving the notice under subsection (3)—in the approved manner; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>otherwise—in writing; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>if <role refersTo="#minister">the Minister</role> has approved a form for giving the notice under subsection (3):</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>is given in the approved form; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>includes the information required by the form; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-iii">
              <num>iii</num>
              <content>
                <p>is accompanied by the documents (if any) required by the form; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>includes the information (if any) prescribed by regulations made for the purposes of this paragraph in relation to the notice; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>is accompanied by the documents (if any) prescribed by regulations made for the purposes of this paragraph in relation to the notice.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-17A__subsec-3">
            <num>3</num>
            <content>
              <p>For the purposes of paragraph (2)(a) or (b), <role refersTo="#minister">the Minister</role> may, in writing, approve a manner or form for giving the notice.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-17A__subsec-4">
            <num>4</num>
            <content>
              <p>Without limiting subsection (3), a form approved under that subsection may be:</p>
            </content>
            <paragraph eId="part-1__sec-17A__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>the form of a statutory declaration; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-17A__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>a form that requires a matter to be verified by a statutory declaration.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-1__sec-18">
          <num>18</num>
          <heading>Application of Act</heading>
          <subsection eId="part-1__sec-18__subsec-1">
            <num>1</num>
            <content>
              <p>This Act extends to all the external Territories.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-18__subsec-2">
            <num>2</num>
            <content>
              <p>This Act extends to acts, omissions, matters and things outside Australia, whether or not in a foreign country.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-18__subsec-3">
            <num>3</num>
            <content>
              <p>This Act binds the Crown in right of the Commonwealth, of each of the States, of the Australian Capital Territory and of the Northern Territory.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-18__subsec-4">
            <num>4</num>
            <content>
              <p>The Crown in a capacity covered by subsection (3) is not liable to be prosecuted for an offence against, or arising out of, this Act.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-19">
          <num>19</num>
          <heading>Severability</heading>
          <subsection eId="part-1__sec-19__subsec-1">
            <num>1</num>
            <content>
              <p>If this Act would be wholly or partly invalid apart from this subsection, this Act has effect as if each reference in this Act to an Australian-registered insurance company were, by express provision, confined to an Australian-registered insurance company that:</p>
            </content>
            <paragraph eId="part-1__sec-19__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>carries on as its sole or principal business the business of insurance; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-19__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>carries on as its principal business the business of banking; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-19__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>is a financial or trading corporation formed within the limits of the Commonwealth (within the meaning of paragraph 51(xx) of the Constitution); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-19__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>is a foreign corporation (within the meaning of paragraph 51(xx) of the Constitution); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-19__subsec-1__para-e">
              <num>e</num>

                <p>is incorporated in a Territory.</p>

            </paragraph>
          </subsection>

            <heading>Interpretation</heading>
            <content>
              <p>In this Part:</p>
              <p><term refersTo="#term-breach-of-condition-offence">breach of condition offence</term> means <def>an offence against subsection 41(3).</def></p>
              <p><term refersTo="#term-conditional-go-ahead-decision">conditional go-ahead decision</term> means <def>a go-ahead decision made under subsection 41(1A).</def></p>
              <p><term refersTo="#term-divestment-order">divestment order</term> means <def>an order under <ref href="#sec-44">section 44</ref>.</def></p>
              <p><term refersTo="#term-go-ahead-decision">go-ahead decision</term> means <def>a decision under subsection 41(1) or (1A).</def></p>
              <p><term refersTo="#term-permanent-restraining-order">permanent restraining order</term> means <def>an order under <ref href="#sec-43">section 43</ref>.</def></p>
              <p><term refersTo="#term-trigger-proposal">trigger proposal</term> has the meaning given by <def><ref href="#sec-36">section 36</ref>.</def></p>

            <num>36</num>
            <heading>Meaning of trigger proposal—proposals to acquire or lease assets of Australian-registered insurance companies</heading>
            <content>
              <p>If any of the following paragraphs applies:</p>
            </content>
            <paragraph eId="part-3__dvs-1__sec-36__para-a">
              <num>a</num>
              <content>
                <p>both of the following conditions are satisfied:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to acquire assets of an Australian-registered insurance company under a non-arm’s length transaction;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-ii">
              <num>ii</num>
              <content>
                <p>the sum of:</p>
              </content>
              <content>
                <p>(A)	the value of the assets proposed to be acquired; and</p>
                <p>(B)	the total value of any assets of the company acquired by the persons or their associates under non-arm’s length transactions in the 12-month period before the date of the proposed acquisition;</p>
                <p>is 15% or more of the total book value of the assets of the company as at that date;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-b">
              <num>b</num>
              <content>
                <p>both of the following conditions are satisfied:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to enter into a non-arm’s length arrangement relating to the leasing or letting on hire of, or the granting of other rights to use, assets of an Australian-registered insurance company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-ii">
              <num>ii</num>
              <content>
                <p>the sum of:</p>
              </content>
              <content>
                <p>(A)	the value of the assets concerned; and</p>
                <p>(B)	if the persons or their associates have entered into one or more non-arm’s length arrangements relating to the leasing or letting on hire of, or the granting of other rights to use, assets of the company, being arrangements entered into in the 12-month period before the date when the proposed arrangement referred to in subparagraph (i) will be entered into—the total value of those assets;</p>
                <p>is 15% or more of the total book value of the assets of the company as at that date;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-c">
              <num>c</num>
              <content>
                <p>all of the following conditions are satisfied:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to acquire any or all of the interests, rights or benefits of an Australian-registered insurance company under one or more contracts of life insurance where the company is the insurer;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	the company is registered under <i>Life Insurance Act 1995</i>;<ref href="#sec-21">section 21</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-iii">
              <num>iii</num>
              <content>
                <p>the sum of:</p>
              </content>
              <content>
                <p>(A)	the total net liabilities in respect of those contracts; and</p>
                <p>(B)	if the persons or their associates have acquired any or all of the interests, rights or benefits of the company under one or more contracts of life insurance where the company is the insurer, being acquisitions that occurred in the 12-month period before the date of the proposed acquisition referred to in subparagraph (i)—the total net liabilities in respect of those contracts;</p>
                <p>is 15% or more of the total book net liabilities in respect of all of the company’s contracts of life insurance as at that date;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-d">
              <num>d</num>
              <content>
                <p>all of the following conditions are satisfied:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to acquire any or all of the interests, rights or benefits of an Australian-registered insurance company under one or more contracts of insurance where the company is the insurer;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	the company is authorised under the <i>Insurance Act 1973 </i>to carry on insurance business;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-iii">
              <num>iii</num>
              <content>
                <p>the sum of:</p>
              </content>
              <content>
                <p>(A)	any reduction in the company’s unearned premiums provision resulting from the acquisition; and</p>
                <p>(B)	if the persons or their associates have acquired any or all of the interests, rights or benefits of the company under one or more contracts of insurance where the company is the insurer, being acquisitions that occurred in the 12-month period before the date of the proposed acquisition referred to in subparagraph (i)—the total of any reductions in the company’s unearned premiums provision resulting from those acquisitions;</p>
                <p>is 15% or more of the company’s book unearned premiums provision as at that date;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-e">
              <num>e</num>
              <content>
                <p>all of the following conditions are satisfied:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to acquire any or all of the interests, rights or benefits of an Australian-registered insurance company under one or more contracts of insurance where the company is the insurer;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	the company is authorised under the <i>Insurance Act 1973 </i>to carry on insurance business;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-36__para-iii">
              <num>iii</num>
              <content>
                <p>the sum of:</p>
              </content>
              <content>
                <p>(A)	any reduction in the company’s outstanding claims provision resulting from the acquisition; and</p>
                <p>(B)	if the persons or their associates have acquired any or all of the interests, rights or benefits of the company under one or more contracts of insurance where the company is the insurer, being acquisitions that occurred in the 12-month period before the date of the proposed acquisition referred to in subparagraph (i)—the total of any reductions in the company’s outstanding claims provision resulting from those acquisitions;</p>
                <p>is 15% or more of the company’s book outstanding claims provision as at that date;</p>
                <p>the proposal is a trigger proposal for the purposes of this Part.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-3__dvs-1__sec-37">
            <num>37</num>
            <heading>When trigger proposal carried out</heading>
            <content>
              <p>For the purposes of this Part, if one or more persons:</p>
            </content>
            <paragraph eId="part-3__dvs-1__sec-37__para-a">
              <num>a</num>
              <content>
                <p>acquire assets as mentioned in paragraph 36(a); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-37__para-b">
              <num>b</num>
              <content>
                <p>enter into an arrangement as mentioned in paragraph 36(b); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-37__para-c">
              <num>c</num>
              <content>
                <p>acquire interests, rights or benefits as mentioned in paragraph 36(c), (d) or (e);</p>
              </content>
              <content>
                <p>the person is, or each of the persons are, taken to have carried out a trigger proposal.</p>
              </content>
            </paragraph>
          </section>
        </division>
        <division eId="part-3__dvs-2">
          <num>2</num>
          <heading>Notification</heading>
          <section eId="part-3__dvs-2__sec-38">
            <num>38</num>
            <heading>Compulsory notification of trigger proposal</heading>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-3__dvs-2__sec-38__para-a">
              <num>a</num>
              <content>
                <p>a person carries out a trigger proposal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-38__para-b">
              <num>b</num>
              <content>
                <p>the person did not, before the acquisition or before entering into the arrangement, as the case may be, give to <role refersTo="#minister">the Minister</role> a notice in accordance with section 17A stating the person’s intention to acquire the assets, interests, rights or benefits or to enter into the arrangement, as the case requires; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-38__para-c">
              <num>c</num>
              <content>
                <p>either:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-38__para-i">
              <num>i</num>
              <content>
                <p>the person knew that the proposal concerned was a trigger proposal; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-38__para-ii">
              <num>ii</num>
              <content>
                <p>the person had reasonable grounds to suspect that the proposal concerned was a trigger proposal but did not make all reasonable efforts to ascertain whether it was a trigger proposal;</p>
              </content>
              <content>
                <p>the person commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>
              </content>

            <num>40</num>
            <heading>Trigger proposal must not be carried out before a go-ahead decision is given</heading>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-3__dvs-2__sec-40__para-a">
              <num>a</num>
              <content>
                <p>a person carries out a trigger proposal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-40__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> did not give a go-ahead decision in relation to the proposal before the relevant acquisition occurred or the relevant arrangement was entered into;</p>
              </content>
              <content>
                <p>the person commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>
              </content>

          <heading>Go-ahead decisions</heading>
          <section eId="part-3__dvs-3__sec-41">
            <num>41</num>
            <heading>Unconditional or conditional go-ahead decision</heading>
            <subsection eId="part-3__dvs-3__sec-41__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may decide that <role refersTo="#minister">the Minister</role> has no objection to a trigger proposal, if <role refersTo="#minister">the Minister</role> is satisfied that the trigger proposal, if carried out, is not likely to be contrary to the public interest.</p>
              </content>

            </subsection>

                <p><role refersTo="#minister">The Minister</role> may decide that <role refersTo="#minister">the Minister</role> has no objection to a trigger proposal so long as the person concerned complies with specified conditions, if <role refersTo="#minister">the Minister</role> is satisfied that the trigger proposal, if carried out, is not likely to be contrary to the public interest if the person concerned complies with those conditions.</p>

            </subsection>

                <p>If <role refersTo="#minister">the Minister</role> makes a go-ahead decision, the person must be given written advice of the decision, and of the conditions (if any) applicable to the decision, before the end of 10 days after the day on which the decision is made.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-41__subsec-3">
              <num>3</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the person is given written advice of the go-ahead decision within the period of 10 days; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the person carries out the proposal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the decision is a conditional go-ahead decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>the person does not comply with the conditions to which the decision is subject;</p>
                </content>
                <content>
                  <p>the person commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>
                </content>

                <p>If <role refersTo="#minister">the Minister</role> makes a go-ahead decision in relation to a trigger proposal, <role refersTo="#minister">the Minister</role> is not empowered to make a permanent restraining order in relation to the trigger proposal.</p>
              </content>
            </subsection>
          </section>
        </division>
        <division eId="part-3__dvs-4">
          <num>4</num>
          <heading>Permanent restraining orders and divestment orders</heading>
          <section eId="part-3__dvs-4__sec-43">
            <num>43</num>
            <heading>Permanent restraining order</heading>
            <content>
              <p>		If the Minister is satisfied that the result of a trigger proposal would be contrary to the public interest, the Minister may, by notifiable instrument, make an order (in this Part called a <b><i>permanent restraining order</i></b>) prohibiting the proposed acquisition or prohibiting the entering into of the proposed arrangement, as the case may be, to which the trigger proposal relates.</p>

                <p>If:</p>
              </content>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a person carries out a trigger proposal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> is satisfied that the acquisition or arrangement is contrary to the public interest;</p>
                </content>
                <content>
                  <p>the Minister may, for remedial purposes, by notifiable instrument, make an order (in this Part called a <b><i>divestment order</i></b>):</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>in a case involving the acquisition of assets, interests, rights or benefits—directing a person acquiring the assets, interests, rights or benefits to dispose of those assets, interests, rights or benefits within a specified period to a person, or to any of the persons, approved in writing by <role refersTo="#minister">the Minister</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>in any case—directing specified persons to do within a specified period, or refrain from doing, specified acts or acts of a specified kind.</p>
                </content>

                <p>An approval of a person or persons under paragraph (1)(c):</p>
              </content>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1A__para-a">
                <num>a</num>
                <content>
                  <p>is a notifiable instrument; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-1A__para-b">
                <num>b</num>
                <content>
                  <p>may be included in the same instrument as the divestment order.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-44__subsec-2">
              <num>2</num>
              <content>
                <p>Before the end of the period specified in a divestment order applicable to a person (including that period as extended under this subsection), <role refersTo="#minister">the Minister</role> may, by notifiable instrument, vary the order by extending or further extending that period.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-44__subsec-2A">
              <num>2A</num>
              <content>
                <p>	(2A)	Subsection (2) does not limit the application of subsection 33(3) of the <i>Acts Interpretation Act 1901</i> in relation to a divestment order.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-44__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not refuse to approve a person for the purposes of subsection (1) unless <role refersTo="#minister">the Minister</role> is satisfied that it would be contrary to the public interest for that person to acquire the assets, interests, rights or benefits concerned.</p>
              </content>

            </subsection>

              <paragraph eId="part-3__dvs-4__sec-44__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a person is given written advice of a go-ahead decision before the end of 10 days after the day on which the decision is made; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the person carries out the proposal concerned;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> must not make a divestment order in relation to the proposal unless:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>the person is convicted of a breach of condition offence in relation to the acquisition or arrangement; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-44__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	an order is made under <i>Crimes Act 1914 </i>in relation to the person in respect of a breach of condition offence in relation to the acquisition or arrangement.<ref href="#sec-19B">section 19B</ref> of the </p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-4__sec-45">
            <num>45</num>
            <heading>Offence of contravening permanent restraining order or divestment order</heading>
            <content>
              <p>A person who contravenes a permanent restraining order or divestment order commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>

          <section eId="part-3__dvs-4__sec-47">
            <num>47</num>
            <heading>When orders come into operation</heading>
            <subsection eId="part-3__dvs-4__sec-47__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A permanent restraining order comes into operation on the day specified in the order, which must not be before the order is registered on the Federal Register of Legislation under the <i>Legislation Act 2003</i>.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	A divestment order comes into operation on the day specified in the order, which must be at least 30 days after the order is registered on the Federal Register of Legislation under the <i>Legislation Act 2003</i>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-4__sec-48">
            <num>48</num>
            <heading>Revocation of orders</heading>
            <subsection eId="part-3__dvs-4__sec-48__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, at any time, by notifiable instrument, revoke a permanent restraining order or a divestment order.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-48__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not revoke a permanent restraining order or divestment order if <role refersTo="#minister">the Minister</role> is satisfied that it would be contrary to the public interest to do so.</p>
              </content>

            <heading>Interpretation</heading>
            <content>
              <p>In this Part:</p>
              <p><term refersTo="#term-breach-of-condition-offence">breach of condition offence</term> means <def>an offence against subsection 55(3).</def></p>
              <p><term refersTo="#term-conditional-go-ahead-decision">conditional go-ahead decision</term> means <def>a go-ahead decision made under subsection 55(1A).</def></p>
              <p><term refersTo="#term-divestment-order">divestment order</term> means <def>an order under <ref href="#sec-58">section 58</ref>.</def></p>
              <p><term refersTo="#term-go-ahead-decision">go-ahead decision</term> means <def>a decision under subsection 55(1) or (1A).</def></p>
              <p><term refersTo="#term-permanent-restraining-order">permanent restraining order</term> means <def>an order under <ref href="#sec-57">section 57</ref>.</def></p>
              <p><term refersTo="#term-trigger-proposal">trigger proposal</term> has the meaning given by <def><ref href="#sec-50">section 50</ref>.</def></p>

            <num>50</num>
            <heading>Meaning of trigger proposal—agreements relating to the directorate of Australian-registered insurance companies</heading>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-4__dvs-1__sec-50__para-a">
              <num>a</num>
              <content>
                <p>either of the following subparagraphs applies:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-50__para-i">
              <num>i</num>
              <content>
                <p>one or more persons propose to enter into an agreement in relation to an Australian-registered insurance company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-50__para-ii">
              <num>ii</num>
              <content>
                <p>it is proposed to alter a constituent document of an Australian-registered insurance company; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-50__para-b">
              <num>b</num>
              <content>
                <p>under the proposed agreement or in consequence of the proposed alteration:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-50__para-i">
              <num>i</num>
              <content>
                <p>one or more directors of the Australian-registered insurance company will be accustomed or under an obligation, whether formal or informal, to act in accordance with the directions, instructions or wishes of:</p>
              </content>
              <content>
                <p>(A)	a person whose associate-inclusive control interest in the company is 15% or more, being a person acting alone or together with one or more associates; or</p>
                <p>(B)	an associate of such a person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-50__para-ii">
              <num>ii</num>
              <content>
                <p>either:</p>
              </content>
              <content>
                <p>(A)	a person whose associate-inclusive control interest in the company is 15% or more, being a person acting alone or together with one or more associates; or</p>
                <p>(B)	an associate of such a person;</p>
                <p>will have the power to appoint or remove one or more directors of the Australian-registered insurance company;</p>
                <p>the proposal is a trigger proposal for the purposes of this Part.</p>

            </paragraph>
          </section>
          <section eId="part-4__dvs-1__sec-51">
            <num>51</num>
            <heading>When trigger proposal carried out</heading>
            <content>
              <p>For the purposes of this Part, if:</p>
            </content>
            <paragraph eId="part-4__dvs-1__sec-51__para-a">
              <num>a</num>
              <content>
                <p>either of the following subparagraphs applies:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-51__para-i">
              <num>i</num>
              <content>
                <p>one or more persons enter into an agreement in relation to an Australian-registered insurance company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-51__para-ii">
              <num>ii</num>
              <content>
                <p>a constituent document of an Australian-registered insurance company is altered; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-51__para-b">
              <num>b</num>
              <content>
                <p>the agreement or alteration has an effect mentioned in paragraph 50(b);</p>
              </content>
              <content>
                <p>the following provisions have effect:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-51__para-c">
              <num>c</num>
              <content>
                <p>if subparagraph (a)(i) applies—each of the persons is taken to have carried out a trigger proposal;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-51__para-d">
              <num>d</num>
              <content>
                <p>if subparagraph (a)(ii) applies—the company is taken to have carried out a trigger proposal.</p>
              </content>
            </paragraph>
          </section>
        </division>
        <division eId="part-4__dvs-2">
          <num>2</num>
          <heading>Notification</heading>
          <section eId="part-4__dvs-2__sec-52">
            <num>52</num>
            <heading>Compulsory notification of trigger proposal</heading>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-4__dvs-2__sec-52__para-a">
              <num>a</num>
              <content>
                <p>a person or company carries out a trigger proposal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-52__para-b">
              <num>b</num>
              <content>
                <p>if subparagraph 51(a)(i) applies—the person did not, before entering into the agreement, give to <role refersTo="#minister">the Minister</role> a notice in accordance with section 17A stating the person’s intention to enter into the agreement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-52__para-c">
              <num>c</num>
              <content>
                <p>if subparagraph 51(a)(ii) applies—the company did not, before the alteration, give to <role refersTo="#minister">the Minister</role> a notice in accordance with section 17A stating the proposal to make the alteration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-52__para-d">
              <num>d</num>
              <content>
                <p>either:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-52__para-i">
              <num>i</num>
              <content>
                <p>the person or company knew that the proposal concerned was a trigger proposal; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-52__para-ii">
              <num>ii</num>
              <content>
                <p>the person or company had reasonable grounds to suspect that the proposal concerned was a trigger proposal but did not make all reasonable efforts to ascertain whether it was a trigger proposal;</p>
              </content>
              <content>
                <p>the person or company commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>
              </content>

            <heading>Trigger proposal must not be carried out before a go-ahead decision is given</heading>

              <p>If:</p>

                <p>a person or company carries out a trigger proposal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-54__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> did not give a go-ahead decision in relation to the proposal before the relevant agreement was entered into or the relevant alteration to the company’s constituent document was made, as the case may be;</p>
              </content>
              <content>
                <p>the person or company commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>

          <heading>Go-ahead decisions</heading>

            <heading>Unconditional or conditional go-ahead decision</heading>
            <subsection eId="part-4__dvs-3__sec-55__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may decide that <role refersTo="#minister">the Minister</role> has no objection to a trigger proposal, if <role refersTo="#minister">the Minister</role> is satisfied that the trigger proposal, if carried out, is not likely to be contrary to the public interest.</p>
              </content>

                <p><role refersTo="#minister">The Minister</role> may decide that <role refersTo="#minister">the Minister</role> has no objection to a trigger proposal so long as the person or company concerned complies with specified conditions, if <role refersTo="#minister">the Minister</role> is satisfied that the trigger proposal, if carried out, is not likely to be contrary to the public interest if the person or company complies with those conditions.</p>

                <p>If <role refersTo="#minister">the Minister</role> makes a go-ahead decision, the person or company must be given written advice of the decision, and of the conditions (if any) applicable to the decision, before the end of 10 days after the day on which the decision is made.</p>

            </subsection>
            <subsection eId="part-4__dvs-3__sec-55__subsec-3">
              <num>3</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-4__dvs-3__sec-55__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the person or company is given written advice of the go-ahead decision within the period of 10 days; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-55__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the person or company carries out the proposal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-55__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the decision is a conditional go-ahead decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-55__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>the person or company does not comply with the conditions to which the decision is subject;</p>
                </content>
                <content>
                  <p>the person or company commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>
                </content>

                <p>If <role refersTo="#minister">the Minister</role> makes a go-ahead decision in relation to a trigger proposal, <role refersTo="#minister">the Minister</role> is not empowered to make a permanent restraining order in relation to the trigger proposal.</p>
              </content>
            </subsection>
          </section>
        </division>

          <num>4</num>
          <heading>Permanent restraining orders and divestment orders</heading>

            <heading>Permanent restraining order</heading>
            <content>
              <p>		If the Minister is satisfied that the result of a trigger proposal would be contrary to the public interest, the Minister may, by notifiable instrument, make an order (in this Part called a <b><i>permanent restraining order</i></b>) prohibiting the entering into of the proposed agreement or prohibiting the proposed alteration, as the case may be, to which the trigger proposal relates.</p>

                <num>a</num>
                <content>
                  <p>a person or company carries out a trigger proposal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-58__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> is satisfied that the agreement or alteration is contrary to the public interest;</p>
                </content>
                <content>
                  <p>the Minister may, for remedial purposes, by notifiable instrument, make an order (in this Part called a <b><i>divestment order</i></b>) directing specified persons to do within a specified period, or refrain from doing, specified acts or acts of a specified kind.</p>

                <p>Before the end of the period specified in a divestment order applicable to a person (including that period as extended under this subsection), <role refersTo="#minister">the Minister</role> may, by notifiable instrument, vary the order by extending or further extending that period.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-4__sec-58__subsec-2A">
              <num>2A</num>
              <content>
                <p>	(2A)	Subsection (2) does not limit the application of subsection 33(3) of the <i>Acts Interpretation Act 1901</i> in relation to a divestment order.</p>

            </subsection>
            <subsection eId="part-4__dvs-4__sec-58__subsec-3">

                <p>If:</p>
              </content>
              <paragraph eId="part-4__dvs-4__sec-58__subsec-3__para-a">

                  <p>a person or company is given written advice of a go-ahead decision before the end of 10 days after the day on which the decision is made; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-58__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the person or company carries out the proposal concerned;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> must not make a divestment order in relation to the proposal unless:</p>
                </content>
              </paragraph>

                <num>c</num>
                <content>
                  <p>the person or company is convicted of a breach of condition offence in relation to the agreement or alteration; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-4__sec-58__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	an order is made under <i>Crimes Act 1914 </i>in relation to the person or company in respect of a breach of condition offence in relation to the agreement or alteration.<ref href="#sec-19B">section 19B</ref> of the </p>

            <heading>Offence of contravening permanent restraining order or divestment order</heading>
            <content>
              <p>A person who contravenes a permanent restraining order or divestment order commits an offence punishable on conviction by imprisonment for a period not exceeding 2 years.</p>

            <heading>When orders come into operation</heading>

                <p>	(1)	A permanent restraining order comes into operation on the day specified in the order, which must not be before the order is registered on the Federal Register of Legislation under the <i>Legislation Act 2003</i>.</p>

              <num>2</num>
              <content>
                <p>	(2)	A divestment order comes into operation on the day specified in the order, which must be at least 30 days after the order is registered on the Federal Register of Legislation under the <i>Legislation Act 2003</i>.</p>

            <heading>Revocation of orders</heading>

                <p><role refersTo="#minister">The Minister</role> may, at any time, by notifiable instrument, revoke a permanent restraining order or a divestment order.</p>

            </subsection>

              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not revoke a permanent restraining order or divestment order if <role refersTo="#minister">the Minister</role> is satisfied that it would be contrary to the public interest to do so.</p>

        <heading>Judicial enforcement of Ministerial orders</heading>

          <heading>Federal Court may enforce Ministerial orders</heading>
          <subsection eId="part-5__sec-63__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	If a person (in this section called the <b><i>offender</i></b>) has contravened an order made under Part 3 or 4, the Federal Court may make such order or orders as it thinks fit to achieve the purpose for which the order was made by the Minister.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-63__subsec-2">
            <num>2</num>
            <content>
              <p>The Federal Court’s order:</p>
            </content>
            <paragraph eId="part-5__sec-63__subsec-2__para-a">
              <num>a</num>

                <p>may only be made on the application of <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>may be made whether or not the contravention by the offender continues; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may be made even if other proceedings in respect of that contravention have been or are to be instituted.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-63__subsec-3">
            <num>3</num>
            <content>
              <p>The Federal Court’s orders include, but are not limited to:</p>
            </content>
            <paragraph eId="part-5__sec-63__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>an order restraining the exercise of any rights attached to shares or assets held by the offender; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>an order prohibiting or deferring the payment of any sums due to the offender in respect of shares or assets held by the offender; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>an order directing the disposal of shares or assets held by the offender; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-3__para-d">
              <num>d</num>
              <content>
                <p>an order that any exercise of rights attached to shares or assets held by the offender be disregarded; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-3__para-e">
              <num>e</num>
              <content>
                <p>an order prohibiting a person from acting as a director of an Australian-registered insurance company or from being involved in the management of an Australian-registered insurance company; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-3__para-f">
              <num>f</num>
              <content>
                <p>an order directing an Australian-registered insurance company to make such alterations of any of its constituent documents as are specified in the order.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-63__subsec-4">
            <num>4</num>
            <content>
              <p>In addition to the powers conferred on the Federal Court by the preceding provisions of this section, the Court:</p>
            </content>
            <paragraph eId="part-5__sec-63__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>has power, for the purpose of securing compliance with any other order made under this section, to make an order directing any person to do or refrain from doing a specified act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-63__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>has power to make an order containing such ancillary or consequential provisions as the Court thinks just.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-63__subsec-5">

            <content>
              <p>The Court may, before making an order under this section, direct that notice of the application be given to such persons as it thinks fit or be published in such manner as it thinks fit, or both.</p>

              <p>The Court may, by order, rescind, vary or discharge an order made by it under this section or suspend the operation of such an order.</p>

                <p>it would be concluded that the person, or any of the persons, who entered into, commenced to carry out, or carried out the scheme or any part of the scheme did so for the sole or dominant purpose of avoiding the application of any provision of this Act in relation to any person or persons (whether or not a person or persons who entered into, commenced to carry out, or carried out the scheme or any part of the scheme); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-64__subsec-1__para-c">

                <p>the scheme or part of the scheme has achieved, or apart from this section, would achieve, that purpose;</p>

                <p><role refersTo="#minister">the Minister</role> may make any order under a provision of Part 3 or 4 that <role refersTo="#minister">the Minister</role> would have been able to make if the scheme or the part of the scheme had not achieved that purpose.</p>

              <p>This section applies to a scheme entered into after <date date="1991-06-06">6 June 1991</date>.</p>

        <heading>Review of decisions</heading>
        <section eId="part-8__sec-66">
          <num>66</num>
          <heading>Reconsideration of reviewable decision</heading>
          <subsection eId="part-8__sec-66__subsec-1">
            <num>1</num>
            <content>
              <p>A person who is affected by a reviewable decision may, if dissatisfied with the decision, by notice given to <role refersTo="#minister">the Minister</role> within:</p>
            </content>
            <paragraph eId="part-8__sec-66__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the period of 21 days after the day on which the decision first comes to the notice of the person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-66__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>such further period as <role refersTo="#minister">the Minister</role> allows;</p>
              </content>
              <content>
                <p>request <role refersTo="#minister">the Minister</role> to reconsider the decision.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-66__subsec-2">
            <num>2</num>
            <content>
              <p>The reasons for making the request must be set out in the request.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-66__subsec-3">
            <num>3</num>
            <content>
              <p>Upon receipt of the request, <role refersTo="#minister">the Minister</role> must reconsider the decision and may, subject to subsection (4), confirm or revoke the decision or vary the decision in such manner as <role refersTo="#minister">the Minister</role> thinks fit.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-66__subsec-4">
            <num>4</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> does not confirm, revoke or vary a decision before the end of the period of 21 days after the day on which <role refersTo="#minister">the Minister</role> received the request under subsection (1) to reconsider the decision, <role refersTo="#minister">the Minister</role> is taken, at the end of that period, to have confirmed the decision under subsection (3).</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-66__subsec-5">
            <num>5</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> confirms, revokes or varies a decision before the end of the period referred to in subsection (4), <role refersTo="#minister">the Minister</role> must, by notice served on the applicant, inform the applicant of the result of the reconsideration of the decision and the reasons for confirming, revoking or varying the decision, as the case may be.</p>

          </subsection>
        </section>
        <section eId="part-8__sec-67">
          <num>67</num>
          <heading>Review of decisions by Administrative Review Tribunal</heading>
          <subsection eId="part-8__sec-67__subsec-1">
            <num>1</num>
            <content>
              <p>Applications may be made to the Administrative Review Tribunal for review of decisions of <role refersTo="#minister">the Minister</role> that have been confirmed or varied under subsection 66(3).</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-67__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	If a request is made under subsection 66(1) in respect of a reviewable decision, <i>Administrative Review Tribunal Act 2024</i> applies as if the making of the request were the making of an application to the Administrative Review Tribunal for a review of that decision.<ref href="#sec-32">section 32</ref> of the </p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-67__subsec-6">
            <num>6</num>
            <content>
              <p>	(6)	An order must not be made under subsection 32(2) of the <i>Administrative Review Tribunal Act 2024</i> in respect of a reviewable decision except by the Administrative Review Tribunal.</p>

          <heading>Statements to accompany notification of decisions</heading>
          <subsection eId="part-8__sec-68__subsec-1">
            <num>1</num>
            <content>
              <p>If written notice is given to a person affected by a reviewable decision that the reviewable decision has been made, that notice must include a statement to the effect that:</p>
            </content>
            <paragraph eId="part-8__sec-68__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the person may, if dissatisfied with the decision, seek a reconsideration of the decision by <role refersTo="#minister">the Minister</role> in accordance with subsection 66(1); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-68__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the person may, subject to the <i>Administrative Review Tribunal Act 2024</i>, if dissatisfied with a decision made by the Minister upon that reconsideration confirming or varying the first-mentioned decision, make application to the Administrative Review Tribunal for review of the decision so confirmed or varied.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-68__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	If the Minister confirms or varies a reviewable decision under subsection 66(3) and gives to the person written notice of the confirmation or variation of the decision, that notice must include a statement to the effect that the person may, subject to the <i>Administrative Review Tribunal Act 2024</i>, if dissatisfied with the decision so confirmed or varied, make application to the Administrative Review Tribunal for review of the decision.</p>

          </subsection>

              <p>A failure to comply with this section does not affect the validity of a decision.</p>

        <heading>Miscellaneous</heading>

          <heading>Delegation</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> may, by signed instrument, delegate any or all of <role refersTo="#minister">the Minister</role>’s powers under this Act (other than subsection 5(2) or (6)) to:</p>
          </content>
          <paragraph eId="part-9__sec-69__para-a">
            <num>a</num>
            <content>
              <p>APRA; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-9__sec-69__para-aa">

          <heading>Concurrent operation of State/Territory laws</heading>

            <p>It is the intention of the Parliament that this Act is not to apply to the exclusion of a law of a State or Territory to the extent that that law is capable of operating concurrently with this Act.</p>
          </content>
        </section>
        <section eId="part-9__sec-71">
          <num>71</num>
          <heading>Validity of acts done in contravention of this Act</heading>
          <content>
            <p>An act is not invalidated by the fact that it constitutes an offence against this Act.</p>
          </content>
        </section>
        <section eId="part-9__sec-72">
          <num>72</num>
          <heading>Minister’s consent for criminal proceedings</heading>
          <content>
            <p>Proceedings for an offence against, or arising out of, this Act must not be instituted without the written consent of <role refersTo="#minister">the Minister</role>.</p>
          </content>
        </section>
        <section eId="part-9__sec-73">
          <num>73</num>
          <heading>Minister may obtain information and documents</heading>
          <subsection eId="part-9__sec-73__subsec-1">
            <num>1</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> has reason to believe that a person is capable of giving information or producing documents about matters that are relevant to the exercise by <role refersTo="#minister">the Minister</role> of his or her powers under this Act, <role refersTo="#minister">the Minister</role> may, by notice in writing served on that person, require that person:</p>
            </content>
            <paragraph eId="part-9__sec-73__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to give any such information to <role refersTo="#minister">the Minister</role> within the period and in the manner specified in the notice; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-73__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to produce any such documents to <role refersTo="#minister">the Minister</role> within the period and in the manner specified in the notice; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-73__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to make copies of any such documents and to produce those copies to <role refersTo="#minister">the Minister</role> within the period and in the manner specified in the notice.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	A notice under subsection (1) must set out the effects of subsections (5) and (9) of this section and sections 137.1 and 137.2 of the <i>Criminal Code</i>.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-3">
            <num>3</num>
            <content>
              <p>The regulations may prescribe scales of expenses to be allowed to persons required to give information or produce documents under this section.</p>
            </content>
          </subsection>

              <p>A person is entitled to be paid by the Commonwealth reasonable compensation for complying with a requirement covered by paragraph (1)(c).</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-5">
            <num>5</num>
            <content>
              <p>A person must not, without reasonable excuse, refuse or fail to comply with a notice under subsection (1).</p>
            </content>

              <p>A person is not excused from giving information or producing a document or a copy of a document under this section on the ground that the information or the production of the document or copy might tend to incriminate the person, but:</p>

              <content>
                <p>giving the information or producing the document or copy; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-73__subsec-9__para-b">

                <p>any information, document or thing obtained as a direct or indirect consequence of giving the information or producing the document or copy;</p>
              </content>
              <content>
                <p>is not admissible in evidence against the person in any criminal proceedings other than a prosecution for an offence against this section or an offence against <i>Criminal Code</i> that relates to this section.<ref href="#sec-137">section 137</ref>.1 or 137.2 of the </p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-10">
            <num>10</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may inspect a document or copy produced under this section and may make and retain copies of, or take and retain extracts from, such a document or copy.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-11">
            <num>11</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may retain a copy of a document produced in accordance with a requirement covered by paragraph (1)(c).</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-73__subsec-12">
            <num>12</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, for the purposes of this Act, take, and retain for as long as is necessary for those purposes, a document produced under this section.</p>

            <content>
              <p>The person otherwise entitled to possession of the document is entitled to be supplied, as soon as practicable, with a copy certified by <role refersTo="#minister">the Minister</role> to be a true copy.</p>

            <content>
              <p>The certified copy must be received in all courts and tribunals as evidence as if it were the original.</p>

              <p>Until a certified copy is supplied, <role refersTo="#minister">the Minister</role> must, at such times and places as <role refersTo="#minister">the Minister</role> thinks appropriate, permit the person otherwise entitled to possession of the document, or a person authorised by that person, to inspect and make copies of, or take extracts from, the document.</p>

        </section>

          <heading>APRA Act secrecy provisions apply</heading>
          <content>
            <p>		Section 56 of the <i>Australian Prudential Regulation Authority Act 1998 </i>prohibits certain disclosures of information received under this Act.</p>
          </content>
        </section>
        <section eId="part-9__sec-76">
          <num>76</num>
          <heading>Conduct by directors, employees and agents</heading>
          <subsection eId="part-9__sec-76__subsec-1">
            <num>1</num>
            <content>
              <p>If, in proceedings for an offence against this Act, it is necessary to establish the state of mind of a company in relation to particular conduct, it is sufficient to show:</p>
            </content>
            <paragraph eId="part-9__sec-76__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>that the conduct was engaged in by a director, employee or agent of the company within the scope of his or her actual or apparent authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-76__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>that the director, employee or agent had the state of mind.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-76__subsec-2">
            <num>2</num>
            <content>
              <p>Any conduct engaged in on behalf of a company by a director, employee or agent of the company within the scope of his or her actual or apparent authority is taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the company unless the company establishes that the company took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-76__subsec-3">
            <num>3</num>
            <content>
              <p>If, in proceedings for an offence against this Act, it is necessary to establish the state of mind of a person other than a company in relation to particular conduct, it is sufficient to show that:</p>
            </content>
            <paragraph eId="part-9__sec-76__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>the conduct was engaged in by an employee or agent of the person within the scope of his or her actual or apparent authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-76__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>the employee or agent had the state of mind.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-9__sec-76__subsec-4">

              <p>	(4)	Any conduct engaged in on behalf of a person other than a company (in this subsection called the <b><i>employer</i></b>) by an employee or agent of the employer within the scope of his or her actual or apparent authority is taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the employer unless the employer establishes that he or she took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-76__subsec-5">

              <p>If:</p>
            </content>
            <paragraph eId="part-9__sec-76__subsec-5__para-a">
              <num>a</num>

                <p>a person other than a company is convicted of an offence; and</p>
              </content>

              <num>b</num>

                <p>the person would not have been convicted of the offence if subsections (3) and (4) had not been enacted;</p>
              </content>
              <content>
                <p>the person is not liable to be punished by imprisonment for that offence.</p>

              <p>A reference in this section to a director of a company includes a reference to a constituent member of a company incorporated for a public purpose by a law of the Commonwealth, of a State or of a Territory.</p>

              <p>For the purposes of this Act, the financial statements are prima facie evidence of:</p>

        </section>
        <section eId="part-9__sec-80">
          <num>80</num>
          <heading>Foreign Acquisitions and Takeovers Act 1975 and this Act to operate independently of each other</heading>
          <subsection eId="part-9__sec-80__subsec-1">
            <num>1</num>

              <p>	(1)	This Act and the <i>Foreign Acquisitions and Takeovers Act 1975 </i>operate independently of each other.</p>
            </content>
          </subsection>

              <p>In particular, a decision under either Act that the Commonwealth or a Minister has no objection to a proposal has effect only for the purposes of the Act concerned.</p>

          <heading>Transitional—pre-commencement acquisitions etc.</heading>
          <subsection eId="part-9__sec-81__subsec-1">
            <num>1</num>
            <content>
              <p>This section has effect subject to <ref href="#part-6">Part 6</ref> (which deals with anti-avoidance).</p>
            </content>
          </subsection>
          <subsection eId="part-9__sec-81__subsec-3">
            <num>3</num>
            <content>
              <p><ref href="#part-3">Part 3</ref> does not apply in relation to:</p>
            </content>
            <paragraph eId="part-9__sec-81__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>an acquisition of assets that occurred before the commencement of this Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-81__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>an acquisition of interests, rights or benefits of an Australian-registered insurance company under a contract of insurance where the company is the insurer, being an acquisition that occurred before the commencement of this Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-81__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>an arrangement relating to the leasing or letting on hire of, or the granting of other rights to use, assets of an Australian-registered insurance company that was entered into before the commencement of this Act.</p>

            <num>4</num>
            <content>
              <p><ref href="#part-4">Part 4</ref> does not apply in relation to:</p>

                <p>an agreement in relation to an Australian-registered insurance company that was entered into before the commencement of this Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-81__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>an alteration of a constituent document of an Australian-registered insurance company that occurred before the commencement of this Act.</p>
              </content>
            </paragraph>

          <heading>Regulations</heading>
          <subsection eId="part-9__sec-82__subsec-1">
            <num>1</num>
            <content>
              <p>The Governor-General may make regulations, not inconsistent with this Act, prescribing all matters:</p>
            </content>
            <paragraph eId="part-9__sec-82__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-82__subsec-1__para-b">

                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>

              <p>Without limiting the generality of subsection (1), the regulations may exempt specified proposals, acquisitions, arrangements or transactions from the operation of any or all of the provisions of Parts 3 and 4.</p>
