            <p>		This Act may be cited as the <i>Coal Mining Industry (Long Service Leave) Administration Act 1992</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Sections 1 and 2 commence on the day on which this Act receives the Royal Assent.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>Subject to subsection (3), sections 35 and 44 to 49 commence on a day or days to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-3">
            <num>3</num>
            <content>
              <p>If a section mentioned in subsection (2) does not commence under that subsection within the period of 12 months beginning on the day on which this Act receives the Royal Assent, it commences on the first day after the end of that period.</p>

          </subsection>

            <num>4</num>
            <content>
              <p>Subject to subsection (5), the remaining provisions of this Act commence on a day or days to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-5">
            <num>5</num>
            <content>
              <p>If a provision mentioned in subsection (4) does not commence under that subsection within the period of 6 months beginning on the day on which this Act receives the Royal Assent, it commences on the first day after the end of that period.</p>

          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Object</heading>
          <content>
            <p>The main object of this Act is to make provision in relation to long service leave in the black coal mining industry by:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>establishing a Coal Mining Industry (Long Service Leave Funding) Corporation; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ab">
            <num>ab</num>
            <content>
              <p>providing minimum entitlements and rights in respect of long service leave for eligible employees; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>requiring the Corporation to establish and maintain a Coal Mining Industry (Long Service Leave) Fund and to make payments out of the Fund to employers in the industry to reimburse them for payments made in respect of long service leave; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>	(c)	appropriating money for the purposes of the Fund in respect of the amounts of payroll levy paid by employers under the <i>Coal Mining Industry (Long Service Leave) Payroll Levy Collection Act 1992</i>.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Interpretation</heading>
          <subsection eId="part-1__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act, unless the contrary intention appears:</p>
            </content>
            <content>
              <p><b><i>bank</i></b> includes, but is not limited to, a body corporate that is an ADI (authorised deposit-taking institution) for the purposes of the <i>Banking Act 1959</i>.</p>
              <p><term refersTo="#term-base-rate-of-pay">base rate of pay</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
              <p><term refersTo="#term-black-coal-mining-industry">black coal mining industry</term> has the same meaning as <def>in the Black Coal Mining Industry Award 2010 as in force on 1 January 2010.</def></p>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of Directors of the Corporation.</def></p>
              <p><term refersTo="#term-chairperson">Chairperson</term> means <def>Chairperson of the Board.</def></p>
              <p><term refersTo="#term-civil-penalty-provision">civil penalty provision</term> has the same meaning as <def>in the Regulatory Powers Act.</def></p>
              <p><term refersTo="#term-corporation">Corporation</term> means <def>the corporation established by <ref href="#sec-6">section 6</ref>.</def></p>
              <p><b><i>covers</i></b>, in relation to an industrial instrument that is a modern award, enterprise agreement or workplace determination, has the same meaning as in the <i>Fair Work Act 2009</i>.</p>
              <p><term refersTo="#term-deputy-chairperson">Deputy Chairperson</term> means <def>Deputy Chairperson of the Board.</def></p>
              <p><term refersTo="#term-director">Director</term> means <def>a member of the Board.</def></p>
              <p><b><i>eligible employee</i></b> means:</p>
            </content>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an employee who is employed in the black coal mining industry by an employer engaged in the black coal mining industry, whose duties are directly connected with the day to day operation of a black coal mine; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>an employee who is employed in the black coal mining industry, whose duties are carried out at or about a place where black coal is mined and are directly connected with the day to day operation of a black coal mine; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>an employee permanently employed with a mine rescue service for the purposes of the black coal mining industry; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a prescribed person who is employed in the black coal mining industry;</p>
              </content>
              <content>
                <p>but does not include a person declared by the regulations not to be an eligible employee for the purposes of this Act.</p>

                <p><term refersTo="#term-employee">employee</term> means <def>a national system employee <ref href="#sec-13">as defined in section 13</ref> of <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-employee-organisation">employee organisation</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-employee-representative-director">employee-representative Director</term> means <def>a Director referred to in subsection 13(4) or (5).</def></p>
                <p><term refersTo="#term-employer">employer</term> means <def>a national system employer <ref href="#sec-14">as defined in section 14</ref> of <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-employer-reimbursement-rules">Employer Reimbursement Rules</term> has the meaning given by <def><ref href="#sec-45">section 45</ref>.</def></p>
                <p><term refersTo="#term-employer-representative-director">employer-representative Director</term> means <def>a Director referred to in subsection 13(2), (2A) or (3).</def></p>
                <p><term refersTo="#term-enterprise-agreement">enterprise agreement</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-executive-officer-of-a-body-corporate">executive officer of a body corporate</term> means <def>a person, by whatever name called and whether or not a director of the body, who is concerned in, or takes part in, the management of the body.</def></p>
                <p><term refersTo="#term-fair-work-instrument">fair work instrument</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-federal-court">Federal Court</term> means <def>the Federal Court of Australia.</def></p>
                <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
                <p><term refersTo="#term-fund">Fund</term> means <def>the Coal Mining Industry (Long Service Leave) Fund maintained by the Corporation under <ref href="#sec-40">section 40</ref>.</def></p>
                <p><term refersTo="#term-fwc">FWC</term> means <def>the Fair Work Commission.</def></p>
                <p><term refersTo="#term-industrial-association">industrial association</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><b><i>industrial instrument</i></b> means:</p>

                <p><term refersTo="#term-lsl-dispute">LSL dispute</term> has the meaning given by <def>subsection 39D(1).</def></p>
                <p><term refersTo="#term-modern-award">modern award</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-national-employment-standards">National Employment Standards</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><b><i>ordinary hours of work</i></b> of an eligible employee means:</p>

            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>if an industrial instrument that covers the employee specifies, or provides for the determination of, the ordinary hours of work of the employee—those hours; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>otherwise—the hours agreed by the employee and his or her employer as the employee’s ordinary hours of work;</p>
              </content>
              <content>
                <p>regardless of the number of hours actually worked by the employee.</p>
                <p><term refersTo="#term-payroll-levy">payroll levy</term> means <def>the levy imposed by the Payroll Levy Act and includes any amount of additional levy paid under <ref href="#sec-7">section 7</ref> of the Payroll Levy Collection Act.</def></p>
                <p><term refersTo="#term-payroll-levy-act">Payroll Levy Act</term> means <def>the Coal Mining Industry (Long Service Leave) Payroll Levy Act 1992.</def></p>
                <p><term refersTo="#term-payroll-levy-collection-act">Payroll Levy Collection Act</term> means <def>the Coal Mining Industry (Long Service Leave) Payroll Levy Collection Act 1992.</def></p>
                <p><term refersTo="#term-previous-fund">previous Fund</term> means <def>the Coal Mining Industry Long Service Leave Fund established under the States Grants (Coal Mining Industry Long Service Leave) Act 1949.</def></p>
                <p><term refersTo="#term-public-holiday">public holiday</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>
                <p><term refersTo="#term-qualifying-service">qualifying service</term> has the meaning given by <def><ref href="#sec-39A">section 39A</ref>.</def></p>
                <p><term refersTo="#term-quarter">quarter</term> means <def>a period of 3 months beginning on 1 July, 1 October, 1 January or 1 April.</def></p>
                <p><term refersTo="#term-regulatory-powers-act">Regulatory Powers Act</term> means <def>the Regulatory Powers (Standard Provisions) Act 2014.</def></p>
                <p><term refersTo="#term-salary-sacrifice-arrangement">salary sacrifice arrangement</term> has the same meaning as <def>in the Payroll Levy Collection Act.</def></p>
                <p><term refersTo="#term-waiver-agreement">waiver agreement</term> means <def>an agreement made under <ref href="#sec-39B">section 39B</ref> and includes such an agreement as varied under <ref href="#sec-39B">section 39B</ref>A.</def></p>
                <p><term refersTo="#term-workplace-determination">workplace determination</term> has the same meaning as <def>in <ref href="">the Fair Work Act 2009</ref>.</def></p>

            </paragraph>
          </subsection>

              <p>	(2)	A regulation is not to be made prescribing a person for the purposes of paragraph (d) of the definition of <b><i>eligible employee</i></b> in subsection (1) unless the prescribing of that person for those purposes has been recommended to the Minister by the Board.</p>

              <p>A corporation, to be known as the Coal Mining Industry (Long Service Leave Funding) Corporation, is established.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-2">

            <content>
              <p>The Corporation:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>is to have a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may sue and be sued in its corporate name.</p>
              </content>

              <p>The seal of the Corporation is to be kept in such custody as the Board directs, and must not be used except as authorised by the Board.</p>

          </subsection>
          <subsection eId="part-2__sec-6__subsec-4">
            <num>4</num>
            <content>
              <p>All courts, judges and persons acting judicially are to take judicial notice of the seal of the Corporation appearing on a document and are to presume that the document was duly sealed.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Functions of Corporation</heading>
          <content>
            <p>The functions of the Corporation are:</p>
          </content>
          <paragraph eId="part-2__sec-7__para-a">
            <num>a</num>
            <content>
              <p>to establish and maintain the Fund; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-b">
            <num>b</num>
            <content>
              <p>to make payments into and out of the Fund, and invest the Fund, in accordance with this Act and the Payroll Levy Collection Act; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-c">
            <num>c</num>
            <content>
              <p>to advise <role refersTo="#minister">the Minister</role> as to the rates of payroll levy that should be imposed on employers; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-d">
            <num>d</num>
            <content>
              <p>to monitor payments of the payroll levy and keep <role refersTo="#minister">the Minister</role> informed of any failure by an employer to pay the payroll levy; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-da">
            <num>da</num>
            <content>
              <p>to maintain records relating to:</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-i">
            <num>i</num>

              <p>the employment of eligible employees; and</p>

            <num>ii</num>

              <p>the qualifying service completed by, and the long service leave entitlements of, eligible employees; and</p>

              <p>employers of eligible employees; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-iv">
            <num>iv</num>
            <content>
              <p>amounts that are, or may become, payable to employers under <ref href="#part-7">Part 7</ref>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-e">
            <num>e</num>
            <content>
              <p>to advise <role refersTo="#minister">the Minister</role> generally on the operation of this Act, the Payroll Levy Act and the Payroll Levy Collection Act; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-7__para-f">
            <num>f</num>
            <content>
              <p>such other functions as are conferred on the Corporation by the Payroll Levy Collection Act.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-2__sec-8">
          <num>8</num>
          <heading>Powers of Corporation</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation has power to do all things that are necessary or convenient to be done for, or in connection with, the performance of its functions and, in particular, may:</p>
            </content>
            <paragraph eId="part-2__sec-8__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>acquire, hold and dispose of real or personal property; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>enter into contracts; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>occupy, use and control any land or building owned or leased by the Commonwealth and made available for the purposes of the Corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>appoint agents and attorneys; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>do anything incidental to any of its powers.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>The power of the Corporation to enter into contracts includes the power to enter into a contract with a person under which that person will administer the Fund on behalf of the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-3">
            <num>3</num>
            <content>
              <p>Except with the written consent of <role refersTo="#minister">the Minister</role>, the Corporation must not enter into a contract under which, or as a result of which, the Corporation would or might be liable to pay, in respect of any one transaction, any commission, brokerage or fee exceeding $100,000 or, if a higher amount is prescribed, that higher amount.</p>

              <p>Without derogating from the obligation of the Corporation to comply with subsection (3), the validity of a contract is not affected merely because the contract was entered into in contravention of that subsection.</p>

              <p>There is to be a Board of Directors of the Corporation.</p>

              <p>Subject to <ref href="#sec-8">section 8</ref>, the Board is to manage the affairs of the Corporation and administer the Fund.</p>

            <heading>Guidelines for managing affairs of Corporation</heading>
            <subsection eId="part-3__dvs-1__sec-11__subsec-1">
              <num>1</num>

                <p>This section does not apply to the investment of the Fund or payments out of the Fund under <ref href="#sec-44">section 44</ref>.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-2">
              <num>2</num>
              <content>
                <p>The Board must prepare guidelines for the management of the affairs of the Corporation and submit them to <role refersTo="#minister">the Minister</role> for approval.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may approve the guidelines or refer them back to the Board for revision in accordance with the directions of <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-4">
              <num>4</num>
              <content>
                <p>If the guidelines are referred back to the Board, the Board must revise the guidelines and submit the revised guidelines to <role refersTo="#minister">the Minister</role> for approval.</p>
              </content>
            </subsection>

              <content>
                <p>Subsection (3) applies to revised guidelines submitted under subsection (4) as it applies to guidelines submitted under subsection (2).</p>

                  <p>a vacancy in the office of Chairperson or Deputy Chairperson; or</p>
                </content>
              </paragraph>

                  <p>any vacancy in the membership of the Board.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

            <heading>Appointment of Directors</heading>

              <content>
                <p>The Directors are to be appointed by <role refersTo="#minister">the Minister</role> and hold office on a part-time basis.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-2">
              <num>2</num>
              <content>
                <p>One Director is to be appointed to represent the companies engaged in black coal mining in New South Wales or Tasmania.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-2A">
              <num>2A</num>
              <content>
                <p>One Director is to be appointed to represent the companies engaged in black coal mining in Queensland.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-3">
              <num>3</num>
              <content>
                <p>One Director is to be appointed to represent companies engaged in black coal mining in Western Australia.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-4">

                <p>Two Directors are to be appointed to represent the Mining and Energy Union.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-5">

                <p>One Director is to be appointed to represent the following organisations:</p>

                  <p>the Communications, Electrical, Electronic, Energy, Information, Postal, Plumbing and Allied Services Union of Australia;</p>

                  <p>the Automotive, Food, Metals, Engineering, Printing and Kindred Industries Union;</p>

                  <p>changes its name; or</p>

              <paragraph eId="part-3__dvs-1__sec-13__subsec-8__para-b">

                  <p>merges with another organisation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-13__subsec-8__para-c">

                  <p>is succeeded by another organisation;</p>

                  <p>the reference in that subsection to the first-mentioned organisation is taken to be a reference to that organisation under its new name or to the other organisation, as the case requires.</p>

            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-9">

              <content>
                <p>A person to be appointed as a Director as mentioned in subsection (2), (2A), (3), (4) or (5) is to be a person who <role refersTo="#minister">the Minister</role> considers, after consulting the bodies or organisations that the person is to represent, is suitable to represent those bodies or organisations, as the case may be.</p>
              </content>
            </subsection>
          </section>

            <num>14</num>
            <heading>Appointment of Chairperson and Deputy Chairperson</heading>
            <subsection eId="part-3__dvs-1__sec-14__subsec-1">

                <p>One of the Directors is to be appointed to be the Chairperson of the Board and another of them to be the Deputy Chairperson of the Board.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>The first appointment of the Chairperson and the first appointment of the Deputy Chairperson are to be made by <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-14__subsec-3">
              <num>3</num>
              <content>
                <p>Subsequent appointments are to be made by the Board.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-14__subsec-4">

                <p>Subject to subsection (5), a Director appointed to be the Chairperson or Deputy Chairperson is to be so appointed for such period not exceeding 4 years as is set out in the instrument of his or her appointment.</p>

                <p>In making an appointment under subsection (1) and in fixing the period of such an appointment, <role refersTo="#minister">the Minister</role> or the Board, as the case may be, must try to ensure, as far as is reasonably practicable, that:</p>

                  <p>the Chairperson and the Deputy Chairperson are appointed from different categories of Directors; and</p>

                  <p>the offices of Chairperson and Deputy Chairperson are rotated every 4 years between the two categories of Directors.</p>

                <p>If a two-thirds majority of the Directors (being a majority that includes 2 employee-representative Directors and 2 employer-representative Directors) sign a document containing a statement that they are in favour of a resolution in terms set out in the document, a resolution in those terms is taken to have been passed at a duly constituted meeting of the Board held on the day the document was signed, or, if the Directors signed the document on different days, on the last of those days.</p>

                <p>The Chairperson may grant leave of absence to another Director on such terms and conditions as to remuneration or otherwise as the Chairperson considers appropriate.</p>

            <heading>Resignation</heading>

                <p>The Chairperson or Deputy Chairperson may resign from the office of Chairperson or Deputy Chairperson by writing signed by him or her and delivered to <role refersTo="#minister">the Minister</role> but a resignation from such an office does not affect his or her appointment as a Director.</p>

            <heading>Outside employment</heading>

              <p>A Director must not engage in any paid employment that, in <role refersTo="#minister">the Minister</role>’s opinion, conflicts with the proper performance of the Director’s functions.</p>

            <heading>Termination of appointment</heading>

                <p><role refersTo="#minister">The Minister</role> may terminate a Director’s appointment for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-28__subsec-2">

              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate a Director’s appointment if:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-28__subsec-2__para-a">

                  <p>the bodies or organisations that the Director was appointed to represent request <role refersTo="#minister">the Minister</role> in writing to terminate the appointment; or</p>

                <content>
                  <p>the Director becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with creditors or makes an assignment of remuneration for their benefit; or</p>

                <p>	(1)	If a Director (the <b><i>absent Director</i></b>) is, or is expected to be, absent from duty or from Australia, or for any other reason unable to perform his or her duties as Director, the Minister may appoint a person to act as Director, during the period of the absence or inability, to represent the bodies or organisations that the absent Director was appointed to represent.</p>

              <p>The terms and conditions of employment are to be determined by the Board.</p>

          </subsection>
        </section>

            <content>
              <p>The Corporation may engage persons who have suitable qualifications and experience as consultants to the Corporation.</p>

              <p>The terms and conditions of engagement are to be determined by the Board.</p>
            </content>
          </subsection>
        </section>
      </part>

        <heading>Finance</heading>

          <heading>Transfer of previous Fund to Corporation</heading>
          <subsection eId="part-5__sec-35__subsec-1">

              <p>Upon the commencement of this section, the amount in the Trust Fund standing to the credit of the previous Fund is payable to the Corporation, and the Finance Minister must arrange for the payment to be made as soon as practicable after that commencement.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-35__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	Upon the making of the payment, the <i>States Grants (Coal Mining Industry Long Service Leave) Act 1949</i> is, by force of this subsection, repealed.</p>

              <p>	(3)	The Minister must cause notice of the repeal to be published in the <i>Gazette</i>.</p>

              <p>The amounts that, but for this subsection, would be payable out of the Consolidated Revenue Fund to the Corporation under subsection (1) are reduced by such amount or amounts as are determined by <role refersTo="#minister">the Minister</role> to represent the expenses incurred by the Commonwealth in procuring the enactment, and in connection with the administration, of this Act, the Payroll Levy Act and the Payroll Levy Collection Act.</p>

          </subsection>

              <p>The Finance Minister may give directions as to the amounts and times of payments to the Corporation under this section.</p>

          </subsection>

              <p>The Consolidated Revenue Fund is appropriated for the purposes of this section.</p>
            </content>
          </subsection>
        </section>

              <p>Subject to this section, the Corporation may, with the written approval of <role refersTo="#minister">the Minister</role> and not otherwise, borrow money on terms and conditions specified in, or consistent with, the approval.</p>

          </subsection>

            <num>2</num>
            <content>
              <p>The approval of <role refersTo="#minister">the Minister</role> is not required for a borrowing if the sum of:</p>
            </content>

                <p>the amount to be borrowed; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-37__subsec-2__para-b">

                <p>any amounts previously borrowed by the Corporation for the same purpose as the first-mentioned borrowing;</p>
              </content>
              <content>
                <p>does not exceed $50,000 or, if a higher amount is prescribed, that higher amount.</p>

              <p>Money may be borrowed wholly or partly in foreign currency.</p>

                <p>If:</p>

                  <p>	(a)	subsection (3) applies in relation to a casual employee for a week (the <b><i>initial week</i></b>); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-3A__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	apart from this subsection, subsection (3) does not apply in relation to that employee for the next week (the <b><i>relevant week</i></b>) after the initial week; and</p>

              </paragraph>

                <num>c</num>
                <content>
                  <p>the relevant week is not otherwise a period of qualifying service for that employee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-3A__para-d">
                <num>d</num>

                  <p>subsection (3) applies in relation to that employee for the next week after the relevant week;</p>
                </content>
                <content>
                  <p>then, for the purposes of subsection (2), that employee is taken to have been an eligible employee for the whole of the relevant week in the capacity of a casual employee.</p>

                <p>If:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-3B__para-a">
                <num>a</num>
                <content>
                  <p>subsection (3) applies in relation to a casual employee for a week beginning in a quarter; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-3B__para-b">
                <num>b</num>
                <content>
                  <p>apart from this subsection, there are one or more later weeks beginning in that quarter that are not a period of qualifying service for that employee;</p>
                </content>
                <content>
                  <p>then, for the purposes of subsection (2), rules made under subsection (3C) may set out the circumstances in which that employee is taken to have been an eligible employee for the whole of one or more of those later weeks in the capacity of a casual employee.</p>

                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make rules for the purposes of subsection (3B).</p>
              </content>
              <content>
                <p>Effect of break period once entitled to long service leave</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-1__sec-39A__subsec-4">
              <num>4</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>an employee ceases to be an eligible employee for a continuous period of 8 years or more; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	at the time of so ceasing, the employee is entitled to long service leave under subsection (1) in respect of a period, or periods, of qualifying service (the employee’s <b><i>previous qualifying service</i></b>); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39A__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>the employee becomes an eligible employee again;</p>
                </content>
                <content>
                  <p>paragraph (2)(c) does not apply in respect of the employee’s previous qualifying service.</p>

            </subsection>
          </section>
          <section eId="part-5A__dvs-1__sec-39AA">
            <num>39AA</num>
            <heading>Amount of long service leave</heading>
            <subsection eId="part-5A__dvs-1__sec-39AA__subsec-1">
              <num>1</num>
              <content>
                <p>The number of hours of long service leave that an eligible employee is entitled to for a week of qualifying service completed by the employee is worked out using the formula in subsection (2).</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-1__sec-39AA__subsec-2">
              <num>2</num>
              <content>
                <p>The formula is:</p>

                <p>	(5)	A week beginning in a quarter is an <b><i>applicable week</i></b> for an employee if:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39AA__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the employee is a casual employee at any time during the week; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AA__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	paragraph (b) of the definition of <b><i>working hours </i></b>in subsection (2) did not apply to the employee for the week.</p>

            <num>39AB</num>
            <heading>Grant of long service leave</heading>
            <subsection eId="part-5A__dvs-1__sec-39AB__subsec-1">
              <num>1</num>
              <content>
                <p>An eligible employee may apply, in writing, to his or her employer to take a period of long service leave.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-1__sec-39AB__subsec-2">
              <num>2</num>
              <content>
                <p>The employee may only apply to take a period of long service leave that:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>is a single continuous period of at least 14 days (being equivalent to a number of hours of long service leave as agreed with the employer); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>does not exceed the employee’s LSL credit at the time the leave is to be taken.</p>
                </content>

                <p>As soon as practicable, but no later than 14 days after the application is made, the employer must give the employee a written response:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>stating whether or not the employer grants the long service leave; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>if the employer refuses to grant the long service leave—giving details of the reasons for the refusal.</p>
                </content>

                <p>Meaning of <b>LSL credit</b></p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-1__sec-39AB__subsec-5">
              <num>5</num>
              <content>
                <p>	(5)	For the purposes of this section, the long service leave credit (<b><i>LSL credit</i></b>) of an eligible employee on a day (the <b><i>calculation day</i></b>) is the number of hours worked out as follows:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>first, add together the number of hours of long service leave that the employee is entitled to under <ref href="#sec-39A">section 39A</ref>A for each week of qualifying service completed by the employee before the calculation day;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-5__para-aa">
                <num>aa</num>
                <content>
                  <p>then, if because of the operation of subsections 39AA(3) to (5), there are one or more weeks of qualifying service completed by the employee before the calculation day:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>that are applicable weeks <ref href="#sec-39A">within the meaning of section 39A</ref>A; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>for which the number of hours of long service leave the employee is entitled to under <ref href="#sec-39A">section 39A</ref>A cannot be determined yet;</p>
                </content>

                  <p>add together the number of hours for each of those applicable weeks worked out under subsection (6) of this section;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AB__subsec-5__para-b">
                <num>b</num>

                  <p>then, subtract the number of hours of long service leave (if any) previously granted to the employee under this section.</p>

                <p>If an eligible employee (other than a casual employee) takes a period of long service leave, the employer must pay the employee for the long service leave no less than an amount that is equal to the base rate of pay (including incentive-based payments and bonuses) that would have been payable to the employee during the period had the employee not taken the leave.</p>

                  <p>if an industrial instrument that covers the employee specifies that the employee is to be paid a casual loading and the casual loading can be quantified—the base rate of pay (including incentive-based payments, bonuses and the casual loading) that would have been payable to the employee during the period had the employee not taken the leave; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AC__subsec-2__para-b">
                <num>b</num>

                  <p>otherwise—the ordinary rate of pay (including incentive-based payments and bonuses) that would have been payable to the employee during the period had the employee not taken the leave.</p>

                  <p>a reference to the ordinary rate of pay payable to an employee is a reference to the employee’s ordinary rate of pay before any amounts are deducted under a salary sacrifice arrangement; and</p>

            <heading>Manner of payment for long service leave</heading>
            <content>
              <p>If an eligible employee takes a period of long service leave, the employer must pay the employee for the long service leave:</p>
            </content>
            <paragraph eId="part-5A__dvs-1__sec-39AD__para-a">
              <num>a</num>
              <content>
                <p>at the same time as the employer would have paid the employee during the period if the employee had not taken the leave; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5A__dvs-1__sec-39AD__para-b">
              <num>b</num>
              <content>
                <p>if the employee requests to be paid in advance for the whole period and an industrial instrument that covers the employee expressly allows the employee to be paid in advance for long service leave—in accordance with the employee’s request.</p>

                <p>If the period during which an eligible employee takes long service leave includes a day or part-day that is a public holiday in the place where the employee is based for work purposes:</p>
              </content>
              <paragraph eId="part-5A__dvs-1__sec-39AE__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the employee is taken not to be on long service leave on that whole day; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-1__sec-39AE__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the public holiday is taken not to break the continuity of the period of long service leave.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-1__sec-39AE__subsec-2">

                <p>	(2)	If the period during which an eligible employee takes long service leave includes a period of absence from employment under <i>Fair Work Act 2009</i> (which deals with community service leave):<ref href="#dvs-8">Division 8</ref> of <ref href="#part-2">Part 2</ref>-2 of the </p>

                  <p>the employee is taken not to be on long service leave for the period of absence; and</p>

          <heading>Waiver agreements</heading>

            <heading>Waiver agreements may be made with certain employees</heading>
            <subsection eId="part-5A__dvs-2__sec-39B__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	An eligible employee of a kind prescribed by the regulations may make an agreement (a <b><i>waiver agreement</i></b>) with his or her employer that provides for the employer to do either or both of the following:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>pay additional remuneration to the employee or as directed by the employee;</p>
                </content>
              </paragraph>

              <num>2</num>
              <content>
                <p>The value of the additional remuneration, contributions, or both, must be equal to, or greater than, the amount of payroll levy that would have been payable by the employer in respect of eligible wages paid to the employee had the waiver agreement not been in effect.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39B__subsec-3">
              <num>3</num>
              <content>
                <p>The waiver agreement must:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>be in writing; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>include terms dealing with the matters set out in subsection (4); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>be signed by both the employee and employer; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>specify the date on which the agreement is made; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-3__para-e">
                <num>e</num>
                <content>
                  <p>specify the date on which the agreement takes effect (being a date after the agreement is lodged with the Corporation under subsection (5)).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39B__subsec-4">
              <num>4</num>
              <content>
                <p>For the purposes of paragraph (3)(b), the matters are:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the frequency of the additional payments, contributions or both; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>if, because of a change in circumstances, the agreement no longer complies with subsection (2)—how the agreement is to be varied under <ref href="#sec-39B">section 39B</ref>A.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39B__subsec-5">
              <num>5</num>
              <content>
                <p>As soon as practicable after the waiver agreement is made, the employer must lodge it with the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39B__subsec-6">
              <num>6</num>
              <content>
                <p>A waiver agreement between an employee and an employer ceases to have effect if:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>the Corporation refuses to approve it (see subsection 39BC(5)); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>it is terminated under <ref href="#sec-39B">section 39B</ref>B; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39B__subsec-6__para-c">
                <num>c</num>
                <content>
                  <p>the employee ceases to be an eligible employee of a kind mentioned in subsection (1).</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5A__dvs-2__sec-39BA">
            <num>39BA</num>
            <heading>Variation of waiver agreements</heading>
            <subsection eId="part-5A__dvs-2__sec-39BA__subsec-1">
              <num>1</num>
              <content>
                <p>If a waiver agreement is in effect between an employee and an employer, the employee and employer may agree to vary the agreement.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BA__subsec-2">
              <num>2</num>
              <content>
                <p>The variation must:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39BA__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>be in writing; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BA__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>be signed by both the employee and employer; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BA__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>specify the date on which the variation is made; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BA__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>specify the date on which the variation takes effect (being a date after the variation is lodged with the Corporation under subsection (3)).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BA__subsec-3">
              <num>3</num>
              <content>
                <p>As soon as practicable after the variation is made, the employer must lodge the varied waiver agreement with the Corporation.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5A__dvs-2__sec-39BB">
            <num>39BB</num>
            <heading>Termination of waiver agreements</heading>
            <subsection eId="part-5A__dvs-2__sec-39BB__subsec-1">
              <num>1</num>
              <content>
                <p>If a waiver agreement is in effect between an employee and an employer, the employee and employer may agree to terminate the agreement.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BB__subsec-2">
              <num>2</num>
              <content>
                <p>The employer may only refuse to terminate a waiver agreement if the employer has reasonable grounds to do so.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BB__subsec-3">
              <num>3</num>
              <content>
                <p>The agreement to terminate must:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39BB__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>be in writing; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BB__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>be signed by both the employee and employer; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BB__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>specify the date on which the waiver agreement terminates.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BB__subsec-4">
              <num>4</num>
              <content>
                <p>As soon as practicable after the agreement to terminate is made, the employer must give the Corporation written notice of the termination, including the date on which the waiver agreement terminates.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5A__dvs-2__sec-39BC">
            <num>39BC</num>
            <heading>Approval of waiver agreements and variations by the Corporation</heading>
            <subsection eId="part-5A__dvs-2__sec-39BC__subsec-1">
              <num>1</num>
              <content>
                <p><quantity refersTo="#deadline">Within 30 days</quantity> after a waiver agreement, or a varied waiver agreement, is lodged with the Corporation, the Board must:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>decide to approve or refuse to approve the agreement or variation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>give the parties to the agreement or varied agreement written notice of the decision.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BC__subsec-2">
              <num>2</num>
              <content>
                <p>If the Board does not make a decision within the 30 day period mentioned in subsection (1), the Board is taken to have approved the waiver agreement or variation (as the case may be).</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BC__subsec-3">
              <num>3</num>
              <content>
                <p>The Board may only decide to approve a waiver agreement or variation if the Board is satisfied that:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the employee to whom the agreement or variation relates is an eligible employee of a kind mentioned in subsection 39B(1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>there are no reasonable grounds for believing that the agreement or variation has not been genuinely agreed to by the parties; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the terms of the agreement, or varied agreement:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>do not contravene subsection 39B(2); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>adequately deal with the matters set out in subsection 39B(4).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BC__subsec-4">
              <num>4</num>
              <content>
                <p>If the Board refuses to approve a waiver agreement or a variation, the notice given under paragraph (1)(b) must:</p>
              </content>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>set out the reasons for the refusal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-2__sec-39BC__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	include a statement that, subject to the <i>Administrative Review Tribunal Act 2024</i>, application may be made to the Administrative Review Tribunal for review of the Board’s decision.</p>
                </content>

                <p>If the Board refuses to approve a waiver agreement, the agreement ceases to have effect on the day the parties to the agreement are notified of the refusal under paragraph (1)(b).</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-2__sec-39BC__subsec-6">
              <num>6</num>
              <content>
                <p>If the Board refuses to approve a variation of a waiver agreement, the variation ceases to have effect on the day the parties to the variation are notified of the refusal under paragraph (1)(b).</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5A__dvs-2__sec-39BD">
            <num>39BD</num>
            <heading>Effect of waiver agreements on payroll levy</heading>
            <content>
              <p>For any period during which a waiver agreement is in effect between an eligible employee and an employer, the employee is taken not to be an eligible employee for the purposes of sections 4 and 6 of the Payroll Levy Act.</p>
            </content>

                <p>Note:	This means that an employer of an eligible employee is not required to pay payroll levy in respect of eligible wages paid to the employee while the waiver agreement is in effect. However, returns made by the employer under <ref href="#sec-5">section 5</ref> of the Payroll Levy Collection Act while the waiver agreement is in effect will still need to include information in relation to the employee.</p>

            <heading>Employer must comply with waiver agreement</heading>

              <p>If a waiver agreement is in effect between an employee and an employer, the employer must pay the additional remuneration or make the additional contributions or both pay the additional remuneration and make the additional contributions (as the case may be) in accordance with the terms of the agreement.</p>

                  <p>at any time after so ceasing, the employee requests the employer, in writing, to make a payment under this section;</p>

                  <p>the employer must, <quantity refersTo="#deadline">within 30 days</quantity> after the request is made, pay the employee no less than the amount that would have been payable to the employee under this Part had the employee taken that period of long service leave immediately before ceasing to be an eligible employee, less any amount previously paid to the employee under this section.</p>

                  <p>at any time after the employee’s death, the employee’s legal personal representative requests the employer, in writing, to make a payment under this section;</p>

                  <p>the employer must, <quantity refersTo="#deadline">within 30 days</quantity> after the request is made, pay the employee’s legal personal representative no less than the amount that would have been payable to the employee under subsection (1) as if the employee had made a request under that subsection in respect of all the untaken long service leave.</p>

              <paragraph eId="part-5A__dvs-3__sec-39CA__subsec-1__para-a">
                <num>a</num>

                  <p>an employee ceases to be an eligible employee:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CA__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>because of ill health; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CA__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>because he or she retires from the black coal mining industry on or after reaching the age of 60 years; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CA__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>at the time of so ceasing, the employee has completed a period, or periods, of qualifying service in respect of which the employee is not entitled to long service leave under this Part; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CA__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>at any time after so ceasing, the employee requests the employer, in writing, to make a payment under this section.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-3__sec-39CA__subsec-2">
              <num>2</num>
              <content>
                <p>The employer must, <quantity refersTo="#deadline">within 30 days</quantity> after the request is made, pay the employee no less than the amount that would have been payable to the employee under this Part had the employee:</p>

                <num>a</num>

                  <p>been entitled to long service leave for the period, or periods, of qualifying service; and</p>

                  <p>taken that long service leave immediately before ceasing to be an eligible employee;</p>

                <num>b</num>
                <content>
                  <p>at the time of so ceasing, the employee has completed a period, or periods, of qualifying service (being a period that is, or periods that add up to, at least 6 years) in respect of which the employee is not entitled to long service leave under this Part; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CB__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>at any time after so ceasing, the employee requests the employer, in writing, to make a payment under this section.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-3__sec-39CB__subsec-2">
              <num>2</num>
              <content>
                <p>The employer must, <quantity refersTo="#deadline">within 30 days</quantity> after the request is made, pay the employee no less than the amount that would have been payable to the employee under this Part had the employee:</p>

                <num>a</num>
                <content>
                  <p>been entitled to long service leave for the period, or periods, of qualifying service; and</p>

                <num>a</num>

                  <p>an eligible employee dies; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CC__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>at the time of the employee’s death, either of the following apply:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CC__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the employee has a period of untaken long service leave under this Part;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CC__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>the employee has completed a period, or periods, of qualifying service in respect of which the employee is not entitled to long service leave under this Part; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-3__sec-39CC__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>at any time after the employee’s death, the employee’s legal personal representative requests the employer, in writing, to make a payment under this section.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5A__dvs-3__sec-39CC__subsec-2">
              <num>2</num>
              <content>
                <p>The employer must, <quantity refersTo="#deadline">within 30 days</quantity> after the request is made, pay the employee’s legal personal representative no less than:</p>
              </content>
              <paragraph eId="part-5A__dvs-3__sec-39CC__subsec-2__para-a">
                <num>a</num>
                <content>

              <p>If an employee, or the legal personal representative of an employee, is paid an amount under <ref href="#sec-39C">section 39C</ref> or 39CC in respect of a period of untaken long service leave, the payment extinguishes the employee’s entitlement under this Part to the period of untaken long service leave.</p>

            <num>39CE</num>
            <heading>Effect of payment in respect of qualifying service</heading>
            <subsection eId="part-5A__dvs-3__sec-39CE__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies in relation to a period of qualifying service completed by an employee if, on ceasing to be an eligible employee, the employee is paid an amount under <ref href="#sec-39C">section 39C</ref>A or 39CB in respect of the period of qualifying service.</p>
              </content>
            </subsection>
            <subsection eId="part-5A__dvs-3__sec-39CE__subsec-2">
              <num>2</num>
              <content>
                <p>If the employee becomes an eligible employee again, the period of qualifying service continues to be a period of qualifying service for the purposes of subsection 39A(1) unless the employee ceased to be an eligible employee for a continuous period of 8 years or more.</p>

            </subsection>
            <subsection eId="part-5A__dvs-3__sec-39CE__subsec-3">
              <num>3</num>
              <content>
                <p>If the employee becomes entitled to long service leave under this Part in respect of the period of qualifying service, the number of hours of long service leave that the employee is entitled to under <ref href="#sec-39A">section 39A</ref>A for the period of qualifying service is taken to be nil.</p>

                <p>Nothing in this section requires more than 1 payment to be made under this Division in respect of the period of qualifying service.</p>

                <p>The Federal Court or the Federal Circuit and Family Court of Australia (<ref href="#dvs-2">Division 2</ref>) may, on application under <ref href="#sec-39D">section 39D</ref>A, make one or more of the following orders in relation to a person who has contravened or proposes to contravene a civil penalty provision of this Part:</p>

                  <p>an order granting an injunction, or interim injunction, to prevent, stop or remedy the effects of the contravention or proposed contravention;</p>

                  <p>any other order that the court considers necessary to stop, or rectify the effects of, the contravention or proposed contravention.</p>

            <heading>Relationship with industrial instruments</heading>
            <content>
              <p>This Part establishes minimum entitlements and rights in respect of long service leave for an eligible employee and is not intended to override entitlements or rights in respect of long service leave under an industrial instrument that covers the employee.</p>
            </content>

                <p>A person has an entitlement to long service leave under this Part on the basis that:</p>
              </content>
              <paragraph eId="part-5A__dvs-6__sec-39F__subsec-1__para-a">

                <content>
                  <p>the entitlement may be cancelled, revoked, terminated or varied by or under later legislation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5A__dvs-6__sec-39F__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>no compensation is payable if the entitlement is cancelled, revoked, terminated or varied.</p>
                </content>
              </paragraph>
            </subsection>

                <p>A person has a right to receive a payment in respect of long service leave under this Part on the basis that:</p>

                  <p>the right may be cancelled, revoked, terminated or varied by or under later legislation; and</p>
                </content>

                  <p>no compensation is payable if the right is so cancelled, revoked, terminated or varied.</p>

        <heading>The Coal Mining Industry (Long Service Leave) Fund</heading>
        <section eId="part-6__sec-40">
          <num>40</num>
          <heading>Establishment of the Fund</heading>
          <subsection eId="part-6__sec-40__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation must establish and maintain in its books of account a fund to be known as the Coal Mining Industry (Long Service Leave) Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-40__subsec-2">
            <num>2</num>
            <content>
              <p>All money received by the Corporation other than payments made by employers in respect of payroll levy is to be paid into, and is taken to be part of, the Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-40__subsec-3">
            <num>3</num>
            <content>
              <p>Payment of money into a bank account maintained by the Corporation constitutes payment into the Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-40__subsec-4">
            <num>4</num>
            <content>
              <p>The Corporation may create separate notional accounts within the Fund to reflect payroll levy paid by employers before <date date="2012-01-01">1 January 2012</date> and such levy paid on or after <date date="2012-01-01">1 January 2012</date>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-41">
          <num>41</num>
          <heading>Application of the Fund</heading>
          <content>
            <p>The Fund is to be applied only in making payments that are required or permitted by this Act or the Payroll Levy Collection Act to be made out of the Fund.</p>
          </content>
        </section>
        <section eId="part-6__sec-42">
          <num>42</num>
          <heading>Investment of the Fund</heading>
          <subsection eId="part-6__sec-42__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by written notice to the Board, set out principles or guidelines to be followed in respect of the investment of the Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-2">
            <num>2</num>
            <content>
              <p>As soon as practicable after the commencement of this section the Board must prepare a plan for the investment of the Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-3">
            <num>3</num>
            <content>
              <p>The Board must revise the plan prepared under subsection (2), or that plan as previously revised under this subsection, not later than 12 months after the plan was prepared or last revised, as the case may be.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-4">
            <num>4</num>
            <content>
              <p>Any plan for the investment of the Fund must:</p>
            </content>
            <paragraph eId="part-6__sec-42__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>conform with any principles or guidelines referred to in subsection (1); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-42__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>subject to those principles or guidelines, be directed towards maximising the return on the money invested consistently with prudent financial management practices.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-5">
            <num>5</num>
            <content>
              <p>As soon as practicable after the Board has prepared, or revised, a plan for the investment of the Fund the Board must send a copy of the plan, or of the revised plan, to <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-6">
            <num>6</num>
            <content>
              <p>If <role refersTo="#minister">the Minister</role> is of the opinion that a plan or revised plan prepared under this section does not comply with subsection (4), <role refersTo="#minister">the Minister</role> may return the plan to the Board for reconsideration in accordance with any directions given by <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-7">
            <num>7</num>
            <content>
              <p>Where a plan is so returned by <role refersTo="#minister">the Minister</role>, the Board must revise the plan in accordance with <role refersTo="#minister">the Minister</role>’s directions and send a copy of the revised plan to <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-42__subsec-8">
            <num>8</num>
            <content>
              <p>Any asset in which money included in the Fund is invested forms part of the Fund.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-43">
          <num>43</num>
          <heading>Sufficiency of the Fund</heading>
          <subsection eId="part-6__sec-43__subsec-1">
            <num>1</num>
            <content>
              <p>The Board must seek advice from an actuary as to:</p>
            </content>
            <paragraph eId="part-6__sec-43__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>whether the rate of payroll levy imposed (at the time the advice is given) would be adequate to ensure that the Fund will be sufficient to reimburse employers in accordance with the Employer Reimbursement Rules; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-43__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if not, the rate that would be so adequate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-43__subsec-2">
            <num>2</num>
            <content>
              <p>The Board must seek such advice at least once every 3 years.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-43__subsec-5">
            <num>5</num>
            <content>
              <p>When the Board obtains advice from an actuary, the Board must notify <role refersTo="#minister">the Minister</role> of the terms of the advice and make a recommendation to <role refersTo="#minister">the Minister</role> as to whether the rate of payroll levy needs to be changed and, if so, the rate that should be imposed.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-43__subsec-6">
            <num>6</num>
            <content>
              <p>If the Board forms the opinion, having regard to any advice obtained by it under this section, that the Fund is likely within the ensuing 12 months to be sufficient to reimburse employers in accordance with the Employer Reimbursement Rules, the Board must give to <role refersTo="#minister">the Minister</role> a written report stating that it has formed that opinion and setting out the reasons for that opinion.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-43__subsec-7">
            <num>7</num>
            <content>
              <p>If at any time the Board considers that the amount standing to the credit of the Fund exceeds the amount required to be retained in the Fund to make any payments that will need to be made out of the Fund, the Board may distribute the excess among such persons who have paid payroll levy, and in such amounts, as the Board considers equitable.</p>
            </content>
          </subsection>
        </section>
      </part>

        <num>7</num>
        <heading>Payments out of the Fund</heading>
        <section eId="part-7__sec-44">
          <num>44</num>
          <heading>Reimbursement for payments relating to long service leave</heading>
          <subsection eId="part-7__sec-44__subsec-1">
            <num>1</num>
            <content>
              <p>If an employer makes a payment under <ref href="#part-5A">Part 5A</ref> to a person who is or was an eligible employee, the Corporation must pay the employer out of the Fund the reimbursable amount the Board decides in accordance with the Employer Reimbursement Rules.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-44__subsec-2">
            <num>2</num>
            <content>
              <p>If an employer makes a payment under <ref href="#part-5A">Part 5A</ref> to the legal personal representative of a deceased person who is or was an eligible employee, the Corporation must pay the employer out of the Fund the reimbursable amount the Board decides in accordance with the Employer Reimbursement Rules.</p>
            </content>

          <heading>Employer Reimbursement Rules</heading>
          <subsection eId="part-7__sec-45__subsec-1">
            <num>1</num>
            <content>
              <p>The Board must, by legislative instrument, make rules relating to:</p>
            </content>
            <paragraph eId="part-7__sec-45__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the amount that an employer is to be reimbursed for a payment by the employer under <ref href="#part-5A">Part 5A</ref> to a person who is or was an eligible employee; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-45__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the amount that an employer is to be reimbursed for a payment by the employer under <ref href="#part-5A">Part 5A</ref> to the legal personal representative of a deceased person who is or was an eligible employee; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-45__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the creation of a notional account for each person who is or was an eligible employee representing his or her share of payments into the Fund on or after <date date="2012-01-01">1 January 2012</date>, whether or not the relevant employer actually receives any of that share.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-45__subsec-2">
            <num>2</num>
            <content>
              <p>Rules relating to amounts mentioned in paragraph (1)(a) or (b) may be different on the basis of:</p>
            </content>
            <paragraph eId="part-7__sec-45__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>employment as an eligible employee before <date date="2012-01-01">1 January 2012</date>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-45__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>employment as an eligible employee on or after <date date="2012-01-01">1 January 2012</date>.</p>
              </content>
            </paragraph>
          </subsection>

              <p>An eligible employee, or a former eligible employee, may apply, in writing, to the Corporation for a payment in respect of a period of untaken long service leave under <ref href="#part-5A">Part 5A</ref> if the employee’s employer is insolvent, is being wound up or has ceased to exist.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-48__subsec-2">
            <num>2</num>
            <content>
              <p>If the Board verifies that the employer is insolvent, is being wound up or has ceased to exist, the Corporation must pay the employee in respect of the employee’s untaken long service leave the amount that would have been payable by the employer under <ref href="#part-5A">Part 5A</ref> had the employee taken the period of long service leave immediately before the relevant circumstance.</p>

          </subsection>
          <subsection eId="part-7__sec-48__subsec-3">

              <p>The payment is payable to the employee out of the Fund.</p>

                <p>discharges the liability of the employer to make the payment; and</p>

                <p>extinguishes the employee’s entitlement under <ref href="#part-5A">Part 5A</ref> to the period of untaken long service leave.</p>

              <p>In this section:</p>

            <content>
              <p><b><i>employer</i></b> means:</p>
            </content>

                <p>in relation to an eligible employee—a current employer of the employee; and</p>
              </content>

            <p>When a question arises as to whether an amount is payable to a person out of the Fund, the Board may determine any matter of fact relevant to that question.</p>

              <p>Each civil penalty provision of this Act is enforceable under Part 4 of the Regulatory Powers Act.</p>

              <p>For the purposes of Part 4 of the Regulatory Powers Act, the Corporation, on behalf of the Commonwealth, is an authorised applicant in relation to the civil penalty provisions of this Act.</p>

          </subsection>

            <num>3</num>
            <content>
              <p>The Corporation may, by writing under its seal, delegate its powers as an authorised applicant in relation to the civil penalty provisions of this Act to:</p>
            </content>

              <num>a</num>
              <content>
                <p>a Director; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7A__sec-49A__subsec-3__para-b">
              <num>b</num>

                <p>a person employed by the Corporation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7A__sec-49A__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>a person engaged by the Corporation under a contract; or</p>

              <content>
                <p>Additional matters to be taken into account in determining a pecuniary penalty</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7A__sec-49A__subsec-5">
            <num>5</num>
            <content>
              <p>In addition to the matters the court must take into account under subsection 82(6) of the Regulatory Powers Act in determining the pecuniary penalty for the contravention of a civil penalty provision of this Act, if the person who contravened the civil penalty provision is a body corporate, the court must take into account:</p>
            </content>
            <paragraph eId="part-7A__sec-49A__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the level of the employees, officers or agents of the body corporate involved in the contravention; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7A__sec-49A__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>whether the body corporate exercised due diligence to avoid the contravention; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7A__sec-49A__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>whether the body corporate had a corporate culture conducive to compliance.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-7A__sec-49CE">
          <num>49CE</num>
          <heading>Civil penalty provisions contravened by executive officers</heading>
          <content>
            <p>An executive officer of a body corporate contravenes this subsection if:</p>
          </content>
          <paragraph eId="part-7A__sec-49CE__para-a">
            <num>a</num>
            <content>
              <p>the body corporate contravenes a civil penalty provision; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7A__sec-49CE__para-b">
            <num>b</num>
            <content>
              <p>the officer knew that the contravention would occur; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7A__sec-49CE__para-c">
            <num>c</num>
            <content>
              <p>the officer was in a position to influence the conduct of the body in relation to the contravention; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7A__sec-49CE__para-d">
            <num>d</num>
            <content>
              <p>the officer failed to take all reasonable steps to prevent the contravention.</p>
            </content>

          <heading>Establishing whether an executive officer took reasonable steps to prevent the contravention of a civil penalty provision</heading>
          <subsection eId="part-7A__sec-49CF__subsec-1">
            <num>1</num>
            <content>
              <p>For the purposes of <ref href="#sec-49C">section 49C</ref>E, in determining whether an executive officer of a body corporate failed to take all reasonable steps to prevent the contravention of a civil penalty provision, a court is to have regard to:</p>
            </content>
            <paragraph eId="part-7A__sec-49CF__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>what action (if any) the officer took towards ensuring that the body’s employees, agents and contractors have a reasonable knowledge and understanding of the requirements to comply with this Act, in so far as those requirements affect the employees, agents or contractors concerned; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7A__sec-49CF__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>what action (if any) the officer took when he or she became aware that the body was contravening this Act.</p>
              </content>
            </paragraph>
          </subsection>

              <p>This section does not, by implication, limit the generality of <ref href="#sec-49C">section 49C</ref>E.</p>

          <heading>Delegation</heading>
          <subsection eId="part-8__sec-50__subsec-1">
            <num>1</num>

              <p>Subject to subsection (1A), the Corporation may, by writing under its seal, delegate to:</p>
            </content>
            <paragraph eId="part-8__sec-50__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a Director; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-50__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a person employed by the Corporation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-50__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a person engaged by the Corporation under a contract; or</p>

            </paragraph>

              <p><role refersTo="#minister">The Minister</role> may, by signed writing, delegate to a person performing the duties of an office in the Department, <role refersTo="#minister">the Minister</role>’s powers under this Act other than <role refersTo="#minister">the Minister</role>’s powers under section 13, 14, 31 or 32 or subsection 39A(3C).</p>

          </subsection>
        </section>
        <section eId="part-8__sec-51">
          <num>51</num>
          <heading>Expenses of Corporation</heading>
          <content>
            <p>The expenses incurred by the Corporation are to be paid out of the Fund.</p>
          </content>
        </section>
        <section eId="part-8__sec-52">
          <num>52</num>
          <heading>Remuneration and allowances of Directors</heading>
          <content>
            <p>The remuneration and allowances of Directors are to be paid out of the Fund.</p>
          </content>
        </section>
        <section eId="part-8__sec-52A">
          <num>52A</num>
          <heading>Power to require persons to produce information or documents</heading>
          <subsection eId="part-8__sec-52A__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies if the Corporation believes on reasonable grounds that a person has information, or a document containing information, of any of the following kinds:</p>
            </content>
            <paragraph eId="part-8__sec-52A__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>information relating to the employment of an eligible employee;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-52A__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>information relating to an employer of an eligible employee;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-52A__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>information that is reasonably necessary to enable the Corporation to perform its functions under <ref href="#sec-7">section 7</ref>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-52A__subsec-2">
            <num>2</num>
            <content>
              <p>The Corporation may, by written notice, require the person to:</p>
            </content>
            <paragraph eId="part-8__sec-52A__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>give the information to the Corporation by the time, and in the manner and form, specified in the notice; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-52A__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>produce the document, or a certified copy of the document, to the Corporation by the time, and in the manner, specified in the notice.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-52A__subsec-3">
            <num>3</num>

              <p>The notice must set out the effect of:</p>
            </content>
            <paragraph eId="part-8__sec-52A__subsec-3__para-a">

                <p>a decision by the Board to refuse to approve a waiver agreement under <ref href="#sec-39B">section 39B</ref>C;</p>

              <p>Jurisdiction is conferred on the Federal Court and the Federal Circuit and Family Court of Australia (<ref href="#dvs-2">Division 2</ref>) in relation to any civil matter arising under this Act or the Payroll Levy Collection Act.</p>

          <subsection eId="part-8__sec-52C__subsec-2">
            <num>2</num>
            <content>
              <p>The jurisdiction conferred on the Federal Court under subsection (1) is to be exercised in the Fair Work Division of the Federal Court if:</p>
            </content>

              <num>a</num>
              <content>
                <p>an application is made to the Federal Court under this Act or the Payroll Levy Collection Act; or</p>
              </content>
            </paragraph>

                <p>a writ of mandamus or prohibition or an injunction is sought in the Federal Court against a person holding office under this Act; or</p>

            <p>The powers conferred on the Federal Court and the Federal Circuit and Family Court of Australia (<ref href="#dvs-2">Division 2</ref>) by a provision of this Act are in addition to, and not instead of, any other powers of the court, whether conferred by another provision of this Act or otherwise.</p>

          <num>54</num>
          <heading>Regulations</heading>
          <subsection eId="part-8__sec-54__subsec-1">
            <num>1</num>
            <content>
              <p>The Governor-General may make regulations prescribing matters:</p>
            </content>
            <paragraph eId="part-8__sec-54__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-54__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-54__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), the regulations may:</p>
            </content>
            <paragraph eId="part-8__sec-54__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>require an employer of eligible employees to maintain records relating to the following matters:</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-54__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the employment of those employees;</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-54__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>the qualifying service completed by, and the long service leave entitlement of, those employees; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-54__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>provide for penalties, not exceeding <quantity refersTo="#penaltyUnit">50 penalty units</quantity>, for offences against the regulations.</p>

          <heading>Review of Act</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> is to arrange for the carrying out of an independent review of the operation of this Act as soon as possible after <role refersTo="#minister">the Minister</role> receives a report from the Board under subsection 43(6).</p>

              <b>Editorial changes</b>
            </p>
            <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration.             </p>
            <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
