              <p>		This Act may be cited as the <i>Moomba</i><i>-</i><i>Sydney Pipeline System </i><i> Act 1994</i>.</p>

            <heading>Commencement</heading>
            <subsection eId="part-1__dvs-1__sec-2__subsec-1">
              <num>1</num>
              <content>
                <p>Sections 1, 2, 3, 4, 6 and 7 commence on the day on which this Act receives the Royal Assent.</p>
              </content>
            </subsection>
            <subsection eId="part-1__dvs-1__sec-2__subsec-2">
              <num>2</num>
              <content>
                <p>Subject to subsection (3), the remaining provisions of this Act commence on the sale day.</p>
              </content>
            </subsection>
            <subsection eId="part-1__dvs-1__sec-2__subsec-3">

              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-1__dvs-1__sec-2__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the Commonwealth and Newco do not enter into an agreement on the sale day for the sale of the Moomba-Sydney pipeline system by the Commonwealth; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-1__sec-2__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>if the agreement is entered into but Newco does not pay the Commonwealth the amount it is required to pay the Commonwealth on the sale day under the agreement;</p>
                </content>
                <content>
                  <p>the remaining provisions of this Act are taken never to have commenced.</p>
                </content>
              </paragraph>
            </subsection>

                <p>In this Act, unless the contrary intention appears:</p>
              </content>
              <content>
                <p><term refersTo="#term-agl">AGL</term> means <def>The Australian Gas Light Company.</def></p>
                <p><b><i>asset</i></b> means:</p>
              </content>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>any legal or equitable estate or interest in real or personal property, including a contingent or prospective one; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>any right, privilege or immunity, including a contingent or prospective one;</p>
                </content>
                <content>

                  <p><term refersTo="#term-asset-purchase-agreement">asset purchase agreement</term> means <def>the agreement made between the Commonwealth and Newco on the sale day for the sale of the Moomba-Sydney pipeline system.</def></p>
                  <p><b><i>authorised person</i></b> means:</p>

              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a person authorised by <role refersTo="#minister">the Minister</role>, in writing, for the purposes of this Act.</p>
                </content>
                <content>
                  <p><term refersTo="#term-authority">Authority</term> means <def><ref class="unresolved">the Pipeline Authority established by the Pipeline Authority Act 1973</ref>.</def></p>
                  <p><term refersTo="#term-authority-instrument">Authority instrument</term> means <def>an instrument that is specified in Schedule 3 to the asset purchase agreement.</def></p>
                  <p><term refersTo="#term-commonwealth-agl-agreement">Commonwealth-AGL agreement</term> means <def>the agreement made between the Commonwealth and AGL on 18 November 1993 in relation to the sale of the Moomba-Sydney pipeline system.</def></p>
                  <p><term refersTo="#term-commonwealth-guaranteed-debt">Commonwealth-guaranteed debt</term> means <def>a debt and any other related obligations whose performance is guaranteed by the Commonwealth.</def></p>
                  <p><term refersTo="#term-dfrdb-act">DFRDB Act</term> means <def><ref href="">the Defence Force Retirement and Death Benefits Act 1973</ref>.</def></p>
                  <p><term refersTo="#term-dual-destination-instrument">dual destination instrument</term> means <def>an Authority or Pacenco instrument, that relates to a dual destination interest.</def></p>
                  <p><term refersTo="#term-dual-destination-interest">dual destination interest</term> means <def>an easement or other right in relation to land, that is specified in the easement agreement.</def></p>
                  <p><term refersTo="#term-easement-agreement">easement agreement</term> means <def>the agreement made between the Commonwealth and Newco on the sale day in relation to their ownership as tenants in common of all dual destination interests.</def></p>
                  <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
                  <p><term refersTo="#term-instrument">instrument</term> includes <def>a document but does not include a Commonwealth legislative instrument other than an instrument under <ref class="unresolved">the Lands Acquisition Act 1955</ref>, <ref class="unresolved">the Lands Acquisition Act 1989</ref> or <ref class="unresolved">the Industrial Relations Act 1988</ref>.</def></p>
                  <p><b><i>land</i></b> means:</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a legal or equitable estate or interest in land; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a right, power or privilege in relation to land.</p>
                </content>
                <content>
                  <p><term refersTo="#term-liabilities">liabilities</term> means <def>liabilities and duties, including contingent or prospective ones.</def></p>
                  <p><term refersTo="#term-long-service-leave-act">Long Service Leave Act</term> means <def>the Long Service Leave (Commonwealth Employees) Act 1976 as in force immediately before the sale day.</def></p>
                  <p><term refersTo="#term-maternity-leave-act">Maternity Leave Act</term> means <def>the Maternity Leave (Commonwealth Employees) Act 1973.</def></p>
                  <p><term refersTo="#term-newco">Newco</term> means <def>the body corporate nominated under <ref href="#sec-6">section 6</ref>.</def></p>
                  <p><term refersTo="#term-newco-body">Newco body</term> means <def>Newco or a Newco subsidiary.</def></p>
                  <p><term refersTo="#term-pacenco">Pacenco</term> means <def>Pacenco Proprietary Limited (A.C.N. 060 349 948).</def></p>
                  <p><term refersTo="#term-pacenco-instrument">Pacenco instrument</term> means <def>an instrument that is specified in Schedule 4 to the asset purchase agreement.</def></p>
                  <p><term refersTo="#term-petroleum">petroleum</term> means <def>any of the following, whether in a gaseous, liquid or solid state: any naturally occurring hydrocarbon; any naturally occurring mixture of hydrocarbons; any naturally occurring mixture of one or more hydrocarbons and one or more of the following: hydrogen sulphide; nitrogen; helium; carbon dioxide; any hydrocarbon or mixture of hydrocarbons produced by refining a substance referred to in paragraph (a), (b) or (c); any mixture of a hydrocarbon or hydrocarbons so produced with another substance or other substances.</def></p>

              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-a">
                <num>a</num>

                  <p>any naturally occurring hydrocarbon;</p>
                </content>
              </paragraph>

                <content>
                  <p>any hydrocarbon or mixture of hydrocarbons produced by refining a substance referred to in paragraph (a), (b) or (c);</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>any mixture of a hydrocarbon or hydrocarbons so produced with another substance or other substances.</p>
                </content>
                <content>
                  <p><term refersTo="#term-post-sale-transferee">post-sale transferee</term> means <def>a staff member of the Authority who becomes employed by Newco under subsection 57(2) or 60(2).</def></p>
                  <p><term refersTo="#term-sale-day">sale day</term> has the meaning given by <def>subsection 4(1).</def></p>
                  <p><term refersTo="#term-share">share</term> means <def>a share in the body corporate’s share capital.</def></p>
                  <p><term refersTo="#term-src-act">SRC Act</term> means <def>the Safety, Rehabilitation and Compensation Act 1988.</def></p>
                  <p><term refersTo="#term-staff-member-of-the-authority">staff member of the Authority</term> means <def>a person who is an officer (other than a director) or employee of the Authority.</def></p>
                  <p><term refersTo="#term-staff-transfer-agreement">staff transfer agreement</term> means <def>the agreement made between: AGL on its own behalf and on behalf of other prospective buyers of shares in Newco; and the unions who represent the staff of <role refersTo="#authority">the Authority</role>; and <role refersTo="#authority">the Authority</role>; before the sale day in relation to the transfer of staff to Newco.</def></p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>AGL on its own behalf and on behalf of other prospective buyers of shares in Newco; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the unions who represent the staff of <role refersTo="#authority">the Authority</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-1__dvs-2__sec-3__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p><role refersTo="#authority">the Authority</role>; before the sale day in relation to the transfer of staff to Newco.</p>
                </content>
                <content>
                  <p><term refersTo="#term-transferring-staff-member">transferring staff member</term> means <def>a staff member of the Authority who becomes employed by Newco under subsection 8(2).</def></p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-1__dvs-2__sec-3__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of this Act, the question whether a body corporate is a subsidiary of another body corporate is to be determined under the Corporations Law.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-1__dvs-2__sec-4">
            <num>4</num>
            <heading>The sale day</heading>
            <subsection eId="part-1__dvs-2__sec-4__subsec-1">
              <num>1</num>
              <content>
                <p>The sale day is <date date="1994-06-30">30 June 1994</date> or such other day as the Commonwealth and AGL agree to in writing for the purposes of the Commonwealth-AGL agreement.</p>
              </content>
            </subsection>
            <subsection eId="part-1__dvs-2__sec-4__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	The Minister must, by notice in the <i>Gazette</i>, notify the sale day within 14 days after the sale day.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-1__dvs-2__sec-5">
            <num>5</num>
            <heading>Act binds the Crown</heading>
            <subsection eId="part-1__dvs-2__sec-5__subsec-1">
              <num>1</num>
              <content>
                <p>This Act binds the Crown in right of the Commonwealth, each of the States, the  and the .</p>
              </content>
            </subsection>
            <subsection eId="part-1__dvs-2__sec-5__subsec-2">
              <num>2</num>
              <content>
                <p>This Act does not make the Crown liable to be prosecuted for an offence.</p>
              </content>
            </subsection>

        <heading>Transfers etc. of assets etc. to Newco and the Commonwealth</heading>

          <heading>Transfer of certain assets etc. relating to the Moomba-Sydney pipeline system from the Authority and Pacenco to Newco</heading>

            <p>Subdivision A—Nomination of Newco</p>
          </content>
          <section eId="part-2__dvs-1__sec-6">
            <num>6</num>
            <heading>Nomination of Newco</heading>
            <content>
              <p>		Before the sale day, the Minister must, by notice in the <i>Gazette</i>, nominate a body corporate for the purposes of this Act.</p>
              <p>Subdivision B—Certain staff members of <role refersTo="#authority">the Authority</role> to become employees of Newco</p>
            </content>
          </section>
          <section eId="part-2__dvs-1__sec-7">
            <num>7</num>
            <heading>Staff member of the Authority may consent to being employed by Newco</heading>
            <subsection eId="part-2__dvs-1__sec-7__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	This section applies to each staff member of the Authority who receives a Newco employment offer at least 15 days before the sale day. For this purpose, <b><i>Newco employment offer</i></b> means an offer of employment with Newco beginning on the sale day that is made by AGL on its own behalf and on behalf of other prospective buyers of shares in Newco.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-7__subsec-2">
              <num>2</num>
              <content>
                <p>The staff member may consent to being employed by Newco by notice in writing given to the Chief Executive Officer of the Authority <quantity refersTo="#deadline">within 2 weeks</quantity> after the staff member receives the offer of employment.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-7__subsec-3">
              <num>3</num>
              <content>
                <p>The staff member may revoke his or her consent at any time before the sale day by notice in writing given to the Chief Executive Officer of <role refersTo="#authority">the Authority</role>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-8">
            <num>8</num>
            <heading>Certain staff members of the Authority to become employees of Newco</heading>
            <subsection eId="part-2__dvs-1__sec-8__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to each staff member of <role refersTo="#authority">the Authority</role> who:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>has consented to being employed by Newco under <ref href="#sec-7">section 7</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>has not revoked his or her consent before the sale day; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>was a staff member of <role refersTo="#authority">the Authority</role> immediately before the sale day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-8__subsec-2">
              <num>2</num>
              <content>
                <p>On the sale day, the staff member:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>ceases, by force of this section, to be an officer or employee of <role refersTo="#authority">the Authority</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>becomes an employee of Newco, by force of this section, on the same terms and conditions that applied to the staff member immediately before the sale day because of an award.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-8__subsec-3">
              <num>3</num>
              <content>
                <p>This section has effect subject to sections 9 and 10.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-9">
            <num>9</num>
            <heading>Subdivision not to affect certain matters relating to transferring staff members</heading>
            <subsection eId="part-2__dvs-1__sec-9__subsec-1">
              <num>1</num>
              <content>
                <p>On and after the sale day, this section has effect for the purposes of applying a law or award to Newco’s employment of a transferring staff member.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-9__subsec-2">
              <num>2</num>
              <content>
                <p>The service of the transferring staff member as an employee of Newco is to be regarded for all purposes as having been continuous with his or her service, immediately before the sale day, as an officer or employee of <role refersTo="#authority">the Authority</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-9__subsec-3">
              <num>3</num>
              <content>
                <p>The transferring staff member is to be regarded, on the sale day, as having:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>accrued an entitlement to Long Service Leave Act benefits, recreation leave benefits and sickness leave benefits; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>an entitlement to recognition by Newco of years of service in connection with that employment;</p>
                </content>
                <content>
                  <p>that is equivalent to the entitlement that the person had as an officer or employee of <role refersTo="#authority">the Authority</role>, immediately before the sale day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-9__subsec-4">
              <num>4</num>
              <content>
                <p>The transferring staff member is not entitled to receive any payment or other benefit by reason only of having ceased to be an officer or employee of <role refersTo="#authority">the Authority</role> because of this Act.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-10">
            <num>10</num>
            <heading>Variation of terms and conditions of employment</heading>
            <subsection eId="part-2__dvs-1__sec-10__subsec-1">
              <num>1</num>
              <content>
                <p>This Subdivision does not prevent the terms and conditions of a transferring staff member’s employment on or after the sale day from being varied:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>in accordance with those terms and conditions; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>by or under a law (including another provision of this Act), award, determination or agreement.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>vary</i></b>, in relation to terms and conditions, includes:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>omitting any of those terms and conditions; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>adding to those terms and conditions; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>substituting new terms or conditions for any of those terms and conditions.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-11">
            <num>11</num>
            <heading>Transferring staff member not to be eligible for re-appointment under the Public Service Act 1922</heading>
            <content>
              <p>		Paragraph 87N(2)(c) of the <i>Public Service Act 1922 </i>does not apply to a transferring staff member.</p>
              <p>Subdivision C—Transfer of certain assets etc. relating to the Moomba-Sydney pipeline system business from <role refersTo="#authority">the Authority</role> and Pacenco to Newco</p>

            <heading>Certain assets and liabilities of the Authority and Pacenco to become assets and liabilities of Newco</heading>

                <p>By force of this section, all assets of <role refersTo="#authority">the Authority</role> or Pacenco specified in Schedule 1 to the asset purchase agreement cease to be assets of <role refersTo="#authority">the Authority</role> or Pacenco and become assets of Newco on the sale day.</p>

            </subsection>
            <subsection eId="part-2__dvs-1__sec-12__subsec-2">
              <num>2</num>
              <content>
                <p>By force of this section, all liabilities of <role refersTo="#authority">the Authority</role> or Pacenco specified in Schedule 2 to the asset purchase agreement cease to be liabilities of <role refersTo="#authority">the Authority</role> or Pacenco and become liabilities of Newco on the sale day.</p>
              </content>
            </subsection>
          </section>

            <num>13</num>
            <heading>References in certain instruments to the Authority or Pacenco to be references to Newco on and after the sale day</heading>
            <subsection eId="part-2__dvs-1__sec-13__subsec-1">

                <p>An Authority instrument continues to have effect on and after the sale day as if a reference in the instrument to <role refersTo="#authority">the Authority</role> were a reference to Newco.</p>

              <content>
                <p>A Pacenco instrument continues to have effect on and after the sale day as if a reference in the instrument to Pacenco were a reference to Newco.</p>

          <heading>Provisions relating to the transfer of dual destination interests to the Commonwealth and Newco</heading>
          <section eId="part-2__dvs-2__sec-14">

            <heading>Dual destination interests become assets of Newco and the Commonwealth</heading>
            <subsection eId="part-2__dvs-2__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p>By force of this section, all dual destination interests:</p>

                  <p>become assets in which Newco and the Commonwealth each have a half interest as tenants in common;</p>

            <subsection eId="part-2__dvs-2__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>Newco is to hold all jointly transferring interests on the terms and conditions that apply to the interests under the easement agreement.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-15">
            <num>15</num>
            <heading>Dual destination instruments that do not create easements</heading>
            <content>
              <p>A dual destination instrument that does not create an easement continues to have effect, on and after the sale day, as if a reference in the instrument to <role refersTo="#authority">the Authority</role> or Pacenco were a reference to Newco and the Commonwealth jointly.</p>
            </content>
          </section>
          <section eId="part-2__dvs-2__sec-16">
            <num>16</num>
            <heading>Dual destination instruments that create easements</heading>
            <subsection eId="part-2__dvs-2__sec-16__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to a dual destination instrument that creates an easement in favour of <role refersTo="#authority">the Authority</role> or Pacenco.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-16__subsec-2">
              <num>2</num>
              <content>
                <p>The dual destination instrument continues in effect subject to subsections (3) and (4).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-16__subsec-3">
              <num>3</num>
              <content>
                <p>On and after the sale day, the dual destination instrument has effect as if the easement were an easement in favour of Newco and the Commonwealth jointly that allows Newco and the Commonwealth jointly, Newco or the Commonwealth at any time to:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-16__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>construct, maintain or operate pipelines or parts of pipelines that are owned by Newco, the Commonwealth or any other person; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-16__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>licence or otherwise permit any other person to construct, maintain or operate pipelines or parts of pipelines that are owned by any person;</p>
                </content>
                <content>
                  <p>that are to be used, or are used, for the carriage of petroleum, in trade or commerce, between a point in a State and a point in another State or Territory.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-16__subsec-4">
              <num>4</num>
              <content>
                <p>Any easement rights created by the dual destination instrument are taken to be rights of Newco and the Commonwealth jointly.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-16__subsec-5">
              <num>5</num>
              <content>
                <p>This section does not limit the power of Newco and the Commonwealth to enter into an agreement with each other that governs the exercise of any rights by Newco or the Commonwealth under a jointly owned easement.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-16__subsec-6">

              <p>By force of this section, all easements of <role refersTo="#authority">the Authority</role> or Pacenco that are not specified in the easement agreement:</p>

              <num>a</num>
              <content>
                <p>cease to be assets of <role refersTo="#authority">the Authority</role> or Pacenco; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-17__para-b">
              <num>b</num>
              <content>
                <p>become assets of the Commonwealth;</p>
              </content>
              <content>
                <p>on the sale day.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-3__sec-18">
            <num>18</num>
            <heading>Instruments relating to the easements of the Authority or Pacenco that are not specified in the easement agreement</heading>
            <subsection eId="part-2__dvs-3__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to subsections (2) and (3), an instrument relating to an easement of <role refersTo="#authority">the Authority</role> or Pacenco covered by section 17 continues to have effect, on and after the sale day, as if a reference in the instrument to <role refersTo="#authority">the Authority</role> or Pacenco were a reference to the Commonwealth.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>On and after the sale day, an instrument referred to in subsection (1) has effect as if the easement were an easement in favour of the Commonwealth at any time to:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-18__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>construct, maintain and operate pipelines or parts of pipelines that are owned by the Commonwealth; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-18__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>licence or otherwise permit any other person to construct, maintain or operate pipelines or parts of pipelines that are owned by that other person or any other person;</p>
                </content>
                <content>
                  <p>that are to be used, or are used, for the carriage of petroleum, in trade or commerce, between a point in a State and a point in another State or Territory.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-3">
              <num>3</num>
              <content>
                <p>Any easement rights created by an instrument referred to in subsection (2) are taken to be rights of the Commonwealth.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-4">
              <num>4</num>
              <content>
                <p>This section is not intended to affect the operation of any law of a State or Territory with respect to the construction or operation of pipelines or parts of pipelines that is capable of operating concurrently with this section.</p>

            <heading>Commonwealth-guaranteed debts of the Authority become debts of the Commonwealth</heading>

                <p>By force of this section, all Commonwealth-guaranteed debts of <role refersTo="#authority">the Authority</role> cease to be obligations of <role refersTo="#authority">the Authority</role> and become obligations of the Commonwealth on the sale day.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>The Treasurer may authorise the payment of money to discharge the Commonwealth-guaranteed debts that become obligations of the Commonwealth, whether by ending those obligations or otherwise.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-3">
              <num>3</num>
              <content>
                <p>The Consolidated Revenue Fund is appropriated for payments under this section.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-20">
            <num>20</num>
            <heading>Instruments relating to Commonwealth-guaranteed debts</heading>
            <content>
              <p>An instrument relating to a Commonwealth-guaranteed debt of <role refersTo="#authority">the Authority</role> continues to have effect, on and after the sale day, as if a reference in the instrument to <role refersTo="#authority">the Authority</role> were a reference to the Commonwealth.</p>
            </content>
          </section>
          <section eId="part-2__dvs-3__sec-21">
            <num>21</num>
            <heading>Commonwealth and Authority liable to pay certain amounts in relation to Commonwealth-guaranteed debts</heading>
            <subsection eId="part-2__dvs-3__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p>On the sale day:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the Commonwealth becomes liable to pay to <role refersTo="#authority">the Authority</role> an amount equal to the Commonwealth-guaranteed debts of <role refersTo="#authority">the Authority</role> on the sale day; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-21__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#authority">the Authority</role> becomes liable to pay to the Commonwealth an amount equal to the Commonwealth-guaranteed debts of <role refersTo="#authority">the Authority</role> on that day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p>The amount payable under paragraph (1)(a) is to be set-off against the amount payable under paragraph (1)(b).</p>
              </content>
            </subsection>

              <content>
                <p>The Consolidated Revenue Fund is appropriated for payments under paragraph (1)(a).</p>

            </subsection>

            <heading>Commonwealth liable to pay an amount to the Authority equal to Authority’s debts to the Commonwealth and set-off of debts</heading>

                <p>On the sale day the Commonwealth becomes liable to pay to <role refersTo="#authority">the Authority</role> an amount equal to <role refersTo="#authority">the Authority</role>’s debt to the Commonwealth on that day.</p>

            </subsection>
            <subsection eId="part-2__dvs-3__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>The amount payable under subsection (1) is to be set-off against <role refersTo="#authority">the Authority</role>’s debt to the Commonwealth.</p>

              <p>By force of this section, all debts owed by Pacenco to <role refersTo="#authority">the Authority</role> on the sale day are cancelled on that day.</p>

          <heading>Exemption from State and Territory stamp duties</heading>
          <section eId="part-2__dvs-4__sec-24">
            <num>24</num>
            <heading>Exemption from certain State and Territory stamp duties</heading>
            <subsection eId="part-2__dvs-4__sec-24__subsec-1">
              <num>1</num>
              <content>
                <p>No stamp duty is payable under a law of a State or Territory in respect of an exempt matter or anything connected with an exempt matter.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-24__subsec-2">
              <num>2</num>
              <content>
                <p>An authorised person may, by signed writing, certify that:</p>
              </content>
              <paragraph eId="part-2__dvs-4__sec-24__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a specified matter or thing is an exempt matter; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-24__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a specified thing was done in connection with a specified exempt matter.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-24__subsec-3">
              <num>3</num>
              <content>
                <p>In all courts and for all purposes, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-24__subsec-4">
              <num>4</num>
              <content>
                <p>A document that appears to be a certificate under subsection (2) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-24__subsec-5">

                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>exempt matter</i></b> means:</p>
              </content>

                  <p>assets and liabilities ceasing to be assets and liabilities of <role refersTo="#authority">the Authority</role> and Pacenco under section 12 and becoming assets and liabilities of Newco under that section; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-24__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>dual destination interests ceasing to be assets of <role refersTo="#authority">the Authority</role> and Pacenco under section 14 and becoming assets of the Commonwealth and Newco under that section; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-24__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>Commonwealth-guaranteed debts ceasing to be obligations of <role refersTo="#authority">the Authority</role> under section 19 and becoming obligations of the Commonwealth under that section; or</p>

                  <p>the operation of this Part in any other respect.</p>

          <heading>Miscellaneous provisions relating to the transfer of assets etc. under Divisions 1, 2 and 3</heading>
          <section eId="part-2__dvs-5__sec-25">
            <num>25</num>
            <heading>Certificates in relation to interests in land</heading>
            <subsection eId="part-2__dvs-5__sec-25__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>land becomes , the Commonwealth or Newco and the Commonwealth jointly under this Part; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>there is lodged with a land registration official a certificate that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is signed by an authorised person; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>identifies the land, whether by reference to a map or otherwise; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>states that the land has become land of Newco, the Commonwealth or of Newco and the Commonwealth jointly under this Part.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p>The land registration official may:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>register the matter in the same way in which dealings in land of that kind are registered; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-25__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>deal with, and give effect to, the certificate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-25__subsec-3">
              <num>3</num>
              <content>
                <p>A document that appears to be a certificate under subsection (1) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-25__subsec-4">

            <heading>Certificates in relation to other assets</heading>
            <subsection eId="part-2__dvs-5__sec-26__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>an asset becomes an asset of Newco under this Part; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>there is lodged with an assets official a certificate that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is signed by an authorised person; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>identifies the asset; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>states that the asset has, under this Part, become an asset of Newco.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-26__subsec-2">
              <num>2</num>
              <content>
                <p>The assets official may:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>deal with, and give effect to, the certificate as if the certificate were a proper and appropriate instrument for transactions in relation to assets of that kind; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-26__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>make such entries in the register as are necessary having regard to the effect of <ref href="#sec-12">section 12</ref>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-26__subsec-3">
              <num>3</num>
              <content>
                <p>A document that appears to be a certificate under subsection (1) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>

            </subsection>

                <p>In this section:</p>

                <p><b><i>assets official</i></b> means a person or authority who, under the law of the Commonwealth or of a State or Territory, has responsibility for keeping a register in relation to assets of the kind concerned.</p>

            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-27">
            <num>27</num>
            <heading>Ending of certain rights that restrict the transfer of the Moomba-Sydney pipeline system</heading>
            <subsection eId="part-2__dvs-5__sec-27__subsec-1">
              <num>1</num>
              <content>
                <p>All veto rights are terminated on the sale day by force of this section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-27__subsec-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>Authority agreement</i></b> means an agreement:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-27__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>to which <role refersTo="#authority">the Authority</role> is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-27__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>was in operation immediately before the sale day.</p>
                </content>
                <content>
                  <p><b><i>Moomba</i></b><b><i>-</i></b><b><i>Sydney pipeline</i></b> means any pipeline transferred to Newco under section 12.</p>
                  <p><b><i>veto rights</i></b> means any rights that a person (<b><i>the contractor</i></b>) has under an Authority agreement that, apart from this section, would have the effect of preventing the transfer of the ownership or control of a Moomba-Sydney pipeline from the Authority or any other person who owns or controls such a pipeline to another person without the consent of the contractor.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-28">
            <num>28</num>
            <heading>Authority, Pacenco and Commonwealth to take steps necessary to carry out transfers</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role>, Pacenco and the Commonwealth must take the steps that are necessary to ensure that this Part is fully effective, and in particular, in relation to its operation outside .</p>
            </content>
          </section>
          <section eId="part-2__dvs-5__sec-29">
            <num>29</num>
            <heading>Extraterritorial operation of Subdivision</heading>
            <content>
              <p>This Part extends to:</p>
            </content>
            <paragraph eId="part-2__dvs-5__sec-29__para-a">
              <num>a</num>
              <content>
                <p>things situated outside ; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-5__sec-29__para-b">
              <num>b</num>
              <content>
                <p>things happening outside ; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-5__sec-29__para-c">
              <num>c</num>
              <content>
                <p>things that are governed or otherwise affected by the law of a foreign country.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-5__sec-30">
            <num>30</num>
            <heading>Part to have effect in spite of laws and agreements prohibiting transfer etc.</heading>
            <subsection eId="part-2__dvs-5__sec-30__subsec-1">
              <num>1</num>
              <content>
                <p>This Part has effect, and must be given effect to, in spite of anything in:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-30__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>any other law of the Commonwealth or any law of a State or Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-30__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>any instrument.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting subsection (1), if, apart from this section, the consent of a person would be necessary in order to give effect to this Part in a particular respect, the consent is taken to have been given.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-31">
            <num>31</num>
            <heading>Compensation for acquisition of property</heading>
            <subsection eId="part-2__dvs-5__sec-31__subsec-1">
              <num>1</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-31__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>this Part would result in an acquisition of property; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-31__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>this Part would not be valid, apart from this section, because a particular person has not been compensated;</p>
                </content>
                <content>
                  <p>the Commonwealth must pay that person:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-31__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>a reasonable amount of compensation agreed on between the person and the Commonwealth; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-31__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>failing agreement—a reasonable amount of compensation determined by a court of competent jurisdiction.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-31__subsec-2">
              <num>2</num>
              <content>
                <p>Any damages or compensation recovered, or other remedy given, in a proceeding begun otherwise than under this section must be taken into account in assessing compensation payable in a proceeding begun under this section and arising out of the same event or transaction.</p>
              </content>
            </subsection>

                <p>This section applies to a staff member of <role refersTo="#authority">the Authority</role>:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>who was eligible to consent under subsection 7(2) and who has not done so; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>who consented under subsection 7(2) but revoked that consent under subsection 7(3).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-32__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	Subject to subsection (3), the staff member is, for all purposes, taken to have resigned from the staff member’s appointment or engagement under the <i>Pipeline Authority Act 1973</i>. The resignation takes effect at the time determined in writing in relation to the staff member by an authorised person for the purposes of this section.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-32__subsec-3">
              <num>3</num>
              <content>
                <p>Subsection (2) does not apply to a staff member of <role refersTo="#authority">the Authority</role> who notifies the Chief Executive Officer of <role refersTo="#authority">the Authority</role> in writing that the staff member:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>is not consenting under subsection 7(2); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>is revoking his or her consent under subsection 7(3);</p>
                </content>
                <content>

                  <p>has revoked his or her consent under subsection 7(3); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-4__para-b">

                  <p>the terms and conditions of employment, taken as a whole, that would apply to the staff member on and after the sale day are not equivalent to the terms and conditions of employment, taken as a whole, applying to the staff member immediately before the sale day;</p>

                  <p>Newco may make a second offer of employment with Newco under subsection 59(1).</p>
                </content>
              </paragraph>
            </subsection>

                  <p>has not consented under subsection 7(2); or</p>

                  <p>has revoked his or her consent under subsection 7(3); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-32__subsec-5__para-b">

                  <p>the terms and conditions of employment, taken as a whole, that would apply to the staff member on and after the sale day are equivalent to the terms and conditions of employment, taken as a whole, applying to the staff member immediately before the sale day;</p>

                  <p>Newco must make a second offer of employment with Newco under subsection 59(1) that is the same terms and conditions as the offer under subsection 7(1).</p>

              </paragraph>
            </subsection>

                <p>For the purposes of subsections (4) and (5), the question of whether terms and conditions of employment, taken as a whole, are equivalent, is to be determined in accordance with the staff transfer agreement.</p>

                <p>If an authorised person makes a determination under subsection (2), the authorised person must give the staff member a copy of the determination as soon as practicable after it is made.</p>

          <heading>Transitional and saving provisions in relation to long service leave</heading>
          <section eId="part-3__dvs-2__sec-33">
            <num>33</num>
            <heading>Definitions</heading>
            <subsection eId="part-3__dvs-2__sec-33__subsec-1">
              <num>1</num>
              <content>
                <p>Unless the contrary intention appears, expressions used in this Division that are also used in the Long Service Leave Act have the same respective meanings as in that Act.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-33__subsec-2">
              <num>2</num>
              <content>
                <p>In this Division:</p>
              </content>
              <content>
                <p><term refersTo="#term-combined-service-period">combined service period</term> means <def>the total of: the period that is, immediately before the sale day, the employee’s period of service for the purposes of the Long Service Leave Act; and the period, beginning on the sale day, during which the employee continues to be an employee of a Newco body.</def></p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-33__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the period that is, immediately before the sale day, the employee’s period of service for the purposes of the Long Service Leave Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-33__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the period, beginning on the sale day, during which the employee continues to be an employee of a Newco body.</p>
                </content>
                <content>
                  <p><term refersTo="#term-employee">employee</term> includes <def>a person employed in a full-time or a part-time capacity.</def></p>
                  <p><b><i>law</i></b> means:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-33__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a law of the Commonwealth or of a State or Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-33__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>regulations or any other instrument (other than an award, determination or industrial agreement) made under such a law.</p>
                </content>
                <content>
                  <p><term refersTo="#term-post-sale-long-service-leave-rights">post-sale long service leave rights</term> means <def>any long service leave rights an employee acquires, on or after the sale day, under an award, determination, industrial agreement or law (other than this Act).</def></p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-34">
            <num>34</num>
            <heading>Long service leave for employees with less than 10 years service</heading>
            <authorialNote placement="end" eId="note-1" marker="1">
              <content>
                <p>Note:	This section provides that, in certain circumstances, a Newco body may grant long service leave to an employee whose period of service for the purposes of the Long Service Leave Act was less than 10 years.</p>
              </content>
            </authorialNote>
            <subsection eId="part-3__dvs-2__sec-34__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to a person:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>who became an employee of Newco on the sale day under <ref href="#sec-8">section 8</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>whose period of service for the purposes of the Long Service Leave Act immediately before the sale day was less than 10 years.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-2">
              <num>2</num>
              <content>
                <p>This section does not apply in relation to an employee who stops being an employee of a Newco body by dying.</p>
              </content>

              </authorialNote>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-3">
              <num>3</num>
              <content>
                <p>If, on and after the sale day, the employee continues to be employed by a Newco body until his or her combined service period is at least 10 years, the Newco body may grant the employee long service leave on full salary for a period up to the employee’s long service leave credit under subsection 37(1).</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-4">
              <num>4</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the employee stops being an employee of a Newco body, on or after reaching the minimum retiring age, or because of retrenchment; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the employee’s combined service period at the time when he or she stops being an employee of the Newco body is at least one year;</p>
                </content>
                <content>
                  <p>the Newco body may grant the employee long service leave on full salary for a period up to the employee’s long service leave credit under subsection 37(1).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-5">
              <num>5</num>
              <content>
                <p>If a period of long service leave may be granted to an employee under subsection (3) or (4), the Newco body may, if the employee asks in writing, grant the employee long service leave on half salary for a period not exceeding twice the first-mentioned period.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-6">
              <num>6</num>
              <content>
                <p>Long service leave granted in the circumstances set out in subsection (4) is to be taken so as to end immediately before the employee stops being an employee.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-34__subsec-7">
              <num>7</num>
              <content>
                <p>For the purposes of this section, the rate of salary to be used in working out the full salary of an employee is the rate that would apply to the employee under <ref href="#sec-3">section 3</ref> of the Long Service Leave Act if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>that section applied to the employee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	for the expression “<i>Moomba</i><i>-</i><i>Sydney Pipeline System </i><i> Act 1994</i>”.<ref href="#sec-16">section 16</ref> or 17” in that section there were substituted the expression “<ref href="#sec-34">section 34</ref> of the </p>

            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-35">
            <num>35</num>
            <heading>Payments in lieu of long service leave for employees with less than 10 years service</heading>

                <p>Note:	This section provides that, in certain circumstances, a Newco body must pay an amount in respect of long service leave to an employer who has not used all of his or her long service leave credit by taking long service leave under <ref href="#sec-34">section 34</ref>.</p>

              <num>1</num>
              <content>
                <p>This section applies to a person:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-1__para-a">

                  <p>who became an employee of Newco on the sale day under <ref href="#sec-8">section 8</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>whose period of service for the purposes of the Long Service Leave Act immediately before the sale day was less than 10 years.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p>This section does not apply in relation to an employee who stops being an employee of a Newco body by dying.</p>
              </content>

            </subsection>

                <p>Subject to subsection (6), if the employee stops being an employee of a Newco body on or after the day on which his or her combined service period reaches 10 years, the Newco body must pay him or her an amount equal to full salary in respect of his or her long service leave credit under subsection 37(2).</p>

            <subsection eId="part-3__dvs-2__sec-35__subsec-4">
              <num>4</num>
              <content>
                <p>Subject to subsection (6), if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-4__para-a">

                  <p>the employee stops being an employee of a Newco body, on or after reaching the minimum retiring age, or because of retrenchment; and</p>

              <num>5</num>
              <content>
                <p>Subject to subsection (6), if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the employee stops being an employee of a Newco body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the Newco body is satisfied that the employee left the Newco body because of ill-health that justified his or her so leaving; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>when the employee left, his or her combined service period was at least one year;</p>
                </content>
                <content>
                  <p>the Newco body must pay him or her an amount equal to full salary in respect of his or her long service leave credit under subsection 37(2).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-35__subsec-6">
              <num>6</num>
              <content>
                <p>An employee may, by signed writing given to a Newco body before the employee stops being an employee of the Newco body:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>ask the Newco body not to make a payment to the employee under this section; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>ask the Newco body to make a payment under subsection (3), (4) or (5) of a specified amount that is less than the amount that would otherwise be payable under that subsection.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-35__subsec-7">
              <num>7</num>
              <content>
                <p>The Newco body must comply with the request made under subsection (6).</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-35__subsec-8">
              <num>8</num>
              <content>
                <p>For the purposes of this section, the rate of salary to be used in working out the full salary of an employee is the rate that would apply to the employee under <ref href="#sec-21">section 21</ref> of the Long Service Leave Act if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-8__para-a">
                <num>a</num>
                <content>
                  <p>that section applied to the employee; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-35__subsec-8__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	for the expression “sections 16 and 17” in that section there were substituted the expression “<i> Moomba</i><i>-</i><i>Sydney Pipeline System </i><i> Act 1994</i>”.<ref href="#sec-35">section 35</ref> of the</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-36">
            <num>36</num>
            <heading>Payments on the death of an employee</heading>
            <subsection eId="part-3__dvs-2__sec-36__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to a person who was an employee of <role refersTo="#authority">the Authority</role> immediately before the sale day if, at that time, the employee’s period of service for the purposes of the Long Service Leave Act was less than 10 years.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-36__subsec-2">
              <num>2</num>
              <content>
                <p>If, on or after the sale day, the employee died and immediately before his or her death:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the employee was an employee of a Newco body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the employee’s combined service period was at least one year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>the employee had one or more dependants;</p>
                </content>
                <content>
                  <p>the Newco body must make a payment to a dependant or to 2 or more dependants of the employee.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-36__subsec-3">
              <num>3</num>
              <content>
                <p>The total amount of the payment or payments is the amount that would have been payable to the employee under <ref href="#sec-35">section 35</ref> if, on the day of his or her death, the employee had instead stopped being an employee of the Newco body on or after reaching the minimum retiring age.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-36__subsec-4">
              <num>4</num>
              <content>
                <p>If subsection (2) applies, <ref href="#sec-23">section 23</ref> of the Long Service Leave Act has effect as if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>that section applied to an employee of a Newco body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a reference in that section to the approving authority were a reference to the Newco body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-36__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	for the expression “this Act” in that section there were substituted the expression <i> Moomba</i><i>-</i><i>Sydney Pipeline System Sale Act 1994</i>”; and<ref href="#sec-36">section 36</ref> of the</p>

                <p>For the purposes of <ref href="#sec-34">section 34</ref>, an employee’s long service leave credit is equal to the long service leave credit that the employee would have under the Long Service Leave Act for the period:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-37__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>beginning when the employee began his or her period of service; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-37__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>ending on the sale day;</p>
                </content>
                <content>
                  <p>if the employee had been retrenched on the sale day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-37__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of <ref href="#sec-35">section 35</ref>, an employee’s long service leave credit is the employee’s long service leave credit worked out under subsection (1) reduced by any long service leave credit used under <ref href="#sec-34">section 34</ref>.</p>

            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-38">

            <heading>Division not to affect an employee’s post-sale long service leave rights</heading>
            <content>
              <p>To avoid doubt, it is declared that this Division does not affect an employee’s post-sale long service leave rights in relation to service on and after the sale day.</p>
            </content>
          </section>
          <section eId="part-3__dvs-2__sec-39">
            <num>39</num>
            <heading>Saving—Long Service Leave Act</heading>
            <subsection eId="part-3__dvs-2__sec-39__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to an employee of <role refersTo="#authority">the Authority</role> whose period of service under the Long Service Leave Act was at least 10 years immediately before the sale day.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-39__subsec-2">
              <num>2</num>
              <content>
                <p>Even though the employee ceases to be employed in Government Service for the purposes of the Long Service Leave Act, the employee’s accrued rights under that Act continue if the employee becomes an employee of Newco on the sale day. However, the employee is not entitled to receive any payment because he or she ceases to be in Government Service.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-39__subsec-3">
              <num>3</num>
              <content>
                <p>The Long Service Leave Act has effect on and after the sale day in relation to the employee as if Newco were an approving authority for the purposes of that Act.</p>
              </content>
            </subsection>
          </section>
        </division>
        <division eId="part-3__dvs-3">
          <num>3</num>
          <heading>Transitional and saving provisions relating to the Safety, Rehabilitation and Compensation Act 1988</heading>
          <section eId="part-3__dvs-3__sec-40">

            <heading>Interpretation</heading>
            <content>
              <p>Unless the contrary intention appears, expressions used in this Division that are also used in the SRC Act have the same respective meanings as in that Act.</p>

            <heading>Transitional provisions relating to the SRC Act that relate to certain Newco body employees</heading>

                <p>This section applies to an employee of a Newco body who was an employee of <role refersTo="#authority">the Authority</role> immediately before the sale day.</p>

            </subsection>
            <subsection eId="part-3__dvs-3__sec-41__subsec-2">

                <p>The SRC Act continues to apply, on and after the sale day, in relation to:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>injuries suffered by the employee before the sale day; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-41__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>loss of, or damage to, property incurred by the employee before the sale day.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-42">
            <num>42</num>
            <heading>Commonwealth liable to meet certain SRC Act liabilities and to be taken to be the employer in certain circumstances under the SRC Act</heading>
            <content>
              <p>On and after the sale day, the Commonwealth:</p>
            </content>
            <paragraph eId="part-3__dvs-3__sec-42__para-a">
              <num>a</num>
              <content>
                <p>is liable to pay the liabilities of <role refersTo="#authority">the Authority</role> under section 128A of the SRC Act; and</p>

                <num>a</num>

                  <p>immediately before the sale day, a person was a female staff member of <role refersTo="#authority">the Authority</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-5__sec-47__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the person becomes a Newco employee under <ref href="#sec-8">section 8</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-5__sec-47__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p><quantity refersTo="#deadline">within 12 months</quantity> after the sale day, the person would have been entitled to begin leave granted under the Maternity Leave Act if the person had continued to be a staff member.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-5__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>On and after the sale day, the Maternity Leave Act continues to apply to the person in relation to the confinement in respect of which she would have been entitled to leave as if Newco were a prescribed authority for the purposes of that Act.</p>

            </subsection>
          </section>
          <section eId="part-3__dvs-5__sec-48">
            <num>48</num>
            <heading>Transitional maternity leave provisions for staff members of the Authority who are on maternity leave immediately before the sale day</heading>
            <subsection eId="part-3__dvs-5__sec-48__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-3__dvs-5__sec-48__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>immediately before the sale day, a person was a female staff member of <role refersTo="#authority">the Authority</role> who was on leave granted under the Maternity Leave Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-5__sec-48__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the person becomes a Newco employee under <ref href="#sec-8">section 8</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-5__sec-48__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the person would have continued to have been entitled to have continued on that leave, on and after the sale day, if the person had continued to be a staff member.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-5__sec-48__subsec-2">
              <num>2</num>
              <content>
                <p>On and after the sale day, the Maternity Leave Act continues to apply to the person in relation to the confinement in respect of which the leave was granted as if Newco were a prescribed authority for the purposes of that Act.</p>

            </subsection>
          </section>
          <section eId="part-3__dvs-5__sec-49">
            <num>49</num>
            <heading>Cessation of mobility rights</heading>
            <subsection eId="part-3__dvs-5__sec-49__subsec-1">
              <num>1</num>

                <p>	(1)	If <i>Public Service Act 1922 </i>applied to:<ref href="#dvs-2">Division 2</ref> or 3 of <ref href="#part-I">Part I</ref>V of the </p>

                  <p>a transferring staff member immediately before the sale day; or</p>
                </content>

        <heading>Other provisions relating to the sale of shares in Newco by the Commonwealth</heading>
        <section eId="part-4__sec-50">
          <num>50</num>
          <heading>Transitional provision relating to the Crimes (Superannuation Benefits) Act 1989</heading>
          <subsection eId="part-4__sec-50__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, if:</p>
            </content>
            <paragraph eId="part-4__sec-50__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a person who is an employee of <role refersTo="#authority">the Authority</role> before the sale day committed a corruption offence while such an employee; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the person becomes an employee of Newco on the sale day under <ref href="#sec-8">section 8</ref>;</p>
              </content>
              <content>
                <p>then, on and after the sale day, the <i>Crimes (Superannuation Benefits) Act 1989 </i>continues to apply in relation to the person in respect of the offence as if a Newco body were a Commonwealth authority.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	A superannuation order may not be made under the <i>Crimes (Superannuation Benefits) Act 1989 </i>in relation to employer contributions or benefits paid or payable to a superannuation scheme by a Newco body after the sale day.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	In spite of paragraph 19(3)(d) of the <i>Crimes (Superannuation Benefits) Act 1989</i>, an order under that paragraph may only specify that an amount paid to the Commonwealth before the sale day by or on behalf of the Authority belongs to the Commonwealth.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-4">
            <num>4</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-4__sec-50__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>a person who was an employee of <role refersTo="#authority">the Authority</role> immediately before the sale day committed a corruption offence while such an employee; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>the person was paid benefits before, on or after the sale day, out of the Consolidated Revenue Fund;</p>
              </content>
              <content>
                <p>then, in spite of paragraph 19(4)(b) of the <i>Crimes (Superannuation Benefits) Act 1989</i>, an order under that paragraph may only specify that an amount equal to the total benefits paid out of the Consolidated Revenue Fund be paid to the Commonwealth.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-5">
            <num>5</num>
            <content>
              <p>	(5)	A superannuation scheme in relation to which employer contributions or benefits are paid or payable by a Newco body is not a superannuation scheme for the purposes of the <i>Crimes (Superannuation Benefits) Act 1989 </i>in respect of a corruption offence committed by a person after the sale day.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-6">
            <num>6</num>
            <content>
              <p>	(6)	Unless the contrary intention appears, expressions used in this section that are also used in the <i>Crimes (Superannuation Benefits) Act 1989 </i>have the same respective meanings as in that Act.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-51">
          <num>51</num>
          <heading>Commonwealth payment to Newco</heading>
          <subsection eId="part-4__sec-51__subsec-1">
            <num>1</num>
            <content>
              <p>The Finance Minister may, on the Commonwealth’s behalf, make payments to Newco in accordance with the asset purchase agreement.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-51__subsec-2">
            <num>2</num>
            <content>
              <p>The Consolidated Revenue Fund is appropriated for payments under subsection (1).</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-51__subsec-3">
            <num>3</num>
            <content>
              <p>The total amount of any payments under subsection (1) must not exceed $6,500,000.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-52">
          <num>52</num>
          <heading>Newco not to be taken to be established by the Commonwealth</heading>
          <subsection eId="part-4__sec-52__subsec-1">
            <num>1</num>
            <content>
              <p>On and after the sale day, Newco is not taken for the purposes of any law to be established by the Commonwealth unless a law expressly provides otherwise.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-52__subsec-2">
            <num>2</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>law</i></b> means:</p>
            </content>
            <paragraph eId="part-4__sec-52__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>an Act of the Commonwealth or of a State or Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-52__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>regulations or another instrument made under such an Act.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-4__sec-53">
          <num>53</num>
          <heading>Exemption from State and Territory stamp duties</heading>
          <subsection eId="part-4__sec-53__subsec-1">
            <num>1</num>
            <content>
              <p>No stamp duty is payable under a law of a State or Territory in respect of an exempt matter or anything connected with an exempt matter.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-53__subsec-2">
            <num>2</num>
            <content>
              <p>An authorised person may in writing certify that:</p>
            </content>
            <paragraph eId="part-4__sec-53__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a specified matter or thing is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-53__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a specified thing was done in connection with a specified exempt matter.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-53__subsec-3">
            <num>3</num>
            <content>
              <p>In all courts and for all purposes, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-53__subsec-4">
            <num>4</num>
            <content>
              <p>A document that appears to be a certificate under subsection (2) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-53__subsec-5">
            <num>5</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>exempt matter</i></b> means:</p>
            </content>
            <paragraph eId="part-4__sec-53__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the transfer of shares in Newco by the Commonwealth to another person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-53__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the receipt of money (whether on or after the sale day) by the Commonwealth from persons who are, on or after the sale day, buying shares in Newco.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-4__sec-55">
          <num>55</num>
          <heading>Ending the Authority’s liability under the Commonwealth Guarantees (Charges) Act 1987</heading>
          <subsection eId="part-4__sec-55__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	Subject to subsection (2), the Authority is not liable, on and after the sale day, to pay an amount of charge under the repealed <i>Commonwealth Guarantees (Charges) Act 1987</i>, as that Act continues to apply.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-55__subsec-2">
            <num>2</num>
            <content>
              <p>Subsection (1) does not apply in relation to an amount of charge that was paid or payable before the sale day.</p>
            </content>
          </subsection>
        </section>
      </part>

        <num>5</num>
        <heading>Post-sale day staff provisions</heading>
        <section eId="part-5__sec-56">
          <num>56</num>
          <heading>Transfer time</heading>
          <subsection eId="part-5__sec-56__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The <b><i>transfer time</i></b> for a staff member of the Authority for the purposes of this Part is the time the Commonwealth and Newco agree to in writing for the purposes of this section.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-56__subsec-2">
            <num>2</num>
            <content>
              <p>If the Commonwealth and Newco agree, the transfer time may be revoked or varied.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-57">
          <num>57</num>
          <heading>Staff members who receive a Newco employment offer after sale day</heading>
          <subsection eId="part-5__sec-57__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	This section applies to each staff member of the Authority who receives a post-sale Newco employment offer. For this purpose, <b><i>post</i></b><b><i>-</i></b><b><i>sale Newco employment offer</i></b> means an initial offer of employment with Newco beginning at the transfer time that is made by Newco after the sale day but before 15 October 1994.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-57__subsec-2">
            <num>2</num>
            <content>
              <p>The staff member may consent to being employed by Newco by notice in writing given to the Chief Executive Officer of the Authority <quantity refersTo="#deadline">within 2 weeks</quantity> after the staff member receives the offer of employment.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-57__subsec-3">
            <num>3</num>
            <content>
              <p>The staff member may revoke his or her consent at any time before the staff member’s transfer time by notice in writing given to the Chief Executive Officer of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-58">
          <num>58</num>
          <heading>Certain staff members of the Authority who received a Newco employment offer under section 57 taken to have resigned</heading>
          <subsection eId="part-5__sec-58__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies to a staff member of <role refersTo="#authority">the Authority</role>:</p>
            </content>
            <paragraph eId="part-5__sec-58__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>who was eligible to consent under subsection 57(2) but has not done so; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>who consented under subsection 57(2) but revoked that consent under subsection 57(3).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-58__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	Subject to subsection (3), the staff member is, for all purposes, taken to have resigned from the staff member’s appointment or engagement under the <i>Pipeline Authority Act 1973</i>. The resignation takes effect at the time determined in writing in relation to the staff member by an authorised person for the purposes of this section.</p>
            </content>

                <p>Note:	A person does not come within paragraph 87N(2)(c) of the <i>Public Service Act 1922 </i>if the person’s employment with a public authority is terminated because of the person’s resignation.</p>

          <subsection eId="part-5__sec-58__subsec-3">
            <num>3</num>
            <content>
              <p>Subsection (2) does not apply to a staff member of <role refersTo="#authority">the Authority</role> who notifies the Chief Executive Officer of <role refersTo="#authority">the Authority</role> in writing that the staff member:</p>
            </content>
            <paragraph eId="part-5__sec-58__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>is not consenting under subsection 57(2); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>is revoking his or her consent under subsection 57(3);</p>
              </content>
              <content>
                <p>because he or she believes that the terms and conditions of employment, taken as a whole, that would apply to the staff member on and after his or her transfer time are not equivalent to the terms and conditions of employment, taken as a whole, applying to the staff member immediately before his or her transfer time.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-58__subsec-4">
            <num>4</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-5__sec-58__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>a staff member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>has not consented under subsection 57(2); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>has revoked his or her consent under subsection 57(3); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-4__para-b">

                <p>has revoked his or her consent under subsection 57(3); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-58__subsec-5__para-b">

                <p>the terms and conditions of employment, taken as a whole, that would apply to the staff member on and after the sale day are equivalent to the terms and conditions of employment, taken as a whole, applying to the staff member immediately before the sale day;</p>

              <content>
                <p>Newco must make a second offer of employment with Newco under subsection 59(1) that is the same terms and conditions as the offer under subsection 57(1).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-58__subsec-6">
            <num>6</num>
            <content>
              <p>For the purposes of subsections (4) and (5), the question of whether terms and conditions of employment, taken as a whole, are equivalent, is to be determined in accordance with the staff transfer agreement.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-58__subsec-7">
            <num>7</num>
            <content>
              <p>If an authorised person makes a determination under subsection (2), the authorised person must give the staff member a copy of the determination as soon as practicable after it is made.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-59">
          <num>59</num>
          <heading>Staff members who receive a second Newco employment offer may consent to being employed by Newco after the sale day</heading>
          <subsection eId="part-5__sec-59__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	This section applies to each staff member of the Authority covered by <b><i>second Newco employment offer</i></b> means an offer of employment with Newco beginning at the transfer time that is made after the sale day but at least 8 days before 31 December 1994.<ref href="#sec-32">section 32</ref> or 58 who receives a second Newco employment offer. For this purpose, </p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-59__subsec-2">
            <num>2</num>
            <content>
              <p>The staff member may consent to being employed by Newco by notice in writing given to the Chief Executive Officer of <role refersTo="#authority">the Authority</role> within a week after the staff member receives the second offer of employment.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-59__subsec-3">
            <num>3</num>
            <content>
              <p>The staff member may revoke his or her consent at any time before his or her transfer time by notice in writing given to the Chief Executive Officer of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-60">
          <num>60</num>
          <heading>Certain staff members of the Authority to become employees of Newco</heading>
          <subsection eId="part-5__sec-60__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies to each staff member of <role refersTo="#authority">the Authority</role> who:</p>
            </content>
            <paragraph eId="part-5__sec-60__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>has consented to being employed by Newco under <ref href="#sec-57">section 57</ref> or 59; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-60__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>has not revoked his or her consent before his or her transfer time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-60__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>was a staff member of <role refersTo="#authority">the Authority</role> immediately before his or her transfer time.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-60__subsec-2">
            <num>2</num>
            <content>
              <p>At the staff member’s transfer time, the staff member:</p>
            </content>
            <paragraph eId="part-5__sec-60__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>ceases, by force of this section, to be an officer or employee of <role refersTo="#authority">the Authority</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-60__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>becomes an employee of Newco, by force of this section, on the same terms and conditions that applied to the staff member immediately before his or her transfer time because of an award.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-60__subsec-3">
            <num>3</num>
            <content>
              <p>This section has effect subject to sections 61 and 62.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-61">
          <num>61</num>
          <heading>Part not to affect certain matters relating to transferring staff members</heading>
          <subsection eId="part-5__sec-61__subsec-1">
            <num>1</num>
            <content>
              <p>On and after a staff member’s transfer time, this section has effect for the purposes of applying a law or award to Newco’s employment of a post-sale transferee.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-61__subsec-2">
            <num>2</num>
            <content>
              <p>The service of the post-sale transferee as an employee of Newco is to be regarded for all purposes as having been continuous with his or her service, immediately before the sale day, as an officer or employee of <role refersTo="#authority">the Authority</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-61__subsec-3">
            <num>3</num>
            <content>
              <p>The post-sale transferee is to be regarded, immediately after his or her transfer time, as having:</p>
            </content>
            <paragraph eId="part-5__sec-61__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>accrued an entitlement to Long Service Leave Act benefits, recreation leave benefits and sickness leave benefits; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-61__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>an entitlement to recognition by Newco of years of service in connection with that employment;</p>
              </content>
              <content>
                <p>that is equivalent to the entitlement that the person had as an officer or employee of <role refersTo="#authority">the Authority</role>, immediately before his or her transfer time.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-61__subsec-4">
            <num>4</num>
            <content>
              <p>The post-sale transferee is not entitled to receive any payment or other benefit by reason only of having ceased to be an officer or employee of <role refersTo="#authority">the Authority</role> because of this Act.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-62">
          <num>62</num>
          <heading>Variation of terms and conditions of employment</heading>
          <subsection eId="part-5__sec-62__subsec-1">
            <num>1</num>
            <content>
              <p>Neither <ref href="#sec-60">section 60</ref> nor 61 prevents the terms and conditions of a post-sale transferee’s employment after his or her transfer time from being varied:</p>
            </content>
            <paragraph eId="part-5__sec-62__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>in accordance with those terms and conditions; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-62__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>by or under a law (including another provision of this Part), award or determination or agreement.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-62__subsec-2">
            <num>2</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>vary</i></b>, in relation to terms and conditions, includes:</p>
            </content>
            <paragraph eId="part-5__sec-62__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>omitting any of those terms and conditions; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-62__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>adding to those terms and conditions; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-62__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>substituting new terms or conditions for any of those terms and conditions.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-5__sec-63">
          <num>63</num>
          <heading>Post-sale transferee not to be eligible for re-appointment under the Public Service Act 1922</heading>
          <content>
            <p>		Paragraph 87N(2)(c) of the<i> Public Service Act 1922 </i>does not apply to a post-sale transferee.</p>
          </content>
        </section>
        <section eId="part-5__sec-64">
          <num>64</num>
          <heading>Certain staff members of the Authority taken to have resigned</heading>
          <subsection eId="part-5__sec-64__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies to a staff member of <role refersTo="#authority">the Authority</role>:</p>
            </content>
            <paragraph eId="part-5__sec-64__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>who was eligible to consent under subsection 59(2) and who has not done so; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-64__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>who consented under subsection 59(2) but revoked that consent under subsection 59(3).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-64__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	Subject to subsection (3), the staff member is, for all purposes, taken to have resigned from his or her appointment or engagement under the <i>Pipeline Authority Act 1973</i>. The resignation takes effect at the time determined in writing in relation to the staff member by an authorised person for the purposes of this section.</p>
            </content>

                <p>Note:	A person does not come within paragraph 87N(2)(c) of the <i>Public Service Act 1922 </i>if the person’s employment with a public authority is terminated because of the person’s resignation.</p>

              <p>Subsection (2) does not apply to a staff member who does not consent under subsection 59(2), or has revoked his or her consent under subsection 59(3), because the terms and conditions of employment, taken as a whole, that would apply to the staff member on and after his or her transfer time have been determined not to be equivalent in accordance with the staff transfer agreement to the terms and conditions of employment, taken as a whole, applying to the staff member immediately before his or her transfer time.</p>

          </subsection>
        </section>
        <section eId="part-5__sec-65">
          <num>65</num>
          <heading>Application of other transitional and saving provisions</heading>
          <subsection eId="part-5__sec-65__subsec-1">
            <num>1</num>
            <content>
              <p>A specified provision applies to a post-sale transferee as if:</p>
            </content>
            <paragraph eId="part-5__sec-65__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>for the expression “sale day” (wherever occurring) in the specified provision there were substituted the expression “staff member’s transfer time”; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>for the expression “transferring staff member” (wherever occurring) in the specified provision there were substituted the expression “post-sale transferee”; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>for the expression “staff member” (wherever occurring) in the specified provision (other than where the specified provision is <ref href="#sec-43">section 43</ref>, 44, 46, 47, 48 or 49) there were substituted the expression “transferee”; and</p>

            <p>14A  Authority to act in accordance with Ministerial determination</p>
            <p>“(1)	<role refersTo="#minister">The Minister</role> may, after consulting <role refersTo="#authority">the Authority</role>, give <role refersTo="#authority">the Authority</role> a written determination setting out the policies and objectives that are to be carried out by <role refersTo="#authority">the Authority</role> for the purposes of performing its functions.</p>
            <p>“(2)	It is the duty of the directors to give effect to a determination under subsection (1).</p>
            <p>“(3)	If <role refersTo="#minister">the Minister</role> gives a determination under subsection (1), <role refersTo="#minister">the Minister</role> must cause a copy of the determination to be laid before each House of the Parliament within 15 sitting days of that House after giving the determination.”.</p>
          </content>
        </section>

          <heading>Particular powers of the Authority</heading>

            <p>Section 16 of the Principal Act is amended:</p>

          <heading>Repeal of sections 18A and 25</heading>
          <content>
            <p>Sections 18A and 25 of the Principal Act are repealed.</p>
          </content>
        </section>
        <section eId="part-7__sec-160">
          <num>160</num>
          <heading>Repeal of section and substitution of new section</heading>
          <content>
            <p>Section 28 of the Principal Act is repealed and the following section is substituted:</p>
            <p>28  Financial policy</p>
            <p>“(1)	If:</p>
          </content>

            <num>a</num>
            <content>
              <p>the construction of a pipeline from Moomba in  to Botany in  is commenced by <role refersTo="#authority">the Authority</role>; and</p>

              <p><role refersTo="#authority">the Authority</role> continues to operate and maintain any transferred pipelines for another person after the sale day;</p>

          </paragraph>

          <paragraph eId="part-7__sec-160__para-e">
            <num>e</num>

              <p>finalising its business activities in relation to any assets that cease to be assets of <role refersTo="#authority">the Authority</role> because of the Sale Act; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-160__para-f">
            <num>f</num>
            <content>
              <p>the winding down of <role refersTo="#authority">the Authority</role>’s business activities to facilitate the abolition of <role refersTo="#authority">the Authority</role> by the Sale Act.</p>
            </content>
            <content>
              <p>“(2)	If:</p>
            </content>
          </paragraph>

              <p><b><i>Sale Act</i></b> means the <i>Moomba</i><i>-</i><i>Sydney Pipeline System </i><i> Act 1994</i>.</p>
              <p><b><i>sale day</i></b> has the same meaning as in the Sale Act.</p>
              <p><b><i>transferred pipeline</i></b> means a pipeline that ceases to be an asset of the Authority because of the  Act.”.</p>

          </paragraph>
        </section>

          <heading>Repeal of section 33B</heading>

            <p>Section 33B of the Principal Act is repealed.</p>
          </content>
        </section>
      </part>

        <heading>Abolition of the Pipeline Authority</heading>
        <section eId="part-8__sec-162">
          <num>162</num>
          <heading>Principal Act</heading>
          <content>
            <p>		In this Part, <b>Principal Act</b> means the <i>Pipeline Authority Act 1973</i>.</p>
          </content>
        </section>
        <section eId="part-8__sec-163">
          <num>163</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Part, unless the contrary intention appears:</p>
            <p><b><i>repeal day</i></b> means:</p>
          </content>
          <paragraph eId="part-8__sec-163__para-a">
            <num>a</num>
            <content>
              <p>	(a)	the day notified by the Minister in the <i>Gazette </i>for the purposes of this Part; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-8__sec-163__para-b">
            <num>b</num>
            <content>
              <p><date date="1996-12-31">31 December 1996</date>;</p>
            </content>
            <content>
              <p>whichever occurs first.</p>
              <p><b><i>residual assets</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-8__sec-163__para-a">
            <num>a</num>
            <content>
              <p>any legal or equitable estates or interests in real or personal property, including contingent or prospective ones; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-8__sec-163__para-b">

              <p>any rights, privileges and immunities including contingent or prospective ones;</p>
            </content>
            <content>
              <p>of <role refersTo="#authority">the Authority</role> immediately before the repeal day.</p>
              <p><term refersTo="#term-residual-instruments">residual instruments</term> means <def>instruments that are in force immediately before the repeal day: to which <role refersTo="#authority">the Authority</role> is a party; or that were given to, by or in favour of <role refersTo="#authority">the Authority</role>; or in which a reference is made to <role refersTo="#authority">the Authority</role>; or under which any money is or may become payable, or any other property is to be, or may become liable to be, transferred, conveyed or assigned, to or by <role refersTo="#authority">the Authority</role>.</def></p>
            </content>
          </paragraph>
          <paragraph eId="part-8__sec-163__para-a">
            <num>a</num>
            <content>
              <p>to which <role refersTo="#authority">the Authority</role> is a party; or</p>
            </content>
          </paragraph>

              <p><term refersTo="#term-residual-liability">residual liability</term> means <def>liabilities and duties of the Authority, including contingent and prospective ones, immediately before the repeal day.</def></p>
            </content>
          </paragraph>
        </section>
        <section eId="part-8__sec-164">
          <num>164</num>
          <heading>Repeal of sections and substitution of new section</heading>
          <content>
            <p>Sections 3 and 4 of the Principal Act are repealed and the following section is substituted:</p>
            <p>3  Interpretation</p>
            <p>“(1)	In this Act a reference to <role refersTo="#authority">the Authority</role> is a reference to the Pipeline Authority as it was established by this Act before the repeal day.</p>
            <p>“(2)	In this section:</p>
            <p><b><i>repeal day</i></b> has the same meaning as in Part 8 of the <i>Moomba</i><i>-</i><i>Sydney Pipeline System </i><i> Act 1994</i>.”.</p>
          </content>
        </section>
        <section eId="part-8__sec-165">
          <num>165</num>
          <heading>Repeal of Parts II, III, IV and VI</heading>
          <content>
            <p>Parts II, III, IV and VI of the Principal Act are repealed on the repeal day.</p>
          </content>
        </section>
        <section eId="part-8__sec-166">
          <num>166</num>
          <heading>Residual assets and liabilities to become Commonwealth assets and liabilities of the Commonwealth</heading>
          <subsection eId="part-8__sec-166__subsec-1">
            <num>1</num>
            <content>
              <p>By force of this section, all the residual assets of <role refersTo="#authority">the Authority</role> cease to be assets of <role refersTo="#authority">the Authority</role> and become assets of the Commonwealth on the repeal day.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-166__subsec-2">
            <num>2</num>
            <content>
              <p>By force of this section, all residual liabilities of <role refersTo="#authority">the Authority</role> cease to be liabilities of <role refersTo="#authority">the Authority</role> and become liabilities of the Commonwealth on the repeal day.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-166__subsec-3">
            <num>3</num>
            <content>
              <p>A residual instrument continues to have effect on and after the repeal day as if a reference in the instrument to <role refersTo="#authority">the Authority</role> were a reference to the Commonwealth.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-8__sec-167">
          <num>167</num>
          <heading>Pending proceedings</heading>
          <content>
            <p>If, immediately before the repeal day, proceedings to which <role refersTo="#authority">the Authority</role> was a party are pending in a court, then, on and after the repeal day, the Commonwealth is substituted for <role refersTo="#authority">the Authority</role> in the proceedings and has the same rights and obligations as <role refersTo="#authority">the Authority</role> would have had in the proceedings.</p>
          </content>
        </section>
        <section eId="part-8__sec-168">
          <num>168</num>
          <heading>Minister may dispose of or deal with residual assets</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> may, on behalf of the Commonwealth, dispose of or otherwise deal with the residual assets that become assets of the Commonwealth under section 166.</p>
          </content>
        </section>
        <section eId="part-8__sec-169">
          <num>169</num>
          <heading>Exemption from certain State and Territory stamp duties</heading>
          <subsection eId="part-8__sec-169__subsec-1">
            <num>1</num>
            <content>
              <p>No stamp duty is payable under a law of a State or Territory in respect of an exempt matter or anything connected with an exempt matter.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-169__subsec-2">
            <num>2</num>
            <content>
              <p>An authorised person may, by signed writing, certify that:</p>
            </content>
            <paragraph eId="part-8__sec-169__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a specified matter or thing is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-169__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a specified thing was done in connection with a specified exempt matter.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-169__subsec-3">
            <num>3</num>
            <content>
              <p>In all courts and for all purposes, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-169__subsec-4">
            <num>4</num>
            <content>
              <p>A document that appears to be a certificate under subsection (2) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-169__subsec-5">
            <num>5</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>exempt matter</i></b> means:</p>
            </content>
            <paragraph eId="part-8__sec-169__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>residual assets and residual liabilities ceasing to be assets and liabilities of <role refersTo="#authority">the Authority</role> under section 166 and becoming assets and liabilities of the Commonwealth under that section; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-169__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>the operation of this Part in any other respect.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-8__sec-170">
          <num>170</num>
          <heading>Certificates in relation to interests in land</heading>
          <subsection eId="part-8__sec-170__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies if:</p>
            </content>
            <paragraph eId="part-8__sec-170__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>land becomes land of the Commonwealth under this Part; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-170__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with a land registration official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-170__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>is signed by an authorised person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-170__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the land, whether by reference to a map or otherwise; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-170__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>states that the land has become land of the Commonwealth under this Part.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-170__subsec-2">
            <num>2</num>
            <content>
              <p>The land registration official may:</p>
            </content>
            <paragraph eId="part-8__sec-170__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>register the matter in the same way in which dealings in land of that kind are registered; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-170__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>deal with, and give effect to, the certificate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-170__subsec-3">
            <num>3</num>
            <content>
              <p>A document that appears to be a certificate under subsection (1) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-170__subsec-4">
            <num>4</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>land registration official</i></b> means the Registrar of Titles or other proper officer of the State or Territory in which the land is situated. </p>
            </content>
          </subsection>
        </section>
        <section eId="part-8__sec-171">
          <num>171</num>
          <heading>Certificates in relation to other assets</heading>
          <subsection eId="part-8__sec-171__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies if:</p>
            </content>
            <paragraph eId="part-8__sec-171__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an asset becomes an asset of the Commonwealth under this Part; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-171__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with an assets official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-171__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>is signed by an authorised person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-171__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the asset; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-171__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>states that the asset has, under this Part, become an asset of the Commonwealth.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-171__subsec-2">
            <num>2</num>
            <content>
              <p>The assets official may:</p>
            </content>
            <paragraph eId="part-8__sec-171__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>deal with, and give effect to, the certificate as if the certificate were a proper and appropriate instrument for transactions in relation to assets of that kind; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-171__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>make such entries in the register as are necessary having regard to the effect of <ref href="#sec-166">section 166</ref>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-171__subsec-3">
            <num>3</num>
            <content>
              <p>A document that appears to be a certificate under subsection (1) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-8__sec-171__subsec-4">
            <num>4</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>assets official</i></b> means a person or authority who, under the law of the Commonwealth or of a State or Territory, has responsibility for keeping a register in relation to assets of the kind concerned.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-8__sec-172">
          <num>172</num>
          <heading>Part to have effect in spite of laws and agreements prohibiting transfer etc.</heading>
          <subsection eId="part-8__sec-172__subsec-1">
            <num>1</num>
            <content>
              <p>This Part has effect, and must be given effect to, in spite of anything in:</p>
            </content>
            <paragraph eId="part-8__sec-172__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>any other law of the Commonwealth or any law of a State or Territory; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8__sec-172__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any instrument.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8__sec-172__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), if, apart from this section, the consent of a person would be necessary in order to give effect to this Part in a particular respect, the consent is taken to have been given.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-8__sec-173">
          <num>173</num>
          <heading>Saving and transitional matters</heading>
          <content>
            <p>The regulations may make provision for saving or transitional measures in relation to the abolition of <role refersTo="#authority">the Authority</role> by this Part.</p>
          </content>
        </section>
      </part>

        <num>8A</num>
        <heading>Transfer of easements by the Commonwealth</heading>
        <section eId="part-8A__sec-173A">
          <num>173A</num>
          <heading>Interpretation</heading>
          <content>
            <p>In this Part, unless the contrary intention appears:</p>
            <p><term refersTo="#term-easement">easement</term> includes <def>an interest in an easement, and any other right in relation to land.</def></p>
            <p><term refersTo="#term-moomba-pipeline">Moomba pipeline</term> has the same meaning as <def>in <ref href="#part-6">Part 6</ref>.</def></p>
            <p><term refersTo="#term-msp-easement">MSP easement</term> means <def>an easement that is owned by the Commonwealth and that: was owned by <role refersTo="#authority">the Authority</role>, or by Pacenco, immediately before the sale day; or 	(b)	was acquired by the Commonwealth on or after the sale day under the <i>Lands Acquisition Act 1989</i>, for purposes in connection with a Moomba pipeline.</def></p>
          </content>
          <paragraph eId="part-8A__sec-173A__para-a">
            <num>a</num>
            <content>
              <p>was owned by <role refersTo="#authority">the Authority</role>, or by Pacenco, immediately before the sale day; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-8A__sec-173A__para-b">
            <num>b</num>
            <content>
              <p>	(b)	was acquired by the Commonwealth on or after the sale day under the <i>Lands Acquisition Act 1989</i>, for purposes in connection with a Moomba pipeline.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-8A__sec-173B">
          <num>173B</num>
          <heading>Transfer of MSP easements</heading>
          <content>
            <p>Gazette notice by authorised person</p>
          </content>
          <subsection eId="part-8A__sec-173B__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	An authorised person may, by notice in the <i>Gazette</i>, specify:</p>
            </content>
            <paragraph eId="part-8A__sec-173B__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an MSP easement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173B__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a transfer type for the easement, being either a full transfer or half transfer; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173B__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>one or 2 transferees in the case of a full transfer, or one transferee in the case of a half transfer; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173B__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>the transfer day for the easement.</p>
              </content>
              <content>
                <p>Full transfer</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8A__sec-173B__subsec-2">
            <num>2</num>
            <content>
              <p>If the notice specifies a full transfer, then the MSP easement specified in the notice:</p>
            </content>
            <paragraph eId="part-8A__sec-173B__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>ceases to be an asset of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173B__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>becomes an asset of the transferee or, in the case of 2 transferees, becomes an asset of the transferees as tenants in common in equal shares.</p>

                <p>Half transfer</p>

            </paragraph>

              <p>If the notice specifies a half transfer, then the MSP easement specified in the notice:</p>

                <p>ceases to be an asset of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173B__subsec-3__para-b">

                <p>becomes an asset of the transferee and the Commonwealth as tenants in common in equal shares.</p>
              </content>

              <p>A single notice under subsection (1) may cover more than one MSP easement, in which case this section applies separately to each of the easements covered by the notice.</p>

          <num>173C</num>
          <heading>Instruments relating to transferred easements</heading>
          <subsection eId="part-8A__sec-173C__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	An authorised person may, by notice in the <i>Gazette</i>, on or before the transfer day for a particular MSP easement, specify an instrument that relates to the easement for the purposes of this section.</p>
            </content>
          </subsection>
          <subsection eId="part-8A__sec-173C__subsec-2">
            <num>2</num>
            <content>
              <p>An instrument specified in a notice under subsection (1) continues to have effect, on and after the transfer day, for the MSP easement concerned, as if a reference in the instrument to the Commonwealth were a reference to the person or persons who became the owners of the easement under <ref href="#sec-173B">section 173B</ref>.</p>

          </subsection>

            <num>3</num>

              <p>In this section:</p>

            <content>
              <p><b><i>instrument</i></b> includes a document.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-8A__sec-173D">
          <num>173D</num>
          <heading>Certificates in relation to interests in land</heading>
          <subsection eId="part-8A__sec-173D__subsec-1">
            <num>1</num>
            <content>
              <p>This section applies if:</p>
            </content>
            <paragraph eId="part-8A__sec-173D__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an interest in land becomes an interest in land of a person or persons under this Part; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173D__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with a land registration official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173D__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>is signed by an authorised person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173D__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the interest, whether by reference to a map or otherwise; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173D__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>states that the interest has become an interest in land of that person or those persons under this Part.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8A__sec-173D__subsec-2">
            <num>2</num>
            <content>
              <p>The land registration official may:</p>
            </content>
            <paragraph eId="part-8A__sec-173D__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>register the matter in the same way in which dealings in interests in land of that kind are registered; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173D__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>deal with, and give effect to, the certificate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8A__sec-173D__subsec-3">
            <num>3</num>
            <content>
              <p>A document that appears to be a certificate under subsection (1) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-8A__sec-173D__subsec-4">
            <num>4</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>land registration official</i></b> means the Registrar of Titles or other proper officer of the State or Territory in which the land concerned is situated.</p>
            </content>
          </subsection>
        </section>

          <num>173E</num>
          <heading>Part to have effect in spite of laws prohibiting transfers</heading>
          <subsection eId="part-8A__sec-173E__subsec-1">
            <num>1</num>
            <content>
              <p>This Part has effect, and must be given effect to, in spite of anything in:</p>
            </content>
            <paragraph eId="part-8A__sec-173E__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>any law of the Commonwealth or any law of a State or Territory; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173E__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any instrument.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8A__sec-173E__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), if the consent of a person is necessary in order to give effect to this Part in a particular respect, the consent is taken to have been given.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-8A__sec-173F">
          <num>173F</num>
          <heading>Exemption from certain State and Territory stamp duties</heading>
          <subsection eId="part-8A__sec-173F__subsec-1">
            <num>1</num>
            <content>
              <p>No stamp duty is payable under a law of a State or Territory in respect of an exempt matter or anything connected with an exempt matter.</p>
            </content>
          </subsection>
          <subsection eId="part-8A__sec-173F__subsec-2">
            <num>2</num>
            <content>
              <p>An authorised person may, by signed writing, certify that:</p>
            </content>
            <paragraph eId="part-8A__sec-173F__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a specified matter or thing is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-8A__sec-173F__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a specified thing was done in connection with a specified exempt matter.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-8A__sec-173F__subsec-3">
            <num>3</num>
            <content>
              <p>In all courts and for all purposes, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
            </content>
          </subsection>
          <subsection eId="part-8A__sec-173F__subsec-4">
            <num>4</num>
            <content>
              <p>A document that appears to be a certificate under subsection (2) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>

            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>exempt matter</i></b> means:</p>

                <p>an MSP easement ceasing to be an asset of the Commonwealth and becoming an asset of another person or persons, or of the Commonwealth and another person, under this Part; or</p>

              <num>b</num>
              <content>
                <p>the operation of this Part in any other respect.</p>
              </content>
            </paragraph>
          </subsection>

              <p>The Governor-General may make regulations prescribing all matters:</p>
            </content>

                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-9__sec-174__subsec-1__para-b">

                <p>the fees payable to the ACCC on making a prescribed application, or giving a prescribed notice, to the ACCC under this Act or the regulations; and</p>

              <num>b</num>
              <content>
                <p>matters in connection with the procedure of the ACCC; and</p>
              </content>
            </paragraph>

                <p>fees and expenses of witnesses in proceedings before the ACCC; and</p>
              </content>
            </paragraph>
