        <heading>Preliminary</heading>

          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Commonwealth Bank </i><i> Act 1995</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, this Act commences on the day on which it receives the Royal Assent.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p><ref href="#part-3">Part 3</ref>, and all the items of the Schedule (except items 1, 12, 16, 17, 21, 22, 23, 26, 27, 31, 37 and 48), commence at the transfer time.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-3">
            <num>3</num>
            <content>
              <p>Item 12 of the Schedule commences on a date to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-4">
            <num>4</num>
            <content>
              <p>Item 22 of the Schedule commences on the first anniversary of the day on which the transfer time occurs.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-5">
            <num>5</num>
            <content>
              <p>Item 37 of the Schedule commences at the transfer time or at the beginning of <date date="1996-05-09">9 May 1996</date>, whichever is later.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-6">
            <num>6</num>
            <content>
              <p>Items 1 and 48 of the Schedule commence on the 10th anniversary of the day on which the transfer time occurs.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Interpretation</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><b><i>Bank body</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>the Commonwealth Bank, the Commonwealth Development Bank of Australia Limited or the Commonwealth Bank Officers Superannuation Corporation; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>a body corporate that is a subsidiary (as defined in <ref href="#dvs-6">Division 6</ref> of <ref href="#part-1">Part 1</ref>.2 of the Corporations Law) of the Commonwealth Bank.</p>
            </content>
            <content>
              <p><term refersTo="#term-commonwealth-bank">Commonwealth Bank</term> means <def>the Commonwealth Bank of .</def></p>
              <p><term refersTo="#term-transfer-time">transfer time</term> means <def>the time when the Commonwealth ceases to have the status of being the holder of shares in the Commonwealth Bank that carry more than 50% of the total voting rights attached to the voting shares in the Commonwealth Bank.</def></p>

          </paragraph>
        </section>

        <heading>Transitional and saving</heading>
        <division eId="part-3__dvs-1">
          <num>1</num>
          <heading>Safety, Rehabilitation and Compensation Act 1988</heading>
          <section eId="part-3__dvs-1__sec-5">
            <num>5</num>
            <heading>Interpretation</heading>
            <subsection eId="part-3__dvs-1__sec-5__subsec-1">
              <num>1</num>
              <content>
                <p>Unless the contrary intention appears, expressions used in this Division that are also used in the SRC Act have the same respective meanings as in that Act.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-5__subsec-2">
              <num>2</num>
              <content>
                <p>In this Division:</p>
              </content>
              <content>
                <p><term refersTo="#term-src-act">SRC Act</term> means <def>the Safety, Rehabilitation and Compensation Act 1988.</def></p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-6">
            <num>6</num>
            <heading>SRC Act continues to apply to Commonwealth Bank etc. for certain purposes</heading>
            <content>
              <p>If a Bank body ceases to be a Commonwealth authority for the purposes of the SRC Act at the transfer time, the SRC Act continues to apply in relation to the Bank body to the extent, and in the manner, set out in sections 7 to 11 of this Act.</p>
            </content>
          </section>
          <section eId="part-3__dvs-1__sec-7">
            <num>7</num>
            <heading>SRC Act continues to apply for previous injuries etc.</heading>
            <subsection eId="part-3__dvs-1__sec-7__subsec-1">
              <num>1</num>
              <content>
                <p>The SRC Act continues to apply after the transfer time in relation to:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-7__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>injuries suffered by employees of the Bank body before the transfer time; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-7__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>loss of, or damage to, property incurred by employees of the Bank body before the transfer time;</p>
                </content>
                <content>
                  <p>including employees who have stopped being employees of the Bank body before the transfer time.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-7__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of subsection (1), the SRC Act continues to apply as if:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-7__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the Bank body continued to be a Commonwealth authority; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-7__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the chief executive officer (however described) of the Bank body continued to be the principal officer of a Commonwealth authority.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-8">
            <num>8</num>
            <heading>Payment of premiums</heading>
            <subsection eId="part-3__dvs-1__sec-8__subsec-1">
              <num>1</num>
              <content>
                <p>After the transfer time, <ref href="#dvs-4A">Division 4A</ref> of <ref href="#part-VI">Part VI</ref>I of the SRC Act applies to the Bank body as if:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-8__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the Bank body continued to be a Commonwealth authority; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-8__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the Bank body were not required to pay a premium under that Division in respect of the part of a financial year that occurs after the transfer time; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-8__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the following word and paragraph were added at the end of subsection 96H(1) of the SRC Act:</p>
                </content>
                <content>
                  <p>“; or 	(f)	in the case of an authority—<role refersTo="#authority">the authority</role> is not required to pay a premium under this Division in respect of part of a financial year.”.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-8__subsec-2">
              <num>2</num>
              <content>
                <p>If an amount of premium payable by the Bank body in respect of a period before the transfer time remains unpaid, the amount is a debt due to the Commonwealth by the Bank body and is payable to Comcare.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-9">
            <num>9</num>
            <heading>Part VIIIA of the SRC Act</heading>
            <content>
              <p><ref href="#part-VIII">Part VIII</ref>A of the SRC Act continues to apply to the Bank body after the transfer time as if any licence granted to the Bank body under that Part were revoked at the transfer time.</p>
            </content>
          </section>
          <section eId="part-3__dvs-1__sec-10">
            <num>10</num>
            <heading>Refund of licence fee</heading>
            <subsection eId="part-3__dvs-1__sec-10__subsec-1">
              <num>1</num>
              <content>
                <p>If the Bank body has paid a licence fee under <ref href="#sec-107R">section 107R</ref> of the SRC Act in respect of the licence fee year in which the transfer time occurs, then the Bank body is entitled to be paid a refund of the amount worked out using the following formula:</p>

                <p>where:</p>
                <p><b><i>Number of refund days</i></b><i> </i>means the total number of days in the period beginning at the transfer time and ending on the last day of the licence fee year in which the transfer time occurs.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-10__subsec-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>licence fee year</i></b><i> </i>means the year beginning on the date of commencement of a licence granted under section 107J of the SRC Act and ending on the day before the anniversary of that date.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-11">
            <num>11</num>
            <heading>Amendment of declarations</heading>
            <subsection eId="part-3__dvs-1__sec-11__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	If a notice was published in the <i>Gazette </i>before the transfer time declaring the Bank body to be a body corporate to which the SRC Act applies for the purposes of the definition of <b><i>Commonwealth authority</i></b><i> </i>in subsection 4(1) of the SRC Act, then the notice has effect after the transfer time as if it did not contain a reference to the Bank body.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) does not, by implication, prevent the amendment or revocation of the notice.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-12">
            <num>12</num>
            <heading>Section 128A of the SRC Act</heading>
            <content>
              <p>Section 128A of the SRC Act continues to apply to the Commonwealth Bank after the transfer time as if the Commonwealth Bank continued to be a prescribed Commonwealth authority for the purposes of that section.</p>
            </content>
          </section>
          <section eId="part-3__dvs-1__sec-13">
            <num>13</num>
            <heading>Notification of amount of salary etc.</heading>
            <subsection eId="part-3__dvs-1__sec-13__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to a Bank body that was a Commonwealth authority for the purposes of the SRC Act immediately before the transfer time.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-2">
              <num>2</num>
              <content>
                <p>The chief executive officer (however described) of the Bank body must notify the Commission, <quantity refersTo="#deadline">within 28 days</quantity> after the transfer time, of the amount of salary, wages or pay paid to employees of the Bank body in the period starting on 1 July in the financial year in which the transfer time occurred and ending at the transfer time.</p>
              </content>
            </subsection>
          </section>
        </division>
        <division eId="part-3__dvs-2">
          <num>2</num>
          <heading>Defence Force Retirement and Death Benefits Act 1973</heading>
          <section eId="part-3__dvs-2__sec-14">
            <num>14</num>
            <heading>Interpretation</heading>
            <content>
              <p>In this Division:</p>
              <p><term refersTo="#term-dfrdb-act">DFRDB Act</term> means <def><ref href="">the Defence Force Retirement and Death Benefits Act 1973</ref>.</def></p>
            </content>
          </section>
          <section eId="part-3__dvs-2__sec-15">
            <num>15</num>
            <heading>Deferred benefits</heading>
            <subsection eId="part-3__dvs-2__sec-15__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if, immediately before the transfer time, an employee of a Bank body was a person to whom deferred benefits were applicable under <ref href="#sec-78">section 78</ref> of the DFRDB Act.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-15__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of <ref href="#dvs-3">Division 3</ref> of <ref href="#part-I">Part I</ref>X of the DFRDB Act, the employee is taken to continue in public employment, after the transfer time, so long as the employee continues to be employed by a Bank body.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-15__subsec-3">
              <num>3</num>
              <content>
                <p>This section is subject to <ref href="#dvs-3">Division 3</ref> of <ref href="#part-I">Part I</ref>X of the DFRDB Act.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-16">
            <num>16</num>
            <heading>Periods of eligible employment</heading>
            <content>
              <p>If, immediately before the transfer time, a particular period of employment of a person by a Bank body was a period of eligible employment for the purposes of <ref href="#dvs-3">Division 3</ref> of <ref href="#part-I">Part I</ref>X of the DFRDB Act, that period of employment continues to be a period of eligible employment for the purposes of that Division.</p>
            </content>
          </section>
        </division>
        <division eId="part-3__dvs-3">
          <num>3</num>
          <heading>Miscellaneous</heading>
          <section eId="part-3__dvs-3__sec-17">
            <num>17</num>
            <heading>Saving previous operation of section 109 of the Commonwealth Banks Act</heading>
            <content>
              <p>		The repeal of <i>Commonwealth Banks Act 1959 </i>does not affect:<ref href="#sec-109">section 109</ref> of the </p>
            </content>
            <paragraph eId="part-3__dvs-3__sec-17__para-a">
              <num>a</num>
              <content>
                <p>the vesting of property in the Commonwealth Bank under that section before the repeal; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-17__para-b">
              <num>b</num>
              <content>
                <p>the incurring of liabilities by the Commonwealth Bank under that section before the repeal.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-3__dvs-3__sec-18">
            <num>18</num>
            <heading>Application of bad debt provisions of the Income Tax Assessment Act</heading>
            <subsection eId="part-3__dvs-3__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	In applying Subdivision 165-C or 166-C of the <i>Income Tax Assessment Act 1997</i> to decide whether a Bank body can deduct an amount for a bad debt in the year of income in which the completion time occurred, or in a later year of income, it must be assumed that the persons who beneficially owned the shares in the Commonwealth Bank immediately after the completion time were also the beneficial owners of the shares at all times before the completion time.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>completion time</i></b><i> </i>means the time when the Commonwealth ceases to be a shareholder in the Commonwealth Bank.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-19">
            <num>19</num>
            <heading>Regulations</heading>
            <subsection eId="part-3__dvs-3__sec-19__subsec-1">
              <num>1</num>
              <content>
                <p>The Governor-General may make regulations prescribing matters:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>required or permitted by this Act to be prescribed; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>In particular, regulations may be made in relation to matters of a transitional or saving nature arising out of the sale of the Commonwealth’s shares in the Commonwealth Bank, or otherwise arising out of the enactment of this Act.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-3">
              <num>3</num>
              <content>

        <heading>Exemption from certain taxes</heading>

          <heading>Exemption from certain State and Territory taxes</heading>
          <subsection eId="part-4__sec-20__subsec-1">
            <num>1</num>
            <content>
              <p>No tax is payable under a law of a State or Territory in respect of an exempt matter or anything connected with an exempt matter.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-20__subsec-2">
            <num>2</num>
            <content>
              <p>An authorised person may, by signed writing, certify that:</p>
            </content>
            <paragraph eId="part-4__sec-20__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a specified matter or thing is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>a specified thing was done in connection with a specified exempt matter.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-20__subsec-3">
            <num>3</num>
            <content>
              <p>For all purposes and in all proceedings, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-20__subsec-4">
            <num>4</num>
            <content>
              <p>A document that appears to be a certificate under subsection (2) is taken to be such a certificate and to have been properly given unless the contrary is established.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-20__subsec-5">
            <num>5</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>authorised person</i></b> means:</p>
            </content>
            <paragraph eId="part-4__sec-20__subsec-5__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#minister">the Minister</role>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#secretary">the Secretary</role> of the Department; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>a person who:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-i">
              <num>i</num>
              <content>
                <p>is an SES employee, or acting SES employee, in the Department; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-ii">
              <num>ii</num>
              <content>
                <p>is authorised in writing by <role refersTo="#secretary">the Secretary</role> of the Department for the purposes of this section.</p>
              </content>
              <content>
                <p><b><i>exempt matter</i></b><i> </i>means any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the sale by the Commonwealth of any of its shares in the Commonwealth Bank (other than a sale of those shares to the Commonwealth Bank);</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>an agreement relating to a sale that is covered by paragraph (a);</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>the transfer of any of the Commonwealth’s shares in the Commonwealth Bank to a person other than the Commonwealth Bank;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-20__subsec-5__para-d">
              <num>d</num>
              <content>
                <p>the receipt of money by the Commonwealth in respect of a sale that is covered by paragraph (a).</p>

              <content>
                <p><b><i>tax</i></b><i> </i>means stamp duty, or any other tax, fee, duty, levy or charge, but does not include:</p>
              </content>
            </paragraph>

              <num>a</num>
              <content>
                <p>a fee payable under the Corporations Law of a State or Territory; or</p>
              </content>
            </paragraph>

                <p>	(b)	a tax, fee, duty, levy or charge specified in a notice signed by the Minister and published in the <i>Gazette</i>.</p>

                  <b>Editorial changes</b>
                </p>
                <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
                <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                  <b>Misdescribed amendments</b>
                </p>
                <p>A misdescribed amendment is an amendment that does not accurately describe the amendment to be made. If, despite the misdescription, the amendment can be given effect as intended, the amendment is incorporated into the compiled law and the abbreviation “(md)” added to the details of the amendment included in the amendment history.</p>
                <p>If a misdescribed amendment cannot be given effect as intended, the abbreviation “(md not incorp)” is added to the details of the amendment included in the amendment history.</p>
