          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Air Services Act 1995</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, this Act commences on:</p>
            </content>
            <paragraph eId="part-1__sec-2__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a day to be fixed by Proclamation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-2__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the first day after the end of the period of 6 months beginning on the day on which this Act receives the Royal Assent;</p>
              </content>
              <content>
                <p>whichever is earlier.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	If the <i>Commonwealth Authorities and Companies Act 1997 </i>has not commenced before the day that applies under subsection (1) of this section, and does not commence on that day, then sections 13 and 14, subsection 16(6), the notes after subsections 17(3) and (4), paragraphs 32(2)(d) and (5)(b) and section 51 of this Act commence on the same day as that Act.</p>

          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Interpretation</heading>
          <subsection eId="part-1__sec-3__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act, unless the contrary intention appears:</p>
            </content>
            <content>
              <p><term refersTo="#term-aa">AA</term> means <def>the body called Airservices Australia that is established by this Act.</def></p>
              <p><term refersTo="#term-aircraft">aircraft</term> means <def>any machine or craft that can derive support in the atmosphere from the reactions of the air and, in <ref href="#dvs-4">Division 4</ref> of <ref href="#part-5">Part 5</ref>, includes an object that was designed or adapted for use as an aircraft but is incapable of being so used because: a part has, or parts have, been removed from it; or it is in a wrecked or damaged condition.</def></p>
            </content>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a part has, or parts have, been removed from it; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>it is in a wrecked or damaged condition.</p>
              </content>
              <content>
                <p><term refersTo="#term-appointed-member">appointed member</term> means <def>a member of the Board who is appointed by the Minister under subsection 22(2).</def></p>
                <p><b><i>Australian</i></b><b><i>-</i></b><b><i>administered airspace</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the airspace over Australian territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>airspace that has been allocated to Australia by ICAO under the Chicago Convention and for which Australia has accepted responsibility; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>airspace administered by Australia at the request of another country.</p>
              </content>
              <content>
                <p><term refersTo="#term-australian-aircraft">Australian aircraft</term> means <def>an aircraft registered in Australia.</def></p>
                <p><b><i>Australian territory</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the territory of Australia and of every external Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the territorial sea of Australia and of every external Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the air space over any such territory or sea.</p>
              </content>
              <content>
                <p><term refersTo="#term-authorised-employee">authorised employee</term> means <def>an employee authorised by AA in writing to act under the provision in which the expression occurs.</def></p>
                <p><term refersTo="#term-authority-of-the-commonwealth">authority of the Commonwealth</term> includes <def>the following: the Defence Force; the Australian Federal Police; a body, whether incorporated or not, established for a public purpose by or under a law of the Commonwealth or of a Territory; the holder of an office established for a public purpose by or under a law of the Commonwealth or of a Territory; a company in which the Commonwealth owns shares that carry more than half the voting power; but does not include Qantas Airways Limited.</def></p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the Defence Force;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the Australian Federal Police;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a body, whether incorporated or not, established for a public purpose by or under a law of the Commonwealth or of a Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>the holder of an office established for a public purpose by or under a law of the Commonwealth or of a Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>a company in which the Commonwealth owns shares that carry more than half the voting power;</p>
              </content>
              <content>
                <p>but does not include Qantas Airways Limited.</p>
                <p><term refersTo="#term-board">Board</term> means <def>the Board of AA.</def></p>
                <p><term refersTo="#term-casa">CASA</term> means <def><ref class="unresolved">the Civil Aviation Safety Authority established by the Civil Aviation Act 1988</ref>.</def></p>
                <p><term refersTo="#term-chairperson">Chairperson</term> means <def>the Chairperson of the Board.</def></p>
                <p><b><i>Chicago Convention</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	the Convention on International Civil Aviation done at Chicago on 7 December 1944, whose English text is set out in Schedule 1 to the <i>Air Navigation Act 1920</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the Protocols amending that Convention, being the Protocols referred to in subsection 3A(2) of that Act, whose English texts are set out in Schedules to that Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the Annexes to that Convention relating to international standards and recommended practices, being Annexes adopted in accordance with that Convention.</p>
              </content>

                <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
                <p><term refersTo="#term-icao">ICAO</term> means <def>the International Civil Aviation Organization referred to in the Chicago Convention.</def></p>
                <p><term refersTo="#term-late-payment-penalty">late payment penalty</term> means <def>a penalty payable under <ref href="#sec-56">section 56</ref>.</def></p>
                <p><term refersTo="#term-member">member</term> means <def>a member of the Board (including the Chairperson, the Deputy Chairperson and the Chief Executive Officer).</def></p>
                <p><term refersTo="#term-money-raising">money raising</term> means <def>raising money by borrowing or by any other means, whether in Australian currency, foreign currency or a mixture of both.</def></p>
                <p><term refersTo="#term-outstanding-amount">outstanding amount</term> means <def>either of the following amounts that has become payable, but has not been paid or been remitted under <ref href="#sec-58">section 58</ref>: a service charge payable in respect of the aircraft; late payment penalty on any service charge in respect of the aircraft.</def></p>

                <p><term refersTo="#term-register">Register</term> means <def>the Register maintained under <ref href="#sec-64">section 64</ref>.</def></p>
                <p><term refersTo="#term-registrar">Registrar</term> means <def>the person who maintains the Register.</def></p>
                <p><term refersTo="#term-securities">securities</term> includes <def>stocks, debentures, debenture stocks, notes, bonds, promissory notes, bills of exchange and similar instruments or documents.</def></p>
                <p><term refersTo="#term-service-charge">service charge</term> means <def>a charge under <ref href="#sec-53">section 53</ref> for services or facilities provided by AA.</def></p>
                <p><term refersTo="#term-share">share</term> means <def>share in the share capital of a corporation, and includes stock.</def></p>
                <p><term refersTo="#term-statutory-lien">statutory lien</term> means <def>a lien vested in AA under <ref href="#sec-59">section 59</ref>.</def></p>
                <p><term refersTo="#term-subsidiary">subsidiary</term> has the meaning given by <def>subsection (3).</def></p>

              <p>A reference in this Act to services and facilities provided by AA is a reference to services and facilities provided as described in subsection 11(3).</p>

                </content>

                  <p>maintains or improves the technical skills of AA’s employees; and</p>
                </content>
              </paragraph>

                  <p>does not impede AA’s capacity to perform its other functions.</p>
                </content>
              </paragraph>
            </subsection>

                <p>In paragraphs (1)(a) and (j):</p>
              </content>
              <content>
                <p><b><i>facilities</i></b> includes equipment.</p>
                <p><b><i>provide</i></b>,<b><i> </i></b>in relation to facilities, includes build, maintain, operate, license, buy, sell or lease the facilities.</p>
                <p><b><i>services</i></b> includes:</p>
              </content>

              </paragraph>

                  <p>rescue and fire fighting services.</p>

              </paragraph>
            </subsection>

                <p>AA may provide its services and facilities both within and outside Australian territory.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-8__subsec-3">
              <num>3</num>
              <content>
                <p>Subject to subsection (5), subsection 9(1) and <ref href="#sec-16">section 16</ref>, the extent to which AA provides services and facilities is subject to AA’s discretion.</p>

            </subsection>

                <p>Any service or facility that AA has power to provide may be provided by AA under a contract.</p>
              </content>
            </subsection>

                <p>Subject to <ref href="#sec-16">section 16</ref>, in performing its function under paragraph (1)(a), AA must give priority to providing services and facilities in relation to air navigation within Australian-administered airspace.</p>

            <heading>Manner in which AA must perform its functions</heading>
            <subsection eId="part-2__dvs-2__sec-9__subsec-1">

                <p>In exercising its powers and performing its functions, AA must regard the safety of air navigation as the most important consideration.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-9__subsec-2">
              <num>2</num>
              <content>
                <p>Subject to subsection (1), AA must exercise its powers and perform its functions in a manner that ensures that, as far as is practicable, the environment is protected from:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-9__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the effects of the operation and use of aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-9__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the effects associated with the operation and use of aircraft.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-9__subsec-3">
              <num>3</num>
              <content>
                <p>AA must perform its functions in a manner that is consistent with Australia’s obligations under:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-9__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the Chicago Convention; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-9__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>any other agreement between Australia and any other country or countries relating to the safety of air navigation.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-10">
            <num>10</num>
            <heading>AA must consult and cooperate</heading>
            <content>
              <p>In the performance of its functions and the exercise of its powers, AA must, where appropriate, consult with government, commercial, industrial, consumer and other relevant bodies and organisations (including ICAO and bodies representing the aviation industry).</p>
            </content>
          </section>
          <section eId="part-2__dvs-2__sec-11">
            <num>11</num>
            <heading>AA’s general powers</heading>
            <subsection eId="part-2__dvs-2__sec-11__subsec-1">
              <num>1</num>
              <content>
                <p>In addition to any other powers conferred on it by this Act, AA has, subject to this Act, power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-11__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting subsection (1), AA has the power to do any of the following:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-2__para-a">

                  <p>enter into contracts;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-2__para-b">

                  <p>acquire, hold and dispose of real and personal property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>form, or participate in the formation of, companies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-2__para-d">

                  <p>enter into partnerships;</p>

              </paragraph>

                  <p>let on hire its plant, machinery, equipment or goods not immediately required by it;</p>

              </paragraph>

                  <p>raise money, by borrowing or otherwise;</p>
                </content>
              </paragraph>

                  <p>anything incidental to any of its powers.</p>

              </paragraph>
            </subsection>

                <p>Where AA may provide a facility or service, it may do so:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-3__para-a">

                  <p>itself; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>in cooperation with another person (including the Commonwealth); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-11__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>by arranging for another person (including the Commonwealth) to do so on its behalf.</p>
                </content>
              </paragraph>
            </subsection>

                <p>AA may appoint one or more bodies to advise it about the performance of its functions.</p>

            <heading>Delegation of AA’s powers by Chief Executive Officer</heading>

                <p>The Chief Executive Officer may, in writing, delegate any of AA’s powers under this Act to a member or to an employee.</p>

            </subsection>

                <p>In exercising powers under the delegation, the delegate must comply with any directions of the Chief Executive Officer.</p>

            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-13__para-e">

                <p>the need to maintain a reasonable level of reserves, having regard to estimated future infrastructure requirements;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-13__para-f">
              <num>f</num>
              <content>
                <p>the need to earn a reasonable rate of return on AA’s assets (other than assets wholly or principally used in the provision of search and rescue services);</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-13__para-g">
              <num>g</num>
              <content>
                <p>the expectation of the Commonwealth that AA will pay a reasonable dividend;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-13__para-h">
              <num>h</num>
              <content>
                <p>any other commercial considerations the Board thinks appropriate.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-3__sec-14">
            <num>14</num>
            <heading>Minister may direct variation of corporate plan</heading>
            <subsection eId="part-2__dvs-3__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p><quantity refersTo="#deadline">Within 60 days</quantity> after receiving a corporate plan, the Minister may direct the members to vary the plan in respect of financial targets, and performance indicators, relating to the provision of services and facilities.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>A direction must be in writing and must set out its reasons.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-14__subsec-3">
              <num>3</num>
              <content>
                <p>When giving a direction under subsection (1), <role refersTo="#minister">the Minister</role> must consider the following matters:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the matters referred to in <ref href="#sec-13">section 13</ref> (other than paragraph (b));</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the objectives and policies of the Commonwealth Government;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>any other commercial considerations <role refersTo="#minister">the Minister</role> thinks appropriate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-14__subsec-4">
              <num>4</num>
              <content>
                <p>The members must prepare a revised plan and give it to the Minister <quantity refersTo="#deadline">within 28 days</quantity> of being given the direction.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-15">
            <num>15</num>
            <heading>Tabling of corporate plan</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the corporate plan to be laid before each House of Parliament:</p>
            </content>
            <paragraph eId="part-2__dvs-3__sec-15__para-a">
              <num>a</num>
              <content>
                <p>within 15 sitting days after <role refersTo="#minister">the Minister</role> received the plan, if <role refersTo="#minister">the Minister</role> did not direct the members to vary the plan; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-3__sec-15__para-b">
              <num>b</num>
              <content>
                <p>within 15 sitting days after <role refersTo="#minister">the Minister</role> received a revised plan, if <role refersTo="#minister">the Minister</role> did direct the members to vary the plan.</p>

          </section>

            <num>16</num>
            <heading>Ministerial directions to AA</heading>
            <subsection eId="part-2__dvs-3__sec-16__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may give written directions to AA relating to the performance of its functions or the exercise of its powers.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-16__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	Particulars of any directions given by the Minister in a period must be included in the annual report prepared by the Board and given to the Minister under <i> Public Governance, Performance and Accountability Act 2013</i> for that period.<ref href="#sec-46">section 46</ref> of the</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-16__subsec-3">
              <num>3</num>
              <content>
                <p>AA must comply with a direction given under subsection (1).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-16__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	If AA satisfies the Minister that AA has suffered financial detriment as a result of complying with a direction given by the Minister under subsection (1), AA is entitled to be reimbursed by the Commonwealth the amount that the Minister determines, in writing, to be the amount of that financial detriment. In this subsection, <b><i>financial detriment</i></b> includes:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-16__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>incurring costs that are greater than would otherwise have been incurred; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-16__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>forgoing revenue that would otherwise have been received.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-16__subsec-5">
              <num>5</num>
              <content>
                <p>Subsection (4) does not apply to a direction of <role refersTo="#minister">the Minister</role> requiring AA to perform a function mentioned in paragraph 8(1)(d) or (e).</p>

            </subsection>

                <p>	(6)	This section does not affect the operation of <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the application of government policy to corporate Commonwealth entities)<i> </i>in relation to AA.<ref href="#sec-22">section 22</ref> of the </p>

            <heading>Minister may give notices to AA about its strategic direction etc.</heading>
            <subsection eId="part-2__dvs-3__sec-17__subsec-1">
              <num>1</num>

                <p><role refersTo="#minister">The Minister</role> may notify AA in writing of <role refersTo="#minister">the Minister</role>’s views on the following matters:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-17__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the appropriate strategic direction for AA;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-17__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the manner in which AA should perform its functions.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-17__subsec-2">
              <num>2</num>
              <content>
                <p>In performing its functions, AA must take account of notices given to it under subsection (1).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-17__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	In preparing a corporate plan under <i>Public Governance, Performance and Accountability Act 2013</i>, the Board must take account of notices given to AA under subsection (1).<ref href="#sec-35">section 35</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-17__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include:<ref href="#sec-46">section 46</ref> of the </p>

                <num>a</num>
                <content>
                  <p>a summary of notices given to AA under subsection (1) of this section in that period; and</p>
                </content>

                <num>b</num>
                <content>
                  <p>a summary of action taken in that period by AA because of notices given to AA under subsection (1) of this section in that period or any other period.</p>

            <heading>Supply of information to Minister’s nominee</heading>
            <subsection eId="part-2__dvs-3__sec-18__subsec-1">

                <p><role refersTo="#minister">The Minister</role> may direct AA to give to a specified ministerial nominee any documents or information relating to AA’s operations that the nominee requests.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>AA must comply with the direction.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-3">

                <p>	(3)	The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include particulars of any directions given to AA by the Minister under this section in that period.<ref href="#sec-46">section 46</ref> of the </p>

            </subsection>
            <subsection eId="part-2__dvs-3__sec-18__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>ministerial nominee</i></b> means a person whose responsibilities or duties include advising the Minister about AA’s performance and strategies.</p>
              </content>
            </subsection>
          </section>

            <num>19</num>
            <heading>Immunity of AA from State and Territory land use laws</heading>
            <subsection eId="part-2__dvs-3__sec-19__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to subsection (2), a land use law does not apply in relation to:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the property or transactions of AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>any act or thing done by or on behalf of AA.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-19__subsec-2">

                <p>Subsection (1) does not apply in relation to any property, transaction, act or thing that is wholly unconnected with the use of land by AA for the purpose of performing any of AA’s functions referred to in paragraph 8(1)(a).</p>

                <p>Nothing in this section implies that a law (other than a land use law) applies in relation to:</p>

                <p><b><i>land use law</i></b>  means a law of a State or Territory, to the extent that the law relates to:</p>

                  <p>the use or proposed use of land or premises; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-19__subsec-4__para-b">

                  <p>the environmental consequences of the use of land or premises.</p>
                </content>
                <content>
                  <p><b><i>law</i></b>  means a written law of a State or Territory, and includes:</p>

                <p>The functions of the Board are:</p>

                  <p>to decide the objectives, strategies and policies to be followed by AA; and</p>

              </paragraph>

                  <p>to ensure that AA performs its functions in a proper, efficient and effective manner.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-21__subsec-2">

              <content>
                <p>Anything that the Board does in AA’s name, or on AA’s behalf, is taken to have been done by AA.</p>
              </content>
            </subsection>
          </section>

            <heading>Membership</heading>
            <subsection eId="part-3__dvs-1__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>The Board consists of:</p>
              </content>

                <num>a</num>
                <content>
                  <p>a Chairperson; and</p>
                </content>
              </paragraph>

                  <p>a Deputy Chairperson; and</p>
                </content>
              </paragraph>

              </content>
            </subsection>

            </subsection>

            <heading>Delegation by Board</heading>

                <p>The Board may, by resolution, delegate all or any of its powers to a member or to an employee.</p>

                <p>The delegate is, in the exercise of a delegated power, subject to the directions of the Board.</p>
              </content>
            </subsection>

                <p>A delegation under this section:</p>

                  <p>may be revoked by resolution of the Board (whether or not constituted by the persons who constituted the Board when the power was delegated); and</p>

                  <p>continues in force in spite of a change in the membership of the Board.</p>

              </paragraph>

                <p>	(4)	A certificate signed by the Chairperson stating any matter in relation to a delegation under this section is <i>prima facie </i>evidence of the matter.</p>

                <p>A document that appears to be a certificate under subsection (4) is taken to be such a certificate and to have been properly given, unless the contrary is established.</p>

                <p>Subject to this Division, the Board may regulate proceedings at its meetings as it considers appropriate.</p>

                <p>Without limiting subsection (1), the Board may invite a person to attend a meeting for the purpose of advising or informing it on any matter.</p>

            <heading>Board resolutions without meetings</heading>
            <content>
              <p>If the Board so determines, a resolution is taken to have been passed at a meeting of the Board if:</p>

                <p>without meeting, a majority of the members indicate agreement with the resolution in accordance with the method determined by the Board; and</p>
              </content>
            </paragraph>

                <p>that majority would have constituted a quorum at a meeting of the Board.</p>

            <heading>Period of appointment of appointed members</heading>

                <p>Subject to this Part, an appointed member holds office for the period, not longer than 5 years, specified in the instrument of appointment.</p>

                <p>An appointed member is to be paid the remuneration that is determined by the Remuneration Tribunal. However, if no determination of that remuneration by the Tribunal is in operation, an appointed member is to be paid the remuneration that is prescribed by the regulations.</p>

                <p>An appointed member is to be paid the allowances that are prescribed by the regulations.</p>

                <p>A part-time member must not engage in any paid employment that, in <role refersTo="#minister">the Minister</role>’s opinion, conflicts with the proper performance of the member’s duties.</p>

            <num>30</num>
            <heading>Leave of absence</heading>
            <subsection eId="part-3__dvs-3__sec-30__subsec-1">
              <num>1</num>
              <content>
                <p>A full-time Chairperson has such recreation leave entitlements as are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant a full-time Chairperson leave of absence, other than recreation leave, on such terms and conditions as to remuneration or otherwise as <role refersTo="#minister">the Minister</role> determines in writing.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-30__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant leave to a part-time Chairperson to be absent from a meeting or meetings of the Board.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-30__subsec-4">
              <num>4</num>
              <content>
                <p>The Chairperson may grant leave to another member to be absent from a meeting or meetings of the Board.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-31">
            <num>31</num>
            <heading>Resignation of appointed members</heading>
            <content>
              <p>An appointed member may resign from the Board by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
            </content>
          </section>
          <section eId="part-3__dvs-3__sec-32">
            <num>32</num>
            <heading>Termination of appointment of appointed members</heading>
            <subsection eId="part-3__dvs-3__sec-32__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-32__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed member if:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the member becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with creditors or makes an assignment of remuneration for their benefit; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the member (other than a full-time Chairperson):</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-2__para-i">

                  <p>engages in paid employment that <role refersTo="#minister">the Minister</role> thinks is in conflict with the proper performance of the member’s duties; or</p>
                </content>
              </paragraph>

                <num>ii</num>
                <content>
                  <p>is absent, except on leave of absence granted under <ref href="#sec-30">section 30</ref>, from 3 consecutive meetings of the Board; or</p>

                <num>c</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> thinks that the performance of the member has been unsatisfactory for a significant period of time.</p>

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a full-time Chairperson if the Chairperson:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>engages in paid employment outside the duties of his or her office without <role refersTo="#minister">the Minister</role>’s approval; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>is absent from duty, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-32__subsec-4">
              <num>4</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> is of the opinion that the performance of the members or the performance of AA has been unsatisfactory for a significant period of time, <role refersTo="#minister">the Minister</role> may terminate the appointment of all appointed members or particular appointed members.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-32__subsec-5">
              <num>5</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> is of the opinion that:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>AA has failed to comply with <ref href="#sec-18">section 18</ref>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-32__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	the members have failed to comply with <i>Public Governance, Performance and Accountability Act 2013</i>;<ref href="#sec-19">section 19</ref> of the </p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may terminate the appointment of all appointed members or particular appointed members.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

            <heading>Acting appointments</heading>
            <subsection eId="part-3__dvs-3__sec-33__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may appoint the Deputy Chairperson or another member (other than the Chief Executive Officer or an employee) to act as the Chairperson:</p>
              </content>

                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Chairperson, whether or not an appointment has previously been made to the office; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Chairperson is absent from duty or from Australia or is, for any other reason, unable to perform the duties of the office.</p>

                  <p>during a vacancy in the office of Deputy Chairperson, whether or not an appointment has previously been made to the office; or</p>

                <p>There is to be a Chief Executive Officer of AA, who is to be appointed by the Board in writing.</p>

            </subsection>
            <subsection eId="part-4__dvs-1__sec-34__subsec-2">
              <num>2</num>
              <content>
                <p>A person appointed as Chief Executive Officer is eligible for re-appointment.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-34__subsec-3">
              <num>3</num>
              <content>
                <p>The Chief Executive Officer holds office on such terms and conditions (if any) in respect of matters not provided for by this Act as are determined by the Board in writing.</p>
              </content>
            </subsection>
          </section>

            <heading>Duties</heading>
            <subsection eId="part-4__dvs-1__sec-35__subsec-1">
              <num>1</num>
              <content>
                <p>The Chief Executive Officer is, under the Board, to manage AA.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p>Anything that the Chief Executive Officer does in AA’s name, or on AA’s behalf, is taken to have been done by AA.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-36">
            <num>36</num>
            <heading>Remuneration and allowances</heading>
            <content>
              <p>The Chief Executive Officer is to be paid such remuneration and allowances as the Board determines in writing.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-37">
            <num>37</num>
            <heading>Outside employment</heading>
            <content>
              <p>The Chief Executive Officer must not engage in paid employment outside the duties of his or her office except with the Board’s approval.</p>
            </content>
          </section>

            <heading>Leave of absence</heading>
            <content>
              <p>The Board may grant leave of absence to the Chief Executive Officer on such terms and conditions as to remuneration or otherwise as the Board determines in writing.</p>

                <p>	(2)	Section 30 of the <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with terminating the appointment of an accountable authority, or a member of an accountable authority, for contravening general duties of officials) does not apply in relation to the Chief Executive Officer despite subsection 30(6) of that Act.</p>

          </section>

          <section eId="part-5__dvs-1__sec-44">

            <heading>AA’s capital</heading>
            <subsection eId="part-5__dvs-1__sec-44__subsec-1">

              <content>
                <p>The initial capital of AA is the capital of the previous Authority immediately before the commencement of this Act less any amount determined under subsection (2).</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-44__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	The Minister and the Finance Minister may make a written determination that an amount representing the net value of assets transferred to CASA under <i>Civil Aviation Legislation Amendment Act 1995 </i>is not to form part of the initial capital of AA.<ref href="#sec-9">section 9</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-44__subsec-3">
              <num>3</num>
              <content>
                <p>Interest is not payable to the Commonwealth on the capital of AA, but the capital of AA is repayable to the Commonwealth at such times, and in such amounts, as <role refersTo="#minister">the Minister</role> determines in writing. In making a determination, <role refersTo="#minister">the Minister</role> must have regard to any advice that the Board has given to <role refersTo="#minister">the Minister</role> in relation to AA’s financial affairs.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-44__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>previous Authority</i></b> means the Civil Aviation Authority established under the <i>Civil Aviation Act 1988 </i>and in existence immediately before the commencement of this section.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-45">
            <num>45</num>
            <heading>Revaluation of assets</heading>
            <content>
              <p>The Board must ensure that AA’s assets are revalued in accordance with prevailing commercial practice and in the manner (if any) agreed between the Finance Minister and <role refersTo="#minister">the Minister</role>:</p>
            </content>
            <paragraph eId="part-5__dvs-1__sec-45__para-a">
              <num>a</num>
              <content>
                <p>if the assets have not previously been revalued under this section—within 5 years after the commencement of this section; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-45__para-b">
              <num>b</num>
              <content>
                <p>in any other case—within 5 years after the last day on which the assets were revalued under this section.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-5__dvs-1__sec-46">
            <num>46</num>
            <heading>Payments of dividends by AA to the Commonwealth</heading>
            <subsection eId="part-5__dvs-1__sec-46__subsec-1">
              <num>1</num>
              <content>
                <p><quantity refersTo="#deadline">Within 4 months</quantity> after the end of each financial year, the Board must recommend to the Minister in writing that AA:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>pay a dividend of a specified amount to the Commonwealth, in relation to AA’s operations in the financial year; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>not pay any dividend to the Commonwealth for the financial year.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-46__subsec-2">
              <num>2</num>
              <content>
                <p>In making a recommendation, the Board must have regard to the following matters:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the matters specified in <ref href="#sec-13">section 13</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>AA’s financial results for the financial year and previous financial years, and the dividends paid under this section for previous financial years.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-46__subsec-3">
              <num>3</num>
              <content>
                <p>The Minister must respond in writing to the Board’s recommendation, <quantity refersTo="#deadline">within 30 days</quantity>, as follows:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>if the Board recommended that a dividend be paid, <role refersTo="#minister">the Minister</role> must either:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>approve the recommendation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>direct AA to pay a dividend of a different specified amount; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>if the Board recommended that no dividend be paid, <role refersTo="#minister">the Minister</role> must either:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>approve the recommendation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>direct AA to pay a dividend of a specified amount.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-46__subsec-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must have regard to the following matters when acting under subsection (3):</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the matters specified in <ref href="#sec-13">section 13</ref> (other than paragraph (b));</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the objectives and policies of the Commonwealth Government;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>AA’s financial results for the financial year and previous financial years, and the dividends paid under this section for previous financial years;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>any other commercial considerations <role refersTo="#minister">the Minister</role> thinks appropriate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-46__subsec-5">
              <num>5</num>
              <content>
                <p>If a dividend for a financial year is approved or directed under subsection (3), AA must pay it to the Commonwealth <quantity refersTo="#deadline">within 8 months</quantity> after the end of that year.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-46__subsec-6">
              <num>6</num>
              <content>
                <p>A payment under this section may be made out of either of the following kinds of profits, or out of a mixture of both:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>AA’s profits for the financial year to which the payment relates;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-46__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>AA’s profits for any earlier financial year or years.</p>

            <heading>Interim dividends</heading>

                <p>Before 1 March in each financial year, the Board must recommend to <role refersTo="#minister">the Minister</role> in writing that AA:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>pay an interim dividend of a specified amount to the Commonwealth for the financial year; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>not pay any interim dividend to the Commonwealth for the financial year.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>In making a recommendation, the Board must have regard to the following matters:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the matters specified in <ref href="#sec-13">section 13</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>AA’s interim financial results and anticipated full-year financial results.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-47__subsec-3">
              <num>3</num>
              <content>
                <p>The Minister must respond in writing to the Board’s recommendation, <quantity refersTo="#deadline">within 45 days</quantity>, either:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>approving the recommendation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>giving directions to the Board in relation to the payment of an interim dividend.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-47__subsec-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must have regard to the following matters when acting under subsection (3):</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the matters specified in <ref href="#sec-13">section 13</ref> (other than paragraph (b));</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the objectives and policies of the Commonwealth Government;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>AA’s interim financial results and anticipated full-year financial results;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-47__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>any other commercial considerations <role refersTo="#minister">the Minister</role> thinks appropriate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-47__subsec-5">
              <num>5</num>
              <content>
                <p>If an interim dividend is approved or directed under subsection (3), AA must pay the interim dividend to the Commonwealth by 15 June in the financial year.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-47__subsec-6">
              <num>6</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>interim dividend</i></b>, in relation to a financial year, means an amount paid on account of the dividend that may become payable under section 46 for the financial year.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-48">
            <num>48</num>
            <heading>Borrowing by AA from the Commonwealth</heading>
            <content>
              <p>The Finance Minister may, on behalf of the Commonwealth, out of money appropriated by the Parliament for the purpose, lend money to AA on terms and conditions determined in writing by the Finance Minister.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-49">
            <num>49</num>
            <heading>AA may give security over its assets</heading>
            <content>
              <p>AA may give security over the whole or part of its assets for:</p>
            </content>
            <paragraph eId="part-5__dvs-1__sec-49__para-a">
              <num>a</num>
              <content>
                <p>the performance by AA of any obligation incurred by AA in connection with money raising by AA; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-49__para-b">
              <num>b</num>
              <content>
                <p>the payment to the Commonwealth of amounts equal to amounts paid by the Commonwealth under a guarantee relating to obligations incurred by AA.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-5__dvs-1__sec-50">
            <num>50</num>
            <heading>Hedging through currency contracts etc.</heading>
            <subsection eId="part-5__dvs-1__sec-50__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to this section, AA may enter into and deal with approved contracts for hedging purposes in relation to the following:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>money raising by AA;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>investment of money by AA;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>acquisition by AA of goods or services;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>a transaction in foreign currency.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-50__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may give written guidelines to AA for the exercise of AA’s power under subsection (1). AA must comply with the guidelines.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-50__subsec-3">
              <num>3</num>
              <content>
                <p>Without limiting subsection (2), the guidelines may provide that:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>AA is not to enter into or deal with contracts of a particular kind; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>AA is to enter into or deal with contracts of a particular kind only if the contract relates to specified matters.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-50__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>approved contract</i></b> means a contract of any of the following kinds:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a forward exchange rate contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a contract with respect to currency futures;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>an interest rate contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>a deferred delivery contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-e">
                <num>e</num>
                <content>
                  <p>a contract with respect to financial futures;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-f">
                <num>f</num>
                <content>
                  <p>a contract with respect to commodity futures;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-g">
                <num>g</num>
                <content>
                  <p>a contract relating to:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>dealings known as currency swaps; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>dealings known as interest rate swaps; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-iii">
                <num>iii</num>
                <content>
                  <p>dealings known as commodity swaps;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-h">
                <num>h</num>
                <content>
                  <p>a contract relating to 2 or more of the dealings referred to in paragraph (g);</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>options (including futures options);</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-j">
                <num>j</num>
                <content>
                  <p>a contract of a kind approved in writing by <role refersTo="#minister">the Minister</role>.</p>
                </content>
                <content>
                  <p><b><i>hedging purposes</i></b> means reducing or eliminating risks of adverse financial consequences to AA, and includes the following:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>reducing or eliminating the risk of adverse variations in:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>the costs in relation to money raising by AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>the revenue obtainable by AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-iii">
                <num>iii</num>
                <content>
                  <p>the costs in relation to acquiring goods or services by AA;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>maintaining the value of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>investments made by AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-50__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>property used as security for money raising, or proposed money raising, by AA.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-51">
            <num>51</num>
            <heading>Extra matters to be included in annual report</heading>
            <content>
              <p>		The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include an assessment of the adverse effect (if any) that meeting the non-commercial commitments imposed on AA has had on AA’s profitability during the period.<ref href="#sec-46">section 46</ref> of the </p>
            </content>
          </section>

          <heading>Taxation matters</heading>
          <section eId="part-5__dvs-2__sec-52">
            <num>52</num>
            <heading>Liability to taxes etc.</heading>

                <p>	(1)	AA is not a public authority for the purposes of <i>Income Tax Assessment Act 1997</i>.<ref href="#sec-50">section 50</ref>-25 of the </p>

                <p>AA is not liable to pay tax under any law of a State or Territory.</p>

          <heading>Services charges for AA services and facilities</heading>

            <num>53</num>
            <heading>Board can set charges for services and facilities</heading>
            <subsection eId="part-5__dvs-3__sec-53__subsec-1">
              <num>1</num>
              <content>
                <p>The Board may make a written determination that sets:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-53__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>charges for services or facilities provided by AA; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-53__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>penalties for late payment of service charges.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-53__subsec-2">
              <num>2</num>
              <content>
                <p>A service charge or late payment penalty may be set either by fixing the amount or by setting a method of calculation.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-53__subsec-3">
              <num>3</num>
              <content>
                <p>A service charge must be reasonably related to the expenses incurred or to be incurred by AA in relation to the matters to which the charge relates and must not be such as to amount to taxation.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-53__subsec-4">
              <num>4</num>
              <content>
                <p>A determination that sets a service charge must specify:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-53__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the persons who are liable to the charge; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-53__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the due date for payment of the charge.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-53__subsec-5">
              <num>5</num>
              <content>
                <p>A determination must be made public in such manner as the Board thinks appropriate.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-53__subsec-6">
              <num>6</num>
              <content>
                <p>This section does not apply to services or facilities that AA provides under contract.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-3__sec-54">
            <num>54</num>
            <heading>Minister’s role in setting service charges and late payment penalties</heading>
            <subsection eId="part-5__dvs-3__sec-54__subsec-1">
              <num>1</num>
              <content>
                <p>Before making a determination under <role refersTo="#minister">the Minister</role> written notice of the proposed determination, specifying the following:<ref href="#sec-53">section 53</ref>, the Board must give </p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-54__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>if the determination sets a new charge or penalty—the basis for setting the charge or penalty;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-54__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if the determination varies a charge or penalty set by earlier determination—the reason for the variation;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-54__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the day on and from which the determination is intended to operate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-54__subsec-2">
              <num>2</num>
              <content>
                <p><quantity refersTo="#deadline">Within 30 days</quantity> after receiving notice of the proposed determination, the Minister may give the Board a written notice approving or disapproving the proposed determination. In doing so, the Minister must have regard to the AA’s duties and responsibilities under this Act.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-54__subsec-3">
              <num>3</num>
              <content>
                <p>The Board cannot make a determination under <ref href="#sec-53">section 53</ref> unless:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-54__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> has approved the determination; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-54__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the period within which <role refersTo="#minister">the Minister</role> may give to the Board a notice under subsection (2) of this section has expired without <role refersTo="#minister">the Minister</role> having given such a notice.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-3__sec-55">
            <num>55</num>
            <heading>Procedure if Part VIIA of the Competition and Consumer Act applies</heading>
            <subsection eId="part-5__dvs-3__sec-55__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The Board’s power to set service charges has effect subject to <i> Competition and Consumer Act 2010</i>.<ref href="#part-VII">Part VII</ref>A of the</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-55__subsec-2">
              <num>2</num>
              <content>
                <p>If AA receives either of the following notices, AA must give <role refersTo="#minister">the Minister</role> a copy of the notice:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-55__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	a notice under subsection 95L(3) of the <i>Competition and Consumer Act 2010 </i>about an inquiry into a supply of services that is the subject of a proposed determination of a service charge;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-55__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a notice under <ref href="#sec-95Z">section 95Z</ref>J of that Act withdrawing such a notice.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-55__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	If AA receives a report under <i>Competition and Consumer Act 2010 </i>on an inquiry held under that Act in relation to the supply of services by AA, it must give a copy of the report to the Minister.<ref href="#sec-95P">section 95P</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-55__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	If AA has received a notice under subsection 95L(3) of the <i>Competition and Consumer Act 2010 </i>about an inquiry into the supply of services that is the subject of a proposed determination of a service charge, the period of 30 days referred to in subsection 54(2) does not begin until the Minister receives from AA:</p>
              </content>
              <paragraph eId="part-5__dvs-3__sec-55__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a copy of a notice under paragraph (2)(b) of this section; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-55__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>a copy of the report under subsection (3) of this section in relation to the supply of services concerned.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-55__subsec-5">
              <num>5</num>
              <content>
                <p>	(5)	If the Minister receives from AA a copy of a report given to AA under <i>Competition and Consumer Act 2010 </i>in relation to the supply of services to which a proposed determination relates, the Minister may, in a notice under subsection 54(2), disapprove the proposed determination and substitute a fresh determination.<ref href="#sec-95P">section 95P</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-55__subsec-6">
              <num>6</num>
              <content>
                <p><role refersTo="#minister">The Minister</role>’s determination has effect as if it had been made by the Board under section 53.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-3__sec-56">
            <num>56</num>
            <heading>Penalty for late payment of service charge</heading>
            <subsection eId="part-5__dvs-3__sec-56__subsec-1">
              <num>1</num>
              <content>
                <p>If a service charge is not paid by the due date for payment, the person liable for the charge is liable to pay to AA (in addition to the charge) the penalty specified in the relevant determination under <ref href="#sec-53">section 53</ref>, calculated on the unpaid amount of the charge from the due date for payment, and compounded.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-56__subsec-2">
              <num>2</num>
              <content>
                <p>The penalty specified in a determination under <ref href="#sec-53">section 53</ref> must not exceed a penalty equivalent to 1.5% of the unpaid amount of the charge for each month or part of a month during which it is unpaid, calculated from the due date for payment, and compounded.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-3__sec-56__subsec-3">
              <num>3</num>
              <content>
                <p>Subsection (2) does not require the penalty to be calculated on a monthly basis.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-3__sec-57">
            <num>57</num>
            <heading>Recovery of service charge and late payment penalty</heading>
            <content>
              <p>Any unpaid service charge or late payment penalty may be recovered by AA as a debt in a court of competent jurisdiction.</p>
            </content>
          </section>
          <section eId="part-5__dvs-3__sec-58">
            <num>58</num>
            <heading>Remission of service charge and late payment penalty</heading>
            <content>
              <p>The Board, or an employee authorised by the Board, may remit the whole or a part of a service charge or late payment penalty if:</p>
            </content>
            <paragraph eId="part-5__dvs-3__sec-58__para-a">
              <num>a</num>
              <content>
                <p>a written application is made by the person who incurred the charge or penalty; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-3__sec-58__para-b">
              <num>b</num>
              <content>
                <p>the Board or the employee is satisfied that the remission is justified by exceptional circumstances or circumstances beyond the control of the person.</p>
              </content>
            </paragraph>
          </section>

            <subsection eId="part-5__dvs-4__sec-59__subsec-1">

                <content>
                  <p>a service charge in respect of an aircraft is not paid in full by the due date for payment; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-59__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>any part of the charge, or any part of late payment penalty on the charge, remains unpaid;</p>
                </content>
                <content>
                  <p>an authorised employee may direct <role refersTo="#registrar">the Registrar</role> to make an entry in the Register in the manner prescribed by the regulations.</p>
                </content>
              </paragraph>
            </subsection>

                <p>The lien covers the following:</p>

                  <p>the service charge or penalty;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-59__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>any penalty that becomes payable in respect of the service charge after the entry is made;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-59__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>any further outstanding amounts in respect of the aircraft.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-60">
            <num>60</num>
            <heading>Effect of statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-60__subsec-1">
              <num>1</num>
              <content>
                <p>The following provisions of this Division have effect in relation to an aircraft while a statutory lien on the aircraft continues in effect.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-60__subsec-2">
              <num>2</num>
              <content>
                <p>The provisions apply:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-60__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>in spite of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-60__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>any encumbrance in respect of the aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-60__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>any sale or disposition of, or dealing in, the aircraft or an interest in the aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-60__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>whether or not AA has possession of the aircraft at any time.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-60__subsec-3">
              <num>3</num>
              <content>
                <p>For the purposes of priorities amongst creditors and the purposes of the distribution of the proceeds of a sale made under <ref href="#sec-67">section 67</ref>, the statutory lien has effect as a security interest in respect of the aircraft ranking in priority:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-60__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	after any security interest (other than a security interest that has attached to the aircraft as a circulating asset, within the meaning of the <i>Personal Property Securities Act 2009</i>) in respect of the aircraft created before the time of registration of the statutory lien, to the extent that the security interest covers a debt incurred before that time; and</p>
                </content>
              </paragraph>

                <num>b</num>
                <content>
                  <p>before any security interest that is not covered by paragraph (a), or to the extent that it is not covered by paragraph (a).</p>

                <p>A statutory lien is not to be taken by implication to have any effect otherwise than as provided by this Act.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-61">
            <num>61</num>
            <heading>Limitations on scope of statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-61__subsec-1">
              <num>1</num>
              <content>
                <p>A person prescribed by the regulations may make a written request to an authorised employee for the issue of a certificate under this section.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-61__subsec-2">
              <num>2</num>
              <content>
                <p>Upon a request being made, the authorised employee must issue a certificate stating:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-61__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>whether a statutory lien applies to the aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-61__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>whether or not, as at a specified date and time, any service charge or late payment penalty is payable and unpaid in respect of the aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-61__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>in respect of any such charge or penalty, the amount of it and the date upon which it became payable.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-61__subsec-3">
              <num>3</num>
              <content>
                <p>Where a certificate has been issued, any statutory lien on the aircraft, whether imposed before or after the time to which the certificate relates, does not cover:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-61__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>any service charge in respect of the aircraft that was payable and unpaid as at the time specified in the certificate but was not specified in the certificate; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-61__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>any late payment penalty relating to any such charge.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-62">
            <num>62</num>
            <heading>Cessation of statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-62__subsec-1">
              <num>1</num>
              <content>
                <p>A statutory lien ceases to have effect in the following cases, and not otherwise:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-62__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>when there is no longer any outstanding amount covered by the statutory lien;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-62__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>when the aircraft is sold under <ref href="#sec-67">section 67</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-62__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>when an authorised employee directs in writing that the statutory lien ceases to have effect.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-62__subsec-2">
              <num>2</num>
              <content>
                <p>When a lien ceases to have effect, <role refersTo="#registrar">the Registrar</role> must make an entry in the Register as prescribed by the regulations.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-63">
            <num>63</num>
            <heading>Notice relating to statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-63__subsec-1">
              <num>1</num>
              <content>
                <p>As soon as practicable after an entry is made in the Register under <role refersTo="#registrar">the Registrar</role> must:<ref href="#sec-59">section 59</ref> or 62, </p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-63__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	publish in the <i>Gazette </i>notice of that fact, containing such particulars as are prescribed by the regulations; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-63__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>take reasonable steps to serve copies of the notice on such persons as are prescribed by the regulations.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-63__subsec-2">
              <num>2</num>
              <content>
                <p>A failure to comply with subsection (1) has no effect on the operation of <ref href="#sec-59">section 59</ref> or 62.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-64">
            <num>64</num>
            <heading>Register of statutory liens</heading>
            <subsection eId="part-5__dvs-4__sec-64__subsec-1">
              <num>1</num>
              <content>
                <p>There is to be a Register of Statutory Liens.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-64__subsec-2">
              <num>2</num>
              <content>
                <p>The Register must be maintained, and be open to public inspection, as prescribed by the regulations.</p>
              </content>
              <content>
                <p>Subdivision B—Seizure and sale of aircraft</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-65">
            <num>65</num>
            <heading>Seizure of aircraft</heading>
            <subsection eId="part-5__dvs-4__sec-65__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if an outstanding amount covered by a statutory lien on an aircraft remains unpaid at the end of 9 months after the day on which it became an outstanding amount or the day on which the lien was registered, whichever is the later.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-65__subsec-2">
              <num>2</num>
              <content>
                <p>An authorised employee:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>may at any time, seize the aircraft; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>may keep possession of the aircraft until all outstanding amounts covered by the statutory lien are paid.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-65__subsec-3">
              <num>3</num>
              <content>
                <p>The authorised employee must take reasonable steps to give notice of the seizure to the following persons:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>persons who, in the opinion of the authorised employee, have a security interest in the aircraft;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>each person who is an owner, operator, lessee, hirer, charterer or pilot in command, of the aircraft;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>any other persons prescribed by the regulations.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-65__subsec-4">
              <num>4</num>
              <content>
                <p>A notice under subsection (3) must:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>identify the aircraft that has been seized; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>state that the aircraft has been seized under this section; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-65__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>specify the reason for the seizure.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-65__subsec-5">
              <num>5</num>
              <content>
                <p>An authorised employee is not entitled to seize an aircraft under this section if the employee fails to comply with a request by the owner, operator or pilot in command of the aircraft to produce proof that the employee is authorised to act under this section.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-66">
            <num>66</num>
            <heading>AA must insure seized aircraft</heading>
            <subsection eId="part-5__dvs-4__sec-66__subsec-1">
              <num>1</num>
              <content>
                <p>Where an aircraft is to be seized under <ref href="#sec-65">section 65</ref>, AA must insure the aircraft, and keep it insured, against the loss of, or any damage to, the aircraft during its seizure or while it is in the custody, possession or control of AA or of an employee or agent of AA.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-66__subsec-2">
              <num>2</num>
              <content>
                <p>The insurance must be for the benefit of the person or persons prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-66__subsec-3">
              <num>3</num>
              <content>
                <p>If AA pays any premium on the insurance policy, AA may recover the amount of the premium, in a court of competent jurisdiction, as a debt due by the person who is liable to pay the amounts covered by the statutory lien on the aircraft.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-67">
            <num>67</num>
            <heading>Sale of aircraft</heading>
            <subsection eId="part-5__dvs-4__sec-67__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if an outstanding amount covered by a statutory lien on an aircraft remains unpaid at the end of 9 months after the day on which it became an outstanding amount or the day on which the lien was registered, whichever is the later.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-67__subsec-2">
              <num>2</num>
              <content>
                <p>AA may at any time do any of the following, whether or not the aircraft has been seized under <ref href="#sec-65">section 65</ref>:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-67__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>sell the aircraft as prescribed by the regulations;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-67__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>execute all documents necessary for effecting the sale;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-67__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>give effective title to the aircraft free of all encumbrances, leases and contracts of hire.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-67__subsec-3">
              <num>3</num>
              <content>
                <p>Before selling the aircraft, AA must take reasonable steps to give reasonable notice of the sale to the persons referred to in subsection 65(3).</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-68">
            <num>68</num>
            <heading>Application of proceeds of sale</heading>
            <content>
              <p>The proceeds of a sale under <ref href="#sec-67">section 67</ref> must be dealt with in accordance with the regulations.</p>
            </content>
          </section>
          <section eId="part-5__dvs-4__sec-69">
            <num>69</num>
            <heading>Order of application of payments of outstanding amounts</heading>
            <content>
              <p>For the purposes of sections 65 and 67, any amounts received by AA in discharge of outstanding amounts covered by a statutory lien are taken to be applied successively in the discharge of those amounts in the order in which they became payable.</p>
              <p>Subdivision C—Interference with aircraft under statutory lien</p>
            </content>
          </section>
          <section eId="part-5__dvs-4__sec-70">
            <num>70</num>
            <heading>Removal from Australian territory of aircraft under statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-70__subsec-1">
              <num>1</num>
              <content>
                <p>A person who knows that a statutory lien is in effect in respect of an aircraft must not remove the aircraft from Australian territory.</p>
              </content>

            </subsection>

                <num>a</num>
                <content>
                  <p>the person’s abilities, experience, qualifications and other attributes; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-70__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>all the circumstances surrounding the alleged contravention.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-71">

            <heading>Dismantling etc. aircraft under statutory lien</heading>
            <subsection eId="part-5__dvs-4__sec-71__subsec-1">
              <num>1</num>

                <p>A person who knows that a statutory lien is in effect in respect of an aircraft must not detach any part or equipment from the aircraft.</p>
              </content>

            <heading>Protection of AA etc. from legal actions</heading>
            <subsection eId="part-5__dvs-4__sec-72__subsec-1">
              <num>1</num>
              <content>
                <p>No action lies against AA, or against an employee or agent of AA acting in the course of the person’s employment or agency, for or in respect of any of the following:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-72__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>loss of, or damage to, an aircraft during its seizure in accordance with <ref href="#sec-65">section 65</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-72__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>loss of, or damage to, an aircraft so seized while it is in the custody, possession or control of AA or of an employee or agent of AA;</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-72__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>any economic loss suffered by a person as a result of such a seizure.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-72__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) does not cover loss or damage that is wilfully or negligently caused by an employee or agent of AA.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-72__subsec-3">
              <num>3</num>
              <content>
                <p>In this section:</p>

              <content>
                <p><b><i>employee</i></b> includes a member.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-4__sec-73">

            <heading>Review of decisions</heading>
            <subsection eId="part-5__dvs-4__sec-73__subsec-1">
              <num>1</num>
              <content>
                <p>A person affected by a decision made under <ref href="#sec-58">section 58</ref>, subsection 59(1), 65(2) or 67(2) or paragraph 62(1)(c) may make a written application to AA to reconsider the decision.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-73__subsec-2">
              <num>2</num>
              <content>
                <p>The application must be made:</p>
              </content>
              <paragraph eId="part-5__dvs-4__sec-73__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><quantity refersTo="#deadline">within 28 days</quantity> after the day on which the decision first comes to the notice of the applicant; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-4__sec-73__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>within such further period as AA allows, either before or after the end of that 28 day period.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-73__subsec-3">
              <num>3</num>
              <content>
                <p>The application must set out the grounds on which the applicant is requesting reconsideration of the decision.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-4__sec-73__subsec-4">
              <num>4</num>
              <content>
                <p><quantity refersTo="#deadline">Within 28 days</quantity> after receiving the application, AA must reconsider the decision and affirm or revoke the decision, or vary the decision, as AA thinks fit.</p>
              </content>
            </subsection>

          <heading>Tabling of directions or notices of the Minister</heading>

            <p>Where <role refersTo="#minister">the Minister</role> gives a direction under section 14, 16, 18, 46 or 47 or a notice under section 17 or 54, <role refersTo="#minister">the Minister</role> shall cause a copy of the direction or notice to be laid before each House of the Parliament within 15 sitting days of that House after the giving of the direction or notice.</p>

          <num>75</num>
          <heading>Lands Acquisition Act</heading>
          <content>
            <p>The <i>Lands Acquisition Act 1989 </i>does not apply in relation to, or prevent, any of the following:</p>
          </content>
          <paragraph eId="part-6__sec-75__para-a">
            <num>a</num>
            <content>
              <p>the acquisition (including the leasing) of land by AA by agreement;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-75__para-b">

              <p>the granting of a lease of land owned by AA;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-75__para-c">
            <num>c</num>
            <content>
              <p>the granting of a licence to occupy, or the giving of authority to use, land owned by AA;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-75__para-d">
            <num>d</num>
            <content>
              <p>the disposal of land owned by AA.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-6__sec-76">
          <num>76</num>
          <heading>Conduct by directors, servants and agents</heading>
          <subsection eId="part-6__sec-76__subsec-1">
            <num>1</num>
            <content>
              <p>If, in proceedings for an offence against this Act, it is necessary to prove the state of mind of a body corporate in relation to particular conduct, it is enough to show:</p>
            </content>
            <paragraph eId="part-6__sec-76__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>that the conduct was engaged in by a director, servant or agent of the body corporate within the scope of his or her actual or apparent authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>that the director, servant or agent had the state of mind.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-76__subsec-2">
            <num>2</num>
            <content>
              <p>Any conduct engaged in on behalf of a body corporate by a director, servant, or agent of the body corporate within the scope of his or her actual or apparent authority is taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the body corporate unless the body corporate proves that the body corporate took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-76__subsec-3">
            <num>3</num>
            <content>
              <p>If, in proceedings for an offence against this Act, it is necessary to establish the state of mind of an individual in relation to particular conduct, it is enough to show:</p>
            </content>
            <paragraph eId="part-6__sec-76__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>that the conduct was engaged in by a servant or agent of the individual within the scope of his or her actual or apparent authority; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>that the servant or agent had the state of mind.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-76__subsec-4">
            <num>4</num>
            <content>
              <p>Any conduct engaged in on behalf of an individual by a servant or agent of the individual within the scope of his or her actual or apparent authority is taken, for the purposes of a prosecution for an offence against this Act, to have been engaged in also by the individual, unless the individual proves that he or she took reasonable precautions and exercised due diligence to avoid the conduct.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-76__subsec-5">
            <num>5</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-6__sec-76__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>an individual is convicted of an offence; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>he or she would not have been convicted of the offence if subsections (3) and (4) had not been enacted;</p>
              </content>
              <content>
                <p>he or she is not liable to be punished by imprisonment for the offence.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-76__subsec-6">
            <num>6</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>director</i></b>, in relation to a body that:</p>
            </content>
            <paragraph eId="part-6__sec-76__subsec-6__para-a">
              <num>a</num>
              <content>
                <p>is incorporated for a public purpose by a law of the Commonwealth, of a State or of a Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-b">
              <num>b</num>
              <content>
                <p>is constituted by one or more members;</p>
              </content>
              <content>
                <p>means the member, or any of the members, constituting the body.</p>
                <p><b><i>engage in conduct</i></b> includes fail or refuse to engage in conduct.</p>
                <p><b><i>offence against this Act</i></b> includes the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-a">
              <num>a</num>
              <content>
                <p>an offence against the regulations;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-b">
              <num>b</num>
              <content>
                <p>	(b)	an offence against <i>Crimes Act 1914</i> that relates to an offence against this Act or the regulations;<ref href="#sec-6">section 6</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-c">
              <num>c</num>
              <content>
                <p>	(c)	an offence against <i>Criminal Code</i> that relates to an offence against this Act or the regulations.<ref href="#sec-11">section 11</ref>.1, 11.4 or 11.5 of the </p>
              </content>
              <content>
                <p><b><i>state of mind</i></b>, in relation to a person, includes:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-a">
              <num>a</num>
              <content>
                <p>the person’s knowledge, intention, opinion, belief or purpose; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-76__subsec-6__para-b">
              <num>b</num>

                <p>the person’s reasons for the intention, opinion, belief or purpose.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-6__sec-77">
          <num>77</num>
          <heading>Power to make regulations</heading>
          <subsection eId="part-6__sec-77__subsec-1">
            <num>1</num>
            <content>
              <p>The Governor-General may make regulations prescribing matters:</p>
            </content>
            <paragraph eId="part-6__sec-77__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-77__subsec-2">
            <num>2</num>
            <content>
              <p>In particular, the regulations may make provision:</p>
            </content>
            <paragraph eId="part-6__sec-77__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>specifying the functions of AA services; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>specifying the powers that are exercisable by AA, or by its employees, in connection with AA services, including the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>giving instructions and directions in relation to air traffic services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>coordinating rescue and fire fighting operations;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-iii">
              <num>iii</num>
              <content>
                <p>requisitioning aircraft;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-iv">
              <num>iv</num>
              <content>
                <p>taking charge of rescue and fire fighting operations, and giving directions to persons participating in those operations; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>for compensating persons for loss sustained in respect of the requisitioning of an aircraft; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>conferring immunity on AA and its employees from liability arising out of the exercise of powers under the regulations; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>for the publication of Aeronautical Information Publications (AIPs) and Notices to Airmen (NOTAMS); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-f">
              <num>f</num>
              <content>
                <p>regulating the environmental effects of the operation of Commonwealth jurisdiction aircraft; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-g">
              <num>g</num>
              <content>
                <p>the supply in specified circumstances, to specified employees of AA, of records in respect of an aircraft subject to a statutory lien, being records kept under the regulations and relating to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the maintenance done on the aircraft and its components; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>the time in service of the aircraft and its components; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-h">
              <num>h</num>
              <content>
                <p>	(h)	enabling specified documents to be <i>prima facie </i>evidence of movements of aircraft for the purpose of establishing liability to charges; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-77__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>imposing penalties, not exceeding <quantity refersTo="#penaltyUnit">50 penalty units</quantity>, for a contravention of the regulations.</p>
