          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Payment Systems and Netting Act 1998</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <content>
            <p>This Act commences on the day on which it receives the Royal Assent.</p>
          </content>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Crown bound by this Act</heading>
          <content>
            <p>This Act binds the Crown in all its capacities, but does not make the Crown liable to be prosecuted for an offence.</p>
          </content>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Application of Criminal Code</heading>
          <content>
            <p>		The <i>Criminal Code</i> applies to all offences against this Act.</p>
          </content>
        </section>
        <section eId="part-1__sec-5">
          <num>5</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><term refersTo="#term-adi">ADI</term> means <def>an authorised deposit-taking institution within the meaning of <ref href="">the Banking Act 1959</ref>.</def></p>
            <p><term refersTo="#term-approved-netting-arrangement">approved netting arrangement</term> means <def>a netting arrangement approved under <ref href="#sec-12">section 12</ref>.</def></p>
            <p><term refersTo="#term-approved-rtgs-system">approved RTGS system</term> means <def>a payment or settlement system approved under <ref href="#sec-9">section 9</ref>.</def></p>
            <p><term refersTo="#term-apra">APRA</term> means <def>the Australian Prudential Regulation Authority.</def></p>
            <p><term refersTo="#term-banking-act-statutory-manager">Banking Act statutory manager</term> has the same meaning as <def>in <ref href="">the Banking Act 1959</ref>.</def></p>
            <p><term refersTo="#term-business-transfer-act">Business Transfer Act</term> means <def>the Financial Sector (Transfer and Restructure) Act 1999.</def></p>
            <p><b><i>close</i></b><b><i>-</i></b><b><i>out netting contract</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>a contract under which, if a particular event happens:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>particular obligations of the parties terminate or may be terminated; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>the termination values of the obligations are calculated or may be calculated; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-iii">
            <num>iii</num>
            <content>
              <p>the termination values are netted, or may be netted, so that only a net cash amount (whether in Australian currency or some other currency) is payable; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>a contract declared by the regulations to be a close-out netting contract for the purposes of this Act;</p>
            </content>
            <content>
              <p>but does not include:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>a contract that constitutes, or is part of, an approved netting arrangement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-d">
            <num>d</num>
            <content>
              <p>a contract in relation to which a declaration under <ref href="#sec-15">section 15</ref> is in force; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-e">
            <num>e</num>
            <content>
              <p>a contract declared by the regulations to not be a close-out netting contract for the purposes of this Act.</p>
            </content>
            <content>
              <p><b><i>Commonwealth constitutional reach</i></b>: a contract or arrangement is entered into in circumstances that are within Commonwealth constitutional reach if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>a constitutional corporation is a party to the contract or arrangement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>the contract or agreement has a significant effect on the business affairs, or an activity, of a constitutional corporation; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>the contract or arrangement is entered into in the course of, for the purposes of or in relation to one or more of the following:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>dealings in currency, bills of exchange or promissory notes;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>money borrowed on the public credit of the Commonwealth;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-iii">
            <num>iii</num>
            <content>
              <p>trade and commerce between  and places outside  or between places outside ;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-iv">
            <num>iv</num>
            <content>
              <p>trade or commerce among the States;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-v">
            <num>v</num>
            <content>
              <p>trade or commerce within a Territory, between a State and a Territory or between 2 Territories;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-vi">
            <num>vi</num>
            <content>
              <p>banking (other than State banking);</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-vii">
            <num>vii</num>
            <content>
              <p>insurance (other than State insurance); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-d">
            <num>d</num>
            <content>
              <p>the contract or arrangement is entered into by means of or in relation to, postal, telegraphic, telephonic or other like services.</p>
            </content>
            <content>
              <p><b><i>constitutional corporation</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>a foreign corporation; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>a trading or financial corporation formed within the limits of the Commonwealth.</p>
            </content>
            <content>
              <p><term refersTo="#term-derivative">derivative</term> has the same meaning as <def>in Chapter 7 of <ref href="">the Corporations Act 2001</ref>.</def></p>
              <p><term refersTo="#term-direction-stay-provision">direction stay provision</term> means <def>any of the following: 	(aa)	subsection 11CAC(2) of the <i>Banking Act 1959</i>; 	(a)<i>	</i>subsection 11CD(1A) of the <i>Banking Act 1959</i>; 	(b)	subsection 13N(2) of the <i>Banking Act 1959</i>; 	(baa)	subsection 77(2) of the <i>Financial Accountability Regime Act 2023</i>; 	(ba)	subsection 36C(2) of the <i>Insurance Act 1973</i>; 	(c)	subsection 103K(2) of the <i>Insurance Act 1973</i>; 	(d)	subsection 105(1A) of the <i>Insurance Act 1973</i>; 	(da)	subsection 230AAD(2) of the <i>Life</i> <i>Insurance Act 1995</i>; 	(e)	subsection 230AJ(2) of the <i>Life Insurance Act 1995</i>; 	(f)	subsection 230C(1A) of the <i>Life Insurance Act 1995</i>; 	(g)	subsection 101(2) of the <i>Private Health Insurance (Prudential Supervision) Act 2015</i>.</def></p>

            <content>
              <p><term refersTo="#term-eligible-obligation">eligible obligation</term> has the meaning given by <def><ref href="#sec-14A">section 14A</ref>.</def></p>
              <p><b><i>external administration</i></b>: a person goes into external administration if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>	(a)	they become a body corporate that is a Chapter 5 body corporate within the meaning of the <i>Corporations Act 2001</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>they become an individual who is an insolvent under administration; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>someone takes control of the person’s property for the benefit of the person’s creditors because the person is, or is likely to become, insolvent; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-d">
            <num>d</num>
            <content>
              <p>	(d)	a Banking Act statutory manager takes control of the person’s business under the <i>Banking Act 1959</i>; or</p>
            </content>
          </paragraph>

            </content>
            <content>
              <p><b><i>external administrator</i></b>, for a person who goes into external administration, is:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>	(a)	if, within the meaning of the <i>Corporations Act 2001</i>, the person is a company that is under restructuring or that has made a restructuring plan that has not yet terminated—the restructuring practitioner (within the meaning of that Act) for the company or for the plan; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>otherwise—the person who takes control of the property, part of the property, the business, or part of the business, of the person under the administration.</p>
            </content>
            <content>
              <p><term refersTo="#term-financial-property">financial property</term> means <def>any of the following property, regardless of whether the property (or, for paragraph (h), the intermediary or the account) is in Australia or elsewhere: 	(a)	a security (within the meaning of subsections 92(1) and (2) of the <i>Corporations Act 2001</i>); a derivative; 	(c)	a financial product (within the meaning of the <i>Corporations Act 2001</i>) that is traded on a financial market (within the meaning of Division 3 of Part 7.1 of that Act) that is: operated in accordance with an Australian market licence (within the meaning of that Act); or exempt from the operation of <ref href="#part-7">Part 7</ref>.2 of that Act; 	(d)	a negotiable instrument (within the meaning of the <i>Personal Property Securities Act 2009</i>); currency (whether of Australia or of any other country); gold, silver or platinum; property declared by the regulations to be financial property for the purposes of this Act; 	(h)	if a person (an <b><i>intermediary</i></b>) maintains an account to which interests in property or rights to payment or delivery of property<i> </i>of a kind mentioned in any of paragraphs (a) to (g) may be credited or debited—the rights of a person in whose name the intermediary maintains the account, to the extent that those rights relate to the interests in that property or the rights to payment or delivery of that property; proceeds (including rights and property) of property that is financial property; but does not include any property declared by the regulations to not be <b><i>financial property</i></b> for the purposes of this Act.</def></p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>	(a)	a security (within the meaning of subsections 92(1) and (2) of the <i>Corporations Act 2001</i>);</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>a derivative;</p>
            </content>
          </paragraph>

            <content>
              <p>	(c)	a financial product (within the meaning of the <i>Corporations Act 2001</i>) that is traded on a financial market (within the meaning of Division 3 of Part 7.1 of that Act) that is:</p>

            <num>i</num>
            <content>
              <p>operated in accordance with an Australian market licence (within the meaning of that Act); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>exempt from the operation of <ref href="#part-7">Part 7</ref>.2 of that Act;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-d">
            <num>d</num>
            <content>
              <p>	(d)	a negotiable instrument (within the meaning of the <i>Personal Property Securities Act 2009</i>);</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-e">
            <num>e</num>
            <content>
              <p>currency (whether of Australia or of any other country);</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-f">
            <num>f</num>

            <num>i</num>
            <content>
              <p>proceeds (including rights and property) of property that is financial property;</p>
            </content>
            <content>
              <p>but does not include any property declared by the regulations to not be <b><i>financial property</i></b> for the purposes of this Act.</p>
              <p><term refersTo="#term-foreign-exchange-contract">foreign exchange contract</term> has the same meaning as <def>in <ref href="">the Corporations Act 2001</ref>.</def></p>
              <p><term refersTo="#term-general-insurer">general insurer</term> has the same meaning as <def>in <ref href="">the Insurance Act 1973</ref>.</def></p>
              <p><term refersTo="#term-general-participant-in-a-payment-or-settlement-system">general participant in a payment or settlement system</term> means <def>a participant who cannot, under the operating rules for the system, settle transactions on their own account through the system.</def></p>
              <p><b><i>give security</i></b> has a meaning affected by section 5A.</p>
              <p><term refersTo="#term-insurance-act-statutory-manager">Insurance Act statutory manager</term> has the same meaning as <def>in <ref href="">the Insurance Act 1973</ref>.</def></p>
              <p><term refersTo="#term-intermediated-financial-property">intermediated financial property</term> means <def>the rights mentioned in paragraph (h) of the definition of financial property.</def></p>
              <p><term refersTo="#term-life-company">life company</term> has the same meaning as <def>in <ref href="">the Life Insurance Act 1995</ref>.</def></p>
              <p><term refersTo="#term-life-insurance-act-statutory-manager">Life Insurance Act statutory manager</term> has the same meaning as <def>in <ref href="">the Life Insurance Act 1995</ref>.</def></p>
              <p><b><i>market netting contract</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>a contract:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>entered into in accordance with the rules that govern the operation of a netting market; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>under which obligations between parties to the contract are netted; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-aa">
            <num>aa</num>
            <content>
              <p>the rules governing the operation of a netting market, if those rules have effect as a contract between a participant in the netting market and one or more other persons; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>a contract declared by the regulations to be a market netting contract for the purposes of this Act;</p>
            </content>
            <content>
              <p>but does not include:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>a contract that constitutes, or is part of, an approved netting arrangement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-d">
            <num>d</num>
            <content>
              <p>a contract declared by the regulations not to be a market netting contract for the purposes of this Act.</p>
            </content>
            <content>
              <p><term refersTo="#term-multilateral-netting-arrangement">multilateral netting arrangement</term> means <def>an arrangement that has more than 2 parties and under which the obligations owed by the parties to each other are netted.</def></p>
              <p><b><i>netting market</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>an arrangement that is:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>	(i)	a licensed market or a licensed CS facility (both within the meaning of the <i>Corporations Act 2001</i>); and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>approved by <role refersTo="#minister">the Minister</role> for the purposes of this definition; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>an arrangement declared by the regulations to be a netting market for the purposes of this Act.</p>
            </content>
            <content>
              <p><b><i>non</i></b><b><i>-</i></b><b><i>terminal administration</i></b>: a person goes into <b><i>non</i></b><b><i>-</i></b><b><i>terminal administration</i></b> if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>the person goes into external administration; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>	(b)	if the person is a body corporate—the external administration is not a winding up under the <i>Corporations Act 2001</i> or a corresponding process under a law of a foreign country; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>	(c)	if the person is an individual—the external administration is not the result of the person becoming a bankrupt under the <i>Bankruptcy Act 1966</i>, or the person having a corresponding status under a law of a foreign country.</p>
            </content>
            <content>
              <p><term refersTo="#term-operating-rules-for-a-payment-or-settlement-system">operating rules for a payment or settlement system</term> means <def>the rules governing the operation of the system.</def></p>
              <p><term refersTo="#term-participant-in-an-approved-rtgs-system">participant in an approved RTGS system</term> means <def>a person who is a participant in the system in accordance with the rules governing the operations of the system.</def></p>
              <p><b><i>party</i></b> to an approved netting arrangement is a person who is a party to the arrangement in accordance with the rules governing the arrangement.</p>
              <p><b><i>provable</i></b>: an obligation is provable in an external administration if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>	(a)	for an external administration that is a winding up under the <i>Corporations Act 2001</i>—the obligation is a debt or claim that is admissible to proof against the body being wound up; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>	(b)	for an external administration that is a bankruptcy under the <i>Bankruptcy Act 1966</i>—the obligation is a debt or liability provable in the bankruptcy; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>in any other case—the person to whom the obligation is owed is entitled to share in any distribution of property to creditors under the administration on the basis of the obligation if the obligation is properly established.</p>
            </content>
            <content>
              <p><term refersTo="#term-receiving-body">receiving body</term> has the same meaning as <def>in the Business Transfer Act.</def></p>
              <p><term refersTo="#term-regulated-body">regulated body</term> means <def>a body corporate that is any of the following: an ADI; a general insurer; a life company; 	(d)	an authorised NOHC (within the meaning of the <i>Banking Act 1959</i>); 	(e)	an authorised NOHC (within the meaning of the <i>Insurance Act 1973</i>); 	(f)	a registered NOHC (within the meaning of the <i>Life Insurance Act 1995</i>); a subsidiary of a body corporate mentioned in paragraph (a), (b), (c), (d), (e) or (f); 	(h)	a private health insurer within the meaning of the <i>Private Health Insurance (Prudential Supervision) Act 2015</i>. <b><i>regulated business</i></b>: 	(a)	in relation to an ADI—means the ADI’s banking business (within the meaning of the <i>Banking Act 1959</i>); and 	(b)	in relation to a general insurer—means the general insurer’s insurance business (within the meaning of the <i>Insurance Act 1973</i>); and 	(c)	in relation to a life company—means the life company’s life insurance business (within the meaning of the <i>Life Insurance Act 1995</i>).</def></p>

              <p><b><i>regulated business</i></b>:</p>

          </paragraph>

              <p>	(a)	in relation to an ADI—means the ADI’s banking business (within the meaning of the <i>Banking Act 1959</i>); and</p>

              <p>	(c)	in relation to a life company—means the life company’s life insurance business (within the meaning of the <i>Life Insurance Act 1995</i>).</p>

              <p><term refersTo="#term-related-body-corporate">related body corporate</term> means <def>a body corporate that is related to the first-mentioned body, as determined in accordance with <ref href="#sec-5A">section 5A</ref>A.</def></p>
              <p><term refersTo="#term-reserve-bank">Reserve Bank</term> means <def>the Reserve Bank of .</def></p>
              <p><term refersTo="#term-resolution-period">resolution period</term> has the meaning given by <def><ref href="#sec-15A">section 15A</ref>.</def></p>
              <p><term refersTo="#term-settling-participant-in-a-payment-or-settlement-system">settling participant in a payment or settlement system</term> means <def>a participant who, under the operating rules for the system, can settle transactions through the system on their own behalf and for other participants.</def></p>

            <p>		For the purposes of this Act, the question whether a body corporate is a subsidiary of another body corporate is to be determined in the same way as that question is determined for the purposes of the <i>Corporations Act 2001</i>.</p>

          <heading>Security given over a person’s right to require payment or performance of an obligation</heading>
          <content>
            <p>		If a person owes payment or performance of an obligation to another person (an <b><i>account holder</i></b>):</p>
          </content>
          <paragraph eId="part-1__sec-5A__para-a">
            <num>a</num>
            <content>
              <p>	(a)	the account holder may <b><i>give security </i></b>over the account holder’s right to require the payment or performance of the obligation; and</p>
            </content>
          </paragraph>

              <p>	(b)	the persons to whom <b><i>security</i></b> may be <b><i>given</i></b> include the person who owes the payment or the performance of the obligation to the account holder.</p>

          <heading>Winding up not to affect transactions carried out on the day of appointment</heading>

              <p>If:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a participant in an approved RTGS system goes into external administration (other than non-terminal administration); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a payment or settlement transaction is executed through the system at any time on the day on which the external administrator is appointed; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the transaction involves the payment of money, or the transfer of an asset, by the participant;</p>
              </content>
              <content>
                <p>the payment or transfer has the same effect it would have had if the participant had gone into external administration on the next day.</p>

          </subsection>

                <p>a participant in an approved RTGS system goes into non-terminal administration; and</p>
              </content>

              <content>
                <p>a payment or settlement transaction is executed through the system at any time before the participant goes into, or while the participant is in, non-terminal administration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6A__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the transaction involves the payment of money, or the transfer of an asset, by the participant;</p>
              </content>
              <content>
                <p>the payment or transfer has the same effect it would have had if the participant had not gone into non-terminal administration.</p>

            </paragraph>
          </subsection>

          <heading>Obligation to notify system administrator of external administration</heading>
          <subsection eId="part-2__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>A participant in an approved RTGS system must notify the system administrator if:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the participant; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>another participant whose transactions the participant settles through the system;</p>
              </content>
              <content>
                <p>goes into external administration. The participant must give the notice as soon as practicable after the participant becomes aware of the external administration.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>A person does not contravene subsection (1) if:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>they took reasonable steps to comply with that subsection; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the system administrator was already aware of the external administration by the time the person was required to notify the administrator under subsection (1).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-3">
            <num>3</num>
            <content>
              <p>A person must not contravene subsection (1).</p>
            </content>

          <heading>Application for approval of payment system</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>A person may apply to the Reserve Bank for approval of a payment or settlement system.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>The application must:</p>
            </content>
            <paragraph eId="part-2__sec-8__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>be in the form approved in an instrument under subsection (3); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>be accompanied by the documents:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>specified in the regulations; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>required by the Reserve Bank.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-3">
            <num>3</num>
            <content>
              <p>The Reserve Bank may, by notifiable instrument, approve a form for the purposes of paragraph (2)(a).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-9">
          <num>9</num>
          <heading>Reserve Bank may approve payment system</heading>
          <subsection eId="part-2__sec-9__subsec-1">
            <num>1</num>
            <content>
              <p>The Reserve Bank may, by legislative instrument, approve the system if it is satisfied that:</p>
            </content>
            <paragraph eId="part-2__sec-9__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>systemic disruption in the financial system could result if a participant went into external administration and the system were not approved under this section; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the system is supported by a legally enforceable arrangement between participants in the system for the irrevocable settlement of transactions in real time; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the rules governing the system establish a system administrator for the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>the system administrator has the resources, competency and integrity needed to administer the system; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>the system rules provide that if a settling participant goes into external administration, the system administrator may suspend from the system:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the participant; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>any general participant for whom that participant is the sole sponsor; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>the system rules provide that if a general participant goes into external administration, the system administrator may suspend that participant from the system; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-1__para-g">
              <num>g</num>
              <content>
                <p>the system rules require a settling participant to assume the obligations of any participant whose transactions they settle through the system if the participant fails to fulfil those obligations;</p>
              </content>
              <content>
                <p>and of any other matters specified in the regulations.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-9__subsec-2">
            <num>2</num>
            <content>
              <p>In deciding whether to approve a system, the Reserve Bank must have regard to the following:</p>
            </content>
            <paragraph eId="part-2__sec-9__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>whether the system rules:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>allow all participants to settle transactions on their own account; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	provide both for participants who can settle transactions on their own account and for other participants (<b><i>settling participants</i></b>) and for participants who cannot settle transactions on their own account (<b><i>general participants</i></b>);</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>whether the system rules provide for different obligations for settling participants and general participants and, if they do, whether they:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>require a general participant to have a settling participant to settle their transactions through the system; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>require a participant who goes into external administration to notify its settling participant (if any) of the external administration as soon as practicable; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-iii">
              <num>iii</num>
              <content>
                <p>require a settling participant to notify the system administrator as soon as practicable if it becomes aware that a participant whose transactions it settles through the system has gone into external administration;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>whether the system rules require participants to notify the system administrator as soon as practicable if they go into external administration;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>any other matters specified in the regulations;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-9__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>any other matters the Reserve Bank considers relevant.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-9__subsec-3">

              <p>An approval may be given subject to the terms and conditions specified in the approval.</p>

          </subsection>

        <heading>Integrity of approved netting arrangements</heading>

          <heading>Effectiveness of approved multilateral netting arrangements</heading>
          <subsection eId="part-3__sec-10__subsec-1">
            <num>1</num>
            <content>
              <p>If an approved netting arrangement is entered into in circumstances that are within Commonwealth constitutional reach:</p>
            </content>
            <paragraph eId="part-3__sec-10__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>obligations may be terminated, termination values may be calculated and a net amount become payable in accordance with the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>paragraph (a) applies despite:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>any disposal of rights that may be netted under the arrangement; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the creation of any encumbrance, or any other interest, in relation to those rights; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-1__para-iii">

              <content>
                <p>the operation of any encumbrance, or any other interest, in relation to those rights that is created after the commencement of this section;</p>
              </content>
              <content>
                <p>in contravention of a prohibition in the arrangement; and</p>

                <p>for the purposes of any law, the assets and liabilities of a party to the arrangement are taken:</p>

                <p>to include any net obligation owed to a party under the arrangement; and</p>
              </content>
            </paragraph>

              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-10__subsec-2">

              <p>If a party to an approved netting arrangement goes into external administration:</p>
            </content>
            <paragraph eId="part-3__sec-10__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>if the external administration is not a non-terminal administration—the party may do anything permitted or required by the arrangement in order to net:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>obligations incurred before or on the day on which the party goes into external administration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-2__para-ii">

                <p>net obligations if the obligations that are directly or indirectly netted are incurred before or on the day on which the party goes into external administration; and</p>
              </content>
            </paragraph>

                <p>if the external administration is a non-terminal administration—the party may do anything permitted or required by the arrangement in order to net:</p>

                <p>obligations incurred before the participant goes into, or while the participant is in, non-terminal administration; and</p>

                <p>the obligations that are, or have been, netted under the arrangement are to be disregarded in the external administration (but see subsection (4)); and</p>

                <p>the creation of any encumbrance, or any other interest, in relation to those rights; or</p>
              </content>
            </paragraph>

                <p>the operation of any encumbrance, or any other interest, in relation to those rights;</p>
              </content>
              <content>
                <p>in contravention of a prohibition in the arrangement.</p>

              <p>Subsections (1) and (2) have effect despite any other law (including the specified provisions and the specified stay provisions).</p>

              <p>If:</p>
            </content>
            <paragraph eId="part-3__sec-10__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>a party to an approved netting arrangement goes into external administration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>an obligation owed by the party to another party to the arrangement has been netted under the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-10__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>a direct payment by the party owing the obligation to the other party would have been voidable in the external administration if it had been made to settle the obligation on the day on which the netting occurred;</p>
              </content>
              <content>
                <p>the external administrator may recover from the other party for the benefit of creditors an amount equal to the amount of the obligation.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-3__sec-11">
          <num>11</num>
          <heading>Application for approval of netting arrangement</heading>
          <subsection eId="part-3__sec-11__subsec-1">
            <num>1</num>
            <content>
              <p>A person may apply to the Reserve Bank for approval of a multilateral netting arrangement.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-11__subsec-2">
            <num>2</num>
            <content>
              <p>The application must:</p>
            </content>
            <paragraph eId="part-3__sec-11__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>be in the form approved in an instrument under subsection (3); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-11__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>be accompanied by the documents specified in the regulations or required by the Reserve Bank.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-11__subsec-3">
            <num>3</num>
            <content>
              <p>The Reserve Bank may, by notifiable instrument, approve a form for the purposes of paragraph (2)(a).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-12">
          <num>12</num>
          <heading>Reserve Bank may approve netting arrangement</heading>
          <subsection eId="part-3__sec-12__subsec-1">
            <num>1</num>
            <content>
              <p>The Reserve Bank may approve the arrangement if it is satisfied that:</p>
            </content>
            <paragraph eId="part-3__sec-12__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>systemic disruption in the financial system could result if a participant went into external administration and the arrangement were not approved under this section; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the arrangement provides for netting to occur at least once on each business day; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the rules governing the arrangement establish a coordinator for the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>the coordinator of the arrangement has the resources, competency and integrity needed to administer the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>the rules governing the arrangement provide that if a party to the arrangement goes into external administration:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the party must notify the coordinator as soon as practicable; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the coordinator may exclude the party from the arrangement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>the rules governing the arrangement require a party to the arrangement to notify the coordinator as soon as practicable if they have reasonable grounds to suspect that another party to the arrangement is insolvent;</p>
              </content>
              <content>
                <p>and of any other matters specified in the regulations.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-12__subsec-2">
            <num>2</num>
            <content>
              <p>An approval:</p>
            </content>
            <paragraph eId="part-3__sec-12__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>must be given in writing; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-12__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>may be given subject to the terms and conditions specified in the approval.</p>
              </content>
            </paragraph>
          </subsection>
        </section>

          <num>13</num>
          <heading>Qualified privilege</heading>
          <content>
            <p>A party to an approved netting arrangement has qualified privilege for a notice they give the coordinator under the rules governing the arrangement that they have reasonable grounds to suspect that another party to the arrangement is insolvent.</p>

                <p>If:</p>

                <num>a</num>
                <content>
                  <p>Australian law governs a close-out netting contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the contract is entered into in circumstances that are within Commonwealth constitutional reach;</p>
                </content>
                <content>
                  <p>the following provisions apply:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>obligations may be terminated, termination values may be calculated and a net amount become payable in accordance with the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-ca">
                <num>ca</num>
                <content>
                  <p>security given over financial property, in respect of obligations of a party to the contract, may be enforced in accordance with the terms of the security, provided the terms of the security are evidenced in writing (but see <ref href="#sec-14A">section 14A</ref>);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>paragraphs (c) and (ca) apply despite:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>any disposal of rights that may be netted under the contract; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>the creation of any encumbrance, or any other interest, in relation to those rights or financial property mentioned in paragraph (ca); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>the operation of any encumbrance, or any other interest, in relation to those rights or that financial property that is created after the commencement of this section;</p>
                </content>
                <content>
                  <p>in contravention of a prohibition in the contract, or in the security mentioned in paragraph (ca);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>for the purposes of any law, the assets of a party to the contract are taken:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>to include any net obligation owed to the party under the contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>not to include obligations terminated under the contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a person who is, or has been, a party to a close-out netting contract goes into external administration; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>Australian law governs either:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>the external administration; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>the contract;</p>
                </content>
                <content>
                  <p>the following provisions apply:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>obligations may be terminated, termination values may be calculated and a net amount become payable in accordance with the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>obligations that are, or have been, terminated under the contract are to be disregarded in the external administration (but see subsection (5));</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-e">
                <num>e</num>
                <content>
                  <p>any net obligation owed by the party under the contract that has not been discharged is provable in the external administration;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-f">
                <num>f</num>
                <content>
                  <p>any net obligation owed to the party under the contract that has not been discharged may be recovered by the external administrator for the benefit of creditors;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-fa">
                <num>fa</num>
                <content>
                  <p>security given over financial property, in respect of obligations of a party to the contract, may be enforced in accordance with the terms of the security, provided the terms of the security are evidenced in writing (but see <ref href="#sec-14A">section 14A</ref>);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-fb">
                <num>fb</num>
                <content>
                  <p>if:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-i">

                  <p>	(i)	under <i>Personal Property Securities Act 2009</i> or section 588FL of the <i>Corporations Act 2001</i>, a security interest would, but for this paragraph, vest in the grantor before the external administration begins; and<ref href="#sec-267">section 267</ref> or 267A of the </p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>where the security interest did not vest under one of those sections before the external administration begins, the security would be enforceable under paragraph (fa);</p>
                </content>
                <content>
                  <p>the security interest does not vest under that section before the external administration begins;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-g">
                <num>g</num>
                <content>
                  <p>none of the following is to be void or voidable in the external administration:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>the netting or termination of obligations under the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>a payment by the party to discharge a net obligation under the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>the enforcement of security under paragraph (fa);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-h">
                <num>h</num>
                <content>
                  <p>paragraphs (c) to (g) apply despite:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>any disposal of rights that may be netted under the contract; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>the creation of any encumbrance, or any other interest, in relation to those rights or financial property mentioned in paragraph (fa); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>the operation of any encumbrance, or any other interest, in relation to those rights or that financial property;</p>
                </content>
                <content>
                  <p>in contravention of a prohibition in the contract, or in the security mentioned in paragraph (fa).</p>

                <p>Subsections (1) and (2) have effect in relation to a close-out netting contract:</p>

                <num>a</num>
                <content>
                  <p>subject to a specified stay provision that applies to the contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>despite any other law (including the specified provisions).</p>
                </content>

                <p>A person may not rely on the application of subsection (1) or (2) to a right or obligation under a close-out netting contract if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the person acquired the right or obligation from another person with notice that that other person, or the other party to the contract, was at that time unable to pay their debts as and when they became due and payable; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the person acquired the right or obligation otherwise than as a result of the operation of <ref href="#sec-22">section 22</ref>, 35 or 36R of the Business Transfer Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-5">
              <num>5</num>
              <content>
                <p>Subsection (1) or (2) does not apply to an obligation owed by a party to a close-out netting contract to another person if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the party goes into external administration; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the party acquired the obligation otherwise than as a result of the operation of <ref href="#sec-22">section 22</ref>, 35 or 36R of the Business Transfer Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>subsection (6) is satisfied.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-6">
              <num>6</num>
              <content>
                <p>This subsection is satisfied if any of the following are satisfied:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>the other person did not act in good faith in entering into the transaction that created the terminated obligation;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>when that transaction was entered into, the other person had reasonable grounds for suspecting that the party was insolvent at that time or would become insolvent because of, or because of matters including:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-6__para-i">
                <num>i</num>
                <content>
                  <p>entering into the transaction; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-6__para-ii">
                <num>ii</num>
                <content>
                  <p>doing an act, or making an omission, for the purposes of giving effect to the transaction;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-6__para-c">
                <num>c</num>
                <content>
                  <p>the other person neither provided valuable consideration under, nor changed their position in reliance on, that transaction.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-7">
              <num>7</num>
              <content>
                <p>None of the following things done by a party to a close-out netting contract, while it is under statutory/judicial management and a specified stay provision applies to the contract, is to be void or voidable in an external administration:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>making a payment, or transferring property, to another person to meet an obligation under the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>creating rights or obligations in another person under the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-7__para-c">
                <num>c</num>
                <content>
                  <p>giving any security to another person in relation to the contract;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-7__para-d">
                <num>d</num>
                <content>
                  <p>entering into one or more close-out netting contracts with another person;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-7__para-e">
                <num>e</num>
                <content>
                  <p>doing anything mentioned in paragraph (a), (b) or (c) under a close-out netting contract mentioned in paragraph (d).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-8">
              <num>8</num>
              <content>
                <p>Subsection (7) does not apply to a thing mentioned in that subsection done by a party to a close-out netting contract in relation to another person if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-8__para-a">
                <num>a</num>
                <content>
                  <p>the transaction did not result from the operation of <ref href="#sec-22">section 22</ref>, 35 or 36R of the Business Transfer Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-8__para-b">
                <num>b</num>
                <content>
                  <p>either of the following is satisfied:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-8__para-i">
                <num>i</num>
                <content>
                  <p>the other person did not act in good faith in entering into the transaction;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-8__para-ii">
                <num>ii</num>
                <content>
                  <p><b>	</b>(ii)	the other person neither provided valuable consideration under, nor changed their position in reliance on, the transaction.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14__subsec-9">
              <num>9</num>
              <content>
                <p>If security is given over financial property, in respect of obligations of a party to a close-out netting contract, then:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-9__para-a">
                <num>a</num>
                <content>
                  <p>subsection (3) applies in relation to the security in the same way as it applies in relation to the contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-9__para-b">
                <num>b</num>
                <content>
                  <p>subsection (4) applies in relation to rights and obligations under the security in the same way as it applies in relation to rights and obligations under the contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14__subsec-9__para-c">
                <num>c</num>
                <content>

            <num>14A</num>
            <heading>Effectiveness of security given in respect of obligations under close-out netting contracts</heading>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-1">
              <num>1</num>
              <content>
                <p>Paragraphs 14(1)(ca) and 14(2)(fa) apply to the enforcement of security over financial property, in respect of obligations of a party to a close-out netting contract, only to the extent that:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the obligations secured by the financial property, and discharged through the enforcement, are:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>eligible obligations in relation to the contract; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>obligations under the contract of a party to the contract to pay interest on an eligible obligation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>obligations of a party to the contract to pay costs and expenses incurred in connection with enforcing security given in respect of an eligible obligation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>before the enforcement, the financial property is transferred or otherwise dealt with so as to be in the possession or under the control of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the secured person; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>another person (who is not the grantor) on behalf of the secured person, under the terms of an arrangement evidenced in writing; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	the enforcement is carried out in a manner that complies with <i>Corporations Act 2001</i> (if it applies) and any applicable general law duties that are not inconsistent with the terms of the security.<ref href="#sec-420A">section 420A</ref> of the </p>
                </content>

            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of paragraph (1)(b), financial property is taken not to be in the possession or control of a person mentioned in that paragraph if, under the security, the grantor is free to deal with the financial property in the ordinary course of business until the secured person’s interest in the financial property becomes fixed and enforceable.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-3">
              <num>3</num>
              <content>
                <p>Subsection (2) applies even if the secured person’s interest in the financial property becomes fixed and enforceable before the enforcement of the security over that property mentioned in subsection (1).</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-4">
              <num>4</num>
              <content>
                <p>Without limiting paragraph (1)(b), financial property is taken to be in the possession of a person for the purposes of that paragraph if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>in a case where there is an issuer of the financial property—the person is registered by, or on behalf of, the issuer as the registered owner of the financial property; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>in a case where the financial property is intermediated financial property—the person is the person in whose name the intermediary maintains the account.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-5">
              <num>5</num>
              <content>
                <p>Without limiting paragraph (1)(b), financial property is taken to be under the control of a person for the purposes of that paragraph if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the financial property is intermediated financial property; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the intermediary is not the grantor (but may be the secured person or any other person); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>there is an agreement in force between the intermediary and one or more other persons, one of which is the secured person or the grantor; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-d">
                <num>d</num>
                <content>
                  <p>the agreement has one or more of the following effects:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>the person in whose name the intermediary maintains the account is not able to transfer or otherwise deal with the financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>the intermediary must not comply with instructions given by the grantor in relation to the financial property without seeking the consent of the secured person (or a person who has agreed to act on the instructions of the secured person);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-5__para-iii">
                <num>iii</num>
                <content>
                  <p>the intermediary must comply, or must comply in one or more specified circumstances, with instructions (including instructions to debit the account) given by the secured person in relation to the intermediated financial property without seeking the consent of the grantor (or any person who has agreed to act on the instructions of the grantor).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-6">
              <num>6</num>
              <content>
                <p>Without limiting paragraph (1)(b), the fact that a grantor retains a right of one or more of the following kinds does not of itself stop that paragraph from being satisfied:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>right to receive and withdraw income in relation to the financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>right to receive notices in relation to the financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-c">
                <num>c</num>
                <content>
                  <p>right to vote in relation to the financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-d">
                <num>d</num>
                <content>
                  <p>right to substitute other financial property that the parties agree is of equivalent value for the financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-e">
                <num>e</num>
                <content>
                  <p>right to withdraw excess financial property;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-6__para-f">
                <num>f</num>
                <content>
                  <p>right to determine value of financial property.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-7">
              <num>7</num>
              <content>
                <p>The regulations may prescribe circumstances in which financial property is, or is not, transferred or dealt with so as to be in the possession or under the control of a person for the purposes of paragraph (1)(b).</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-8">
              <num>8</num>
              <content>
                <p><b><i>	</i></b>(8)	An obligation is an <b><i>eligible obligation</i></b> in relation to a close-out netting contract if the obligation is any of the following:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-8__para-a">
                <num>a</num>
                <content>
                  <p>an obligation under the contract of a party to the contract that relates to a derivative or foreign exchange contract or is of another prescribed kind;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-8__para-b">
                <num>b</num>
                <content>
                  <p>an obligation that results from the netting of 2 or more obligations that are created under the contract that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-8__para-i">
                <num>i</num>
                <content>
                  <p>must include at least one obligation covered by paragraph (a); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-8__para-ii">
                <num>ii</num>
                <content>
                  <p>may include one or more incidental obligations that, taken together, do not form a material part of the net obligation;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-14A__subsec-8__para-c">
                <num>c</num>
                <content>
                  <p>an obligation declared by the regulations to be an eligible obligation in relation to a close-out netting contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-14A__subsec-9">
              <num>9</num>
              <content>
                <p>	(9)	However, an obligation is not an <b><i>eligible obligation</i></b> in relation to a close-out netting contract if it is declared by the regulations not to be an eligible obligation in relation to the contract for the purposes of this Act.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-15">
            <num>15</num>
            <heading>Declaration that section 14 does not apply</heading>
            <subsection eId="part-4__dvs-1__sec-15__subsec-1">
              <num>1</num>
              <content>
                <p>The Reserve Bank may, by notifiable instrument, declare that <ref href="#sec-14">section 14</ref> does not apply to a close-out netting contract if it is satisfied that systemic disruption in the financial system could result if a party to the contract went into external administration.</p>
              </content>

                  <p>Note:	This section is intended to allow the Reserve Bank to require an economically significant multilateral netting arrangement to meet the standards in <ref href="#part-3">Part 3</ref> of this Act. It may be necessary to amend the rules governing the arrangement before it can be approved under that Part.</p>

            <subsection eId="part-4__dvs-1__sec-15__subsec-2">
              <num>2</num>
              <content>
                <p>A declaration under subsection (1):</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-15__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	may only relate to a contract entered into after the day the declaration is registered on the Federal Register of Legislation under the <i>Legislation Act 2003</i>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-15__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>ceases to have effect at the end of 6 months after the day it is registered.</p>
                </content>
              </paragraph>
            </subsection>

          <heading>Ceasing non-direction stays for derivatives contracts</heading>

            <heading>Ceasing non-direction stays for derivatives contracts</heading>
            <subsection eId="part-4__dvs-2__sec-15A__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies in relation to a close-out netting contract if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-1__para-aa">
                <num>aa</num>
                <content>
                  <p>a party to the contract is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>a regulated body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>a related body corporate of a regulated body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>an obligation under the contract of a party to the contract is an eligible obligation in relation to the contract or is of another prescribed kind; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a specified stay provision (other than a direction stay provision) applies to a trigger event that happens in relation to the contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15A__subsec-2">
              <num>2</num>
              <content>
                <p>This section also applies in relation to a security given over financial property, in respect of an obligation of a party to a close-out netting contract, if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-2__para-aa">
                <num>aa</num>
                <content>
                  <p>a party to the contract is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>a regulated body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>a related body corporate of a regulated body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the obligation is an eligible obligation in relation to the contract, or an obligation of a prescribed kind; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a specified stay provision (other than a direction stay provision) applies to a trigger event that happens in relation to the contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15A__subsec-3">
              <num>3</num>
              <content>
                <p>A specified stay provision (other than a direction stay provision) ceases to apply to a close-out netting contract or a security:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>at the time when a declaration under <ref href="#sec-15B">section 15B</ref> in relation to the contract or security takes effect; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>at the end of the resolution period for the trigger event, if no declaration under <ref href="#sec-15C">section 15C</ref> in relation to the contract or security is made during that period.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15A__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	The <b><i>resolution period</i></b> for a trigger event is the period starting when the trigger event happens and ending:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>at midnight (by legal time in the Australian Capital Territory) at the end of the first business day after the day on which the trigger event happens, unless the specified stay provision is subsection 36AA(2) of the Business Transfer Act; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>for subsection 36AA(2) of the Business Transfer Act:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>if APRA makes a declaration under subsection (5)—at the time the declaration is made; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>if a certificate of transfer under that Act comes into force—just after the certificate of transfer comes into force.</p>
                </content>

                <p>If:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>a trigger event happens to which subsection 36AA(2) of the Business Transfer Act applies; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the trigger event is the fact that an act is done for the purposes of <ref href="#dvs-2">Division 2</ref> or 3 of <ref href="#part-4">Part 4</ref> of that Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15A__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>APRA is satisfied that APRA will not issue a certificate of transfer under that Act;</p>
                </content>
                <content>
                  <p>APRA may declare, in writing, that the resolution period for that trigger event ends.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15A__subsec-6">
              <num>6</num>
              <content>
                <p>A declaration under subsection (5) is not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-15B">
            <num>15B</num>
            <heading>When APRA may declare that non-direction stays cease</heading>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-1">
              <num>1</num>
              <content>
                <p>Subsection (2) applies if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a trigger event to which a specified stay provision (other than a direction stay provision) applies happens in relation to a close-out netting contract; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-1__para-aa">
                <num>aa</num>
                <content>
                  <p>a party to the contract is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>a regulated body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>a related body corporate of a regulated body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>APRA is satisfied that APRA will not make a declaration under <ref href="#sec-15C">section 15C</ref> in relation to the party before the end of the resolution period for the trigger event.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-2">
              <num>2</num>
              <content>
                <p>APRA may, before the end of the resolution period for the trigger event, declare that the specified stay provision is to cease to apply to:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>all close-out netting contracts of the party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>all securities given over financial property, in respect of obligations of the party under all close-out netting contracts of the party.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-3">
              <num>3</num>
              <content>
                <p>A declaration under subsection (2) takes effect:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>if the declaration specifies a time before the end of the resolution period when the specified stay provision is to cease to apply—at the specified time; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>in any other case—at the time when the declaration is made.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-4">
              <num>4</num>
              <content>
                <p>A declaration under subsection (2) cannot be varied or revoked.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-5">
              <num>5</num>
              <content>
                <p>If a declaration under subsection (2) is in writing, the declaration is not a legislative instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15B__subsec-6">
              <num>6</num>
              <content>
                <p>The regulations may do any of the following:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>prescribe requirements relating to how declarations under subsection (2) are to be made (including requirements relating to the content or form of declarations);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>prescribe requirements relating to the notification or publication of declarations under subsection (2);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15B__subsec-6__para-c">
                <num>c</num>
                <content>
                  <p>include provisions that apply to determining, either generally or for a particular purpose, the time when declarations under subsection (2) are taken to be made.</p>
                </content>

            <heading>When APRA may declare that non-direction stays continue—regulated body is party to trigger contract</heading>

                <p>Subsection (2) applies if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a trigger event to which a specified stay provision (other than a direction stay provision) applies:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is an event that involves a regulated body; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-ii">

                  <p>	(ii)	happens in relation to a close-out netting contract (the<b><i> trigger contract</i></b>) to which the regulated body is a party; and</p>

                  <p>APRA is satisfied that all the matters in subsection (3) will be satisfied in relation to the party in respect of which the declaration under subsection (2) will be made:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>unless subparagraph (ii) applies—at the time the declaration will be made; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>if a certificate of transfer will come into force under the Business Transfer Act for a transfer of business from the regulated body to a receiving body—just after that coming into force; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	the party in respect of which the declaration under subsection (2) will be made is not in external administration (disregarding paragraphs (d), (daa), (da), (db), (e) and (f) of the definition of <b><i>external administration</i></b> in section 5); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>APRA has not already made a declaration under <ref href="#sec-15B">section 15B</ref> in relation to the trigger event happening in relation to the trigger contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-2">
              <num>2</num>
              <content>
                <p>APRA may, before the end of the resolution period for the trigger event, declare that the specified stay provision is to continue to apply to:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>unless paragraph (b) or (c) applies:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>all close-out netting contracts to which the regulated body is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>all securities given over financial property, in respect of obligations under those close-out netting contracts; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>in the case of a total transfer under the Business Transfer Act:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>all close-out netting contracts to which the regulated body is a party (and to which the receiving body will become a party immediately after the transfer); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>all securities given over financial property, in respect of obligations under those close-out netting contracts; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>in the case of a partial transfer under the Business Transfer Act—either or both of the following:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>all close-out netting contracts to which the regulated body is a party (and to which the regulated body will remain a party immediately after the transfer), and all securities given over financial property in respect of obligations under those contracts;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>all close-out netting contracts to which the regulated body is a party (and to which the receiving body will become a party immediately after the transfer), and all securities given over financial property in respect of obligations under those contracts.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-3">
              <num>3</num>
              <content>
                <p>For the purposes of paragraph (1)(b), the matters are as follows:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>that the party is able to meet all its liabilities under:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>close-out netting contracts to which it is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>securities given over financial property in respect of obligations of the party under those contracts;</p>
                </content>
                <content>
                  <p>as and when they become due and payable;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	that the party is solvent (within the meaning of the <i>Corporations Act 2001</i>);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>if the party is an ADI, a general insurer or a life company—that the party has each material authorisation (however described) necessary for its regulated business;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	if minimum capital requirements under the <i>Banking Act 1959</i>, the <i>Insurance Act 1973</i> or the <i>Life Insurance Act 1995</i> apply to the party—that either subsection (4) or subsection (5) is satisfied in respect of the party.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-4">
              <num>4</num>
              <content>
                <p>This subsection is satisfied if the party’s level of capital complies with the minimum capital requirements that apply to it under:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	the <i>Banking Act 1959</i>, the <i>Insurance Act 1973 </i>or<i> </i>the <i>Life Insurance Act 1995 </i>(as the case requires); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	the applicable<i> </i>prudential standards made under that Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-5">
              <num>5</num>
              <content>
                <p>This subsection is satisfied if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>arrangements are in place to ensure that the party performs all its obligations under:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>close-out netting contracts to which it is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>securities given over financial property in respect of obligations of the party under those contracts;</p>
                </content>
                <content>
                  <p>as and when they are due to be performed; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>those arrangements will remain in place until at least the earliest day on which one or more of the following occurs:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>subsection (4) is satisfied;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	if a Banking Act statutory manager is in control of the party’s business—APRA makes an ultimate termination of control under subsection 13C(3) of the <i>Banking Act 1959</i>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-iii">
                <num>iii</num>
                <content>
                  <p>	(iii)	if an Insurance Act statutory manager is in control of the party’s business—APRA makes an ultimate termination of control under subsection 62ZOC(3) of the <i>Insurance Act 1973</i>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-iv">
                <num>iv</num>
                <content>
                  <p>	(iv)	if a Life Insurance Act statutory manager is in control of the party’s business—APRA makes an ultimate termination of control under subsection 179AC(3) of the <i>Life Insurance Act 1995</i>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-v">
                <num>v</num>
                <content>
                  <p>	(v)	if the party is under judicial management under the <i>Insurance Act 1973</i>—an order under section 62ZF of that Act cancelling the judicial management comes into force;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-5__para-vi">
                <num>vi</num>
                <content>
                  <p>	(vi)	if the party is under judicial management under the <i>Life Insurance Act 1995</i>—an order under section 172 of that Act cancelling the judicial management comes into force.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-6">
              <num>6</num>
              <content>
                <p>A declaration under subsection (2) cannot be varied or revoked.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-7">
              <num>7</num>
              <content>
                <p>A declaration under this section is not a legislative instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15C__subsec-8">
              <num>8</num>
              <content>
                <p>The regulations may do any of the following:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-8__para-a">
                <num>a</num>
                <content>
                  <p>prescribe requirements relating to how declarations under subsection (2) are to be made (including requirements relating to the content or form of declarations);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-8__para-b">
                <num>b</num>
                <content>
                  <p>prescribe requirements relating to the notification or publication of declarations under subsection (2);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15C__subsec-8__para-c">
                <num>c</num>
                <content>
                  <p>include provisions that apply to determining, either generally or for a particular purpose, the time when declarations under subsection (2) are taken to be made.</p>
                </content>

          </section>
          <section eId="part-4__dvs-2__sec-15D">
            <num>15D</num>
            <heading>When APRA may declare that non-direction stays continue—related body corporate of regulated body is party to trigger contract</heading>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-1">
              <num>1</num>
              <content>
                <p>Subsection (3) applies if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a trigger event to which a specified stay provision (other than a direction stay provision) applies:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>	(i)	is an event that involves a regulated body (the <b><i>trigger body</i></b>); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	happens in relation to one or more close-out netting contracts (each of which is a <b><i>trigger contract</i></b>) to which a related body corporate of the trigger body (the<b><i> contracting body</i></b>) is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>APRA is satisfied that all the matters in subsection (5) will be satisfied in relation to each entity covered under subsection (2):</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>unless subparagraph (ii) applies—at the time the declaration will be made; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>if a certificate of transfer will come into force under the Business Transfer Act for a transfer of business from the trigger body to a receiving body—just after that coming into force; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	each entity covered under subsection (2) is not in external administration (disregarding paragraphs (d), (daa), (da), (db), (e) and (f) of the definition of <b><i>external administration</i></b> in section 5); and</p>

              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>APRA has not already made a declaration under <ref href="#sec-15B">section 15B</ref> in relation to the trigger event happening in relation to the trigger contract.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of paragraphs (1)(b) and (c), an entity is covered under this subsection if it is:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>if <ref href="#sec-15E">section 15E</ref> does not apply—the trigger body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if <ref href="#sec-15E">section 15E</ref> applies because of a transfer of business under the Business Transfer Act from the trigger body to a receiving body:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>in the case of a total transfer of business—the receiving body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>in the case of a partial transfer of business—an entity specified in a determination under subsection 15E(3).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-3">
              <num>3</num>
              <content>
                <p>APRA may, before the end of the resolution period for the trigger event, make a declaration that the specified stay provision is to continue to apply to:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>each trigger contract specified in the declaration; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>all securities given over financial property, in respect of obligations under each trigger contract specified in the declaration.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-4">
              <num>4</num>
              <content>
                <p>APRA may specify either or both of the following in a declaration under subsection (3):</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>one or more trigger contracts;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>one or more classes of trigger contracts.</p>
                </content>

              <num>5</num>
              <content>
                <p>For the purposes of paragraph (1)(b), the matters are as follows:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>that the entity covered under subsection (2) is able to meet all its liabilities under:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>close-out netting contracts to which it is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>securities given over financial property in respect of obligations of the entity under those contracts;</p>
                </content>
                <content>
                  <p>as and when they become due and payable;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	that the entity covered under subsection (2) is solvent (within the meaning of the <i>Corporations Act 2001</i>);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>if the entity covered under subsection (2) is an ADI, a general insurer or a life company—that the entity has each material authorisation (however described) necessary for its regulated business;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-5__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	if minimum capital requirements under the <i>Banking Act 1959</i>, the <i>Insurance Act 1973</i> or the <i>Life Insurance Act 1995</i> apply to the entity covered under subsection (2)—that either subsection (6) or subsection (7) is satisfied in respect of the entity covered under subsection (2).</p>

            </subsection>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-6">
              <num>6</num>
              <content>
                <p>This subsection is satisfied if the entity’s level of capital complies with the minimum capital requirements that apply to it under:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	the <i>Banking Act 1959</i>, the <i>Insurance Act 1973 </i>or<i> </i>the <i>Life Insurance Act 1995 </i>(as the case requires); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	the applicable<i> </i>prudential standards made under that Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15D__subsec-7">
              <num>7</num>
              <content>
                <p>This subsection is satisfied if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>arrangements are in place to ensure that the entity performs all its obligations under:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-i">
                <num>i</num>
                <content>
                  <p>close-out netting contracts to which it is a party; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-ii">
                <num>ii</num>
                <content>
                  <p>securities given over financial property in respect of obligations of the entity under those contracts;</p>
                </content>
                <content>
                  <p>as and when they are due to be performed; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>those arrangements will remain in place until at least the earliest day on which one or more of the following occurs:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-i">
                <num>i</num>
                <content>
                  <p>subsection (6) is satisfied;</p>

              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-iii">
                <num>iii</num>
                <content>
                  <p>	(iii)	if an Insurance Act statutory manager is in control of the entity’s business—APRA makes an ultimate termination of control under subsection 62ZOC(3) of the <i>Insurance Act 1973</i>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-iv">
                <num>iv</num>
                <content>
                  <p>	(iv)	if a Life Insurance Act statutory manager is in control of the entity’s business—APRA makes an ultimate termination of control under subsection 179AC(3) of the <i>Life Insurance Act 1995</i>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15D__subsec-7__para-v">
                <num>v</num>
                <content>
                  <p>	(v)	if the entity is under judicial management under the <i>Insurance Act 1973</i>—an order under section 62ZF of that Act cancelling the judicial management comes into force;</p>

              <num>8</num>
              <content>

            <heading>Declaration under subsection 15D(3)—total or partial transfer of business</heading>
            <subsection eId="part-4__dvs-2__sec-15E__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the requirement in paragraph 15D(1)(a) is satisfied in relation to a trigger event; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a certificate of transfer will come into force under the Business Transfer Act for:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>a total transfer of business from the trigger body to a receiving body; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>a partial transfer of business from the trigger body to a receiving body.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15E__subsec-2">
              <num>2</num>
              <content>
                <p>APRA must not make a declaration under subsection 15D(3) in relation to the trigger event unless APRA is satisfied that the declaration will not have a detrimental effect on any counterparty to a close-out netting contract to which the declaration would apply.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15E__subsec-3">
              <num>3</num>
              <content>
                <p>For the purposes of subparagraph 15D(2)(b)(ii), APRA may make a written determination specifying either or both of the following:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the trigger body;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the receiving body.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15E__subsec-4">
              <num>4</num>
              <content>
                <p>A determination under subsection (3) cannot be varied or revoked.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-15E__subsec-5">
              <num>5</num>
              <content>
                <p>A determination under subsection (3) is not a legislative instrument.</p>
              </content>
            </subsection>

                <p>The regulations may do any of the following:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-6__para-a">

                  <p>prescribe requirements relating to how determinations under subsection (3) are to be made (including requirements relating to the content or form of declarations);</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-15E__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>prescribe requirements relating to the notification or publication of determinations under subsection (3);</p>
                </content>
              </paragraph>

        <heading>Market netting contracts</heading>

          <num>16</num>
          <heading>Effectiveness of market netting contracts</heading>
          <subsection eId="part-5__sec-16__subsec-1">
            <num>1</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-5__sec-16__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>Australian law governs a market netting contract; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the contract is entered into in circumstances that are within Commonwealth constitutional reach;</p>
              </content>
              <content>
                <p>the following provisions apply:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>obligations may be terminated, termination values may be calculated and a net amount become payable in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-ca">
              <num>ca</num>
              <content>
                <p>any security given, in accordance with the contract, in respect of obligations of a party to the contract may be enforced in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-cb">
              <num>cb</num>
              <content>
                <p>rights and obligations of a party to the contract may be transferred in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-cc">
              <num>cc</num>
              <content>
                <p>without limiting paragraph (cb):</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>property (including property over which security has been given) of a party to the contract may be transferred or otherwise dealt with in accordance with the contract; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>property (including property over which security has been given) of another person on whose behalf a party to the contract is acting may, with that other person’s prior written consent, be transferred or otherwise dealt with in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>paragraphs (c), (ca), (cb) and (cc) apply despite:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>any disposal of rights that may be netted under the contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-ia">
              <num>ia</num>
              <content>
                <p>any disposal of rights or property that may be transferred in accordance with the contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the creation of any encumbrance, or any other interest, in relation to those rights or that property; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>the operation of any encumbrance, or any other interest, in relation to those rights or that property that is created after the commencement of this section;</p>
              </content>
              <content>
                <p>in contravention of a prohibition in the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>for the purposes of any law, the assets of a party to the contract are taken:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>to include any net obligation owed to the party under the contract; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>not to include obligations terminated under the contract.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-16__subsec-2">
            <num>2</num>
            <content>
              <p>If:</p>
            </content>
            <paragraph eId="part-5__sec-16__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a party to a market netting contract goes into external administration; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>Australian law governs either:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the external administration; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>the contract;</p>
              </content>
              <content>
                <p>the following provisions apply:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>obligations may be netted or terminated, termination values may be calculated and a net amount become payable in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>obligations that are, or have been, netted or terminated under the contract are to be disregarded in the external administration;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>any net obligation owed by the party under the contract that has not been discharged is provable in the external administration;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-f">
              <num>f</num>
              <content>
                <p>any net obligation owed to the party under the contract that has not been discharged may be recovered by the external administrator for the benefit of creditors;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-fa">
              <num>fa</num>
              <content>
                <p>any security given by the party, in accordance with the contract, in respect of obligations of a party to the contract may be enforced in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-fb">
              <num>fb</num>
              <content>
                <p>rights and obligations of the party may be transferred in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-fc">
              <num>fc</num>
              <content>
                <p>without limiting paragraph (fb):</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>property (including property over which security has been given) of the party may be transferred or otherwise dealt with in accordance with the contract; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>property (including property over which security has been given) of another person on whose behalf the party is acting may, with that other person’s prior written consent, be transferred or otherwise dealt with in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-g">
              <num>g</num>
              <content>
                <p>none of the following is to be void or voidable in the external administration:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the netting or termination of obligations under the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>a payment by the party to discharge a net obligation under the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-iii">
              <num>iii</num>
              <content>
                <p>a payment, or a transfer of property (whether absolutely or by way of security), by the party to meet an obligation under the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-iv">
              <num>iv</num>
              <content>
                <p>the enforcement of a security in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-v">
              <num>v</num>
              <content>
                <p>a transfer of, or dealing with, rights, obligations or property in accordance with the contract;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-h">
              <num>h</num>
              <content>
                <p>paragraphs (c) to (g) apply despite:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>any disposal of rights that may be netted under the contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-16__subsec-2__para-ii">
              <num>ii</num>

                <p>any disposal of rights or property that may be transferred in accordance with the contract; or</p>

                <p>the creation of any encumbrance, or any other interest, in relation to those rights or property over which security mentioned in paragraph (fa) is given; or</p>

              <num>iv</num>
              <content>
                <p>the operation of any encumbrance, or any other interest, in relation to those rights or that property;</p>
              </content>

                <p>in contravention of a prohibition in the contract, or in the security mentioned in paragraph (fa).</p>
