            <p>		This Act may be cited as the <i>Wool Services Privatisation Act 2000</i>.</p>
          </content>
        </section>

          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, this Act commences on the day on which it receives the Royal Assent.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>Schedule 1 commences on a day to be fixed by Proclamation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Schedule(s)</heading>
          <content>
            <p>Subject to <ref href="#sec-2">section 2</ref>, each Act that is specified in a Schedule to this Act is amended or repealed as set out in the applicable items in the Schedule concerned, and any other item in a Schedule to this Act has effect according to its terms.</p>

          <heading>Crown to be bound</heading>
          <content>
            <p>This Act binds the Crown in all its capacities.</p>

            <p>This Act extends to all the external Territories.</p>
          </content>
        </section>

          <num>6</num>
          <heading>Extraterritorial operation</heading>
          <content>
            <p>This Act extends to acts, omissions, matters and things outside Australia, whether or not in a foreign country.</p>

        <heading>Privatisation of the Organisation (HoldCo)</heading>
        <division eId="part-2__dvs-1">
          <num>1</num>
          <heading>Interpretation</heading>
          <section eId="part-2__dvs-1__sec-7">
            <num>7</num>
            <heading>Definitions</heading>
            <content>
              <p>In this Part, unless the contrary intention appears:</p>
              <p><term refersTo="#term-1936-tax-act">1936 Tax Act</term> means <def><ref href="">the Income Tax Assessment Act 1936</ref>.</def></p>
              <p><term refersTo="#term-1997-tax-act">1997 Tax Act</term> means <def><ref href="">the Income Tax Assessment Act 1997</ref>.</def></p>
              <p><term refersTo="#term-asic">ASIC</term> means <def>the Australian Securities and Investments Commission.</def></p>
              <p><b><i>asset </i></b>means:</p>
            </content>
            <paragraph eId="part-2__dvs-1__sec-7__para-a">
              <num>a</num>
              <content>
                <p>any legal or equitable estate or interest in real or personal property, whether actual, contingent or prospective; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-b">
              <num>b</num>
              <content>
                <p>any right, power, privilege or immunity, whether actual, contingent or prospective.</p>
              </content>
              <content>
                <p><term refersTo="#term-certified-demerger-matter">certified demerger matter</term> means <def>any of the following matters that is certified under <ref href="#sec-36">section 36</ref>: the transfer by HoldCo, to a shareholder in HoldCo, of any of HoldCo’s shares in a subsidiary; the issue of shares by a subsidiary of HoldCo to a shareholder in HoldCo; the cancellation of shares in HoldCo (whether by buy-back, capital reduction or any other means).</def></p>

            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-a">
              <num>a</num>
              <content>
                <p>the transfer by HoldCo, to a shareholder in HoldCo, of any of HoldCo’s shares in a subsidiary;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-b">
              <num>b</num>
              <content>
                <p>the issue of shares by a subsidiary of HoldCo to a shareholder in HoldCo;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-c">
              <num>c</num>
              <content>
                <p>the cancellation of shares in HoldCo (whether by buy-back, capital reduction or any other means).</p>
              </content>
              <content>
                <p><term refersTo="#term-commencing-time">commencing time</term> means <def>the beginning of the day on which this Act receives the Royal Assent.</def></p>
                <p><term refersTo="#term-conversion-time">conversion time</term> means <def>the time when Schedule 1 commences.</def></p>
                <p><term refersTo="#term-corporations-law-company">Corporations Law company</term> means <def>a body registered as a company under the Corporations Law.</def></p>
                <p><b><i>HoldCo</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-a">
              <num>a</num>
              <content>
                <p>in relation to a time before the conversion time—the Organisation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-b">
              <num>b</num>
              <content>
                <p>in relation to a time after the conversion time—Australian Wool Services Limited (or that company with another name).</p>
              </content>

                  <p>Note:	Under <ref href="#dvs-4">Division 4</ref>, the Organisation is converted into a Corporations Law company, with the name “Australian Wool Services Limited”.</p>

              </authorialNote>
              <content>
                <p><b><i>instrument</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-a">
              <num>a</num>
              <content>
                <p>an Act or any instrument under an Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-7__para-b">
              <num>b</num>
              <content>
                <p>any other document.</p>
              </content>
              <content>
                <p><term refersTo="#term-liability">liability</term> means <def>any liability, duty or obligation, whether actual, contingent or prospective.</def></p>
                <p><term refersTo="#term-organisation">Organisation</term> means <def>the Australian Wool Research and Promotion Organisation.</def></p>
                <p><term refersTo="#term-restructuring-body">restructuring body</term> means <def>HoldCo or a subsidiary.</def></p>
                <p><term refersTo="#term-restructuring-period">restructuring period</term> means <def>the period starting at the commencing time and ending 2 years after the conversion time.</def></p>
                <p><term refersTo="#term-subsidiary">subsidiary</term> means <def>a wholly-owned subsidiary (within the meaning of the Corporations Law) of HoldCo.</def></p>

        </division>

          <heading>Application for registration under the Corporations Law</heading>
          <section eId="part-2__dvs-2__sec-8">
            <num>8</num>
            <heading>Application for registration</heading>
            <subsection eId="part-2__dvs-2__sec-8__subsec-1">
              <num>1</num>
              <content>
                <p>As soon as possible after the commencing time, HoldCo must apply to ASIC under <ref href="#part-5B">Part 5B</ref>.1 of the Corporations Law to register HoldCo as a public company limited by shares.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-8__subsec-2">
              <num>2</num>
              <content>
                <p>HoldCo is hereby authorised to make the application.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-8__subsec-3">
              <num>3</num>
              <content>
                <p>The application must be lodged with an office of ASIC in the Australian Capital Territory.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-8__subsec-4">
              <num>4</num>
              <content>
                <p>The application must be accompanied by a copy of HoldCo’s proposed constitution. The proposed constitution must first be approved in writing by <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-8__subsec-5">
              <num>5</num>
              <content>
                <p>The following provisions of the Corporations Law do not apply in relation to the application:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>paragraphs 601BC(2)(e) and (l);</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>subsection 601BC(4);</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>paragraphs 601BC(6)(a), (d) and (e);</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-5__para-d">

        </division>

          <num>3</num>
          <heading>Transfer of assets etc. before the conversion time</heading>
          <section eId="part-2__dvs-3__sec-9">
            <num>9</num>
            <heading>Declaration can only be made before conversion time</heading>
            <content>
              <p>A declaration under this Division cannot be made, or amended, after the conversion time.</p>
            </content>
          </section>
          <section eId="part-2__dvs-3__sec-10">
            <num>10</num>
            <heading>Transfer of assets</heading>
            <subsection eId="part-2__dvs-3__sec-10__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	This section provides for an asset of a restructuring body (the <b><i>transferor</i></b>) to become an asset of another restructuring body (the <b><i>transferee</i></b>).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-10__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, in writing, make any or all of the following declarations in relation to the asset:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-10__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a declaration that the asset vests in the transferee at a specified time without any conveyance, transfer or assignment;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-10__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a declaration that a specified instrument relating to the asset continues to have effect after the asset vests in the transferee as if a reference in the instrument to the transferor were a reference to the transferee;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-10__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>a declaration that the transferee becomes the transferor’s successor in law in relation to the asset immediately after the asset vests in the transferee.</p>
                </content>

                    <p>Note:	An asset or instrument may be specified by name, by inclusion in a specified class or in any other way.</p>

              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-10__subsec-3">
              <num>3</num>
              <content>
                <p>The declaration has effect accordingly.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-10__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	A copy of the declaration is to be published in the <i>Gazette</i> within 14 days after the declaration is made.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-10__subsec-5">
              <num>5</num>
              <content>
                <p>A time specified under paragraph (2)(a) must be before the conversion time.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-11">
            <num>11</num>
            <heading>Transfer of contractual rights and obligations</heading>
            <subsection eId="part-2__dvs-3__sec-11__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	This section applies to a contract (other than a contract of employment) to which a restructuring body (the <b><i>transferor</i></b>) is a party. This section provides for another restructuring body (the <b><i>transferee</i></b>) to be substituted for the transferor for various purposes.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-11__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, in writing, declare that the transferor’s rights and obligations under the contract:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-11__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>cease to be rights and obligations of the transferor at a specified time; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-11__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>become rights and obligations of the transferee at that time.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-11__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by writing, declare that the contract continues to have effect after a specified time as if a reference in the contract to the transferor were a reference to the transferee.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-11__subsec-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by writing, declare that a specified instrument relating to the contract continues to have effect, after the rights and obligations of the transferor under the contract become rights and obligations of the transferee, as if a reference in the instrument to the transferor were a reference to the transferee.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-11__subsec-5">
              <num>5</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by writing, declare that the transferee becomes the successor in law of the transferor, in relation to the transferor’s rights and obligations under the contract, immediately after the transferor’s rights and obligations under the contract become rights and obligations of the transferee.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-11__subsec-6">
              <num>6</num>
              <content>
                <p><b>	</b>(6)	A declaration under this section has effect accordingly.</p>
              </content>
            </subsection>

            <heading>Transfer of liabilities</heading>
            <subsection eId="part-2__dvs-3__sec-12__subsec-1">

                <p>	(1)	This section provides for a liability of a restructuring body (the <b><i>transferor</i></b>) to become a liability of another restructuring body (the <b><i>transferee</i></b>).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-12__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, in writing, make any or all of the following declarations in relation to the liability:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-12__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a declaration that the liability vests in the transferee at a specified time without any conveyance, transfer or assignment;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-12__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>a declaration that a specified instrument relating to the liability continues to have effect after the liability vests in the transferee as if a reference in the instrument to the transferor were a reference to the transferee;</p>

                <num>c</num>
                <content>
                  <p>a declaration that the transferee becomes the transferor’s successor in law in relation to the liability immediately after the liability vests in the transferee.</p>

                <p>The declaration has effect accordingly.</p>

            <heading>Registration of land transfers</heading>
            <subsection eId="part-2__dvs-3__sec-13__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>any right, title or interest in particular land vests in a restructuring body under this Division; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>there is lodged with a land registration official a certificate that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>identifies the land, whether by reference to a map or otherwise; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>states that the right, title or interest has become vested in the restructuring body under this Division.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-13__subsec-2">
              <num>2</num>
              <content>
                <p>The land registration official may:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>register the matter in a way that is the same as, or similar to, the way in which dealings in land of that kind are registered; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-13__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>deal with, and give effect to, the certificate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-13__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	The <i>Lands Acquisition Act 1989</i> does not apply in relation to anything done under this section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-13__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>land registration official</i></b>, in relation to land, means the Registrar of Titles or other proper officer of the State or Territory in which the land is situated.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-14">
            <num>14</num>
            <heading>Certificates in relation to assets other than land</heading>
            <subsection eId="part-2__dvs-3__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>an asset other than land vests in a restructuring body under this Division; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>there is lodged with an assets official a certificate that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>identifies the asset; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>states that the asset has become vested in the restructuring body under this Division.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>The assets official may:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>deal with, and give effect to, the certificate as if it were a proper and appropriate instrument for transactions in relation to assets of that kind; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-14__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>make such entries in the register as are necessary having regard to the effect of this Division.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-14__subsec-3">
              <num>3</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>assets official</i></b> means the person or authority who, under a law of the Commonwealth, a State or a Territory, under a trust instrument or otherwise, has responsibility for keeping a register in relation to assets of the kind concerned.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-15">
            <num>15</num>
            <heading>Other transfer methods still available</heading>
            <content>
              <p>This Division does not prevent a restructuring body from transferring assets or liabilities (including rights or obligations under contracts) otherwise than under this Division.</p>
            </content>
          </section>
        </division>
        <division eId="part-2__dvs-4">
          <num>4</num>
          <heading>Registration of HoldCo as a Corporations Law company</heading>
          <section eId="part-2__dvs-4__sec-16">
            <num>16</num>
            <heading>Registration as a company under the Corporations Law</heading>
            <subsection eId="part-2__dvs-4__sec-16__subsec-1">
              <num>1</num>
              <content>
                <p>At the conversion time, ASIC is taken to have registered HoldCo under <ref href="#sec-601B">section 601B</ref>D of the Corporations Law:</p>
              </content>
              <paragraph eId="part-2__dvs-4__sec-16__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>as a public company limited by shares; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-16__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>with the name “Australian Wool Services Limited”.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-16__subsec-2">
              <num>2</num>
              <content>
                <p>ASIC must issue a certificate and ACN under <ref href="#sec-601B">section 601B</ref>D of the Corporations Law in respect of the registration. The date of registration is to be the day on which the conversion time occurred.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-4__sec-17">
            <num>17</num>
            <heading>Share capital</heading>
            <subsection eId="part-2__dvs-4__sec-17__subsec-1">
              <num>1</num>
              <content>
                <p>As soon as practicable after the conversion time, <role refersTo="#minister">the Minister</role> must make a written declaration that a specified amount was the net worth of HoldCo immediately after the conversion time.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-17__subsec-2">
              <num>2</num>
              <content>
                <p>HoldCo’s share capital, immediately after the conversion time, is taken to have been equal to the specified amount.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-17__subsec-3">
              <num>3</num>
              <content>
                <p>The declaration cannot be varied or revoked.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-17__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	A copy of the declaration must be published in the <i>Gazette</i> as soon as practicable after the declaration is made.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-4__sec-18">
            <num>18</num>
            <heading>Operation of the Corporations Act after conversion time</heading>
            <content>
              <p>Nothing in this Part prevents any of the following, after the conversion time:</p>
            </content>
            <paragraph eId="part-2__dvs-4__sec-18__para-a">
              <num>a</num>
              <content>
                <p>a variation of the share capital of HoldCo;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-18__para-b">
              <num>b</num>
              <content>
                <p>a change in the name of HoldCo;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-18__para-c">
              <num>c</num>
              <content>
                <p>a change in the structure, constitution or membership of HoldCo.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-4__sec-19">
            <num>19</num>
            <heading>Accounting records</heading>
            <content>
              <p>		For the purposes of the <i>Corporations Act 2001</i>:</p>
            </content>
            <paragraph eId="part-2__dvs-4__sec-19__para-a">
              <num>a</num>
              <content>
                <p>	(a)	the accounting records kept by HoldCo before the conversion time under <i>Commonwealth Authorities and Companies Act 1997</i>, or under section 63 of the <i>Australian Wool Research and Promotion Organisation Act 1993</i>, are to be treated as financial records of HoldCo; and<ref href="#sec-20">section 20</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-19__para-b">
              <num>b</num>
              <content>
                <p>	(b)	an annual report and financial statements prepared in relation to a financial year by HoldCo under <i>Commonwealth Authorities and Companies Act 1997</i>, or under section 76 of the <i>Australian Wool Research and Promotion Organisation Act 1993</i>, are to be treated as a financial report of HoldCo for that financial year.<ref href="#sec-9">section 9</ref> of the </p>

          </section>
        </division>

          <num>5</num>
          <heading>Shares in HoldCo</heading>
          <section eId="part-2__dvs-5__sec-20">
            <num>20</num>
            <heading>List of Eligible Woolgrowers</heading>
            <subsection eId="part-2__dvs-5__sec-20__subsec-1">
              <num>1</num>
              <content>
                <p>Before the conversion time, <role refersTo="#minister">the Minister</role> must cause a list to be prepared of the persons who will become the shareholders of HoldCo at the conversion time.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-20__subsec-2">
              <num>2</num>
              <content>
                <p>The list is to be known as the List of Eligible Woolgrowers.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-20__subsec-3">
              <num>3</num>
              <content>
                <p>The list must show the number of shares of each class to which each person is entitled.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-20__subsec-4">
              <num>4</num>
              <content>
                <p>After the list has been prepared, <role refersTo="#minister">the Minister</role> must certify that <role refersTo="#minister">the Minister</role> is satisfied that the list was prepared in accordance with the procedures prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-20__subsec-5">
              <num>5</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may be satisfied that the list was prepared in accordance with those procedures even if some steps in the preparation of the list occurred before the regulations were made.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-20__subsec-6">
              <num>6</num>
              <content>
                <p>After certifying the list, <role refersTo="#minister">the Minister</role> must give HoldCo a copy of the list. <role refersTo="#minister">The Minister</role> must certify the copy to be a true copy.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-21">
            <num>21</num>
            <heading>Issue of shares to eligible woolgrowers</heading>
            <subsection eId="part-2__dvs-5__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p>At the conversion time, shares in HoldCo are taken to be issued as fully paid, in accordance with the List of Eligible Woolgrowers, as follows:</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-21__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>if the list provides for shares to be issued to a person, the shares are taken to be issued to that person;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-21__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if the list provides for shares to be issued to 2 or more persons jointly, the shares are taken to be issued to those persons jointly.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-5__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p>A person to whom shares are taken to be issued under subsection (1):</p>
              </content>
              <paragraph eId="part-2__dvs-5__sec-21__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>becomes a member of HoldCo, by force of this section, and is taken to have consented to become a member; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-21__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>is entitled to the same rights, privileges and benefits in respect of that membership as if the person had become a member under the constitution of HoldCo; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-5__sec-21__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>is subject to the same duties, liabilities and obligations in respect of that membership as if the person had become a member under the constitution of HoldCo.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-5__sec-22">
            <num>22</num>
            <heading>Incorrectly issued shares</heading>
            <content>
              <p>If, <quantity refersTo="#deadline">within 6 months</quantity> after the conversion time, HoldCo determines, in accordance with its constitution, that any of the shares issued under section 21 should not have been issued, then those shares are taken never to have been issued.</p>
            </content>

                <p>Note:	This section could apply, for example, where too many shares were issued to a person under <ref href="#sec-21">section 21</ref> because of incorrect information about the amount of wool tax paid by the person.           <section eId="part-2__dvs-5__sec-23">

            <heading>Cancellation of shares in HoldCo</heading>
            <content>
              <p>If HoldCo determines, in accordance with its constitution, that any of its shares should be cancelled, then those shares are cancelled by force of this section.</p>
            </content>
          </section>
        </division>

          <num>6</num>
          <heading>Taxation</heading>
          <section eId="part-2__dvs-6__sec-24">
            <num>24</num>
            <heading>Exemption from stamp duty etc.</heading>
            <subsection eId="part-2__dvs-6__sec-24__subsec-1">
              <num>1</num>
              <content>
                <p>No stamp duty or other tax is payable under a law of a State or Territory in respect of an exempt matter, or anything connected with an exempt matter.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-24__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may certify in writing:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-24__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>that a specified matter is an exempt matter; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-24__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>that a specified thing was done in connection with a specified exempt matter.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-24__subsec-3">
              <num>3</num>
              <content>
                <p>In all courts, and for all purposes, a certificate under subsection (2) is evidence of the matter stated in the certificate.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-24__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>exempt matter</i></b> means any of the following:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-24__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the registration of HoldCo as a Corporations Law company;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-24__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the issue of shares to a person under <ref href="#sec-21">section 21</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-24__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>the issue of shares to a person in accordance with HoldCo’s constitution, where the issue is certified under <ref href="#sec-36">section 36</ref>;</p>
                </content>
              </paragraph>

                  <p>any of the following things that happens during the restructuring period and is certified by <role refersTo="#minister">the Minister</role> under section 36:</p>

                  <p>the transfer of an asset or liability between 2 restructuring bodies;</p>

                  <p>the transfer by HoldCo, to a shareholder in HoldCo, of any of HoldCo’s shares in a subsidiary;</p>

                <content>
                  <p>the issue of shares by a subsidiary of HoldCo to a shareholder in HoldCo;</p>

                  <p>the cancellation of shares in HoldCo (whether by buy-back, capital reduction or any other means).</p>

            <heading>Share capital</heading>
            <content>
              <p>For the purposes of <ref href="#sec-160A">section 160A</ref>RDM of the 1936 Tax Act, the creation of share capital by <ref href="#sec-17">section 17</ref> of this Act is not taken to be, or to result from, the transfer of an amount by HoldCo to its share capital account from another account.</p>
            </content>
          </section>
          <section eId="part-2__dvs-6__sec-26">
            <num>26</num>
            <heading>No assessable income from issue of HoldCo shares</heading>
            <content>
              <p>For the purposes of the 1936 Tax Act and the 1997 Tax Act, no amount is to be included in the assessable income of a person because of:</p>
            </content>
            <paragraph eId="part-2__dvs-6__sec-26__para-a">
              <num>a</num>
              <content>
                <p>the issue of shares to a person under <ref href="#sec-21">section 21</ref>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-6__sec-26__para-b">
              <num>b</num>
              <content>
                <p>the issue of shares to a person in accordance with HoldCo’s constitution, where the issue is certified under <ref href="#sec-36">section 36</ref>.</p>

            </paragraph>

            <heading>No assessable income to arise from transfers between restructuring bodies</heading>
            <subsection eId="part-2__dvs-6__sec-27__subsec-1">
              <num>1</num>

                <p>For the purposes of the 1936 Tax Act and the 1997 Tax Act, if an asset or liability of a restructuring body becomes an asset or liability of another restructuring body as a result of an exempt transfer, then no amount is to be included in the assessable income of the transferor or transferee because of the transfer.</p>

            </subsection>
            <subsection eId="part-2__dvs-6__sec-27__subsec-2">

                <p>To the extent that an exempt transfer involves a CGT event, Subdivision 126-B of the 1997 Tax Act is to be applied on the basis that:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>subsection 126-50(4) of that Act were omitted; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>in deciding whether the condition in paragraph 126-55(1)(a) of that Act is met, it is to be assumed that the transferor was not, at any relevant time, exempt from income tax; and</p>

                  <p>the condition in paragraph 126-55(1)(b) of that Act were taken to be met.</p>

              <num>3</num>
              <content>
                <p>To the extent that an exempt transfer involves a disposal of property for the purposes of Subdivision 41-A of the 1997 Tax Act, that Subdivision is to be applied on the basis that:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>in deciding whether the condition in paragraph 41-20(1)(a) of that Act is met, it is to be assumed that the transferor was not, at any relevant time, exempt from income tax; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>Subdivision 126-B of that Act applies, for the purposes of Subdivision 41-A of that Act, with the modifications set out in subsection (2) of this section; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the transferor and transferee had made a joint election under <ref href="#sec-41">section 41</ref>-55 of that Act.</p>

                <p>In this section:</p>

                <p><b><i>exempt transfer</i></b> means either of the following that is certified under section 36:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>a transfer of an asset or liability between restructuring bodies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-27__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the operation of <ref href="#dvs-3">Division 3</ref> in respect of an asset or liability or contract.</p>
                </content>
              </paragraph>
            </subsection>

            <num>28</num>
            <heading>Certified demerger matters not to result in CGT event or assessable income</heading>
            <subsection eId="part-2__dvs-6__sec-28__subsec-1">
              <num>1</num>
              <content>
                <p>For the purposes of the 1997 Tax Act, a certified demerger matter is not to be treated as being a CGT event or as giving rise to a CGT event.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-28__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of the 1936 Tax Act and the 1997 Tax Act, no amount is to be included in the assessable income of a person because of a certified demerger matter.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-6__sec-29">
            <num>29</num>
            <heading>CGT cost base for share acquisitions</heading>
            <content>
              <p>For the purposes of the 1997 Tax Act, if any of the following results in the acquisition of a CGT asset, then the first element of the cost base of the asset is taken to be nil:</p>

              <num>a</num>
              <content>
                <p>the issue of shares to a person under <ref href="#sec-21">section 21</ref>;</p>
              </content>
            </paragraph>

              <num>b</num>
              <content>
                <p>the issue of shares to a person in accordance with HoldCo’s constitution, where the issue is certified under <ref href="#sec-36">section 36</ref>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-6__sec-29__para-c">
              <num>c</num>
              <content>
                <p>a certified demerger matter.</p>
              </content>

                <p>After the conversion time, HoldCo is not taken, for the purposes of a law, to be:</p>
              </content>
              <paragraph eId="part-2__dvs-8__sec-33__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a Commonwealth authority; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-33__subsec-1__para-b">

                  <p>established for a public purpose or for a purpose of the Commonwealth; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-33__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>a public authority or an agency or instrumentality of the Crown;</p>
                </content>
                <content>
                  <p>(within the ordinary meaning of the expression concerned) unless a law expressly provides otherwise.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-33__subsec-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>law</i></b> means:</p>
              </content>
              <paragraph eId="part-2__dvs-8__sec-33__subsec-2__para-a">
                <num>a</num>

                  <p>an Act of the Commonwealth or of a State or Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-33__subsec-2__para-b">

                <content>
                  <p>regulations or any other instrument made under such an Act.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-8__sec-34">
            <num>34</num>
            <heading>Operation of Archives Act</heading>
            <subsection eId="part-2__dvs-8__sec-34__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	This Part does not authorise a Commonwealth record (within the meaning of the <i>Archives Act 1983</i>) to be transferred or otherwise dealt with except in accordance with the provisions of that Act.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-34__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	A Commonwealth record (within the meaning of the <i>Archives Act 1983</i>) must not be transferred to a person under this Part unless the National Archives of Australia has given permission under paragraph 24(2)(b) of that Act.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-8__sec-35">
            <num>35</num>
            <heading>Compensation for acquisition of property</heading>
            <subsection eId="part-2__dvs-8__sec-35__subsec-1">
              <num>1</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-2__dvs-8__sec-35__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>apart from this section, the operation of this Act would result in the acquisition of property from a person otherwise than on just terms; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-8__sec-35__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the acquisition would be invalid because of paragraph 51(xxxi) of the Constitution;</p>
                </content>
                <content>
                  <p>the Commonwealth is liable to pay the person a reasonable amount of compensation in respect of the acquisition.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p>If the Commonwealth and the person do not agree on the amount of the compensation, the person may institute proceedings in the Federal Court of Australia for the recovery from the Commonwealth of such reasonable amount of compensation as the court determines.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-8__sec-35__subsec-3">
              <num>3</num>
              <content>
                <p>In this section:</p>

                <p><b><i>acquisition of property</i></b> has the same meaning as in paragraph 51(xxxi) of the Constitution.</p>

            <heading>Certification by Minister that matters relate to restructuring</heading>

              <p><role refersTo="#minister">The Minister</role> may, in writing, certify that a specified event, matter or other thing occurring during the restructuring period is related to the privatisation of HoldCo.</p>

            <num>37</num>
            <heading>Certificates, declarations etc. taken to be authentic etc.</heading>
            <content>
              <p>A document that appears to be a certificate, declaration or other document made or issued under this Part:</p>

              <num>a</num>
              <content>
                <p>is taken to be such a certificate, declaration or other document; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-8__sec-37__para-b">

                <p>is taken to have been properly given;</p>
              </content>
              <content>
                <p>unless the contrary is established.</p>

            <heading>Delegations</heading>

              <p><role refersTo="#minister">The Minister</role> may, in writing, delegate all or any of his or her powers and functions under this Act (other than section 33A) to:</p>

                <p>an APS employee who holds or performs the duties of an SES Band 1 position, or an equivalent or higher position, in the Department.</p>
