          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Australian Research Council Act 2001</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to subsection (2), this Act commences on a day to be fixed by Proclamation.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-2__subsec-2">
            <num>2</num>
            <content>
              <p>If this Act does not commence under subsection (1) within the period of 6 months beginning on the day on which it receives the Royal Assent, it commences on the first day after the end of that period.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Object of Act</heading>
          <content>
            <p>The object of this Act is to establish a national body to:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>support Australian universities in conducting excellent research, including collaborative research with local, national and international partners, for Australia’s economic, social, environmental and cultural benefit; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>promote and conduct activities to shape and foster the Australian research landscape and community, including by supporting academic career pathways, expanding Indigenous knowledge systems and evaluating the excellence, impact and depth of Australian research; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ba">
            <num>ba</num>
            <content>
              <p>support Australian universities to attract and retain academic researchers and promote quality academic jobs; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>support research integrity, promote ethical research and facilitate access to research publications and research data; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-d">
            <num>d</num>
            <content>
              <p>uphold peer review as a core process to identify excellent research; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-e">
            <num>e</num>
            <content>
              <p>administer funding of excellent pure basic research, strategic basic research and applied research in all disciplines under the National Competitive Grants Program, except experimental development; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-f">
            <num>f</num>
            <content>
              <p>administer funding for nationally significant research programs; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-g">
            <num>g</num>
            <content>
              <p>provide expert advice on research to the Commonwealth Government; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-h">
            <num>h</num>
            <content>
              <p>partner with other Commonwealth entities to deliver research grants by those other entities.</p>
            </content>

          <num>4</num>
          <heading>Definitions</heading>
          <subsection eId="part-1__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>In this Act:</p>
            </content>
            <content>
              <p><term refersTo="#term-account">Account</term> means <def>the ARC Research Endowment Account established by <ref href="#sec-62">section 62</ref>.</def></p>
              <p><term refersTo="#term-approved-funding-rules">approved funding rules</term> means <def>the rules approved by the Minister under <ref href="#sec-59">section 59</ref> (including as varied under <ref href="#sec-60">section 60</ref>).</def></p>
              <p><term refersTo="#term-arc">ARC</term> means <def>the Australian Research Council established by <ref href="#sec-5">section 5</ref>.</def></p>
              <p><term refersTo="#term-board">Board</term> means <def>the Australian Research Council Board established by <ref href="#sec-8">section 8</ref>.</def></p>
              <p><term refersTo="#term-board-committee">Board committee</term> means <def>a committee established under <ref href="#sec-29">section 29</ref>.</def></p>
              <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board and includes the Chair and Deputy Chair.</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the ARC referred to in <ref href="#sec-33A">section 33A</ref>.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-commonwealth-entity">Commonwealth entity</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-deputy-chair">Deputy Chair</term> means <def>the Deputy Chair of the Board.</def></p>
              <p><term refersTo="#term-designated-committee">designated committee</term> means <def>a committee established under <ref href="#sec-30">section 30</ref>.</def></p>
              <p><term refersTo="#term-designated-research-program">designated research program</term> means <def>the following research programs: the research program known as the ARC Centres of Excellence scheme; the research program known as the Industrial Transformation Training Centres scheme; the research program known as the Industrial Transformation Research Hubs scheme; any nationally significant research program specified in an instrument under subsection (2).</def></p>

              <num>a</num>
              <content>
                <p>the research program known as the ARC Centres of Excellence scheme;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the research program known as the Industrial Transformation Training Centres scheme;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the research program known as the Industrial Transformation Research Hubs scheme;</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>any nationally significant research program specified in an instrument under subsection (2).</p>
              </content>
              <content>
                <p><term refersTo="#term-foreign-government-body">foreign government body</term> has the same meaning as <def>in <ref href="#dvs-7">Division 7</ref>0 of the Criminal Code.</def></p>
                <p><term refersTo="#term-foreign-intelligence-agency">foreign intelligence agency</term> means <def>an intelligence or security service (however described) of a foreign country.</def></p>
                <p><b><i>foreign law enforcement agency</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a police force (however described) of a foreign country; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any other authority or person responsible for the enforcement of the laws of the foreign country.</p>
              </content>
              <content>
                <p><b><i>foreign military body</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the armed forces of the government of a foreign country; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the civilian component of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the Department of State of a foreign country; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>a government agency in a foreign country;</p>
              </content>
              <content>
                <p>that is responsible for the defence of the country.</p>
                <p><term refersTo="#term-funding-agreement">funding agreement</term> means <def>an agreement under subsection 49(1) (including as varied).</def></p>
                <p><term refersTo="#term-funding-approval">funding approval</term> means <def>an approval under subsection 47(1) or 48(1) (including as varied).</def></p>
                <p><term refersTo="#term-indigenous-person">Indigenous person</term> has the same meaning as <def>in the Indigenous Education (Targeted Assistance) Act 2000.</def></p>
                <p><term refersTo="#term-medical-research">medical research</term> has the same meaning as <def>it has in <ref href="">the National Health and Medical Research Council Act 1992</ref>.</def></p>
                <p><term refersTo="#term-paid-work">paid work</term> means <def>work for financial gain or reward (whether as an employee, a self-employed person or otherwise).</def></p>
                <p><b><i>research </i></b>does not include medical research.</p>
                <p><b><i>research program</i></b> means:</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a program of research; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-4__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a program that supports the conduct of a program of research.</p>
              </content>
              <content>
                <p><term refersTo="#term-staff-of-the-arc">staff of the ARC</term> means <def>the staff referred to in <ref href="#sec-41">section 41</ref>.</def></p>
              </content>
            </paragraph>
          </subsection>

              </paragraph>

                  <p>substantial experience or expertise; and</p>
                </content>
              </paragraph>

                  <p>professional credibility and significant standing;</p>
                </content>
                <content>
                  <p>in one or more fields of research or in the management of research.</p>
                </content>
              </paragraph>

              <content>
                <p>In appointing Board members, <role refersTo="#minister">the Minister</role> must:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-12__subsec-4__para-a">

                <content>
                  <p>ensure that a majority of the Board members are persons whom <role refersTo="#minister">the Minister</role> is satisfied have substantial experience or expertise in one or more fields of research or in the management of research; and</p>

                <num>b</num>

                  <p>ensure that one of the Board members is an Indigenous person; and</p>

                  <p>during any period, or during all periods, when the Chair:</p>
                </content>

                  <p>during any period, or during all periods, when the Deputy Chair:</p>

                  <p>during any period, or during all periods, when a Board member:</p>
                </content>
              </paragraph>

                <p>A person must not be appointed under subsection (2) or (3) to act as the Deputy Chair, or as another Board member, unless <role refersTo="#minister">the Minister</role> is satisfied that the person has appropriate qualifications, knowledge, skills or experience.</p>

            <heading>Remuneration</heading>

                <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed by the regulations.</p>

                <p>A Board member is to be paid the allowances that are prescribed by the regulations.</p>

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

            <heading>Leave</heading>
            <subsection eId="part-3__dvs-3__sec-16__subsec-1">

                <p><role refersTo="#minister">The Minister</role> may grant the Chair leave of absence on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>

              <content>
                <p>The Chair may grant leave of absence to any other Board member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>

              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants a Board member leave of absence for a period that exceeds 6 months.</p>
              </content>
            </subsection>
          </section>

            <num>17</num>
            <heading>Paid work</heading>
            <content>
              <p>A Board member must not engage in any paid work that, in <role refersTo="#minister">the Minister</role>’s opinion, conflicts or could conflict with the proper performance of the member’s duties.</p>

            <num>18</num>
            <heading>Disclosure of interests</heading>
            <subsection eId="part-3__dvs-3__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by a Board Member under <i>Public Governance, Performance and Accountability Act 2013</i><i> </i>(which deals with the duty to disclose interests) must be made to the Minister.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-18__subsec-3">

              <content>
                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, the Board member is taken not to have complied with section 29 of that Act if the Board member does not comply with subsection (1) of this section.</p>

            <heading>Resignation of appointment</heading>
            <subsection eId="part-3__dvs-3__sec-19__subsec-1">

                <p>A Board member may resign the member’s appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
          </section>

            <heading>Termination of appointment</heading>
            <subsection eId="part-3__dvs-3__sec-20__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a Board member:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-20__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for misbehaviour; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-20__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if the member is unable to perform the duties of the member’s office because of physical or mental incapacity.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-20__subsec-2">

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a Board member if:</p>
              </content>

                <p>The person presiding at the meeting of the Board has a deliberative vote and, if the votes are equal, a casting vote.</p>

                <p>The Board is taken to have made a decision at a meeting if:</p>

                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>

                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
                </content>

                  <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the Board members of the proposed decision.</p>

                <p>Subsection (1) applies only if the Board:</p>

                  <p>has determined the method by which Board members are to indicate agreement with proposed decisions.</p>

                <p>A committee is to consist of such persons (whether Board members or not) as the Board determines.</p>

                <p><role refersTo="#ceo">The CEO</role> is to be appointed by the Board by written instrument for the period specified in the instrument. That period must not exceed 5 years.</p>

                <p>A person is not eligible for appointment as <role refersTo="#ceo">the CEO</role> unless the Board is satisfied that the person has:</p>

                  <p>substantial experience or expertise; and</p>
                </content>
              </paragraph>

                  <p>professional credibility and significant standing;</p>

                  <p>in one or more fields of research or in the management of research.</p>

                <p>The Board must:</p>

                  <p>give <role refersTo="#minister">the Minister</role> a reasonable opportunity to make representations to the Board about those candidates.</p>

                <p>A person must not be appointed as <role refersTo="#ceo">the CEO</role> unless the Board is satisfied that the selection of the person for the appointment is the result of a process that:</p>

                <content>
                  <p>was merit-based; and</p>
                </content>
              </paragraph>

                  <p>included public advertising of the position.</p>

              </paragraph>
            </subsection>

            <heading>Acting CEO</heading>

              <p>The Board may appoint a person to act as <role refersTo="#ceo">the CEO</role>:</p>

                <p>during a vacancy in the office of CEO (whether or not an appointment has previously been made to the office); or</p>

            <heading>Termination of appointment</heading>

                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>

                <num>a</num>
                <content>
                  <p>for misbehaviour; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role> is unable to perform the duties of <role refersTo="#ceo">the CEO</role>’s office because of physical or mental incapacity.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-40A__subsec-2">
              <num>2</num>
              <content>
                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role> if:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with <role refersTo="#ceo">the CEO</role>’s creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-40A__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of <role refersTo="#ceo">the CEO</role>’s remuneration for the benefit of <role refersTo="#ceo">the CEO</role>’s creditors; or</p>

              </paragraph>

                <num>b</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role> is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>

                <num>c</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role> engages, except with the Board’s approval, in paid work outside the duties of <role refersTo="#ceo">the CEO</role>’s office (see section 38); or</p>

                  <p><role refersTo="#ceo">the CEO</role> fails, without reasonable excuse, to comply with section 39 (which deals with the duty to disclose interests); or</p>

                  <p>	(e)	the CEO fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section.<ref href="#sec-29">section 29</ref> of the </p>

            </subsection>

                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role> if the Board is satisfied that the performance of <role refersTo="#ceo">the CEO</role> has been unsatisfactory for a significant period of time.</p>

                <p>The Board must consult <role refersTo="#minister">the Minister</role> before terminating the appointment of <role refersTo="#ceo">the CEO</role>.</p>

            <heading>CEO to act in accordance with directions of Board</heading>

                <p>The Board may give written directions to <role refersTo="#ceo">the CEO</role> about the performance of <role refersTo="#ceo">the CEO</role>’s functions, which may include a direction to provide advice to <role refersTo="#minister">the Minister</role> on the priorities, strategies and policies for the ARC.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-40B__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> must comply with a direction under subsection (1).</p>

            </subsection>

                <p>	(3)	Subsection (1) does not apply to the extent that the direction relates to the CEO’s performance of functions or exercise of powers under the <i>Public Service Act 1999</i> in relation to the ARC.</p>

                <p>The Board may, in writing, approve the making of a grant of financial assistance to an organisation for a research project in relation to a research program.</p>

                <p>If the Board does so, the Board must specify in the approval the total amount of financial assistance to be paid to the organisation in relation to the approval.</p>

                  <p>the eligibility criteria set out in those rules are satisfied in relation to the application; and</p>

                  <p>the application satisfies the requirements set out in those rules; and</p>
                </content>
              </paragraph>

                <p><role refersTo="#minister">The Minister</role> may, on behalf of the Commonwealth and in writing, approve the making of a grant of financial assistance to an organisation for a research project in relation to a designated research program.</p>

              <num>2</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> does so, <role refersTo="#minister">the Minister</role> must specify in the approval the total amount of financial assistance to be paid to the organisation in relation to the approval.</p>

                <p><role refersTo="#minister">The Minister</role> must refuse to give an approval under subsection (1) if <role refersTo="#minister">the Minister</role> considers that, for reasons relevant to the security, defence or international relations of Australia, the approval should be refused.</p>

            <num>49</num>
            <heading>Funding agreements</heading>
            <subsection eId="part-7__dvs-1__sec-49__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The terms and conditions on which a grant of financial assistance is to be made to an organisation under this Division are to be set out in a written agreement (the <b><i>funding agreement</i></b>) between the organisation and the CEO.</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-49__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting subsection (1), the agreement must:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>specify the one or more periods to which the grant relates; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>specify the amount of financial assistance to be paid in each of those periods; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>specify the times at which each amount of financial assistance is to be paid; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>include a description of the research project concerned; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-e">
                <num>e</num>
                <content>
                  <p>include the name and title of the person leading the research project concerned; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-ea">
                <num>ea</num>
                <content>
                  <p>require each researcher involved in the research project concerned to declare any conflicts of interest, potential conflicts of interest, or perceived conflicts of interest, to the Australian Research Council; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-eb">
                <num>eb</num>
                <content>
                  <p>require that the organisation gives <role refersTo="#ceo">the CEO</role> a report, after the end of the final period to which the grant relates, detailing the nature of the employment of researchers employed by the organisation for the purposes of the research project concerned; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-49__subsec-2__para-f">
                <num>f</num>
                <content>
                  <p>include terms or conditions relating to the organisation giving <role refersTo="#ceo">the CEO</role> regular independent auditor statements relating to the organisation’s compliance with some or all of the terms and conditions set out in the agreement.</p>
                </content>
                <content>
                  <p>CEO may enter into funding agreement</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-49__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may, on behalf of the Commonwealth, enter into a funding agreement.</p>
              </content>
              <content>
                <p>Notification to Board or Minister of breach of term or condition</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-49__subsec-4">
              <num>4</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> is satisfied that the organisation that is a party to a funding agreement has breached a term or condition of the agreement, <role refersTo="#ceo">the CEO</role> must:</p>

                  <p>if the agreement relates to a funding approval given under subsection 47(1)—give the Board:</p>

                <p>Subsection (4) does not apply if the breach is of a minor nature.</p>

            </subsection>
          </section>

            <num>50</num>
            <heading>Termination or variation of funding agreement or proposals</heading>
            <content>
              <p>CEO may terminate or vary funding agreement</p>
            </content>
            <subsection eId="part-7__dvs-1__sec-50__subsec-1">
              <num>1</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> is satisfied that the organisation that is a party to a funding agreement has breached a term or condition of the agreement, <role refersTo="#ceo">the CEO</role> may, on behalf of the Commonwealth:</p>
              </content>

                <num>a</num>
                <content>
                  <p>terminate the agreement; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-1__para-b">

                  <p>vary the agreement.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-50__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may vary the funding agreement in any other circumstances.</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-50__subsec-3">
              <num>3</num>
              <content>
                <p>Subsections (1) and (2) do not limit the terms and conditions that may be set out in a funding agreement.</p>
              </content>
              <content>
                <p>Board may terminate or vary funding approval</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-50__subsec-4">
              <num>4</num>
              <content>
                <p>The Board may terminate or vary a funding approval given under subsection 47(1) in relation to an organisation if:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role> gives the Board a notice under subsection 49(4) about a term or condition of the funding agreement that relates to the funding approval; and</p>

              <paragraph eId="part-7__dvs-1__sec-50__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the Board is satisfied that the organisation has breached the term or condition.</p>

                <p><role refersTo="#minister">The Minister</role> may terminate or vary a funding approval given under subsection 48(1) in relation to an organisation if:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role> gives <role refersTo="#minister">the Minister</role> a notice under subsection 49(4) about a term or condition of the funding agreement that relates to the funding approval; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> is satisfied that the organisation has breached the term or condition.</p>

              <num>6</num>
              <content>
                <p>Before making a decision under paragraph (1)(a) or subsection (4) or (5), <role refersTo="#ceo">the CEO</role>, Board or Minister (as the case requires) must give the organisation notice in writing:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>stating the decision <role refersTo="#ceo">the CEO</role>, Board or Minister is considering making; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>stating the reasons why <role refersTo="#ceo">the CEO</role>, Board or Minister is considering making the decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-50__subsec-6__para-c">
                <num>c</num>
                <content>
                  <p>inviting the organisation to make written submissions to the CEO, Board or Minister <quantity refersTo="#deadline">within 28 days</quantity> concerning why the decision should not be made.</p>

            </subsection>

              <num>7</num>
              <content>
                <p>In deciding whether to make a decision under paragraph (1)(a) or subsection (4) or (5), <role refersTo="#ceo">the CEO</role>, Board or Minister (as the case requires) must consider any submissions received from the organisation within the 28-day period.</p>

                <p><role refersTo="#ceo">The CEO</role>, Board or Minister (as the case requires) must give the organisation notice in writing of a decision under subsection (1), (2), (4) or (5) and of the reasons for the decision.</p>

            <heading>Cessation and repayment of financial assistance—breach of terms of conditions of funding agreement</heading>

              <p>Cessation of financial assistance</p>

            <subsection eId="part-7__dvs-1__sec-51__subsec-1">
              <num>1</num>
              <content>
                <p>Financial assistance to an organisation under a funding agreement is not payable at a time after a decision is made under subsection 50(1), (4) or (5) to terminate the funding agreement or the funding approval concerned.</p>

                <p>Repayment of financial assistance</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-2">
              <num>2</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> makes a decision under paragraph 50(1)(a) to terminate a funding agreement covering an organisation, <role refersTo="#ceo">the CEO</role> may give the organisation a notice in writing:</p>
              </content>

                <num>a</num>
                <content>
                  <p>requiring the organisation to pay a specified amount to the Commonwealth that is equal to the whole or a part of the financial assistance already paid to the organisation under the agreement; and</p>

              <paragraph eId="part-7__dvs-1__sec-51__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>specifying the period within which the organisation must pay that specified amount, which must be a period of at least 28 days starting on the day on which the notice is given.</p>

            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-3">
              <num>3</num>
              <content>
                <p>If the Board or <role refersTo="#minister">the Minister</role> makes a decision under subsection 50(4) or (5) to terminate a funding approval for an organisation, the Board or Minister (as the case requires) may give the organisation a notice in writing:</p>
              </content>

                <num>a</num>
                <content>
                  <p>requiring the organisation to pay a specified amount to the Commonwealth that is equal to the whole or a part of the financial assistance already paid to the organisation under the funding agreement relating to the approval; and</p>

              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>specifying the period within which the organisation must pay that specified amount, which must be a period of at least 28 days starting on the day on which the notice is given.</p>

              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-4">
              <num>4</num>
              <content>
                <p>Without limiting the matters that <role refersTo="#ceo">the CEO</role>, Board or Minister may consider in deciding whether it is appropriate to give a notice under subsection (2) or (3), <role refersTo="#ceo">the CEO</role>, Board or Minister may consider any or all of the following matters:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the nature of the breach of the term or condition;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the impact of the breach on the research provided by the organisation and on the organisation’s research partners or reputation;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-4__para-c">
                <num>c</num>
                <content>
                  <p>the impact of the breach on Australia’s reputation as a provider of high quality research;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-4__para-d">
                <num>d</num>
                <content>
                  <p>the nature of any other breaches by the organisation of terms or conditions of the funding agreement in the last 12 months.</p>
                </content>
                <content>
                  <p>Debt</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-5">
              <num>5</num>
              <content>
                <p>If an amount payable by the organisation under subsection (2) or (3) remains unpaid at the end of the period specified in the notice under that subsection, the amount:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>is a debt due to the Commonwealth; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-51__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>may be recovered by <role refersTo="#ceo">the CEO</role>, on behalf of the Commonwealth, by action in a court of competent jurisdiction.</p>
                </content>

                  <p>Set-off</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-6">
              <num>6</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may, on behalf of the Commonwealth, set off the whole or a part of the amount payable to the Commonwealth under subsection (2) or (3) against a later payment of financial assistance to the organisation under this Division in relation to another funding approval.</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-51__subsec-7">
              <num>7</num>
              <content>
                <p>The debt under subsection (5) is reduced by the amount of the set-off.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-7__dvs-1__sec-52">
            <num>52</num>
            <heading>Cessation and repayment of financial assistance—security, defence or international relations of Australia</heading>
            <subsection eId="part-7__dvs-1__sec-52__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, on behalf of the Commonwealth, terminate a funding approval in relation to an organisation if <role refersTo="#minister">the Minister</role> considers that, for reasons relevant to the security, defence or international relations of Australia, the approval should be terminated.</p>
              </content>

                <p>If <role refersTo="#minister">the Minister</role> does so, no further payment of financial assistance to the organisation in relation to that funding approval is to be made under this Division.</p>

                <p>Notice to organisation</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-52__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role>:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-52__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>must give the organisation written notice of the decision under subsection (1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-52__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>may in that notice:</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-52__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>include a requirement for the organisation to pay a specified amount to the Commonwealth that is equal to the whole or a part of the financial assistance already paid to the organisation under the funding agreement relating to the approval; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-52__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>specify the period within which the organisation must pay that specified amount, which must be a period of at least 28 days starting on the day on which the notice is given.</p>

            </subsection>

              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must give the Board and CEO a copy of the notice given to the organisation under subsection (3).</p>

                <p>If an amount payable by the organisation under subsection (3) remains unpaid at the end of the period specified in the notice under that subsection, the amount:</p>

                <num>a</num>
                <content>
                  <p>is a debt due to the Commonwealth; and</p>
                </content>

                <content>
                  <p>may be recovered by <role refersTo="#ceo">the CEO</role>, on behalf of the Commonwealth, by action in a court of competent jurisdiction.</p>

            <subsection eId="part-7__dvs-1__sec-52__subsec-6">
              <num>6</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may, on behalf of the Commonwealth, set off the whole or a part of the amount payable to the Commonwealth under subsection (3) against a later payment of financial assistance to the organisation under this Division in relation to another funding approval.</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-52__subsec-7">
              <num>7</num>
              <content>
                <p>The debt under subsection (5) is reduced by the amount of the set-off.</p>
              </content>
              <content>
                <p>Compensation for acquisition of property</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-52__subsec-8">
              <num>8</num>
              <content>
                <p>If the operation of this section would result in an acquisition of property (within the meaning of paragraph 51(xxxi) of the Constitution) from a person otherwise than on just terms (within the meaning of that paragraph), the Commonwealth is liable to pay a reasonable amount of compensation to the person.</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-52__subsec-9">
              <num>9</num>
              <content>
                <p>If the Commonwealth and the person do not agree on the amount of the compensation, the person may institute proceedings in the Federal Court of Australia for the recovery from the Commonwealth of such reasonable amount of compensation as the Court determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-7__dvs-1__sec-53">
            <num>53</num>
            <heading>Cessation of financial assistance—other circumstances</heading>
            <content>
              <p>Financial assistance to an organisation under a funding agreement is not payable at a time after any of the following happen:</p>
            </content>
            <paragraph eId="part-7__dvs-1__sec-53__para-a">
              <num>a</num>
              <content>
                <p>the organisation’s involvement with the research project concerned ends;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__dvs-1__sec-53__para-b">
              <num>b</num>
              <content>
                <p>the research project concerned changes so that it is no longer consistent with the description in the agreement;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__dvs-1__sec-53__para-c">
              <num>c</num>
              <content>
                <p>the person named in the agreement as the person leading the research project ceases to lead the project.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-7__dvs-1__sec-54">
            <num>54</num>
            <heading>Overpayments of financial assistance</heading>
            <content>
              <p>Set-off</p>
            </content>
            <subsection eId="part-7__dvs-1__sec-54__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may, on behalf of the Commonwealth, set off the whole or a part of an overpayment of an amount of financial assistance to an organisation under this Division against another payment of financial assistance to the organisation under this Division.</p>

                <p>Notice requiring organisation to pay amount to Commonwealth</p>
              </content>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-54__subsec-2">
              <num>2</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> is not able to do so, <role refersTo="#ceo">the CEO</role> may give the organisation a written notice:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-54__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>specifying the amount the Commonwealth is not able to set off; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-54__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>requiring the organisation to pay to the Commonwealth the amount specified in the notice; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-54__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>specifying the period within which the organisation must pay the amount specified in the notice, which must be a period of at least 28 days starting on the day on which the notice is given.</p>

              <num>3</num>
              <content>
                <p>If the organisation is required by a notice under subsection (2) to pay an amount to the Commonwealth and an amount payable by the organisation remains unpaid at the end of the period specified in the notice, the amount unpaid:</p>

              <paragraph eId="part-7__dvs-1__sec-54__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>is a debt due to the Commonwealth; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-54__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>may be recovered by <role refersTo="#ceo">the CEO</role>, on behalf of the Commonwealth, by action in a court of competent jurisdiction.</p>

              </paragraph>
            </subsection>
          </section>
          <section eId="part-7__dvs-1__sec-55">
            <num>55</num>
            <heading>Reasons relevant to the security, defence or international relations of Australia</heading>
            <subsection eId="part-7__dvs-1__sec-55__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must, in deciding whether there are reasons relevant to the security, defence or international relations of Australia for the making of a decision under subsection 47(8), 48(6) or 52(1), have regard to the following:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the nature and extent of the organisation’s research activities (if any) that are being, or have been, carried out and the financial support (if any) the organisation has received for those activities from a foreign government body;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>whether the organisation or a person involved in the research project concerned has, or has had, an association with a tertiary education institution (however described) located outside Australia and, if so, the nature of that association;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>whether the organisation or a person involved in the research project concerned has, or has had, an association with a foreign government body, foreign law enforcement agency, foreign military body or foreign intelligence agency and, if so, the nature of that association;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>whether the organisation or a person involved in the research project concerned has, or has had, an association with a foreign country upon which the Security Council of the United Nations or Australia has imposed a sanction and, if so, the nature of that association;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>	(e)	whether the organisation or a person involved in the research project concerned has, or has had, an association with a person or entity proscribed by an instrument under the <i>Autonomous Sanctions Act 2011</i> and, if so, the nature of that association;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-55__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>	(f)	whether the organisation or a person involved in the research project concerned has, or has had, an association with a proscribed person or entity within the meaning of Part 4 of the <i>Charter of the United Nations Act 1945</i> and, if so, the nature of that association.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-7__dvs-1__sec-55__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may have regard to any other matters that <role refersTo="#minister">the Minister</role> considers appropriate.</p>
              </content>
            </subsection>

                <p><role refersTo="#minister">The Minister</role> must cause a statement specifying the following to be tabled in each House of the Parliament within 15 sitting days of that House after the day on which <role refersTo="#minister">the Minister</role> makes a decision under subsection 47(8), 48(6) or 52(1):</p>

                  <p>a description of the research program to which the decision relates.</p>

            <num>58</num>
            <heading>Board to prepare rules</heading>
            <subsection eId="part-7__dvs-1__sec-58__subsec-1">
              <num>1</num>
              <content>
                <p>The Board must:</p>
              </content>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>prepare written rules dealing with the following:</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the eligibility criteria to be met in order for the Board or <role refersTo="#minister">the Minister</role> to approve the making of grants of financial assistance to organisations under this Division;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>the making of applications by organisations for such an approval;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>the assessment process for deciding which applications will receive such an approval;</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-iv">
                <num>iv</num>
                <content>
                  <p>any other matters that the Board considers appropriate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-7__dvs-1__sec-58__subsec-1__para-b">

                  <p>give the rules to <role refersTo="#minister">the Minister</role> for approval under section 59.</p>

                <p>Without limiting subparagraph (1)(a)(i), the eligibility criteria may relate to the kinds of organisation that may receive financial assistance and the kinds of research projects in respect of which financial assistance may be approved.</p>

            <num>59</num>
            <heading>Ministerial approval of rules</heading>

                <p>After receiving rules under <role refersTo="#minister">the Minister</role> must, in writing:<ref href="#sec-58">section 58</ref>, or revised rules under this section, from the Board, </p>

                  <p>approve the rules; or</p>
                </content>
              </paragraph>

                  <p>request the Board to give <role refersTo="#minister">the Minister</role> revised rules to take account of specified concerns of <role refersTo="#minister">the Minister</role>.</p>

              <num>2</num>

                <p>If <role refersTo="#minister">the Minister</role> makes such a request, the Board must comply with the request as soon as reasonably practicable.</p>

            <heading>Variation of funding rules</heading>
            <subsection eId="part-7__dvs-1__sec-60__subsec-1">

                <p>The Board may prepare a proposed variation of the approved funding rules and give the proposed variation to <role refersTo="#minister">the Minister</role>.</p>

            </subsection>

              <content>
                <p>After receiving a proposed variation (including a revised variation), <role refersTo="#minister">the Minister</role> must, in writing:</p>

            <p>		The annual report prepared by the members of the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must also:<ref href="#sec-46">section 46</ref> of the </p>

              <p>include particulars of any directions given by <role refersTo="#minister">the Minister</role> under section 10 in that period; and</p>
