              <p>This Act provides for some administrative measures that are needed for the operation of:</p>

                <p>	(a)	the capital gains tax exemption relating to venture capital under Subdivision 118-F of the <i>Income Tax Assessment Act 1997</i> (and the related provisions about similar income gains and losses); and</p>

            <heading>What this Part is about</heading>
            <content>
              <p>Industry Innovation and Science Australia can register limited partnerships as venture capital limited partnerships, early stage venture capital limited partnerships or Australian venture capital funds of funds.</p>
              <p>Registration is one of the requirements before investments of venture capital through a limited partnership can attract the operation of:</p>
              <p>•	the capital gains tax exemption relating to venture capital under Subdivision 118-F of the <i>Income Tax Assessment Act 1997</i> (and the related provisions about similar income gains and losses); and</p>
              <p>•	the income tax exemption under <i>Income Tax Assessment Act 1997</i> (if the partnership is an early stage venture capital limited partnership); and<ref href="#sec-51">section 51</ref>-52 of the </p>
              <p>•	the “flow-through” treatment, under <i>Income Tax Assessment Act 1936</i>, of the income of limited partnerships.<ref href="#dvs-5">Division 5</ref> of <ref href="#part-II">Part II</ref>I of the </p>
              <p>Broadly speaking, Industry Innovation and Science Australia will register a limited partnership under <ref href="#dvs-13">Division 13</ref> if an application meets the requirements of <ref href="#dvs-11">Division 11</ref>, unless Industry Innovation and Science Australia is satisfied that the partnership does not meet the applicable registration requirements of <ref href="#dvs-9">Division 9</ref>.</p>
              <p>Conditional registration is an option if an application does not meet the requirements of <ref href="#dvs-11">Division 11</ref>.</p>
              <p>Industry Innovation and Science Australia can revoke a registration under <ref href="#dvs-17">Division 17</ref>. Broadly speaking, the grounds for revocation are:</p>
              <p>•	failure to meet the applicable registration requirements of <ref href="#dvs-9">Division 9</ref>; and</p>
              <p>•	failure to provide information as required under <ref href="#dvs-15">Division 15</ref>.</p>

              <content>
                <p>	(1)	The <b><i>registration requirements of a VCLP</i></b>, in relation to a *limited partnership, are that:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the partnership was established by or under a law in force in, or in any part of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	a foreign country in respect of which a double tax agreement (as defined in Part X of the <i>Income Tax Assessment Act 1936</i>) is in force that is an agreement of a kind referred to in subparagraph (b)(i), (ia), (ii), (iii), (iv) or (v) of that definition; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>all of the partners who are *general partners are residents of a country referred to in paragraph (a); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>under the partnership agreement the partnership is to remain in existence for a period of not less than 5 years and not more than 15 years; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>the partnership’s *committed capital is at least $10 million; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>each investment that the partnership holds is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>an *eligible venture capital investment; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	an investment in a company, in which the partnership owns one or more eligible venture capital investments, that would have been an eligible venture capital investment but for subsections 118-425(2) and (6) of the <i>Income Tax Assessment Act 1997</i>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-1__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>	(iii)	an investment in a unit trust, in which the partnership owns one or more eligible venture capital investments, that would have been an eligible venture capital investment but for subsections 118-427(3) and (7) of the <i>Income Tax Assessment Act 1997</i>; and</p>
                </content>
              </paragraph>

            <heading>Registration requirements of ESVCLPs</heading>
            <subsection eId="part-2__dvs-9__sec-9-3__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The <b><i>registration requirements of an ESVCLP</i></b>, in relation to a *limited partnership, are that:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the partnership was established by or under a law in force in, or in any part of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	a foreign country in respect of which a double tax agreement (as defined in Part X of the <i>Income Tax Assessment Act 1936</i>) is in force that is an agreement of a kind referred to in subparagraph (b)(i), (ia), (ii), (iii), (iv) or (v) of that definition; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>all of the partners who are *general partners are residents of a country referred to in paragraph (a); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>under the partnership agreement the partnership is to remain in existence for a period of not less than 5 years and not more than 15 years; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>the partnership’s *committed capital:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is at least $10 million; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-ii">

                  <p>does not exceed $200 million; and</p>

              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-e">

                  <p>none of the partners has *committed capital in the partnership that, taken together with the sum of the amounts of committed capital in the partnership of any of that partner’s *associates (other than associates to whom subsection (5) applies), exceeds 30% of the partnership’s committed capital; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>each investment that the partnership holds is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>an *eligible venture capital investment; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	an investment in a company, in which the partnership owns one or more eligible venture capital investments, that would have been an eligible venture capital investment but for subsections 118-425(2) and (6) of the <i>Income Tax Assessment Act 1997</i>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>	(iii)	an investment in a unit trust, in which the partnership owns one or more eligible venture capital investments, that would have been an eligible venture capital investment but for subsections 118-427(3) and (7) of the <i>Income Tax Assessment Act 1997</i>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-g">
                <num>g</num>
                <content>
                  <p>each investment that the partnership holds is in accordance with the partnership’s *approved investment plan; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-h">
                <num>h</num>
                <content>
                  <p>the partnership acts in accordance with the partnership’s approved investment plan; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-j">
                <num>j</num>
                <content>
                  <p>the partnership only carries on activities that are related to making eligible venture capital investments, investments to which subparagraph (f)(ii) applies or investments to which subparagraph (f)(iii) applies; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-1__para-k">
                <num>k</num>
                <content>
                  <p>every *debt interest that the partnership owns is, and continues to be, a *permitted loan.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-3__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	The requirements in paragraphs (1)(e), (f), (g), (h), (j) and (k) are <b><i>investment registration requirements</i></b>.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-3__subsec-4">
              <num>4</num>
              <content>
                <p>Paragraph (1)(e) does not apply in relation to a particular partner’s *committed capital in the partnership if:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>*Industry Innovation and Science Australia allows, under <ref href="#sec-9">section 9</ref>-4, the partner’s committed capital in the partnership to exceed 30% of the partnership’s committed capital; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>subsection (5) applies to the partner.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-3__subsec-5">

              <content>
                <p>This subsection applies to:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>an *ADI; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>a *life insurance company; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-c">
                <num>c</num>
                <content>
                  <p>a public authority:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-i">
                <num>i</num>
                <content>
                  <p>that is constituted by a law of a State or internal Territory; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-ii">
                <num>ii</num>
                <content>
                  <p>	(ii)	that carries on life insurance business <i>Life Insurance Act 1995</i>; or<ref href="#sec-11">within the meaning of section 11</ref> of the </p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	a widely-held complying superannuation fund <i>Pooled Development Funds Act 1992</i>; or<ref href="#sec-4A">within the meaning of section 4A</ref> of the </p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-3__subsec-5__para-e">
                <num>e</num>
                <content>
                  <p>a *widely held foreign venture capital fund of funds.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-9__sec-9-4">
            <num>9-4</num>
            <heading>Allowing a partner’s committed capital to exceed the 30% limit</heading>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-1">
              <num>1</num>
              <content>
                <p>*Industry Innovation and Science Australia may, on the application of a partner of a partnership, make a decision allowing the partner’s committed capital in the partnership to exceed 30% of the partnership’s committed capital.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-2">
              <num>2</num>
              <content>
                <p>The application must be in the *form approved by Industry Innovation and Science Australia.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-3">
              <num>3</num>
              <content>
                <p>In considering whether to make such a decision, *Industry Innovation and Science Australia must apply the principles specified under subsection (4).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-4">
              <num>4</num>
              <content>
                <p>*Industry Innovation and Science Australia may, by legislative instrument, make principles about making decisions under this section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-5">
              <num>5</num>
              <content>
                <p>If *Industry Innovation and Science Australia makes a decision under this section, Industry Innovation and Science Australia must notify the *general partner as soon as practicable after the decision is made.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-4__subsec-6">
              <num>6</num>
              <content>
                <p>If *Industry Innovation and Science Australia refuses to make a decision allowing the partner’s committed capital in the partnership to exceed 30% of the partnership’s committed capital, Industry Innovation and Science Australia must:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-4__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>notify the *general partner as soon as practicable after the refusal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-4__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>provide reasons for the refusal.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-9__sec-9-5">
            <num>9-5</num>
            <heading>Registration requirements of AFOFs</heading>
            <subsection eId="part-2__dvs-9__sec-9-5__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The <b><i>registration requirements of an AFOF</i></b>, in relation to a *limited partnership, are that:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the partnership is established by or under the law of a State or Territory; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>all of the partners who are *general partners are *Australian residents; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	under the partnership agreement,<i> </i>the partnership is to remain in existence for a period of not less than 5 years and not more than 20 years; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>each investment that the partnership owns is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>an investment in a *VCLP or an *ESVCLP; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>an *eligible venture capital investment in a company or unit trust in which a VCLP or an ESVCLP, of which the partnership is a partner, owns one or more eligible venture capital investments; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>	(iii)	an investment in a company referred to in subparagraph (ii) that would have been an eligible venture capital investment but for subsections 118-425(2) and (6) of the <i>Income Tax Assessment Act 1997</i>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-5__subsec-1__para-iv">
                <num>iv</num>
                <content>
                  <p>	(iv)	an investment in a unit trust referred to in subparagraph (ii) that would have been an eligible venture capital investment but for subsections 118-427(3) and (7) of the <i>Income Tax Assessment Act 1997</i>; and</p>

                <num>e</num>

                  <p>the partnership only carries on activities that are related to making eligible venture capital investments, investments to which subparagraph (d)(iii) applies or investments to which subparagraph (d)(iv) applies, or investing in VCLPs or ESVCLPs; and</p>

                  <p>every *debt interest that the partnership owns is, and continues to be, a *permitted loan.</p>

            <heading>Meaning of permitted loan</heading>
            <subsection eId="part-2__dvs-9__sec-9-10__subsec-1">

              <content>
                <p>	(1)	A debt interest is a <b><i>permitted loan</i></b> if:</p>
              </content>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>it is a loan made to a *company and the sum of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the *equity interests that the partnership owns in the company; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>any debt interests that the partnership owns in the company that can be converted into equity interests in the company;</p>
                </content>
                <content>
                  <p>is at least 10% of the sum of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>all of the equity interests in the company; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-iv">
                <num>iv</num>
                <content>
                  <p>all of the debt interests in the company that can be converted into equity interests in the company;</p>
                </content>

                  <p>		and the company meets the requirements of subsections 118-425(2) to (7) of the <i>Income Tax Assessment Act 1997</i> in relation to the investments referred to in subparagraphs (i) and (ii); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-aa">
                <num>aa</num>
                <content>
                  <p>it is a loan made to a unit trust and the sum of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the *equity interests that the partnership owns in the unit trust; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>any *debt interests that the partnership owns in the unit trust that can be converted into equity interests in the unit trust;</p>
                </content>
                <content>
                  <p>is at least 10% of the sum of:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>all of the equity interests in the unit trust; and</p>
                </content>
              </paragraph>

                  <p>all of the debt interests in the unit trust that can be converted into equity interests in the unit trust;</p>

                  <p>		and the unit trust meets the requirements of subsections 118-427(3) to (8) of the <i>Income Tax Assessment Act 1997</i> in relation to the investments referred to in subparagraphs (i) and (ii); or</p>

              </paragraph>
              <paragraph eId="part-2__dvs-9__sec-9-10__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>it is repaid <quantity refersTo="#deadline">within 6 months</quantity>, or such longer period as *Industry Innovation and Science Australia allows under subsection (3).</p>

            </subsection>
            <subsection eId="part-2__dvs-9__sec-9-10__subsec-2">
              <num>2</num>
              <content>
                <p>A *general partner may apply to *Industry Innovation and Science Australia, in the *form approved by Industry Innovation and Science Australia, for Industry Innovation and Science Australia to allow a longer period for the purposes of paragraph (1)(b).</p>

            <subsection eId="part-2__dvs-9__sec-9-10__subsec-3">
              <num>3</num>

                <p>*Industry Innovation and Science Australia may, for the purposes of paragraph (1)(b), allow a longer period if Industry Innovation and Science Australia is satisfied that:</p>

                  <p>there are exceptional circumstances; and</p>

            <heading>Period within which application must be decided</heading>

                <p>Subject to this section, *Industry Innovation and Science Australia must decide an application for registration or conditional registration under this Part <quantity refersTo="#deadline">within 60 days</quantity> after receiving it.</p>

                <p>If *Industry Innovation and Science Australia thinks that it will take longer to decide the application, Industry Innovation and Science Australia may extend, by up to 60 days, the period for deciding it.</p>

                <p>If *Industry Innovation and Science Australia decides to register the partnership as a *VCLP, an *ESVCLP or an *AFOF under this Part, Industry Innovation and Science Australia must notify a *general partner of the partnership as soon as practicable after the decision is made.</p>

                <p>If *Industry Innovation and Science Australia decides not to register the partnership as a *VCLP, an *ESVCLP or an *AFOF under this Part, Industry Innovation and Science Australia must:</p>

                  <p>both as a *VCLP and as an *ESVCLP; or</p>
                </content>
              </paragraph>

                  <p>both as a VCLP and as an *AFOF; or</p>
                </content>

            <heading>Conditional registration</heading>

                <p>*Industry Innovation and Science Australia may conditionally register the partnership as a *VCLP if:</p>

                  <p>a *general partner has applied for registration as a VCLP; and</p>
                </content>
              </paragraph>

                <p>Conditional registration under this section does not mean that the partnership is registered under this Part as a *VCLP, an *ESVCLP or an *AFOF.</p>

          </section>
          <section eId="part-2__dvs-13__sec-13-10">
            <num>13-10</num>
            <heading>When registration is in force</heading>
            <subsection eId="part-2__dvs-13__sec-13-10__subsec-1">
              <num>1</num>
              <content>
                <p>Registration of the partnership as a *VCLP, an *ESVCLP or an *AFOF comes into force on the day on which registration under <ref href="#sec-13">section 13</ref>-1 was granted.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-10__subsec-2">
              <num>2</num>
              <content>
                <p>However, if conditional registration of the partnership had been granted under <ref href="#sec-13">section 13</ref>-5 and was in force on the day on which registration under <ref href="#sec-13">section 13</ref>-1 was granted:</p>
              </content>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	for the purposes of this Act and the <i>Income Tax Assessment Act 1936</i>, registration of the partnership as a *VCLP, an *ESVCLP or an *AFOF is taken to have come into force on:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>if, since its establishment, the partnership has only carried on activities related to becoming registered as a VCLP, an ESVCLP or an AFOF—the day on which it was established; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>otherwise—the day on which the conditional registration was granted;</p>
                </content>
                <content>
                  <p>and the partnership is taken, for the purposes of this Act and that Act, to have been *unconditionally registered from the day; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	for the purposes of the <i>Income Tax Assessment Act 1997</i>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>registration of the partnership as a VCLP, an ESVCLP or an AFOF is taken to have come into force on the day on which the conditional registration was granted; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-10__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>the partnership is taken to have been unconditionally registered from the day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-10__subsec-3">

                <p>If a *VCLP, an *ESVCLP or an *AFOF is not registered under <quantity refersTo="#deadline">within 24 months</quantity> after the day on which the conditional registration of the partnership was granted under section 13-5, the conditional registration lapses.<ref href="#sec-13">section 13</ref>-1 </p>

            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-10__subsec-4">
              <num>4</num>
              <content>
                <p>Registration is taken to be in force until revoked under <ref href="#dvs-17">Division 17</ref>.</p>

          </section>
          <section eId="part-2__dvs-13__sec-13-15">
            <num>13-15</num>
            <heading>An ESVCLP’s approved investment plan</heading>
            <subsection eId="part-2__dvs-13__sec-13-15__subsec-1">
              <num>1</num>
              <content>
                <p>A notice under subsection 13-1(3) to the effect that *Industry Innovation and Science Australia has decided to register a partnership as an *ESVCLP must specify a document that sets out the investment plan in relation to which Industry Innovation and Science Australia is satisfied as mentioned in paragraph 13-1(1A)(c).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-15__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	An *ESVCLP’s <b><i>approved investment plan</i></b> is:</p>
              </content>
              <paragraph eId="part-2__dvs-13__sec-13-15__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the investment plan set out in the document that the notice under subsection 13-1(3) specifies; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-15__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if that plan has been replaced under this section, that plan as so replaced.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-15__subsec-3">
              <num>3</num>
              <content>
                <p>A *general partner of an *ESVCLP may, by writing, request Industry Innovation and Science Australia to approve a new plan as a replacement for the ESVCLP’s *approved investment plan.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-15__subsec-4">
              <num>4</num>
              <content>
                <p>The request must state why the *ESVCLP wants the replacement plan.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-15__subsec-5">
              <num>5</num>
              <content>
                <p>If *Industry Innovation and Science Australia is satisfied that the replacement plan is appropriate, it must grant the request and approve the replacement plan.</p>

                <p>If *Industry Innovation and Science Australia approves the replacement plan, the ESVCLP’s *approved investment plan is replaced accordingly on the giving of the approval.</p>

                <p>If *Industry Innovation and Science Australia is not satisfied as mentioned in subsection (5), Industry Innovation and Science Australia must refuse the request.</p>

                <p>*Industry Innovation and Science Australia must give the *general partner who made the request written notice of its decision on the request as soon as practicable after the decision is made.</p>

                <p>If *Industry Innovation and Science Australia’s decision is to refuse the request, the notice must also include a statement of its reasons for its decision.</p>

                <p>A failure to comply with subsection (8) or (9) does not affect the validity of the decision.</p>

            </subsection>
          </section>
          <section eId="part-2__dvs-13__sec-13-20">
            <num>13-20</num>
            <heading>Deciding whether investment plans are appropriate</heading>
            <subsection eId="part-2__dvs-13__sec-13-20__subsec-1">
              <num>1</num>
              <content>
                <p>In deciding, for the purposes of paragraph 13-1(1A)(c) or subsection 13-15(5), whether it is satisfied that a partnership’s investment plan, or a replacement for a partnership’s *approved investment plan, is appropriate, *Industry Innovation and Science Australia must take into account the extent to which the partnership focuses on early stage venture capital, having regard to:</p>

              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the stages of development of the entities in which the partnership proposes to invest; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the levels of cash flow of those entities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the levels of technology of those entities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>the proportions of intellectual property to total assets of those entities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>the levels of risk and return of those entities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>the amount of tangible assets and collateral of those entities against which borrowings may be secured; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-g">
                <num>g</num>
                <content>
                  <p>the requirements of this Act relating to an *ESVCLP making and holding investments; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-h">
                <num>h</num>
                <content>
                  <p>whether the partnership’s *committed capital can only be used in relation to early stage venture capital, and whether it can be transferred to other entities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>whether the investment plan is connected with other plans for investment that, if combined with the investment plan, would lead to the partnership exceeding the limit on *committed capital under subparagraph 9-3(1)(d)(ii); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-1__para-j">
                <num>j</num>
                <content>
                  <p>any additional matters specified in guidelines made under subsection (2).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-13__sec-13-20__subsec-2">
              <num>2</num>
              <content>
                <p>*Industry Innovation and Science Australia may, by legislative instrument, make guidelines specifying additional matters that it must take into account in deciding, for the purposes of paragraph 13-1(1A)(c) or subsection 13-15(5), whether it is satisfied that:</p>
              </content>
              <paragraph eId="part-2__dvs-13__sec-13-20__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>a partnership’s investment plan is appropriate; or</p>
                </content>
              </paragraph>

                  <p>a replacement for a partnership’s *approved investment plan is appropriate;</p>

                <p>This section does not limit the matters that *Industry Innovation and Science Australia may take into account in deciding, for the purposes of paragraph 13-1(1A)(c) or subsection 13-15(5), whether it is satisfied that:</p>

              <p>A *general partner of a partnership registered under this Part as a *VCLP, an *ESVCLP or an *AFOF must, <quantity refersTo="#deadline">within 3 months</quantity> after the end of each *financial year, give *Industry Innovation and Science Australia a written return that includes the following information:</p>

                <p>the name and address of each partner, and that partner’s residency status at the end of the financial year (including details of changes to that status during the year);</p>

                <p>in relation to each partner claiming to be tax exempt—details of the facts that qualify the partner to be tax exempt in his or her country of residence;</p>

            <heading>Quarterly returns</heading>

              <p>A*general partner of a partnership registered under this Part as a *VCLP, an *ESVCLP or an *AFOF must, within one month after the end of each *quarter, give *Industry Innovation and Science Australia a written return that includes:</p>

                <p>details of any investments it has made during the quarter, and the consideration given for those investments; and</p>
              </content>

                <p>details of any disposals of investments during the quarter, and any profit derived or loss incurred from those disposals (including details of how that profit or loss was calculated); and</p>

                <p>A *general partner of a partnership registered under this Part as an *ESVCLP must, <quantity refersTo="#deadline">within 3 months</quantity> after the end of each *financial year give *Industry Innovation and Science Australia a written report on the implementation of the partnership’s *approved investment plan during the financial year that:</p>

                <num>a</num>
                <content>
                  <p>includes descriptions of any investments the partnership made during the year and any disposals of investments during the year; and</p>

                  <p>meets the requirements of any guidelines issued under subsection (2).</p>

                  <p>it is satisfied is a reasonable period; and</p>
                </content>
              </paragraph>

                  <p>does not exceed 6 months.</p>

              </paragraph>
            </subsection>

                  <p>state the matters that in *Industry Innovation and Science Australia’s opinion, may constitute grounds for revocation; and</p>

                  <p>state the period, determined by Industry Innovation and Science Australia under subsection (2), within which the *investment registration requirements must be complied with; and</p>

                  <p>state that the *general partner may make written submissions to Industry Innovation and Science Australia about the matters in the notice within that period.</p>

                <p>A *general partner may make submissions about the matters in the notice at any time during that period.</p>

            </subsection>

                <p>*Industry Innovation and Science Australia must revoke the registration if, after considering any submissions made under subsection (4), it is satisfied that, at the end of that period, the partnership does not meet the *investment registration requirements of a VCLP, the *investment registration requirements of an ESVCLP or the *investment registration requirements of an AFOF, as the case may be.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-17__sec-17-1__subsec-6">
              <num>6</num>

                <p>Subsection (5) does not apply if the registration is revoked under <ref href="#sec-17">section 17</ref>-10 within that period.</p>

                  <p>a partnership registered as an *ESVCLP does not meet the *registration requirements of an ESVCLP that are not *investment registration requirements; or</p>

                  <p>a partnership registered as an *AFOF does not meet the *registration requirements of an AFOF that are not *investment registration requirements;</p>

              <num>3</num>
              <content>
                <p>A *general partner may apply to *Industry Innovation and Science Australia, in the *form approved by Industry Innovation and Science Australia, for an extension of the 60 day period.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-17__sec-17-5__subsec-4">
              <num>4</num>
              <content>
                <p>*Industry Innovation and Science Australia may, for the purposes of paragraph (2)(c), extend, by up to 60 days, the period if it is satisfied that:</p>
              </content>
              <paragraph eId="part-2__dvs-17__sec-17-5__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>reasonable progress is being made towards meeting the requirements; and</p>
                </content>
              </paragraph>

            <num>17-10</num>
            <heading>Revocation at discretion of Industry Innovation and Science Australia</heading>
            <subsection eId="part-2__dvs-17__sec-17-10__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to subsection (2), *Industry Innovation and Science Australia may revoke a partnership’s registration as a *VCLP, an *ESVCLP or an *AFOF under this Part if Industry Innovation and Science Australia is satisfied that the partnership has:</p>

                <p>*Industry Innovation and Science Australia must not revoke the partnership’s registration unless Industry Innovation and Science Australia:</p>

                  <p>by notice in writing given to a *general partner of the partnership, allows the general partner at least 28 days after the notice is given in which to make written submissions to Industry Innovation and Science Australia about the matters specified in the notice that, in Industry Innovation and Science Australia’s opinion, may constitute grounds for revocation; and</p>

                <p>An *entity may apply to *Industry Innovation and Science Australia, in the *form approved by Industry Innovation and Science Australia, for registration under this Part as an *eligible venture capital investor.</p>

                <p>An application must be given to *Industry Innovation and Science Australia <quantity refersTo="#deadline">within 30 days</quantity> after the applicant enters into the contract to acquire its first *eligible venture capital investment after the commencement of this Act.</p>

                <p>*Industry Innovation and Science Australia must register the applicant under this Part if Industry Innovation and Science Australia is satisfied that the information has been provided.</p>

                <p>If *Industry Innovation and Science Australia registers an applicant under this Part, Industry Innovation and Science Australia must notify the applicant <quantity refersTo="#deadline">within 60 days</quantity> after the application was made.</p>

                  <p>notify the *general partner as soon as practicable after the refusal; and</p>
                </content>

                  <p>provide reasons for the refusal.</p>

            <heading>Industry Innovation and Science Australia may determine that a requirement does not apply</heading>
            <subsection eId="part-4__dvs-25__sec-25-10__subsec-1">
              <num>1</num>

                <p>*Industry Innovation and Science Australia may, on the application of a *general partner of a partnership registered as a *VCLP, an *ESVCLP or an *AFOF, determine that either or both of the following requirements do not apply to a *company:</p>

                <num>a</num>
                <content>
                  <p>	(a)	the requirement referred to under subparagraph 118-425(2)(b)(i) of the <i>Income Tax Assessment Act 1997 </i>that more than 50% of the people who are currently engaged by the company to perform services must perform those services primarily in Australia;</p>

              <num>5</num>

                <p>If *Industry Innovation and Science Australia does not confirm, vary or revoke the decision before the end of the period of 60 days after the day on which Industry Innovation and Science Australia receives the request, Industry Innovation and Science Australia is taken, at the end of that period, to have confirmed the decision.</p>

            </subsection>
            <subsection eId="part-5__dvs-29__sec-29-10__subsec-6">
              <num>6</num>

                <p>As soon as practicable after *Industry Innovation and Science Australia confirms, varies or revokes the decision, Industry Innovation and Science Australia must give the person a written notice that:</p>

                  <p>advises of the confirmation, variation or revocation of the decision; and</p>

                  <p>except in a case to which subsection (5) applies—advises of Industry Innovation and Science Australia’s reasons for confirming, varying or revoking the decision; and</p>

                  <p>	(c)	in the case of a confirmation or variation of the decision—advises the person that the person may apply to the Administrative Review Tribunal under the <i>Administrative Review Tribunal Act 2024</i><i> </i>for review of the decision as confirmed or varied.</p>

                <p>The legislation history in endnote 3 provides information about each law that has amended (or will amend) the compiled law. The information includes commencement details for amending laws and details of any application, saving or transitional provisions that are not included in this compilation.</p>
                <p>The amendment history in endnote 4 provides information about amendments at the provision (generally section or equivalent) level. It also includes information about any provision of the compiled law that has been repealed in accordance with a provision of the law.</p>

                  <b>Editorial changes</b>
                </p>
                <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
                <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                  <b>Misdescribed amendments</b>
                </p>
                <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
                <p>If a misdescribed amendment cannot be given effect as intended, the amendment is not incorporated and “(md not incorp)” is added to the amendment history.</p>
