            <p>		This Act may be cited as the <i>National Blood Authority</i> <i>Act 2003</i>.</p>
          </content>

          <heading>Commencement</heading>

            <num>1</num>
            <content>
              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, on the day or at the time specified in column 2 of the table.</p>

              <p>If a provision covered by item 2 of the table has not commenced on <date date="2003-07-01">1 July 2003</date>, and does not commence within the period of 6 months beginning on the day on which this Act receives the Royal Assent, it commences on the first day after the end of that period.</p>

        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><b><i>Australia</i></b>, when used in a geographical sense,<b><i> </i></b>includes Norfolk Island, the Territory of Cocos (Keeling) Islands and the Territory of Christmas Island.</p>
            <p><b><i>blood products and services</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>	(a)	products (<b><i>blood products</i></b>) that are used or intended for use for human therapeutic or diagnostic purposes and that:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-i">
            <num>i</num>
            <content>
              <p>consist of human blood or components of human blood; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ii">
            <num>ii</num>
            <content>
              <p>are derived from human blood; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>	(b)	products (<b><i>blood</i></b><b><i>-</i></b><b><i>related products</i></b>) that are used or intended for use for human therapeutic or diagnostic purposes and that:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-i">
            <num>i</num>
            <content>
              <p>are alternative or complementary to the use of blood products; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ii">
            <num>ii</num>
            <content>
              <p>are regarded as blood-related products for the National Blood Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>services, equipment or procedures that are regarded as blood-related services for the National Blood Agreement and that:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-i">
            <num>i</num>
            <content>
              <p>are used in the collection, supply or use of blood products or blood-related products; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ii">
            <num>ii</num>
            <content>
              <p>are alternatives to the use of blood products or blood-related products; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-iii">
            <num>iii</num>
            <content>
              <p>reduce the need for blood products or blood-related products; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-iv">
            <num>iv</num>
            <content>
              <p>otherwise affect the demand or supply of blood products or blood-related products.</p>
            </content>
            <content>
              <p><term refersTo="#term-blood-related-information">blood-related information</term> has the meaning given by <def>subsection 10(4).</def></p>
              <p><term refersTo="#term-board">Board</term> means <def>the NBA Board established by <ref href="#sec-12">section 12</ref>.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-covered-territories">covered Territories</term> means <def>the following: the ; the ; Norfolk Island; the ; the  (Keeling) ; the ; the .</def></p>

              <p><term refersTo="#term-csc-short-for-commonwealth-superannuation-corporation">CSC (short for Commonwealth Superannuation Corporation)</term> has the same meaning as <def>in <ref href="">the Governance of Australian Government Superannuation Schemes Act 2011</ref>.</def></p>
              <p><term refersTo="#term-general-manager">General Manager</term> means <def>the General Manager (described in <ref href="#part-4">Part 4</ref>) of the NBA.</def></p>
              <p><term refersTo="#term-ministerial-council">Ministerial Council</term> has the same meaning as <def>in the National Blood Agreement.</def></p>
              <p><term refersTo="#term-national-blood-agreement">National Blood Agreement</term> means <def>the national blood agreement that: relates to matters in this Act (in particular the supply of blood products and services); and is between the Commonwealth, the States, the  and the ; and <b><i>	</i></b>(c)<b><i>	</i></b>is in force from time to time.</def></p>

          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>relates to matters in this Act (in particular the supply of blood products and services); and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>is between the Commonwealth, the States, the  and the ; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p><b><i>	</i></b>(c)<b><i>	</i></b>is in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-national-blood-arrangements">national blood arrangements</term> means <def>arrangements in, or referred to in, the National Blood Agreement.</def></p>
              <p><term refersTo="#term-nba">NBA</term> means <def>the National Blood Authority established by <ref href="#sec-7">section 7</ref>.</def></p>
              <p><term refersTo="#term-nba-staff">NBA staff</term> means <def>the staff described in <ref href="#sec-36">section 36</ref>.</def></p>

        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Main purpose of this Act</heading>
          <content>
            <p>The main purpose of this Act is to establish the NBA as part of the coordinated national approach to policy setting, governance and management of the Australian blood sector as agreed in the National Blood Agreement.</p>

          <num>5</num>
          <heading>This Act binds the Crown</heading>
          <content>
            <p>This Act binds the Crown in each of its capacities, but does not make the Crown liable to be prosecuted for an offence.</p>
          </content>
        </section>
        <section eId="part-1__sec-6">
          <num>6</num>
          <heading>Application to the external Territories</heading>
          <content>
            <p>This Act extends to each external Territory.</p>
          </content>
        </section>
      </part>
      <part eId="part-2">
        <num>2</num>
        <heading>The National Blood Authority</heading>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Establishment</heading>
          <subsection eId="part-2__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>The National Blood Authority is established by this section.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>The NBA consists of the General Manager and the NBA staff.</p>
            </content>

          </subsection>
          <subsection eId="part-2__sec-7__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	For the purposes of the finance law (within the meaning of the <i>Public Governance, Performance and Accountability Act 2013</i>):</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>the NBA is a listed entity; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>the General Manager is the accountable authority of the NBA; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>the following persons are officials of the NBA:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-i">
              <num>i</num>
              <content>
                <p>the General Manager;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-ii">
              <num>ii</num>
              <content>
                <p>the NBA staff;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-iii">
              <num>iii</num>
              <content>
                <p>consultants engaged under <ref href="#sec-37">section 37</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-d">
              <num>d</num>
              <content>
                <p>the purposes of the NBA include the functions of the NBA referred to in <ref href="#sec-8">section 8</ref>.</p>
              </content>
            </paragraph>
          </subsection>
        </section>

          <num>8</num>
          <heading>Functions</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>The NBA’s functions are as follows:</p>
            </content>
            <paragraph eId="part-2__sec-8__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to liaise with, and gather information from, governments, suppliers and others about matters relating to blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to carry out national blood arrangements relating to annual plans and budgets for the production and supply of blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to carry out national blood arrangements to ensure that there is a sufficient supply of blood products and services in all the States and covered Territories;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>to carry out national blood arrangements relating to the funding of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the supply of blood products and services; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the NBA’s operations;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>to enter and manage contracts and arrangements for the collection, production and distribution of the blood products and services necessary to ensure a sufficient supply of blood products and services in all the States and covered Territories;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>to carry out national blood arrangements relating to safety measures, quality measures, contingency measures and risk mitigation measures for the supply of blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-g">
              <num>g</num>
              <content>

                <p>to provide assistance:</p>
              </content>
            </paragraph>

                <p>in accordance with national blood arrangements, to a committee referred to in those arrangements; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>to the Board; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>to the advisory committees (if any) established under <ref href="#sec-38">section 38</ref>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-1__para-j">
              <num>j</num>
              <content>
                <p>such other functions (if any) as are determined by the Ministerial Council and specified in a notice under subsection (2) given by <role refersTo="#minister">the Minister</role> to the NBA.</p>

              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make a notice for the purposes of paragraph (1)(j).</p>

          </subsection>
        </section>
        <section eId="part-2__sec-9">
          <num>9</num>
          <heading>Policy principles about the NBA’s functions</heading>
          <subsection eId="part-2__sec-9__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, in accordance with the National Blood Agreement, give written policy principles to the NBA about the performance of its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the policy principles to be presented to each House of the Parliament within 15 sitting days of that House after the day on which they were given to the NBA.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-9__subsec-3">
            <num>3</num>
            <content>
              <p>The NBA must comply with the policy principles (if any) when performing its functions.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-10">
          <num>10</num>
          <heading>General Manager’s power to obtain information and documents</heading>
          <content>
            <p>Requirements to give information</p>
          </content>
          <subsection eId="part-2__sec-10__subsec-1">
            <num>1</num>
            <content>
              <p>The General Manager may, by written notice, require a person described in subsection (3) whom the General Manager reasonably believes is capable of giving blood-related information, to give that information to the General Manager by giving the General Manager either or both of the following:</p>
            </content>
            <paragraph eId="part-2__sec-10__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>written answers to questions specified in the notice;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>such documents, or copies of documents, as are described in the notice.</p>
              </content>

            </paragraph>

                <p>how the information must be given.</p>
              </content>
              <content>
                <p>Who may be required to give information</p>

            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-10__subsec-3">

              <p>A notice may be given under subsection (1) to:</p>
            </content>
            <paragraph eId="part-2__sec-10__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>	(a)	the person who has overall responsibility for the provision of hospital services (as defined in the <i>Health Insurance Act 1973</i>) at a private hospital (as defined in that Act); or</p>
              </content>
            </paragraph>

              <num>b</num>
              <content>
                <p>a supplier of blood products and services in ; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-3__para-c">

                <p>an importer of blood products and services into ; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-3__para-d">
              <num>d</num>
              <content>
                <p>a person specified in the regulations.</p>
              </content>

              <p>	(4)	<b><i>Blood</i></b><b><i>-</i></b><b><i>related information</i></b> is information, other than personal information (as defined in the <i>Privacy Act 1988</i>), relating to one or more of the following matters:</p>

              <content>
                <p>demand for blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-b">
              <num>b</num>

                <p>supplying blood products and services (including their receipt by a hospital);</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>forecasting:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>donations of human blood; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>supplies of blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-d">
              <num>d</num>
              <content>
                <p>benchmarking a person’s performance in respect of a matter relating to blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-e">
              <num>e</num>
              <content>
                <p>cost of blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-f">
              <num>f</num>
              <content>
                <p>safety and quality of blood products and services;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-10__subsec-4__para-g">
              <num>g</num>
              <content>
                <p>possible or actual risks to a sufficient supply of blood products and services in all the States and covered Territories.</p>
              </content>
              <content>
                <p>Offence for failing to comply with a requirement</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-10__subsec-5">
            <num>5</num>
            <content>
              <p>A person commits an offence if the person fails to comply with a requirement under subsection (1).</p>
            </content>

              <p>A person is excused from complying with a requirement made of the person under subsection (1) if the answer to the question or the production of the document or copy might tend to incriminate the person or expose the person to a penalty or other liability.</p>

              <p>A person is entitled to be paid by the NBA reasonable compensation for complying with a requirement covered by paragraph (1)(b).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-11">
          <num>11</num>
          <heading>Protecting confidentiality of information</heading>
          <subsection eId="part-2__sec-11__subsec-1">
            <num>1</num>
            <content>
              <p>A person commits an offence if:</p>
            </content>
            <paragraph eId="part-2__sec-11__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the person discloses a fact or document; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the fact came to the person’s knowledge, or the document came into the person’s possession, because of the person’s official employment; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>the disclosure is not made in the course of the person’s official employment.</p>
              </content>

              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>service as a Board member; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-11__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the performance of services for the NBA or the Board.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
      </part>

        <heading>The NBA Board</heading>
        <section eId="part-3__sec-12">
          <num>12</num>
          <heading>Establishment</heading>
          <content>
            <p>The NBA Board is established by this section.</p>
          </content>
        </section>
        <section eId="part-3__sec-13">
          <num>13</num>
          <heading>Functions</heading>
          <subsection eId="part-3__sec-13__subsec-1">
            <num>1</num>
            <content>
              <p>The Board’s functions are as follows:</p>
            </content>
            <paragraph eId="part-3__sec-13__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to participate in consultation with <role refersTo="#minister">the Minister</role> about the appointment of the General Manager;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to give advice to the General Manager about the performance of the NBA’s functions;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to liaise with governments, suppliers and others about matters relating to the NBA’s functions;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-13__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>such other functions (if any) as are specified in a notice under subsection (2) given by <role refersTo="#minister">the Minister</role> to the Chair.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-13__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make a notice for the purposes of paragraph (1)(d).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-14">
          <num>14</num>
          <heading>Membership</heading>
          <content>
            <p>The Board consists of:</p>
          </content>
          <paragraph eId="part-3__sec-14__para-a">
            <num>a</num>
            <content>
              <p>a Chair; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-14__para-b">
            <num>b</num>
            <content>
              <p>a person representing the interests of the Commonwealth; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-14__para-c">
            <num>c</num>
            <content>
              <p>1 or 2 persons representing the interests of the States and Territories; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-14__para-d">
            <num>d</num>
            <content>
              <p>a person representing the community; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-14__para-e">
            <num>e</num>
            <content>
              <p>a person with expertise in public health issues relating to human blood; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-14__para-f">
            <num>f</num>

              <p>a person with financial or commercial expertise.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-3__sec-15">
          <num>15</num>
          <heading>Appointing members</heading>
          <subsection eId="part-3__sec-15__subsec-1">
            <num>1</num>
            <content>
              <p>Board members are to be appointed by <role refersTo="#minister">the Minister</role> by written instrument.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-15__subsec-2">
            <num>2</num>
            <content>
              <p>Before appointing them, <role refersTo="#minister">the Minister</role> must be satisfied that:</p>
            </content>
            <paragraph eId="part-3__sec-15__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>they have been selected by the Ministerial Council for appointment; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-15__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the person selected to be the Chair is considered by the Ministerial Council to be independent from the interests of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-15__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the suppliers of blood products and services; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-15__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>the Commonwealth, States and Territories; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-15__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the person selected to represent the interests of the Commonwealth was nominated by the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-15__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>the person or persons selected to represent the interests of the States and Territories were nominated by a State or Territory.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-15__subsec-3">
            <num>3</num>
            <content>
              <p>A Board member is to be appointed on a part-time basis.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-16">

          <heading>Term of appointment</heading>
          <content>
            <p>A Board member holds office for the period specified in the instrument of appointment. The period must not exceed 4 years.</p>
          </content>
        </section>
        <section eId="part-3__sec-17">

          <heading>Acting appointments</heading>
          <subsection eId="part-3__sec-17__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may appoint a Board member to act as the Chair:</p>
            </content>
            <paragraph eId="part-3__sec-17__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>during a vacancy in the office of Chair, whether or not an appointment has previously been made to the office; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-17__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when the Chair is absent from duty or from , or is, for any reason, unable to perform the duties of the office.</p>
              </content>

              <p><role refersTo="#minister">The Minister</role> may only appoint a person to act as a Board member described in one of paragraphs 14(b) to (f) if the person is qualified to be appointed as the Board member described in the paragraph concerned.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-18">
          <num>18</num>
          <heading>Members’ remuneration</heading>
          <subsection eId="part-3__sec-18__subsec-1">
            <num>1</num>
            <content>
              <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is specified in a determination made by <role refersTo="#minister">the Minister</role> under subsection (4).</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-18__subsec-2">
            <num>2</num>
            <content>
              <p>However, a Board member is not entitled to be paid this remuneration if he or she holds an office or appointment, or is otherwise employed, on a full-time basis in the service or employment of:</p>
            </content>
            <paragraph eId="part-3__sec-18__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a State; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-18__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>	(b)	a corporation (a <b><i>public statutory corporation</i></b>) established for a public purpose by a State law, other than a tertiary education institution; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-18__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>a company limited by guarantee where the interests and rights of the members in or in relation to the company are beneficially owned by a State; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-18__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>a company in which all the stock or shares are beneficially owned by a State or by a public statutory corporation.</p>
              </content>

              <p>A Board member is to be paid the allowances that are specified in a determination made by <role refersTo="#minister">the Minister</role> under subsection (4).</p>

          </subsection>
          <subsection eId="part-3__sec-18__subsec-4">
            <num>4</num>
            <content>
              <p>For the purposes of subsection (1) or (3), <role refersTo="#minister">the Minister</role> may, by legislative instrument, determine remuneration or allowances to be paid to a Board member.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-18__subsec-5">
            <num>5</num>
            <content>
              <p>	(5)	This section (except subsection (2)) has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-19">
          <num>19</num>
          <heading>Leave of absence</heading>
          <subsection eId="part-3__sec-19__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may grant leave of absence to the Chair on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-19__subsec-2">
            <num>2</num>
            <content>
              <p>The Chair may grant leave of absence to any other Board member on the terms and conditions that the Chair determines.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-3__sec-20">
          <num>20</num>
          <heading>Resignation</heading>
          <content>
            <p>A Board member may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
          </content>
        </section>
        <section eId="part-3__sec-21">
          <num>21</num>
          <heading>Termination of appointment</heading>
          <subsection eId="part-3__sec-21__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a Board member for misbehaviour or physical or mental incapacity.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-21__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must terminate the appointment of a Board member if the Board member:</p>
            </content>
            <paragraph eId="part-3__sec-21__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with his or her creditors or makes an assignment of his or her remuneration for their benefit; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>is absent, except on leave of absence, from 3 consecutive meetings of the Board; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-21__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>engages in paid employment that conflicts or could conflict with the proper performance of the duties of his or her office.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-21__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must terminate the appointment of the Chair if the Ministerial Council considers that the Chair is not independent from the interests of the bodies specified in subparagraphs 15(2)(b)(i) and (ii).</p>
            </content>
          </subsection>

          <heading>Board procedures</heading>
          <subsection eId="part-3__sec-22__subsec-1">

                <p>procedures for conducting Board meetings, including (but not limited to) the way the Board may resolve matters;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-22__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>disclosure of interests;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-22__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>Board records;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-22__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>reporting requirements, including (but not limited to) reports to <role refersTo="#minister">the Minister</role> and to the public.</p>

              <p>There is to be a General Manager of the NBA.</p>
            </content>
          </section>

            <heading>Function</heading>
            <content>
              <p>The General Manager is responsible for managing the NBA.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-25">
            <num>25</num>
            <heading>Working with the Board</heading>
            <subsection eId="part-4__dvs-1__sec-25__subsec-1">
              <num>1</num>
              <content>
                <p>The General Manager must request the Board’s advice on strategic matters relating to the performance of the NBA’s functions.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p>The General Manager must have regard to the advice given to him or her by the Board (whether or not the advice was given in response to a request).</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-25__subsec-3">
              <num>3</num>
              <content>
                <p>The General Manager must:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-25__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>keep the Board informed of the NBA’s operations; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-25__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>give the Board such reports, documents and information in relation to those operations as the Chair requires.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-25__subsec-4">
              <num>4</num>
              <content>
                <p>The General Manager may attend Board meetings as an observer (including by telephone or other means).</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-26">
            <num>26</num>
            <heading>Delegation</heading>
            <subsection eId="part-4__dvs-1__sec-26__subsec-1">
              <num>1</num>
              <content>
                <p>The General Manager may, in writing, delegate all or any of his or her functions or powers to a member of the NBA staff.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-26__subsec-2">
              <num>2</num>
              <content>
                <p>In performing a delegated function or exercising a delegated power, a delegate must comply with any written directions of the General Manager.</p>
              </content>
              <content>
                <p>Subdivision B—Appointing the General Manager</p>
              </content>
            </subsection>
          </section>

            <heading>Appointing the General Manager</heading>
            <subsection eId="part-4__dvs-1__sec-27__subsec-1">
              <num>1</num>
              <content>
                <p>The General Manager is to be appointed by <role refersTo="#minister">the Minister</role> by written instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-27__subsec-2">
              <num>2</num>
              <content>
                <p>However, <role refersTo="#minister">the Minister</role> must first consult the Board about a proposed appointment.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-27__subsec-3">
              <num>3</num>
              <content>
                <p>The General Manager is to be appointed on a full-time basis.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-28">
            <num>28</num>
            <heading>Term of appointment</heading>
            <content>
              <p>The General Manager holds office for the period specified in the instrument of appointment. The period must not exceed 4 years.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-29">
            <num>29</num>
            <heading>Acting appointments</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> may appoint a person to act as the General Manager:</p>
            </content>
            <paragraph eId="part-4__dvs-1__sec-29__para-a">
              <num>a</num>
              <content>
                <p>during a vacancy in the office of General Manager, whether or not an appointment has previously been made to the office; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-29__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when the General Manager is absent from duty or from , or is, for any reason, unable to perform the duties of the office.</p>
              </content>

                <p>The General Manager is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the General Manager is to be paid the remuneration that is specified in a determination made by <role refersTo="#minister">the Minister</role> under subsection (3).</p>

            </subsection>
            <subsection eId="part-4__dvs-1__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p>The General Manager is to be paid the allowances that are specified in a determination made by <role refersTo="#minister">the Minister</role> under subsection (3).</p>

            </subsection>

              <num>3</num>
              <content>
                <p>For the purposes of subsection (1) or (2), <role refersTo="#minister">the Minister</role> may, by legislative instrument, determine remuneration or allowances to be paid to the General Manager.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-30__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-31">

            <heading>Outside employment</heading>
            <content>
              <p>The General Manager must not engage in paid employment outside the duties of the General Manager’s office without <role refersTo="#minister">the Minister</role>’s approval.</p>
            </content>
          </section>

            <num>32</num>
            <heading>Leave of absence</heading>
            <subsection eId="part-4__dvs-1__sec-32__subsec-1">
              <num>1</num>
              <content>
                <p>The General Manager has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-32__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant the General Manager leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-34">
            <num>34</num>
            <heading>Resignation</heading>
            <content>
              <p>The General Manager may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-35">
            <num>35</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-4__dvs-1__sec-35__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of the General Manager for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must terminate the appointment of the General Manager if the General Manager:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>becomes bankrupt, applies to take the benefit of any law for the relief of bankrupt or insolvent debtors, compounds with his or her creditors or makes an assignment of his or her remuneration for their benefit; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>engages, except with <role refersTo="#minister">the Minister</role>’s approval, in paid employment outside the duties of his or her office; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>	(d)	fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section.<ref href="#sec-29">section 29</ref> of the </p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-35__subsec-3">
              <num>3</num>
              <content>
                <p>If the General Manager is:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	an eligible employee for the purposes of the <i>Superannuation Act 1976</i>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>	(b)	a member of the superannuation scheme established by deed under the <i>Superannuation Act 1990</i>; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>	(c)	an ordinary employer-sponsored member of PSSAP, within the meaning of the <i>Superannuation Act 2005</i>;</p>
                </content>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may, with the consent of the General Manager, retire the General Manager from office on the grounds of physical or mental incapacity.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-35__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	For the purposes of the <i>Superannuation Act 1976</i>, the General Manager is taken to have been retired from office on the grounds of invalidity if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the General Manager is removed or retired from office on the grounds of physical or mental incapacity; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-35__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>CSC gives a certificate under <ref href="#sec-54C">section 54C</ref> of that Act.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-35__subsec-5">
              <num>5</num>
              <content>
                <p>	(5)	For the purposes of the <i>Superannuation Act 1990</i>, the General Manager is taken to have been retired from office on the grounds of invalidity if:</p>
              </content>

                <num>a</num>
                <content>
                  <p>the General Manager is removed or retired from office on the grounds of physical or mental incapacity; and</p>

                  <p>CSC gives a certificate under <ref href="#sec-13">section 13</ref> of that Act.</p>

                <p>	(6)	For the purposes of the <i>Superannuation Act 2005</i>, the General Manager is taken to have been retired from office on the grounds of invalidity if:</p>

                  <p>the General Manager is removed or retired from office on the grounds of physical or mental incapacity; and</p>

                <p>	(1)	The staff of the NBA are persons engaged under the <i>Public Service Act 1999</i>.</p>

                <p>	(2)	For the purposes of the <i>Public Service Act 1999</i>:</p>
              </content>

                  <p>the General Manager and the NBA staff together constitute a Statutory Agency; and</p>
                </content>
              </paragraph>

                  <p>the General Manager is the Head of that Statutory Agency.</p>
                </content>
              </paragraph>
            </subsection>

            <heading>Consultants</heading>
            <content>
              <p>The General Manager may, on behalf of the Commonwealth, engage consultants to perform services for the NBA related to the NBA’s functions.</p>
            </content>
          </section>
        </division>

          <heading>Advisory committees</heading>
          <section eId="part-4__dvs-3__sec-38">
            <num>38</num>
            <heading>Advisory committees</heading>
            <subsection eId="part-4__dvs-3__sec-38__subsec-1">

              <content>
                <p>The General Manager may, in writing, establish advisory committees to assist with the performance of the NBA’s functions.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-3__sec-38__subsec-2">
              <num>2</num>
              <content>
                <p>An advisory committee consists of such persons as the General Manager appoints to the committee.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-3__sec-38__subsec-3">
              <num>3</num>
              <content>
                <p>The General Manager may give an advisory committee written directions as to:</p>
              </content>
              <paragraph eId="part-4__dvs-3__sec-38__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the way in which the committee is to carry out its task; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-3__sec-38__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>procedures to be followed in relation to its meetings.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-4__dvs-3__sec-39">

            <heading>Committee members’ remuneration</heading>
            <subsection eId="part-4__dvs-3__sec-39__subsec-1">

              <content>
                <p>A person appointed to an advisory committee is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the person is to be paid the remuneration that is specified in a determination made by <role refersTo="#minister">the Minister</role> under subsection (4).</p>

                  <p>a State; or</p>
                </content>

              <p>	(1)	The General Manager must give to the Ministerial Council a copy of the annual report that is prepared by the General Manager and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i>.<ref href="#sec-46">section 46</ref> of the </p>

            <num>2</num>
            <content>
              <p>The Chair must, as soon as practicable after 30 June in each year, prepare and give to the Ministerial Council and <role refersTo="#minister">the Minister</role> a report of the Board’s operations during the year ending on that 30 June.</p>

          <subsection eId="part-6__sec-44__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the report mentioned in subsection (2) to be presented to each House of the Parliament within 15 sitting days of that House after the day <role refersTo="#minister">the Minister</role> is given the report.</p>

          <heading>Regulations</heading>

            <p>The Governor-General may make regulations prescribing matters:</p>

              <p>required or permitted by this Act to be prescribed; or</p>

              <p>The amendment history in endnote 4 provides information about amendments at the provision (generally section or equivalent) level. It also includes information about any provision of the compiled law that has been repealed in accordance with a provision of the law.</p>

                <b>Editorial changes</b>
              </p>
              <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
              <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>
              <p>
                <b>Misdescribed amendments</b>
              </p>
              <p>A misdescribed amendment is an amendment that does not accurately describe the amendment to be made. If, despite the misdescription, the amendment can be given effect as intended, the amendment is incorporated into the compiled law and the abbreviation “(md)” added to the details of the amendment included in the amendment history.</p>
              <p>If a misdescribed amendment cannot be given effect as intended, the abbreviation “(md not incorp)” is added to the details of the amendment included in the amendment history.</p>
