            <p>		This Act may be cited as the <i>Tourism Australia Act 2004</i>.</p>

              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Definitions</heading>
          <content>
            <p>In this Act, unless the contrary intention appears:</p>
            <p><term refersTo="#term-appointed-member">appointed member</term> means <def>a member other than the Managing Director.</def></p>
            <p><b><i>Australia</i></b>, when used in a geographical sense, includes the external Territories.</p>
            <p><term refersTo="#term-board">Board</term> means <def>the Board of Directors of Tourism Australia.</def></p>
            <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
            <p><term refersTo="#term-deputy-chair">Deputy Chair</term> means <def>the Deputy Chair of the Board.</def></p>
            <p><term refersTo="#term-managing-director">Managing Director</term> means <def>the Managing Director of Tourism Australia.</def></p>
            <p><term refersTo="#term-member">member</term> means <def>a member of the Board (including the Chair and Deputy Chair).</def></p>

          <heading>Extended geographical application of this Act</heading>

              <p>This Act extends to every external Territory.</p>
            </content>
          </subsection>

            <content>
              <p>This Act applies both within and outside Australia.</p>

        <heading>Tourism Australia</heading>
        <section eId="part-2__sec-5">
          <num>5</num>
          <heading>Establishment</heading>
          <subsection eId="part-2__sec-5__subsec-1">
            <num>1</num>
            <content>
              <p>Tourism Australia is established by this section.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-2">
            <num>2</num>
            <content>
              <p>Tourism Australia:</p>
            </content>
            <paragraph eId="part-2__sec-5__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>must have a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may sue and be sued.</p>
              </content>

            <num>3</num>
            <content>
              <p>The seal of Tourism Australia is to be kept in such custody as the Board directs, and is not to be used except as authorised by the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-4">
            <num>4</num>
            <content>
              <p>All courts, judges and persons acting judicially must:</p>
            </content>
            <paragraph eId="part-2__sec-5__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>take judicial notice of the imprint of the seal of Tourism Australia appearing on a document; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>presume that the document was duly sealed.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-6">
          <num>6</num>
          <heading>Objects</heading>
          <content>
            <p>Tourism Australia’s objects are:</p>
          </content>
          <paragraph eId="part-2__sec-6__para-a">
            <num>a</num>
            <content>
              <p>to influence people to travel to Australia, including for events; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-6__para-b">
            <num>b</num>
            <content>
              <p>to influence people travelling to Australia to also travel throughout Australia; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-6__para-c">
            <num>c</num>
            <content>
              <p>to influence Australians to travel throughout Australia, including for events; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-6__para-d">
            <num>d</num>
            <content>
              <p>to help foster a sustainable tourism industry in Australia; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-6__para-e">
            <num>e</num>
            <content>
              <p>to help increase the economic benefits to Australia from tourism.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Functions</heading>
          <subsection eId="part-2__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>Tourism Australia’s functions are:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to increase the awareness of potential international travellers of Australia as a destination; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to increase the awareness of potential domestic travellers of Australia as a place to travel; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>to increase the knowledge of potential travellers, both international and domestic, of Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>to increase the desire of potential international travellers to travel to Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>to increase the desire of potential travellers, both international and domestic, to travel throughout Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-f">
              <num>f</num>
              <content>
                <p>to conduct research into, and analysis of, international and domestic travel; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-g">
              <num>g</num>
              <content>
                <p>to report on trends in international and domestic travel; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-h">
              <num>h</num>
              <content>
                <p>to communicate effectively with the Australian tourism industry on issues that may affect it; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>to increase awareness throughout Australia of the contribution of tourism to Australia’s economy, society and environment.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>In performing its functions, Tourism Australia must have regard to the needs of the Australian tourism industry and government.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-3">
            <num>3</num>
            <content>
              <p>Tourism Australia may perform its functions:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>in cooperation with the tourism industry; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>in cooperation with Australian governments and agencies, and foreign governments.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-4">
            <num>4</num>
            <content>
              <p>Tourism Australia may perform its functions to the extent only that they are not in excess of the functions that may be conferred on it by virtue of any of the legislative powers of the Parliament, and, in particular, may perform its functions:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>for purposes related to external affairs; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>in the course of, or in relation to, trade and commerce with other countries, among the States, between Territories or between a Territory and a State; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>for purposes related to a Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-d">
              <num>d</num>
              <content>
                <p>by means of a communication using a postal, telegraphic, telephonic or other like service within the meaning of paragraph 51(v) of the Constitution; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-e">
              <num>e</num>
              <content>
                <p>for purposes related to the collection, compilation, analysis, use and dissemination of statistics; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-f">
              <num>f</num>
              <content>
                <p>for purposes related to a corporation to which paragraph 51(xx) of the Constitution applies; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-g">
              <num>g</num>
              <content>
                <p>for purposes related to lighthouses, lightships, beacons and buoys; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-h">
              <num>h</num>
              <content>
                <p>for purposes related to matters incidental to the execution of any of the legislative powers of the Parliament or the executive power of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>	(i)	for purposes related to a Commonwealth place within the meaning of the <i>Commonwealth Places (Application of Laws) Act 1970</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-j">
              <num>j</num>
              <content>
                <p>for purposes related to the executive power of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-k">
              <num>k</num>
              <content>
                <p>for purposes related to money appropriated for the purposes of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-l">
              <num>l</num>
              <content>
                <p>for purposes related to the granting of financial assistance to a State on such terms and conditions as the Parliament thinks fit; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-m">
              <num>m</num>
              <content>
                <p>in so far as it is appropriate for those functions to be performed by Tourism Australia on behalf of the Government of the Commonwealth as the national Government of Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-n">
              <num>n</num>
              <content>
                <p>for purposes for which it is appropriate for the Parliament as the national Parliament of Australia to authorise Tourism Australia to perform functions; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-o">
              <num>o</num>
              <content>
                <p>by way of providing a service, if the provision of the service utilises Tourism Australia’s spare capacity and does not impede Tourism Australia’s capacity to perform its other functions.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-8">
          <num>8</num>
          <heading>Powers</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to subsection (3), Tourism Australia has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>Tourism Australia’s powers include, but are not limited to, the following powers:</p>
            </content>
            <paragraph eId="part-2__sec-8__subsec-2__para-a">

                <p>to accept gifts, grants, bequests and devises made to it; and</p>

            </paragraph>

              <p>The Board has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

              <p>The Board consists of the following members:</p>

            <heading>Appointing members</heading>

                <p>The members of the Board (except the Managing Director) are to be appointed by <role refersTo="#minister">the Minister</role> by written instrument.</p>
              </content>
            </subsection>

              <content>
                <p>The appointment of a member is not invalid because of a defect or irregularity in connection with the appointment.</p>
              </content>
            </subsection>
          </section>

            <heading>Qualifications for appointment</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> may appoint a person as a member only if <role refersTo="#minister">the Minister</role> is satisfied that the person has high level expertise in one or more of the following areas:</p>

                <p>financial management;</p>
              </content>
            </paragraph>

                <p>An appointed member holds office for the period specified in the instrument of appointment. The period must not exceed 3 years.</p>

                <p>An appointed member holds office on a part-time basis.</p>
              </content>
            </subsection>

            <heading>Members’ remuneration and allowances</heading>

                <p>An appointed member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the appointed member is to be paid the remuneration that is prescribed.</p>

                <p>An appointed member is to be paid the allowances that are prescribed.</p>
              </content>
            </subsection>

            <heading>Leave of absence</heading>

              <content>
                <p><role refersTo="#minister">The Minister</role> may grant leave of absence to the Chair on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>The Chair may grant leave of absence to any other appointed member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-19">
            <num>19</num>
            <heading>Resignation</heading>
            <content>
              <p>An appointed member may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
            </content>
          </section>
          <section eId="part-3__dvs-1__sec-20">
            <num>20</num>
            <heading>General provision for termination of appointment</heading>
            <subsection eId="part-3__dvs-1__sec-20__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-20__subsec-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must terminate the appointment of an appointed member if:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-20__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the appointed member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-20__subsec-3__para-i">

                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-20__subsec-3__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-20__subsec-3__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>

                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>

                  <p>the appointed member is absent, except on leave of absence, from 3 consecutive meetings of the Board.</p>

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed member if:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-20A__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the Board has resolved that the appointment of the appointed member be terminated; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-20A__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the resolution was passed at a meeting of the Board convened for the purpose of considering a motion that the appointment of the appointed member be terminated; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-20A__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the resolution was passed by not less than two-thirds of the members present, excluding the appointed member to whom the resolution relates.</p>
                </content>
              </paragraph>

              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed member if <role refersTo="#minister">the Minister</role> is satisfied:</p>

                  <p>that it is not in the best interests of Tourism Australia that the appointed member continue in office; or</p>

                  <p>that the performance of the appointed member has been unsatisfactory for a significant period.</p>
                </content>

              <p>An appointed member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role> in writing.</p>

                <p>The Board must hold the meetings that are necessary for the efficient performance of its role.</p>
              </content>
            </subsection>

                <p>Meetings are to be held at the times and places that the Board determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-22__subsec-3">

                <p>The Chair:</p>

                <p><role refersTo="#minister">The Minister</role> may, at any time, convene a meeting of the Board.</p>

            </subsection>

            <heading>Presiding at meetings</heading>
            <subsection eId="part-3__dvs-2__sec-23__subsec-1">
              <num>1</num>
              <content>
                <p>The Chair must preside at all meetings at which he or she is present.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-23__subsec-2">

              <content>
                <p>If the Chair is not present at a meeting but the Deputy Chair is present, the Deputy Chair must preside.</p>
              </content>
            </subsection>

                <p>If neither the Chair nor the Deputy Chair is present at a meeting, the other members present must appoint one of their number (other than the Managing Director) to preside.</p>

            <heading>Quorum</heading>

                <p>At a meeting of the Board a quorum is constituted by 5 members.</p>

                <p>However, if:</p>

                  <p>	(a)	a member is required by rules made for the purposes of <i>Public Governance, Performance and Accountability Act 2013</i> not to be present during the deliberations, or to take part in any decision, of the Board with respect to a particular matter; and<ref href="#sec-29">section 29</ref> of the </p>

                  <p>when the member leaves the meeting concerned there is no longer a quorum present;</p>

                <p>A question arising at a meeting is to be determined by a majority of the votes of the members present and voting.</p>

                <p>The person presiding at a meeting has:</p>
              </content>

                  <p>a deliberative vote; and</p>

            <heading>Resolutions</heading>

                <p>The Board may pass a resolution without a Board meeting being held if all the members entitled to vote on the resolution sign a document containing a statement that they are in favour of the resolution set out in the document.</p>
              </content>
            </subsection>

              <num>2</num>
              <content>
                <p>Separate copies of a document may be used for signing by the members if the wording of the resolution and statement is identical in each copy.</p>

            </subsection>

                <p>In deciding whether or not to endorse the corporate plan, <role refersTo="#minister">the Minister</role> must take into account any inconsistencies between the plan and government policies. If <role refersTo="#minister">the Minister</role> considers that there are any such inconsistencies, <role refersTo="#minister">the Minister</role> may give written notice of them to the Board before deciding whether or not to endorse the plan.</p>
              </content>
            </subsection>

                <p><role refersTo="#minister">The Minister</role> must give written notice to the Board of his or her decision to endorse, or not to endorse, the corporate plan.</p>

                  <p>give the plan to <role refersTo="#minister">the Minister</role> for his or her endorsement.</p>

                <p><role refersTo="#minister">The Minister</role> may ask the Board, in writing, to give the annual operational plan to <role refersTo="#minister">the Minister</role> by a time, and in a manner, specified by <role refersTo="#minister">the Minister</role>. The Board must comply with the request.</p>

                <p>The annual operational plan for a financial year must:</p>
              </content>

                  <p>contain an estimate of Tourism Australia’s receipts and expenditure for the financial year; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-36__subsec-3__para-b">

                  <p>specify:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-36__subsec-3__para-i">
                <num>i</num>

                  <p>the programs that the Board proposes Tourism Australia to carry out; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-36__subsec-3__para-ii">

                  <p>the resources that the Board proposes to allocate to each program;</p>
                </content>
                <content>
                  <p>in giving effect to the corporate plan during the financial year.</p>

            <heading>Ministerial direction</heading>

                <p><role refersTo="#minister">The Minister</role> may give a written direction to the Board in relation to the performance of the functions, and the exercise of the powers, of Tourism Australia.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-40__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not give a direction to the Board under subsection (1) unless he or she:</p>
              </content>

                  <p>has notified the Board in writing that he or she is considering giving the direction; and</p>
                </content>
              </paragraph>

                  <p>has given the Chair an adequate opportunity to discuss with <role refersTo="#minister">the Minister</role> the need for the proposed direction; and</p>

            <heading>Duties</heading>

              <num>1</num>
              <content>
                <p>The Managing Director is to conduct the affairs of Tourism Australia subject to the directions of, and in accordance with policies determined by, the Board.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-44__subsec-2">
              <num>2</num>
              <content>
                <p>Anything done by the Managing Director in Tourism Australia’s name, or on its behalf is taken to have been done by Tourism Australia.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-45">
            <num>45</num>
            <heading>Appointment</heading>
            <subsection eId="part-5__dvs-1__sec-45__subsec-1">
              <num>1</num>
              <content>
                <p>The Managing Director is to be appointed by the Board by written instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-45__subsec-2">
              <num>2</num>
              <content>
                <p>The Board must not appoint an appointed member as the Managing Director.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-45__subsec-3">
              <num>3</num>
              <content>
                <p>The appointment of a person as Managing Director is not invalid because of a defect or irregularity in connection with the person’s appointment.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-1__sec-46">
            <num>46</num>
            <heading>Term of appointment</heading>
            <content>
              <p>A person appointed as Managing Director holds office for the period specified in the instrument of appointment.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-47">
            <num>47</num>
            <heading>Acting Managing Director</heading>
            <content>
              <p>The Board may appoint a person (other than a member) to act as the Managing Director:</p>
            </content>
            <paragraph eId="part-5__dvs-1__sec-47__para-a">
              <num>a</num>
              <content>
                <p>during a vacancy in the office of Managing Director (whether or not an appointment has previously been made to the office); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-47__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when the Managing Director is absent from duty or from Australia, or is, for any reason, unable to perform the duties of the office.</p>

                <p>The Managing Director is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the Managing Director is to be paid the remuneration that is prescribed.</p>

            </subsection>
            <subsection eId="part-5__dvs-1__sec-48__subsec-2">
              <num>2</num>
              <content>
                <p>The Managing Director is to be paid the allowances that are prescribed.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-48__subsec-3">

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
              </content>
            </subsection>
          </section>

            <heading>Outside employment</heading>
            <content>
              <p>The Managing Director must not engage in paid employment outside the duties of the Managing Director’s office without the Board’s approval.</p>
            </content>
          </section>

            <num>50</num>
            <heading>Recreation leave</heading>
            <content>
              <p>The Managing Director has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-51">
            <num>51</num>
            <heading>Resignation</heading>
            <content>
              <p>The Managing Director may resign his or her appointment by giving the Chair a written resignation.</p>
            </content>
          </section>
          <section eId="part-5__dvs-1__sec-53">

            <heading>Termination of appointment</heading>
            <subsection eId="part-5__dvs-1__sec-53__subsec-1">
              <num>1</num>
              <content>
                <p>The Board may at any time, in writing, terminate the appointment of the Managing Director.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-1__sec-53__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	Section 30 of the <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with terminating the appointment of an accountable authority, or a member of an accountable authority, for contravening general duties of officials) does not apply in relation to the Managing Director despite subsection 30(6) of that Act.</p>

          </section>

            <heading>Other terms and conditions</heading>
            <content>
              <p>The Managing Director holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the Board with <role refersTo="#minister">the Minister</role>’s written approval.</p>

          <heading>Employees and consultants</heading>

                <p>The Board may, on behalf of Tourism Australia, employ such persons as the Board considers necessary for the performance of Tourism Australia’s functions and the exercise of Tourism Australia’s powers.</p>

              <num>2</num>
              <content>
                <p>An employee is to be employed on the terms and conditions that the Board determines in writing.</p>
              </content>
            </subsection>
          </section>

            <heading>Consultants</heading>
            <subsection eId="part-5__dvs-2__sec-56__subsec-1">
              <num>1</num>
              <content>
                <p>The Board may, on behalf of Tourism Australia, engage persons having suitable qualifications and experience as consultants to the Board.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-56__subsec-2">
              <num>2</num>
              <content>
                <p>A consultant is to be engaged on the terms and conditions that the Board determines in writing.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-56__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	A person does not hold a public office within the meaning of the <i>Remuneration Tribunal Act 1973</i> if the person is engaged as a consultant.</p>

            </subsection>

        <heading>Finance</heading>

          <num>57</num>
          <heading>Payments to Tourism Australia by Commonwealth</heading>
          <subsection eId="part-6__sec-57__subsec-1">
            <num>1</num>
            <content>
              <p>There is payable to Tourism Australia such money as is appropriated by the Parliament for the purposes of Tourism Australia.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-57__subsec-2">
            <num>2</num>
            <content>
              <p>The Finance Minister may give directions about the amounts in which, and the times at which, money payable under subsection (1) is to be paid to Tourism Australia.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-57__subsec-3">
            <num>3</num>
            <content>
              <p>In this section:</p>
            </content>
            <content>
              <p><b><i>Finance Minister</i></b> means the Minister administering the <i>Public Governance, Performance and Accountability Act 2013</i>.</p>
            </content>
          </subsection>
        </section>

          <num>58</num>
          <heading>Money of Tourism Australia</heading>
          <subsection eId="part-6__sec-58__subsec-1">
            <num>1</num>
            <content>
              <p>The money of Tourism Australia consists of:</p>
            </content>
            <paragraph eId="part-6__sec-58__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>money paid to Tourism Australia under <ref href="#sec-57">section 57</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-58__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any other money paid to Tourism Australia.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-58__subsec-2">
            <num>2</num>
            <content>
              <p>The money of Tourism Australia (other than money vested in Tourism Australia on trust) is to be applied only:</p>
            </content>
            <paragraph eId="part-6__sec-58__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>to pay or discharge the costs, expenses and other obligations incurred by Tourism Australia in the performance of its functions and the exercise of its powers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-58__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>to pay any remuneration or allowances payable under this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-58__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	Subsection (2) does not prevent investment, under <i>Public Governance, Performance and Accountability Act 2013</i>, of money that is not immediately required for the purposes of Tourism Australia.<ref href="#sec-59">section 59</ref> of the </p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-59">
          <num>59</num>
          <heading>Limits on contracts and leases</heading>
          <content>
            <p>Except with the written approval of <role refersTo="#minister">the Minister</role>, the Board must not:</p>
          </content>
          <paragraph eId="part-6__sec-59__para-a">
            <num>a</num>
            <content>
              <p>enter into a contract under which Tourism Australia is to pay or receive an amount exceeding $3,000,000 or, if a higher amount is prescribed, that higher amount; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-59__para-b">
            <num>b</num>
            <content>
              <p>enter into a lease of land for a period of 10 years or more.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-6__sec-60">
          <num>60</num>
          <heading>Liability to taxation</heading>
          <subsection eId="part-6__sec-60__subsec-1">
            <num>1</num>
            <content>
              <p>Tourism Australia is subject to taxation under the laws of the Commonwealth.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-60__subsec-2">
            <num>2</num>
            <content>
              <p>Subject to subsection (3), Tourism Australia is not subject to taxation under a law of a State or Territory.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-60__subsec-3">
            <num>3</num>
            <content>
              <p>The regulations may provide that subsection (2) does not apply in relation to a specified law of a State or Territory.</p>
            </content>

            <p>Despite the other provisions of this Act, the Board must deal with any money or property vested in Tourism Australia on trust in accordance with the powers and functions of the Board as trustee.</p>

        <num>7</num>
        <heading>Other matters</heading>
        <section eId="part-7__sec-62">
          <num>62</num>
          <heading>Delegation by Board</heading>
          <subsection eId="part-7__sec-62__subsec-1">
            <num>1</num>
            <content>
              <p>The Board may, by resolution of a majority of its members, delegate all or any of its functions or powers to:</p>
            </content>
            <paragraph eId="part-7__sec-62__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a member of the Board; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-62__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a member of staff of Tourism Australia who has the expertise appropriate to the function or power delegated.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-62__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising a delegated function or power, the delegate must comply with any written directions of the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-62__subsec-3">
            <num>3</num>
            <content>
              <p>The delegation continues in force despite a change in the membership of the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-62__subsec-4">
            <num>4</num>
            <content>
              <p>The delegation may be varied or revoked by resolution of the Board (whether or not there has been a change in the membership of the Board).</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-62__subsec-5">
            <num>5</num>
            <content>
              <p>A certificate signed by the Chair stating any matter with respect to the delegation is prima facie evidence of the matter.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-62__subsec-6">
            <num>6</num>
            <content>
              <p>A document purporting to be a certificate mentioned in subsection (5) is taken to be such a certificate and to have been duly given unless the contrary is established.</p>

        </section>

          <heading>Delegation by Managing Director</heading>
          <subsection eId="part-7__sec-63__subsec-1">
            <num>1</num>
            <content>
              <p>The Managing Director may, in writing, delegate all or any of his or her functions or powers to a member of the Tourism Australia staff who has the expertise appropriate to the function or power delegated.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-63__subsec-2">
            <num>2</num>
            <content>
              <p>In performing a delegated function or exercising a delegated power, a delegate must comply with any written directions of the Managing Director.</p>
            </content>
          </subsection>

          <heading>Regulations</heading>
          <content>
            <p>The Governor-General may make regulations prescribing matters:</p>
          </content>
