            <p>		This Act may be cited as the <i>Screen Australia Act 2008</i>.</p>
          </content>

          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-australian-program">Australian program</term> means <def>a program: that, in the opinion of Screen Australia, has, or will have, a significant Australian content; or that has been, or is to be, made in pursuance of an agreement entered into between the Commonwealth or an authority of the Commonwealth and the Government of another country or an authority of the Government of another country.</def></p>

          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>that, in the opinion of Screen Australia, has, or will have, a significant Australian content; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>that has been, or is to be, made in pursuance of an agreement entered into between the Commonwealth or an authority of the Commonwealth and the Government of another country or an authority of the Government of another country.</p>
            </content>
            <content>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of Screen Australia.</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of Screen Australia.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-deputy-chair">Deputy Chair</term> means <def>the Deputy Chair of the Board.</def></p>
              <p><term refersTo="#term-member">member</term> means <def>a member of the Board and includes the Chair and Deputy Chair.</def></p>
              <p><term refersTo="#term-program">program</term> means <def>any of the following: a screen production; an aggregate of sounds embodied in any material; an aggregate of images or sounds, or of images and sounds, that is, or is intended to be, distributed without first having been embodied in any material.</def></p>

            <num>a</num>
            <content>
              <p>a screen production;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>an aggregate of sounds embodied in any material;</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>an aggregate of images or sounds, or of images and sounds, that is, or is intended to be, distributed without first having been embodied in any material.</p>
            </content>
            <content>
              <p><term refersTo="#term-screen-production">screen production</term> means <def>an aggregate of images, or of images and sounds, embodied in any material that can be viewed on a screen (including, for example, a film).</def></p>
            </content>

        </section>

          <num>4</num>
          <heading>Extended geographic application of this Act</heading>
          <subsection eId="part-1__sec-4__subsec-1">
            <num>1</num>
            <content>
              <p>This Act extends to every external Territory.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-4__subsec-2">
            <num>2</num>
            <content>
              <p>This Act applies both within and outside Australia.</p>
            </content>
          </subsection>
        </section>

        <num>2</num>
        <heading>Screen Australia</heading>
        <section eId="part-2__sec-5">
          <num>5</num>
          <heading>Establishment</heading>
          <subsection eId="part-2__sec-5__subsec-1">
            <num>1</num>
            <content>
              <p>Screen Australia is established by this section.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-2">
            <num>2</num>
            <content>
              <p>Screen Australia:</p>
            </content>
            <paragraph eId="part-2__sec-5__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>must have a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may acquire, hold and dispose of real and personal property; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>may sue and be sued.</p>
              </content>

                  <p>Note:	The <i>Public Governance, Performance and Accountability Act 2013</i> applies to Screen Australia. That Act deals with matters relating to corporate Commonwealth entities, including reporting and the use and management of public resources.</p>

          </subsection>
          <subsection eId="part-2__sec-5__subsec-3">
            <num>3</num>
            <content>
              <p>The seal of Screen Australia is to be kept in such custody as the Board directs, and is not to be used except as authorised by the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-5__subsec-4">
            <num>4</num>
            <content>
              <p>All courts, judges and persons acting judicially must:</p>
            </content>
            <paragraph eId="part-2__sec-5__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>take judicial notice of the imprint of the seal of Screen Australia appearing on a document; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-5__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>presume that the document was duly sealed.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-6">
          <num>6</num>
          <heading>Functions</heading>
          <content>
            <p>Functions</p>
          </content>
          <subsection eId="part-2__sec-6__subsec-1">
            <num>1</num>
            <content>
              <p>The functions of Screen Australia are to:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>support and promote the development of a highly creative, innovative and commercially sustainable Australian screen production industry; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>support or engage in:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the development, production, promotion and distribution of Australian programs; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the provision of access to Australian programs and other programs; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>support and promote the development of screen culture in Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>undertake any other function conferred on it by any other law of the Commonwealth.</p>
              </content>
              <content>
                <p>Ways in which support may be provided</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-2">
            <num>2</num>
            <content>
              <p>The ways in which Screen Australia may provide support as mentioned in subsection (1) include (but are not limited to) doing any of the following:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>providing financial assistance (whether by way of loan, grant, investment or otherwise and whether on commercial terms or otherwise);</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>providing guarantees;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>commissioning or sponsoring programs or other activities;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>providing services, facilities, programs or equipment.</p>
              </content>
              <content>
                <p>Considerations governing the performance of functions</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>In performing its functions Screen Australia is, as far as practicable, to:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>ensure the development of a diverse range of Australian programs that deal with matters of national interest or importance to Australians, or that illustrate or interpret aspects of Australia or the life and activities of Australian people; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>place an emphasis on:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-i">
              <num>i</num>
              <content>
                <p>documentaries; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-ii">
              <num>ii</num>
              <content>
                <p>programs of interest or relevance to children; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-iii">
              <num>iii</num>
              <content>
                <p>programs with a high level of artistic and cultural merit; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>promote the open market as the primary means of support for projects with commercial potential; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-d">
              <num>d</num>
              <content>
                <p>promote the development of commercially focused screen production businesses; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-3__para-e">
              <num>e</num>
              <content>
                <p>promote the efficient, effective and ethical use of public resources.</p>
              </content>
              <content>
                <p>Screen Australia may charge fees</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-4">
            <num>4</num>
            <content>
              <p>Screen Australia may charge fees for things done in performing its functions.</p>
            </content>
            <content>
              <p>Screen Australia may cooperate with others</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-5">
            <num>5</num>
            <content>
              <p>Screen Australia may perform its functions alone or together with other persons.</p>
            </content>
            <content>
              <p>Severability</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-6">
            <num>6</num>
            <content>
              <p>Without limiting its effect apart from this subsection, this Act also has the effect it would have if the powers and functions of Screen Australia were confined to powers and functions that were to be exercised and performed:</p>
            </content>
            <paragraph eId="part-2__sec-6__subsec-6__para-a">
              <num>a</num>
              <content>
                <p>in so far as it is appropriate for those powers and functions to be exercised and performed by Screen Australia on behalf of the Government of the Commonwealth as the national Government of Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-b">
              <num>b</num>
              <content>
                <p>for purposes for which it is appropriate for the Parliament, as the national Parliament of Australia, to authorise Screen Australia to exercise powers and perform functions; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-c">
              <num>c</num>
              <content>
                <p>in relation to expenditure of money that is available for the purposes of Screen Australia in accordance with an appropriation made by the Parliament; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-d">
              <num>d</num>
              <content>
                <p>in relation to trade and commerce with other countries, among the States, between Territories or between a Territory and a State; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-e">
              <num>e</num>
              <content>
                <p>in relation to postal, telegraphic, telephonic, and other like services; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-f">
              <num>f</num>
              <content>
                <p>in relation to the collection of statistics; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-g">
              <num>g</num>
              <content>
                <p>in relation to external affairs; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-h">
              <num>h</num>
              <content>
                <p>in relation to a Territory; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-i">
              <num>i</num>
              <content>
                <p>in relation to the executive power of the Commonwealth; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-6__para-j">
              <num>j</num>
              <content>
                <p>in relation to matters incidental to the execution of any of the legislative powers of the Parliament or the executive power of the Commonwealth.</p>
              </content>
            </paragraph>
          </subsection>
        </section>

              <p>Screen Australia has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

              <p>Screen Australia’s powers include, but are not limited to, the following powers:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>to accept gifts, devises, bequests and assignments (whether on trust or otherwise);</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>to act as trustee of money, programs or other property vested in Screen Australia on trust;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>to act on behalf of the Commonwealth or an authority of the Commonwealth in the administration of a trust relating to programs or to matters connected with programs;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>with the written approval of <role refersTo="#minister">the Minister</role>, but not otherwise:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>to form, or participate with other persons in the formation of, a company; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>to acquire, hold or dispose of shares or stock in the capital of, or debentures or other securities of, a company;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>to do anything incidental to any of its functions.</p>
              </content>
            </paragraph>
          </subsection>

              <p>Despite anything contained in this Act, any money, programs or other property held by Screen Australia on trust must be dealt with in accordance with the obligations of Screen Australia as trustee of the trust.</p>

        <heading>The Board of Screen Australia</heading>

          <heading>The Board</heading>

              <p>The Board of Screen Australia is established by this section.</p>
            </content>
          </section>
          <section eId="part-3__dvs-1__sec-9">
            <num>9</num>
            <heading>Role</heading>
            <subsection eId="part-3__dvs-1__sec-9__subsec-1">
              <num>1</num>
              <content>
                <p>The Board is responsible for ensuring the proper and efficient performance of Screen Australia’s functions.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-9__subsec-2">
              <num>2</num>
              <content>
                <p>The Board has power to do all things necessary or convenient to be done for or in connection with the performance of its duties.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-9__subsec-3">
              <num>3</num>
              <content>
                <p>All acts and things done in the name of, or on behalf of, Screen Australia by the Board, or with <role refersTo="#authority">the authority</role> of the Board, are taken to have been done by Screen Australia.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-9__subsec-4">
              <num>4</num>
              <content>
                <p>If a function or power of Screen Australia is dependent on the opinion, belief or state of mind of Screen Australia in relation to a matter, the function or power may be exercised upon the opinion, belief or state of mind of a person or body acting as mentioned in subsection (3) in relation to that matter.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-10">
            <num>10</num>
            <heading>Membership</heading>
            <content>
              <p>The Board consists of the following members:</p>
            </content>
            <paragraph eId="part-3__dvs-1__sec-10__para-a">
              <num>a</num>
              <content>
                <p>the Chair of the Board;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-10__para-b">
              <num>b</num>
              <content>
                <p>the Deputy Chair of the Board;</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-1__sec-10__para-c">
              <num>c</num>
              <content>
                <p>no less than 3 and no more than 7 other members.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-3__dvs-1__sec-11">
            <num>11</num>
            <heading>Appointment of members</heading>
            <subsection eId="part-3__dvs-1__sec-11__subsec-1">
              <num>1</num>
              <content>
                <p>The members are to be appointed by <role refersTo="#minister">the Minister</role> by written instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-2">
              <num>2</num>
              <content>
                <p>A member holds office on a part-time basis.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-3">
              <num>3</num>
              <content>
                <p>A member holds office for the period specified in the instrument of appointment. The period must not exceed 3 years.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-4">
              <num>4</num>
              <content>
                <p>A person must not be appointed for a period if the sum of:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-11__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>that period; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-11__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>any periods of previous appointment of the person as a member;</p>
                </content>
                <content>
                  <p>exceeds 9 years.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-11__subsec-5">
              <num>5</num>
              <content>
                <p>The performance of the functions or the exercise of the powers of the Board is not affected by reason only of the number of members falling below 5 for a period of not more than 6 months.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-12">
            <num>12</num>
            <heading>Acting in positions</heading>
            <subsection eId="part-3__dvs-1__sec-12__subsec-1">
              <num>1</num>
              <content>
                <p>The Deputy Chair is to act as the Chair:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-12__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-12__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Chair:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-12__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-12__subsec-1__para-ii">

                  <p>during a vacancy in the office of Deputy Chair (whether or not an appointment has previously been made to the office); or</p>

                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Deputy Chair:</p>
                </content>
              </paragraph>

                  <p>is acting as the Chair; or</p>
                </content>
              </paragraph>

                  <p>during a vacancy in the office of a member (whether or not an appointment has previously been made to the office); or</p>

              </paragraph>

                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when a member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-12__subsec-5__para-i">

                  <p>is acting as the Deputy Chair; or</p>

            <heading>Remuneration of members</heading>

                <p>A member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-2">
              <num>2</num>
              <content>
                <p>A member is to be paid the allowances that are prescribed.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-13__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-14">
            <num>14</num>
            <heading>Leave of members</heading>
            <subsection eId="part-3__dvs-1__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant the Chair leave of absence on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-14__subsec-2">
              <num>2</num>
              <content>
                <p>The Chair may grant leave of absence to any other member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-14__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants to a member leave of absence for a period that exceeds 6 months.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-15">
            <num>15</num>
            <heading>Resignation of members</heading>
            <subsection eId="part-3__dvs-1__sec-15__subsec-1">
              <num>1</num>
              <content>
                <p>A member may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-15__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-1__sec-16">
            <num>16</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-3__dvs-1__sec-16__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-1__sec-16__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must terminate the appointment of a member if:</p>
              </content>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-1__sec-16__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>the member is absent, except on leave of absence, from 3 consecutive meetings of the Board.</p>
                </content>

              <p>A member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role>.</p>

          <heading>Board Procedures</heading>
          <section eId="part-3__dvs-2__sec-18">
            <num>18</num>
            <heading>Meetings</heading>
            <subsection eId="part-3__dvs-2__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p>The Chair must convene such meetings of the Board as are, in his or her opinion, necessary for the efficient conduct of its affairs.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-2">
              <num>2</num>
              <content>
                <p>The quorum for a meeting is a majority of the current members.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-3">
              <num>3</num>
              <content>
                <p>However, if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-18__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>	(a)	a member is required by rules made for the purposes of <i>Public Governance, Performance and Accountability Act 2013</i><i> </i>not to be present during the deliberations, or to take part in any decision, of the Board with respect to a particular matter; and<ref href="#sec-29">section 29</ref> of the </p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-18__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>when the member leaves the meeting concerned there is no longer a quorum present;</p>
                </content>

                  <p>those remaining members constitute a quorum for the purposes of any deliberation or decision at that meeting with respect to that matter.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-4">

              <content>
                <p>A question arising at a meeting of the Board is to be decided by a majority of the votes of the members present and voting.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-5">
              <num>5</num>
              <content>
                <p>The Chair must preside at all meetings at which he or she is present.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-6">
              <num>6</num>
              <content>
                <p>If the Chair is not present at a meeting the Deputy Chair, if present, must preside at the meeting.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-7">
              <num>7</num>
              <content>
                <p>If neither the Chair nor the Deputy Chair is present at a meeting the members present must elect one of their number to preside at the meeting.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-8">

                <p>At a meeting, the presiding member has a deliberative vote and, in the event of an equality of votes, has a casting vote.</p>
              </content>
            </subsection>

                <p>The Board must keep a record of any decisions made at a meeting.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-18__subsec-10">

                <p>	(10)	Subject to this Act and the<i> Public Governance, Performance and Accountability Act 2013</i>, the Board may regulate the conduct of its meetings as it thinks fit.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-19">
            <num>19</num>
            <heading>Decisions without meetings</heading>
            <subsection eId="part-3__dvs-2__sec-19__subsec-1">
              <num>1</num>
              <content>
                <p>The Board is taken to have made a decision at a meeting if:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-19__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>without a meeting, a majority of the members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-19__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-19__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>all the members were informed of the proposed decision, or reasonable efforts were made to inform all the members of the proposed decision.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies if the Board:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-19__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>has determined that it may make decisions of that kind without a meeting; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-19__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>has determined the method by which members are to indicate agreement with proposed decisions.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-19__subsec-3">
              <num>3</num>
              <content>
                <p>For the purposes of paragraph (1)(a), a member is not entitled to vote on a proposed decision if the member would not have been entitled to vote on that proposal if the matter had been considered at a meeting of the Board.</p>

                <p>The Board must keep a record of decisions made in accordance with this section.</p>

                <p><role refersTo="#ceo">The CEO</role> is responsible for the day-to-day administration of Screen Australia.</p>

                <p><role refersTo="#ceo">The CEO</role> has power to do all things necessary or convenient to be done for or in connection with the performance of his or her duties.</p>

            </subsection>

                <p>	(3)	Except in relation to the CEO’s powers under the <i>Public Service Act 1999</i>, the CEO is to act in accordance with any policies determined, and any directions given, by the Board.</p>

                <p>during any period, or during all periods, when <role refersTo="#ceo">the CEO</role>:</p>

                <p>is absent from duty or from Australia; or</p>
              </content>
            </paragraph>

                <p><role refersTo="#ceo">The CEO</role> is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, <role refersTo="#ceo">the CEO</role> is to be paid the remuneration that is prescribed.</p>

            </subsection>

                <p><role refersTo="#ceo">The CEO</role> is to be paid the allowances that are prescribed.</p>

                <p><role refersTo="#ceo">The CEO</role> has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>

            </subsection>
            <subsection eId="part-4__dvs-1__sec-26__subsec-2">

              <content>
                <p>The Chair may grant <role refersTo="#ceo">the CEO</role> leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that the Chair determines.</p>

            </subsection>

              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants to <role refersTo="#ceo">the CEO</role> leave for a period that exceeds one month.</p>

          </section>

            <num>27</num>
            <heading>Disclosure of interests</heading>
            <subsection eId="part-4__dvs-1__sec-27__subsec-1">

                <p>	(1)	A disclosure by the CEO under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Minister and the Board.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-27__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>

            <num>28</num>
            <heading>Resignation</heading>
            <subsection eId="part-4__dvs-1__sec-28__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may resign his or her appointment by giving the Chair a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-28__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Chair or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-28__subsec-3">
              <num>3</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> resigns under this section, the Chair must notify <role refersTo="#minister">the Minister</role> of the resignation.</p>

            </subsection>
          </section>

            <heading>Termination</heading>
            <subsection eId="part-4__dvs-1__sec-29__subsec-1">
              <num>1</num>
              <content>
                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>

              <paragraph eId="part-4__dvs-1__sec-29__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for misbehaviour or physical or mental incapacity; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if the Board is satisfied that the performance of <role refersTo="#ceo">the CEO</role> has been unsatisfactory for a significant period.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-29__subsec-2">
              <num>2</num>
              <content>
                <p>The Board must terminate the appointment of <role refersTo="#ceo">the CEO</role> if:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-2__para-a">

                  <p><role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-2__para-i">

                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-29__subsec-2__para-iv">

                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>

                <p>The staff of Screen Australia consists of:</p>

                  <p>any persons employed under subsection (2); and</p>

              </paragraph>

                  <p>	(b)	any persons engaged under the <i>Public Service Act 1999</i> for the purposes of Screen Australia.</p>

                <p>Screen Australia may employ persons on the terms and conditions that Screen Australia determines.</p>

            <heading>Long service leave for non-APS employees of Screen Australia</heading>

              <p>		The <i>Long Service Leave (Commonwealth Employees) Act 1976</i> applies to a person employed by Screen Australia under subsection 31(2) of this Act as if the person were engaged under the <i>Public Service Act 1999</i>.</p>

              <p>Screen Australia may engage consultants to assist in the performance of its functions.</p>

          <heading>Corporate plan</heading>
          <subsection eId="part-5__sec-35__subsec-1">

              <p>	(1)	A corporate plan given to the Minister by the Board under <i>Public Governance, Performance and Accountability Act 2013</i> must include:<ref href="#sec-35">section 35</ref> of the </p>
            </content>
            <paragraph eId="part-5__sec-35__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>details of the investment and financing programs of Screen Australia, including strategies for managing financial risk; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-35__subsec-1__para-b">

                <p>details of such other matters (if any) as <role refersTo="#minister">the Minister</role> directs.</p>
              </content>

              <p><role refersTo="#minister">The Minister</role> may give the Board written instructions with which the Board must comply in preparing a corporate plan (and any variations to the plan) under that section.</p>

              <p>A direction under paragraph (1)(b) or an instruction given under subsection (2) is not a legislative instrument.</p>
            </content>
          </subsection>
        </section>

          <heading>Approval of corporate plan by Minister</heading>
          <subsection eId="part-5__sec-37__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	This section applies to a corporate plan that is given to the Minister by the Board under <i>Public Governance, Performance and Accountability Act 2013</i>.<ref href="#sec-35">section 35</ref> of the </p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-37__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by written notice given to the Board:</p>
            </content>

                <p>approve the plan; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-37__subsec-2__para-b">

                <p>request the Board to revise it for the reasons set out in the request.</p>

            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-37__subsec-3">
            <num>3</num>

              <p>The Board must:</p>

            <paragraph eId="part-5__sec-37__subsec-3__para-a">
              <num>a</num>

                <p>comply with <role refersTo="#minister">the Minister</role>’s request to revise the plan; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-37__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>give the revised plan to <role refersTo="#minister">the Minister</role> for his or her approval.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-37__subsec-4">

            <content>
              <p>The plan comes into force on the later of:</p>
            </content>
            <paragraph eId="part-5__sec-37__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>the day on which it is approved by <role refersTo="#minister">the Minister</role>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-37__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>the first day of the period to which it relates.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-37__subsec-5">

              <p>A notice given under subsection (2) is not a legislative instrument.</p>
            </content>
          </subsection>
        </section>

          <heading>Variation of corporate plan</heading>

              <p>The Board may, at any time, vary a corporate plan, whether or not it has come into force.</p>

              <p><role refersTo="#minister">The Minister</role> may, at any time, request the Board to vary a corporate plan, whether or not it has come into force. The Board must comply with the request.</p>

          </subsection>
          <subsection eId="part-5__sec-38__subsec-3">

            <content>
              <p>A variation must be given to <role refersTo="#minister">the Minister</role> for his or her approval.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-38__subsec-4">

              <p>A variation comes into force on the day on which it is approved by <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>

              <p>There is payable to Screen Australia such money as is appropriated by the Parliament for the purposes of Screen Australia.</p>

              <p>The Finance Minister may give directions about the amounts in which, and the times at which, money payable under subsection (1) is to be paid to Screen Australia.</p>

              <p>If a direction under subsection (2) is given in writing, the direction is not a legislative instrument.</p>
            </content>
          </subsection>

          <heading>Application of money by Screen Australia</heading>
          <subsection eId="part-6__sec-40__subsec-1">
            <num>1</num>
            <content>
              <p>The money of Screen Australia is to be applied only:</p>
            </content>
            <paragraph eId="part-6__sec-40__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>in payment or discharge of the costs, expenses and other obligations incurred or undertaken by Screen Australia in the performance of its functions and the exercise of its powers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-40__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>in payment of any remuneration or allowances payable under this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-40__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	Subsection (1) does not prevent investment, under <i>Public Governance, Performance and Accountability Act 2013</i>, of money that is not immediately required for the purposes of Screen Australia.<ref href="#sec-59">section 59</ref> of the </p>

          </subsection>
        </section>
        <section eId="part-6__sec-41">
          <num>41</num>
          <heading>Restrictions on financial transactions</heading>
          <subsection eId="part-6__sec-41__subsec-1">
            <num>1</num>
            <content>
              <p>Screen Australia must not, without the approval of <role refersTo="#minister">the Minister</role>:</p>
            </content>
            <paragraph eId="part-6__sec-41__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>acquire any property, right or privilege for a consideration exceeding in amount or value the amount prescribed by the regulations for the purposes of this paragraph; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-41__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>dispose of any property, right or privilege if the amount or value of the consideration for the disposal, or the value of the property, right or privilege, exceeds the amount prescribed by the regulations for the purposes of this paragraph; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-41__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>enter into a contract for the construction of a building for Screen Australia, being a contract under which Screen Australia is to pay an amount exceeding the amount prescribed by the regulations for the purposes of this paragraph; or</p>

            </paragraph>
            <paragraph eId="part-6__sec-41__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>enter into a lease of land for a period exceeding 10 years.</p>

            </paragraph>

              <p>Paragraphs (1)(a) and (b) do not apply to transactions relating to the functions described in subparagraph 6(1)(b)(i).</p>

              <p>The regulations may prescribe limits on the total amounts of money that may be spent, guaranteed or otherwise committed in a specified period by Screen Australia in performing its functions under subparagraph 6(1)(b)(i).</p>

          <heading>Annual reports</heading>
          <content>
            <p>		The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include:<ref href="#sec-46">section 46</ref> of the </p>
          </content>
          <paragraph eId="part-7__sec-43__para-a">
            <num>a</num>
            <content>
              <p>the guarantees given by Screen Australia during the period; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-43__para-b">
            <num>b</num>
            <content>
              <p>the total amount the subject of the guarantees referred to in paragraph (a).</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-7__sec-44">
          <num>44</num>
          <heading>Ministerial direction</heading>
          <subsection eId="part-7__sec-44__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, give written directions to the Board:</p>
            </content>
            <paragraph eId="part-7__sec-44__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>in relation to the performance of the functions of, and the exercise of powers of, Screen Australia; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-44__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>requiring the provision of a report or advice on a matter that relates to any of Screen Australia’s functions or powers.</p>

              <p><role refersTo="#minister">The Minister</role> must not give a direction in relation to a decision by the Board to provide support to a particular person or for a particular program.</p>

            <num>3</num>
            <content>
              <p>The Board must ensure that any direction given by <role refersTo="#minister">the Minister</role> under subsection (1) is complied with.</p>

          <heading>Regulations</heading>
          <content>
            <p>The Governor-General may make regulations prescribing matters:</p>
          </content>

              <p>required or permitted by this Act to be prescribed; or</p>
            </content>
          </paragraph>

                <b>Editorial changes</b>
              </p>
              <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
              <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>
              <p>
                <b>Misdescribed amendments</b>
              </p>
              <p>A misdescribed amendment is an amendment that does not accurately describe the amendment to be made. If, despite the misdescription, the amendment can be given effect as intended, the amendment is incorporated into the compiled law and the abbreviation “(md)” added to the details of the amendment included in the amendment history.</p>
              <p>If a misdescribed amendment cannot be given effect as intended, the abbreviation “(md not incorp)” is added to the details of the amendment included in the amendment history.</p>
