          <p>		This Act may be cited as the <i>Screen Australia and the </i><i>National Film and Sound Archive of Australia</i><i> (Consequential and Transitional Provisions) Act 2008</i>.</p>

        <heading>Commencement</heading>

            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

              <p>In this Schedule:</p>
              <p><b><i>AFC</i></b> means the Australian Film Commission established by subsection 4(1) of the <i>Australian Film Commission Act 1975</i>.</p>
              <p><b><i>AFTRS</i></b> means the Australian Film, Television and Radio School established by subsection 4(1) of the <i>Australian Film, Television and Radio School Act 1973</i>.</p>
              <p><b><i>asset</i></b> means:</p>
              <p><b><i>FAL</i></b> means Film Australia Limited (ACN 008 639 316).</p>
              <p><b><i>FFC</i></b> means Film Finance Corporation Australia Limited (ACN 008 642 564).</p>
              <p><b><i>liability</i></b> means any liability, duty or obligation, whether actual, contingent or prospective.</p>
              <p><b><i>NFSAA</i></b> means the National Film and Sound Archive of Australia established by subsection 5(1) of the <i>National Film and Sound Archive of Australia Act 2008</i>.</p>
              <p><b><i>Screen Australia</i></b> means Screen Australia established by subsection 5(1) of the <i>Screen Australia Act 2008</i>.</p>
              <p><b><i>transition time</i></b> means the commencement of subsection 5(1) of the <i>Screen Australia Act 2008</i>.</p>

                <p>Subject to this item, at the transition time, the assets and liabilities cease to be assets and liabilities of AFC and become assets and liabilities of Screen Australia without any conveyance, transfer or assignment. Screen Australia becomes the successor in law in relation to those assets and liabilities.</p>

              <num>3</num>
              <content>
                <p>Before the transition time, <role refersTo="#minister">the Minister</role> may determine, in writing, that some of the assets or liabilities are to become assets or liabilities of NFSAA or AFTRS.</p>

              <num>4</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> makes a determination that the assets or liabilities are to become the assets or liabilities of NFSAA, then, at the transition time, the assets or liabilities cease to be assets or liabilities of AFC and become assets or liabilities of NFSAA without any conveyance, transfer or assignment. NFSAA becomes the successor in law in relation to those assets or liabilities.</p>

                <p>If <role refersTo="#minister">the Minister</role> makes a determination that the assets or liabilities are to become the assets or liabilities of AFTRS, then, at the transition time, the assets or liabilities cease to be assets or liabilities of AFC and become assets or liabilities of AFTRS without any conveyance, transfer or assignment. AFTRS becomes the successor in law in relation to those assets or liabilities.</p>

                <p>A determination made under subitem (3) is not a legislative instrument.</p>

                <p>If an asset that has become an asset of Screen Australia, NFSAA or AFTRS under this item was, immediately before the transition time, held by AFC on trust, that asset is taken, at and after the transition time, to be held by the body to which it is transferred on trust and subject to the terms of the trust on which the asset was so held by AFC.</p>

            <num>3</num>
            <heading>Transfer of assets and liabilities of FAL and FFC</heading>

              <num>1</num>
              <content>
                <p>This item applies to assets and liabilities of FAL and FFC immediately before the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-3__subclause-2">
              <num>2</num>
              <content>
                <p>At the transition time, the assets and liabilities cease to be assets and liabilities of FAL and FFC and become assets and liabilities of Screen Australia without any conveyance, transfer or assignment. Screen Australia becomes the successor in law in relation to those assets and liabilities.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-3__subclause-3">
              <num>3</num>
              <content>
                <p>If an asset that has become an asset of Screen Australia under this item was, immediately before the transition time, held by FAL and FFC on trust, that asset is taken, at and after the transition time, to be held by Screen Australia on trust and subject to the terms of the trust on which the asset was so held by FAL and FFC.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-4">
            <num>4</num>
            <heading>Certificates relating to vesting of land</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-4__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-4__para-a">
              <num>a</num>
              <content>
                <p>any land vests in Screen Australia, NFSAA or AFTRS under item 2 or 3; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-4__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with a land registration official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-4__para-i">
              <num>i</num>
              <content>
                <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-4__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the land, whether by reference to a map or otherwise; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-4__para-iii">
              <num>iii</num>
              <content>
                <p>states that the land has become vested in Screen Australia, NFSAA or AFTRS under this Act.</p>
              </content>
            </paragraph>

              <num>2</num>
              <content>
                <p>The land registration official may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-4__para-a">
              <num>a</num>
              <content>
                <p>register the matter in a way that is the same as, or similar to, the way in which dealings in land of that kind are registered; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-4__para-b">
              <num>b</num>
              <content>
                <p>deal with, and give effect to, the certificate.</p>
              </content>
            </paragraph>

                <p>A certificate made under subitem (1) is not a legislative instrument.</p>
              </content>

              <p><b><i>land registration official</i></b>, in relation to land, means the Registrar of Titles or other proper officer of the State or Territory in which the land is situated.</p>

            <heading>Certificates for vesting of assets other than land</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-5__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-5__para-a">
              <num>a</num>
              <content>
                <p>an asset other than land becomes an asset of Screen Australia, NFSAA or AFTRS under item 2 or 3; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-5__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with an assets official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-5__para-i">
              <num>i</num>
              <content>
                <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-5__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the asset; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-5__para-iii">
              <num>iii</num>
              <content>
                <p>states that the asset has become vested in Screen Australia, NFSAA or AFTRS under this Act.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-5__subclause-2">
              <num>2</num>
              <content>
                <p>The assets official may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-5__para-a">
              <num>a</num>
              <content>
                <p>deal with, and give effect to, the certificate as if it were a proper and appropriate instrument for transactions in relation to assets of that kind; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-5__para-b">
              <num>b</num>
              <content>
                <p>make such entries in the register in relation to assets of that kind as are necessary, having regard to the effect of this Part.</p>
              </content>
            </paragraph>

                <p>A certificate made under subitem (1) is not a legislative instrument.</p>
              </content>
            </hcontainer>

                <p>In this item:</p>
              </content>
            </hcontainer>
            <content>
              <p><b><i>assets official</i></b>, in relation to an asset other than land, means the person or authority who, under a law of the Commonwealth, a State or a Territory, under a trust instrument or otherwise, has responsibility for keeping a register in relation to assets of the kind concerned.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-6">
            <num>6</num>
            <heading>Certificates taken to be authentic</heading>
            <content>
              <p>A document that appears to be a certificate made under item 4 or 5:</p>
              <p>unless the contrary is established.</p>
            </content>
            <paragraph eId="schedule-2__clause-6__para-a">
              <num>a</num>
              <content>
                <p>is taken to be such a certificate; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-6__para-b">
              <num>b</num>
              <content>
                <p>is taken to have been properly given;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-7">
            <num>7</num>
            <heading>Exemption from stamp duty and other State or Territory taxes</heading>

              <content>
                <p>No stamp duty or other tax is payable under a law of a State or a Territory in respect of an exempt matter, or anything connected with an exempt matter.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-2">
              <num>2</num>
              <content>
                <p>(2)	For the purposes of this item, an <b><i>exempt matter</i></b> is:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-7__para-a">
              <num>a</num>
              <content>
                <p>the vesting of an asset or liability under item 2 or 3; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-7__para-b">
              <num>b</num>
              <content>
                <p>the operation of this Schedule in any other respect.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may certify in writing:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-7__para-a">
              <num>a</num>
              <content>
                <p>that a specified matter is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-7__para-b">
              <num>b</num>
              <content>
                <p>that a specified thing was connected with a specified exempt matter.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-4">
              <num>4</num>
              <content>
                <p>In all courts, and for all purposes (other than for the purposes of criminal proceedings), a certificate under subitem (3) is prima facie evidence of the matters stated in the certificate.</p>
              </content>

              <num>5</num>
              <content>
                <p>A certificate made under subitem (3) is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-8">
            <num>8</num>
            <heading>Termination of office holders of FAL and FFC</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-1">
              <num>1</num>
              <content>
                <p>Before the transition time, <role refersTo="#minister">the Minister</role> may, in writing:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-8__para-a">
              <num>a</num>
              <content>
                <p>terminate the appointment, engagement or employment of any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-8__para-i">
              <num>i</num>
              <content>
                <p>a director of FAL or FFC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-8__para-ii">
              <num>ii</num>
              <content>
                <p>the Managing Director/Chief Executive of FAL;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-8__para-iii">
              <num>iii</num>
              <content>
                <p>the Chief Executive of FFC; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-8__para-b">
              <num>b</num>
              <content>
                <p>terminate any contract, agreement or other instrument relating to that appointment, engagement or employment; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-8__para-c">
              <num>c</num>
              <content>
                <p>make provision in relation to a termination under paragraph (a) or (b).</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	The appointment of a member of AFC and the Chief Executive Officer of AFC is terminated at the transition time because of the repeal of the <i>Australian Film Commission Act 1975</i> (see item 1 of Schedule 1 to this Act).</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-2">
              <num>2</num>
              <content>
                <p>An instrument made under subitem (1) has effect accordingly and takes effect immediately before the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-3">
              <num>3</num>
              <content>
                <p>An instrument made under subitem (1) is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-9">
            <num>9</num>
            <heading>No transfer of appointment, engagement or employment etc. of office holders</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-9__subclause-1">
              <num>1</num>
              <content>
                <p>Nothing in this Act produces the result that the appointment, engagement or employment of an office holder has effect at or after the transition time as if it were an appointment, engagement or employment of the office holder in relation to Screen Australia, NFSAA or AFTRS.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-9__subclause-2">
              <num>2</num>
              <content>
                <p>Nothing in this Act produces the result that a contract, agreement or other instrument relating to the appointment, engagement or employment of an office holder has effect at or after the transition time as if it were a contract, agreement or instrument made by, or in relation to, Screen Australia, NFSAA or AFTRS.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-9__subclause-3">
              <num>3</num>
              <content>
                <p>In this item:</p>
              </content>
            </hcontainer>
            <content>
              <p><b><i>office holder</i></b> means the following:</p>
            </content>
            <paragraph eId="schedule-2__clause-9__para-a">
              <num>a</num>
              <content>
                <p>a member of AFC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-9__para-b">
              <num>b</num>
              <content>
                <p>the Chief Executive Officer of AFC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-9__para-c">
              <num>c</num>
              <content>
                <p>a director of FAL or FFC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-9__para-d">
              <num>d</num>
              <content>
                <p>the Managing Director/Chief Executive of FAL;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-9__para-e">
              <num>e</num>
              <content>
                <p>the Chief Executive of FFC.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-10">
            <num>10</num>
            <heading>Non-APS employees in AFC transferred to Screen Australia as non-APS employees</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person who:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-10__para-a">
              <num>a</num>
              <content>
                <p>	(a)	is an officer appointed, or employee engaged, by AFC under subsection 29(1) of the <i>Australian Film Commission Act 1975</i> immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-10__para-b">
              <num>b</num>
              <content>
                <p>is not covered by a determination that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-10__para-i">
              <num>i</num>
              <content>
                <p>	(i)	is made under <i>Public Service Act 1999</i>; and<ref href="#sec-72">section 72</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-10__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	causes the person, at the transition time, to become a member of the staff of NFSAA engaged under the <i>Public Service Act 1999</i>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-2">
              <num>2</num>
              <content>
                <p>(2)	At the transition time, the person ceases to be appointed or engaged by AFC and is taken to have been employed by Screen Australia under subsection 31(2) of the <i>Screen Australia Act 2008</i>.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	This item does not deal with the transfer of staff of AFC who are APS employees. Those employees will be transferred to Screen Australia, NFSAA or AFTRS by a determination made under <i>Public Service Act 1999</i>.<ref href="#sec-72">section 72</ref> of the </p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-3">
              <num>3</num>
              <content>
                <p>The person is taken to have accrued an entitlement to benefits, in connection with that employment by Screen Australia, that is equivalent to the entitlement that the person had as an officer or employee of AFC immediately before the transition time.</p>

            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-4">
              <num>4</num>
              <content>
                <p>The service of the person as an employee of Screen Australia is taken, for all purposes, to be continuous with his or her service as an officer or employee of AFC.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-11">
            <num>11</num>
            <heading>Non-APS employees in AFC transferred to NFSAA as APS employees</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-11__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person who:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-11__para-a">
              <num>a</num>
              <content>
                <p>	(a)	is an officer appointed, or employee engaged, by AFC under subsection 29(1) of the <i>Australian Film Commission Act 1975</i> immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-11__para-b">
              <num>b</num>
              <content>
                <p>is covered by a determination that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-11__para-i">
              <num>i</num>
              <content>
                <p>	(i)	is made under <i>Public Service Act 1999</i>; and<ref href="#sec-72">section 72</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-11__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	causes the person, at the transition time, to become a member of the staff of NFSAA engaged under the <i>Public Service Act 1999</i>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-11__subclause-2">
              <num>2</num>
              <content>
                <p>(2)	The person is taken to have accrued an entitlement to benefits, in connection with becoming a member of the staff of NFSAA engaged under the <i>Public Service Act 1999</i>, that is equivalent to the entitlement that the person had as an officer or employee of AFC immediately before the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-11__subclause-3">
              <num>3</num>
              <content>
                <p>(3)	The service of the person as a member of the staff of NFSAA engaged under the <i>Public Service Act 1999</i> is taken, for all purposes, to have been continuous with his or her service as an officer or employee of AFC.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-12">
            <num>12</num>
            <heading>APS employees in AFC transferred to AFTRS as employees of AFTRS</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-12__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person who:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-12__para-a">
              <num>a</num>
              <content>
                <p>	(a)	is a member of the staff of AFC engaged under the <i>Public Service Act 1999</i> immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-12__para-b">
              <num>b</num>
              <content>
                <p>	(b)	is covered by a determination made under <i>Public Service Act 1999</i> that causes the person, at the transition time:<ref href="#sec-72">section 72</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-12__para-i">
              <num>i</num>
              <content>
                <p>	(i)	to cease to be engaged under the <i>Public Service Act 1999</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-12__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	to become an employee of AFTRS under <i>Australian Film, Television and Radio School Act 1973</i>.<ref href="#sec-34">section 34</ref> of the </p>
              </content>
            </paragraph>

              <num>2</num>
              <content>
                <p>(2)	The person is taken to have accrued an entitlement to benefits, in connection with becoming an employee of AFTRS, that is equivalent to the entitlement that the person had as a member of the staff of AFC engaged under the <i>Public Service Act 1999 </i>immediately before the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-12__subclause-3">
              <num>3</num>
              <content>
                <p>(3)	The service of the person as an employee of AFTRS is taken, for all purposes, to have been continuous with his or her service as a member of the staff of AFC engaged under the <i>Public Service Act 1999</i>.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-13">
            <num>13</num>
            <heading>Non-APS employees in FAL or FFC on contract of employment transferred to Screen Australia as non-APS employees</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-13__para-a">
              <num>a</num>
              <content>
                <p>the person is employed by FAL or FFC, on a contract of employment, immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-b">
              <num>b</num>
              <content>
                <p>	(b)	<i>Workplace Relations Act 1996</i> do not apply to the contract of employment; and<ref href="#part-11">Part 11</ref> of, and Schedule 9 to, the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-c">
              <num>c</num>
              <content>
                <p>the person is not covered by a determination that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-i">
              <num>i</num>
              <content>
                <p>	(i)	is made under <i>Public Service Act 1999</i>; and<ref href="#sec-72">section 72</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	causes the person, at the transition time, to become a member of the staff of Screen Australia engaged under the <i>Public Service Act 1999</i>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-2">
              <num>2</num>
              <content>
                <p>(2)	At the transition time, the person ceases to be employed by FAL or FFC and is taken to have been employed by Screen Australia under subsection 31(2) of the <i>Screen Australia Act 2008</i>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-3">
              <num>3</num>
              <content>
                <p>The contract of employment continues in force at and after the transition time as if it were a contract of employment between the person and Screen Australia.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-4">
              <num>4</num>
              <content>
                <p>The person is taken to have accrued an entitlement to benefits, in connection with that employment by Screen Australia, that is equivalent to the entitlement that the person had as an employee of FAL or FFC immediately before the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-5">
              <num>5</num>
              <content>
                <p>The service of the person as an employee of Screen Australia is taken, for all purposes, to have been continuous with his or her service as an employee of FAL or FFC.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-6">
              <num>6</num>
              <content>
                <p>This item does not prevent the contract of employment of the person from being varied after the transition time:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-13__para-a">
              <num>a</num>
              <content>
                <p>in accordance with that contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-b">
              <num>b</num>
              <content>
                <p>by or under a law, award, determination or agreement.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-13__subclause-7">

                <p>To avoid doubt, this item does not apply to the following:</p>

                <p>omitting any of the terms and conditions of the contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-b">

                <p>adding to the terms and conditions of the contract; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-13__para-c">
              <num>c</num>
              <content>
                <p>substituting new terms or conditions for any of the terms and conditions of the contract.</p>

            </paragraph>

            <heading>Non-APS employees in FAL not on contract of employment transferred to Screen Australia as non-APS employees</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-14__subclause-1">
              <num>1</num>

                <p>This item applies to a person if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-14__para-a">
              <num>a</num>
              <content>
                <p>the person is employed by FAL immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-14__para-b">
              <num>b</num>
              <content>
                <p>item 13 does not apply to the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-14__para-c">
              <num>c</num>
              <content>
                <p>the person is not covered by a determination that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-14__para-i">
              <num>i</num>

                <p>The service of the person as an employee of Screen Australia is taken, for all purposes, to have been continuous with his or her service as an employee of FAL.</p>

              <num>5</num>
              <content>
                <p>To avoid doubt, this item does not apply to the following:</p>

                <p>This item applies to a person who:</p>

            <paragraph eId="schedule-2__clause-15__para-a">

                <p>is employed by FAL or FFC, on a contract of employment or otherwise, immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-b">
              <num>b</num>
              <content>
                <p>is covered by a determination that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-i">
              <num>i</num>
              <content>
                <p>	(i)	is made under <i>Public Service Act 1999</i>; and<ref href="#sec-72">section 72</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	causes the person, at the transition time, to become a member of the staff of Screen Australia engaged under the <i>Public Service Act 1999</i>.</p>

                <p>(2)	The person is taken to have accrued an entitlement to benefits, in connection with becoming a member of the staff of Screen Australia engaged under the <i>Public Service Act 1999</i>, that is equivalent to the entitlement that the person had as an employee of FAL or FFC immediately before the transition time.</p>

            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-15__subclause-3">
              <num>3</num>
              <content>
                <p>(3)	The service of the person as a member of the staff of Screen Australia engaged under the <i>Public Service Act 1999</i> is taken, for all purposes, to have been continuous with his or her service as an employee of FFC and FAL.</p>

            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-16">
            <num>16</num>
            <heading>Limited transfer of appointment, engagement or employment etc. of staff</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-16__subclause-1">
              <num>1</num>
              <content>
                <p>Nothing in this Act (except items 10, 13, and 14) produces the result that the appointment, engagement or employment of a person by AFC, FAL or FFC immediately before the transition time has effect at or after the transition time as if it were an appointment, engagement or employment by Screen Australia, NFSAA or AFTRS.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	See determinations under <i>Public Service Act 1999</i> and regulations made under this Act for the transfer of the appointment, engagement or employment of persons not covered by items 10, 13 and 14.<ref href="#sec-72">section 72</ref> of the </p>

              <p>To avoid doubt, a person who ceases to be an officer or employee of AFC, FAL or FFC by the operation of this Part is not entitled to receive any payment or other benefit merely because he or she stopped being such an officer or employee.</p>

            <heading>Long service leave for staff of Screen Australia and NFSAA</heading>

                <p>This item applies to a person if:</p>

            </hcontainer>
            <paragraph eId="schedule-2__clause-18__para-a">
              <num>a</num>
              <content>
                <p>immediately before the transition time, the person is:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-18__para-i">
              <num>i</num>
              <content>
                <p>	(i)	an officer appointed, or employee engaged, by AFC under subsection 29(1) of the <i>Australian Film Commission Act 1975</i>; or</p>

                <p>employed by FAL or FFC; and</p>

            </paragraph>

                <p>failed to take all reasonable steps to comply with the requirement, or secure compliance with the requirement;</p>

            </paragraph>
            <content>
              <p>contravenes this subitem.</p>
              <p><b><i>final annual reporting requirement</i></b> means subitem 19(1), (3) or (5) of this Schedule.</p>

            <heading>Directors’ obligations—FAL and FFC</heading>

              <p>Subsection 601AD(5) of the <i>Corporations Act 2001 </i>has effect at and after the transition time in relation to FAL and FFC as if the reference to the directors of the company immediately before deregistration were a reference to Screen Australia.</p>

            <num>36</num>
            <heading>Transfer of appropriated money</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-36__subclause-1">
              <num>1</num>

                <p>For the purposes of the operation of an Appropriation Act after the transition time, the Finance Minister may determine, by legislative instrument, that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-36__para-a">
              <num>a</num>
              <content>
                <p>one part of the amount referred to in that Act that relates to AFC is to be read as the amount that relates to Screen Australia; and</p>
              </content>
            </paragraph>

              <num>b</num>
              <content>
                <p>the other part of the amount referred to in that Act that relates to AFC is to be read as the amount that relates to NFSAA.</p>

                <p>If the operation of this Act would result in an acquisition of property from a person otherwise than on just terms, the Commonwealth is liable to pay a reasonable amount of compensation to the person.</p>

              <p>Amending laws are annotated in the legislation history and amendment history.</p>
              <p>The legislation history in endnote 3 provides information about each law that has amended (or will amend) the compiled law. The information includes commencement details for amending laws and details of any application, saving or transitional provisions that are not included in this compilation.</p>
              <p>The amendment history in endnote 4 provides information about amendments at the provision (generally section or equivalent) level. It also includes information about any provision of the compiled law that has been repealed in accordance with a provision of the law.</p>

                <b>Editorial changes</b>
              </p>
              <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
              <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                <b>Misdescribed amendments</b>
              </p>
              <p>A misdescribed amendment is an amendment that does not accurately describe the amendment to be made. If, despite the misdescription, the amendment can be given effect as intended, the amendment is incorporated into the compiled law and the abbreviation “(md)” added to the details of the amendment included in the amendment history.</p>
              <p>If a misdescribed amendment cannot be given effect as intended, the abbreviation “(md not incorp)” is added to the details of the amendment included in the amendment history.</p>
