            <p>		This Act may be cited as the <i>Climate Change Authority Act 2011</i>.</p>
          </content>
        </section>

          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Simplified outline</heading>

            <p>The following is a simplified outline of this Act:</p>
            <p>•	This Act establishes the Climate Change Authority.</p>
            <p>•	<role refersTo="#authority">The Authority</role> is to conduct reviews under:</p>

              <p>	(a)	the <i>Carbon Credits (Carbon Farming Initiative) Act 2011</i>; and</p>

              <p>	(b)	the <i>National Greenhouse and Energy Reporting Act 2007</i>; and</p>
            </content>
          </paragraph>

              <p>this Act.</p>
            </content>
            <content>
              <p>•	The Authority is to give advice under the <i>Climate Change Act 2022</i>.</p>
              <p>•	This Act establishes the Land Sector Carbon and Biodiversity Board.</p>
              <p>•	The Board is to advise the Environment Minister, the Climate Change Minister and the Agriculture Minister about climate change measures that relate to the land sector.</p>

          </paragraph>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-agriculture-minister">Agriculture Minister</term> means <def>the Minister administering Part 2 of the Natural Resources Management (Financial Assistance) Act 1992.</def></p>
            <p><term refersTo="#term-associate-authority-member">associate Authority member</term> means <def>an associate member of the Authority.</def></p>
            <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-authority">Authority</term> means <def>the Climate Change Authority.</def></p>
              <p><term refersTo="#term-authority-member">Authority member</term> means <def>a member of the Authority, but does not include an associate Authority member.</def></p>
              <p><term refersTo="#term-biodiversity-fund-program-measure">Biodiversity Fund program measure</term> means <def>a measure that has been, is being, or may be, funded by the program known as the Biodiversity Fund program.</def></p>
              <p><term refersTo="#term-board">Board</term> means <def>the Land Sector Carbon and Biodiversity Board.</def></p>
              <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board, and includes the Chair of the Board.</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the Authority.</def></p>
              <p><term refersTo="#term-climate-change-department">Climate Change Department</term> means <def>the Department administered by the Climate Change Minister.</def></p>
              <p><term refersTo="#term-climate-change-minister">Climate Change Minister</term> means <def>the Minister administering this Act.</def></p>
              <p><term refersTo="#term-environment-department">Environment Department</term> means <def>the Department administered by the Environment Minister.</def></p>
              <p><term refersTo="#term-environment-minister">Environment Minister</term> means <def><ref class="unresolved">the Minister administering the Environment Protection and Biodiversity Conservation Act 1999</ref>.</def></p>
              <p><term refersTo="#term-greenhouse-gas">greenhouse gas</term> has the same meaning as <def>in <ref href="">the National Greenhouse and Energy Reporting Act 2007</ref>.</def></p>
              <p><term refersTo="#term-paris-agreement">Paris Agreement</term> means <def>the Paris Agreement, done at Paris on 12 December 2015, as amended and in force for Australia from time to time.</def></p>
              <p><term refersTo="#term-staff-of-the-authority">staff of the Authority</term> means <def>the staff described in <ref href="#sec-52">section 52</ref>.</def></p>

          <num>6</num>
          <heading>Crown to be bound</heading>
          <subsection eId="part-1__sec-6__subsec-1">
            <num>1</num>
            <content>
              <p>This Act binds the Crown in each of its capacities.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-6__subsec-2">
            <num>2</num>
            <content>
              <p>This Act does not make the Crown liable to a pecuniary penalty or to be prosecuted for an offence.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>The protection in subsection (2) does not apply to an authority of the Crown.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-1__sec-7">
          <num>7</num>
          <heading>Extension to external Territories</heading>
          <content>
            <p>This Act extends to every external Territory.</p>
          </content>
        </section>
        <section eId="part-1__sec-8">
          <num>8</num>
          <heading>Extension to exclusive economic zone and continental shelf</heading>
          <content>
            <p>This Act extends to a matter relating to the exercise of Australia’s sovereign rights in the exclusive economic zone or the continental shelf.</p>
          </content>
        </section>
        <section eId="part-1__sec-9">
          <num>9</num>
          <heading>Extension to Greater Sunrise special regime area</heading>
          <subsection eId="part-1__sec-9__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	Despite subsection 13AB(1) of the <i>Seas and Submerged Lands Act 1973</i>, this Act extends to acts, omissions, matters and things directly or indirectly connected with the exploration of, or exploitation of the natural resources of, the continental shelf in the Greater Sunrise special regime area (within the meaning of that Act).</p>

              <p>This section does not limit <ref href="#sec-8">section 8</ref>.</p>

                <p>The Climate Change Authority is established by this section.</p>

                  <p><role refersTo="#authority">the Authority</role> is a listed entity; and</p>
                </content>
              </paragraph>

                  <p><role refersTo="#ceo">the CEO</role> is the accountable authority of <role refersTo="#authority">the Authority</role>; and</p>

                  <p>the following persons are officials of <role refersTo="#authority">the Authority</role>:</p>

                  <p><role refersTo="#ceo">the CEO</role>;</p>
                </content>
              </paragraph>

                  <p>the purposes of <role refersTo="#authority">the Authority</role> include the functions of <role refersTo="#authority">the Authority</role> referred to in section 11.</p>

              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-1__sec-11">
            <num>11</num>
            <heading>Functions of the Authority</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role> has the following functions:</p>
            </content>
            <paragraph eId="part-2__dvs-1__sec-11__para-a">
              <num>a</num>
              <content>
                <p>to conduct reviews under:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	<i>Carbon Credits (Carbon Farming Initiative) Act 2011</i>; and<ref href="#sec-306">section 306</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-iii">
              <num>iii</num>
              <content>
                <p>	(iii)	sections 76A and 76B of the <i>National Greenhouse and Energy Reporting Act 2007</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-v">
              <num>v</num>
              <content>
                <p><ref href="#part-3">Part 3</ref> of this Act;</p>
              </content>
            </paragraph>

                <p>if requested to do so by the Climate Change Minister, to assist the Climate Change Minister in preparing the Commonwealth Government’s response to recommendations set out in a report of such a review;</p>
              </content>
            </paragraph>

              <num>ba</num>
              <content>
                <p>	(ba)	to give advice under Part 4 of the <i>Climate Change Act 2022</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-c">
              <num>c</num>
              <content>
                <p>to conduct research about matters relating to climate change;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-d">
              <num>d</num>
              <content>
                <p>to conduct research for purposes in connection with the performance of any of <role refersTo="#authority">the Authority</role>’s functions;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-e">
              <num>e</num>
              <content>
                <p>such other functions as are conferred on <role refersTo="#authority">the Authority</role> by this Act;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-f">
              <num>f</num>
              <content>
                <p>such functions as are conferred on <role refersTo="#authority">the Authority</role> by any other law of the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-11__para-g">
              <num>g</num>
              <content>
                <p>to do anything incidental to or conducive to the performance of any of the above functions.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-1__sec-12">
            <num>12</num>
            <heading>Authority must have regard to certain principles</heading>
            <content>
              <p>In performing its functions, <role refersTo="#authority">the Authority</role> must have regard to the following principles:</p>
            </content>
            <paragraph eId="part-2__dvs-1__sec-12__para-a">
              <num>a</num>
              <content>
                <p>the principle that any measures to respond to climate change should:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-i">
              <num>i</num>
              <content>
                <p>be economically efficient; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-ii">
              <num>ii</num>
              <content>
                <p>be environmentally effective; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-iii">
              <num>iii</num>
              <content>
                <p>be equitable; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-iv">
              <num>iv</num>
              <content>
                <p>be in the public interest; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-v">
              <num>v</num>
              <content>
                <p>take account of the impact on households, business, workers and communities; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-vi">
              <num>vi</num>
              <content>
                <p>support the development of an effective global response to climate change; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-vii">
              <num>vii</num>
              <content>
                <p>be consistent with Australia’s foreign policy and trade objectives; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-viii">
              <num>viii</num>
              <content>
                <p>take account of the matters set out in Article 2 of the Paris Agreement; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-ix">
              <num>ix</num>
              <content>
                <p>boost economic, employment and social benefits, including for rural and regional Australia;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-12__para-b">
              <num>b</num>
              <content>
                <p>such other principles (if any) as <role refersTo="#authority">the Authority</role> considers relevant.</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-2__dvs-1__sec-13">
            <num>13</num>
            <heading>Powers of the Authority</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role> has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

                <p>Each Authority member (other than the Chief Scientist) is to be appointed by the Climate Change Minister by written instrument.</p>

            </subsection>

                <p>A person is not eligible for appointment as an Authority member (other than the Chief Scientist) unless the Climate Change Minister is satisfied that the person has:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-18__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>substantial experience or knowledge; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-18__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>significant standing;</p>
                </content>
                <content>
                  <p>in at least one of the following fields:</p>
                </content>
              </paragraph>

                  <p>climate science;</p>
                </content>
              </paragraph>

                <p>The Chief Scientist holds office on a part-time basis.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-18__subsec-5">

              <content>
                <p>This Act does not prevent the same person from holding office as the Chair and as <role refersTo="#ceo">the CEO</role>.</p>
              </content>
            </subsection>

                <p>A person must not hold office as an Authority member (other than the Chair) and as <role refersTo="#ceo">the CEO</role>.</p>

            </subsection>
          </section>

            <heading>Period of appointment for Authority members</heading>
            <content>
              <p>An Authority member (other than the Chief Scientist) holds office for the period specified in the instrument of appointment. The period must not exceed 5 years.</p>

                  <p>during a vacancy in the office of the Chair of <role refersTo="#authority">the Authority</role> (whether or not an appointment has previously been made to the office); or</p>

            <heading>Deputy of the Chief Scientist</heading>

              <p>Appointment</p>
            </content>

                <p>The Chief Scientist may appoint an SES employee to be his or her deputy for the purposes of attendance at one or more specified meetings of <role refersTo="#authority">the Authority</role>.</p>

                <p>Termination of appointment</p>

                <p>The Chief Scientist may terminate the appointment of a person as his or her deputy.</p>
              </content>
              <content>
                <p>Resignation</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-21__subsec-3">
              <num>3</num>
              <content>
                <p>A deputy of the Chief Scientist may resign his or her appointment by giving the Chief Scientist a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-21__subsec-4">
              <num>4</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Chief Scientist or, if a later day is specified in the resignation, on that later day.</p>
              </content>
              <content>
                <p>Attendance at meeting of <role refersTo="#authority">the Authority</role></p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-21__subsec-5">
              <num>5</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-21__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>a person is the deputy of the Chief Scientist for the purposes of attendance at a particular meeting of <role refersTo="#authority">the Authority</role>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-21__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the Chief Scientist is absent from the meeting;</p>
                </content>
                <content>
                  <p>the person is entitled to attend the meeting and, when so attending, is taken to be an Authority member.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-21__subsec-6">
              <num>6</num>
              <content>
                <p>A deputy of the Chief Scientist is not entitled to any remuneration or allowances for attending a meeting of <role refersTo="#authority">the Authority</role> (other than remuneration or allowances payable to the deputy in his or her capacity as an SES employee).</p>

              <content>
                <p>Subdivision C—Associate Authority members</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-22">
            <num>22</num>
            <heading>Appointment of associate Authority members</heading>
            <subsection eId="part-2__dvs-2__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>The Climate Change Minister may appoint as many associate members of <role refersTo="#authority">the Authority</role> as the Climate Change Minister thinks fit.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) has effect subject to subsection (7).</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-22__subsec-3">
              <num>3</num>
              <content>
                <p>Each associate Authority member is to be appointed by the Climate Change Minister by written instrument.</p>
              </content>

                <p>A person is not eligible for appointment as an associate Authority member unless the Climate Change Minister is satisfied that the person has:</p>

                <p>An associate Authority member may be appointed as a full-time associate Authority member or as a part-time associate Authority member.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-22__subsec-6">
              <num>6</num>
              <content>
                <p>An associate Authority member’s instrument of appointment must contain a statement to the effect that the associate Authority member’s appointment relates to a specified review.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-22__subsec-7">
              <num>7</num>
              <content>
                <p>The Climate Change Minister must ensure that not more than one associate Authority member is appointed for a particular review.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-23">
            <num>23</num>
            <heading>Period of appointment for associate Authority members</heading>
            <subsection eId="part-2__dvs-2__sec-23__subsec-1">
              <num>1</num>
              <content>
                <p>An associate Authority member holds office for the period:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-23__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>beginning at the time specified in his or her instrument of appointment; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-23__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>ending:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-23__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>at the end of the day of the completion of the report of the review specified in his or her instrument of appointment; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-23__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>if the instrument of appointment specifies that the associate Authority member is to remain in office for a specified period beginning at the end of the day of the completion of the report of the review—at the end of that period.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-23__subsec-2">
              <num>2</num>
              <content>
                <p>For the purposes of subsection (1), a review is completed when the report of the review is given to the Climate Change Minister who is responsible for causing the report to be tabled in each House of the Parliament.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-23__subsec-3">
              <num>3</num>
              <content>
                <p>A period specified under subparagraph (1)(b)(ii) must not be longer than 180 days.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-24">
            <num>24</num>
            <heading>Acting appointments—associate Authority members</heading>
            <subsection eId="part-2__dvs-2__sec-24__subsec-1">
              <num>1</num>
              <content>
                <p>The Climate Change Minister may appoint a person to act as an associate Authority member during any period, or during all periods, when an associate Authority member:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-24__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>is acting as an Authority member; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-24__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-24__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>is, for any reason, unable to perform the duties of the office.</p>
                </content>
                <content>
                  <p>Eligibility</p>
                </content>
              </paragraph>

              <content>
                <p>An Authority member (other than the Chief Scientist) or associate Authority member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, an Authority member or associate Authority member is to be paid the remuneration that is prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p>An Authority member (other than the Chief Scientist) or associate Authority member is to be paid the allowances that are prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-3">

              <content>
                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

            </subsection>

            <heading>Disclosure of interests to the Climate Change Minister</heading>
            <subsection eId="part-2__dvs-3__sec-26__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by an Authority member or an associate Authority member under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Climate Change Minister.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-26__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-26__subsec-3">

                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, an Authority member or an associate Authority member is taken not to have complied with section 29 of that Act if the member does not comply with subsection (1) of this section.</p>

          </section>

            <heading>Outside employment</heading>
            <subsection eId="part-2__dvs-3__sec-28__subsec-1">
              <num>1</num>
              <content>
                <p>A full-time Authority member or full-time associate Authority member must not engage in paid employment outside the duties of his or her office without the Climate Change Minister’s approval.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-28__subsec-2">
              <num>2</num>
              <content>
                <p>A part-time Authority member or part-time associate Authority member must not engage in any paid employment that conflicts or may conflict with the proper performance of his or her duties.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-29">
            <num>29</num>
            <heading>Leave of absence</heading>
            <subsection eId="part-2__dvs-3__sec-29__subsec-1">
              <num>1</num>
              <content>
                <p>A full-time Authority member or full-time associate Authority member has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-29__subsec-2">
              <num>2</num>
              <content>
                <p>The Climate Change Minister may grant leave of absence, other than recreation leave, to a full-time Authority member or full-time associate Authority member on the terms and conditions as to remuneration or otherwise that the Climate Change Minister determines.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-29__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair of <role refersTo="#authority">the Authority</role> may grant leave of absence to a part-time Authority member (other than the Chief Scientist) or part-time associate Authority member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-30">
            <num>30</num>
            <heading>Resignation</heading>
            <subsection eId="part-2__dvs-3__sec-30__subsec-1">
              <num>1</num>
              <content>
                <p>An Authority member (other than the Chief Scientist) or associate Authority member may resign his or her appointment by giving the Climate Change Minister a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Climate Change Minister or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-31">
            <num>31</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-2__dvs-3__sec-31__subsec-1">
              <num>1</num>
              <content>
                <p>The Climate Change Minister may terminate the appointment of an Authority member (other than the Chief Scientist) or associate Authority member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-31__subsec-2">
              <num>2</num>
              <content>
                <p>The Climate Change Minister may terminate the appointment of an Authority member (other than the Chief Scientist) or associate Authority member if:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#authority">the Authority</role> member or associate Authority member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#authority">the Authority</role> member or associate Authority member is a full-time Authority member or full-time associate Authority member—<role refersTo="#authority">the Authority</role> member or associate Authority member engages, except with the Climate Change Minister’s approval, in paid employment outside the duties of his or her office (see section 28); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-31__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>if <role refersTo="#authority">the Authority</role> member or associate Authority member is a part-time Authority member or part-time associate Authority member—<role refersTo="#authority">the Authority</role> member or associate Authority member engages in paid employment that conflicts or may conflict with the proper performance of his or her duties (see section 28); or</p>
                </content>
              </paragraph>

                  <p>	(d)	the Authority member or associate Authority member fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purpose of that section; or<ref href="#sec-29">section 29</ref> of the </p>

                  <p><role refersTo="#authority">the Authority</role> member or associate Authority member is absent, except on leave of absence, from 3 consecutive meetings of <role refersTo="#authority">the Authority</role>.</p>

              </paragraph>
            </subsection>

              <num>3</num>
              <content>
                <p>The only meetings that are to be taken into account for the purpose of the application of paragraph (2)(e) to an associate Authority member, are meetings that the associate Authority member was entitled to attend (see <ref href="#sec-36">section 36</ref>).</p>

            </subsection>
          </section>

            <heading>Other terms and conditions</heading>
            <content>
              <p>An Authority member (other than the Chief Scientist) or associate Authority member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the Climate Change Minister.</p>

          <heading>Decision-making by the Authority</heading>

                <p><role refersTo="#authority">The Authority</role> is to hold such meetings as are necessary for the performance of its functions.</p>

            </subsection>

                <p>The Chair of <role refersTo="#authority">the Authority</role> may convene a meeting at any time.</p>
              </content>
            </subsection>

            <heading>Presiding at meetings</heading>
            <subsection eId="part-2__dvs-4__sec-34__subsec-1">

                <p>The Chair of <role refersTo="#authority">the Authority</role> presides at all meetings at which he or she is present.</p>

            </subsection>
            <subsection eId="part-2__dvs-4__sec-34__subsec-2">

                <p>If the Chair of <role refersTo="#authority">the Authority</role> is not present at a meeting, <role refersTo="#authority">the Authority</role> members present must appoint one of themselves to preside.</p>

            <heading>Quorum</heading>
            <content>
              <p>At a meeting of <role refersTo="#authority">the Authority</role>, 5 Authority members constitute a quorum.</p>

            <heading>Participation etc. by associate Authority members at meetings</heading>
            <subsection eId="part-2__dvs-4__sec-36__subsec-1">

                <p>An associate Authority member is entitled to attend, and participate in discussions at, a meeting of <role refersTo="#authority">the Authority</role> while the meeting is considering a matter connected with:</p>

                <num>a</num>
                <content>
                  <p>a review specified in the associate Authority member’s instrument of appointment; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-36__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>assisting the Climate Change Minister to prepare the Commonwealth Government’s response to recommendations set out in a report of a review specified in the associate Authority member’s instrument of appointment.</p>

            </subsection>

                  <p><role refersTo="#authority">the Authority</role> members;</p>
                </content>
              </paragraph>

                  <p>if the question relates to a matter connected with:</p>
                </content>
              </paragraph>

                <p>The person presiding at a meeting has a deliberative vote and, in the event of an equality of votes, also has a casting vote.</p>

            <heading>Conduct of meetings</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role> may, subject to this Division, regulate proceedings at its meetings as it considers appropriate.</p>

                <p><role refersTo="#authority">The Authority</role> may, by writing, delegate any or all of its functions and powers to:</p>

                <p><role refersTo="#ceo">The CEO</role> has power to do all things necessary or convenient to be done for or in connection with the performance of his or her duties.</p>

              <content>
                <p><role refersTo="#ceo">The CEO</role> is to act in accordance with the policies determined, and any directions given, by <role refersTo="#authority">the Authority</role>.</p>

            <heading>Appointment</heading>
            <subsection eId="part-2__dvs-6__sec-43__subsec-1">

                <p><role refersTo="#ceo">The CEO</role> is to be appointed by the Climate Change Minister.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-43__subsec-2">
              <num>2</num>
              <content>
                <p>The appointment is to be made by written instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-43__subsec-3">
              <num>3</num>
              <content>
                <p>Before appointing a person as <role refersTo="#ceo">the CEO</role>, the Climate Change Minister must consult <role refersTo="#authority">the Authority</role>.</p>
              </content>
            </subsection>

              <content>
                <p><role refersTo="#ceo">The CEO</role> holds office on a full-time basis.</p>
              </content>
            </subsection>

                <p><role refersTo="#ceo">The CEO</role> holds office for the period specified in the instrument of appointment. The period must not exceed 5 years.</p>

                <p>The Climate Change Minister may appoint a person to act as <role refersTo="#ceo">the CEO</role>:</p>

                <content>
                  <p>during a vacancy in the office of <role refersTo="#ceo">the CEO</role> (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-44__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when <role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-44__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-44__subsec-1__para-ii">

                <content>
                  <p>is, for any reason, unable to perform the duties of the office.</p>
                </content>
              </paragraph>
            </subsection>

                <p>An appointment under subsection (1) is to be made by written instrument.</p>

            <heading>Remuneration</heading>
            <subsection eId="part-2__dvs-6__sec-46__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, <role refersTo="#ceo">the CEO</role> is to be paid the remuneration that is prescribed by the regulations.</p>

            </subsection>
            <subsection eId="part-2__dvs-6__sec-46__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> is to be paid the allowances that are prescribed by the regulations.</p>

            </subsection>

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

            </subsection>

            <heading>Leave</heading>
            <subsection eId="part-2__dvs-6__sec-47__subsec-1">

              <content>
                <p><role refersTo="#ceo">The CEO</role> has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-47__subsec-2">
              <num>2</num>
              <content>
                <p>The Climate Change Minister may grant <role refersTo="#ceo">the CEO</role> leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that the Climate Change Minister determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-6__sec-48">
            <num>48</num>
            <heading>Disclosure of interests to the Authority</heading>
            <subsection eId="part-2__dvs-6__sec-48__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by the CEO under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Authority.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-48__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-48__subsec-3">

              <content>
                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, the CEO is taken not to have complied with section 29 of that Act if the CEO does not comply with subsection (1) of this section.</p>

          </section>
          <section eId="part-2__dvs-6__sec-49">
            <num>49</num>
            <heading>Resignation</heading>
            <subsection eId="part-2__dvs-6__sec-49__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may resign his or her appointment by giving the Climate Change Minister a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-49__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Climate Change Minister or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-49__subsec-3">
              <num>3</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> resigns, the Climate Change Minister must notify <role refersTo="#authority">the Authority</role> of the resignation.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-6__sec-50">
            <num>50</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-2__dvs-6__sec-50__subsec-1">
              <num>1</num>
              <content>
                <p>The Climate Change Minister may terminate the appointment of <role refersTo="#ceo">the CEO</role> for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-6__sec-50__subsec-2">
              <num>2</num>
              <content>
                <p>The Climate Change Minister must terminate the appointment of <role refersTo="#ceo">the CEO</role> if:</p>
              </content>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#ceo">the CEO</role> is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>

              </paragraph>

                <content>
                  <p>	(c)	the CEO fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section; or<ref href="#sec-29">section 29</ref> of the </p>

              </paragraph>
              <paragraph eId="part-2__dvs-6__sec-50__subsec-2__para-d">

                  <p><role refersTo="#ceo">the CEO</role> engages, except with the approval of the Climate Change Minister, in paid employment outside the duties of his or her office (see section 45).</p>

            <heading>Other terms and conditions</heading>

              <p><role refersTo="#ceo">The CEO</role> holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the Climate Change Minister.</p>

          <heading>Staff of the Authority etc.</heading>

                <p>	(1)	The staff of the Authority are to be persons engaged under the <i>Public Service Act 1999</i>.</p>

                <p>	(2)	For the purposes of the <i>Public Service Act 1999</i>:</p>

                <p>by officers and employees of authorities of the Commonwealth; or</p>

                <p>give the report to the Climate Change Minister; and</p>
              </content>
            </paragraph>

                <p>as soon as practicable after giving the report to the Climate Change Minister, publish the report on <role refersTo="#authority">the Authority</role>’s website.</p>

              <p>The Climate Change Minister must cause copies of the report to be tabled in each House of the Parliament within 15 sitting days of that House after receiving the report.</p>

              <p>The report may set out recommendations to the Commonwealth Government.</p>

              <p>In formulating a recommendation that the Commonwealth Government should take particular action, <role refersTo="#authority">the Authority</role> must analyse the costs and benefits of that action.</p>

              <p>Subsection (4) does not prevent <role refersTo="#authority">the Authority</role> from taking other matters into account in formulating a recommendation.</p>

                  <p>establish, protect, manage, improve or restore levels of carbon sequestered in living biomass, or in dead organic matter, so far as that living biomass or dead organic matter, as the case may be, is in a biodiverse ecosystem;</p>

                  <p>to advise any or all of the relevant Ministers about any other matters that:</p>
                </content>

                  <p>are specified in a legislative instrument made by the Environment Minister; and</p>
                </content>
              </paragraph>

                  <p>relate to measures, or proposed measures, that assist the land sector to deal with climate change;</p>
                </content>
              </paragraph>

                  <p>to do anything incidental to or conducive to the performance of the above functions.</p>
                </content>
              </paragraph>
            </subsection>

                <p>	(2)	For the purposes of this section, each of the following is a <b><i>relevant Minister</i></b>:</p>

            <heading>Constitutional limits</heading>

              <p>The Board may perform its functions only:</p>
            </content>

                <p>for purposes related to external affairs, including:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-63__para-i">

                <p>for purposes related to giving effect to an international agreement to which Australia is a party; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-1__sec-63__para-ii">

                <p>for purposes related to addressing matters of international concern; or</p>
              </content>
            </paragraph>

                <p>for purposes related to the executive power of the Commonwealth; or</p>

                  <p>the convening of meetings of the Board;</p>
                </content>
              </paragraph>

                  <p>the number of Board members who are to constitute a quorum;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-68__subsec-1__para-c">

                  <p>the selection of a Board member to preside at meetings of the Board in the absence of the Chair of the Board;</p>

            <heading>Disclosure of interests to the Environment Minister and the Agriculture Minister</heading>

              <p>A Board member must give written notice to the Environment Minister and the Agriculture Minister of all interests, pecuniary or otherwise, that the Board member has or acquires and that conflict or could conflict with the proper performance of the Board member’s functions.</p>

            <heading>Disclosure of interests to Board</heading>

                <p>A Board member who has an interest, pecuniary or otherwise, in a matter being considered or about to be considered by the Board must disclose the nature of the interest to a meeting of the Board.</p>

                <p>	(2)	The disclosure must be made as soon as possible after the relevant facts have come to the Board member’s<i> </i>knowledge.</p>

                <p>The Environment Minister may grant leave of absence to the Chair of the Board on the terms and conditions that the Environment Minister determines.</p>

            </subsection>

              <content>
                <p>The Chair of the Board may grant leave of absence to a Board member on the terms and conditions that the Chair determines.</p>

            </subsection>

            <heading>Resignation</heading>
            <subsection eId="part-4__dvs-2__sec-74__subsec-1">
              <num>1</num>

                <p>A Board member may resign his or her appointment by giving the Environment Minister or the Agriculture Minister a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-74__subsec-2">

              <content>
                <p>The resignation takes effect on the day it is received by the Environment Minister or the Agriculture Minister (as the case may be) or, if a later day is specified in the resignation, on that later day.</p>

            <heading>Termination of appointment</heading>
            <subsection eId="part-4__dvs-2__sec-75__subsec-1">

                <p>The Environment Minister and the Agriculture Minister may terminate the appointment of a Board member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-75__subsec-2">
              <num>2</num>
              <content>
                <p>The Environment Minister and the Agriculture Minister may terminate the appointment of a Board member if:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-75__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the Board member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-75__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-75__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-75__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-75__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>

                  <p>the Board member is absent, except on leave of absence, for 3 consecutive meetings of the Board; or</p>

                  <p>the Board member engages in paid employment that conflicts or may conflict with the proper performance of his or her duties (see <ref href="#sec-71">section 71</ref>); or</p>

                  <p>the Board member fails, without reasonable excuse, to comply with <ref href="#sec-69">section 69</ref> or 70.</p>

                <p>The Environment Minister and the Agriculture Minister may terminate the appointment of a Board member if the Environment Minister and the Agriculture Minister are of the opinion that the performance of the Board member has been unsatisfactory.</p>

                <p>Before terminating the appointment of a Board member, the Environment Minister and the Agriculture Minister must consult the Climate Change Minister.</p>

                <p>A committee may be constituted:</p>
              </content>

                </content>

              </paragraph>

                <b>Editorial changes</b>
              </p>
              <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
              <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                <b>Misdescribed amendments</b>
              </p>
              <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
              <p>If a misdescribed amendment cannot be given effect as intended, the amendment is not incorporated and “(md not incorp)” is added to the amendment history.</p>
