          <heading>Short title</heading>
          <content>
            <p>		This Act may be cited as the <i>Australian</i><i> </i><i>Renewable Energy Agency Act 2011</i>.</p>
          </content>
        </section>
        <section eId="part-1__sec-2">
          <num>2</num>
          <heading>Commencement</heading>
          <content>
            <p>This Act commences on <date date="2012-07-01">1 July 2012</date>.</p>
          </content>
        </section>
        <section eId="part-1__sec-3">
          <num>3</num>
          <heading>Object</heading>
          <content>
            <p>The main object of this Act is to:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>improve the competitiveness of renewable energy technologies; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>increase the supply of renewable energy in Australia; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>facilitate the achievement of Australia’s greenhouse gas emissions reduction targets; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-d">
            <num>d</num>
            <content>
              <p>contribute to the reduction of global greenhouse gas emissions in accordance with the Paris Agreement.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-agreement">agreement</term> includes <def>a contract or deed.</def></p>
            <p><term refersTo="#term-appointed-member">appointed member</term> means <def>a Board member appointed under <ref href="#sec-30">section 30</ref>.</def></p>
            <p><b><i>ARENA</i></b>: see <b><i>Australian Renewable Energy Agency</i></b>.</p>
            <p><b><i>ARENA’s money</i></b>: see section 67.</p>
            <p><b><i>Australia</i></b>, when used in a geographical sense, includes the external Territories.</p>
            <p><term refersTo="#term-australian-renewable-energy-agency-or-arena">Australian Renewable Energy Agency or ARENA</term> means <def>the body established by <ref href="#sec-7">section 7</ref>.</def></p>
            <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of ARENA.</def></p>
              <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board.</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of ARENA.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-climate-change-convention">Climate Change Convention</term> means <def>the United Nations Framework Convention on Climate Change done at New York on 9 May 1992, as amended and in force for Australia from time to time.</def></p>
              <p><term refersTo="#term-constitutional-corporation">constitutional corporation</term> means <def>a corporation to which paragraph 51(xx) of the Constitution applies.</def></p>
              <p><term refersTo="#term-deputy-chair">Deputy Chair</term> means <def>the Deputy Chair of the Board.</def></p>
              <p><b><i>electrification technologies</i></b> means:</p>

          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>technologies that use electricity and replace technologies that use fossil fuels; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>technologies that facilitate the replacement of technologies that use fossil fuels with technologies that use electricity.</p>
            </content>
            <content>
              <p><b><i>energy efficiency technologies</i></b> includes:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>energy conservation technologies; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>demand management technologies; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-c">
            <num>c</num>
            <content>
              <p>technologies (including enabling technologies) that are related to energy efficiency technologies.</p>
            </content>
            <content>
              <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister who administers the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><b><i>financial assistance</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>grants; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>any other kinds of assistance specified by <role refersTo="#minister">the Minister</role> by legislative instrument for the purpose of this paragraph.</p>
            </content>
            <content>
              <p><term refersTo="#term-non-commonwealth-money">non-Commonwealth money</term> means <def>money that ARENA receives from a person other than the Commonwealth.</def></p>
              <p><term refersTo="#term-paris-agreement">Paris Agreement</term> means <def>the Paris Agreement, done at Paris on 12 December 2015, as amended and in force for Australia from time to time.</def></p>
              <p><b><i>renewable energy technologies</i></b> includes:</p>

            <num>a</num>
            <content>
              <p>hybrid technologies; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>technologies (including enabling technologies) that are related to renewable energy technologies.</p>
            </content>
            <content>
              <p><term refersTo="#term-secretary">Secretary</term> means <def>the Secretary of the Department.</def></p>
              <p><b><i>vacancy</i></b>, in relation to the office of an appointed member, has a meaning affected by subsection 33(4).</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-5">
          <num>5</num>
          <heading>Extension to external Territories</heading>
          <content>
            <p>This Act extends to every external Territory.</p>
          </content>
        </section>
        <section eId="part-1__sec-6">
          <num>6</num>
          <heading>Extra-territorial application</heading>
          <content>
            <p>This Act extends to acts, omissions, matters and things outside Australia.</p>
          </content>
        </section>
      </part>
      <part eId="part-2">
        <num>2</num>
        <heading>Australian Renewable Energy Agency</heading>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Establishment</heading>
          <subsection eId="part-2__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The Australian Renewable Energy Agency (<b><i>ARENA</i></b>) is established by this section.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>ARENA:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>must have a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may sue and be sued.</p>
              </content>

                  <p>Note:	The <i>Public Governance, Performance and Accountability Act 2013</i> applies to ARENA. That Act deals with matters relating to corporate Commonwealth entities, including reporting and the use and management of public resources.</p>

          </subsection>
          <subsection eId="part-2__sec-7__subsec-3">
            <num>3</num>
            <content>
              <p>ARENA’s seal is to be kept in such custody as the Board directs and must not be used except as authorised by the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-4">
            <num>4</num>
            <content>
              <p>All courts, judges and persons acting judicially must:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>take judicial notice of the imprint of the seal of ARENA appearing on a document; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>presume that the document was duly sealed.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-2__sec-8">
          <num>8</num>
          <heading>ARENA’s functions</heading>
          <content>
            <p>ARENA has the following functions:</p>
          </content>
          <paragraph eId="part-2__sec-8__para-a">
            <num>a</num>
            <content>
              <p>to provide financial assistance for:</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-8__para-i">
            <num>i</num>
            <content>
              <p>research into renewable energy technologies, electrification technologies and energy efficiency technologies; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-8__para-ii">
            <num>ii</num>
            <content>
              <p>the development, manufacture, demonstration, commercialisation or deployment of renewable energy technologies, electrification technologies and energy efficiency technologies; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-8__para-iii">
            <num>iii</num>
            <content>

              <p>to enter into agreements for the purpose of providing financial assistance as mentioned in paragraph (a) and to administer such agreements;</p>

              <p>to collect, analyse, interpret and disseminate information and knowledge relating to renewable energy technologies, electrification technologies and energy efficiency technologies, and projects relating to such technologies;</p>

          <paragraph eId="part-2__sec-8__para-iv">
            <num>iv</num>
            <content>
              <p>increasing the use of renewable energy technologies, electrification technologies and energy efficiency technologies;</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-8__para-e">
            <num>e</num>
            <content>
              <p>to liaise with State and Territory governments and other authorities for the purpose of facilitating projects relating to renewable energy technologies, electrification technologies or energy efficiency technologies for which financial assistance is, or is proposed to be, provided as mentioned in paragraph (a);</p>

          <heading>General rules about performance of functions</heading>
          <content>
            <p>In performing its functions, ARENA must:</p>
          </content>

            <content>
              <p>act in a proper, efficient and effective manner; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9__para-b">
            <num>b</num>
            <content>
              <p>ensure that decisions about the provision of financial assistance are based on merit; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9__para-c">
            <num>c</num>
            <content>
              <p>if appropriate:</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9__para-i">
            <num>i</num>
            <content>
              <p>act collaboratively with other persons, organisations and governments (including international organisations and foreign governments); and</p>
            </content>
          </paragraph>
          <paragraph eId="part-2__sec-9__para-ii">
            <num>ii</num>
            <content>
              <p>promote the sharing of information and knowledge about renewable energy technologies, electrification technologies and energy efficiency technologies.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-2__sec-10">
          <num>10</num>
          <heading>Provision of financial assistance to be in accordance with general funding strategy</heading>
          <content>
            <p>ARENA must not enter into an agreement for the provision of financial assistance unless the financial assistance provided for is in accordance with the general funding strategy that is in force under Subdivision A of <ref href="#dvs-2">Division 2</ref> of <ref href="#part-3">Part 3</ref> at the time when the agreement is entered into.</p>

          <num>11</num>
          <heading>Minister may request ARENA to consider funding for specified projects</heading>

          <heading>Ministerial approval where grants exceed $50 million</heading>

            <p>ARENA must not, without the written approval of <role refersTo="#minister">the Minister</role>, make grants totalling more than $50 million for a particular project.</p>

                <p>the development, manufacture, demonstration, commercialisation or deployment of renewable energy technologies, electrification technologies or energy efficiency technologies by constitutional corporations; or</p>

                  <p>be expressed to relate to the financial year for which the strategy is developed and the next 2 financial years; and</p>

                  <p>state ARENA’s principal objectives and priorities for the provision of financial assistance under this Act during the financial year for which the strategy is developed and the next 2 financial years.</p>

                <p>A general funding strategy must not require financial assistance to be provided to a particular person, or for a particular project.</p>

            </subsection>

                <p>A general funding strategy for a financial year ceases to be in force when the general funding strategy for the next financial year comes into force.</p>

                <p>The Board must, during a financial year, regularly review the general funding strategy that is in force for the year and consider if any variations should be made to the strategy.</p>

            </subsection>

                <p>The Board may vary a general funding strategy.</p>
              </content>
            </subsection>

              </paragraph>

                  <p>vary or revoke such guidelines.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-2__sec-24__subsec-2">

                <p>The Board must develop guidelines for a grant program if, under the program, the total of all grants for a particular project could exceed $15 million.</p>
              </content>
            </subsection>

                <p>Guidelines, or a variation or revocation of guidelines, must be in writing.</p>

            <heading>Approval of guidelines for financial assistance in excess of $15 million</heading>

                <p>The Board must give to <role refersTo="#minister">the Minister</role>, for his or her approval:</p>
              </content>

                  <p>guidelines for a grant program referred to in subsection 24(2); and</p>
                </content>
              </paragraph>

                  <p>	(b)	any variation of such guidelines, unless the variation is of a minor nature (a <b><i>minor variation</i></b>); and</p>
                </content>
              </paragraph>

                <num>c</num>
                <content>
                  <p>any revocation of such guidelines.</p>
                </content>

              <p>The Board must ensure that guidelines that are in force from time-to-time under this Subdivision are published on ARENA’s website.</p>

          <heading>Board Members</heading>

            <heading>Membership</heading>
            <content>
              <p>The Board consists of:</p>
            </content>

              <num>a</num>
              <content>
                <p>up to 7 appointed members; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-29__para-b">

            </paragraph>

            <heading>Appointment of Board members</heading>

                <p>Board members (other than <role refersTo="#secretary">the Secretary</role>) are to be appointed:</p>

                  <p>by <role refersTo="#minister">the Minister</role> by written instrument, with the agreement of the Finance Minister; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-30__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>on a part-time basis.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-30__subsec-2">
              <num>2</num>
              <content>
                <p>A person is not eligible for appointment as a Board member unless <role refersTo="#minister">the Minister</role> is satisfied that the person has experience or knowledge in at least one of the following fields:</p>
              </content>

                <num>a</num>
                <content>
                  <p>renewable energy technology;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-30__subsec-2__para-b">

                  <p>commercialisation;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-30__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>business investment;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-30__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>corporate governance.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

            <heading>Chair</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> must, with the agreement of the Finance Minister, appoint one Board member to be the Chair.</p>
            </content>
          </section>
          <section eId="part-3__dvs-3__sec-31A">
            <num>31A</num>
            <heading>Deputy Chair</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> must, with the agreement of the Finance Minister, appoint one Board member to be the Deputy Chair.</p>
            </content>
          </section>

            <num>32</num>
            <heading>Term of appointment</heading>
            <subsection eId="part-3__dvs-3__sec-32__subsec-1">
              <num>1</num>
              <content>
                <p>An appointed member holds office for the period specified in the instrument of appointment. The period must not exceed 3 years.</p>

            <heading>Acting appointments</heading>
            <subsection eId="part-3__dvs-3__sec-33__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by written instrument, appoint a person to act as the Chair:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Chair:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1__para-ii">

                  <p>is, for any reason, unable to perform the duties of the office.</p>
                </content>
              </paragraph>
            </subsection>

                <p><role refersTo="#minister">The Minister</role> must notify the Finance Minister if <role refersTo="#minister">the Minister</role> appoints a person to act as the Chair.</p>

            </subsection>

              <num>1B</num>
              <content>
                <p>If no appointment is in force under subsection (1), the Deputy Chair is to act as the Chair:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1B__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1B__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Chair:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1B__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>

                <p><role refersTo="#minister">The Minister</role> may, by written instrument, appoint a person to act as the Deputy Chair:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1C__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Deputy Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1C__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Deputy Chair:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1C__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-1C__para-ii">
                <num>ii</num>
                <content>
                  <p>is, for any reason (including the reason that the Deputy Chair is acting as Chair), unable to perform the duties of the office.</p>
                </content>
              </paragraph>
            </subsection>

              <content>
                <p><role refersTo="#minister">The Minister</role> must notify the Finance Minister if <role refersTo="#minister">the Minister</role> appoints a person to act as the Deputy Chair.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-33__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by written instrument, appoint a person to act as an appointed member:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of an appointed member (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when an appointed member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-2__para-ii">
                <num>ii</num>

                  <p>is, for any reason, unable to perform the duties of the office.</p>

                <p>A person is not eligible for appointment to act as the Chair or Deputy Chair, or as an appointed member, unless the person is eligible for appointment as a Board member under subsection 30(2).</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-33__subsec-4">
              <num>4</num>
              <content>
                <p>For the purposes of a reference in:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-4__para-a">

                  <p>	(a)	this Act to a <b><i>vacancy</i></b> in the office of appointed member; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-33__subsec-4__para-b">

                  <p>	(b)	the <i>Acts Interpretation Act 1901</i> to a <b><i>vacancy</i></b> in the membership of a body;</p>
                </content>
                <content>
                  <p>there are taken to be 7 offices of appointed member.</p>

            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-34">
            <num>34</num>
            <heading>Remuneration</heading>
            <subsection eId="part-3__dvs-3__sec-34__subsec-1">
              <num>1</num>
              <content>
                <p>An appointed member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-34__subsec-2">
              <num>2</num>
              <content>
                <p>An appointed member is to be paid the allowances that are prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-34__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-35">

            <heading>Leave of absence</heading>
            <content>
              <p>Chair</p>
            </content>
            <subsection eId="part-3__dvs-3__sec-35__subsec-1">
              <num>1</num>
              <content>
                <p>If the Chair is an appointed member, <role refersTo="#minister">the Minister</role> may grant leave of absence to the Chair on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-35__subsec-1A">
              <num>1A</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must notify the Finance Minister if <role refersTo="#minister">the Minister</role> grants the Chair leave of absence.</p>
              </content>
              <content>
                <p>Other appointed members</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-35__subsec-2">
              <num>2</num>
              <content>
                <p>The Chair may grant leave of absence to any other appointed member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-35__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants an appointed member leave of absence for a period that exceeds 3 months.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-36">
            <num>36</num>
            <heading>Disclosure of interests to the Minister</heading>
            <subsection eId="part-3__dvs-3__sec-36__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by a Board member under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Minister and the Finance Minister.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-36__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-36__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, the Board member is taken not to have complied with section 29 of that Act if the member does not comply with subsection (1) of this section.</p>

          </section>
          <section eId="part-3__dvs-3__sec-37">
            <num>37</num>
            <heading>Resignation of appointed members</heading>
            <subsection eId="part-3__dvs-3__sec-37__subsec-1">
              <num>1</num>
              <content>
                <p>An appointed member may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> and the Finance Minister a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-37__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-37__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the day it is received by <role refersTo="#minister">the Minister</role> and the Finance Minister (or if those Ministers receive it on different days, the later of those days); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-37__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if a later day is specified in the resignation—that later day.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-38">
            <num>38</num>
            <heading>Termination of appointment of appointed members</heading>
            <subsection eId="part-3__dvs-3__sec-38__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, with the agreement of the Finance Minister, terminate the appointment of an appointed member for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-38__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, with the agreement of the Finance Minister, terminate the appointment of an appointed member if:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-38__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the member is absent, except on leave of absence, from 3 consecutive meetings of the Board.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-38__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	The Minister must not terminate the appointment of an appointed member under <i>Public Governance, Performance and Accountability Act 2013</i> unless the Finance Minister has agreed to the termination.<ref href="#sec-30">section 30</ref> of the </p>

                <p>An appointed member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </subsection>

              <content>
                <p>Before <role refersTo="#minister">the Minister</role> makes a determination under subsection (1), <role refersTo="#minister">the Minister</role> must consult the Finance Minister.</p>

          <heading>Meetings of the Board</heading>

                <p>The Board must hold the meetings that are necessary for the efficient performance of its functions.</p>

                <p>Meetings are to be held at the times and places that the Board determines.</p>
              </content>

                  <p>must convene at least 6 meetings each calendar year; and</p>

              </paragraph>

                  <p>must convene a meeting if requested in writing by:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-40__subsec-3__para-i">

                  <p>3 or more other Board members; or</p>
                </content>
              </paragraph>

            </subsection>
          </section>

            <heading>Secretary may nominate alternate to attend Board meetings</heading>

                <p><role refersTo="#secretary">The Secretary</role> may, by writing, nominate a specified person who is an SES employee or acting SES employee in the Department to attend a particular meeting, or all meetings, of the Board at which <role refersTo="#secretary">the Secretary</role> is not present.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-41__subsec-2">
              <num>2</num>
              <content>
                <p>A person so nominated may attend a meeting to which the nomination applies and, if the person does so, he or she is taken to be a Board member.</p>

            </subsection>

            <heading>Presiding at meetings</heading>
            <subsection eId="part-3__dvs-4__sec-42__subsec-1">
              <num>1</num>

                <p>The Chair must preside at all meetings at which he or she is present.</p>

            </subsection>
            <subsection eId="part-3__dvs-4__sec-42__subsec-2">

                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>

                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>

                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>

            <heading>Termination of appointment</heading>

                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>

                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>

                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>

                <p>ARENA may employ such persons as it considers necessary for the performance of its functions and the exercise of its powers.</p>

                <p>An employee is to be employed on the terms and conditions that ARENA determines in writing.</p>

                <p>The consultants are to be engaged on the terms and conditions that ARENA determines.</p>

            <content>
              <p>If the amount specified in any item of the table in subsection (1) for a financial year (as the table has effect in accordance with subsection (2) and this subsection) exceeds the amount paid to ARENA under <ref href="#sec-65">section 65</ref> in respect of requests made during that year, the table has effect as follows:</p>

                <p>if the next financial year is specified in the table—as if the amount specified in the table for that next financial year were increased by an amount equal to the excess; and</p>

                <p>in any other case—as if the table included an item that specifies the next financial year and an amount for that next financial year that is equal to the excess.</p>

        </section>
        <section eId="part-5__sec-65">
          <num>65</num>
          <heading>Payment of up to balance of specified amounts on request by ARENA</heading>
          <subsection eId="part-5__sec-65__subsec-1">
            <num>1</num>
            <content>
              <p>Subject to this section, ARENA may, during a financial year specified in the table in <ref href="#sec-64">section 64</ref>, request payments from the Commonwealth to meet liabilities of ARENA:</p>
            </content>
            <paragraph eId="part-5__sec-65__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>that are already due for payment; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>that will, or are expected to, become due for payment during the year.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-65__subsec-2">
            <num>2</num>
            <content>
              <p>A request must:</p>
            </content>
            <paragraph eId="part-5__sec-65__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>be made to meet liabilities of ARENA:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>that are already due for payment; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>that will, or are expected to, become due for payment during a period specified in the request; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>specify the amount of the payment requested.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-65__subsec-3">
            <num>3</num>
            <content>
              <p>The following matters are to be as agreed between ARENA and <role refersTo="#minister">the Minister</role>:</p>
            </content>
            <paragraph eId="part-5__sec-65__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>how requests are to be made, including:</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-3__para-i">
              <num>i</num>
              <content>
                <p>the form in which a request is to be made; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-3__para-ii">
              <num>ii</num>
              <content>
                <p>the person to whom a request is to be given;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>the frequency with which ARENA may make requests;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-65__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>the period that may be specified in a request as mentioned in subparagraph (2)(a)(ii).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-65__subsec-4">
            <num>4</num>
            <content>
              <p>ARENA cannot make requests during a financial year that exceed in total the amount specified for the year in the table in <ref href="#sec-64">section 64</ref>.</p>
            </content>

              <p>If ARENA makes a request for payment in accordance with this section (and in accordance with an agreement referred to in subsection (3)), the Commonwealth must, as soon as practicable, pay ARENA the amount requested.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-66">
          <num>66</num>
          <heading>Appropriation</heading>
          <content>
            <p>Amounts payable to ARENA under <ref href="#sec-65">section 65</ref> are to be paid out of the Consolidated Revenue Fund, which is appropriated accordingly.</p>
          </content>
        </section>
        <section eId="part-5__sec-67">
          <num>67</num>
          <heading>Application of ARENA’s money</heading>
          <subsection eId="part-5__sec-67__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	<b><i>ARENA’s money</i></b> consists of:</p>
            </content>
            <paragraph eId="part-5__sec-67__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>money paid to ARENA under <ref href="#sec-65">section 65</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-67__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>any other money received by ARENA.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-67__subsec-2">
            <num>2</num>
            <content>
              <p>ARENA’s money is to be applied only:</p>
            </content>
            <paragraph eId="part-5__sec-67__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>in providing financial assistance in accordance with this Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-67__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>in payment of remuneration and allowances payable under this Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-67__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>in payment or discharge of any other expenses, charges, obligations and liabilities incurred or undertaken by ARENA in the performance of its functions and the exercise of its powers.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-67__subsec-4">
            <num>4</num>
            <content>
              <p>	(4)	Subsection (2) does not prevent investment, under <i>Public Governance, Performance and Accountability Act 2013</i>, of money that is not immediately required for the purposes of ARENA.<ref href="#sec-59">section 59</ref> of the </p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-69">
          <num>69</num>
          <heading>Taxation</heading>
          <content>
            <p>ARENA is not subject to taxation under a law of the Commonwealth or of a State or Territory.</p>
          </content>
        </section>

        <heading>Miscellaneous</heading>
        <section eId="part-6__sec-70">
          <num>70</num>
          <heading>Extra matters to be included in annual report</heading>
          <content>
            <p>		The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include the following:<ref href="#sec-46">section 46</ref> of the </p>
          </content>
          <paragraph eId="part-6__sec-70__para-a">
            <num>a</num>
            <content>
              <p>particulars of each request given to ARENA by <role refersTo="#minister">the Minister</role> under section 11, during the period;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-b">
            <num>b</num>
            <content>
              <p>particulars of each direction given to ARENA by <role refersTo="#minister">the Minister</role> under section 13, during the period;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-c">
            <num>c</num>
            <content>
              <p>for each person to whom financial assistance has been provided, or committed, under an agreement during the period, particulars of:</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-i">
            <num>i</num>
            <content>
              <p>the name of the person; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-ii">
            <num>ii</num>
            <content>
              <p>the nature and amount of the financial assistance provided or committed; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-iii">
            <num>iii</num>
            <content>
              <p>the technology or technologies to which the assistance relates (if the assistance relates to one or more particular technologies);</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70__para-d">
            <num>d</num>
            <content>
              <p>an assessment of the extent to which agreements for the provision of financial assistance entered into during the period have progressed, or are expected to progress, the principal objectives and priorities as stated in the general funding strategy in force under Subdivision A of <ref href="#dvs-2">Division 2</ref> of <ref href="#part-3">Part 3</ref> for the period.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-6__sec-70A">
          <num>70A</num>
          <heading>Delegation by the Minister</heading>
          <content>
            <p><role refersTo="#minister">The Minister</role> may, in writing, for the purposes of a specified project or grant program, delegate to another Minister any of <role refersTo="#minister">the Minister</role>’s powers or functions under:</p>
          </content>
          <paragraph eId="part-6__sec-70A__para-a">
            <num>a</num>
            <content>
              <p><ref href="#sec-11">section 11</ref> (Minister may request ARENA to consider funding for specified projects); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70A__para-b">
            <num>b</num>
            <content>
              <p><ref href="#sec-12">section 12</ref> (Ministerial approval where grants exceed $50 million); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-70A__para-c">
            <num>c</num>
            <content>
              <p><ref href="#sec-25">section 25</ref> (approval of guidelines for financial assistance in excess of $15 million).</p>

          </paragraph>
        </section>

          <heading>Delegation by ARENA</heading>
          <subsection eId="part-6__sec-71__subsec-1">
            <num>1</num>
            <content>
              <p>ARENA may, in writing under its seal, delegate all or any of its powers or functions under this Act to:</p>
            </content>
            <paragraph eId="part-6__sec-71__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>a Board member; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-71__subsec-1__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-71__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of ARENA.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-72">
          <num>72</num>
          <heading>Delegation by Board</heading>
          <subsection eId="part-6__sec-72__subsec-1">
            <num>1</num>
            <content>
              <p>The Board may, in writing, delegate to a Board member or <role refersTo="#ceo">the CEO</role> any of its powers or functions under this Act, other than Subdivision A of Division 2 of Part 3 (general funding strategy).</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-72__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-72__subsec-3">
            <num>3</num>
            <content>
              <p>A delegation under this section:</p>
            </content>
            <paragraph eId="part-6__sec-72__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>may be revoked by the Board (whether or not constituted by the Board members who constituted the Board when the power was delegated); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-72__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>continues in force even if the membership of the Board changes.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-6__sec-73">
          <num>73</num>
          <heading>Subdelegation by CEO</heading>
          <subsection eId="part-6__sec-73__subsec-1">
            <num>1</num>
            <content>
              <p>If ARENA or the Board delegates a power or function under subsection 71(1) or 72(1) to <role refersTo="#ceo">the CEO</role>, <role refersTo="#ceo">the CEO</role> may, in writing, subdelegate the power or function to a senior member of the staff referred to in section 61.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-73__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the subdelegation, the subdelegate must comply with any directions of <role refersTo="#ceo">the CEO</role>.</p>

            <content>
              <p>	(3)	Sections 34AA, 34AB and 34A of the <i>Acts Interpretation Act 1901</i> apply in relation to the subdelegation in a corresponding way to the way in which they apply in relation to a delegation.</p>

          <heading>Disclosure of information to Clean Energy Finance Corporation</heading>
          <content>
            <p>ARENA may disclose information to the Clean Energy Finance Corporation if the disclosure will enable or assist the Clean Energy Finance Corporation to perform or exercise any of its functions or powers.</p>

          <heading>Regulations</heading>

            <p>The Governor-General may make regulations prescribing matters:</p>
