          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><b><i>Australian police force</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>the Australian Federal Police; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>a police force or police service of a State or Territory.</p>
            </content>
            <content>
              <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-biodiversity">biodiversity</term> has the same meaning as <def>in <ref href="">the Nature Repair Act 2023</ref>.</def></p>
              <p><term refersTo="#term-biodiversity-convention">Biodiversity Convention</term> means <def>the Convention on Biological Diversity, done at Rio de Janeiro on 5 June 1992, as in force for Australia from time to time.</def></p>
              <p><term refersTo="#term-biodiversity-department">Biodiversity Department</term> means <def>the Department administered by the Biodiversity Minister.</def></p>
              <p><b><i>biodiversity law</i></b> means:</p>

              <p>	(a)	the <i>Nature Repair Act 2023</i> or a legislative instrument under that Act; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>	(b)	the <i>Regulatory Powers (Standard Provisions) Act 2014</i> as applied by the <i>Nature Repair Act 2023</i>.</p>
            </content>
            <content>
              <p><term refersTo="#term-biodiversity-minister">Biodiversity Minister</term> means <def><ref class="unresolved">the Minister who administers the Nature Repair Act 2023</ref>.</def></p>
              <p><term refersTo="#term-biodiversity-project">biodiversity project</term> has the same meaning as <def>in <ref href="">the Nature Repair Act 2023</ref>.</def></p>
              <p><term refersTo="#term-climate-change-convention">Climate Change Convention</term> means <def>the United Nations Framework Convention on Climate Change, done at New York on 9 May 1992, as amended and in force for Australia from time to time.</def></p>
              <p><term refersTo="#term-climate-change-law">climate change law</term> means <def>any of the following: this Act or legislative instruments under this Act; 	(i)	the <i>Carbon Credits (Carbon Farming Initiative) Act 2011</i> or legislative instruments under that Act; 	(ia)	the <i>Future Made in Australia (Guarantee of Origin) Act 2024 </i>or legislative instruments under that Act; 	(ib)	the <i>Future Made in Australia (Guarantee of Origin Charges) Act 2024</i> or legislative instruments under that Act; 	(j)	the <i>National Greenhouse and Energy Reporting Act 2007</i> or legislative instruments under that Act; 	(k)	the <i>Renewable Energy (Electricity) Act 2000</i> or legislative instruments under that Act; 	(l)	the <i>Renewable Energy (Electricity) (Large</i><i>-</i><i>scale Generation Shortfall Charge) Act 2000</i>; 	(m)	the <i>Renewable Energy (Electricity) (Small</i><i>-</i><i>scale Technology Shortfall Charge) Act 2010</i>; 	(n)	the <i>Australian National Registry of Emissions Units Act 2011</i> or legislative instruments under that Act; 	(na)	the <i>New Vehicle Efficiency Standard Act 2024</i>; 	(o)	the <i>Regulatory Powers (Standard Provisions) Act 2014 </i>as applied by an Act mentioned in a preceding paragraph of this definition.</def></p>

          <heading>Crown to be bound</heading>

              <p>This Act binds the Crown in each of its capacities.</p>

              <p>This Act does not make the Crown liable to a pecuniary penalty or to be prosecuted for an offence.</p>

          <heading>Terms and conditions for members of the Regulator</heading>

            <heading>Remuneration</heading>
            <subsection eId="part-2__dvs-3__sec-21__subsec-1">

              <content>
                <p>A member of the Regulator is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, a member of the Regulator is to be paid the remuneration that is prescribed by the regulations.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p>A member of the Regulator is to be paid the allowances that are prescribed by the regulations.</p>
              </content>
            </subsection>

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

            </subsection>

            <heading>Disclosure of interests</heading>
            <subsection eId="part-2__dvs-3__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by a member of the Regulator under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Minister.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>

                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, a member of the Regulator is taken not to have complied with section 29 of that Act if the member does not comply with subsection (1) of this section.</p>

            <num>24</num>
            <heading>Outside employment</heading>
            <subsection eId="part-2__dvs-3__sec-24__subsec-1">
              <num>1</num>
              <content>
                <p>A full-time member of the Regulator must not engage in paid employment outside the duties of his or her office without <role refersTo="#minister">the Minister</role>’s approval.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-24__subsec-2">
              <num>2</num>
              <content>
                <p>A part-time member of the Regulator must not engage in any paid employment that conflicts or may conflict with the proper performance of his or her duties.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-25">
            <num>25</num>
            <heading>Leave of absence</heading>
            <subsection eId="part-2__dvs-3__sec-25__subsec-1">
              <num>1</num>
              <content>
                <p>A full-time member of the Regulator has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may grant leave of absence, other than recreation leave, to a full-time member of the Regulator on the terms and conditions as to remuneration or otherwise that <role refersTo="#minister">the Minister</role> determines.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-25__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair of the Regulator may grant leave of absence to a part-time member of the Regulator on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-26">
            <num>26</num>
            <heading>Resignation</heading>
            <subsection eId="part-2__dvs-3__sec-26__subsec-1">
              <num>1</num>
              <content>
                <p>A member of the Regulator may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-26__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-3__sec-27">
            <num>27</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-2__dvs-3__sec-27__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a member of the Regulator for misbehaviour or physical or mental incapacity.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-3__sec-27__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a member of the Regulator if:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the member:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-27__subsec-2__para-b">

                  <p>if the member is a full-time member—the member engages, except with <role refersTo="#minister">the Minister</role>’s approval, in paid employment outside the duties of his or her office (see section 24); or</p>

                <num>c</num>

              <p>A member of the Regulator holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role>.</p>

          <heading>Decision-making by the Regulator</heading>

                <p>The Regulator is to hold such meetings as are necessary for the performance of its functions.</p>

                <p>The Chair of the Regulator may convene a meeting at any time.</p>
              </content>
            </subsection>
          </section>

            <heading>Presiding at meetings</heading>

                <p>The Chair of the Regulator presides at all meetings at which he or she is present.</p>

                <p>If the Chair of the Regulator is not present at a meeting, the members of the Regulator present must appoint one of themselves to preside.</p>

              <p>At a meeting of the Regulator, 2 members of the Regulator constitute a quorum.</p>

                <p>At a meeting of the Regulator, a question is decided by a majority of the votes of members of the Regulator present and voting.</p>

            </subsection>
            <subsection eId="part-2__dvs-4__sec-32__subsec-2">
              <num>2</num>
              <content>
                <p>The person presiding at a meeting has a deliberative vote and, in the event of an equality of votes, also has a casting vote.</p>

            <heading>Conduct of meetings</heading>

              <p>The Regulator may, subject to this Division, regulate proceedings at its meetings as it considers appropriate.</p>

                <p>by officers and employees of authorities of the Commonwealth; or</p>

                <p>The consultants are to be engaged on the terms and conditions that the Regulator determines in writing.</p>

                <p>the person has obtained protected information in the person’s capacity as an official of the Regulator; and</p>
              </content>
            </paragraph>

                <p>the disclosure or use is in compliance with a requirement under:</p>

            </paragraph>
            <paragraph eId="part-3__sec-43__subsec-2__para-i">

                <p>a law of the Commonwealth; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-43__subsec-2__para-ii">
              <num>ii</num>

                <p>a prescribed law of a State or a Territory.</p>

                <p>to produce to a court or tribunal a document containing protected information; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-43__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>to disclose protected information to a court or tribunal.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-3__sec-44">
          <num>44</num>
          <heading>Disclosure or use for the purposes of a climate change law or a biodiversity law etc.</heading>
          <content>
            <p>An official of the Regulator may disclose or use protected information if:</p>
          </content>
          <paragraph eId="part-3__sec-44__para-a">
            <num>a</num>
            <content>
              <p>the disclosure or use is for the purposes of a climate change law or a biodiversity law; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-44__para-b">
            <num>b</num>
            <content>
              <p>the disclosure or use is for the purposes of the performance of the functions of the Regulator under a climate change law or a biodiversity law; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-44__para-c">
            <num>c</num>
            <content>
              <p>the disclosure or use is in the course of the official’s employment or service as an official of the Regulator.</p>

              <p>An official of the Regulator may disclose protected information to <role refersTo="#minister">the Minister</role>.</p>

          <subsection eId="part-3__sec-45__subsec-2">

            <content>
              <p>An official of the Regulator may disclose protected information to a Minister if <role refersTo="#minister">the Minister</role> is responsible for administering a program, or collecting statistics, relating to:</p>

            <paragraph eId="part-3__sec-45__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>	(a)	greenhouse gas emissions (within the meaning of the <i>National Greenhouse and Energy Reporting Act 2007</i>); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-45__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>energy consumption (within the meaning of that Act); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-45__subsec-2__para-c">

                <p>energy production (within the meaning of that Act).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-45__subsec-2A">

              <p>If protected information:</p>

              <num>a</num>

                <p>was obtained under a biodiversity law; or</p>
              </content>
            </paragraph>

                <p>	(b)	is covered by <i>Nature Repair Act 2023</i>;<ref href="#sec-222">section 222</ref> of the </p>

                <p>an official of the Regulator may disclose that information to the Biodiversity Minister.</p>

              <p>	(3)	An official of the Regulator may disclose protected information to a person employed by a Minister referred to in subsection (1), (2) or (2A) under the <i>Members of Parliament (Staff) Act 1984</i>.</p>

            </paragraph>
          </subsection>

              <p>If a Minister is responsible for administering a program, or collecting statistics, relating to:</p>
            </content>

                <p>	(a)	greenhouse gas emissions (within the meaning of the <i>National Greenhouse and Energy Reporting Act 2007</i>); or</p>
              </content>
            </paragraph>

                <p>energy consumption (within the meaning of that Act); or</p>
              </content>
            </paragraph>

                <p>energy production (within the meaning of that Act);</p>

                <p>an official of the Regulator may disclose protected information to:</p>
              </content>
            </paragraph>

                <p><role refersTo="#secretary">the Secretary</role> of the Department administered by that Minister; or</p>
              </content>
            </paragraph>

                <p>an officer of that Department who is authorised by that Secretary, in writing, for the purposes of this subsection;</p>

                <p>advising that Minister; or</p>

                <p><role refersTo="#secretary">the Secretary</role> of the Biodiversity Department; or</p>
              </content>
            </paragraph>

                <p>an officer of the Biodiversity Department who is authorised by <role refersTo="#secretary">the Secretary</role> of the Biodiversity Department, in writing, for the purposes of this subsection;</p>

          <heading>Disclosure or use for purposes of development of methodology determinations under the Carbon Credits (Carbon Farming Initiative) Act 2011</heading>
          <subsection eId="part-3__sec-47__subsec-1">
            <num>1</num>
            <content>
              <p>The Regulator may disclose or use protected information that relates to a particular offsets project if:</p>
            </content>
            <paragraph eId="part-3__sec-47__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>	(a)	under <i>Carbon Credits (Carbon Farming Initiative) Act 2011</i>, the Regulator has declared the offsets project to be an eligible offsets project; and<ref href="#sec-27">section 27</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-47__subsec-1__para-b">
              <num>b</num>

                <p>more than 7 years have passed since the application under <ref href="#sec-22">section 22</ref> of that Act was made for the declaration; and</p>

                <p>the information was:</p>
              </content>
            </paragraph>

              <p>The Regulator may disclose or use protected information that relates to a particular biodiversity project if:</p>

                <p>	(a)	under <i>Nature Repair Act 2023</i>, the Regulator has approved the registration of the biodiversity project; and<ref href="#sec-15">section 15</ref> of the </p>

              <num>b</num>
              <content>
                <p>more than 7 years have passed since the application under <ref href="#sec-11">section 11</ref> of that Act was made for the approval; and</p>

                <p>the information was:</p>
              </content>
            </paragraph>

              </content>
            </paragraph>
            <paragraph eId="part-3__sec-50__subsec-1__para-i">
              <num>i</num>

                <p>conducts, or is involved in the supervision of, a financial market; or</p>

            </paragraph>
            <paragraph eId="part-3__sec-50__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>is a body corporate that holds an Australian CS facility licence or an Australian derivative trade repository licence, or that operates a prescribed derivative trade repository; and</p>

                <p>is specified in the regulations;</p>

            <p>An official of the Regulator may disclose protected information that relates to the affairs of a person if:</p>

              </content>
            </paragraph>

              <p>If an official of the Regulator is authorised by the Chair of the Regulator, in writing, for the purposes of this section, the official may disclose that protected information to:</p>

                <p>a Department, agency or authority of the Commonwealth, a State or a Territory; or</p>

                <p>Secondary disclosure and use</p>

              <p>A person commits an offence if:</p>
            </content>
            <paragraph eId="part-3__sec-55__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>the person is, or has been, an employee or officer of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-55__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>a Department, agency or authority of the Commonwealth, a State or a Territory; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-55__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>an Australian police force; and</p>
              </content>
            </paragraph>

                <p>protected information has been disclosed under subsection (2) or (3) to the Department, agency, authority or police force, as the case may be; and</p>

              </content>
            </paragraph>

            </paragraph>

                <p>enforcing the criminal law; or</p>

              <p>A person commits an offence if:</p>

            <paragraph eId="part-3__sec-55__subsec-7__para-b">

                <p>the person engages in conduct; and</p>

              <p>The Chair of the Regulator may, by writing, delegate any or all of his or her functions and powers under this Part to a member of the Regulator.</p>

              <p>A delegate must comply with any written directions of the Chair of the Regulator.</p>
