            <p>		This Act may be cited as the <i>Clean Energy Finance Corporation</i><i> Act 201</i><i>2</i>.</p>

              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Object</heading>
          <content>
            <p>The object of this Act is to establish the Clean Energy Finance Corporation to facilitate increased flows of finance into the clean energy sector and to facilitate the achievement of Australia’s greenhouse gas emissions reduction targets.</p>
          </content>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-account">Account</term> means <def>the Clean Energy Finance Corporation Special Account established by <ref href="#sec-45">section 45</ref>.</def></p>
            <p><term refersTo="#term-acquire">acquire</term> includes <def>acquire by way of issue.</def></p>
            <p><term refersTo="#term-arena">ARENA</term> means <def>the Australian Renewable Energy Agency.</def></p>
            <p><b><i>asset</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>any kind of real or personal property; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>any legal or equitable estate or interest in real or personal property; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-c">
            <num>c</num>
            <content>
              <p>any legal or equitable right.</p>
            </content>
            <content>
              <p><b><i>Australia</i></b>, when used in a geographical sense, includes the external Territories.</p>
              <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of the Corporation.</def></p>
              <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board (and includes the Chair).</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the Corporation.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><b><i>clean energy technologies</i></b>: see section 60.</p>
              <p><term refersTo="#term-climate-change-convention">Climate Change Convention</term> means <def>the United Nations Framework Convention on Climate Change done at New York on 9 May 1992, as amended and in force for Australia from time to time.</def></p>
              <p><b><i>complying investment</i></b>: see subsection 59(2).</p>
              <p><term refersTo="#term-constitutional-corporation">constitutional corporation</term> means <def>a corporation to which paragraph 51(xx) of the Constitution applies.</def></p>
              <p><term refersTo="#term-corporation">Corporation</term> means <def>the Clean Energy Finance Corporation established by <ref href="#sec-8">section 8</ref>.</def></p>
              <p><b><i>Corporation official</i></b>: see subsection 75(3).</p>
              <p><b><i>Corporation</i></b><b><i>’</i></b><b><i>s money</i></b>: see section 53.</p>
              <p><term refersTo="#term-derivative">derivative</term> means <def>a derivative (within the meaning of Chapter 7 of <ref href="">the Corporations Act 2001</ref>) that is a financial asset.</def></p>
              <p><b><i>energy efficiency </i></b><b><i>technologies</i></b>: see section 60.</p>
              <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister administering the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><b><i>financial asset</i></b>: see section 63.</p>
              <p><term refersTo="#term-gfs-australia">GFS Australia</term> means <def>the publication of the Australian Bureau of Statistics known as Australian System of Government Finance Statistics: Concepts, Sources and Methods, as updated from time to time. This updating takes 2 forms: from time to time, a new version of the publication is produced; and from time to time, material in the current version of the publication is updated by other publications of the Australian Bureau of Statistics.</def></p>

              <p>means any mode of application of money or financial assets for the purpose of gaining a return (whether by way of income, capital gain or any other form of return); and</p>

              <p>includes giving a guarantee.</p>
            </content>
            <content>
              <p><b><i>investment function</i></b>: see subsection 58(1).</p>
              <p><b><i>Investment Mandate</i></b>: see section 64.</p>

              <p><b><i>nominated Minister</i></b>: see section 76.</p>

              <p>	(1)	The Clean Energy Finance Corporation (the <b><i>Corporation</i></b>) is established by this section.</p>

          <heading>Corporation’s functions</heading>

              <p>The Corporation has the following functions:</p>

                <p>its investment function (see subsection 58(1));</p>

                <p>to liaise with relevant persons and bodies, including ARENA, the Clean Energy Regulator, other Commonwealth agencies and State and Territory governments, for the purposes of facilitating its investment function;</p>

              <num>c</num>
              <content>
                <p>any other functions conferred on the Corporation by this Act or any other Commonwealth law;</p>
              </content>
            </paragraph>

                <p>to do anything incidental or conducive to the performance of the above functions.</p>
              </content>
            </paragraph>
          </subsection>

              <p>In performing its functions, the Corporation must act in a proper, efficient and effective manner.</p>
            </content>
          </subsection>

          <heading>Constitutional limits</heading>

            <num>1</num>
            <content>
              <p>The Corporation may perform its functions only in accordance with this section.</p>

              <p>The Corporation may perform its functions with respect to external affairs, including:</p>

                <p>to give effect to the Climate Change Convention and the Paris Agreement, including by investing in clean energy technologies that could reasonably be expected to control, reduce or prevent anthropogenic emissions of greenhouse gases; and</p>

                <p>to give effect to another international agreement to which Australia is a party; and</p>

                <p>investing in the use of clean energy technologies by constitutional corporations; or</p>

                <p>investing in constitutional corporations that supply goods or services needed to develop or commercialise, or needed for use in, clean energy technologies; or</p>

                <p>with respect to trade or commerce:</p>
              </content>

                <p>A person is not eligible for appointment as a Board member unless the responsible Ministers are satisfied that the person has:</p>

                  <p>substantial experience or expertise; and</p>
                </content>
              </paragraph>

                  <p>in at least one of the following fields:</p>

              <p>A Board member holds office for the period specified in the instrument of appointment. The period must not be more than 5 years.</p>

            <heading>Remuneration</heading>

                <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed by the regulations.</p>

                <p>A Board member is to be paid the allowances that are prescribed by the regulations.</p>

            <heading>Resignation of Board members</heading>

                <p>A Board member may resign his or her appointment by giving the responsible Ministers a written resignation.</p>

                <p>The resignation takes effect on:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-22__subsec-2__para-a">

                  <p>the day it is received by the responsible Ministers (or if the Ministers receive it on different days, the later of those days); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-22__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if a later day is specified in the resignation—on that later day.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-2__sec-23">
            <num>23</num>
            <heading>Termination of appointment of Board members</heading>
            <content>
              <p>The responsible Ministers may terminate the appointment of a Board member:</p>
            </content>
            <paragraph eId="part-3__dvs-2__sec-23__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-23__para-b">
              <num>b</num>
              <content>
                <p>if the member is unable to perform the duties of his or her office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-23__para-c">
              <num>c</num>
              <content>
                <p>if the member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-23__para-i">
              <num>i</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>

                <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>

            </paragraph>

                <p>compounds with his or her creditors; or</p>
              </content>
            </paragraph>

                <p>A question arising at a meeting is to be determined by a majority of the votes of the Board members present and voting.</p>

                <p>The person presiding at a meeting has a deliberative vote and, in the event of an equality of votes, a casting vote.</p>

              <p>The Board may regulate proceedings at its meetings as it considers appropriate.</p>

              <p>The Board must keep minutes of its meetings.</p>

                <p>The Board is taken to have made a decision at a meeting if:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-31__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-31__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
                </content>
              </paragraph>

                  <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the members of the proposed decision.</p>

                <p>Subsection (1) applies only if the Board:</p>
              </content>

                  <p>has determined that it may make decisions of that kind without meeting; and</p>

              </paragraph>

                  <p>has determined the method by which Board members are to indicate agreement with proposed decisions.</p>

                <p><role refersTo="#ceo">The CEO</role> has power to do all things necessary or convenient to be done for or in connection with the performance of his or her duties.</p>

            </subsection>

                <p><role refersTo="#ceo">The CEO</role> is to act in accordance with policies determined by the Board.</p>

                <p>The Board may give written directions to <role refersTo="#ceo">the CEO</role> about the performance of <role refersTo="#ceo">the CEO</role>’s responsibilities.</p>

            <heading>Corporation’s request for a payment for itself</heading>
            <subsection eId="part-5__dvs-1__sec-48__subsec-1">
              <num>1</num>
              <content>
                <p>The Corporation may request a payment by the Commonwealth of a specified amount:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-48__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>to meet liabilities or expenses of the Corporation:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-48__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>that are already due; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-48__subsec-1__para-ii">

                  <p>that will, or that are expected to, become due during the period specified in the request; or</p>

                <p>The Corporation’s request must:</p>
              </content>

                <p>As soon as practicable after a request is made under <ref href="#sec-48">section 48</ref>, the nominated Minister must:</p>
              </content>
              <paragraph eId="part-5__dvs-1__sec-49__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>determine whether the request is in accordance with the agreement under <ref href="#sec-52">section 52</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-49__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if satisfied that it is—give written authorisation for the requested payment.</p>
                </content>
              </paragraph>
            </subsection>

                <p>If the nominated Minister gives written authorisation for the requested payment, the Commonwealth must, as soon as practicable, pay the authorised amount to the Corporation.</p>

                <p>The Corporation must not make a request under subsection (1) unless the Board is satisfied that, if the specified amount were to be paid for with the Corporation’s money, it could, at the time the request is made, be paid out of earnings of the Corporation.</p>

              </content>

                  <p>determine whether the request is in accordance with the agreement under <ref href="#sec-52">section 52</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-51__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if satisfied that it is:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-1__sec-51__subsec-1__para-i">

                  <p>give written authorisation for the requested payment; and</p>

              </paragraph>

              </content>
            </paragraph>
            <paragraph eId="part-5__dvs-1__sec-52__para-ii">
              <num>ii</num>
              <content>
                <p>the person to whom a request is to be given;</p>

            <paragraph eId="part-5__dvs-1__sec-52__para-b">
              <num>b</num>

                <p>the period that may be specified in a request as mentioned in subparagraph 48(1)(a)(ii);</p>

                  <p>in paying or discharging the costs, expenses and other obligations incurred by the Corporation in the performance of the Corporation’s functions; and</p>

              </paragraph>

                <content>
                  <p>in paying any remuneration and allowances payable to any person under this Act; and</p>
                </content>
              </paragraph>

                  <p>in making payments to the Commonwealth under <ref href="#sec-54">section 54</ref>.</p>

                <p>Without limiting subsection (1), the Corporation may perform its investment function by doing any or all of the following:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-58__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>investing in businesses or projects for the development or commercialisation of, or in relation to the use of, clean energy technologies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-58__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>investing in businesses that supply goods or services needed to develop or commercialise, or needed for use in, clean energy technologies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-58__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>giving guarantees in accordance with <ref href="#sec-69">section 69</ref>.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-58__subsec-3">
              <num>3</num>
              <content>
                <p>In performing its investment function, the Corporation must ensure that, at any time on or after <date date="2018-07-01">1 July 2018</date>, at least half of the funds invested at that time for the purposes of its investment function are invested in renewable energy technologies.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-58__subsec-4">
              <num>4</num>
              <content>
                <p>The Corporation may perform its investment function by making investments itself (including as a participant in partnerships, trusts, joint ventures or similar arrangements), through subsidiaries or other investment vehicles or by any combination of these means.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-58__subsec-5">
              <num>5</num>
              <content>
                <p>An investment may be an investment for the purposes of the Corporation’s investment function, regardless of the means by which it is made.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-1__sec-59">
            <num>59</num>
            <heading>Complying investments</heading>
            <subsection eId="part-6__dvs-1__sec-59__subsec-1">
              <num>1</num>
              <content>
                <p>The Board must take all reasonable steps to ensure that investments for the purposes (or purportedly for the purposes) of the Corporation’s investment function are at all times complying investments.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	<b><i>Complying investments</i></b> are investments that are:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>in clean energy technologies (see <ref href="#sec-60">section 60</ref>); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>solely or mainly Australian-based (see <ref href="#sec-61">section 61</ref>); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>not in a prohibited technology (see <ref href="#sec-62">section 62</ref>).</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-3">
              <num>3</num>
              <content>
                <p>As soon as practicable after the Board becomes aware that an investment for the purposes (or purportedly for the purposes) of the Corporation’s investment function has ceased to be, or never was, a complying investment, the Board must give the responsible Ministers a written statement:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>informing the responsible Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>setting out the action that the Board proposes to take in order to ensure that all investments made for the purposes of the Corporation’s investment function are complying investments.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-4">
              <num>4</num>
              <content>
                <p>If the responsible Ministers are satisfied that an investment has ceased to be, or was never, a complying investment, the responsible Ministers may (whether or not the Board has given the Ministers a statement under subsection (3)), by written notice given to the Board, direct the Board:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>to give the responsible Ministers, within a period specified in the notice, a written explanation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>to take action specified in the notice, within a period specified in the notice, in order to ensure that all investments for the purposes of the Corporation’s investment function are complying investments.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-5">
              <num>5</num>
              <content>
                <p>The Board must comply with a direction under subsection (4).</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-6">
              <num>6</num>
              <content>
                <p>The fact that an investment has ceased to be, or never was, a complying investment, does not affect the validity of any transaction.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-7">
              <num>7</num>
              <content>
                <p>For the purposes of paragraph (2)(a), an investment does not cease to be an investment in clean energy technology only because the technology to which the investment relates has, since the investment was made, ceased to qualify as a clean energy technology because:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>its performance has not met reasonable expectations that existed at the time the investment was made; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-59__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>different standards for measuring clean energy technologies are being applied than were being applied at the time the investment was made.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-59__subsec-8">
              <num>8</num>
              <content>
                <p>A direction under subsection (4) is not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-1__sec-60">
            <num>60</num>
            <heading>Clean energy technologies</heading>
            <subsection eId="part-6__dvs-1__sec-60__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	Technologies that are any one or more of the following are <b><i>clean energy technologies</i></b>:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-60__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>energy efficiency technologies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-60__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>low-emission technologies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-60__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>renewable energy technologies.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	<b><i>Energy efficiency technologies</i></b> includes technologies (including enabling technologies) that are related to energy conservation technologies or demand management technologies.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	<b><i>Renewable energy technologies</i></b> includes:</p>
              </content>
              <paragraph eId="part-6__dvs-1__sec-60__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>hybrid technologies that integrate renewable energy technologies; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-1__sec-60__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>technologies (including enabling technologies) that are related to renewable energy technologies.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	A technology is a <b><i>low</i></b><b><i>-</i></b><b><i>emission technology</i></b> if the Board is satisfied, in accordance with guidelines made under subsection (5), that the technology is a low-emission technology.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-5">
              <num>5</num>
              <content>
                <p>The Board must, by writing, make guidelines setting out the matters to which the Board will have regard in satisfying itself that a technology is a low-emission technology.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-6">
              <num>6</num>
              <content>
                <p>The guidelines must not be inconsistent with the Investment Mandate.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-7">
              <num>7</num>
              <content>
                <p>The Board must publish guidelines made under subsection (5) on the Corporation’s website.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-60__subsec-8">

            </subsection>
          </section>

            <heading>Australian-based investments</heading>
            <subsection eId="part-6__dvs-1__sec-61__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	An investment for the purposes of the Corporation’s investment function is <b><i>solely or mainly Australian</i></b><b><i>-</i></b><b><i>based</i></b> if the Board is satisfied, in accordance with guidelines made under subsection (2), that the investment is solely or mainly Australian-based.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-1__sec-61__subsec-2">
              <num>2</num>
              <content>
                <p>The Board must, by writing, make guidelines setting out circumstances, conditions or other matters to which the Board will have regard in satisfying itself that an investment is solely or mainly Australian-based.</p>

          </section>

            <heading>Prohibited technology</heading>
            <content>
              <p>		An investment for the purposes of the Corporation’s investment function is an investment in a <b><i>prohibited technology</i></b> if it is an investment in:</p>
            </content>
            <paragraph eId="part-6__dvs-1__sec-62__para-a">
              <num>a</num>
              <content>
                <p>	(a)	technology for carbon capture and storage (within the meaning of the <i>National Greenhouse and Energy Reporting Act 2007</i>); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__dvs-1__sec-62__para-b">
              <num>b</num>
              <content>
                <p>nuclear technology; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__dvs-1__sec-62__para-c">
              <num>c</num>
              <content>
                <p>nuclear power.</p>
              </content>
            </paragraph>
          </section>
        </division>

          <heading>Performance of investment function</heading>
          <section eId="part-6__dvs-2__sec-63">
            <num>63</num>
            <heading>Financial assets</heading>
            <subsection eId="part-6__dvs-2__sec-63__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	Investments for the purposes of the Corporation’s investment function, made directly by the Corporation or directly by a subsidiary of the Corporation (<b><i>section</i></b><b><i> </i></b><b><i>63</i></b><b><i> investment</i></b><b><i>s</i></b>), must only be made by way of acquisition of financial assets.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	A reference in this Act to a <b><i>financial asset</i></b> is a reference to:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>an asset that, in accordance with GFS Australia, is treated as a financial asset for the purposes of the GFS system in Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>an asset specified in regulations made for the purposes of this paragraph;</p>
                </content>
                <content>
                  <p>but does not include a reference to an asset that, under the regulations, is taken to be a non-financial asset for the purposes of this Act.</p>
                </content>

                <p>If an asset held by the Corporation for the purposes of the Corporation’s investment function ceases to be, or never was, a financial asset:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the Corporation must realise the asset as soon as practicable after the Corporation becomes aware that the asset has ceased to be, or never was, a financial asset; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>this Act (other than this subsection) applies in relation to the asset (including in relation to the realisation of the asset) as if the asset had been, or had remained, a financial asset, and an investment for the purposes of the Corporation’s investment function, at all times until the realisation.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-4">
              <num>4</num>
              <content>
                <p>Subsection (3) applies to a subsidiary of the Corporation in the same way as it applies to the Corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-5">
              <num>5</num>
              <content>
                <p>Subsection (1) does not apply in relation to the giving of guarantees.</p>
              </content>

                <p>	(1)	The responsible Ministers may, by legislative instrument, give the Board directions about the performance of the Corporation’s investment function, and must give at least one such direction. The directions together constitute the <b><i>Investment Mandate</i></b>.</p>
              </content>

                <p>In giving a direction, the responsible Ministers must have regard to the object of this Act and any other matters the responsible Ministers consider relevant.</p>

                <p>Without limiting subsection (1), a direction may set out the policies to be pursued by the Corporation in relation to any or all of the following:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>matters of risk and return;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>technologies, projects and businesses that are eligible for investment;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the allocation of investments between the various classes of clean energy technologies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>making investments on concessional terms;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-e">
                <num>e</num>
                <content>
                  <p>the types of financial instruments in which the Corporation may invest;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-f">
                <num>f</num>
                <content>
                  <p>the types of derivatives which the Corporation may acquire;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-g">
                <num>g</num>
                <content>
                  <p>the nature of the guarantees the Corporation may give and the circumstances in which they may be given;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-h">
                <num>h</num>
                <content>
                  <p>broad operational matters;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-64__subsec-3__para-i">
                <num>i</num>
                <content>
                  <p>other matters the responsible Ministers consider appropriate to deal with in a direction under subsection (1).</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-65">
            <num>65</num>
            <heading>Limits on Investment Mandate</heading>
            <content>
              <p>The responsible Ministers must not give a direction under subsection 64(1):</p>
            </content>
            <paragraph eId="part-6__dvs-2__sec-65__para-a">
              <num>a</num>
              <content>
                <p>that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring the Board to, or not to, make a particular investment; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__dvs-2__sec-65__para-b">
              <num>b</num>
              <content>
                <p>that is inconsistent with this Act (including the object of this Act).</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-6__dvs-2__sec-66">
            <num>66</num>
            <heading>Board to be consulted on Investment Mandate</heading>
            <subsection eId="part-6__dvs-2__sec-66__subsec-1">
              <num>1</num>
              <content>
                <p>Before giving the Board a direction under subsection 64(1), the responsible Ministers must:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-66__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>send a draft of the direction to the Board; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-66__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>invite the Board to make a submission to the responsible Ministers on the draft direction within a reasonable time limit specified by the responsible Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-66__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>consider any submission that is received from the Board within that time limit.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-66__subsec-2">
              <num>2</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-66__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the responsible Ministers give the Board a direction under subsection 64(1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-66__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the Board made a submission to the responsible Ministers on a draft of the direction within the time limit specified by the responsible Ministers;</p>
                </content>
                <content>
                  <p>the submission is to be tabled in each House of the Parliament with the direction.</p>
                </content>

                <p>The Board must take all reasonable steps to ensure that the Corporation and its subsidiaries comply with the Investment Mandate.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-67__subsec-2">
              <num>2</num>
              <content>
                <p>As soon as practicable after the Board becomes aware that the Corporation or one of its subsidiaries has failed to comply with the Investment Mandate, the Board must give the responsible Ministers a written statement:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-67__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>informing the responsible Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-67__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>setting out the action that the Board proposes to take in order to ensure that the Corporation or subsidiary complies with the Investment Mandate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-67__subsec-3">
              <num>3</num>
              <content>
                <p>If the responsible Ministers are satisfied that the Corporation or one of its subsidiaries has failed to comply with the Investment Mandate, the responsible Ministers may (whether or not the Board has given the Ministers a statement under subsection (2)), by written notice given to the Board, direct the Board:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-67__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>to give the responsible Ministers, within a period specified in the notice, a written explanation; and</p>
                </content>
              </paragraph>

                <num>b</num>
                <content>
                  <p>to take action specified in the notice, within a period specified in the notice, in order to ensure that the Corporation or subsidiary complies with the Investment Mandate.</p>

              </paragraph>
            </subsection>

              <content>
                <p>The Board must comply with a direction under subsection (3).</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-67__subsec-5">

                <p>A failure to comply with:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-67__subsec-5__para-a">

                  <p>a direction under subsection (3);</p>

                  <p>does not affect the validity of any transaction.</p>

                <p>The Board must formulate written policies to be complied with by the Corporation in relation to the following matters:</p>

                </content>
              </paragraph>

                  <p>benchmarks and standards for assessing the performance of the Corporation’s investments and of the Corporation itself;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>risk management for the Corporation’s investments and for the Corporation itself;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>a matter specified in the regulations.</p>
                </content>

                <p>The Board must ensure that the policies are consistent with the Investment Mandate.</p>

                <p>The Board must cause copies of the policies to be published on the Corporation’s website.</p>

                <p>The Board must conduct periodic reviews of the policies.</p>
              </content>
            </subsection>

                <p>If there is a change in the Investment Mandate, the Board must review any affected policies.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-68__subsec-7">

                <p>The Corporation must comply with the policies.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-68__subsec-8">

                <p>A failure to comply with a policy does not affect the validity of any transaction.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-68__subsec-9">

                <p>A policy formulated under subsection (1) is not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-69">
            <num>69</num>
            <heading>Guarantees</heading>
            <subsection eId="part-6__dvs-2__sec-69__subsec-1">
              <num>1</num>
              <content>
                <p>The Corporation may only guarantee repayment of a loan (including interest on the loan) made to a person if the loan is one that could have been made by the Corporation in performing its investment function.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-2">
              <num>2</num>
              <content>
                <p>The giving of a guarantee under subsection (1) must be consistent with the investment strategy embodied in a policy formulated by the Board under subsection 68(1).</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	A guarantee is void if, at the time the Corporation purports to give the guarantee, it would secure an amount that is more than the uncommitted balance of the Account at that time, less any liabilities of the Corporation at that time not already covered by paragraph (b) of the definition of <b><i>uncommitted balance</i></b>. To avoid doubt, the guarantee is wholly void regardless of whether a part of the amount it would secure could be covered by the uncommitted balance of the Account.</p>

            <subsection eId="part-6__dvs-2__sec-69__subsec-4">
              <num>4</num>
              <content>
                <p>A subsidiary of the Corporation must not give a guarantee.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-70">

            <heading>Derivatives</heading>
            <subsection eId="part-6__dvs-2__sec-70__subsec-1">
              <num>1</num>
              <content>
                <p>The Corporation may only acquire a derivative for the purpose of:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-70__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>protecting the value of an investment of the Corporation (other than a derivative); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-70__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>protecting the return on an investment of the Corporation (other than a derivative); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-70__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>achieving indirect exposure to financial assets (other than derivatives) for a purpose in connection with the Corporation’s investment function; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-70__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>achieving transactional efficiency for a purpose in connection with the Corporation’s investment function;</p>
                </content>
                <content>
                  <p>but must not acquire a derivative for the purpose of:</p>

              </paragraph>

                  <p>speculation; or</p>

        <heading>Miscellaneous</heading>
        <section eId="part-7__sec-71">
          <num>71</num>
          <heading>Matters relating to subsidiaries</heading>
          <subsection eId="part-7__sec-71__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation must not incorporate or otherwise form a subsidiary in a place other than Australia.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-71__subsec-2">
            <num>2</num>
            <content>
              <p>In making investments for the purposes of the Corporation’s investment function, a subsidiary of the Corporation must:</p>
            </content>
            <paragraph eId="part-7__sec-71__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>only make complying investments; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-71__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>take all reasonable steps to comply with the Investment Mandate, to the extent to which the Investment Mandate is capable of applying to the activities of the subsidiary; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-71__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>comply with policies formulated by the Board under <ref href="#sec-68">section 68</ref>, to the extent to which the policies are capable of applying to the activities of the subsidiary; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-71__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>only acquire derivatives for a purpose for which the Corporation may do so under <ref href="#sec-70">section 70</ref>.</p>

        </section>

          <heading>Publication of investment reports</heading>
          <subsection eId="part-7__sec-72__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation must, within one month after the end of each quarter, publish a report on its website for the quarter:</p>
            </content>
            <paragraph eId="part-7__sec-72__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>containing a general summary of each investment made in that quarter for the purposes of the Corporation’s investment function, including at least the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-72__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the form of the investment;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-72__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the value of the investment or the amount invested;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-72__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>when the investment was made; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-72__subsec-1__para-iv">
              <num>iv</num>
              <content>
                <p>the length and expected rate of return of the investment; and</p>
              </content>
            </paragraph>

                <p>for a guarantee—the fee for the guarantee; and</p>

              <p>	(1)	Either of the responsible Ministers may publish, on the internet or in any other way the Minister considers appropriate, a report, document or information given to the responsible Ministers, or to the Finance Minister in his or her capacity as Finance Minister, under paragraph 19(1)(b) of the <i>Public Governance, Performance and Accountability Act 2013</i>.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-73__subsec-2">
            <num>2</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must omit from the published report, document or information any information that the Board is satisfied in accordance with subsection (3) is commercial-in-confidence.</p>

          </subsection>

            <num>3</num>
            <content>
              <p>The Board may be satisfied that information is commercial-in-confidence if a person demonstrates to the Board that:</p>
            </content>

                <p>release of the information would cause competitive detriment to the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-73__subsec-3__para-b">

            <paragraph eId="part-7__sec-73__subsec-3__para-c">

          <heading>Extra matters to be included in annual report</heading>

              <p>	(1)	The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and </i><i>Accountability Act 2013</i> for a period must do the following:<ref href="#sec-46">section 46</ref> of the </p>
            </content>
            <paragraph eId="part-7__sec-74__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>state the total value of <ref href="#sec-63">section 63</ref> investments as at the end of the period, by reference to the class of clean energy technologies to which the investments relate;</p>

            </paragraph>
            <paragraph eId="part-7__sec-74__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>set out details of the realisation of any <ref href="#sec-63">section 63</ref> investments in the period;</p>

                <p>if, as at the end of the period, less than half of the funds invested for the purposes of the Corporation’s investment function are invested in renewable energy technologies—an explanation of the reasons why;</p>

                <p>state the total value of concessions given by the Corporation in the period;</p>

          <heading>Disclosure of official information</heading>

              <p>A Corporation official may disclose official information to an agency, body or person specified in subsection (2) if the disclosure will:</p>

            <paragraph eId="part-7__sec-75__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>facilitate the performance of the Corporation’s investment function; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-75__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>enable or assist the agency, body or person to perform or exercise any of its functions or powers.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-75__subsec-2">

                <p>was obtained by a person in the person’s capacity as a Corporation official; and</p>

                <p>relates to the affairs of a person other than a Corporation official.</p>
              </content>
            </paragraph>
          </subsection>
        </section>

          <heading>Nominated Minister</heading>
          <subsection eId="part-7__sec-76__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The <b><i>nominated Minister</i></b> is the Minister administering this Act, unless a determination under subsection (2) is in force.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-76__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	The responsible Ministers may, by writing, determine that the <b><i>nominated Minister</i></b> is the Finance Minister.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-76__subsec-3">
            <num>3</num>
            <content>
              <p>A determination under subsection (2) is not a legislative instrument.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-76__subsec-4">

            <content>
              <p>The nominated Minister may give the other responsible Minister any information or documents obtained by the nominated Minister under this Act.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-77">

          <heading>Delegation by nominated Minister</heading>
          <subsection eId="part-7__sec-77__subsec-1">
            <num>1</num>
            <content>
              <p>The nominated Minister may, in writing, delegate to <role refersTo="#secretary">the Secretary</role> of the Department administered by the nominated Minister <role refersTo="#minister">the Minister</role>’s function under subsection 49(1) or 51(1).</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-77__subsec-2">
            <num>2</num>

              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the nominated Minister.</p>

              <p>The Corporation may, in writing under its seal, delegate all or any of its powers or functions under this Act to:</p>

                <p>a Board member; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-78__subsec-1__para-b">

          </subsection>

              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the Board.</p>

          </subsection>
        </section>

          <heading>Delegation and subdelegation by CEO</heading>
          <subsection eId="part-7__sec-80__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may, in writing, delegate to a senior member of the staff referred to in section 41 any of <role refersTo="#ceo">the CEO</role>’s powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-80__subsec-2">
            <num>2</num>
            <content>
              <p>If the Corporation or the Board delegates a power or function under subsection 78(1) or 79(1) to <role refersTo="#ceo">the CEO</role>, <role refersTo="#ceo">the CEO</role> may, in writing, subdelegate the power or function to a senior member of the staff referred to in section 41.</p>
            </content>

          <heading>Review of operation of Act</heading>
          <subsection eId="part-7__sec-81__subsec-1">
            <num>1</num>
            <content>
              <p>The nominated Minister must arrange for a review of the operation of this Act to be undertaken as soon as practicable after <date date="2016-07-01">1 July 2016</date>.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-2">
            <num>2</num>
            <content>
              <p>The review must include a review of the effectiveness of the Corporation in facilitating increased flows of finance into the clean energy sector.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-3">
            <num>3</num>
            <content>
              <p>The review must make provision for public consultation.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-4">
            <num>4</num>
            <content>
              <p>The persons who undertake the review must give the nominated Minister a written report of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-5">
            <num>5</num>
            <content>
              <p>The nominated Minister must cause a copy of the report to be tabled in each House of the Parliament within 15 sitting days of the day the report is given to the nominated Minister.</p>

            <p>The Governor-General may make regulations prescribing matters:</p>

                <b>Editorial changes</b>
              </p>
              <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
              <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                <b>Misdescribed amendments</b>
              </p>
              <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
              <p>If a misdescribed amendment cannot be given effect as intended, the amendment is not incorporated and “(md not incorp)” is added to the amendment history.</p>
