                <p>	(1)	Subject to this Division, ASIC may, by legislative instrument, make rules (<b><i>derivative transaction rules</i></b>) dealing with matters as permitted by this section.</p>

                <p>The derivative transaction rules may (subject to this Division) impose any of the following kinds of requirements:</p>

                <p>for execution requirements—specifying the licensed market or prescribed facility (or the class of licensed market or prescribed facility) on which derivative transactions in a particular class must be entered into;</p>

                <p>for reporting requirements:</p>

            </paragraph>

                <p>	(i)	specifying the licensed derivative trade repository or prescribed derivative trade repository (or the class of licensed derivative trade repository or prescribed derivative trade repository),<i> </i>to which information about derivative transactions, or positions, in a particular class must be reported; and</p>

                <p>specifying the information that is required to be reported;</p>

                <p>specifying the licensed CS facility or prescribed facility (or the class of licensed CS facility or prescribed facility) through which derivative transactions in a particular class must be cleared; and</p>

                <p>specifying a period within which transactions must be cleared;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-e">

                <p>specifying the persons who are required to comply with requirements imposed by the rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-f">
              <num>f</num>
              <content>
                <p>the manner and form in which persons must comply with requirements imposed by the rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-g">
              <num>g</num>
              <content>
                <p>the circumstances in which persons are, or may be, relieved from complying with requirements in the rules that would otherwise apply to them;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-h">
              <num>h</num>
              <content>
                <p>the keeping of records, or the provision of records or other information, relating to compliance with (or determining whether there has been compliance with) the rules;</p>
              </content>
            </paragraph>

                <p>any other matters that the provisions of this Act provide may be dealt with in the derivative transaction rules.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-a">

                <p>persons who are parties to derivative transactions, or who are intermediaries or agents who facilitate or are otherwise involved in derivative transactions; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-b">
              <num>b</num>
              <content>
                <p>operators of financial markets on which derivative transactions are entered into; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-c">

                <p>operators of clearing and settlement facilities through which derivative transactions are cleared; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-d">

                <p>(d)	operators of licensed or prescribed<i> </i>derivative trade repositories.</p>
              </content>
            </paragraph>

                <p>The derivative transaction rules may specify a penalty amount for a rule. A penalty amount must not exceed <quantity refersTo="#penaltyUnit">1,000 penalty units</quantity>.</p>

              <num>5</num>
              <content>
                <p>	(5)	For the purpose of this Chapter, <b><i>execution requirements</i></b> are requirements for derivative transactions not to be entered into otherwise than on:</p>

              <num>a</num>
              <content>
                <p>a licensed market, the licence for which authorises a class of financial products that includes the derivatives to which the transactions relate to be dealt with on the market; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-b">
              <num>b</num>
              <content>
                <p>a facility that is (or that is in a class of facilities that is) prescribed by the regulations for the purpose of this paragraph in relation to a class of derivatives that includes the derivatives to which the transactions relate.</p>

            </paragraph>

              <num>6</num>
              <content>
                <p>	(6)	For the purpose of this Chapter, <b><i>reporting requirements</i></b> are requirements for information about derivative transactions, or about positions relating to derivative transactions, to be reported to:</p>

              <num>a</num>
              <content>
                <p>a licensed derivative trade repository, the licence for which authorises the repository to provide services in respect of a class of derivatives that includes the derivatives to which the transactions relate; or</p>

              <num>b</num>
              <content>
                <p>a facility that is (or that is in a class of facilities that is) prescribed by the regulations for the purpose of this paragraph in relation to a class of derivatives that includes the derivatives to which the transactions relate.</p>

                <p>	(7)	For the purpose of this Chapter, <b><i>clearing requirements </i></b>are requirements for derivative transactions to be cleared through:</p>

                <p>a licensed CS facility, the licence for which authorises the facility to provide services in respect of a class of financial products that includes the derivatives to which the transactions relate; or</p>

              <num>b</num>
              <content>
                <p>a facility that is (or that is in a class of facilities that is) prescribed by the regulations for the purpose of this paragraph in relation to a class of derivatives that includes the derivatives to which the transactions relate.</p>

                <p>The derivative transaction rules:</p>
              </content>

                <p>cannot impose an execution requirement on a person in relation to a derivative transaction entered into before the requirement started to apply to the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-b">
              <num>b</num>
              <content>
                <p>cannot impose a reporting requirement on a person in relation to a derivative transaction entered into before the requirement started to apply to the person, or in relation to a position as it was at a time before the requirement started to apply to the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901A__para-c">
              <num>c</num>
              <content>
                <p>cannot impose a clearing requirement on a person in relation to a derivative transaction entered into before the requirement started to apply to the person, unless the transaction has not been cleared by the time the requirement starts to apply to the person.</p>
              </content>
            </paragraph>

          <hcontainer name="clause" eId="schedule-1__clause-901B">
            <num>901B</num>
            <heading>Derivatives in relation to which rules may impose requirements</heading>
            <content>
              <p>Requirements can only be imposed in relation to derivatives covered by a determination under this section</p>
              <p>Minister may determine classes of derivatives in relation to which requirements may be imposed</p>
              <p>Note 1:	Different determinations may be made in relation to the different kinds of requirements.</p>
              <p>Note 2:	A class of derivatives can be described by reference to any matter, including (for example):</p>

                <p>The derivative transaction rules cannot impose execution requirements, reporting requirements, or clearing requirements, in relation to derivative transactions unless the derivatives to which the transactions relate are covered by a determination under this section that relates to requirements of that kind.</p>

              <num>2</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, determine one or more classes of derivatives in relation to which execution requirements, reporting requirements, or clearing requirements, may be imposed.</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-901B__para-a">
              <num>a</num>
              <content>
                <p>the kind of asset, rate, index or commodity to which the derivatives relate; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-b">
              <num>b</num>
              <content>
                <p>the time when the derivatives were issued, or their date of maturity.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-901B__subclause-3">
              <num>3</num>
              <content>
                <p>In considering whether to make a determination under subsection (2) that would have the effect of allowing the derivative transaction rules to impose requirements of a particular kind in relation to certain derivatives, <role refersTo="#minister">the Minister</role>:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-901B__para-a">
              <num>a</num>
              <content>
                <p>must have regard to:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-i">
              <num>i</num>
              <content>
                <p>the likely effect on the Australian economy, and on the efficiency, integrity and stability of the Australian financial system, of allowing the derivative transaction rules to impose requirements of that kind in relation to those derivatives; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-ii">
              <num>ii</num>
              <content>
                <p>the likely regulatory impact of allowing the derivative transaction rules to impose requirements of that kind in relation to those derivatives; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-iii">
              <num>iii</num>
              <content>
                <p>if those derivatives are or include commodity derivatives—the likely impact, on any Australian market or markets on which the commodities concerned may be traded, of allowing the derivative transaction rules to impose requirements of that kind in relation to those commodity derivatives; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-b">
              <num>b</num>
              <content>
                <p>may have regard to any other matters that <role refersTo="#minister">the Minister</role> considers relevant.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-a">
              <num>a</num>
              <content>
                <p>any relevant international standards and international commitments; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-b">
              <num>b</num>
              <content>
                <p>matters raised in consultations under subsection (4), or in advice under subsection (6).</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-901B__subclause-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not make a determination under subsection (2) unless <role refersTo="#minister">the Minister</role> has consulted ASIC, APRA and the Reserve Bank of Australia about the proposed determination.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-901B__subclause-5">
              <num>5</num>
              <content>
                <p>A failure to consult as required by subsection (4) does not invalidate a determination.</p>
              </content>
            </hcontainer>

                <p>ASIC, APRA or the Reserve Bank of Australia may (on its own initiative or at the request of <role refersTo="#minister">the Minister</role>):</p>

            <paragraph eId="schedule-1__clause-901B__para-a">
              <num>a</num>
              <content>
                <p>consider whether a determination should be made under subsection (2) that would have the effect of allowing the derivative transaction rules to impose requirements of a particular kind in relation to certain derivatives; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901B__para-b">
              <num>b</num>
              <content>
                <p>advise <role refersTo="#minister">the Minister</role> accordingly.</p>
              </content>
            </paragraph>

                <p>	(7)	The Minister may amend or revoke a determination under subsection (2) in like manner and subject to like conditions (see subsections 33(3) and (3AA) of the <i>Acts Interpretation Act 1901</i>).</p>

              </content>
            </paragraph>

            <paragraph eId="schedule-1__clause-901C__para-c">

            <heading>Regulations may limit the persons on whom requirements may be imposed</heading>

              <p>The regulations may provide that the derivative transaction rules:</p>

            </paragraph>
            <paragraph eId="schedule-1__clause-901D__para-c">

                <p>the place of residence or business of persons.</p>

            <heading>Obligation to comply with derivative transaction rules</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-901E__subclause-1">
              <num>1</num>
              <content>
                <p>A person must comply with provisions of the derivative transaction rules that apply to the person.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	This section is a civil penalty provision (see <ref href="#sec-1317E">section 1317E</ref>). For relief from liability to a civil penalty relating to this section, see <ref href="#sec-1317S">section 1317S</ref>.</p>
              <p>Note 1:	If there is an inconsistency between the market integrity rules and the derivative transaction rules, the market integrity rules prevail: see subsection 798H(3).</p>
              <p>Note 2:	If there is an inconsistency between the standards determined under <ref href="#sec-827D">section 827D</ref> and the derivative transaction rules, the standards prevail: see subsection 827D(2A).</p>

                <p>If there is an inconsistency between the derivative transaction rules and the derivative trade repository rules, the derivative transaction rules prevail to the extent of the inconsistency.</p>

            <heading>Alternatives to civil proceedings</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-901F__subclause-1">
              <num>1</num>
              <content>
                <p>The regulations may provide for a person who is alleged to have contravened <ref href="#sec-901E">section 901E</ref> to do one or more of the following as an alternative to civil proceedings:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-901F__para-a">
              <num>a</num>
              <content>
                <p>pay a penalty to the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901F__para-b">

              <content>
                <p>undertake or institute remedial measures (including education programs);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901F__para-c">
              <num>c</num>
              <content>
                <p>accept sanctions other than the payment of a penalty to the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901F__para-d">
              <num>d</num>
              <content>
                <p>enter into a legally enforceable undertaking.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-901F__subclause-2">

                <p>The penalty payable under regulations made under paragraph (1)(a) in relation to a derivative transaction rule must not exceed one-fifth of the penalty amount specified for the rule in the derivative transaction rules.</p>

              <num>3</num>
              <content>
                <p>Without limiting regulations that may be made for the purpose of paragraph (1)(d), those regulations may provide for one or more of the following kinds of undertakings:</p>

              <num>a</num>
              <content>
                <p>an undertaking to take specified action within a specified period;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901F__para-b">

                <p>an undertaking to refrain from taking specified action;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-901F__para-c">
              <num>c</num>
              <content>
                <p>an undertaking to pay a specified amount within a specified period to the Commonwealth or to some other specified person.</p>
              </content>
            </paragraph>

            <heading>Failure to comply with derivative transaction rules does not invalidate transaction etc.</heading>
            <content>
              <p>A failure, in relation to a derivative transaction, to comply with a requirement of the derivative transaction rules does not invalidate the transaction or affect any rights or obligations arising under, or relating to, the transaction.</p>
              <p>Subdivision C——The process of making of derivative transaction rules</p>

                <p>If a licensed derivative trade repository is wholly or partly operated in a foreign country, ASIC may, to such extent as ASIC considers appropriate, perform the function of supervising the repository by satisfying itself:</p>
              </content>

              <content>
                <p>that the regulatory regime that applies in relation to the repository in that country provides for adequate supervision of the repository; or</p>
              </content>
            </paragraph>

                <p>that adequate cooperative arrangements are in place with an appropriate authority of that country to ensure that the repository will be adequately supervised by that authority.</p>
              </content>
            </paragraph>

              <p>Subdivision A—Power to make derivative trade repository rules</p>
            </content>

            <heading>ASIC may make derivative trade repository rules</heading>
            <content>
              <p>Power to make derivative trade repository rules</p>
              <p>Note:	Subdivision C deals with the process of making derivative trade repository rules.</p>
              <p>Main matters that may be dealt with in derivative trade repository rules</p>
              <p>Note:	Paragraph (a): the rules may (for example) require licensed derivative trade repositories to provide open and non-discriminatory access to their services.</p>
              <p>Other matters that may be dealt with in derivative trade repository rules</p>
              <p>Penalty amounts</p>
              <p>Rules may provide that derivative trade data is taken to be given to ASIC in confidence</p>
              <p>is to be taken, for the purpose of <ref href="#sec-127">section 127</ref> (confidentiality) of the ASIC Act, to be given to ASIC in confidence in connection with the performance of ASIC’s functions under this Act.</p>
              <p>Note:	Subsections (5) and (6) do not limit the circumstances in which information given to ASIC by a licensed derivative trade repository may, for the purpose of <ref href="#sec-127">section 127</ref> of the ASIC Act, be regarded as having been given to ASIC in confidence in connection with the performance of ASIC’s functions under this Act.</p>

                <p>	(1)	Subject to this Division, ASIC may, by legislative instrument, make rules (<b><i>derivative trade repository rules</i></b>) dealing with matters as permitted by this section.</p>
              </content>
            </hcontainer>

              <content>
                <p>The derivative trade repository rules may (subject to this Division) deal with all or any of the following matters (including by imposing requirements for or relating to any of the following matters):</p>
              </content>

              <num>a</num>
              <content>
                <p>the manner in which licensed derivative trade repositories provide their services;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-b">
              <num>b</num>
              <content>
                <p>the handling or use of derivative trade data by licensed derivative trade repositories and their officers and employees, including the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-i">
              <num>i</num>
              <content>
                <p>the acceptance and retention of derivative trade data;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-ii">
              <num>ii</num>
              <content>
                <p>the creation of statistical data from derivative trade data;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-iii">
              <num>iii</num>
              <content>
                <p>	(iii)	the use and disclosure of, and provision of access to,<i> </i>derivative trade data (including statistical data referred to in subparagraph (ii));</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-c">
              <num>c</num>
              <content>
                <p>the governance, management and resources (including financial, technological and human resources) of licensed derivative trade repositories, including the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-i">
              <num>i</num>
              <content>
                <p>the handling of conflicts of interest;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-ii">
              <num>ii</num>
              <content>
                <p>the monitoring and enforcement of compliance with obligations;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-iii">
              <num>iii</num>
              <content>
                <p>the resources that licensed derivative trade repositories should have (including requirements relating to the experience, qualifications or fitness for office of operators and their officers and employees);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-iv">
              <num>iv</num>
              <content>
                <p>the integrity and security of computer systems and other systems;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-v">
              <num>v</num>
              <content>
                <p>operational reliability;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-vi">
              <num>vi</num>
              <content>
                <p>business continuity planning;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-vii">
              <num>vii</num>
              <content>
                <p>the operational separation of functions;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-viii">
              <num>viii</num>
              <content>
                <p>the outsourcing of functions to other entities;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-d">
              <num>d</num>
              <content>
                <p>the disclosure of conditions (including fees) on which licensed derivative trade repositories provide their services;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-e">
              <num>e</num>
              <content>
                <p>the reporting to ASIC or other regulators of matters related to licensed derivative trade repositories.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-903A__subclause-3">
              <num>3</num>
              <content>
                <p>The derivative trade repository rules may also (subject to this Division) deal with matters incidental or related to matters referred to in subsection (2), including any of the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-903A__para-a">
              <num>a</num>
              <content>
                <p>specifying the persons (being persons referred to in <ref href="#sec-903B">section 903B</ref>) who are required to comply with requirements imposed by the rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-b">
              <num>b</num>
              <content>
                <p>the manner and form in which persons must comply with requirements imposed by the rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-c">
              <num>c</num>
              <content>
                <p>the circumstances in which persons are, or may be, relieved from complying with requirements in the rules that would otherwise apply to them;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-d">
              <num>d</num>
              <content>
                <p>the keeping of records, or the provision of records or other information, relating to compliance with (or determining whether there has been compliance with) the rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-e">
              <num>e</num>
              <content>
                <p>any other matters that the provisions of this Act provide may be dealt with in the derivative trade repository rules.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-903A__subclause-4">
              <num>4</num>
              <content>
                <p>The derivative trade repository rules may specify a penalty amount for a rule. A penalty amount must not exceed <quantity refersTo="#penaltyUnit">1,000 penalty units</quantity>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-903A__subclause-5">
              <num>5</num>
              <content>
                <p>The derivative trade repository rules may provide, either generally or in circumstances specified in the rules, that information given to ASIC, by the operator (or an officer of the operator) of a licensed derivative trade repository, under a provision of:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-903A__para-a">
              <num>a</num>
              <content>
                <p>this Part; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-b">
              <num>b</num>
              <content>
                <p>regulations made for the purpose of this Part; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903A__para-c">
              <num>c</num>
              <content>
                <p>the derivative transaction rules or the derivative trade repository rules;</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-903A__subclause-6">
              <num>6</num>
              <content>
                <p>Derivative trade repository rules that provide as mentioned in subsection (5) have effect accordingly for the purpose of <ref href="#sec-127">section 127</ref> of the ASIC Act.</p>
              </content>
            </hcontainer>
          </hcontainer>

            <num>903B</num>
            <heading>Rules may only impose requirements on operators and officers of licensed derivative trade repositories</heading>
            <content>
              <p>The only persons on whom the derivative trade repository rules may impose requirements are:</p>
              <p>Note:	Requirements may also be imposed on these persons by the derivative transaction rules.</p>
            </content>
            <paragraph eId="schedule-1__clause-903B__para-a">
              <num>a</num>
              <content>
                <p>operators of licensed derivative trade repositories; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903B__para-b">
              <num>b</num>
              <content>
                <p>officers of licensed derivative trade repositories.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-903C">
            <num>903C</num>
            <heading>Regulations may limit how rules may deal with matters related to derivative trade data</heading>
            <content>
              <p>The regulations may prescribe limits on the extent to which, or the way in which, the derivative trade repository rules may deal with matters referred to in paragraph 903A(2)(b).</p>
              <p>Subdivision B—Compliance with derivative trade repository rules</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-903D">
            <num>903D</num>
            <heading>Obligation to comply with derivative trade repository rules</heading>
            <content>
              <p>A person must comply with provisions of the derivative trade repository rules that apply to the person.</p>
              <p>Note 1:	This section is a civil penalty provision (see <ref href="#sec-1317E">section 1317E</ref>). For relief from liability to a civil penalty relating to this section, see <ref href="#sec-1317S">section 1317S</ref>.</p>
              <p>Note 2:	The only persons on whom derivative trade repository rules may impose requirements are operators of licensed derivative trade repositories, and officers of such operators (see <ref href="#sec-903B">section 903B</ref>).</p>
              <p>Note 3:	If there is an inconsistency between the market integrity rules and the derivative trade repository rules, the market integrity rules prevail: see subsection 798H(3).</p>
              <p>Note 4:	If there is an inconsistency between the standards determined under <ref href="#sec-827D">section 827D</ref> and the derivative trade repository rules, the standards prevail: see subsection 827D(2A).</p>
              <p>Note 5:	If there is an inconsistency between the derivative transaction rules and the derivative trade repository rules, the derivative transaction rules prevail: see subsection 901E(2).</p>

            <heading>Alternatives to civil proceedings</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-903E__subclause-1">
              <num>1</num>
              <content>
                <p>The regulations may provide for a person who is alleged to have contravened <ref href="#sec-903D">section 903D</ref> to do one or more of the following as an alternative to civil proceedings:</p>
              </content>

            <paragraph eId="schedule-1__clause-903E__para-a">
              <num>a</num>
              <content>
                <p>pay a penalty to the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903E__para-b">

              <content>
                <p>undertake or institute remedial measures (including education programs);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903E__para-c">
              <num>c</num>
              <content>
                <p>accept sanctions other than the payment of a penalty to the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903E__para-d">
              <num>d</num>
              <content>
                <p>enter into a legally enforceable undertaking.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-903E__subclause-2">
              <num>2</num>
              <content>
                <p>The penalty payable under regulations made under paragraph (1)(a) in relation to a derivative trade repository rule must not exceed one-fifth of the penalty amount specified for the rule in the derivative trade repository rules.</p>
              </content>
            </hcontainer>

              <num>3</num>

                <p>Without limiting regulations that may be made for the purpose of paragraph (1)(d), those regulations may provide for one or more of the following kinds of undertakings:</p>
              </content>

              <num>a</num>
              <content>
                <p>an undertaking to take specified action within a specified period;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903E__para-b">

                <p>an undertaking to refrain from taking specified action;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903E__para-c">
              <num>c</num>
              <content>
                <p>an undertaking to pay a specified amount within a specified period to the Commonwealth or to some other specified person.</p>
              </content>
            </paragraph>
            <content>
              <p>Subdivision C—The process of making derivative trade repository rules</p>
            </content>

            <heading>Matters to which ASIC has regard when making rules</heading>
            <content>
              <p>In considering whether to make a derivative trade repository rule, ASIC:</p>

                <p>the likely regulatory impact of the proposed rule; and</p>
              </content>
            </paragraph>

                <p>may have regard to any other matters that ASIC considers relevant.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903F__para-a">

                <p>any relevant international standards and international commitments; and</p>

            </paragraph>

                <p>However, if ASIC does so, ASIC must:</p>

                <p>provide <role refersTo="#minister">the Minister</role>, on the following day, with a written explanation of the need for the rule; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-903J__para-b">
              <num>b</num>
              <content>
                <p>amend or revoke the rule in accordance with any written directions of <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </paragraph>

            <heading>Amendment and revocation of derivative trade repository rules</heading>

                <p>	(1)	ASIC may amend or revoke a derivative trade repository rule in like manner and subject to like conditions (see subsections 33(3) and (3AA) of the <i>Acts Interpretation Act 1901</i>).</p>

                <p>take all reasonable steps to ensure that no disqualified individual becomes, or remains, involved in the operator (see <ref href="#dvs-2">Division 2</ref> of <ref href="#part-7">Part 7</ref>.4).</p>

            <heading>Obligations relating to derivative trade data</heading>

                <p>	(1)	A derivative trade repository licensee, or an officer or employee of a derivative trade repository licensee, may use or disclose<i> </i>derivative trade data only if:</p>

              <content>
                <p>the use or disclosure:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-i">
              <num>i</num>

                <p>is for the purpose of, or occurs in the course of, the provision of the repository’s services, or the performance of the duties of the officer or employee as an officer or employee of the licensee; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-ii">
              <num>ii</num>
              <content>
                <p>is not excluded by regulations made for the purpose of this subparagraph; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-b">
              <num>b</num>
              <content>
                <p>the use or disclosure is required or permitted by any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-i">
              <num>i</num>
              <content>
                <p>another provision of this Act;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-ii">
              <num>ii</num>
              <content>
                <p>the derivative transaction rules or the derivative trade repository rules;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-iii">
              <num>iii</num>
              <content>
                <p>another law of the Commonwealth, or a law of a State or Territory.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-904B__subclause-2">

              <content>
                <p>Any of the following persons or bodies may request a derivative trade repository licensee to provide the person or body with derivative trade data that is retained in the derivative trade repository:</p>
              </content>
            </hcontainer>

              <num>a</num>
              <content>
                <p>ASIC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-b">
              <num>b</num>
              <content>
                <p>APRA;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-c">
              <num>c</num>
              <content>
                <p>the Reserve Bank of Australia;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-d">
              <num>d</num>
              <content>
                <p>a person or body prescribed by the regulations for the purpose of this paragraph;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-e">
              <num>e</num>
              <content>
                <p>another derivative trade repository licensee.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-904B__subclause-3">
              <num>3</num>
              <content>
                <p>Regulations must not be made prescribing a person or body for the purpose of paragraph (2)(d) unless <role refersTo="#minister">the Minister</role> is satisfied that there are adequate controls on the use or disclosure of any derivative trade data provided to the person or body pursuant to requests under subsection (2).</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904B__subclause-4">
              <num>4</num>
              <content>
                <p>The regulations may require that certain information must not be included in derivative trade data provided pursuant to requests, or a class of requests, under subsection (2).</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904B__subclause-5">
              <num>5</num>
              <content>
                <p>If:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904B__para-a">
              <num>a</num>
              <content>
                <p>a derivative trade repository licensee receives a request for derivative trade data under subsection (2); and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-b">
              <num>b</num>
              <content>
                <p>the licensee is not excused or prohibited from complying with the request by:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-i">
              <num>i</num>
              <content>
                <p>regulations made for the purpose of this subparagraph; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-ii">
              <num>ii</num>
              <content>
                <p>the derivative trade repository rules or the derivative transaction rules;</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-904B__subclause-6">
              <num>6</num>
              <content>
                <p>The regulations may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904B__para-a">
              <num>a</num>
              <content>
                <p>impose obligations on operators of licensed derivative trade repositories to:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-i">
              <num>i</num>
              <content>
                <p>create statistical information from derivative trade data; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-ii">
              <num>ii</num>
              <content>
                <p>to provide that statistical information to a person or persons, or to make it available, in accordance with the regulations; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904B__para-b">
              <num>b</num>
              <content>
                <p>provide for offences in relation to those obligations.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904C">
            <num>904C</num>
            <heading>Obligation to notify ASIC of certain matters</heading>
            <content>
              <p>Notification of inability to meet obligations under 904A</p>
              <p>Note:	Failure to comply with this subsection is an offence (see subsection 1311(1)).</p>
              <p>Notification of changes to directors, secretaries or senior managers</p>
              <p>Note 1:	To the extent that the licensee is required to give the notice and information under any other provision of this Act, the licensee may comply with this subsection by doing so. It need not provide the same information twice.</p>
              <p>Note 2:	Failure to comply with this subsection is an offence (see subsection 1311(1)).</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-904C__subclause-1">
              <num>1</num>
              <content>
                <p>A derivative trade repository licensee must give written notice to ASIC, as soon as practicable, if the licensee becomes aware that it may no longer be able to meet, or has breached, an obligation under <ref href="#sec-904A">section 904A</ref>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904C__subclause-2">
              <num>2</num>
              <content>
                <p>If ASIC receives a notice under subsection (1), ASIC may give <role refersTo="#minister">the Minister</role> advice about the matter to which the notice relates.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904C__subclause-3">
              <num>3</num>
              <content>
                <p>As soon as practicable after a person becomes or ceases to be a director, secretary or senior manager of a derivative trade repository licensee or of a holding company of a derivative trade repository licensee (including when a person changes from one of those positions to another), the licensee must give written notice of this to ASIC. The notice must include such other information about the matter as is prescribed by the regulations for the purpose of this subsection.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904D">
            <num>904D</num>
            <heading>Obligation to assist ASIC, APRA and the Reserve Bank</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904D__subclause-1">
              <num>1</num>
              <content>
                <p>Each of the following is a regulator to which this section applies:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904D__para-a">
              <num>a</num>
              <content>
                <p>ASIC;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904D__para-b">
              <num>b</num>
              <content>
                <p>APRA;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904D__para-c">
              <num>c</num>
              <content>
                <p>the Reserve Bank of Australia.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-904D__subclause-2">
              <num>2</num>
              <content>
                <p>A derivative trade repository licensee must give such assistance to a regulator to which this section applies as the regulator reasonably requests in relation to the performance of the regulator’s functions.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	Failure to comply with this subsection is an offence (see subsection 1311(1)).</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-904D__subclause-3">
              <num>3</num>
              <content>
                <p>Such assistance may include showing the regulator the licensee’s books or giving the regulator derivative trade data or other information.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904E">
            <num>904E</num>
            <heading>Obligation to give ASIC access to derivative trade repository facilities</heading>
            <content>
              <p>A derivative trade repository licensee must give ASIC such reasonable access to the repository’s facilities as ASIC requests for any of the purposes of this Part.</p>
              <p>Note:	Failure to comply with this section is an offence (see subsection 1311(1)).</p>
              <p>Subdivision B—Powers of Minister and ASIC to give directions etc.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904F">
            <num>904F</num>
            <heading>Minister’s power to give directions to licensee not complying with obligations</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904F__subclause-1">
              <num>1</num>
              <content>
                <p>If <role refersTo="#minister">the Minister</role> considers that a derivative trade repository licensee is not complying with its obligations as a derivative trade repository licensee under this Part, <role refersTo="#minister">the Minister</role> may give the licensee a written direction to do specified things that <role refersTo="#minister">the Minister</role> believes will promote compliance by the licensee with those obligations.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904F__subclause-2">
              <num>2</num>
              <content>
                <p>The licensee must comply with the direction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904F__subclause-3">
              <num>3</num>
              <content>
                <p>If the licensee fails to comply with the direction, ASIC may apply to the Court for, and the Court may make, an order that the licensee comply with the direction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904F__subclause-4">
              <num>4</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may vary or revoke a direction at any time by giving written notice to the licensee.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904G">
            <num>904G</num>
            <heading>ASIC’s power to give directions to licensee not complying with obligations</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-1">
              <num>1</num>
              <content>
                <p>If ASIC considers that a derivative trade repository licensee is not complying with its obligations as a derivative trade repository licensee under this Part, ASIC may give the licensee written advice that it intends to give the licensee a specified direction to do specified things that ASIC believes will promote compliance by the licensee with those obligations. The advice must include the reasons for ASIC’s intention to give the direction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-2">
              <num>2</num>
              <content>
                <p>As soon as practicable after giving the advice to the licensee, ASIC must give notice of the advice to the operator of each financial market, and of each clearing and settlement facility, with which the licensed derivative trade repository has arrangements to provide services relating to derivative trade data.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-3">
              <num>3</num>
              <content>
                <p>If:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904G__para-a">
              <num>a</num>
              <content>
                <p>after receiving ASIC’s advice and reasons, the licensee does not take steps that in ASIC’s view are adequate to address the situation; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904G__para-b">
              <num>b</num>
              <content>
                <p>ASIC still considers that it is appropriate to give the direction to the licensee;</p>
              </content>
            </paragraph>
            <content>
              <p>ASIC may give the licensee the direction, in writing, with a statement setting out the reasons for giving the direction.</p>
              <p>Note:	Failure to comply with this subsection is an offence (see subsection 1311(1)).</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-4">
              <num>4</num>
              <content>
                <p>The direction has effect until the earlier of the following times:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904G__para-a">
              <num>a</num>
              <content>
                <p>the time ASIC revokes the direction under subsection (9);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904G__para-b">
              <num>b</num>
              <content>
                <p>the end of the period (which may be up to 21 days) specified in the direction as the period during which the direction is effective.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-5">
              <num>5</num>
              <content>
                <p>While the direction has effect, the licensee must comply with the direction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-6">
              <num>6</num>
              <content>
                <p>If the licensee fails to comply with the direction, ASIC may apply to the Court for, and the Court may make, an order that the licensee comply with the direction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-7">
              <num>7</num>
              <content>
                <p>As soon as practicable after making or varying (see subsection (8)) the direction, ASIC must give a copy of the direction or variation to each of the operators referred to in subsection (2).</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-8">
              <num>8</num>
              <content>
                <p>ASIC may vary the direction by giving written notice to the licensee.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904G__subclause-9">
              <num>9</num>
              <content>
                <p>ASIC may revoke the direction by giving written notice to the licensee. ASIC must also give written notice of the revocation to each of the operators mentioned in subsection (2).</p>
              </content>
            </hcontainer>
          </hcontainer>

            <num>904H</num>
            <heading>ASIC’s power to give directions requiring special reports</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904H__subclause-1">
              <num>1</num>
              <content>
                <p>ASIC may give a derivative trade repository licensee a written direction requiring the licensee to give ASIC a special report on specified matters. ASIC may give a copy of the report to <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904H__subclause-2">
              <num>2</num>
              <content>
                <p>The direction may also require the licensee to give ASIC an audit report on the special report. ASIC must nominate a specified person or body that is suitably qualified to prepare the audit report.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904H__subclause-3">
              <num>3</num>
              <content>
                <p>The licensee must give the special report, and audit report (if required), to ASIC within the time required by the direction.</p>
              </content>
            </hcontainer>
            <content>

          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-904J">
            <num>904J</num>
            <heading>ASIC may assess licensee’s compliance</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904J__subclause-1">
              <num>1</num>
              <content>
                <p>ASIC may do an assessment of how well a derivative trade repository licensee is complying with any or all of its obligations as a derivative trade repository licensee under this Part. In doing the assessment, ASIC may take account of any information and reports that it thinks appropriate.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904J__subclause-2">
              <num>2</num>
              <content>
                <p>As soon as practicable after doing an assessment under this section, ASIC must give a written report on the assessment to the licensee. ASIC may give a copy of the report to <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904J__subclause-3">
              <num>3</num>
              <content>
                <p>If an assessment, or part of an assessment, relates to any other person’s affairs to a material extent, ASIC may, at the person’s request or on its own initiative, give the person a copy of the report on the assessment or the relevant part of the report.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904J__subclause-4">
              <num>4</num>
              <content>
                <p>If an assessment, or part of an assessment, relates to a serious contravention of a law of the Commonwealth or of a State or Territory, ASIC may give a copy of the report on the assessment, or the relevant part of the report, to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904J__para-a">
              <num>a</num>
              <content>
                <p>the Australian Federal Police; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904J__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the Chief Executive Officer of the Australian Crime Commission or a member of the staff of the ACC (within the meaning of the <i>Australian Crime Commission Act 2002</i>); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904J__para-c">
              <num>c</num>
              <content>
                <p>the Director of Public Prosecutions; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904J__para-d">

                <p>a person or body prescribed by the regulations for the purpose of this paragraph.</p>

            </paragraph>

                <p>The written report on an assessment, or part of the report, may be published in any way that ASIC thinks appropriate.</p>

                <p>A report on an assessment is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>

            <heading>Directions relating to derivative trade data if repository ceases to be licensed</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-904K__subclause-1">
              <num>1</num>
              <content>
                <p>This section applies to derivative trade data that was being retained in a derivative trade repository before the repository ceased to be a licensed derivative trade repository.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-904K__subclause-2">
              <num>2</num>
              <content>
                <p>ASIC may give a written direction to a person referred to in subsection (3):</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-904K__para-a">
              <num>a</num>
              <content>
                <p>requiring the person to deal, in a specified way, with derivative trade data to which this section applies; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-904K__para-b">
              <num>b</num>
              <content>
                <p>imposing limitations on the use or disclosure by the person of derivative trade data to which this section applies.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	A direction could, for example, require the person:</p>
              <p>Note:	Failure to comply with this subsection is an offence (see subsection 1311(1)).</p>
              <p>Subdivision A—Requirement for some trade repositories to be licensed</p>
            </content>
            <paragraph eId="schedule-1__clause-904K__para-a">
              <num>a</num>

                <p>to destroy all records of the data over which the person has control; or</p>
              </content>
            </paragraph>

            </paragraph>

                <p>While the direction has effect, the person to whom the direction is given must comply with the direction.</p>
              </content>

                <p>If the person to whom the direction is given fails to comply with the direction, ASIC may apply to the Court for, and the Court may make, an order that the person comply with the direction.</p>

                <p>The direction has effect until it is revoked under subsection (7).</p>

            <heading>Regulations may identify derivative trade repositories as being required to be licensed</heading>

                <p>The regulations may identify one or more classes of derivative trade repositories as being required to be licensed under this Part.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	Subject to this Part, derivative trade repositories may be licensed under this Part even if they are not required to be licensed.</p>
              <p>Note 1:	Failure to comply with this subsection is an offence: see subsection 1311(1).</p>

              <p>Subdivision B—Granting of licences</p>

            <heading>How to apply for a licence</heading>

              <p>		A body corporate may, by lodging an application with ASIC in the prescribed form, apply for a licence (an <b><i>Australian derivative trade repository licence</i></b>) authorising the body corporate to operate a derivative trade repository.</p>

            <heading>When a licence may be granted</heading>

              <p>General</p>
              <p>This subsection has effect subject to subsections (2) and (3).</p>

                <p>ASIC may grant an applicant an Australian derivative trade repository licence if ASIC is satisfied that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905C__para-a">
              <num>a</num>
              <content>
                <p>the application was made in accordance with <ref href="#sec-905B">section 905B</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905C__para-b">
              <num>b</num>
              <content>
                <p>the applicant will comply with the obligations that will apply if the licence is granted; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905C__para-c">
              <num>c</num>
              <content>
                <p>no disqualified individual appears to be involved in the applicant (see <ref href="#dvs-2">Division 2</ref> of <ref href="#part-7">Part 7</ref>.4).</p>
              </content>
            </paragraph>

              <num>2</num>
              <content>
                <p>If the applicant is a foreign body corporate, ASIC must not grant the applicant a licence unless the applicant is registered under <ref href="#dvs-2">Division 2</ref> of <ref href="#part-5B">Part 5B</ref>.2.</p>
              </content>
            </hcontainer>

              <num>3</num>
              <content>
                <p>ASIC must not grant the applicant a licence unless 42 days have passed since the application was made and ASIC has not given a notice under subsection 853D(2) to the applicant within that 42 days.</p>

            <num>905D</num>
            <heading>Publication of notice of licence grant</heading>
            <content>
              <p>		If ASIC grants an Australian derivative trade repository licence, ASIC must publish a notice in the <i>Gazette</i> stating:</p>
            </content>
            <paragraph eId="schedule-1__clause-905D__para-a">
              <num>a</num>
              <content>
                <p>the name of the licensee; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905D__para-b">
              <num>b</num>
              <content>
                <p>when the licence was granted; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905D__para-c">
              <num>c</num>
              <content>
                <p>the conditions on the licence.</p>
              </content>
            </paragraph>
          </hcontainer>

            <num>905E</num>
            <heading>More than one derivative trade repository covered by the same licence</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905E__subclause-1">
              <num>1</num>
              <content>
                <p>The same Australian derivative trade repository licence may authorise the licensee to operate 2 or more derivative trade repositories.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-905E__subclause-2">
              <num>2</num>
              <content>
                <p>In that case, a reference in this Chapter to the derivative trade repository to which an Australian derivative trade repository licence relates is taken instead to be a reference to each of those derivative trade repositories severally.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-905E__subclause-3">
              <num>3</num>
              <content>
                <p>Before varying the conditions on an Australian derivative trade repository licence so as to add another derivative trade repository that the licensee is authorised to operate, ASIC must be satisfied of the matters listed in subsection 905C(1) in relation to the repository.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-905E__subclause-4">
              <num>4</num>
              <content>
                <p>An Australian derivative trade repository licence that authorises the licensee to operate 2 or more derivative trade repositories may be suspended or cancelled under Subdivision D in respect of one or some of those repositories only, as if the licensee held a separate licence for each of the repositories.</p>
              </content>
            </hcontainer>
            <content>
              <p>Subdivision C—The conditions on a licence</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905F">
            <num>905F</num>
            <heading>The conditions on the licence</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905F__subclause-1">
              <num>1</num>
              <content>
                <p>ASIC may, at any time:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905F__para-a">
              <num>a</num>
              <content>
                <p>impose conditions, or additional conditions, on an Australian derivative trade repository licence; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-b">
              <num>b</num>
              <content>
                <p>vary or revoke conditions imposed on such a licence;</p>
              </content>
            </paragraph>
            <content>
              <p>by giving written notice to the licensee. ASIC must also publish a notice in the <i>Gazette</i> with details of the action and when it took effect.</p>
              <p>Note:	As well as the requirements in this section, ASIC must also have regard to the matters in <ref href="#sec-905P">section 905P</ref>.</p>
              <p>Note 1:	See <ref href="#sec-350">section 350</ref> for how to lodge an application in the prescribed form.</p>
              <p>Note 2:	For fees in respect of lodging applications, see <ref href="#part-9">Part 9</ref>.10.</p>
              <p>This subsection does not apply to ASIC imposing conditions when a licence is granted.</p>
              <p>Note:	The licence condition required by paragraph (b) does not apply to services that a licensed derivative trade repository provides otherwise than for the purposes of this Part.</p>
              <p>Subdivision D—When a licence can be varied, suspended or cancelled</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-905F__subclause-2">
              <num>2</num>
              <content>
                <p>ASIC may do so:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905F__para-a">
              <num>a</num>
              <content>
                <p>on its own initiative, subject to subsection (3); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-b">
              <num>b</num>
              <content>
                <p>if the licensee lodges an application with ASIC in the prescribed form, seeking the imposition of the conditions or additional conditions, or seeking the variation or revocation of conditions.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-905F__subclause-3">
              <num>3</num>
              <content>
                <p>ASIC may only impose conditions or additional conditions, or vary or revoke conditions, on the licence on ASIC’s own initiative if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905F__para-a">
              <num>a</num>
              <content>
                <p>ASIC considers it appropriate to do so having regard to:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-i">
              <num>i</num>
              <content>
                <p>the licensee’s obligations as a derivative trade repository licensee under this Part; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-ii">
              <num>ii</num>
              <content>
                <p>any change in the operations of the derivative trade repository, or in the conditions in which the repository is operating; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-b">
              <num>b</num>
              <content>
                <p>ASIC gives the licensee written notice of the proposed action and an opportunity to make a submission before it takes effect.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-905F__subclause-4">
              <num>4</num>
              <content>
                <p>ASIC must ensure that each Australian derivative trade repository licence is subject to conditions that specify:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905F__para-a">
              <num>a</num>
              <content>
                <p>the particular derivative trade repository that the licensee is authorised to operate; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905F__para-b">
              <num>b</num>
              <content>
                <p>the class or classes of derivatives in respect of which the repository can provide services for the purposes of this Part.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905G">
            <num>905G</num>
            <heading>Varying licences</heading>
            <content>
              <p>ASIC may vary an Australian derivative trade repository licence to take account of a change in the licensee’s name if the licensee lodges an application with ASIC in the prescribed form, seeking the variation.</p>
              <p>Note 1:	The conditions on the licence can be varied under <i>.</i><ref href="#sec-905F">section 905F</ref></p>
              <p>Note 2:	See <ref href="#sec-350">section 350</ref> for how to lodge an application in the prescribed form.</p>

            <heading>Immediate suspension or cancellation</heading>
            <content>
              <p>ASIC may, by giving written notice to a derivative trade repository licensee, suspend the licence for a specified period, or cancel it, if:</p>
            </content>
            <paragraph eId="schedule-1__clause-905H__para-a">
              <num>a</num>
              <content>
                <p>the licensee ceases to carry on the business of operating the derivative trade repository; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905H__para-b">
              <num>b</num>
              <content>
                <p>the licensee becomes an externally-administered body corporate; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905H__para-c">
              <num>c</num>
              <content>
                <p>the licensee asks ASIC to do so.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905J">
            <num>905J</num>
            <heading>Suspension or cancellation following hearing and report</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905J__subclause-1">
              <num>1</num>
              <content>
                <p>If ASIC considers that a derivative trade repository licensee has breached, or is in breach of, one or more of its obligations as a derivative trade repository licensee under this Part, ASIC may give the licensee a written notice that requires the licensee to show cause, at a hearing before a specified person, why the licence should not be suspended or cancelled.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-905J__subclause-2">
              <num>2</num>
              <content>
                <p>The notice must specify:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905J__para-a">
              <num>a</num>
              <content>
                <p>the grounds on which it is proposed to suspend or cancel the licence; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-b">
              <num>b</num>
              <content>
                <p>a reasonable time and place at which the hearing is to be held.</p>
              </content>
            </paragraph>
            <content>
              <p>However, if the licensee consents, the person conducting the hearing may fix a different time or place.</p>
              <p>Note:	ASIC must also have regard to the matters in <ref href="#sec-905P">section 905P</ref>.</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-905J__subclause-3">
              <num>3</num>
              <content>
                <p>The person conducting the hearing must:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905J__para-a">
              <num>a</num>
              <content>
                <p>give the licensee an opportunity to be heard at the hearing; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-b">
              <num>b</num>
              <content>
                <p>give ASIC:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-i">
              <num>i</num>
              <content>
                <p>a report about the hearing; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-ii">
              <num>ii</num>
              <content>
                <p>a recommendation about the grounds in the notice on which it is proposed to suspend or cancel the licence.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-905J__subclause-4">
              <num>4</num>
              <content>
                <p>After considering the report and recommendation, ASIC may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905J__para-a">
              <num>a</num>
              <content>
                <p>decide to take no further action in relation to the matter and give written advice of that decision to the licensee; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-b">
              <num>b</num>
              <content>
                <p>suspend the licence for a specified period, or cancel the licence, by giving written notice to the licensee.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-905J__subclause-5">
              <num>5</num>
              <content>
                <p>None of the following is a legislative instrument:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905J__para-a">
              <num>a</num>
              <content>
                <p>a notice under subsection (1);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905J__para-b">
              <num>b</num>
              <content>
                <p>a report under subsection (3) (if it is in writing).</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905K">
            <num>905K</num>
            <heading>Effect of suspension</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905K__subclause-1">
              <num>1</num>
              <content>
                <p>A person whose Australian derivative trade repository licence is suspended is taken not to hold that licence while it is suspended.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-905K__subclause-2">
              <num>2</num>
              <content>
                <p>However, ASIC may specify in the written notice to the licensee under <ref href="#sec-905H">section 905H</ref>, or paragraph 905J(4)(b), that subsection (1) of this section does not apply for specified purposes.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905L">
            <num>905L</num>
            <heading>Variation or revocation of suspension</heading>
            <content>
              <p>ASIC may at any time vary or revoke a suspension of an Australian derivative trade repository licence by giving written notice to the licensee.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-905M">
            <num>905M</num>
            <heading>Publication of notice of licence suspension or cancellation</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905M__subclause-1">

                <p>If ASIC:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905M__para-a">
              <num>a</num>
              <content>
                <p>suspends, or varies or revokes a suspension of, an Australian derivative trade repository licence; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905M__para-b">
              <num>b</num>
              <content>
                <p>cancels an Australian derivative trade repository licence;</p>
              </content>
            </paragraph>
            <content>
              <p>ASIC must publish a notice in the <i>Gazette</i> to that effect.</p>
            </content>

              <num>2</num>
              <content>
                <p>The notice must state when the action took effect.</p>
              </content>
            </hcontainer>
          </hcontainer>

            <heading>Suspension and cancellation only in accordance with this Subdivision</heading>
            <content>
              <p>An Australian derivative trade repository licence cannot be varied, suspended or cancelled otherwise than in accordance with this Subdivision.</p>
              <p>Note:	The conditions on the licence can be varied under <ref href="#sec-905F">section 905F</ref>.</p>
              <p>Subdivision E—Other matters</p>
            </content>
          </hcontainer>

            <heading>Matters to be taken into account by ASIC</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-905P__subclause-1">
              <num>1</num>
              <content>
                <p>ASIC must have regard to certain matters in deciding whether to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905P__para-a">
              <num>a</num>
              <content>
                <p>grant an applicant an Australian derivative trade repository licence under <ref href="#sec-905C">section 905C</ref>; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-b">
              <num>b</num>
              <content>
                <p>impose, vary or revoke conditions on such a licence under <ref href="#sec-905F">section 905F</ref>; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-c">
              <num>c</num>
              <content>
                <p>suspend or cancel such a licence under <ref href="#sec-905J">section 905J</ref>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-905P__subclause-2">
              <num>2</num>
              <content>
                <p>The matters ASIC must have regard to are as follows:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-905P__para-a">
              <num>a</num>
              <content>
                <p>the structure, or proposed structure, of the derivative trade repository;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-b">
              <num>b</num>
              <content>
                <p>the nature of the activities conducted, or proposed to be conducted, by the derivative trade repository;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-c">
              <num>c</num>
              <content>
                <p>the size, or proposed size, of the derivative trade repository;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-d">
              <num>d</num>
              <content>
                <p>the persons who are, or may be, required to report derivative trade data to the derivative trade repository;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-e">
              <num>e</num>
              <content>
                <p>the technology used, or proposed to be used, in the operation of the derivative trade repository;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-905P__para-f">
              <num>f</num>
              <content>
                <p>whether it would be in the public interest to take the action referred to in subsection (1).</p>
              </content>
            </paragraph>
            <content>
              <p>ASIC may also have regard to any other matter that ASIC considers relevant.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-906A">
            <num>906A</num>
            <heading>Regulations may impose obligations and confer powers</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-906A__subclause-1">
              <num>1</num>
              <content>
                <p>The regulations may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-906A__para-a">
              <num>a</num>
              <content>
                <p>impose obligations on operators of prescribed derivative trade repositories, and on their officers and employees; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-906A__para-b">
              <num>b</num>
              <content>
                <p>confer powers on ASIC in relation to prescribed derivative trade repositories; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-906A__para-c">
              <num>c</num>
              <content>
                <p>provide for offences in relation to those obligations and powers.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	For the limit on penalties for offences against the regulations, see paragraph 1364(2)(w).</p>
              <p>Note:	Subsections (3) and (4) do not limit the circumstances in which information given to ASIC by a prescribed derivative trade repository may, for the purpose of <ref href="#sec-127">section 127</ref> of the ASIC Act, be regarded as having been given to ASIC in confidence in connection with the performance of ASIC’s functions under this Act.</p>

                <p>the protected person does so, in good faith, in compliance with a requirement imposed by or under:</p>

                <p>An exemption may apply unconditionally or subject to specified conditions. A person to whom a condition specified in an exemption applies must comply with the condition. The Court may order the person to comply with the condition in a specified way. Only ASIC may apply to the Court for the order.</p>
