          <p>		This Act may be cited as the <i>Health Workforce Australia</i><i> (Abolition)</i><i> Act 201</i><i>4</i>.</p>

        <heading>Commencement</heading>
        <subsection eId="sec-2__subsec-1">
          <num>1</num>
          <content>
            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

              <p>Note:	The expressions <b><i>SES employee</i></b> and <b><i>acting SES employee</i></b><i> </i>are defined in the <i>Acts Interpretation Act 1901</i>.</p>

                <p>In exercising powers or functions under a delegation, the delegate must comply with any directions of <role refersTo="#minister">the Minister</role>.</p>

              <p>Health Workforce Australia Act 2009</p>

            <heading>The whole of the Act</heading>
            <content>
              <p>Repeal the Act.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-20">
            <num>20</num>
            <heading>Definitions</heading>
            <content>
              <p>In this Part:</p>
              <p><b><i>asset</i></b> means:</p>
              <p><b><i>assets official</i></b>, in relation to an asset other than land, means the person or authority who:</p>
              <p>has responsibility for keeping a register in relation to assets of the kind concerned.</p>
              <p><b><i>commencement time</i></b> means the commencement of Part 2 of this Schedule.</p>
              <p><b><i>HWA</i></b><i> </i>means Health Workforce Australia.</p>
              <p><b><i>land</i></b> means any legal or equitable estate or interest in real property, whether actual, contingent or prospective.</p>
              <p><b><i>land registration official</i></b>, in relation to land, means the Registrar of Titles or other proper officer of the State or Territory in which the land is situated.</p>
              <p><b><i>liability</i></b> means any liability, duty or obligation, whether actual, contingent or prospective.</p>
              <p><b><i>Secretary </i></b>means the Secretary of the Department.</p>
            </content>

              <num>a</num>
              <content>
                <p>any legal or equitable estate or interest in real or personal property, whether actual, contingent or prospective; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-20__para-b">
              <num>b</num>
              <content>
                <p>any right, power, privilege or immunity, whether actual, contingent or prospective.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-20__para-a">
              <num>a</num>
              <content>
                <p>under a law of the Commonwealth, a State or a Territory; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-20__para-b">
              <num>b</num>
              <content>
                <p>under a trust instrument; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-20__para-c">
              <num>c</num>
              <content>
                <p>otherwise;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-21">
            <num>21</num>
            <heading>Vesting of assets of HWA</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-21__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to the assets of HWA immediately before the commencement time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-21__subclause-2">
              <num>2</num>
              <content>
                <p>At the commencement time, the assets cease to be assets of HWA and become assets of the Commonwealth without any conveyance, transfer or assignment. The Commonwealth becomes the successor in law in relation to the assets.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-22">
            <num>22</num>
            <heading>Vesting of liabilities of HWA</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-22__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to the liabilities of HWA immediately before the commencement time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-22__subclause-2">
              <num>2</num>
              <content>
                <p>At the commencement time, the liabilities cease to be liabilities of HWA and become liabilities of the Commonwealth without any conveyance, transfer or assignment. The Commonwealth becomes the successor in law in relation to the liabilities.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-23">
            <num>23</num>
            <heading>Transfers of land may be registered</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-23__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-23__para-a">
              <num>a</num>
              <content>
                <p>any land vests in the Commonwealth under this Division; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-23__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with a land registration official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-23__para-i">
              <num>i</num>
              <content>
                <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-23__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the land, whether by reference to a map or otherwise; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-23__para-iii">
              <num>iii</num>
              <content>
                <p>	(iii)	states that the land has become vested in the Commonwealth under this<i> </i>Division.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-23__subclause-2">
              <num>2</num>
              <content>
                <p>The land registration official may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-23__para-a">
              <num>a</num>
              <content>
                <p>register the matter in a way that is the same as, or similar to, the way in which dealings in land of that kind are registered; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-23__para-b">
              <num>b</num>
              <content>
                <p>deal with, and give effect to, the certificate.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-23__subclause-3">
              <num>3</num>
              <content>
                <p>A certificate under paragraph (1)(b) is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-24">
            <num>24</num>
            <heading>Certificates relating to vesting of assets other than land</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-24__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-24__para-a">
              <num>a</num>
              <content>
                <p>an asset other than land vests in the Commonwealth under this Division; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-24__para-b">
              <num>b</num>
              <content>
                <p>there is lodged with an assets official a certificate that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-24__para-i">
              <num>i</num>
              <content>
                <p>is signed by <role refersTo="#minister">the Minister</role>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-24__para-ii">
              <num>ii</num>
              <content>
                <p>identifies the asset; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-24__para-iii">
              <num>iii</num>
              <content>
                <p>states that the asset has become vested in the Commonwealth under this Division.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-24__subclause-2">
              <num>2</num>
              <content>
                <p>The assets official may:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-24__para-a">
              <num>a</num>
              <content>
                <p>deal with, and give effect to, the certificate as if it were a proper and appropriate instrument for transactions in relation to assets of that kind; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-24__para-b">
              <num>b</num>
              <content>
                <p>make such entries in the register in relation to assets of that kind as are necessary, having regard to the effect of this Division.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-24__subclause-3">
              <num>3</num>
              <content>
                <p>A certificate made under paragraph (1)(b) is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-25">
            <num>25</num>
            <heading>Acts of HWA to be attributed to the Commonwealth</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-25__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to anything done by, or in relation to, HWA before the commencement time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-25__subclause-2">
              <num>2</num>
              <content>
                <p>After the commencement time, the thing has effect as if it had been done by, or in relation to, the Commonwealth.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-26">
            <num>26</num>
            <heading>Substitution of the Commonwealth as a party to certain pending proceedings</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-26__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if any proceedings to which HWA was a party were pending in any court or tribunal immediately before the commencement time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-26__subclause-2">
              <num>2</num>
              <content>
                <p>The Commonwealth is substituted for HWA, from the commencement time, as a party to those proceedings.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-27">
            <num>27</num>
            <heading>Transfer of records to the Department</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-27__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to any records or documents that were in the possession of HWA immediately before the commencement time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-27__subclause-2">
              <num>2</num>
              <content>
                <p>The records and documents are to be transferred to the Department after the commencement time.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	The records and documents are Commonwealth records for the purposes of the <i>Archives Act 1983</i>.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-28">
            <num>28</num>
            <heading>Transfer of Ombudsman investigations</heading>
            <content>
              <p>If:</p>
              <p>the <i>Ombudsman Act 1976 </i>applies after the commencement time as if that action had been taken by the Department.</p>
            </content>
            <paragraph eId="schedule-1__clause-28__para-a">
              <num>a</num>
              <content>
                <p>	(a)	before the commencement time, a complaint was made to the Ombudsman, or the Ombudsman began an investigation, under the <i>Ombudsman Act 1976</i> in relation to an action taken by HWA; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-28__para-b">
              <num>b</num>
              <content>
                <p>	(b)	immediately before the commencement time, the Ombudsman had not finally disposed of the matter in accordance with the <i>Ombudsman Act 1976</i>;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-29">
            <num>29</num>
            <heading>References in certain instruments to HWA</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-29__subclause-1">

                <p>If:</p>
              </content>

              <num>a</num>

                <p>an instrument was in force immediately before the commencement time; and</p>
              </content>
            </paragraph>

                <p>In this item:</p>

              <p><b><i>H</i></b><b><i>WA</i></b><b><i> officer</i></b> means:</p>

                <p>a member of the Board of HWA; or</p>
              </content>
            </paragraph>

            <paragraph eId="schedule-1__clause-33__para-c">
              <num>c</num>

                <p>a consultant engaged by HWA.</p>

            <num>34</num>
            <heading>Exemption from stamp duty and other State or Territory taxes</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-34__subclause-1">
              <num>1</num>
              <content>
                <p>No stamp duty or other tax is payable under a law of a State or a Territory in respect of an exempt matter, or anything connected with an exempt matter.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-34__subclause-2">
              <num>2</num>
              <content>
                <p>(2)	For the purposes of this item, an <b><i>exempt matter</i></b> is:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-34__para-a">
              <num>a</num>
              <content>
                <p>the vesting of an asset or liability under this Part; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-34__para-b">

                <p>the operation of this Part in any other respect.</p>

            </paragraph>

                <p><role refersTo="#minister">The Minister</role> may certify in writing:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-34__para-a">
              <num>a</num>
              <content>
                <p>that a specified matter is an exempt matter; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-34__para-b">
              <num>b</num>
              <content>
                <p>that a specified thing was connected with a specified exempt matter.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-34__subclause-4">
              <num>4</num>
              <content>
                <p>In all courts, and for all purposes (other than for the purposes of criminal proceedings), a certificate under subitem (3) is prima facie evidence of the matters stated in the certificate.</p>

          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-35">
            <num>35</num>
            <heading>Certificates taken to be authentic</heading>
            <content>
              <p>A document that appears to be a certificate made or issued under a particular provision of this Part:</p>
              <p>unless the contrary is established.</p>
            </content>
            <paragraph eId="schedule-1__clause-35__para-a">
              <num>a</num>
              <content>
                <p>is taken to be such a certificate; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-35__para-b">
              <num>b</num>
              <content>
                <p>is taken to have been properly given;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-36">
            <num>36</num>
            <heading>Delegation by Minister</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-36__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by writing, delegate all or any of his or her powers and functions under this Part to a person.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-36__subclause-2">
              <num>2</num>
              <content>
                <p>The delegate must be:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-36__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#secretary">the Secretary</role> of the Department; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-36__para-b">
              <num>b</num>
              <content>
                <p>an SES employee, or acting SES employee, in the Department.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	The expressions <b><i>SES employee</i></b> and <b><i>acting SES employee</i></b> are defined in the <i>Acts Interpretation Act 1901</i>.</p>

              <content>
                <p>In exercising powers or functions under a delegation, the delegate must comply with any directions of <role refersTo="#minister">the Minister</role>.</p>

          <hcontainer name="clause" eId="schedule-1__clause-37">
            <num>37</num>
            <heading>Compensation for acquisition of property</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-37__subclause-1">
              <num>1</num>
              <content>
                <p>If the operation of this Schedule would result in an acquisition of property (within the meaning of paragraph 51(xxxi) of the Constitution) from a person otherwise than on just terms (within the meaning of that paragraph), the Commonwealth is liable to pay a reasonable amount of compensation to the person.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-37__subclause-2">
              <num>2</num>
              <content>
                <p>If the Commonwealth and the person do not agree on the amount of the compensation, the person may institute proceedings in a court of competent jurisdiction for the recovery from the Commonwealth of such reasonable amount of compensation as the court determines.</p>

            <heading>Transitional rules</heading>
