      <p>An Act to establish the Medical Research Future Fund, and for related purposes</p>
      <p>Preamble</p>
      <p>The Parliament of Australia recognises that the health and wellbeing of all Australians is essential to the future of Australia. Discoveries in medical research and important medical innovations in the future will contribute to improving the health and wellbeing of all Australians.</p>
      <p>In order for medical research and medical innovation to support a healthy and productive nation, long-term and large-scale funding is required. The Parliament believes that the establishment of a perpetual fund capable of generating income over the long term is the most appropriate mechanism for ensuring that this funding is available on an ongoing basis. The Commonwealth has a role in meeting this funding need as it is able to marshal and deploy resources not available through other means.</p>
      <p>Funding a system for medical research and medical innovation requires a national approach. The establishment of the Medical Research Future Fund and its administration will ensure that a coherent and consistent approach is adopted in the funding of medical research and medical innovation to ensure that such research and innovation benefits all Australians.</p>

          <heading>Object</heading>
          <content>
            <p>The object of this Act is to improve the health and wellbeing of Australians by establishing the Medical Research Future Fund to provide grants of financial assistance to support medical research and medical innovation.</p>

          <num>4</num>
          <heading>Simplified outline of this Act</heading>
          <content>
            <p>This Act establishes the Medical Research Future Fund to provide grants of financial assistance to support medical research and medical innovation.</p>
            <p>The Medical Research Future Fund consists of the Medical Research Future Fund Special Account and the investments of the Medical Research Future Fund. Initially, the Fund’s investments are a portion of the investments of the Health and Hospitals Fund which was established under the repealed <i>Nation</i><i>-</i><i>building Funds Act 2008</i>. Additional amounts may also be credited to the Medical Research Future Fund Special Account.</p>
            <p>The Medical Research Future Fund Special Account can be debited for 3 main purposes:</p>

              <p>channelling grants to the Federation Reform Fund to make grants of financial assistance to States and Territories; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">

              <p>channelling grants to the MRFF Health Special Account to make grants of financial assistance to certain bodies; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-c">
            <num>c</num>
            <content>
              <p>making grants of financial assistance directly to corporate Commonwealth entities.</p>
            </content>
            <content>
              <p>The Australian Medical Research Advisory Board is established to determine the Australian Medical Research and Innovation Strategy and the Australian Medical Research and Innovation Priorities. The Health Minister takes the Priorities into account in making decisions about the financial assistance that is provided from the Medical Research Future Fund Special Account.</p>
              <p>There is a limit on the amount that can be debited from the Medical Research Future Fund Special Account each financial year. The limit, which is called the maximum annual distribution, is determined by the Future Fund Board for each financial year.</p>
              <p>The Medical Research Future Fund is invested by the Future Fund Board in accordance with an Investment Mandate given by the responsible Ministers.</p>

          <num>5</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-acquire">acquire</term> includes <def>acquire by way of issue.</def></p>
            <p><term refersTo="#term-advisory-board">Advisory Board</term> means <def>the Australian Medical Research Advisory Board established by <ref href="#sec-32B">section 32B</ref>.</def></p>
            <p><term refersTo="#term-agency">Agency</term> means <def>the Future Fund Management Agency.</def></p>
            <p><term refersTo="#term-appropriation-act">Appropriation Act</term> means <def>an Act appropriating money for expenditure out of the Consolidated Revenue Fund.</def></p>

              <p><term refersTo="#term-finance-department">Finance Department</term> means <def>the Department administered by the Finance Minister.</def></p>
              <p><term refersTo="#term-finance-minister">Finance Minister</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-financial-asset">financial asset</term> has the same meaning as <def>in <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><term refersTo="#term-future-fund-board">Future Fund Board</term> means <def>the Future Fund Board of Guardians established by <ref href="#sec-34">section 34</ref> of <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><term refersTo="#term-future-fund-special-account">Future Fund Special Account</term> means <def>the Future Fund Special Account established by <ref href="#sec-12">section 12</ref> of <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><term refersTo="#term-health-and-hospitals-fund">Health and Hospitals Fund</term> means <def>the Health and Hospitals Fund that was established by <ref href="#sec-214">section 214</ref> of the Nation-building Funds Act 2008 before that section was repealed.</def></p>
              <p><term refersTo="#term-health-and-hospitals-fund-special-account">Health and Hospitals Fund Special Account</term> means <def>the Health and Hospitals Fund Special Account that was established by <ref href="#sec-215">section 215</ref> of the Nation-building Funds Act 2008 before that section was repealed.</def></p>
              <p><term refersTo="#term-health-department">Health Department</term> means <def>the Department administered by the Health Minister.</def></p>
              <p><term refersTo="#term-health-minister">Health Minister</term> means <def><ref class="unresolved">the Minister administering the National Health Act 1953</ref>.</def></p>
              <p><term refersTo="#term-investment">investment</term> means <def>any mode of application of money or financial assets for the purpose of gaining a return (whether by way of income, capital gain or any other form of return).</def></p>
              <p><term refersTo="#term-investment-manager">investment manager</term> means <def>a person or body (other than the Agency) who undertakes to do any or all of the following: invest amounts on behalf of the Future Fund Board; manage the investment of funds on behalf of the Future Fund Board; acquire derivatives on behalf of the Future Fund Board; manage derivatives on behalf of the Future Fund Board; enter into securities lending arrangements on behalf of the Future Fund Board; realise financial assets on behalf of the Future Fund Board; perform custodial functions in relation to the financial assets of the Future Fund Board.</def></p>

              <p><term refersTo="#term-maximum-annual-distribution-for-a-financial-year">maximum annual distribution for a financial year</term> means <def>the maximum amount that may be debited from the Medical Research Future Fund Special Account during the financial year.</def></p>
              <p><b><i>medical innovation</i></b> includes:</p>

              <p>the application and commercialisation of medical research for the purpose of improving the health and wellbeing of Australians; and</p>

              <p>the translation of medical research into new or better ways of improving the health and wellbeing of Australians.</p>
            </content>
            <content>
              <p><term refersTo="#term-medical-research">medical research</term> includes <def>research into health.</def></p>
              <p><term refersTo="#term-medical-research-future-fund">Medical Research Future Fund</term> means <def>the Medical Research Future Fund established by <ref href="#sec-11">section 11</ref>.</def></p>
              <p><b><i>Medical Research Future Fund investment function</i></b> of the Future Fund Board means:</p>

              <p>a function or power conferred on the Future Fund Board by <ref href="#sec-37">section 37</ref>, 38, 45, 47, 49 or 50; or</p>

              <p>The Medical Research Future Fund consists of the Medical Research Future Fund Special Account and the investments of the Medical Research Future Fund. Initially, its investments are a portion of the investments of the Health and Hospitals Fund which was established under the repealed <i>Nation</i><i>-</i><i>building Funds Act 2008</i>. Additional amounts may also be credited to the Medical Research Future Fund Special Account.</p>
              <p>The Medical Research Future Fund Special Account can be debited for 3 main purposes:</p>

                <p>making grants of financial assistance directly to corporate Commonwealth entities.</p>

                <p>Debits are made from the Medical Research Future Fund Special Account by the Finance Minister after being required to do so by the Health Minister. The Health Minister takes the Australian Medical Research and Innovation Priorities (which are determined by the Australian Medical Research Advisory Board under <ref href="#part-2A">Part 2A</ref>) into account in making decisions about the financial assistance that is provided from the Medical Research Future Fund Special Account.</p>
                <p>The Medical Research Future Fund Special Account can also be debited in relation to costs and other obligations incurred by the Future Fund Board in managing the Fund.</p>

            <heading>Determination of amount of Medical Research Future Fund</heading>
            <subsection eId="part-2__dvs-2__sec-12__subsec-1">
              <num>1</num>
              <content>
                <p>The day after this section commences, the Finance Minister must:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-12__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>determine, by writing, an amount to be transferred from the Health and Hospitals Fund to the Medical Research Future Fund; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-12__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>give the determination to the Future Fund Board on that day.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-12__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	A determination under subsection (1) is a legislative instrument, but <i>Legislation Act 2003</i> does not apply to the determination.<ref href="#sec-42">section 42</ref> (disallowance) of the </p>

            <num>13</num>
            <heading>Allocation of investments to the Medical Research Future Fund from the Health and Hospitals Fund</heading>

                <p>Before the end of the 28th day after the determination is made under subsection 12(1), the Future Fund Board must:</p>
              </content>

                  <p>determine, by writing, sufficient financial assets that were, immediately before that time, investments of the Health and Hospitals Fund that are to be allocated from that Fund to the Medical Research Future Fund, to ensure that the portion of the balance of the Medical Research Future Fund allocated from the Health and Hospitals Fund will equal the amount determined under subsection 12(1); and</p>

              </paragraph>

                  <p>ensure that the value of the remaining financial assets of the Health and Hospitals Fund remains in the Health and Hospitals Fund Special Account.</p>

                <p>Immediately after the determination under paragraph (1)(a) is made, the financial assets specified in the determination are taken to cease to be investments of the Health and Hospitals Fund and to become investments of the Medical Research Future Fund.</p>

              <num>1</num>
              <content>
                <p>The responsible Ministers may, by writing, determine that:</p>
              </content>
              <paragraph eId="part-2__dvs-3__sec-15__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a specified amount is to be credited to the Medical Research Future Fund Special Account on a specified day; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-3__sec-15__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>a specified amount is to be credited to the Medical Research Future Fund Special Account in specified instalments on specified days.</p>
                </content>

          <heading>Debits of amounts from the Medical Research Future Fund</heading>
          <content>
            <p>Subdivision A—Rules relating to debits from the Medical Research Future Fund Special Account</p>

            <heading>Health Minister may require the Finance Minister to debit amounts</heading>
            <subsection eId="part-2__dvs-4__sec-15A__subsec-1">
              <num>1</num>

                <p>The Health Minister may, in writing, require the Finance Minister to debit a specified amount from the Medical Research Future Fund Special Account under Subdivision C, D or E.</p>
              </content>

                <p>In determining whether to require the Finance Minister to debit an amount, the Health Minister:</p>
              </content>

                <num>a</num>
                <content>
                  <p>must take into account the Australian Medical Research and Innovation Priorities that are in force; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-15A__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>has the power to seek expert advice on the merits of making the grant to which the debit relates; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-15A__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>may consider any other relevant matter.</p>
                </content>
              </paragraph>
            </subsection>

              <num>3</num>
              <content>
                <p>A requirement under subsection (1) is not a legislative instrument.</p>

            <heading>Limitation on total annual debits from the Medical Research Future Fund Special Account</heading>

                <p>The total amount debited from the Medical Research Future Fund Special Account in a financial year must not be more than the maximum annual distribution determined under <ref href="#sec-34">section 34</ref> for the year.</p>

              <num>2</num>

                <p>An amount must not be debited from the Medical Research Future Fund Special Account before <date date="2015-07-01">1 July 2015</date>.</p>

                <p>Subdivision B—Purposes</p>

            <heading>Purposes of the Medical Research Future Fund Special Account—main purposes</heading>
            <content>
              <p>Each of the following is a purpose of the Medical Research Future Fund Special Account:</p>
            </content>

              <num>a</num>
              <content>
                <p>to transfer amounts to the Federation Reform Fund in accordance with <ref href="#sec-20">section 20</ref> for the purpose of making grants of financial assistance to the States and Territories;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-17__para-b">
              <num>b</num>
              <content>
                <p>to transfer amounts to the MRFF Health Special Account in accordance with <ref href="#sec-25">section 25</ref> for the purpose of making grants to bodies referred to in <ref href="#sec-24">section 24</ref>;</p>
              </content>
            </paragraph>

              <num>c</num>
              <content>
                <p>to make grants to corporate Commonwealth entities in accordance with <ref href="#sec-29">section 29</ref>.</p>

          </section>

            <num>18</num>
            <heading>Purposes of the Medical Research Future Fund Special Account—purposes related exclusively to the investments etc. of the Medical Research Future Fund</heading>
            <content>
              <p>Each of the following is a purpose of the Medical Research Future Fund Special Account:</p>
            </content>
            <paragraph eId="part-2__dvs-4__sec-18__para-a">
              <num>a</num>
              <content>
                <p>paying the costs of, or incidental to, the acquisition of financial assets under <ref href="#sec-37">section 37</ref>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-18__para-b">
              <num>b</num>
              <content>
                <p>paying expenses of an investment of the Medical Research Future Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-18__para-c">
              <num>c</num>
              <content>
                <p>paying the costs of, or incidental to, the acquisition of derivatives under <ref href="#sec-47">section 47</ref>;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-18__para-d">
              <num>d</num>
              <content>
                <p>paying or discharging the costs, expenses and other obligations incurred by the Future Fund Board under a contract between the Board and an investment manager engaged under subsection 50(1);</p>
              </content>
            </paragraph>

              <num>e</num>
              <content>
                <p>paying or discharging the costs, expenses and other obligations incurred in connection with the establishment, maintenance or operation of a bank account of the Future Fund Board, if the bank account relates exclusively to the Medical Research Future Fund;</p>

                <p>paying remuneration, and other employment-related costs and expenses, in respect of members of the staff of the Agency;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-19__para-f">
              <num>f</num>
              <content>
                <p>paying or discharging the costs, expenses and other obligations incurred by the Commonwealth or the Future Fund Board:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-19__para-i">
              <num>i</num>
              <content>
                <p>	(i)	under a contract entered into under <i>Future Fund Act 2006</i>; or<ref href="#sec-78">section 78</ref> or 82 of the </p>
              </content>
            </paragraph>

              <num>ii</num>
              <content>
                <p>in connection with the operation of the Agency; or</p>
              </content>
            </paragraph>

            <heading>Channelling State/Territory grants through the Federation Reform Fund</heading>
            <subsection eId="part-2__dvs-4__sec-20__subsec-1">
              <num>1</num>
              <content>
                <p>If, under <ref href="#sec-15A">section 15A</ref>, the Health Minister requires the Finance Minister to debit a specified amount from the Medical Research Future Fund Special Account under this Subdivision, the Finance Minister must, by writing, direct that, on a specified day, the specified amount is to be:</p>
              </content>
              <paragraph eId="part-2__dvs-4__sec-20__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>debited from the Special Account; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-20__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>credited to the Federation Reform Fund.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-20__subsec-2">
              <num>2</num>
              <content>
                <p>The direction must be expressed to be given in order to enable the amount to be debited from the Federation Reform Fund for the purpose of making a specified grant of financial assistance to a State or Territory for the purposes of medical research and medical innovation.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-20__subsec-3">
              <num>3</num>
              <content>
                <p>Two or more directions under subsection (1) may be set out in the same document.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-20__subsec-4">
              <num>4</num>
              <content>
                <p>A direction under subsection (1) is not a legislative instrument.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-20__subsec-5">
              <num>5</num>
              <content>
                <p>The Finance Minister must give a copy of a direction under subsection (1) to the Treasurer and the Health Minister.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-4__sec-21">
            <num>21</num>
            <heading>Debits from the Federation Reform Fund</heading>
            <subsection eId="part-2__dvs-4__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p>As soon as practicable after an amount has been credited under paragraph 20(1)(b) to the Federation Reform Fund, the Treasurer must ensure that the Federation Reform Fund is debited for the purposes of making the grant.</p>

                <p>However, if the grant cannot be made, an amount equal to the credited amount is to be:</p>

                  <p>debited from the Federation Reform Fund; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-4__sec-21__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>credited to the Medical Research Future Fund Special Account.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-2__dvs-4__sec-22">
            <num>22</num>
            <heading>Terms and conditions of grant to a State or Territory</heading>
            <subsection eId="part-2__dvs-4__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>The terms and conditions on which a grant referred to in subsection 20(2) is made to a State or Territory are to be set out in a written agreement between the Commonwealth and the State or Territory.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>The State or Territory must comply with the terms and conditions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-4__sec-22__subsec-3">

                <p>The agreement may be entered into by a Minister on behalf of the Commonwealth.</p>

                <p>Subdivision D—Channelling grants through the MRFF Health Special Account</p>

              <p>The purpose of the MRFF Health Special Account is to make grants, for the purposes of supporting medical research and medical innovation, to any one or more of the following bodies:</p>

              <num>a</num>
              <content>
                <p>a medical research institute;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-4__sec-24__para-b">
              <num>b</num>

                  <p>how to ensure that financial assistance provided under this Act complements and enhances other financial assistance provided for medical research and medical innovation;</p>

              <p>The Health Minister may grant leave of absence to a member of the Advisory Board on the terms and conditions that the Health Minister determines.</p>

            <heading>Disclosure of interests</heading>
            <subsection eId="part-2A__dvs-4__sec-32K__subsec-1">

                <p>This section applies to a member of the Advisory Board who has a material personal interest in a matter being considered, or about to be considered, by the Advisory Board.</p>
              </content>
            </subsection>
            <subsection eId="part-2A__dvs-4__sec-32K__subsec-2">

              <content>
                <p>The member must, as soon as possible after the relevant facts have come to the member’s knowledge:</p>
              </content>

                  <p>disclose the nature of the interest at a meeting of the Advisory Board; and</p>
                </content>
              </paragraph>

                  <p>disclose the nature of the interest to the Health Minister.</p>
                </content>
              </paragraph>
            </subsection>

                <p>A disclosure under paragraph (2)(a) must be recorded in the minutes of the meeting.</p>

                <p>In determining the maximum annual distribution for a financial year, the Future Fund Board must take into account the following:</p>
              </content>

                  <p>the principle that the following amounts (in nominal terms) should be preserved over the long-term:</p>
                </content>
              </paragraph>

                <num>i</num>
                <content>
                  <p>the amount determined under subsection 12(1);</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>the total amount that has been credited to the Medical Research Future Fund Special Account under <ref href="#sec-15">section 15</ref>;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the principle that the volatility of the maximum annual distributions be moderated from financial year to financial year (to the extent possible);</p>
                </content>

                  <p>the requirement to maintain the Future Fund Board’s ability to comply with the Medical Research Future Fund Investment Mandate;</p>

                <p>Subject to subsection (6), the Finance Minister may (whether in the notice given under subsection (2) or otherwise) specify, in writing, additional matters that the Future Fund Board must take into account in determining the maximum annual distribution for one or more financial years.</p>

                <p>The additional matters must not be inconsistent with:</p>

                  <p>the matters to be taken into account under subsection (4); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-6__para-b">
                <num>b</num>

                  <p>the Medical Research Future Fund Investment Mandate; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-34__subsec-6__para-c">
                <num>c</num>

                  <p>any other provision of this Act.</p>
                </content>
              </paragraph>

                <p>The Finance Minister must specify the additional matters at least 90 days before the day the Future Fund Board is required to determine the maximum annual distribution for the next financial year.</p>

                  <p>ensure that, in addition to specifying the amount of the maximum annual distribution for the financial year, the determination describes:</p>

                  <p>the method used for working out that amount; and</p>
                </content>
              </paragraph>

            <p>The Future Fund Board is bound by a Medical Research Future Fund Investment Mandate given to it by the responsible Ministers.</p>

              <p>The main objects of the acquisition by the Future Fund Board of a financial asset as an investment of the Medical Research Future Fund are to enhance the Commonwealth’s ability to transfer amounts in accordance with <ref href="#sec-17">section 17</ref>.</p>

              <p>The ancillary objects of the acquisition by the Future Fund Board of a financial asset as an investment of the Medical Research Future Fund are to enhance the ability of the Commonwealth and the Future Fund Board to discharge the costs, expenses, obligations and liabilities mentioned in sections 18 and 19.</p>

              <p>The Future Fund Board may realise an investment of the Medical Research Future Fund.</p>

                <p>the need to enhance the Commonwealth’s ability to provide grants of financial assistance to support medical research and medical innovation; and</p>

                <p>such other matters as the responsible Ministers consider relevant.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-39__subsec-3">

              <p>	(3)	Directions under subsection (1) are to be known collectively as the <b><i>Medical Research Future </i></b><b><i>Fund Investment Mandate</i></b>.</p>

          <heading>Limitation on Medical Research Future Fund Investment Mandate</heading>
          <subsection eId="part-4__sec-41__subsec-1">
            <num>1</num>
            <content>
              <p>The responsible Ministers must not give a direction under subsection 39(1) that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring the Future Fund Board to:</p>
            </content>
            <paragraph eId="part-4__sec-41__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>invest an amount standing to the credit of the Medical Research Future Fund Special Account in a particular financial asset; or</p>
              </content>
            </paragraph>

              <p>Before giving the Future Fund Board a direction under subsection 39(1), the responsible Ministers must:</p>
            </content>

                <p>send a draft of the direction to the Future Fund Board; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-42__subsec-1__para-b">

              <content>
                <p>invite the Future Fund Board to make a submission to the responsible Ministers on the draft direction within a reasonable time limit specified by the responsible Ministers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-42__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>consider any submission that is received from the Future Fund Board within that time limit.</p>
              </content>
            </paragraph>
          </subsection>

              <p>Any submission made by the Future Fund Board on a draft direction in accordance with paragraph (1)(b) must be tabled in each House of the Parliament with the direction.</p>

              <p>The Future Fund Board must take all reasonable steps to comply with the Medical Research Future Fund Investment Mandate.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-43__subsec-2">
            <num>2</num>
            <content>
              <p>If the Future Fund Board becomes aware that it has failed to comply with the Medical Research Future Fund Investment Mandate, the Board must give the responsible Ministers a written statement, as soon as practicable after becoming so aware:</p>
            </content>

              <num>a</num>
              <content>
                <p>informing the responsible Ministers of the failure to comply with the Investment Mandate; and</p>
              </content>
            </paragraph>

                <p>setting out the action that the Board proposes to take in order to comply with the Investment Mandate.</p>
              </content>
            </paragraph>
          </subsection>

              <p>If the responsible Ministers are satisfied that the Future Fund Board has failed to comply with the Medical Research Future Fund Investment Mandate, the responsible Ministers may, by written notice given to the Board, direct the Board:</p>

              <num>a</num>
              <content>
                <p>to give the responsible Ministers, within a period specified in the notice, a written explanation for the failure to comply with the Investment Mandate; and</p>

              <num>b</num>
              <content>
                <p>to take action specified in the notice, within a period specified in the notice, in order to comply with the Investment Mandate.</p>

              <p>The Future Fund Board must comply with a direction under subsection (3).</p>

              <p>The Future Fund Board must not borrow money for a purpose in connection with the Medical Research Future Fund unless the borrowing is authorised by subsection (2) or (3).</p>

              <p>The Future Fund Board is authorised to borrow money for a purpose in connection with the Medical Research Future Fund if:</p>

                <p>the purpose of the borrowing is to enable the Board to cover settlement of a transaction for the acquisition of one or more financial assets; and</p>

              <content>
                <p>at the time the relevant acquisition decision was made, it was likely that the borrowing would not be needed; and</p>
              </content>
            </paragraph>

                <p>the period of the borrowing does not exceed 7 days; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-45__subsec-2__para-d">

                <p>if the borrowing were to take place, the total amount borrowed by the Board would not exceed 10% of the balance of the Fund.</p>

            </paragraph>
          </subsection>

              <p>The Future Fund Board is authorised to borrow money for a purpose in connection with the Medical Research Future Fund if the borrowing takes place in such circumstances (if any) as are specified in the rules.</p>

          <heading>Medical Research Future Fund investment policies</heading>
          <subsection eId="part-4__sec-46__subsec-1">
            <num>1</num>
            <content>
              <p>The Future Fund Board must formulate written policies to be complied with by it in relation to the following matters in connection with the Medical Research Future Fund:</p>
            </content>
            <paragraph eId="part-4__sec-46__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the investment strategy for the Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-46__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>benchmarks and standards for assessing the performance of the Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-46__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>risk management for the Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-46__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a matter relating to international best practice for institutional investment;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-46__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>a matter specified in the rules.</p>
              </content>

                <p>protecting the value of an investment of the Medical Research Future Fund (other than a derivative); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-47__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>protecting the return on an investment of the Medical Research Future Fund (other than a derivative); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-47__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>achieving indirect exposure to financial assets (other than derivatives) for a purpose in connection with the Medical Research Future Fund; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-47__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>achieving transactional efficiency for a purpose in connection with the Medical Research Future Fund;</p>
              </content>
              <content>
                <p>but must not acquire a derivative for the purpose of speculation or leverage.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-47__subsec-2">
            <num>2</num>
            <content>
              <p>The acquisition of a derivative under subsection (1) of this section must be consistent with the investment strategy embodied in a policy formulated by the Future Fund Board under subsection 46(1).</p>

          </subsection>
          <subsection eId="part-4__sec-47__subsec-3">
            <num>3</num>
            <content>
              <p>A derivative acquired under subsection (1) of this section is to be held in the name of the Future Fund Board.</p>

            <content>
              <p>A derivative acquired under subsection (1) is taken to be an investment of the Medical Research Future Fund.</p>

            <p>An asset is taken to be an investment of the Medical Research Future Fund if the Future Fund Board becomes the holder of the financial asset as a result of:</p>

            <content>
              <p>the Board’s holding of an investment of the Fund; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-48__para-b">

              <p>the exercise of any rights or powers conferred on the Board in its capacity as the holder of an investment of the Fund.</p>
            </content>
          </paragraph>
        </section>

          <heading>Securities lending arrangements</heading>
          <subsection eId="part-4__sec-49__subsec-1">
            <num>1</num>
            <content>
              <p>The Future Fund Board may enter into securities lending arrangements for a purpose in connection with the Medical Research Future Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-49__subsec-2">
            <num>2</num>
            <content>
              <p>Any money received by the Future Fund Board under a securities lending arrangement entered into under subsection (1) is to be credited to the Medical Research Future Fund Special Account.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-49__subsec-3">
            <num>3</num>
            <content>
              <p>To avoid doubt, a securities lending arrangement entered into under subsection (1) may provide for the Future Fund Board to realise an investment of the Medical Research Future Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-49__subsec-4">
            <num>4</num>
            <content>
              <p>A financial asset is taken to be an investment of the Medical Research Future Fund if, as the result of the operation of a securities lending arrangement entered into under subsection (1), the Future Fund Board becomes the holder of the financial asset.</p>

          </subsection>

          <heading>Investment managers</heading>

              <p>The Future Fund Board may engage one or more investment managers for purposes in connection with the Medical Research Future Fund.</p>

          <subsection eId="part-4__sec-50__subsec-2">

            <content>
              <p>The Future Fund Board must not:</p>
            </content>
            <paragraph eId="part-4__sec-50__subsec-2__para-a">
              <num>a</num>

                <p>invest amounts under subsection 37(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>acquire derivatives under subsection 47(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-2__para-c">

              <content>
                <p>enter into a securities lending arrangement under subsection 49(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-2__para-d">

                <p>realise financial assets that are investments of the Medical Research Future Fund;</p>
              </content>
              <content>
                <p>unless the Board does so:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-2__para-e">

              <content>
                <p>through an investment manager engaged by the Board under subsection (1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-50__subsec-2__para-f">
              <num>f</num>

                <p>in a manner approved, in writing, by the responsible Ministers.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-3">

              <p>The Future Fund Board must ensure that any investment manager engaged by the Board under subsection (1) operates within this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-50__subsec-4">

              <p>The Future Fund Board must ensure that any investment manager engaged by the Board under subsection (1) reports to the Board and the Agency on the state of the investments of the Medical Research Future Fund at such times and in such manner as the Board determines.</p>

        </section>

          <heading>Refund of franking credits</heading>
          <content>
            <p>		A refund of a tax offset under the <i>Income Tax Assessment Act 1997</i> is to be credited to the Medical Research Future Fund Special Account if:</p>

            <num>a</num>
            <content>
              <p>the Future Fund Board receives the refund; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-51__para-b">

              <p>the tax offset is attributable to an investment of the Medical Research Future Fund.</p>
            </content>

                <p>an asset held by the Board as an investment of the Medical Research Future Fund has ceased to be a financial asset; or</p>

              <num>b</num>
              <content>
                <p>an asset acquired by the Board, purportedly as an investment of the Medical Research Future Fund, is not a financial asset.</p>

            </paragraph>
          </subsection>

              <p>The Future Fund Board must realise the asset as soon as practicable after the Board becomes aware of the fact.</p>

              <p>This Act (other than this section) applies in relation to the asset (including in relation to the realisation of the asset) as if the asset had been a financial asset, and an investment of the Medical Research Future Fund, from the time of its acquisition by the Future Fund Board until the realisation.</p>

          <heading>Health Minister to report to Parliament on financial assistance</heading>
          <subsection eId="part-5__sec-57A__subsec-1">
            <num>1</num>
            <content>
              <p>The Health Minister must, as soon as practicable after the most recent Australian Medical Research and Innovation Priorities cease to be in force, prepare a report on the financial assistance provided for medical research and medical innovation from the Medical Research Future Fund Special Account during the period the Priorities were in force.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-57A__subsec-2">
            <num>2</num>
            <content>
              <p>The report must include:</p>
            </content>
            <paragraph eId="part-5__sec-57A__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a description of how the financial assistance provided was consistent with the Australian Medical Research and Innovation Priorities; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-57A__subsec-2__para-aa">
              <num>aa</num>
              <content>
                <p>a description of the processes for determining the grants of financial assistance; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-57A__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>information about any other financial assistance provided by the Commonwealth for medical research and medical innovation.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-57A__subsec-3">
            <num>3</num>
            <content>
              <p>The Health Minister must cause a copy of the report to be laid before each House of the Parliament within 15 sitting days of that House after the report is prepared.</p>
            </content>
          </subsection>
        </section>

          <num>58</num>
          <heading>Health Minister must publish information</heading>
          <subsection eId="part-5__sec-58__subsec-1">
            <num>1</num>
            <content>
              <p>As soon as practicable after any of the following amounts have been debited, the Health Minister must publish on the internet information about the grant to which the debit relates:</p>

              <content>
                <p>an amount debited from the Federation Reform Fund under subsection 21(1);</p>
              </content>
            </paragraph>

                <p>an amount debited from the MRFF Health Special Account under subsection 26(1);</p>
              </content>
            </paragraph>

                <p>an amount debited from the Medical Research Future Fund Special Account under subsection 29(1).</p>

          <heading>Review of operation of Act</heading>
          <subsection eId="part-6__sec-62__subsec-1">
            <num>1</num>
            <content>
              <p>The responsible Ministers must cause a review of the operation of this Act to be undertaken before:</p>
            </content>
            <paragraph eId="part-6__sec-62__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>unless paragraph (b) applies—<date date="2023-06-30">30 June 2023</date>; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-62__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if the responsible Ministers consider that another date is appropriate—that date.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-62__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), the review must consider whether financial assistance provided under this Act has:</p>
            </content>
            <paragraph eId="part-6__sec-62__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>complemented and enhanced other financial assistance provided by the Commonwealth for medical research and medical innovation, including through the National Health and Medical Research Council; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-62__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>otherwise affected the total amount of other financial assistance provided by the Commonwealth for medical research and medical innovation.</p>

          <num>63</num>
          <heading>Rules</heading>
          <content>
            <p>The Finance Minister may, by legislative instrument, make rules prescribing matters:</p>

              <p>required or permitted by this Act to be prescribed by the rules; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-63__para-b">

              <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>

                <b>Editorial changes</b>

              <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
