          <heading>Objects of this Act</heading>
          <subsection eId="part-1__sec-3__subsec-1">
            <num>1</num>
            <content>
              <p>The main object of this Act is to establish the Northern Australia Infrastructure Facility to provide financial assistance to the States and Territories and other entities for the development of Northern Australia economic infrastructure.</p>
            </content>
          </subsection>

            <num>1A</num>
            <content>
              <p>An additional object of this Act is to facilitate the provision of financial assistance for the development of Northern Australia economic infrastructure that meets the particular needs of Indigenous persons.</p>
            </content>
          </subsection>
          <subsection eId="part-1__sec-3__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	<b><i>Northern Australia </i></b><b><i>economic</i></b> <b><i>infrastructure</i></b> is infrastructure that:</p>
            </content>
            <paragraph eId="part-1__sec-3__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>provides a basis for economic growth in Northern Australia; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-1__sec-3__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>stimulates population growth in Northern Australia.</p>
              </content>

                  <p>Note:	Infrastructure located outside Northern Australia can be Northern Australia economic infrastructure as long as it meets the requirement set out in paragraph (2)(a) or (b).</p>

          <num>4</num>
          <heading>Simplified outline of this Act</heading>
          <content>
            <p>This Act establishes the Northern Australia Infrastructure Facility to provide financial assistance to the States and Territories and to other entities for the development of Northern Australia economic infrastructure.</p>
            <p>The Facility may determine terms and conditions for the provision of financial assistance.</p>
            <p>The Board of the Facility must act in accordance with directions given by the responsible Ministers (the Finance Minister and <role refersTo="#minister">the Minister</role> for Northern Australia). The directions are known as the Investment Mandate.</p>
            <p><role refersTo="#minister">The Minister</role> for Northern Australia has the opportunity to consider proposals to provide financial assistance for the development of Northern Australia economic infrastructure, and may decide that particular financial assistance should not be provided.</p>

        </section>
        <section eId="part-1__sec-5">
          <num>5</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-aboriginal-person">Aboriginal person</term> has the same meaning as <def>in <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>
            <p><term refersTo="#term-appointed-member">appointed member</term> means <def>a member appointed under <ref href="#sec-15">section 15</ref>.</def></p>
            <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
          </content>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of the Facility.</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the Facility.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-facility">Facility</term> means <def>the Northern Australia Infrastructure Facility established by <ref href="#sec-6">section 6</ref>.</def></p>
              <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister who administers the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-financial-assistance">financial assistance</term> includes <def>assistance in the form of loans, letters of credit, guarantees, purchase of bonds, and equity investments.</def></p>
              <p><b><i>Indigenous person</i></b> means:</p>
            </content>
          </paragraph>

            <num>a</num>
            <content>
              <p>an Aboriginal person; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>a Torres Strait Islander.</p>
            </content>
            <content>
              <p><b><i>Investment Mandate</i></b>: see subsection 9(2).</p>
              <p><term refersTo="#term-local-government-area">Local Government Area</term> means <def>a local government area recognised by the Australian Bureau of Statistics.</def></p>
              <p><term refersTo="#term-member">member</term> means <def>a member of the Board and includes the Chair.</def></p>
              <p><term refersTo="#term-minister-for-northern-australia">Minister for Northern Australia</term> means <def>the Minister who administers this Act.</def></p>
              <p><b><i>Minister’s consideration period</i></b>: see subsection 11(3).</p>
              <p><term refersTo="#term-northern-australia">Northern Australia</term> means <def>the area that includes the following: the Northern Territory; the areas of Queensland and Western Australia that are North of the Tropic of Capricorn other than the Meekatharra Statistical Area level 2; the areas South of the Tropic of Capricorn of each Statistical Area level 2 that has an area covered by paragraph (b); the following Statistical Areas level 2: Gladstone; Gladstone Hinterland; Carnarvon; the Territory of Christmas Island; the Territory of Cocos (Keeling) Islands; the Local Government Areas of Meekatharra and Wiluna (despite paragraph (b)); the Local Government Area of Ngaanyatjarraku; the territorial sea adjacent to areas covered by paragraphs (a) to (db). <b><i>Northern Australia</i></b><b><i> economic</i></b><b><i> infrastructure</i></b>: see subsection 3(2).</def></p>

              <p><term refersTo="#term-paris-agreement">Paris Agreement</term> means <def>the Paris Agreement, done at Paris on 12 December 2015, as amended and in force for Australia from time to time.</def></p>
              <p><b><i>proposal notice</i></b>: see subsection 11(2).</p>
              <p><b><i>rejection notice</i></b>: see subsection 11(4).</p>
              <p><term refersTo="#term-responsible-ministers">responsible Ministers</term> means <def>the Finance Minister and the Minister for Northern Australia.</def></p>
              <p><term refersTo="#term-secretary">Secretary</term> means <def>the Secretary of the Department.</def></p>
              <p><term refersTo="#term-statistical-area-level-2">Statistical Area level 2</term> means <def>a statistical area level 2 recognised by the Australian Bureau of Statistics.</def></p>
              <p><term refersTo="#term-subsidiary-of-the-facility">subsidiary of the Facility</term> means <def>a subsidiary of the Facility for the purposes of the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-torres-strait-islander">Torres Strait Islander</term> has the same meaning as <def>in <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>

              <p>The Facility:</p>
            </content>

                <p>is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>must have a seal; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>may acquire, hold and dispose of real and personal property; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-6__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>may sue and be sued.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-6__subsec-3">
            <num>3</num>
            <content>
              <p>The Facility’s seal is to be kept in such custody as the Board directs and must not be used except as authorised by the Board.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-7">
          <num>7</num>
          <heading>Functions of Facility</heading>
          <content>
            <p>Grants of financial assistance to the States and Territories</p>
          </content>
          <subsection eId="part-2__sec-7__subsec-1">
            <num>1</num>
            <content>
              <p>The functions of the Facility are:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>to provide grants of financial assistance to the States and Territories for the development of Northern Australia economic infrastructure; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>to determine terms and conditions for the grants of financial assistance; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>as agreed between the Facility and the States and Territories, to provide incidental assistance to the States and Territories in relation to financial arrangements and agreements related to the terms and conditions of the grants of financial assistance.</p>
              </content>
              <content>
                <p>Financial assistance to other entities</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-1A">
            <num>1A</num>
            <content>
              <p>It is also a function of the Facility to provide financial assistance to entities other than the States and Territories, and determine terms and conditions for the provision of that financial assistance, for the development of Northern Australia economic infrastructure:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-1A__para-a">
              <num>a</num>
              <content>
                <p>that is with respect to, or in, a Territory; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-b">
              <num>b</num>
              <content>
                <p>that is with respect to benefiting Indigenous persons; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-c">
              <num>c</num>
              <content>
                <p>that is with respect to trade and commerce:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-i">
              <num>i</num>
              <content>
                <p>between Australia and places outside Australia; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-ii">
              <num>ii</num>
              <content>
                <p>among the States; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-iii">
              <num>iii</num>
              <content>
                <p>within a Territory, between a State and a Territory, or between 2 Territories; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-d">
              <num>d</num>
              <content>
                <p>that is with respect to a postal, telegraphic, telephonic or other like service to which paragraph 51(v) of the Constitution applies; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-e">
              <num>e</num>
              <content>
                <p>that is for the purposes of the defence of the Commonwealth and the States; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-f">
              <num>f</num>
              <content>
                <p>if the entity is a corporation to which paragraph 51(xx) of the Constitution applies and the financial assistance is not in the form of equity investments; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-g">
              <num>g</num>
              <content>
                <p>that is with respect to external affairs, including:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-i">
              <num>i</num>
              <content>
                <p>giving effect to any international agreement to which Australia is a party; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-ii">
              <num>ii</num>
              <content>
                <p>addressing matters external to Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-iii">
              <num>iii</num>
              <content>
                <p>contributing to the achievement of Australia’s greenhouse gas emissions reduction targets; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-h">
              <num>h</num>
              <content>
                <p>that is with respect to railway construction or extension to which paragraph 51(xxxiv) of the Constitution applies; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-i">
              <num>i</num>
              <content>
                <p>that is with respect to activities that are peculiarly adapted to the government of a nation and cannot otherwise be carried on for the benefit of the nation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1A__para-j">
              <num>j</num>
              <content>
                <p>that is with respect to matters incidental to the execution of any of the legislative powers of the Parliament or the executive power of the Commonwealth.</p>
              </content>
              <content>
                <p>Equity investments</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-1B">
            <num>1B</num>
            <content>
              <p>The Facility may provide financial assistance in the form of equity investments under subsection (1A) by making investments itself (including as a participant in partnerships, trusts, joint ventures or similar arrangements), through subsidiaries or other investment vehicles, or by any combination of these means. The Facility must not provide financial assistance in any other form under subsection (1A) through subsidiaries.</p>
            </content>
            <content>
              <p>Acquisition of derivatives</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-1C">
            <num>1C</num>
            <content>
              <p>The Facility may only acquire a derivative for the purpose of:</p>
            </content>
            <paragraph eId="part-2__sec-7__subsec-1C__para-a">
              <num>a</num>
              <content>
                <p>protecting the value of financial assistance provided by the Facility (other than derivatives acquired by the Facility); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1C__para-b">
              <num>b</num>
              <content>
                <p>protecting the return on financial assistance provided by the Facility (other than derivatives acquired by the Facility); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1C__para-c">
              <num>c</num>
              <content>
                <p>achieving indirect exposure to financial assets (other than derivatives) for a purpose in connection with the Facility’s function of providing financial assistance; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1C__para-d">
              <num>d</num>
              <content>
                <p>achieving transactional efficiency for a purpose in connection with the Facility’s function of providing financial assistance;</p>
              </content>
              <content>
                <p>but must not acquire a derivative for the purpose of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1C__para-e">
              <num>e</num>
              <content>
                <p>speculation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7__subsec-1C__para-f">
              <num>f</num>
              <content>
                <p>leverage.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-1D">
            <num>1D</num>
            <content>
              <p>Subsection (1C) does not apply in relation to guarantees given by the Facility in the ordinary course of providing financial assistance.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-7__subsec-2">
            <num>2</num>
            <content>
              <p>The Facility has the power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-7A">
          <num>7A</num>
          <heading>Terms and conditions for provision of financial assistance (other than equity investments) to corporations</heading>
          <subsection eId="part-2__sec-7A__subsec-1">
            <num>1</num>
            <content>
              <p>If the Facility decides to provide financial assistance (other than in the form of equity investments) to a corporation to which paragraph 51(xx) of the Constitution applies:</p>
            </content>
            <paragraph eId="part-2__sec-7A__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the terms and conditions on which the assistance is to be provided must be set out in a written agreement between the Facility and the corporation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-7A__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>the corporation must comply with the terms and conditions.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-2__sec-7A__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), the terms and conditions must provide for the circumstances in which the corporation must repay amounts to the Facility.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-2__sec-8">
          <num>8</num>
          <heading>Time limit for making decisions to provide financial assistance</heading>
          <subsection eId="part-2__sec-8__subsec-1">
            <num>1</num>
            <content>
              <p>The Facility must not make a decision after <date date="2036-06-30">30 June 2036</date> to provide financial assistance for the development of Northern Australia economic infrastructure.</p>
            </content>
          </subsection>
          <subsection eId="part-2__sec-8__subsec-2">
            <num>2</num>
            <content>
              <p>However, subsection (1) does not prevent the Facility from doing either of the following:</p>
            </content>
            <paragraph eId="part-2__sec-8__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>deciding before <date date="2036-06-30">30 June 2036</date> to provide financial assistance after that day;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__sec-8__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>varying the terms and conditions for financial assistance provided before or after <date date="2036-06-30">30 June 2036</date>.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
      </part>

        <heading>Investment Mandate</heading>

          <heading>Investment Mandate</heading>
          <subsection eId="part-3__sec-9__subsec-1">
            <num>1</num>
            <content>
              <p>The responsible Ministers must, by legislative instrument, give directions to the Board about the performance of the Facility’s functions.</p>
            </content>

          <subsection eId="part-3__sec-9__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	The directions are the <b><i>Investment Mandate</i></b>.</p>
            </content>
            <content>
              <p>Compliance with Investment Mandate</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3">
            <num>3</num>
            <content>
              <p>The Board must take all reasonable steps to ensure that the Facility and its subsidiaries comply with the Investment Mandate.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3A">
            <num>3A</num>
            <content>
              <p>As soon as practicable after the Board becomes aware that the Facility or one of its subsidiaries has failed to comply with the Investment Mandate, the Board must give the responsible Ministers a written statement:</p>
            </content>
            <paragraph eId="part-3__sec-9__subsec-3A__para-a">
              <num>a</num>
              <content>
                <p>informing the responsible Ministers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-9__subsec-3A__para-b">
              <num>b</num>
              <content>
                <p>setting out the action that the Facility proposes to take in order to ensure that the Facility or subsidiary complies with the Investment Mandate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3B">
            <num>3B</num>
            <content>
              <p>If the responsible Ministers are satisfied that the Facility or one of its subsidiaries has failed to comply with the Investment Mandate, the responsible Ministers may (whether or not the Board has given the responsible Ministers a statement under subsection (3A)), by written notice given to the Board, direct the Board:</p>
            </content>
            <paragraph eId="part-3__sec-9__subsec-3B__para-a">
              <num>a</num>
              <content>
                <p>to give the responsible Ministers, within a period specified in the notice, a written explanation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-9__subsec-3B__para-b">
              <num>b</num>
              <content>
                <p>to take action specified in the notice, within a period specified in the notice, in order to ensure that the Facility or subsidiary complies with the Investment Mandate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3C">
            <num>3C</num>
            <content>
              <p>The Board must comply with a direction under subsection (3B).</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3D">
            <num>3D</num>
            <content>
              <p>A failure to comply with:</p>
            </content>
            <paragraph eId="part-3__sec-9__subsec-3D__para-a">
              <num>a</num>
              <content>
                <p>the Investment Mandate; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-9__subsec-3D__para-b">
              <num>b</num>
              <content>
                <p>a direction under subsection (3B);</p>
              </content>
              <content>
                <p>does not affect the validity of any transaction.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-3E">
            <num>3E</num>
            <content>
              <p>A direction under subsection (3B) is not a legislative instrument.</p>
            </content>
            <content>
              <p>Limit on Investment Mandate</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-9__subsec-4">
            <num>4</num>
            <content>
              <p>The Investment Mandate must not direct, or have the effect of directing, the Facility to provide financial assistance:</p>
            </content>
            <paragraph eId="part-3__sec-9__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>for the development of particular infrastructure; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-9__subsec-4__para-b">
              <num>b</num>
              <content>
                <p>in relation to a particular person.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-3__sec-10">
          <num>10</num>
          <heading>Matters covered by Investment Mandate</heading>
          <content>
            <p>The Investment Mandate may include directions about the following:</p>
          </content>
          <paragraph eId="part-3__sec-10__para-a">
            <num>a</num>
            <content>
              <p>objectives the Facility is to pursue in providing financial assistance;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-b">
            <num>b</num>
            <content>
              <p>strategies and policies to be followed for the effective performance of the Facility’s functions;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-c">
            <num>c</num>
            <content>
              <p>loan characteristics for circumstances in which financial assistance is used to provide or support loans;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-d">
            <num>d</num>
            <content>
              <p>providing financial assistance for purposes other than to provide or support loans;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-da">
            <num>da</num>
            <content>
              <p>matters relating to the provision of financial assistance in the form of equity investments, including limits on the amount that may be provided in this form, the rate of return, and the management of risks;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-e">
            <num>e</num>
            <content>
              <p>eligibility criteria for financial assistance;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-f">
            <num>f</num>
            <content>
              <p>risk and return in relation to providing financial assistance;</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-10__para-g">
            <num>g</num>
            <content>
              <p>any other matters the responsible Ministers think appropriate.</p>
            </content>
          </paragraph>
        </section>
      </part>

        <heading>Consideration by Minister</heading>

            <content>
              <p>The Facility must not provide financial assistance:</p>
            </content>
            <paragraph eId="part-4__sec-11__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>before the end of <role refersTo="#minister">the Minister</role>’s consideration period, unless <role refersTo="#minister">the Minister</role> has notified the Facility under subsection (3A) in relation to the financial assistance; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-11__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if <role refersTo="#minister">the Minister</role> has notified the Facility in writing that the financial assistance should not be provided.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-11__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	If the Facility proposes to provide financial assistance, the Facility must give the Minister written notice of the proposal (the <b><i>proposal notice</i></b>).</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-11__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	The <b><i>Minister’s consideration period</i></b> is:</p>
            </content>
            <paragraph eId="part-4__sec-11__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>unless paragraph (b) applies—the period that ends 21 days after the proposal notice is given; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-11__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>if, within that period of 21 days, or that period as extended, <role refersTo="#minister">the Minister</role> requires by written notice given to the Facility an extension of that period—that extended period, which must end not later than 60 days after the proposal notice is given.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-11__subsec-3A">
            <num>3A</num>
            <content>
              <p>At any time during <role refersTo="#minister">the Minister</role>’s consideration period, <role refersTo="#minister">the Minister</role> may notify the Facility in writing that <role refersTo="#minister">the Minister</role> does not intend to exercise <role refersTo="#minister">the Minister</role>’s power under subsection (4) in relation to the financial assistance.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-11__subsec-4">
            <num>4</num>
            <content>
              <p>	(4)	If the Minister has not notified the Facility under subsection (3A) in relation to the financial assistance, the Minister may, at any time during the Minister’s consideration period, notify the Facility in writing (the <b><i>rejection notice</i></b>) that the financial assistance should not be provided.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-11__subsec-5">
            <num>5</num>
            <content>
              <p>However, <role refersTo="#minister">the Minister</role> may give the rejection notice only if <role refersTo="#minister">the Minister</role> is satisfied that providing the financial assistance would:</p>
            </content>
            <paragraph eId="part-4__sec-11__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>be inconsistent with the objectives and policies of the Commonwealth Government; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-11__subsec-5__para-b">
              <num>b</num>
              <content>
                <p>have adverse implications for Australia’s national or domestic security; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-11__subsec-5__para-c">
              <num>c</num>
              <content>
                <p>have an adverse impact on Australia’s international reputation or foreign relations.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-4__sec-12">
          <num>12</num>
          <heading>Process if Minister decides that financial assistance should not be provided</heading>
          <subsection eId="part-4__sec-12__subsec-1">
            <num>1</num>
            <content>
              <p>A rejection notice must be accompanied by <role refersTo="#minister">the Minister</role>’s written reasons for the notice.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-12__subsec-2">
            <num>2</num>
            <content>
              <p>Within 20 sitting days after the rejection notice is given, <role refersTo="#minister">the Minister</role> must table the notice in each House of the Parliament.</p>

              <p>The Board of the Facility is established by this section.</p>
            </content>
          </subsection>

              <p>The Board consists of:</p>
            </content>
            <paragraph eId="part-5__sec-13__subsec-2__para-a">
              <num>a</num>

                <p>the Chair; and</p>
              </content>

              <num>b</num>

                <p>no less than 4 and no more than 6 other members; and</p>
              </content>
            </paragraph>

                <p><role refersTo="#secretary">the Secretary</role>.</p>

              <p>The performance of the functions or the exercise of the powers of the Board is not affected by reason only of the number of members falling below 6 for a period of not more than 6 months.</p>

          <heading>Functions of Board</heading>

              <p>The functions of the Board are:</p>
            </content>

                <p>to decide, within the scope of the Investment Mandate, the strategies and policies to be followed by the Facility; and</p>
              </content>
            </paragraph>

              <content>
                <p>to ensure the proper, efficient and effective performance of the Facility’s functions; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-14__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>any other functions conferred on the Board by this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-14__subsec-2">
            <num>2</num>

              <p>The Board has the power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

          <heading>Appointment of members</heading>

              <p>Members of the Board (including the Chair but not including <role refersTo="#secretary">the Secretary</role>) are to be appointed by the responsible Ministers by written instrument.</p>

                <p>economics;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-15__subsec-4__para-d">

                <p>infrastructure planning and financing;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-15__subsec-4__para-e">

                <p>engineering;</p>
              </content>
            </paragraph>

        </section>

          <heading>Acting appointment as Chair</heading>
          <content>
            <p>The responsible Ministers may, by written instrument, appoint a member to act as the Chair:</p>
          </content>
          <paragraph eId="part-5__sec-16__para-a">
            <num>a</num>
            <content>
              <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-16__para-b">
            <num>b</num>
            <content>
              <p>during any period, or during all periods, when the Chair:</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-16__para-i">
            <num>i</num>
            <content>
              <p>is absent from duty or from Australia; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-16__para-ii">
            <num>ii</num>
            <content>
              <p>is, for any reason, unable to perform the duties of the office.</p>
            </content>

          </subsection>
        </section>

          <heading>Leave of absence</heading>

            <content>
              <p>If the Chair is an appointed member, the responsible Ministers may grant leave of absence to the Chair on the terms and conditions that the responsible Ministers determine.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-18__subsec-2">
            <num>2</num>
            <content>
              <p>The Chair may grant leave of absence to any other appointed member on the terms and conditions that the Chair determines.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-19">
          <num>19</num>
          <heading>Other terms and conditions</heading>
          <content>
            <p>An appointed member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the responsible Ministers.</p>
          </content>
        </section>
        <section eId="part-5__sec-20">
          <num>20</num>
          <heading>Resignation</heading>
          <subsection eId="part-5__sec-20__subsec-1">
            <num>1</num>
            <content>
              <p>An appointed member may resign his or her appointment by giving the responsible Ministers a written resignation.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-20__subsec-2">
            <num>2</num>
            <content>
              <p>The resignation takes effect on the day it is received by the responsible Ministers or, if a later day is specified in the resignation, on that later day.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-21">
          <num>21</num>
          <heading>Termination of appointment</heading>
          <subsection eId="part-5__sec-21__subsec-1">
            <num>1</num>
            <content>
              <p>The responsible Ministers may terminate the appointment of an appointed member:</p>
            </content>
            <paragraph eId="part-5__sec-21__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if the member is unable to perform the duties of his or her office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>if the responsible Ministers are satisfied that the member’s performance has been unsatisfactory; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>if the responsible Ministers are satisfied that the collective experience and expertise of the Board are not sufficiently diverse or appropriate to enable the Board to perform its functions effectively.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-21__subsec-2">
            <num>2</num>
            <content>
              <p>The responsible Ministers may terminate the appointment of an appointed member if the member:</p>
            </content>
            <paragraph eId="part-5__sec-21__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>takes steps to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>compounds with one or more of his or her creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-21__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>makes an assignment of his or her remuneration for the benefit of one or more of his or her creditors.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-21__subsec-3">
            <num>3</num>
            <content>
              <p>The responsible Ministers may terminate the appointment of an appointed member if the member is absent, except on leave of absence, from 3 consecutive meetings of the Board.</p>

                <p>must convene at least 2 meetings of the Board in each financial year; and</p>

                <p>may convene other meetings of the Board if, in the Chair’s opinion, the meetings are necessary for the efficient performance of the Board’s functions.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-22__subsec-2">
            <num>2</num>
            <content>
              <p>The responsible Ministers may, at any time, direct the Chair to convene a meeting of the Board.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-22__subsec-3">
            <num>3</num>
            <content>
              <p>The Chair must convene a meeting of the Board if at least 5 members by writing request the Chair to convene a meeting.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-5__sec-22A">

          <heading>Secretary may nominate alternate to attend Board meetings</heading>
          <subsection eId="part-5__sec-22A__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#secretary">The Secretary</role> may, by writing, nominate a specified person who is an SES employee or acting SES employee in the Department to attend a particular meeting, or all meetings, of the Board at which <role refersTo="#secretary">the Secretary</role> is not present.</p>
            </content>
          </subsection>

              <p>A person so nominated may attend a meeting to which the nomination applies and, if the person does so, the person is taken to be a member of the Board.</p>

              <p>The Chair must preside at a meeting at which he or she is present.</p>

              <p>If the Chair is not present at a meeting, the members present must appoint a member to preside.</p>

          </subsection>

            <p>At a meeting of the Board a quorum is constituted by:</p>

            </content>

              <p>The Board must keep minutes of its meetings.</p>

          </subsection>
        </section>

          <heading>Decisions without meetings</heading>
          <subsection eId="part-5__sec-27__subsec-1">

            <content>
              <p>The Board is taken to have made a decision at a meeting if:</p>
            </content>
            <paragraph eId="part-5__sec-27__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>without meeting, a majority of the members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-27__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-27__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>all the members were informed of the proposed decision, or reasonable efforts were made to inform all members of the proposed decision.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-27__subsec-2">

              <p>Subsection (1) applies only if the Board:</p>
            </content>

                <p>has determined that it may make decisions of that kind without meeting; and</p>

                <p>has determined the method by which members are to indicate agreement with proposed decisions.</p>

            </paragraph>

              <p>For the purposes of paragraph (1)(a), a member is not entitled to vote on a proposed decision if the member would not have been entitled to vote on that proposal if the matter had been considered at a meeting of the Board.</p>

              <p><role refersTo="#ceo">The CEO</role> is responsible for the day-to-day administration of the Facility.</p>

          </subsection>

              <p><role refersTo="#ceo">The CEO</role> also has any functions conferred on <role refersTo="#ceo">the CEO</role> by or under this Act or any other law.</p>

              <p><role refersTo="#ceo">The CEO</role> has power to do all things necessary or convenient to be done for or in connection with the performance of his or her functions.</p>

              <p>The Board may grant a full-time CEO leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that the Board determines.</p>

          </subsection>

            <content>
              <p>The Board may grant leave of absence to a part-time CEO on the terms and conditions that the Board determines.</p>
            </content>
          </subsection>
        </section>

          <heading>Outside employment</heading>
          <subsection eId="part-6__sec-34__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	If the CEO is appointed on a full-time<i> </i>basis, the CEO must not engage in any work (whether paid or unpaid) outside the duties of his or her office without the Chair’s approval.</p>

          </subsection>

          <heading>Other terms and conditions</heading>
          <content>
            <p><role refersTo="#ceo">The CEO</role> holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the Board.</p>
          </content>
        </section>
        <section eId="part-6__sec-36">
          <num>36</num>
          <heading>Resignation of CEO</heading>
          <subsection eId="part-6__sec-36__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may resign his or her appointment by giving the Board a written resignation.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-36__subsec-2">
            <num>2</num>
            <content>
              <p>The resignation takes effect on the day it is received by the Board or, if a later day is specified in the resignation, on that later day.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-37">
          <num>37</num>
          <heading>Termination of appointment of CEO</heading>
          <subsection eId="part-6__sec-37__subsec-1">
            <num>1</num>
            <content>
              <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>
            </content>
            <paragraph eId="part-6__sec-37__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>if <role refersTo="#ceo">the CEO</role> is unable to perform the duties of his or her office because of physical or mental incapacity.</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>if the Board is satisfied that <role refersTo="#ceo">the CEO</role>’s performance has been unsatisfactory.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-37__subsec-2">
            <num>2</num>
            <content>
              <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role> if <role refersTo="#ceo">the CEO</role>:</p>
            </content>
            <paragraph eId="part-6__sec-37__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>takes steps to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>compounds with one or more of his or her creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>makes an assignment of his or her remuneration for the benefit of one or more of his or her creditors.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-37__subsec-3">
            <num>3</num>
            <content>
              <p>If <role refersTo="#ceo">the CEO</role> is appointed on a full-time basis, the Board may terminate the appointment if:</p>
            </content>
            <paragraph eId="part-6__sec-37__subsec-3__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role> is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-37__subsec-3__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#ceo">the CEO</role> engages, without the Chair’s approval, in work (whether paid or unpaid) outside the duties of his or her office (see subsection 34(1)).</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-37__subsec-4">
            <num>4</num>
            <content>
              <p>If <role refersTo="#ceo">the CEO</role> is appointed on a part-time basis, the Board may terminate the appointment if <role refersTo="#ceo">the CEO</role> engages in work (whether paid or unpaid) that conflicts or could conflict with the proper performance of his or her duties (see subsection 34(2)).</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-37__subsec-5">
            <num>5</num>
            <content>
              <p>	(5)	The Board may terminate the appointment of the CEO if the CEO fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section.<ref href="#sec-29">section 29</ref> of the </p>

          </subsection>
        </section>
        <section eId="part-6__sec-38">
          <num>38</num>
          <heading>Staff</heading>
          <subsection eId="part-6__sec-38__subsec-1">
            <num>1</num>
            <content>
              <p>The Facility may employ such persons as it considers necessary for the performance of its functions and the exercise of its powers.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-38__subsec-2">
            <num>2</num>
            <content>
              <p>An employee is to be employed on the terms and conditions that the Facility determines in writing.</p>
            </content>
            <content>
              <p>Arrangements relating to staff</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-38__subsec-3">
            <num>3</num>
            <content>
              <p>The Facility may make arrangements for the services of officers or employees of the following to be made available to the Facility:</p>
            </content>
            <paragraph eId="part-6__sec-38__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>the Commonwealth, a State or a Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-38__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>an authority of the Commonwealth or of a State or Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-38__subsec-3__para-c">
              <num>c</num>
              <content>
                <p>any other organisation or body.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-6__sec-39">
          <num>39</num>
          <heading>Consultants</heading>
          <content>
            <p>The Facility may engage consultants to assist in the performance of its functions.</p>
          </content>
        </section>
      </part>
      <part eId="part-7">
        <num>7</num>
        <heading>Miscellaneous</heading>
        <section eId="part-7__sec-39A">
          <num>39A</num>
          <heading>Matters relating to subsidiaries</heading>
          <subsection eId="part-7__sec-39A__subsec-1">
            <num>1</num>
            <content>
              <p>The Facility must not incorporate or otherwise form a subsidiary in a place other than Australia.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-39A__subsec-2">
            <num>2</num>
            <content>
              <p>In providing financial assistance in the form of equity investments for the purposes of the performance of the Facility’s functions under subsection 7(1A), a subsidiary of the Facility must:</p>
            </content>
            <paragraph eId="part-7__sec-39A__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>take all reasonable steps to comply with the Investment Mandate, to the extent to which the Investment Mandate is capable of applying to the activities of the subsidiary; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-39A__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>only acquire derivatives for a purpose for which the Facility may do so under subsection 7(1C).</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-7__sec-40">
          <num>40</num>
          <heading>Facility may charge fees</heading>
          <subsection eId="part-7__sec-40__subsec-1">
            <num>1</num>
            <content>
              <p>The Facility may charge a fee in relation to anything done in performing its functions.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-40__subsec-2">
            <num>2</num>
            <content>
              <p>A fee must not be such as to amount to taxation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-41">
          <num>41</num>
          <heading>Appropriation of Consolidated Revenue Fund</heading>
          <content>
            <p>The Consolidated Revenue Fund is appropriated to the extent of $7 billion for the purposes of providing financial assistance to the States and Territories and other entities for the development of Northern Australia economic infrastructure.</p>
          </content>
        </section>
        <section eId="part-7__sec-42">
          <num>42</num>
          <heading>Annual report</heading>
          <subsection eId="part-7__sec-42__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include the following:<ref href="#sec-46">section 46</ref> of the </p>
            </content>
            <paragraph eId="part-7__sec-42__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the particulars of any changes to the Investment Mandate during the period and their impact on the operations of the Facility;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a summary of the proposal notices given by the Facility to <role refersTo="#minister">the Minister</role> during the period;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>a summary of any rejection notices given by <role refersTo="#minister">the Minister</role> during the period and <role refersTo="#minister">the Minister</role>’s reasons for giving the notices;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>for financial assistance provided by the Facility during the period, a summary of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the amounts of financial assistance and kinds of Northern Australia economic infrastructure concerned; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the forms in which financial assistance was provided, and their important features; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>the risks and returns to the Commonwealth;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-42__subsec-1__para-e">
              <num>e</num>
              <content>
                <p><i>	</i>(e)<i>	</i>a summary of any adjustments or concessions made by the Facility during the period in relation to Northern Australia economic infrastructure projects that have not progressed as planned.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-42__subsec-2">
            <num>2</num>
            <content>
              <p>The annual report must also do the things referred to in paragraphs (1)(d) and (e) in relation to financial assistance provided for the purposes of the performance of the Facility’s functions under subsection 7(1A) by each subsidiary of the Facility in existence at the end of the period to which the annual report relates.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-42A">
          <num>42A</num>
          <heading>Delegation by Board</heading>
          <subsection eId="part-7__sec-42A__subsec-1">
            <num>1</num>
            <content>
              <p>The Board may, in writing, delegate to <role refersTo="#ceo">the CEO</role> any of its powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-42A__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, <role refersTo="#ceo">the CEO</role> must comply with any directions of the Board.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-43">
          <num>43</num>
          <heading>Reviews of operation of Act</heading>
          <subsection eId="part-7__sec-43__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a review of the operation of this Act to commence as soon as practicable after:</p>
            </content>
            <paragraph eId="part-7__sec-43__subsec-1__para-a">
              <num>a</num>
              <content>
                <p><date date="2029-06-30">30 June 2029</date>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-43__subsec-1__para-b">
              <num>b</num>
              <content>
                <p><date date="2034-06-30">30 June 2034</date>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-43__subsec-2">
            <num>2</num>
            <content>
              <p>Without limiting subsection (1), the review mentioned in paragraph (1)(b) must consider:</p>
            </content>
            <paragraph eId="part-7__sec-43__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>whether the time limit of <date date="2036-06-30">30 June 2036</date> set out in section 8 for making decisions to provide financial assistance should be extended; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-43__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the appropriate governance arrangements for the Facility after that date.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-43__subsec-3">
            <num>3</num>
            <content>
              <p>The persons undertaking a review must give <role refersTo="#minister">the Minister</role> a written report of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-43__subsec-4">
            <num>4</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the report of the review to be tabled in each House of the Parliament within 15 sitting days of that House after <role refersTo="#minister">the Minister</role> receives the report.</p>
            </content>
          </subsection>
        </section>

          <num>44</num>
          <heading>Regulations</heading>
          <content>
            <p>The Governor-General may make regulations prescribing matters:</p>
          </content>

              <p>required or permitted by this Act to be prescribed by the regulations; or</p>
            </content>
          </paragraph>

              <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
