          <p>		This Act is the <i>Australian Organ and Tissue Donation and Transplantation Authority Amendment</i><i> (</i><i>New Governance Arrangements</i><i>)</i><i> Act 201</i><i>6</i>.</p>

              <p>This Act establishes the Australian Organ and Tissue Donation and Transplantation Authority. <role refersTo="#authority">The Authority</role> has a number of functions relating to organ or tissue donation and transplantation matters.</p>
              <p>The Australian Organ and Tissue Donation and Transplantation Board is also established by this Act. The main functions of the Board are:</p>
              <p>There is to be a Chief Executive Officer of <role refersTo="#authority">the Authority</role>. <role refersTo="#ceo">The CEO</role> is responsible for the day-to-day administration of <role refersTo="#authority">the Authority</role>. <role refersTo="#ceo">The CEO</role> is also a member of the Board.</p>

                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, determine one or more functions for the purposes of paragraph (1)(d).</p>

                <p>The Board has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

            <heading>Delegation by the Board</heading>

                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, give written directions to the Board about the performance of the Board’s functions.</p>

            <heading>Membership</heading>
            <content>
              <p>The Board consists of:</p>

                <p><role refersTo="#ceo">the CEO</role>; and</p>

            <heading>Appointment of appointed Board members</heading>

                <p>Subject to this section and <role refersTo="#minister">the Minister</role> by written instrument, on a part-time basis.<ref href="#sec-13G">section 13G</ref>, the appointed Board members are to be appointed by </p>

              <p>Note:	An appointed Board member may be reappointed, see <i>Acts Interpretation Act 1901</i>.<ref href="#sec-33A">section 33A</ref>A of the </p>

                <p>	(2)	A person is not eligible for appointment as the Chair unless the Minister is satisfied that the person has substantial experience in,<i> </i>or substantial knowledge of, at least one of the following fields:</p>

                <p>public administration;</p>

                <p>the person has substantial experience in, or substantial knowledge of, at least one of the following fields:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-i">
              <num>i</num>
              <content>
                <p>public hospital administration;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-ii">
              <num>ii</num>
              <content>
                <p>community leadership or representation in relation to organ or tissue donation and transplantation matters;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-iii">
              <num>iii</num>
              <content>
                <p>consumer health issues;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-iv">
              <num>iv</num>
              <content>
                <p>promotion of health issues;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-v">
              <num>v</num>
              <content>
                <p>any other appropriate field of expertise; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-b">
              <num>b</num>
              <content>
                <p>the person has substantial clinical expertise in organ or tissue donation; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-c">
              <num>c</num>
              <content>
                <p>the person has substantial clinical expertise in organ or tissue transplantation; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13F__para-d">
              <num>d</num>
              <content>
                <p>the person is a consumer of health services.</p>
              </content>
            </paragraph>

                <p>In appointing the appointed Board members (other than the Chair), <role refersTo="#minister">the Minister</role> must ensure, to the extent practicable, that those appointed Board members are an appropriate mix of persons meeting the requirements of subsection (4).</p>

            <heading>Nominations for appointment of certain appointed Board members</heading>

                <p>	(1)	Before the Minister (the <b><i>Commonwealth Minister</i></b>) appoints a person as the Deputy Chair, the Commonwealth Minister must request each of the following to give the Commonwealth Minister a written notice nominating a person for appointment as the Deputy Chair:</p>

                <p><role refersTo="#minister">the Minister</role> of each State who is responsible, or principally responsible, for the administration of matters relating to health in the State;</p>

                <p><role refersTo="#minister">the Minister</role> of the Northern Territory who is responsible, or principally responsible, for the administration of matters relating to health in that Territory;</p>

              <num>c</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> of the Australian Capital Territory who is responsible, or principally responsible, for the administration of matters relating to health in that Territory.</p>

                <p>A Minister referred to in paragraph (1)(a), (b) or (c) must not give a notice under subsection (1) in relation to a person unless that Minister is satisfied that the person meets the requirements of subsection 13F(4).</p>

            <hcontainer name="subclause" eId="schedule-1__clause-13G__subclause-3">
              <num>3</num>
              <content>
                <p>If a Minister referred to in paragraph (1)(a), (b) or (c) gives the Commonwealth Minister a notice under subsection (1), the Commonwealth Minister must consider the notice before appointing a person as the Deputy Chair.</p>

                <p>Before the Commonwealth Minister appoints one or more persons as appointed Board members (other than the Chair or Deputy Chair), the Commonwealth Minister must request the COAG Health Council to give the Commonwealth Minister a written notice nominating one or more persons for appointment as appointed Board members (other than the Chair or Deputy Chair).</p>

                <p>The COAG Health Council must not give a notice under subsection (4) in relation to a person unless the COAG Health Council is satisfied that the person meets the requirements of subsection 13F(4).</p>

                <p>If the COAG Health Council gives the Commonwealth Minister a notice under subsection (5), the Commonwealth Minister must consider the notice before appointing one or more persons as appointed Board members (other than the Chair or Deputy Chair).</p>

            <heading>Term of appointment</heading>

              <p>An appointed Board member holds office for the period specified in the instrument of appointment. The period must not exceed 4 years.</p>

                <p>An appointed Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the appointed Board member is to be paid the remuneration that is prescribed by the regulations.</p>

              <content>
                <p>The Chair may grant leave of absence to any other appointed Board member on the terms and conditions that the Chair determines.</p>

                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants an appointed Board member leave of absence for a period that exceeds 3 months.</p>

            <heading>Other terms and conditions</heading>
            <content>
              <p>An appointed Board member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role>.</p>

            <num>13N</num>
            <heading>Resignation</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-13N__subclause-1">
              <num>1</num>

                <p>An appointed Board member may resign his or her appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-13N__subclause-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-13P">
            <num>13P</num>
            <heading>Termination of appointment</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-13P__subclause-1">

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed Board member:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-13P__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-b">
              <num>b</num>
              <content>
                <p>if the appointed Board member is unable to perform the duties of his or her office because of physical or mental incapacity.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-13P__subclause-2">

              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of an appointed Board member if:</p>
              </content>
            </hcontainer>

              <num>a</num>
              <content>
                <p>the appointed Board member:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-i">
              <num>i</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-ii">
              <num>ii</num>
              <content>
                <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-iii">
              <num>iii</num>
              <content>
                <p>compounds with his or her creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-iv">
              <num>iv</num>
              <content>
                <p>makes an assignment of his or her remuneration for the benefit of his or her creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-b">
              <num>b</num>
              <content>
                <p>the appointed Board member is absent, except on leave of absence, from 3 consecutive meetings of the Board; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-13P__para-c">
              <num>c</num>
              <content>
                <p>	(c)	the appointed Board member fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section.<ref href="#sec-29">section 29</ref> of the </p>

              <p>The Board must keep minutes of its meetings.</p>

                <p>The Board is taken to have made a decision at a meeting if:</p>

                <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
              </content>

                <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
              </content>
            </paragraph>

                <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the members of the proposed decision.</p>

            <heading>Duties of accountable authority</heading>
            <content>
              <p>For the purposes of sections 39, 42 and 46 of the <i>Public Governance, Performance and Accountability Act 2013</i>, the Board is the accountable authority of the Authority in relation to the reporting period (within the meaning of that Act) for the Authority that ends immediately before the commencement day.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-8">
            <num>8</num>
            <heading>Transitional rules</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make rules prescribing matters of a transitional nature (including prescribing any saving or application provisions) relating to the amendments or repeals made by this Act.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-2">
              <num>2</num>
              <content>
                <p>However, to avoid doubt, the rules may not do the following:</p>
