          <p>		This Act is the <i>Fair Work Amendment (Protecting Vulnerable Workers) </i><i>Act</i><i> 2017</i>.</p>

            <heading>Serious contravention of civil remedy provisions</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-557A__subclause-1">
              <num>1</num>
              <content>
                <p>	(1)	A contravention of a civil remedy provision by a person is a <b><i>serious contravention</i></b> if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-557A__para-a">
              <num>a</num>
              <content>
                <p>the person knowingly contravened the provision; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-b">
              <num>b</num>
              <content>
                <p>the person’s conduct constituting the contravention was part of a systematic pattern of conduct relating to one or more other persons.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	For the liability of bodies corporate for serious contraventions, see <ref href="#sec-557B">section 557B</ref>.</p>
              <p>Example:	Generally, subsection 323(1) requires an employer to pay an employee the full amount payable to the employee in relation to the performance of work.</p>
              <p>A contravention of subsection 323(1) is a serious contravention if the employer knowingly does not pay the employee in full (even if the employer does not know the exact amount of the underpayment) and that contravention is part of a systematic pattern of conduct by the employer. The systematic pattern of conduct of the employer may relate to more than one employee and may consist of different contraventions.</p>

              <p>Application for a serious contravention order and alternative orders</p>
              <p>the court may make a pecuniary penalty order against the person not for the serious contravention but for the contravention of that provision.</p>

              <num>2</num>
              <content>
                <p><i>	</i>(2)	In determining whether the person’s conduct constituting the contravention of the provision was part of a systematic pattern of conduct, a court may have regard to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-557A__para-a">
              <num>a</num>
              <content>
                <p>	(a)	the number of contraventions (the<b><i> relevant contraventions</i></b>) of this Act committed by the person; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-b">
              <num>b</num>
              <content>
                <p>the period over which the relevant contraventions occurred; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-c">
              <num>c</num>
              <content>
                <p>the number of other persons affected by the relevant contraventions; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-ca">
              <num>ca</num>
              <content>
                <p>the person’s response, or failure to respond, to any complaints made about the relevant contraventions; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-d">
              <num>d</num>
              <content>
                <p>except if the provision contravened is <ref href="#sec-535">section 535</ref>—whether the person also contravened subsection 535(1), (2) or (4) by failing to make or keep, in accordance with that section, an employee record relating to the conduct constituting the relevant contraventions; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-e">
              <num>e</num>
              <content>
                <p>except if the provision contravened is <ref href="#sec-536">section 536</ref>—whether the person also contravened subsection 536(1), (2) or (3) by failing to give, in accordance with that section, a pay slip relating to the conduct constituting the relevant contraventions.</p>
              </content>
            </paragraph>

              <num>3</num>
              <content>
                <p>Subsection (2) does not limit the matters that a court may have regard to.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-557A__subclause-4">
              <num>4</num>
              <content>
                <p><b>	</b>(4)	Subsection 557(1) does not apply for the purposes of determining whether the person’s conduct was part of a systematic pattern of conduct.</p>

              <num>5</num>
              <content>
                <p>Subsection (4) does not otherwise affect the operation of subsection 557(1) in relation to serious contraventions of civil remedy provisions.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-557A__subclause-5A">
              <num>5A</num>
              <content>
                <p>	(5A)	A person (the <b><i>involved person</i></b>) who is involved in a contravention of a civil remedy provision by another person (the <b><i>principal</i></b>) commits a <b><i>serious contravention </i></b>of the provision only if:</p>

              <num>a</num>
              <content>
                <p>the principal’s contravention was a serious contravention; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-b">
              <num>b</num>
              <content>
                <p>the involved person knew that the principal’s contravention was a serious contravention.</p>
              </content>
            </paragraph>

              <num>6</num>
              <content>
                <p>If a person is applying for an order in relation to a serious contravention of a civil remedy provision, the person’s application under subsection 539(2) must specify the relevant serious contravention.</p>
              </content>

              <num>7</num>
              <content>
                <p>If, in proceedings for an order in relation to a serious contravention of a civil remedy provision, the court:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-557A__para-a">
              <num>a</num>
              <content>
                <p>is not satisfied that the person has committed a serious contravention against that provision; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-557A__para-b">
              <num>b</num>
              <content>
                <p>is satisfied that the person has contravened that provision;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-557B">
            <num>557B</num>
            <heading>Liability of bodies corporate for serious contravention</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-557B__subclause-1">
              <num>1</num>

                <p>For the purposes of subsection 557A(1), a body corporate knowingly contravenes a civil remedy provision if the body corporate expressly, tacitly or impliedly authorised the contravention.</p>

                <p>	(1)	A person is a <b><i>franchisee entity</i></b> of a franchise if:</p>
              </content>

              <num>a</num>
              <content>
                <p>the person is a franchisee (including a subfranchisee) in relation to the franchise; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558A__para-b">
              <num>b</num>
              <content>
                <p>the business conducted by the person under the franchise is substantially or materially associated with intellectual property relating to the franchise.</p>
              </content>
            </paragraph>

                <p>	(2)	A person is a <b><i>responsible franchisor entity</i></b> for a franchisee entity of a franchise if:</p>

                <p>the person is a franchisor (including a subfranchisor) in relation to the franchise; and</p>

            <heading>Responsibility of responsible franchisor entities and holding companies for certain contraventions</heading>

              <p>Reasonable steps to prevent a contravention of the same or a similar character</p>
              <p>as the case may be;</p>

                <p>A person contravenes this subsection if:</p>
              </content>

              <num>a</num>
              <content>
                <p>an employer who is a franchisee entity of a franchise contravenes a civil remedy provision referred to in subsection (7); and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-b">
              <num>b</num>
              <content>
                <p>the person is a responsible franchisor entity for the franchisee entity; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-c">
              <num>c</num>
              <content>
                <p>the contravention by the franchisee entity occurs in the franchisee entity’s capacity as a franchisee entity; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-d">
              <num>d</num>
              <content>
                <p>either:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-i">
              <num>i</num>
              <content>
                <p>	(i)	the responsible franchisor entity or an officer (within the meaning of the <i>Corporations Act 2001</i>) of the responsible franchisor entity knew or could reasonably be expected to have known that the contravention by the franchisee entity would occur; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	at the time of the contravention by the franchisee entity, the responsible franchisor entity or an officer (within the meaning of the <i>Corporations Act 2001</i>) of the responsible franchisor entity knew or could reasonably be expected to have known that a contravention by the franchisee entity of the same or a similar character was likely to occur.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-558B__subclause-2">
              <num>2</num>
              <content>
                <p>A person contravenes this subsection if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-558B__para-a">
              <num>a</num>
              <content>
                <p>the person is a body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-b">
              <num>b</num>
              <content>
                <p>	(b)	a subsidiary (within the meaning of the <i>Corporations Act 2001</i>) of the body corporate who is an employer contravenes a civil remedy provision referred to in subsection (7); and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-c">
              <num>c</num>
              <content>
                <p>either:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-i">
              <num>i</num>
              <content>
                <p>	(i)	the body corporate or an officer (within the meaning of the <i>Corporations Act 2001</i>) of the body corporate knew or could reasonably be expected to have known that the contravention by the subsidiary would occur; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-558B__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	at the time of the contravention by the subsidiary, the body corporate or an officer (within the meaning of the <i>Corporations Act 2001</i>) of the body corporate knew or could reasonably be expected to have known that a contravention by the subsidiary of the same or a similar character was likely to occur.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-558B__subclause-3">
              <num>3</num>
              <content>
                <p>A person does not contravene subsection (1) or (2) if, as at the time of the contravention referred to in paragraph (1)(a) or (2)(b), the person had taken reasonable steps to prevent a contravention by the franchisee entity or subsidiary of the same or a similar character.</p>

                <p>	(4)	For the purposes of subsection (3), in determining whether a person took reasonable steps to prevent a contravention by a franchisee entity or subsidiary (the <b><i>contravening employer</i></b>) of the same or a similar character, a court may have regard to all relevant matters, including the following:</p>

            <heading>Issue of FWO notice</heading>

                <p>A nominated AAT presidential member to whom an application for an FWO notice has been made must issue the FWO notice if the presidential member is satisfied of the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-712AB__para-a">
              <num>a</num>
              <content>
                <p>that an inspector has commenced the investigation (or investigations) to which the application relates;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-b">
              <num>b</num>
              <content>
                <p>that there are reasonable grounds to believe that the person to whom the application relates has information or documents, or is capable of giving evidence, relevant to the investigation (or investigations);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-c">
              <num>c</num>
              <content>
                <p>that any other method of obtaining the information, documents or evidence:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-i">
              <num>i</num>
              <content>
                <p>has been attempted and has been unsuccessful; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-ii">
              <num>ii</num>

                <p>is not appropriate;</p>

            <paragraph eId="schedule-1__clause-712AB__para-d">

              <content>
                <p>that the information, documents or evidence would be likely to be of assistance in the investigation (or investigations);</p>

            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-e">
              <num>e</num>
              <content>
                <p>that, having regard to all the circumstances, it would be appropriate to issue the FWO notice;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AB__para-f">
              <num>f</num>
              <content>
                <p>any other matter prescribed by the regulations.</p>
              </content>
            </paragraph>

                <p>A nominated AAT presidential member must not issue an FWO notice except in the circumstances referred to in subsection (1).</p>

              <content>
                <p>An FWO notice must not be issued in relation to more than one person, but may be issued in relation to more than one investigation.</p>

                <p>If:</p>

                <p>an application for an FWO notice is made in relation to more than one investigation; and</p>

                <p>the nominated AAT presidential member to whom the application is made is not satisfied of the matters referred to in subsection (1) in relation to each of those investigations;</p>

            </paragraph>

              <p>the nominated AAT presidential member must issue the FWO notice in relation to the investigation (or investigations) in relation to which the nominated AAT presidential member is satisfied of the matters referred to in subsection (1).</p>

            <heading>Form and content of FWO notice</heading>
            <content>
              <p>An FWO notice must:</p>
            </content>

                <p>if a form is prescribed by the regulations—be in that form; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712AC__para-b">

                <p>if the notice requires a person to give information under paragraph 712AA(2)(a)—specify the time by which, and the manner and form in which, the information is to be given; and</p>
              </content>
            </paragraph>

              <content>
                <p>if the notice requires a person to produce documents under paragraph 712AA(2)(b)—specify the time by which, and the manner in which, the documents are to be produced; and</p>
              </content>
            </paragraph>

              <num>d</num>
              <content>
                <p>if the notice requires a person to attend to answer questions relevant to an investigation—specify the time and place for the attendance; and</p>
              </content>

                <p>be signed by the nominated AAT presidential member who issued it; and</p>
              </content>
            </paragraph>

            <heading>Fair Work Ombudsman may give FWO notice to person in relation to whom it is issued and vary time for compliance</heading>

                <p>If an FWO notice is not given to the person in relation to whom it is issued <quantity refersTo="#deadline">within 3 months</quantity> after the day on which it was issued, the notice ceases to have effect at the end of that period.</p>

                <p>The Fair Work Ombudsman may, at any time after giving an FWO notice to the person in relation to whom it is issued, give notice to the person of a time later than the time:</p>

                <p>specified in the notice under paragraph 712AC(b), (c) or (d); or</p>

For that purpose, the Fair Work Ombudsman, or any member of the staff of the Office of the Fair Work Ombudsman, may administer the oath or affirmation.</p>

            <heading>Requirement to comply with FWO notice</heading>

                <p>A person who has been given an FWO notice must do the following (as applicable):</p>

                <p>give information or produce a document in accordance with the notice;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712B__para-b">

                <p>attend to answer questions in accordance with the notice;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712B__para-c">
              <num>c</num>
              <content>
                <p>take an oath or make an affirmation when required to do so under subsection 712AE(2);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-712B__para-d">

                <p>answer questions relevant to the investigation while attending as required by the FWO notice.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	This subsection is a civil remedy provision (see <ref href="#part-4">Part 4</ref>-1).</p>

                <p>Subsection (1) does not apply to the extent that the person is not capable of complying with the requirement.</p>

            <heading>Payment for expenses incurred in attending as required by an FWO notice</heading>

                <p>A person who attends as required by an FWO notice is (subject to subsection (2)) entitled to be paid fees and allowances, fixed by or calculated in accordance with the regulations, for reasonable expenses (including legal expenses) incurred by the person in so attending.</p>
              </content>

                <p>The person is not entitled to be paid for expenses under this section unless the person:</p>
              </content>

                <p>applies, in writing, to the Fair Work Ombudsman for payment of the expenses <quantity refersTo="#deadline">within 3 months</quantity> after the attendance; and</p>

              <content>
                <p>provides to the Fair Work Ombudsman sufficient evidence to establish that the person incurred the expenses.</p>

                <p>An application under paragraph (2)(a) must:</p>
              </content>

                <p>any proceedings for contravening any other law because of that conduct; or</p>
              </content>
            </paragraph>

                <p>civil proceedings for loss, damage or injury of any kind suffered by another person because of that conduct.</p>
              </content>
            </paragraph>

            <heading>Fair Work Ombudsman must notify Commonwealth Ombudsman of issue of FWO notice</heading>

                <p>As soon as practicable after an FWO notice has been issued, the Fair Work Ombudsman must:</p>
