          <p>		This Act is the <i>Treasury Laws Amendment (2017 Measures No.</i><i> </i><i>3) Act 2017</i>.</p>

        <heading>Commencement</heading>
        <subsection eId="sec-2__subsec-1">
          <num>1</num>
          <content>
            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

            <heading>Subsection 5(1)</heading>
            <content>
              <p>Insert:</p>
              <p><b><i>old ASIC Act</i></b> means the <i>Australian Securities and Investments Commission Act 1989</i> as in force from time to time before the commencement of this Act.</p>

              <p>Insert:</p>

            <num>249</num>
            <heading>Validation of agreements to employ staff or engage consultants</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-249__subclause-1">
              <num>1</num>
              <content>
                <p>The following are, for all purposes, taken to be, and always to have been, valid agreements:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-249__para-a">
              <num>a</num>
              <content>
                <p>an agreement purportedly made, before the end of <date date="2017-03-09">9 March 2017</date>, under subsection 120(3) of this Act or the old ASIC Act (whether or not the terms and conditions of employment under the agreement were validly determined under subsection 120(4) of this Act or the old ASIC Act);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-249__para-b">
              <num>b</num>
              <content>
                <p>an agreement purportedly made, before the end of <date date="2017-03-09">9 March 2017</date>, under subsection 121(1) of this Act or the old ASIC Act (whether or not the terms and conditions of engagement under the agreement were validly determined under subsection 121(2) of this Act or the old ASIC Act).</p>
              </content>
            </paragraph>
            <content>
              <p>Note 1:	As a result of this section (and the definition of <b><i>staff member</i></b> in subsection 5(1)), a person employed or engaged under the purported agreement would be a staff member of ASIC, and would therefore be able to exercise functions and powers delegated under section 102.</p>
              <p>Note 2:	Validation of an agreement under this section affects the significance, status and effect of the agreement, and matters relating to the agreement, for the purposes of <i>Corporations Act 2001</i>.<ref href="#sec-279">section 279</ref> of this Act and <ref href="#sec-1403">section 1403</ref> of the </p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-249__subclause-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies to such an agreement whether or not it was expressed to be made on behalf of the Commonwealth.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-249__subclause-3">
              <num>3</num>
              <content>
                <p>Subsections (1) and (2) have effect in relation to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-249__para-a">
              <num>a</num>
              <content>
                <p>	(a)	proceedings (whether original or appellate) that begin on or after the day the <i>Treasury Laws Amendment (2017 Measures No.</i><i> </i><i>3) Act 2017</i> receives the Royal Assent; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-249__para-b">
              <num>b</num>
              <content>
                <p>proceedings that began before that day, if the proceedings (including any appeals) had not been finally determined as at that day.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-250">
            <num>250</num>
            <heading>Compensation for compulsory acquisition</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-250__subclause-1">
              <num>1</num>
              <content>
                <p>If:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-250__para-a">
              <num>a</num>
              <content>
                <p>the operation of a validation provision would result in the acquisition of property from a person otherwise than on just terms; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-250__para-b">
              <num>b</num>
              <content>
                <p>the acquisition would be invalid because of paragraph 51(xxxi) of the Constitution; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-250__para-c">
              <num>c</num>
              <content>
                <p>	(c)	<i>Corporations Act 2001</i> does not apply in relation to the acquisition;<ref href="#sec-1350">section 1350</ref> of the </p>
              </content>
            </paragraph>
            <content>
              <p>the Commonwealth is liable to pay compensation of a reasonable amount to the person.</p>
              <p><b><i>acquisition of property</i></b> has the same meaning as in paragraph 51(xxxi) of the Constitution.</p>
              <p><b><i>Court</i></b> has the same meaning as in section 58AA of the <i>Corporations Act 2001</i>.</p>
              <p><b><i>just terms</i></b> has the same meaning as in paragraph 51(xxxi) of the Constitution.</p>
              <p><b><i>validation provision</i></b> means:</p>
            </content>

              <num>2</num>
              <content>
                <p>If the Commonwealth and the person do not agree on the amount of the compensation, the person may institute proceedings in the Court for the recovery from the Commonwealth of such reasonable amount as the court determines.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-250__subclause-3">
              <num>3</num>
              <content>
                <p>Any damages or compensation recovered or other remedy given in a proceeding that is commenced otherwise than under this section is to be taken into account in assessing compensation payable in a proceeding that is commenced under this section and that arises out of the same event or transaction.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-250__subclause-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-250__para-a">
              <num>a</num>
              <content>
                <p><ref href="#sec-249">section 249</ref>; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-250__para-b">
              <num>b</num>
              <content>
                <p>paragraph 276(1)(b) or subsection 276(4) or (5); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-250__para-c">
              <num>c</num>
              <content>
                <p>paragraph 277(1)(b) or subsection 277(5) or (6).</p>
              </content>
            </paragraph>

            <heading>Subsection 254(1) (definition of old ASIC Act)</heading>
            <content>
              <p>Repeal the definition.</p>
            </content>
          </hcontainer>

            <heading>Paragraphs 276(1)(a) and (b)</heading>
            <content>
              <p>Repeal the paragraphs, substitute:</p>
              <p>if every agreement that was valid only because of <ref href="#sec-249">section 249</ref> had been a valid agreement without the application of that section.</p>

                <p>in existence immediately before the commencement; or</p>
              </content>
            </paragraph>

            </paragraph>
            <paragraph eId="schedule-1__clause-4__para-i">
              <num>i</num>
              <content>
                <p>acquired, accrued or incurred under such a provision; and</p>
              </content>
            </paragraph>

                <p>in existence immediately before the commencement;</p>

                <p>proceedings that began before that day, if the proceedings (including any appeals) had not been finally determined as at that day.</p>
