          <p>		This Act is the <i>Treasury Laws Amendment (Enhancing ASIC’s Capabilities) Act 2018</i>.</p>

        <heading>Commencement</heading>

          <num>1</num>

            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <p>Legislation that is specified in a Schedule to this Act is amended or repealed as set out in the applicable items in the Schedule concerned, and any other item in a Schedule to this Act has effect according to its terms.</p>

            <content>
              <p>Insert:</p>
              <p><b><i>senior staff member </i></b>means a staff member identified as a senior staff member in a determination made under section 122A.</p>

            <heading>Subsection 5(1) (definition of staff member)</heading>
            <content>
              <p>Repeal the definition, substitute:</p>
              <p><b><i>staff member</i></b> means:</p>

              <num>a</num>
              <content>
                <p>a person employed under <ref href="#sec-120">section 120</ref>; or</p>
              </content>
            </paragraph>

                <p>a person engaged under subsection 121(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-2__para-c">

                <p>any of the officers, employees and persons who under <ref href="#sec-122">section 122</ref> are to assist ASIC.</p>

              <p>Repeal the section, substitute:</p>

            <heading>Chairperson not subject to direction by ASIC on certain matters</heading>
            <content>
              <p>The Chairperson of ASIC is not subject to direction by ASIC in relation to the Chairperson’s performance of functions, or exercise of powers, under:</p>

                <p>The Chairperson may, on behalf of ASIC, employ under written agreements such permanent, temporary or casual staff as the Chairperson considers necessary for the performance or exercise of any of ASIC’s functions or powers.</p>

                <p>The terms and conditions of employment (including as to remuneration) are to be determined by the Chairperson.</p>

                <p>The Chairperson may, by written instrument, make a determination identifying which staff members are senior staff members.</p>

              <content>
                <p>A determination under subsection (1) may identify a staff member who holds or acts in a specified position as a senior staff member.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-122A__subclause-3">
              <num>3</num>
              <content>
                <p>A determination under subsection (1) is a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-10">
            <num>10</num>
            <heading>Paragraph 125(1)(a)</heading>
            <content>
              <p>Repeal the paragraph, substitute:</p>
            </content>
            <paragraph eId="schedule-2__clause-10__para-a">

              <content>
                <p>performing functions or services as a staff member, otherwise than because the person is:</p>
              </content>
            </paragraph>

                <p>a person employed under <ref href="#sec-120">section 120</ref>; or</p>
              </content>
            </paragraph>

                <p>	(ii)	an officer or employee of an Agency, within the meaning of the <i>Public Service Act 1999</i>, whose services are made available under section 122; or</p>
              </content>
            </paragraph>

              <p>The Chairperson must take reasonable steps to ensure that there are, where appropriate, adequate disclosure of interest requirements applying to staff members.</p>

            <heading>ASIC Code of Conduct</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-126B__subclause-1">
              <num>1</num>
              <content>
                <p>The Chairperson must determine, in writing, the ASIC Code of Conduct.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note: 	Subsection 33(3) of the <i>Acts Interpretation Act 1901</i> provides for the repeal, variation etc. of instruments.</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-126B__subclause-2">
              <num>2</num>
              <content>
                <p>The ASIC Code of Conduct applies to ASIC members and staff members employed under <ref href="#sec-120">section 120</ref>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-126B__subclause-3">
              <num>3</num>
              <content>
                <p>To avoid doubt, a determination under subsection (1) is not a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-126C">
            <num>126C</num>
            <heading>ASIC Values</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-126C__subclause-1">
              <num>1</num>
              <content>
                <p>The Chairperson must determine, in writing, the ASIC Values.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note: 	Subsection 33(3) of the <i>Acts Interpretation Act 1901</i> provides for the repeal, variation etc. of instruments.</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-126C__subclause-2">
              <num>2</num>
              <content>
                <p>The Chairperson must uphold and promote the ASIC Values.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-126C__subclause-3">
              <num>3</num>
              <content>
                <p>ASIC members (other than the Chairperson) and staff members employed under <ref href="#sec-120">section 120</ref> must uphold the ASIC Values.</p>
              </content>

              <p>In this Part:</p>
              <p><b><i>APS employee</i></b> has the meaning given in section 7 of the <i>Public Service Act 1999</i>.</p>
              <p><b><i>commencement day </i></b>means the day on which Schedule 2 to the <i>Treasury Laws Amendment (Enhancing ASIC’s Capabilities) Act 2018</i> commences.</p>
              <p><b><i>staff member</i></b> has the meaning given in subsection 5(1) as in force on and from the commencement day.</p>

          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-310">
            <num>310</num>
            <heading>Staff members engaged under former subsection 120(3)</heading>
            <content>
              <p>Each person who, immediately before <date>the commencement day</date>, was a staff member employed under a written agreement under subsection 120(3) continues to be employed under that agreement. That agreement is taken to be an agreement under section 120 as in force on and from that day.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-311">
            <num>311</num>
            <heading>APS employees in ASIC</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-311__subclause-1">
              <num>1</num>
              <content>
                <p>	(1)	This section applies to a person who, immediately before the commencement day, was a staff member (<i>Public Service Act 1999</i>.<ref href="#sec-5__subsec-1">as defined in subsection 5(1)</ref> as in force immediately before the commencement day) engaged under the </p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-311__subclause-2">
              <num>2</num>
              <content>
                <p>On and from <date>the commencement day</date>, the person is taken:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-311__para-a">
              <num>a</num>
              <content>
                <p>	(a)	to cease to be engaged under the <i>Public Service Act 1999</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-311__para-b">
              <num>b</num>
              <content>
                <p>to be employed by ASIC under a written agreement under <date>the commencement day</date>; and<ref href="#sec-120">section 120</ref> as in force on and from </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-311__para-c">
              <num>c</num>
              <content>
                <p>except as provided by this Act:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-311__para-i">
              <num>i</num>
              <content>
                <p>to be employed on the same terms and conditions as those that applied to the person immediately before <date>the commencement day</date>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-311__para-ii">
              <num>ii</num>
              <content>
                <p>to have accrued an entitlement to benefits, in connection with that employment by ASIC, that is equivalent to the entitlement that the person had accrued, in connection with his or her employment, immediately before <date>the commencement day</date>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-311__subclause-3">
              <num>3</num>
              <content>
                <p>The person’s service as an employee of ASIC is taken, for all purposes, to be continuous with his or her service as an APS employee.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-311__subclause-4">
              <num>4</num>
              <content>
                <p>This Part does not affect any promotion, performance management or disciplinary actions (however described) in relation to the person that had been started before <date>the commencement day</date>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-311__subclause-5">
              <num>5</num>
              <content>
                <p>A staff member who ceases to be an APS employee because of subsection (2) is not entitled to receive any payment or other benefit merely because he or she ceased to be an APS employee.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-312">
            <num>312</num>
            <heading>ASIC Enterprise Agreement</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-312__subclause-1">
              <num>1</num>
              <content>
                <p>In this section:</p>
              </content>
            </hcontainer>
            <content>
              <p><b><i>Enterprise Agreement</i></b> means the <i>Australian Securities &amp; Investments Commission Enterprise Agreement 2016</i><i>-</i><i>2019</i> approved under the <i>Fair Work Act 2009</i> on 20 May 2016, as in force immediately before the commencement day.</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-312__subclause-2">
              <num>2</num>
              <content>
                <p>The Enterprise Agreement:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-312__para-a">
              <num>a</num>
              <content>
                <p>continues, on and from <date>the commencement day</date>, to cover and apply to employees whom it covered and applied to immediately before <date>the commencement day</date>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-312__para-b">
              <num>b</num>
              <content>
                <p>covers and applies to employees at the classification levels covered by the Enterprise Agreement whose employment with ASIC commences on or after <date>the commencement day</date>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-312__subclause-3">
              <num>3</num>
              <content>
                <p>	(3)	On and after the commencement day, the Enterprise Agreement covers and applies to the Chairperson as the employing authority but on behalf of ASIC under <i>.</i><ref href="#sec-120">section 120</ref></p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-312__subclause-4">
              <num>4</num>
              <content>
                <p>This section does not prevent the variation or termination of the Enterprise Agreement in accordance with law.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-312__subclause-5">
              <num>5</num>
              <content>
                <p>	(5)	This section does not affect the operation of <i>Fair Work Act 2009</i>.<ref href="#sec-58">section 58</ref> of the </p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-313">
            <num>313</num>
            <heading>Variation of terms and conditions of employment</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-313__subclause-1">
              <num>1</num>
              <content>
                <p>This Part does not prevent the terms and conditions of a staff member’s employment after <date>the commencement day</date> from being varied:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-313__para-a">
              <num>a</num>
              <content>
                <p>in accordance with those terms and conditions; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-313__para-b">
              <num>b</num>
              <content>
                <p>by or under a law, award, determination or agreement.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-313__subclause-2">
              <num>2</num>
              <content>
                <p>In this section:</p>
              </content>
            </hcontainer>
            <content>
              <p><b><i>vary</i></b>, in relation to terms and conditions, includes:</p>
            </content>
            <paragraph eId="schedule-2__clause-313__para-a">
              <num>a</num>
              <content>
                <p>omitting any of those terms and conditions; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-313__para-b">
              <num>b</num>
              <content>
                <p>adding to those terms and conditions; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-313__para-c">
              <num>c</num>
              <content>
                <p>substituting new terms or conditions for any of those terms and conditions.</p>

            <heading>Transitional rules</heading>

                <p>In this section:</p>

            <content>
              <p><b><i>transitional rule</i></b> means an instrument made under subsection (2) or (4).</p>
              <p>Note: 	Subsection 33(3) of the <i>Acts Interpretation Act 1901</i> provides for the repeal, variation etc. of instruments.</p>
              <p>The provision has effect accordingly.</p>

                <p><role refersTo="#minister">The Minister</role> may make a written instrument prescribing matters of a transitional nature (including prescribing any saving or application provisions) relating to sections 310 to 313 in relation to a particular person.</p>

                <p>An instrument made under subsection (2) is not a legislative instrument.</p>

                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, prescribe matters of a transitional nature (including prescribing any saving or application provisions) relating to sections 310 to 313 in relation to a class of persons.</p>

                <p>Without limiting subsection (2) or (4):</p>
              </content>

              <num>a</num>
              <content>
                <p>a transitional rule made under subsection (2) may declare that a specified provision of sections 310 to 313 is to have effect, in relation to a particular person, as if it were modified as specified in the transitional rule; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-b">
              <num>b</num>
              <content>
                <p>a transitional rule made under subsection (4) may declare that a specified provision of sections 310 to 313 is to have effect, in relation to a class of persons, as if it were modified as specified in the transitional rule.</p>

            </paragraph>

              <num>6</num>
              <content>
                <p>A transitional rule:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-314__para-a">
              <num>a</num>
              <content>
                <p>must not be made after 12 months after <date>the commencement day</date>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-b">
              <num>b</num>
              <content>
                <p>if it is a legislative instrument—takes effect from the later of:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-i">
              <num>i</num>
              <content>
                <p>the day after the day it is registered; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-ii">
              <num>ii</num>
              <content>
                <p>a later day specified in the rule; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-c">
              <num>c</num>
              <content>
                <p>if it is not a legislative instrument—takes effect from the later of:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-i">
              <num>i</num>
              <content>
                <p>the day after the day it is made; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-ii">
              <num>ii</num>
              <content>
                <p>a later day specified in the rule; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-d">
              <num>d</num>
              <content>
                <p>unless revoked earlier, remains in effect for 12 months from the day the rule takes effect, or a shorter period specified in the rule.</p>

                <p>To avoid doubt, a transitional rule may not do any of the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-314__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-b">
              <num>b</num>
              <content>
                <p>provide powers of:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-i">
              <num>i</num>
              <content>
                <p>arrest or detention; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-ii">
              <num>ii</num>
              <content>
                <p>entry, search or seizure;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-c">
              <num>c</num>
              <content>
                <p>impose a tax;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-314__para-d">
              <num>d</num>
              <content>
                <p>set an amount to be appropriated from the Consolidated Revenue Fund under an appropriation in this Act;</p>
              </content>
            </paragraph>

                <p>directly amend the text of this Act.</p>
              </content>
            </paragraph>
