          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Simplified outline of this Act</heading>
          <content>
            <p>•	This Act establishes the Aboriginal and Torres Strait Islander Land and Sea Future Fund, which will enhance the Commonwealth’s ability to make payments to the Indigenous Land and Sea Corporation.</p>
            <p>•	The Aboriginal and Torres Strait Islander Land and Sea Future Fund consists of:</p>

            <num>a</num>
            <content>
              <p>the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>the investments of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
            </content>
            <content>
              <p>•	The balance of the Aboriginal and Torres Strait Islander Land Account will be transferred to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account. The investments of the Aboriginal and Torres Strait Islander Land Account will become investments of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
              <p>•	The Future Fund Board is responsible for deciding how to invest the Aboriginal and Torres Strait Islander Land and Sea Future Fund. In doing so, the Future Fund Board is bound by the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate given to it by the responsible Ministers.</p>
              <p>•	The Indigenous Affairs Minister must, on behalf of the Commonwealth, make an annual payment to the Indigenous Land and Sea Corporation.</p>
              <p>•	The Indigenous Affairs Minister may, on behalf of the Commonwealth, make an additional payment to the Indigenous Land and Sea Corporation in respect of a financial year.</p>
              <p>•	This Act establishes the Indigenous Land and Sea Corporation Funding Special Account.</p>
              <p>•	Payments to the Indigenous Land and Sea Corporation will be channelled through the Indigenous Land and Sea Corporation Funding Special Account.</p>

          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-aboriginal-and-torres-strait-islander-land-account">Aboriginal and Torres Strait Islander Land Account</term> means <def>the Aboriginal and Torres Strait Islander Land Account that was continued in existence by repealed <ref href="#sec-192W">section 192W</ref> of <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>
            <p><term refersTo="#term-aboriginal-and-torres-strait-islander-land-and-sea-future-fund">Aboriginal and Torres Strait Islander Land and Sea Future Fund</term> means <def>the Aboriginal and Torres Strait Islander Land and Sea Future Fund established by <ref href="#sec-9">section 9</ref>.</def></p>
            <p><b><i>Aboriginal and Torres Strait Islander Land and Sea Future Fund investment function</i></b> of the Future Fund Board means:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>a function or power conferred on the Future Fund Board by <ref href="#sec-30">section 30</ref>, 31, 38, 40, 42 or 43; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>a right or power conferred on the Future Fund Board in its capacity as the holder of an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
            </content>
            <content>
              <p><b><i>Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate</i></b> has the meaning given by subsection 32(3).</p>
              <p><term refersTo="#term-aboriginal-and-torres-strait-islander-land-and-sea-future-fund-special-account">Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account</term> means <def>the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account established by <ref href="#sec-12">section 12</ref>.</def></p>
              <p><term refersTo="#term-acquire">acquire</term> includes <def>acquire by way of issue.</def></p>
              <p><term refersTo="#term-agency">Agency</term> means <def>the Future Fund Management Agency.</def></p>
              <p><term refersTo="#term-appropriation-act">Appropriation Act</term> means <def>an Act appropriating money for expenditure out of the Consolidated Revenue Fund.</def></p>
              <p><term refersTo="#term-asset">asset</term> has the same meaning as <def>in <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><b><i>balance of the </i></b><b><i>Aboriginal and Torres Strait Islander Land and Sea Future Fund</i></b> means the sum of:</p>

          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>amounts standing to the credit of the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>the value of investments of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
            </content>
            <content>
              <p><term refersTo="#term-bank">bank</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-business-day">business day</term> means <def>a day that is not a Saturday, a Sunday or a public holiday in the Australian Capital Territory.</def></p>
              <p><b><i>business entity</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>a company; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>a partnership; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-c">
            <num>c</num>
            <content>
              <p>a trust; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-d">
            <num>d</num>
            <content>
              <p>a body politic.</p>
            </content>
            <content>
              <p><term refersTo="#term-derivative">derivative</term> means <def>a derivative (within the meaning of Chapter 7 of <ref href="">the Corporations Act 2001</ref>) that is a financial asset.</def></p>

              <p><term refersTo="#term-future-fund-board">Future Fund Board</term> means <def>the Future Fund Board of Guardians established by <ref href="#sec-34">section 34</ref> of <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><term refersTo="#term-future-fund-special-account">Future Fund Special Account</term> means <def>the Future Fund Special Account established by <ref href="#sec-12">section 12</ref> of <ref href="">the Future Fund Act 2006</ref>.</def></p>
              <p><term refersTo="#term-indexation-factor">indexation factor</term> has the meaning given by <def><ref href="#sec-24">section 24</ref>.</def></p>
              <p><term refersTo="#term-indigenous-affairs-department">Indigenous Affairs Department</term> means <def>the Department administered by the Indigenous Affairs Minister.</def></p>
              <p><term refersTo="#term-indigenous-affairs-minister">Indigenous Affairs Minister</term> means <def>the Minister who administers <ref href="#part-4">Part 4</ref>A of <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>
              <p><term refersTo="#term-indigenous-land-and-sea-corporation">Indigenous Land and Sea Corporation</term> means <def>the corporation continued in existence by <ref href="#sec-191A">section 191A</ref> of <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>
              <p><term refersTo="#term-indigenous-land-and-sea-corporation-board">Indigenous Land and Sea Corporation Board</term> has the same meaning as <def>in <ref href="">the Aboriginal and Torres Strait Islander Act 2005</ref>.</def></p>
              <p><term refersTo="#term-indigenous-land-and-sea-corporation-funding-special-account">Indigenous Land and Sea Corporation Funding Special Account</term> means <def>the special account continued in existence by <ref href="#sec-20">section 20</ref>.</def></p>
              <p><term refersTo="#term-investment">investment</term> means <def>any mode of application of money or financial assets for the purpose of gaining a return (whether by way of income, capital gain or any other form of return).</def></p>
              <p><term refersTo="#term-investment-manager">investment manager</term> means <def>a person or body (other than the Agency) who undertakes to do any or all of the following: invest amounts on behalf of the Future Fund Board; manage the investment of funds on behalf of the Future Fund Board; acquire derivatives on behalf of the Future Fund Board; manage derivatives on behalf of the Future Fund Board; enter into securities lending arrangements on behalf of the Future Fund Board; realise financial assets on behalf of the Future Fund Board; perform custodial functions in relation to the financial assets of the Future Fund Board. <b><i>investment of the </i></b><b><i>Aboriginal and Torres Strait Islander Land and Sea Future Fund</i></b> means a financial asset that, under a provision of this Act, is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</def></p>

              <p><b><i>investment of the </i></b><b><i>Aboriginal and Torres Strait Islander Land and Sea Future Fund</i></b> means a financial asset that, under a provision of this Act, is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
              <p><term refersTo="#term-official">official</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><term refersTo="#term-person">person</term> includes <def>a partnership.</def></p>
              <p><term refersTo="#term-quarter">quarter</term> means <def>a period of 3 months ending on 31 March, 30 June, 30 September or 31 December.</def></p>

              <p>As soon as practicable after the commencement of this section, there is to be credited to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account an amount equal to the balance of the Aboriginal and Torres Strait Islander Land Account immediately before the commencement of this section.</p>

                <p>The responsible Ministers may, by writing, determine that:</p>

                  <p>a specified amount is to be credited to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account on a specified day; or</p>

              </paragraph>

                <num>b</num>
                <content>
                  <p>a specified amount is to be credited to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account in specified instalments on specified days.</p>

              <p>	(1)	On the first business day in October in the financial year beginning on 1 July 2018, the Indigenous Affairs Minister must, on behalf of the Commonwealth, pay to the Indigenous Land and Sea Corporation an amount equal to the amount that would have been the relevant funding amount for the financial year within the meaning of repealed subsection 193(2) of the <i>Aboriginal and Torres Strait Islander Act 2005</i> if section 193 of that Act had not been repealed.</p>

              <p>	(1)	For the purposes of this Act, the <b><i>indexation factor</i></b> for a financial year is worked out using the formula:</p>

              <p>An indexation factor is to be calculated to 3 decimal places, but increased by 0.001 if the fourth decimal place is more than 4.</p>

          </subsection>

            <content>
              <p>If an indexation factor worked out under subsections (1) and (2) would be less than 1, that indexation factor is to be increased to 1.</p>

                <p>disregarding index numbers published in substitution for previously published index numbers (except where the substituted numbers are published to take account of changes in the index reference period).</p>

          <num>25</num>
          <heading>Additional payments to the Indigenous Land and Sea Corporation</heading>
          <subsection eId="part-3__sec-25__subsec-1">
            <num>1</num>
            <content>
              <p>The Finance Minister and the Indigenous Affairs Minister may, by notifiable instrument, determine that, on a specified day, the Indigenous Affairs Minister must, on behalf of the Commonwealth, pay a specified amount to the Indigenous Land and Sea Corporation.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-25__subsec-2">
            <num>2</num>
            <content>
              <p>In making a determination under subsection (1), the Finance Minister and the Indigenous Affairs Minister must have regard to:</p>
            </content>
            <paragraph eId="part-3__sec-25__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the advice given by the Future Fund Board under <ref href="#sec-27">section 27</ref> in relation to the impact of the making of the determination on the sustainability of payments required to be made under <ref href="#sec-22">section 22</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-25__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>such other matters (if any) as the Finance Minister and the Indigenous Affairs Minister consider relevant.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-25__subsec-3">
            <num>3</num>
            <content>
              <p>If the Finance Minister and the Indigenous Affairs Minister make a determination under subsection (1) that specifies a day in a financial year, the Finance Minister and the Indigenous Affairs Minister must not make another determination under subsection (1) that specifies:</p>
            </content>
            <paragraph eId="part-3__sec-25__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>that day; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-25__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>another day in the financial year.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-3__sec-25__subsec-4">
            <num>4</num>
            <content>
              <p>A day specified in a determination under subsection (1) must not be earlier than 30 days after the day the determination is made.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-25__subsec-5">
            <num>5</num>
            <content>
              <p>If a determination is made under subsection (1), the Finance Minister must:</p>
            </content>
            <paragraph eId="part-3__sec-25__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>give a copy of the determination to the Future Fund Board; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-25__subsec-5__para-b">

                <p>do so at least 30 days before the day specified in the determination.</p>

          </subsection>
        </section>

          <heading>Additional payments—pre-payment transfers to the Indigenous Land and Sea Corporation Funding Special Account</heading>
          <content>
            <p>On the day before the day specified in a determination under subsection 25(1), the Finance Minister must cause an amount equal to the amount specified in the determination to be:</p>
          </content>
          <paragraph eId="part-3__sec-26__para-a">
            <num>a</num>
            <content>
              <p>debited from the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-3__sec-26__para-b">
            <num>b</num>
            <content>
              <p>credited to the Indigenous Land and Sea Corporation Funding Special Account.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-3__sec-27">
          <num>27</num>
          <heading>Additional payments—advice given by the Future Fund Board</heading>
          <subsection eId="part-3__sec-27__subsec-1">
            <num>1</num>
            <content>
              <p>Before making a determination under subsection 25(1), the Finance Minister and the Indigenous Affairs Minister must give the Future Fund Board written notice that:</p>
            </content>
            <paragraph eId="part-3__sec-27__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>sets out a draft of the determination; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>requires the Future Fund Board to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>give advice to those Ministers about the impact of the making of the determination on the sustainability of payments required to be made under <ref href="#sec-22">section 22</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>do so within the period specified in the notice; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>requires the Future Fund Board, in giving that advice, to have regard to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__sec-27__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>such other matters (if any) as are specified in the notice.</p>
              </content>

              <p>A period specified under subparagraph (1)(b)(ii) must not be shorter than 90 days after the notice is given.</p>
            </content>
          </subsection>
          <subsection eId="part-3__sec-27__subsec-4">

              <p>A matter specified under subparagraph (1)(c)(ii) must not be inconsistent with:</p>
            </content>

The new investment is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>

          <heading>Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate</heading>
          <subsection eId="part-4__sec-32__subsec-1">

              <p>The responsible Ministers may (subject to <ref href="#sec-34">section 34</ref>) give the Future Fund Board written directions about the performance of its Aboriginal and Torres Strait Islander Land and Sea Future Fund investment functions, and must give at least one such direction.</p>

                <p>Relationship between directions and other provisions of this Act</p>
              </content>

          </subsection>

              <p>A direction under subsection (1):</p>
            </content>
            <paragraph eId="part-4__sec-32__subsec-5__para-a">

                <p>prevails over <ref href="#sec-33">section 33</ref> to the extent of any inconsistency; and</p>

          <heading>Obligation on Future Fund Board in performing investment functions</heading>
          <content>
            <p>In performing its Aboriginal and Torres Strait Islander Land and Sea Future Fund investment function, the Future Fund Board must (subject to this Act and a direction under subsection 32(1)) seek to maximise the return earned on the Aboriginal and Torres Strait Islander Land and Sea Future Fund over the long term, consistent with international best practice for institutional investment.</p>
          </content>
        </section>
        <section eId="part-4__sec-34">
          <num>34</num>
          <heading>Limitation on Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate</heading>
          <subsection eId="part-4__sec-34__subsec-1">
            <num>1</num>
            <content>
              <p>The responsible Ministers must not give a direction under subsection 32(1) that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring the Future Fund Board to:</p>
            </content>
            <paragraph eId="part-4__sec-34__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>invest an amount standing to the credit of the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account in a particular financial asset; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-34__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>acquire a particular derivative; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-34__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>allocate financial assets to:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-34__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>a particular business entity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-34__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>a particular activity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-34__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>a particular business.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-34__subsec-2">

              <p>Paragraphs (1)(a) and (b) do not limit paragraph (1)(c).</p>

          </subsection>
        </section>
        <section eId="part-4__sec-35">

          <heading>Future Fund Board to be consulted on Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate</heading>
          <subsection eId="part-4__sec-35__subsec-1">
            <num>1</num>
            <content>
              <p>Before giving the Future Fund Board a direction under subsection 32(1), the responsible Ministers must:</p>
            </content>
            <paragraph eId="part-4__sec-35__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>send a draft of the direction to the Future Fund Board; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-35__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>invite the Future Fund Board to make a submission to the responsible Ministers on the draft direction within a reasonable time limit specified by the responsible Ministers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-35__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>consider any submission that is received from the Future Fund Board within that time limit.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-35__subsec-2">

              <p>Any submission made by the Future Fund Board on a draft direction in accordance with paragraph (1)(b) must be tabled in each House of the Parliament with the direction.</p>

            <num>1</num>
            <content>
              <p>Before giving the Future Fund Board a direction under subsection 32(1), the responsible Ministers must:</p>
            </content>
            <paragraph eId="part-4__sec-35A__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>send a draft of the direction to the Indigenous Affairs Minister; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-35A__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>invite the Indigenous Affairs Minister to make a submission to the responsible Ministers on the draft direction within a reasonable time limit specified by the responsible Ministers; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-35A__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>consider any submission that is received from the Indigenous Affairs Minister within that time limit.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-35A__subsec-2">
            <num>2</num>
            <content>
              <p>If a draft direction is sent to the Indigenous Affairs Minister under subsection (1):</p>
            </content>
            <paragraph eId="part-4__sec-35A__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the Indigenous Affairs Minister must send a copy of the draft direction to the Indigenous Land and Sea Corporation Board; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-35A__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the Indigenous Affairs Minister must invite the Indigenous Land and Sea Corporation Board to make a submission to the Indigenous Affairs Minister on the draft direction within a reasonable time limit that:</p>
              </content>
            </paragraph>

              <num>i</num>
              <content>
                <p>is specified by the Indigenous Affairs Minister; and</p>
              </content>
            </paragraph>

                <p>ends before the time limit specified by the responsible Ministers under paragraph (1)(b) in relation to the making of a submission on the draft direction by the Indigenous Affairs Minister; and</p>

              <num>c</num>
              <content>
                <p>if a submission is received from the Indigenous Land and Sea Corporation Board within the time limit specified by the Indigenous Affairs Minister under paragraph (b) of this subsection:</p>

            <paragraph eId="part-4__sec-35A__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>the Indigenous Affairs Minister must make a submission to the responsible Ministers on the draft direction within the time limit specified by the responsible Ministers under paragraph (1)(b); and</p>

              <num>ii</num>
              <content>
                <p>in preparing the submission to the responsible Ministers, the Indigenous Affairs Minister must consider the submission received from the Indigenous Land and Sea Corporation Board.</p>

          </subsection>
        </section>
        <section eId="part-4__sec-36">
          <num>36</num>
          <heading>Compliance with Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate</heading>
          <subsection eId="part-4__sec-36__subsec-1">
            <num>1</num>
            <content>
              <p>The Future Fund Board must take all reasonable steps to comply with the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-36__subsec-2">
            <num>2</num>
            <content>
              <p>If the Future Fund Board becomes aware that it has failed to comply with the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate, the Board must give the responsible Ministers a written statement, as soon as practicable after becoming so aware:</p>
            </content>
            <paragraph eId="part-4__sec-36__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>informing the responsible Ministers of the failure to comply with the Investment Mandate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-36__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>setting out the action that the Board proposes to take in order to comply with the Investment Mandate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-36__subsec-3">
            <num>3</num>
            <content>
              <p>If the responsible Ministers are satisfied that the Future Fund Board has failed to comply with the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate, the responsible Ministers may, by written notice given to the Board, direct the Board:</p>
            </content>
            <paragraph eId="part-4__sec-36__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>to give the responsible Ministers, within a period specified in the notice, a written explanation for the failure to comply with the Investment Mandate; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-36__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>to take action specified in the notice, within a period specified in the notice, in order to comply with the Investment Mandate.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-36__subsec-4">
            <num>4</num>
            <content>
              <p>The Future Fund Board must comply with a direction under subsection (3).</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-36__subsec-5">
            <num>5</num>
            <content>
              <p>A failure to comply with:</p>
            </content>
            <paragraph eId="part-4__sec-36__subsec-5__para-a">
              <num>a</num>
              <content>
                <p>the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate; or</p>

            </paragraph>

                <p>a direction under subsection (3);</p>
              </content>

                <p>does not affect the validity of any transaction.</p>

            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-36__subsec-6">

          </subsection>
        </section>

          <heading>Future Fund Board must not trigger the takeover provisions of the Corporations Act 2001</heading>

          <heading>Borrowing</heading>
          <subsection eId="part-4__sec-38__subsec-1">

              <p>The Future Fund Board must not borrow money for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund unless the borrowing is authorised by subsection (2) or (3).</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-38__subsec-2">
            <num>2</num>
            <content>
              <p>The Future Fund Board is authorised to borrow money for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund if:</p>
            </content>
            <paragraph eId="part-4__sec-38__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>the purpose of the borrowing is to enable the Board to cover settlement of a transaction for the acquisition of one or more financial assets; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-38__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>at the time the relevant acquisition decision was made, it was likely that the borrowing would not be needed; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-38__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>the period of the borrowing does not exceed 7 days; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-38__subsec-2__para-d">

                <p>if the borrowing were to take place, the total amount borrowed by the Board would not exceed 10% of the balance of the Fund.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-38__subsec-3">

              <p>The Future Fund Board is authorised to borrow money for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund if the borrowing takes place in such circumstances (if any) as are specified in the rules.</p>

          <heading>Aboriginal and Torres Strait Islander Land and Sea Future Fund investment policies</heading>

              <p>The Future Fund Board must formulate written policies to be complied with by it in relation to the following matters in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund:</p>

                <p>the investment strategy for the Fund;</p>
              </content>
            </paragraph>

                <p>benchmarks and standards for assessing the performance of the Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-39__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>risk management for the Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-39__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>a matter relating to international best practice for institutional investment;</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-39__subsec-1__para-e">
              <num>e</num>
              <content>
                <p>a matter specified in the rules.</p>

              <p>If there is a change in the Aboriginal and Torres Strait Islander Land and Sea Future Fund Investment Mandate, the Future Fund Board must review any relevant policies formulated under subsection (1).</p>

            <content>
              <p>The Future Fund Board may acquire a derivative for the purpose of:</p>
            </content>
            <paragraph eId="part-4__sec-40__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>protecting the value of an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund (other than a derivative); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-40__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>protecting the return on an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund (other than a derivative); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-40__subsec-1__para-c">
              <num>c</num>
              <content>
                <p>achieving indirect exposure to financial assets (other than derivatives) for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-40__subsec-1__para-d">
              <num>d</num>
              <content>
                <p>achieving transactional efficiency for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund;</p>
              </content>
              <content>
                <p>but must not acquire a derivative for the purpose of speculation or leverage.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-40__subsec-2">
            <num>2</num>
            <content>
              <p>The acquisition of a derivative under subsection (1) of this section must be consistent with the investment strategy embodied in a policy formulated by the Future Fund Board under subsection 39(1).</p>

          </subsection>
          <subsection eId="part-4__sec-40__subsec-3">
            <num>3</num>
            <content>
              <p>A derivative acquired under subsection (1) is to be held in the name of the Future Fund Board.</p>
            </content>
          </subsection>

            <num>4</num>
            <content>
              <p>A derivative acquired under subsection (1) is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>

          <heading>Additional financial assets</heading>
          <content>
            <p>An asset is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund if the Future Fund Board becomes the holder of the financial asset as a result of:</p>

            <num>a</num>
            <content>
              <p>the Board’s holding of an investment of the Fund; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-41__para-b">
            <num>b</num>
            <content>
              <p>the exercise of any rights or powers conferred on the Board in its capacity as the holder of an investment of the Fund.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-4__sec-42">
          <num>42</num>
          <heading>Securities lending arrangements</heading>
          <subsection eId="part-4__sec-42__subsec-1">
            <num>1</num>
            <content>
              <p>The Future Fund Board may enter into securities lending arrangements for a purpose in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-42__subsec-2">
            <num>2</num>
            <content>
              <p>Any money received by the Future Fund Board under a securities lending arrangement entered into under subsection (1) is to be credited to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-42__subsec-3">
            <num>3</num>
            <content>
              <p>To avoid doubt, a securities lending arrangement entered into under subsection (1) may provide for the Future Fund Board to realise an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>

          </subsection>
          <subsection eId="part-4__sec-42__subsec-4">
            <num>4</num>
            <content>
              <p>A financial asset is taken to be an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund if, as the result of the operation of a securities lending arrangement entered into under subsection (1), the Future Fund Board becomes the holder of the financial asset.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-4__sec-43">
          <num>43</num>
          <heading>Investment managers</heading>
          <subsection eId="part-4__sec-43__subsec-1">
            <num>1</num>
            <content>
              <p>The Future Fund Board may engage one or more investment managers for purposes in connection with the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-43__subsec-2">
            <num>2</num>
            <content>
              <p>The Future Fund Board must not:</p>
            </content>
            <paragraph eId="part-4__sec-43__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>invest amounts under subsection 30(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-43__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>acquire derivatives under subsection 40(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-43__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>enter into a securities lending arrangement under subsection 42(1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-43__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>realise financial assets that are investments of the Aboriginal and Torres Strait Islander Land and Sea Future Fund;</p>
              </content>

                <p>unless the Board does so:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-43__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>through an investment manager engaged by the Board under subsection (1); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-43__subsec-2__para-f">
              <num>f</num>
              <content>
                <p>in a manner approved, in writing, by the responsible Ministers.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-43__subsec-3">
            <num>3</num>
            <content>
              <p>The Future Fund Board must ensure that any investment manager engaged by the Board under subsection (1) operates within this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-4__sec-43__subsec-4">
            <num>4</num>
            <content>
              <p>The Future Fund Board must ensure that any investment manager engaged by the Board under subsection (1) reports to the Board and the Agency on the state of the investments of the Aboriginal and Torres Strait Islander Land and Sea Future Fund at such times and in such manner as the Board determines.</p>

          </subsection>
        </section>
        <section eId="part-4__sec-44">
          <num>44</num>
          <heading>Refund of franking credits</heading>
          <content>
            <p>		A refund of a tax offset under the <i>Income Tax Assessment Act 1997</i> is to be credited to the Aboriginal and Torres Strait Islander Land and Sea Future Fund Special Account if:</p>

            <num>a</num>
            <content>
              <p>the Future Fund Board receives the refund; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-4__sec-44__para-b">
            <num>b</num>
            <content>
              <p>the tax offset is attributable to an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund.</p>

              <p>This section applies if the Future Fund Board becomes aware of the fact that:</p>

            <paragraph eId="part-4__sec-45__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>an asset held by the Board as an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund has ceased to be a financial asset; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__sec-45__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>an asset acquired by the Board, purportedly as an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund, is not a financial asset.</p>

            </paragraph>
          </subsection>
          <subsection eId="part-4__sec-45__subsec-2">
            <num>2</num>
            <content>
              <p>The Future Fund Board must realise the asset as soon as practicable after the Board becomes aware of the fact.</p>
            </content>
          </subsection>

            <num>3</num>
            <content>
              <p>This Act (other than this section) applies in relation to the asset (including in relation to the realisation of the asset) as if the asset had been a financial asset, and an investment of the Aboriginal and Torres Strait Islander Land and Sea Future Fund, from the time of its acquisition by the Future Fund Board until the realisation.</p>

              <p>In performing functions under a delegation under subsection (1), the delegate must comply with any directions of the Indigenous Affairs Minister.</p>

          <heading>Review of operation of Act</heading>
          <content>
            <p>The responsible Ministers must cause a review of the operation of this Act to be undertaken before the tenth anniversary of the commencement of this section.</p>

        </section>
        <section eId="part-6__sec-56">
          <num>56</num>
          <heading>Rules</heading>
          <subsection eId="part-6__sec-56__subsec-1">
            <num>1</num>
            <content>
              <p>The Finance Minister may, by legislative instrument, make rules prescribing matters:</p>
            </content>
            <paragraph eId="part-6__sec-56__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed by the rules; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-56__subsec-2">
            <num>2</num>
            <content>
              <p>To avoid doubt, the rules may not do the following:</p>
            </content>
            <paragraph eId="part-6__sec-56__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>provide powers of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>arrest or detention; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>entry, search or seizure;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>impose a tax;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-56__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>set an amount to be appropriated from the Consolidated Revenue Fund under an appropriation in this Act;</p>

                  <b>Editorial changes</b>
                </p>
                <p>The <i>Legislation Act 2003</i> authorises First Parliamentary Counsel to make editorial and presentational changes to a compiled law in preparing a compilation of the law for registration. The changes must not change the effect of the law. Editorial changes take effect from the compilation registration date.</p>
                <p>If the compilation includes editorial changes, the endnotes include a brief outline of the changes in general terms. Full details of any changes can be obtained from the Office of Parliamentary Counsel.</p>

                  <b>Misdescribed amendments</b>
                </p>
                <p>A misdescribed amendment is an amendment that does not accurately describe how an amendment is to be made. If, despite the misdescription, the amendment can be given effect as intended, then the misdescribed amendment can be incorporated through an editorial change made under <i>Legislation Act 2003</i>.<ref href="#sec-15V">section 15V</ref> of the </p>
                <p>If a misdescribed amendment cannot be given effect as intended, the amendment is not incorporated and “(md not incorp)” is added to the amendment history.</p>
