          <heading>Object of this Act</heading>
          <content>
            <p>The object of this Act is to establish Housing Australia to improve housing outcomes for Australians by:</p>
          </content>
          <paragraph eId="part-1__sec-3__para-a">
            <num>a</num>
            <content>
              <p>strengthening efforts to increase the supply of housing; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-b">
            <num>b</num>
            <content>
              <p>encouraging investment in housing (particularly in the social or affordable housing sector); and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-c">
            <num>c</num>
            <content>
              <p>providing finance or grants that complement, leverage or support Commonwealth, State or Territory activities relating to housing; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-d">
            <num>d</num>
            <content>
              <p>contributing to the development of the scale, efficiency and effectiveness of the community housing sector in Australia; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-e">
            <num>e</num>
            <content>
              <p>assisting earlier access to the housing market by first home buyers; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-f">
            <num>f</num>
            <content>
              <p>assisting earlier access to the housing market by:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-i">
            <num>i</num>
            <content>
              <p>single parents with dependants; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-ii">
            <num>ii</num>
            <content>
              <p>legal guardians of children where the legal guardian is single; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-3__para-g">
            <num>g</num>
            <content>
              <p>assisting earlier access to the housing market by individuals who have not held an ownership interest in real property in Australia in the last 10 years.</p>
            </content>
          </paragraph>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Simplified outline of this Act</heading>
          <content>
            <p>Housing Australia is established to improve housing outcomes by (within constitutional limits) making loans and grants and issuing guarantees.</p>
            <p>Housing Australia performs its functions in accordance with one or more directions given by <role refersTo="#minister">the Minister</role>, known as its Investment Mandate.</p>
            <p>The Board of Housing Australia decides Housing Australia’s strategies and policies and ensures the proper, efficient and effective performance of its functions.</p>
            <p>The Chief Executive Officer of Housing Australia is responsible for the day-to-day administration of Housing Australia. Housing Australia may engage staff and consultants. The Board may establish Committees.</p>
            <p>The Board must ensure that Housing Australia maintains commercially sound and sufficient levels of capital and reserves.</p>
            <p>Housing Australia may pay a dividend to the Commonwealth, and may borrow money (supported by a Commonwealth guarantee).</p>

          <num>5</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-board">Board</term> means <def>the Board of Housing Australia.</def></p>
            <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board and includes the Chair.</def></p>
            <p><b><i>capacity building function</i></b>: see subsection 8(1C).</p>
            <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of Housing Australia.</def></p>
            <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
            <p><term refersTo="#term-commonwealth-company">Commonwealth company</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
            <p><term refersTo="#term-commonwealth-entity">Commonwealth entity</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>
            <p><term refersTo="#term-commonwealth-officer">Commonwealth officer</term> means <def>a person who: holds, or performs the duties of, an appointment, office or position under a law of the Commonwealth; or is otherwise in the service of the Commonwealth.</def></p>

              <p><term refersTo="#term-company">company</term> means <def>a body corporate.</def></p>
              <p><term refersTo="#term-constitutional-corporation">constitutional corporation</term> means <def>a corporation to which paragraph 51(xx) of the Constitution applies.</def></p>
              <p><b><i>entity</i></b> includes:</p>

              <p>a partnership.</p>

            <content>
              <p><term refersTo="#term-finance-minister">Finance Minister</term> means <def>the Minister who administers the Public Governance, Performance and Accountability Act 2013.</def></p>
              <p><b><i>financing function</i></b>: see subsection 8(1A).</p>
              <p><b><i>guarantee function</i></b>: see subsection 8(1B).</p>
              <p><term refersTo="#term-guarantee-liabilities">guarantee liabilities</term> has the meaning given by <def>subsection 48A(2).</def></p>
              <p><b><i>Help to Buy functions</i></b>: Housing Australia’s <b><i>Help to Buy functions</i></b> are Housing Australia’s functions under the <i>Help to Buy Act 202</i><i>4</i>, to the extent that those functions are not also conferred on Housing Australia by:</p>

            <num>a</num>
            <content>
              <p>this Act (disregarding paragraph 8(1)(ca) of this Act); or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>	(b)	any Commonwealth law other than the <i>Help to Buy Act 202</i><i>4</i>.</p>
            </content>
            <content>
              <p><term refersTo="#term-help-to-buy-program-directions">Help to Buy Program Directions</term> has the same meaning as <def>in <ref href="">the Help to Buy Act 2024</ref>.</def></p>
              <p><term refersTo="#term-investment-mandate">Investment Mandate</term> has the meaning given by <def>subsection 12(1).</def></p>
              <p><term refersTo="#term-paid-work">paid work</term> means <def>work for financial gain or reward (whether as an employee, a self-employed person or otherwise).</def></p>
              <p><term refersTo="#term-registered-community-housing-provider">registered community housing provider</term> means <def>a community housing provider (however described) that is registered under a law of, or under a scheme administered by, a State or a Territory.</def></p>
              <p><term refersTo="#term-rules">rules</term> means <def>rules made under <ref href="#sec-58">section 58</ref>.</def></p>

          <heading>Crown to be bound</heading>

              <p>This Act binds the Crown in each of its capacities.</p>
            </content>

              <p>This Act does not make the Crown liable to be prosecuted for an offence.</p>

                <p>The body corporate that was established by this subsection as previously in force by the name National Housing Finance and Investment Corporation continues in existence as Housing Australia.</p>

                  <p>Note 1:	Subsection 25B(1) of the <i>Acts Interpretation Act 1901</i> provides that a body whose name is altered by an Act continues in existence under the new name so that its identity is not affected.</p>

                <p>Housing Australia:</p>
              </content>

                  <p>is a body corporate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-7__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>must have a seal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-7__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>may acquire, hold and dispose of real and personal property; and</p>
                </content>
              </paragraph>

                <p>Housing Australia’s seal is to be kept in such custody as the Board directs and must not be used except as authorised by the Board.</p>

                <p>The functions of Housing Australia are:</p>

                  <p>the financing function; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-b">

                <content>
                  <p>the guarantee function; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>the capacity building function; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1__para-ca">
                <num>ca</num>
                <content>
                  <p>the Help to Buy functions; and</p>
                </content>
              </paragraph>

                  <p>	(d)	any other functions conferred on Housing Australia by this Act or any other Commonwealth law (other than the <i>Help to Buy Act 202</i><i>4</i>); and</p>

                  <p>to do anything incidental or conducive to the performance of the above functions (other than the Help to Buy functions).</p>

                  <p>Financing function</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-8__subsec-1A">
              <num>1A</num>
              <content>
                <p>	(1A)	Housing Australia’s <b><i>financing function</i></b> is to make loans and grants to:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-a">
                <num>a</num>
                <content>
                  <p>constitutional corporations, where this:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-i">
                <num>i</num>
                <content>
                  <p>is for the purpose of improving, directly or indirectly, housing outcomes; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-ii">
                <num>ii</num>
                <content>
                  <p>assists the constitutional corporation in the performance or development of its activities, functions, relationships or business; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-b">
                <num>b</num>
                <content>
                  <p>States and Territories, where this:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-i">
                <num>i</num>
                <content>
                  <p>is for the purpose of improving, directly or indirectly, housing outcomes; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-ii">
                <num>ii</num>
                <content>
                  <p>is provided by way of a grant of financial assistance to the State or Territory; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-c">
                <num>c</num>
                <content>
                  <p>entities, where this is for the purpose of improving, directly or indirectly, housing outcomes:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-i">
                <num>i</num>
                <content>
                  <p>in a Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-ii">
                <num>ii</num>
                <content>
                  <p>for Aboriginal or Torres Strait Islander people; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-iii">
                <num>iii</num>
                <content>
                  <p>for members of the Australian Defence Force; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1A__para-iv">
                <num>iv</num>
                <content>
                  <p>for aliens (within the meaning of paragraph 51(xix) of the Constitution).</p>
                </content>
                <content>
                  <p>Guarantee function</p>
                </content>
              </paragraph>
            </subsection>

              <num>1B</num>
              <content>
                <p>	(1B)	Housing Australia’s <b><i>guarantee function</i></b> is to issue guarantees to constitutional corporations, where this:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1B__para-a">
                <num>a</num>
                <content>
                  <p>is for the purpose of improving housing outcomes; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1B__para-b">
                <num>b</num>
                <content>
                  <p>assists the constitutional corporation in the performance or development of its activities, functions, relationships or business.</p>
                </content>
                <content>
                  <p>Capacity building function</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-8__subsec-1C">
              <num>1C</num>
              <content>
                <p>	(1C)	Housing Australia’s <b><i>capacity building function</i></b> is to provide business advisory services and other assistance in capacity building to:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-a">
                <num>a</num>
                <content>
                  <p>registered community housing providers that are constitutional corporations, where this:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-i">
                <num>i</num>
                <content>
                  <p>is for the purpose of improving housing outcomes; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-ii">
                <num>ii</num>
                <content>
                  <p>assists the registered community housing provider in the performance or development of its activities, functions, relationships or business; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-b">
                <num>b</num>
                <content>
                  <p>registered community housing providers, where this is for the purpose of improving housing outcomes:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-i">
                <num>i</num>
                <content>
                  <p>in a Territory; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-ii">
                <num>ii</num>
                <content>
                  <p>for Aboriginal or Torres Strait Islander people; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-8__subsec-1C__para-iii">
                <num>iii</num>

                  <p>Obligation to act properly, efficiently and effectively</p>

                <p>In performing its functions, Housing Australia must act in a proper, efficient and effective manner.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-8__subsec-4">

                <p>Subsection (3) does not apply in relation to the Help to Buy functions.</p>
              </content>

            <num>9</num>
            <heading>Powers of Housing Australia</heading>
            <subsection eId="part-2__dvs-1__sec-9__subsec-1">
              <num>1</num>
              <content>
                <p>Housing Australia has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-9__subsec-2">
              <num>2</num>
              <content>
                <p>Without limiting subsection (1), Housing Australia may:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>enter into arrangements and contracts with Commonwealth entities and Commonwealth companies to obtain services to assist in the performance of its functions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>enter into:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-2__para-i">
                <num>i</num>
                <content>
                  <p>arrangements known as swaps, foreign exchange agreements, forward rate agreements, options or hedge agreements; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-9__subsec-2__para-ii">
                <num>ii</num>
                <content>
                  <p>arrangements having a similar purpose or effect.</p>
                </content>

            <heading>Financing, guarantee and capacity building functions</heading>
            <subsection eId="part-2__dvs-1__sec-10__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies in relation to Housing Australia’s financing function, guarantee function and capacity building function.</p>
              </content>
              <content>
                <p>Applications</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-2">
              <num>2</num>
              <content>
                <p>An entity may apply to Housing Australia for any of the following in circumstances where the Investment Mandate provides that Housing Australia must consider such an application:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the making of a loan or grant;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the issuing of a guarantee;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>for assistance in capacity building.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-3">
              <num>3</num>
              <content>
                <p>Housing Australia must consider the application:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>within the timeframe specified in the Investment Mandate (if any); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>in accordance with the decision-making criteria and limits specified in the Investment Mandate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-4">
              <num>4</num>
              <content>
                <p>Housing Australia may only make loans and grants to, issue guarantees to or provide assistance in capacity building to, an entity in the performance of its functions mentioned in subsection (1) if the entity has applied to Housing Australia for the loan, grant, guarantee or assistance in capacity building under subsection (2).</p>

              <content>
                <p>Terms and conditions</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-5">
              <num>5</num>
              <content>
                <p>The terms and conditions on which the loan, grant, guarantee or assistance in capacity building is provided must be set out in a written agreement between Housing Australia and the entity.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-6">
              <num>6</num>
              <content>
                <p>The entity must comply with the terms and conditions.</p>
              </content>
              <content>
                <p>Payments under the agreements</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-1__sec-10__subsec-7">
              <num>7</num>
              <content>
                <p>If, under the terms and conditions set out in the written agreement, an amount is payable to Housing Australia:</p>
              </content>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-7__para-a">
                <num>a</num>
                <content>
                  <p>the amount is a debt due by the entity to Housing Australia; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-1__sec-10__subsec-7__para-b">
                <num>b</num>
                <content>
                  <p>the amount is recoverable by action in a court of competent jurisdiction.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

            <heading>Housing Australia does not have privileges and immunities of the Crown</heading>
            <content>
              <p>Housing Australia does not have the privileges and immunities of the Crown in right of the Commonwealth.</p>

                <p>	(1)	The Minister may, by legislative instrument, give the Board directions about the performance of Housing Australia’s functions, and must give at least one such direction. The directions together constitute the <b><i>Investment Mandate</i></b>.</p>

                <p>In performing its functions, Housing Australia must take all reasonable steps to comply with the Investment Mandate.</p>
              </content>
            </subsection>

            <heading>Matters covered by Investment Mandate</heading>
            <content>
              <p>The Investment Mandate may include directions about the following:</p>
            </content>
            <paragraph eId="part-2__dvs-2__sec-13__para-a">
              <num>a</num>
              <content>
                <p>strategies and policies to be followed for the effective performance of Housing Australia’s functions;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-b">
              <num>b</num>
              <content>
                <p>decision-making criteria for the following:</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-i">
              <num>i</num>
              <content>
                <p>making loans and grants;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-ii">
              <num>ii</num>
              <content>
                <p>granting financial assistance to States and Territories;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-iia">
              <num>iia</num>
              <content>
                <p>issuing guarantees;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-iii">

                <p>providing, to registered community housing providers, business advisory services and other assistance in capacity building;</p>

                <p>issuing guarantees;</p>

            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-iii">

              <content>
                <p>granting financial assistance to States and Territories;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-2__sec-13__para-d">

                <p>risk and return relating to Housing Australia’s loans and guarantees;</p>
              </content>
            </paragraph>

                <p>any other matters <role refersTo="#minister">the Minister</role> thinks appropriate.</p>

            <heading>Limits on Investment Mandate</heading>
            <subsection eId="part-2__dvs-2__sec-14__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must not give a direction under subsection 12(1):</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-14__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring the Board:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-14__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>to make, or not to make, a particular loan or grant; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-14__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>to grant, or not to grant, financial assistance to a State or Territory for a particular project; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-14__subsec-1__para-iia">

                  <p>to issue, or not to issue, a particular guarantee; or</p>
                </content>
              </paragraph>

                  <p>to ensure the proper, efficient and effective performance of Housing Australia’s functions; and</p>

                  <p>any other functions conferred on the Board by this Act.</p>
                </content>

                <p>Board members are to be appointed by <role refersTo="#minister">the Minister</role> by written instrument, on a part-time basis.</p>

            </subsection>

                <p>A person is not eligible for appointment as a Board member unless <role refersTo="#minister">the Minister</role> is satisfied that the person has appropriate qualifications, skills or experience in one or more of the following:</p>

                  <p>the Board members collectively have an appropriate balance of qualifications, skills or experience in the fields mentioned in subsection (2); and</p>

                  <p>at least one Board member has appropriate qualifications, skills or experience in social or affordable housing.</p>

              <p>A Board member holds office for the period specified in the instrument of appointment. The period must not exceed 5 years.</p>

                <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed by the rules.</p>

                <p>A Board member is to be paid the allowances that are prescribed by the rules.</p>

                <p><role refersTo="#minister">The Minister</role> may grant leave of absence to the Chair on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>

                <p>The Chair may grant leave of absence to another Board member on the terms and conditions that the Chair determines.</p>

                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants another Board member leave of absence for a period that exceeds 3 months.</p>

            <heading>Resignation</heading>

                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>

            <heading>Termination of appointment</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a Board member:</p>
            </content>
            <paragraph eId="part-3__dvs-2__sec-25__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-25__para-b">
              <num>b</num>
              <content>
                <p>if the Board member is unable to perform the duties of his or her office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-25__para-c">
              <num>c</num>
              <content>
                <p>if the Board member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-25__para-i">
              <num>i</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-2__sec-25__para-ii">
              <num>ii</num>
              <content>
                <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>

                <p>compounds with his or her creditors; or</p>
              </content>
            </paragraph>

                <p>	(1)	A person appointed under this section (the <b><i>observer</i></b>):</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-27__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>is entitled to receive notice of meetings of the Board; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-27__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>may attend any meeting of the Board and take such part in the proceedings, not including voting, as the observer thinks fit; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-27__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>may report to <role refersTo="#minister">the Minister</role> on any matter relating to the operations of Housing Australia or the Board, and must make such a report to <role refersTo="#minister">the Minister</role> if <role refersTo="#minister">the Minister</role> requests a report on such a matter; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-27__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>is entitled to access to such information held by, or under the control of, Housing Australia as the observer requests for the purposes of taking part in proceedings of the Board or reporting to <role refersTo="#minister">the Minister</role>.</p>

                  <p>Appointment of the observer</p>
                </content>
              </paragraph>
            </subsection>

                <p><role refersTo="#minister">The Minister</role> may, by written instrument, appoint a Commonwealth officer to be the observer, on a part-time basis.</p>

                <p>The observer holds office for the period specified in the instrument of appointment. The period must not exceed 6 months.</p>

          <heading>Meetings of the Board</heading>

                <p>The Board must hold such meetings as are necessary for the efficient performance of its functions.</p>

                  <p>must convene at least 4 meetings each calendar year; and</p>

              </paragraph>

                  <p>must convene a meeting <quantity refersTo="#deadline">within 30 days</quantity> after receiving a written request to do so from another Board member.</p>

            <heading>Presiding at meetings</heading>

                <p>The Chair must preside at all meetings at which he or she is present.</p>

                <p>If the Chair is not present at a meeting, the other Board members present must appoint one of themselves to preside.</p>

                <p>A question arising at a meeting of the Board is to be determined by a majority of the votes of the Board members present and voting.</p>

                <p>The person presiding at the meeting of the Board has a deliberative vote and, if the votes are equal, a casting vote.</p>

                <p>The Board is taken to have made a decision at a meeting if:</p>

                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-34__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
                </content>
              </paragraph>

                  <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the Board members of the proposed decision.</p>

                <p>is absent from duty or from Australia; or</p>
              </content>
            </paragraph>

                <p>The Board may grant <role refersTo="#ceo">the CEO</role> leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that the Board determines.</p>

            <heading>Outside employment</heading>

                <p><role refersTo="#ceo">The CEO</role> must not engage in paid work outside the duties of his or her office without the Chair’s approval.</p>

            </subsection>

                <p>The Chair must notify <role refersTo="#minister">the Minister</role> of any approval given under subsection (1).</p>
              </content>
            </subsection>
          </section>

            <heading>Other terms and conditions</heading>
            <content>
              <p><role refersTo="#ceo">The CEO</role> holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by the Board.</p>
            </content>
          </section>
          <section eId="part-4__dvs-1__sec-43">
            <num>43</num>
            <heading>Resignation of CEO</heading>
            <subsection eId="part-4__dvs-1__sec-43__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may resign his or her appointment by giving the Board a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-43__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Board or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-1__sec-43__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> of <role refersTo="#ceo">the CEO</role>’s resignation.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-1__sec-44">

            <heading>Termination of appointment of CEO</heading>
            <subsection eId="part-4__dvs-1__sec-44__subsec-1">
              <num>1</num>

                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>
              </content>
              <paragraph eId="part-4__dvs-1__sec-44__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for misbehaviour; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-44__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role> is unable to perform the duties of his or her office because of physical or mental incapacity; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-44__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-1__sec-44__subsec-1__para-i">

                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>

                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>

                  <p>compounds with his or her creditors; or</p>
                </content>
              </paragraph>

                <p>An employee is to be employed on the terms and conditions that Housing Australia determines in writing.</p>

                <p>Housing Australia may make arrangements for the services of officers or employees of the following to be made available to Housing Australia:</p>

                  <p>the Commonwealth, a State or a Territory;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-45__subsec-3__para-b">

                  <p>an authority of the Commonwealth or of a State or Territory;</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-45__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>any other organisation or body.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

                <p>The consultants are to be engaged on the terms and conditions that Housing Australia determines.</p>
              </content>
            </subsection>

          <heading>Committees</heading>

                <p>The Board may establish committees to advise or assist in the performance of the Board’s or Housing Australia’s functions.</p>

                <p>A committee may be constituted:</p>
              </content>

              </paragraph>

                  <p>the procedures to be followed by the committee.</p>
                </content>
              </paragraph>
            </subsection>

            <heading>Maintenance of adequate capital and reserves</heading>

              <content>
                <p>The Board is required to ensure, according to sound commercial principles, that the capital and reserves of Housing Australia at any time are sufficient:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>to meet the likely liabilities (other than guarantee liabilities) of Housing Australia; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>to make adequate provision for default in the repayment of principal, or in the payment of interest or other charges, in connection with loans made by Housing Australia.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-48__subsec-2">
              <num>2</num>
              <content>
                <p>If, at any time, the Board determines:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>that the capital and reserves of Housing Australia are not sufficient to meet the likely liabilities, and make the provision, referred to in subsection (1); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-48__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>that there are reasonable grounds for believing that, at a time in the future, the capital and reserves of Housing Australia may not be sufficient to meet the likely liabilities, and make the provision, referred to in subsection (1);</p>
                </content>
                <content>
                  <p>the Board must, as soon as practicable, cause <role refersTo="#minister">the Minister</role> to be informed in writing of its determination and the reasons for that determination.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-48__subsec-3">
              <num>3</num>
              <content>
                <p>The Investment Mandate may include a direction that the Board must, for the purposes of subsections (1) and (2), disregard liabilities or loans of a specified type.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-48__subsec-4">
              <num>4</num>
              <content>
                <p>	(4)	This section does not apply in relation to liabilities or defaults under Help to Buy arrangements (within the meaning of the <i>Help to Buy Act 202</i><i>4</i>).</p>

                <p>There may be paid out of the Consolidated Revenue Fund, which is appropriated accordingly, money for the purposes of payment to Housing Australia to meet its guarantee liabilities.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-48A__subsec-2">
              <num>2</num>
              <content>
                <p>	(2)	The <b><i>guarantee liabilities</i></b> of Housing Australia are the liabilities that Housing Australia incurs under guarantees Housing Australia has issued in the performance of its guarantee function.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-5__dvs-2__sec-49">
            <num>49</num>
            <heading>Payment of annual dividends to the Commonwealth</heading>
            <subsection eId="part-5__dvs-2__sec-49__subsec-1">
              <num>1</num>
              <content>
                <p>The Board must, <quantity refersTo="#deadline">within 4 months</quantity> after the end of each financial year, by written notice given to the Minister, recommend that Housing Australia pay a specified dividend, or not pay a dividend, to the Commonwealth for that financial year.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-2">
              <num>2</num>
              <content>
                <p>The Minister must, <quantity refersTo="#deadline">within 30 days</quantity> after receiving the recommendation, by written notice given to Housing Australia:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>approve the recommendation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if the Board has recommended the payment of a dividend—direct the payment of a different specified dividend; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>if the Board has recommended that no dividend be paid—direct the payment of a specified dividend.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-3">
              <num>3</num>
              <content>
                <p>Subject to subsections (4) and (5), in performing their functions under subsections (1) and (2), the Board and <role refersTo="#minister">the Minister</role> must have regard to:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>the policies of the Commonwealth Government, and the general policy of Housing Australia in relation to the performance of its functions; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>such commercial considerations as the Board or <role refersTo="#minister">the Minister</role>, as the case may be, considers appropriate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-4">
              <num>4</num>
              <content>
                <p>Housing Australia’s dividend for a financial year must not exceed its profit for that year.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-4A">
              <num>4A</num>
              <content>
                <p>For the purposes of subsection (4), disregard any profit or loss for that year from Housing Australia’s performance of the Help to Buy functions.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-5">
              <num>5</num>
              <content>
                <p>For each financial year in relation to which <role refersTo="#minister">the Minister</role> has approved a recommendation that a dividend be paid or has directed the payment of a dividend, Housing Australia must pay to the Commonwealth:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>if <role refersTo="#minister">the Minister</role> has approved a recommendation that a dividend be paid—the dividend specified in the recommendation; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-49__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#minister">the Minister</role> has directed that a dividend be paid or that a different dividend be paid—the dividend specified in the direction.</p>

            </subsection>
            <subsection eId="part-5__dvs-2__sec-49__subsec-6">
              <num>6</num>
              <content>
                <p>For the purposes of this section, the period beginning on the commencement of this Act and ending on <date date="2018-06-30">30 June 2018</date> is not to be taken to be a financial year.</p>

            <num>50</num>
            <heading>Borrowings etc.</heading>
            <content>
              <p>Borrowings from the Commonwealth</p>
            </content>
            <subsection eId="part-5__dvs-2__sec-50__subsec-1">
              <num>1</num>
              <content>
                <p>The Finance Minister may, on behalf of the Commonwealth, out of money appropriated by the Parliament for the purpose, lend money to Housing Australia on such terms and conditions as the Finance Minister determines.</p>
              </content>
              <content>
                <p>Other borrowings etc.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-50__subsec-2">
              <num>2</num>
              <content>
                <p>Housing Australia may:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-50__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>borrow money otherwise than from the Commonwealth; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-50__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>raise money otherwise than by borrowing.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-50__subsec-3">
              <num>3</num>
              <content>
                <p>One of the ways in which Housing Australia may borrow or raise money under subsection (2) is by dealing with securities.</p>
              </content>
              <content>
                <p>Security</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-50__subsec-4">
              <num>4</num>
              <content>
                <p>Housing Australia may give security over all or any of its assets:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-50__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>for the repayment by Housing Australia of money borrowed under subsection (1) or paragraph (2)(a) and the payment of interest on money so borrowed; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-50__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>for the payment by Housing Australia of money (including interest) that Housing Australia is liable to pay in respect of money raised under paragraph (2)(b).</p>
                </content>

                  <p>Limitation on borrowing etc.</p>
                </content>
              </paragraph>
            </subsection>

                <p>	(5)	Housing Australia must not borrow or raise money except under this section, <i>Help to Buy Act 202</i><i>4</i>.<ref href="#dvs-1">Division 1</ref> of this Part or Part 4 of the </p>

            </subsection>
          </section>
          <section eId="part-5__dvs-2__sec-51">
            <num>51</num>
            <heading>Guarantee by Commonwealth</heading>
            <subsection eId="part-5__dvs-2__sec-51__subsec-1">
              <num>1</num>
              <content>
                <p>Subject to subsection (2), the due payment by Housing Australia of any money that becomes payable by Housing Australia to a person other than the Commonwealth is guaranteed by the Commonwealth.</p>
              </content>
            </subsection>
            <subsection eId="part-5__dvs-2__sec-51__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) does not apply in relation to money that becomes payable in relation to a contract entered into on or after the day (not earlier than <date date="2028-07-01">1 July 2028</date>) determined under subsection (3).</p>

            <num>52</num>
            <heading>Exemption from taxation</heading>
            <subsection eId="part-5__dvs-2__sec-52__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	For the purposes of <i>Income Tax Assessment Act 1997</i>, Housing Australia is taken to be a public authority constituted under an Australian law.<ref href="#sec-50">section 50</ref>-25 of the </p>

          <heading>Delegation by Housing Australia</heading>

              <p>	(1)	Housing Australia may, in writing under its seal, delegate all or any of its powers or functions under this Act or the <i>Help to Buy Act 202</i><i>4</i> to:</p>

              <num>a</num>
              <content>
                <p>a Board member; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-53__subsec-1__para-b">

                <p><role refersTo="#ceo">the CEO</role>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-53__subsec-2">

              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of Housing Australia.</p>

          </subsection>

          <heading>Delegation by Board</heading>

              <p>The Board may, in writing, delegate to a Board member or <role refersTo="#ceo">the CEO</role> any of its powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-54__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the Board.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-55">
          <num>55</num>
          <heading>Delegation and subdelegation by CEO</heading>
          <subsection eId="part-6__sec-55__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may, in writing, delegate to a senior member of the staff referred to in section 45 any of <role refersTo="#ceo">the CEO</role>’s powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-55__subsec-2">
            <num>2</num>
            <content>
              <p>If Housing Australia or the Board delegates a power or function under subsection 53(1) or 54(1) to <role refersTo="#ceo">the CEO</role>, <role refersTo="#ceo">the CEO</role> may, in writing, subdelegate the power or function to a senior member of the staff referred to in section 45.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-55__subsec-3">
            <num>3</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation or subdelegation, the delegate or subdelegate must comply with any directions of <role refersTo="#ceo">the CEO</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-55__subsec-4">
            <num>4</num>
            <content>
              <p>	(4)	Sections 34AA, 34AB and 34A of the <i>Acts Interpretation Act 1901</i> apply in relation to a subdelegation in a corresponding way to the way in which they apply in relation to a delegation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-56">
          <num>56</num>
          <heading>Matters to be included in annual reports</heading>
          <content>
            <p>		The annual report prepared by the Board and given to the Minister under <i>Public Governance, Performance and Accountability Act 2013</i> for a period must include the following:<ref href="#sec-46">section 46</ref> of the </p>
          </content>
          <paragraph eId="part-6__sec-56__para-a">
            <num>a</num>
            <content>
              <p>the particulars of any changes to the Investment Mandate during the period and their impact on the operations of Housing Australia;</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-56__para-b">
            <num>b</num>
            <content>
              <p>in relation to each kind of financial support provided (including financial support provided by way of guarantees) by Housing Australia during the period, a summary of:</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-56__para-i">
            <num>i</num>
            <content>
              <p>the amount of that kind of financial support; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-6__sec-56__para-ii">
            <num>ii</num>
            <content>
              <p>the risks and returns to the Commonwealth.</p>
            </content>

              <p>The Minister must cause a review of the operation of this Act to be undertaken as soon as possible after <date date="2020-06-30">30 June 2020</date>.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-57__subsec-2">
            <num>2</num>
            <content>
              <p>The persons undertaking the review must give <role refersTo="#minister">the Minister</role> a written report of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-57__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the report of the review to be tabled in each House of the Parliament within 15 sitting days of that House after the report is given to <role refersTo="#minister">the Minister</role>.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-6__sec-57A">
          <num>57A</num>
          <heading>Review of assistance to first home buyers</heading>
          <subsection eId="part-6__sec-57A__subsec-1">
            <num>1</num>
            <content>
              <p>The Minister must cause a review of Housing Australia’s activities assisting additional first home buyers to enter the housing market to be commenced <quantity refersTo="#deadline">within 3 months</quantity> after the end of:</p>
            </content>
            <paragraph eId="part-6__sec-57A__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>the period beginning on the date when the first guarantee is issued by the NHFIC and ending 12 months after that date; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-57A__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>each subsequent 12 month period.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-57A__subsec-2">
            <num>2</num>
            <content>
              <p>The persons undertaking the review must give the Minister a written report of the review <quantity refersTo="#deadline">within 3 months</quantity> of the commencement of the review.</p>

          <heading>Review of financing function</heading>
          <subsection eId="part-6__sec-57B__subsec-1">
            <num>1</num>

              <p>	(1)	The Minister must cause a review of the NHIF (within the meaning of the <i>National Housing Finance and Investment Corporation Investment Mandate Direction 2018</i>) to be commenced within 3 months after the end of:</p>

              <num>a</num>
              <content>
                <p>	(a)	the period beginning on the day Schedule 2 to the <i>Treasury Laws Amendment (Housing Measures No. 1) Act 2023</i> commences and ending 12 months after that day; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-57B__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>each subsequent 12 month period.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-57B__subsec-2">
            <num>2</num>
            <content>
              <p>The persons undertaking the review must give the Minister a written report of the review <quantity refersTo="#deadline">within 3 months</quantity> of the commencement of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-6__sec-57B__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the report to be tabled in each House of the Parliament within 15 sitting days of that House after the report is given to <role refersTo="#minister">the Minister</role>.</p>

        </section>

          <num>58</num>
          <heading>Rules</heading>
          <subsection eId="part-6__sec-58__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make rules prescribing matters:</p>
            </content>
            <paragraph eId="part-6__sec-58__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed by the rules; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-58__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-6__sec-58__subsec-2">
            <num>2</num>
            <content>
              <p>To avoid doubt, the rules may not do the following:</p>
            </content>
            <paragraph eId="part-6__sec-58__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-58__subsec-2__para-b">

                <p>provide powers of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__sec-58__subsec-2__para-i">

                <p>arrest or detention; or</p>
              </content>
            </paragraph>

                <p>entry, search or seizure;</p>

                <p>impose a tax;</p>

                <p>set an amount to be appropriated from the Consolidated Revenue Fund under an appropriation in this Act;</p>
