            <heading>Meaning of non-ADI lender and Part IIB provision of finance</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38B__subclause-1">
              <num>1</num>
              <content>
                <p>	(1)	A <b><i>non</i></b><b><i>-</i></b><b><i>ADI lender</i></b> is a registrable corporation (within the meaning of the <i>Financial Sector (Collection of Data) Act 2001</i>) that is engaged in the Part IIB provision of finance.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38B__subclause-2">
              <num>2</num>
              <content>
                <p>	(2)	<b><i>Part</i></b><b><i> </i></b><b><i>IIB provision of finance</i></b> means the provision of finance (within the meaning of the <i>Financial Sector (Collection of Data) Act 2001</i>), other than:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38B__para-a">
              <num>a</num>
              <content>
                <p>the activities mentioned in paragraphs 32(1)(e), (f), (g) and (h) of that Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38B__para-b">
              <num>b</num>
              <content>
                <p>the provision of finance (within the meaning of that Act) outside Australia; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38B__para-c">
              <num>c</num>
              <content>
                <p>	(c)	the entry into an arrangement that is a derivative (within the meaning of the <i>Corporations Act 2001</i>).</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38C">
            <num>38C</num>
            <heading>APRA may make non-ADI lender rules for non-ADI lenders</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-1">
              <num>1</num>
              <content>
                <p>Subsection (2) applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38C__para-a">
              <num>a</num>
              <content>
                <p>APRA considers that the <ref href="#part-IIB">Part IIB</ref> provision of finance by one or more non-ADI lenders materially contributes to risks of instability in the Australian financial system; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-b">
              <num>b</num>
              <content>
                <p>APRA considers that it is necessary, in order to address those risks, to make rules under subsection (2).</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-2">
              <num>2</num>
              <content>
                <p>APRA may, in writing, determine rules for the purpose of addressing those risks, to be complied with by:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38C__para-a">
              <num>a</num>
              <content>
                <p>all non-ADI lenders; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-b">
              <num>b</num>
              <content>
                <p>a specified class of non-ADI lenders; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-c">
              <num>c</num>
              <content>
                <p>one or more specified non-ADI lenders.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-3">
              <num>3</num>
              <content>
                <p>To avoid doubt, a rule cannot require a non-ADI lender to conduct its business and activities in a particular way to the extent that the business and activities are unrelated to the <ref href="#part-IIB">Part IIB</ref> provision of finance.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-4">
              <num>4</num>
              <content>
                <p>A rule may impose different requirements to be complied with in different situations or in respect of different activities.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-5">
              <num>5</num>
              <content>
                <p>Without limiting the matters in relation to which APRA may determine a rule, a rule may require:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38C__para-a">
              <num>a</num>
              <content>
                <p>each non-ADI lender; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-b">
              <num>b</num>
              <content>
                <p>each non-ADI lender included in a specified class of non-ADI lenders; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-c">
              <num>c</num>
              <content>
                <p>a specified non-ADI lender; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-d">
              <num>d</num>
              <content>
                <p>each of 2 or more specified non-ADI lenders;</p>
              </content>
            </paragraph>
            <content>
              <p>to ensure that its subsidiaries (or particular subsidiaries), or it and its subsidiaries (or particular subsidiaries), collectively satisfy particular requirements in relation to the risks mentioned in subsection (1).</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-6">
              <num>6</num>
              <content>
                <p>A rule may provide for APRA to exercise powers and discretions under the rule, including (but not limited to) discretions to approve, impose, adjust or exclude specific requirements in relation to one or more specified non-ADI lenders.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-7">
              <num>7</num>
              <content>
                <p>A rule may provide for a matter by applying, adopting or incorporating, with or without modification, any matter contained in an instrument or other writing as in force or existing from time to time, despite:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38C__para-a">
              <num>a</num>
              <content>
                <p>	(a)	<i>Acts Interpretation Act 1901</i>; and<ref href="#sec-46A">section 46A</ref>A of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-b">
              <num>b</num>
              <content>
                <p>	(b)	<i>Legislation Act 2003</i>.<ref href="#sec-14">section 14</ref> of the </p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38C__subclause-8">
              <num>8</num>
              <content>
                <p>A rule referred to in paragraph (2)(c) has effect:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38C__para-a">
              <num>a</num>
              <content>
                <p>from the day on which the rule is made; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38C__para-b">
              <num>b</num>
              <content>
                <p>if the rule specifies a later day—from that later day.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38D">
            <num>38D</num>
            <heading>Non-ADI lender rules revoked after 2 years</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38D__subclause-1">
              <num>1</num>
              <content>
                <p>A non-ADI lender rule is revoked at the end of the period of 2 years beginning on the day the rule is made.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38D__subclause-2">
              <num>2</num>
              <content>
                <p>If, at any time during that period, APRA considers that the conditions in subsection 38C(1) still apply in relation to the non-ADI lender rule, APRA may, by written instrument, extend (or further extend) the period for a period of 2 years beginning on the day the instrument is made.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	An extension under this subsection does not affect the operation of <i>Legislation Act 2003</i>.<ref href="#part-4">Part 4</ref> of Chapter 3 (sunsetting) of the </p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38E">
            <num>38E</num>
            <heading>Variation and revocation of non-ADI lender rules</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38E__subclause-1">
              <num>1</num>
              <content>
                <p>APRA may, in writing, vary or revoke a non-ADI lender rule.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38E__subclause-2">
              <num>2</num>
              <content>
                <p>An instrument varying or revoking a non-ADI lender rule referred to in paragraph 38C(2)(c) has effect:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38E__para-a">
              <num>a</num>
              <content>
                <p>from the day on which the instrument is made; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38E__para-b">
              <num>b</num>
              <content>
                <p>if the instrument specifies a later day—from that later day.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38F">
            <num>38F</num>
            <heading>Notification and consultation regarding non-ADI lender rules</heading>
            <content>

              <num>1</num>
              <content>
                <p>If APRA makes or varies a non-ADI lender rule referred to in paragraph 38C(2)(c) it must, as soon as practicable, give a copy of the rule, or of the variation, to the non-ADI lender, or to each non-ADI lender, to which the rule applies.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38F__subclause-2">
              <num>2</num>
              <content>
                <p>If APRA revokes a non-ADI lender rule referred to in paragraph 38C(2)(c) it must, as soon as practicable, give notice of the revocation to the non-ADI lender, or to each non-ADI lender, to which the rule applied.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38F__subclause-3">
              <num>3</num>
              <content>
                <p>If APRA extends the period mentioned in subsection 38D(1) in relation to a non-ADI lender rule referred to in paragraph 38C(2)(c) it must, as soon as practicable, give notice of the extension to the non-ADI lender, or to each non-ADI lender, to which the rule applies.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38F__subclause-4">
              <num>4</num>
              <content>
                <p>Before making a non-ADI lender rule, or varying or revoking a non-ADI lender rule, APRA must consult with ASIC.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38F__subclause-5">
              <num>5</num>
              <content>
                <p>A failure to comply with subsection (4) does not affect the validity of the action concerned.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38G">
            <num>38G</num>
            <heading>Which non-ADI lender rules, etc., are legislative instruments</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38G__subclause-1">
              <num>1</num>
              <content>
                <p>The following instruments are not legislative instruments:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38G__para-a">
              <num>a</num>
              <content>
                <p>a non-ADI lender rule referred to in paragraph 38C(2)(c);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38G__para-b">
              <num>b</num>
              <content>
                <p>an instrument under <ref href="#sec-38E">section 38E</ref> varying or revoking a non-ADI lender rule referred to in paragraph 38C(2)(c);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38G__para-c">
              <num>c</num>
              <content>
                <p>an instrument under subsection 38D(2) extending the period mentioned in subsection 38D(1) in relation to a non-ADI lender rule referred to in paragraph 38C(2)(c).</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38G__subclause-2">
              <num>2</num>
              <content>
                <p>Otherwise, an instrument made under <ref href="#sec-38C">section 38C</ref>, 38D or 38E is a legislative instrument.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38H">
            <num>38H</num>
            <heading>Review of decisions relating to non-ADI lender rules</heading>
            <content>
              <p><ref href="#part-VI">Part VI</ref> applies to the following decisions:</p>
            </content>
            <paragraph eId="schedule-1__clause-38H__para-a">
              <num>a</num>
              <content>
                <p>a decision to make a non-ADI lender rule referred to in paragraph 38C(2)(c);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38H__para-b">
              <num>b</num>
              <content>
                <p>a decision to vary such a rule;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38H__para-c">
              <num>c</num>
              <content>
                <p>a decision to make an instrument under subsection 38D(2) in relation to such a rule.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38J">
            <num>38J</num>
            <heading>Division not to limit operation of other provisions</heading>
            <content>
              <p>		Nothing in this Division is intended to limit the operation of any other provision of this Act or of the <i>Reserve Bank Act 1959</i>.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-38K">
            <num>38K</num>
            <heading>APRA may give directions in certain circumstances</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-38K__subclause-1">
              <num>1</num>
              <content>
                <p>APRA may give a body corporate that is a non-ADI lender a direction to take specified action to comply with the whole or a part of a non-ADI lender rule if APRA has reason to believe that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38K__para-a">
              <num>a</num>
              <content>
                <p>the body corporate has contravened the non-ADI lender rule; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38K__para-b">
              <num>b</num>
              <content>
                <p>the body corporate is likely to contravene the non-ADI lender rule.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38K__subclause-2">
              <num>2</num>
              <content>
                <p>The direction must:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-38K__para-a">
              <num>a</num>
              <content>
                <p>be given by notice in writing to the body corporate; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38K__para-b">
              <num>b</num>
              <content>
                <p>specify the ground referred to in subsection (1) as a result of which the direction is given.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-38K__subclause-3">
              <num>3</num>
              <content>
                <p>In deciding whether to give a direction under subsection (1), APRA must consider whether the body corporate has taken reasonable steps in the past to comply with the non-ADI lender rule.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38K__subclause-4">
              <num>4</num>
              <content>
                <p>The direction may deal with the time by which, or period during which, it is to be complied with.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-38K__subclause-5">
              <num>5</num>
              <content>
                <p>The body corporate has power to comply with the direction despite anything in its constitution or any contract or arrangement to which it is a party.</p>

                <p>APRA may, by notice in writing to the body corporate, vary the direction if, at the time of the variation, it considers that the variation is necessary and appropriate.</p>

            <heading>Non-compliance with a direction under section 38K</heading>

                <p>A non-ADI lender commits an offence if:</p>

                <p>An officer of a non-ADI lender commits an offence if:</p>
              </content>

                <p>the officer fails to take reasonable steps to ensure that the non-ADI lender complies with a direction given to it under <ref href="#sec-38K">section 38K</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-38L__para-b">
              <num>b</num>
              <content>
                <p>the officer’s duties include ensuring that the non-ADI lender complies with the direction, or with a class of directions that includes the direction.</p>
              </content>
            </paragraph>

                <p>If an officer of a non-ADI lender fails to take reasonable steps to ensure that the non-ADI lender complies with a direction given to it under <ref href="#sec-38K">section 38K</ref> in circumstances that give rise to the officer committing an offence against subsection (3), the officer commits an offence against that subsection in respect of:</p>

                <p>the funding or originating of the loan or other financing resulted from the carrying out, whether directly or indirectly, of activities by the corporation.</p>

            <heading>Application of Division 7 of Part 3-2B of the National Credit Act</heading>

                <p><ref href="#dvs-7">Division 7</ref> of <ref href="#part-3">Part 3</ref>-2B of the National Credit Act, as inserted by <ref href="#part-3">Part 3</ref> of Schedule 5 to the amending Act, applies to credit card contracts entered into on or after the commencement of <ref href="#part-3">Part 3</ref> of that Schedule.</p>

              <num>2</num>
              <content>
                <p>The Division also applies to credit card contracts entered into before the commencement of <ref href="#part-3">Part 3</ref> of that Schedule.</p>

                <p><ref href="#dvs-8">Division 8</ref> of <ref href="#part-3">Part 3</ref>-2B of the National Credit Act, as inserted by <ref href="#part-4">Part 4</ref> of Schedule 5 to the amending Act, applies to credit card contracts entered into on or after the commencement of <ref href="#part-4">Part 4</ref> of that Schedule.</p>
