            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

                <p>	(1)	A company is a <b><i>mutual entity</i></b> if:</p>
              </content>

              <num>a</num>
              <content>
                <p>the company is registered under this Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-51M__para-b">
              <num>b</num>
              <content>
                <p>the company’s constitution provides that a person has no more than one vote at a general meeting of the company for each capacity in which the person is a member of the company.</p>
              </content>
            </paragraph>

                <p>To avoid doubt:</p>

                <p>the requirement in paragraph (1)(b) does not fail to be satisfied merely because the company’s constitution provides that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-51M__para-i">
              <num>i</num>
              <content>
                <p>2 or more persons may together be joint members of the company; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-51M__para-ii">
              <num>ii</num>
              <content>
                <p>those persons each have one vote at a general meeting of the company; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-51M__para-b">
              <num>b</num>
              <content>
                <p>that requirement does not fail to be satisfied merely because the company’s constitution provides that:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-51M__para-i">
              <num>i</num>
              <content>
                <p>a person may vote as proxy or representative at a general meeting of the company; and</p>
              </content>
            </paragraph>

              <num>ii</num>

                <p>as a result of voting as a proxy or representative, the person may have more than one vote at a general meeting of the company.</p>

              <p>An MCI is a share in a mutual entity that meets requirements relating to voting rights and other matters. Certain kinds of mutual entities may issue MCIs and become MCI mutual entities.</p>
              <p><ref href="#dvs-3">Division 3</ref> sets out a special procedure for amending the constitution of a mutual entity that proposes to issue MCIs.</p>

            <heading>Meaning of MCI mutual entity</heading>
            <content>
              <p>		A mutual entity is an <b><i>MCI mutual entity</i></b> if:</p>

              <num>a</num>
              <content>
                <p>the entity is a public company; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AC__para-b">
              <num>b</num>
              <content>
                <p>the entity does not have voting shares (other than MCIs) quoted on a prescribed financial market; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AC__para-c">
              <num>c</num>
              <content>
                <p>	(c)	the entity is not a registered entity within the meaning of the <i>Australian Charities and Not</i><i>-</i><i>for</i><i>-</i><i>profits Commission Act 2012</i>; and</p>
              </content>

                <p>the entity’s constitution states that the entity is intended to be an MCI mutual entity for the purposes of this Act; and</p>

            <heading>Meaning of MCI</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-167AD__subclause-1">
              <num>1</num>
              <content>
                <p>	(1)	A share in a mutual entity is an <b><i>MCI</i></b> (short for mutual capital instrument) if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-167AD__para-a">
              <num>a</num>
              <content>
                <p>paragraphs 167AC(a), (b), (c) and (d) apply to the entity; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AD__para-b">
              <num>b</num>
              <content>
                <p>the share meets the requirements in sections 167AE and 167AF.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-167AD__subclause-2">
              <num>2</num>
              <content>
                <p>To avoid doubt, if a share that is an MCI ceases to meet one or more of those requirements, the share ceases to be an MCI.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-167AD__subclause-3">
              <num>3</num>
              <content>
                <p>Nothing in this Division requires an MCI mutual entity to treat the holders of MCIs in the same way as members of the entity who do not hold MCIs.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	For example, this Division does not require an MCI mutual entity that provides services to a class of members to provide those services to holders of MCIs.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-167AE">
            <num>167AE</num>
            <heading>MCI requirements—class rights</heading>
            <content>
              <p>A share in a mutual entity meets the requirement in this section if the rights attached to the share can be varied or cancelled only by special resolution of the company and either:</p>
            </content>
            <paragraph eId="schedule-2__clause-167AE__para-a">
              <num>a</num>
              <content>
                <p>by special resolution passed at a meeting of the class of members holding shares in the same class; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AE__para-b">
              <num>b</num>
              <content>
                <p>with the written consent of members with at least 75% of the votes in the class.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-167AF">
            <num>167AF</num>
            <heading>MCI requirements—other requirements</heading>
            <content>
              <p>A share in a mutual entity meets the requirements in this section if the entity’s constitution:</p>
            </content>
            <paragraph eId="schedule-2__clause-167AF__para-a">
              <num>a</num>
              <content>
                <p>provides that the share can only be issued as a fully paid share; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AF__para-b">
              <num>b</num>
              <content>
                <p>provides that dividends in respect of the share are non-cumulative; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AF__para-c">
              <num>c</num>
              <content>
                <p>sets out the rights attached to the share with respect to participation in surplus assets and profits.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-167AG">
            <num>167AG</num>
            <heading>MCIs must be cancelled before MCI mutual entity demutualises</heading>
            <content>
              <p>A resolution of an MCI mutual entity that would result in the entity ceasing to be an MCI mutual entity can only take effect if:</p>
            </content>
            <paragraph eId="schedule-2__clause-167AG__para-a">
              <num>a</num>
              <content>
                <p>there are no MCIs in the entity; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AG__para-b">
              <num>b</num>
              <content>
                <p>the resolution provides for each MCI to be cancelled at or before the time the entity ceases to be an MCI mutual entity (whether or not the holders of the MCIs to be cancelled are to receive other securities in respect of those MCIs).</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-167AH">
            <num>167AH</num>
            <heading>Purpose and application of this Division</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-167AH__subclause-1">
              <num>1</num>
              <content>
                <p>This Division sets out a special procedure for the constitution of a mutual entity to be amended to provide for the entity to issue MCIs.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-167AH__subclause-2">
              <num>2</num>
              <content>
                <p>This Division applies to a mutual entity that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-167AH__para-a">
              <num>a</num>
              <content>
                <p>is a public company; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AH__para-b">
              <num>b</num>
              <content>
                <p>does not have voting shares quoted on a prescribed financial market; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AH__para-c">
              <num>c</num>
              <content>

                <p>	(1)	An <b><i>MCI amendment resolution</i></b> is a resolution of the mutual entity to amend the entity’s constitution for one or more of the following purposes, and for no other purpose:</p>

                <p>to include a statement that the entity is intended to be an MCI mutual entity for the purposes of this Act;</p>

                <p>An MCI amendment resolution must not result in the mutual entity ceasing to be a mutual entity.</p>

            <heading>Procedure for MCI amendment resolution</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-167AJ__subclause-1">
              <num>1</num>
              <content>
                <p>This section applies to a meeting of the mutual entity’s members if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-167AJ__para-a">
              <num>a</num>
              <content>
                <p>notice of an MCI amendment resolution to be proposed at the meeting is given in accordance with paragraph 249L(1)(c); and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AJ__para-b">
              <num>b</num>
              <content>
                <p>the meeting is held during the period of 36 months beginning on the day this section commences; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-167AJ__para-c">
              <num>c</num>

                <p>no more than 2 MCI amendment resolutions have been considered at previous meetings of the mutual entity’s members.</p>
              </content>
            </paragraph>

                <p>The MCI amendment resolution:</p>
              </content>
            </hcontainer>

                <p>must be passed at the meeting by at least 75% of the votes cast by or on behalf of members who are present at the meeting (including members who have appointed proxies who are present at the meeting) and entitled to vote on the resolution; and</p>
