          <p>		This Act is the <i>Financial Sector Reform (Hayne Royal Commission Response—Stronger Regulators (2019 Measures)) Act </i><i>20</i><i>20</i>.</p>

        <heading>Commencement</heading>
        <subsection eId="sec-2__subsec-1">

            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <p>Legislation that is specified in a Schedule to this Act is amended or repealed as set out in the applicable items in the Schedule concerned, and any other item in a Schedule to this Act has effect according to its terms.</p>

            <heading>Extra application of Crimes Act search warrant provisions</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-39D__subclause-1">
              <num>1</num>
              <content>
                <p>In addition to the application that the applied provisions have (disregarding this subsection) in relation to offences mentioned in subsection (3), the applied provisions also apply under this subsection in relation to those offences, with the modifications set out in Subdivision B.</p>
              </content>

              <num>2</num>
              <content>
                <p>To avoid doubt, subsection (1) does not limit the application that the applied provisions have (disregarding that subsection).</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-39D__subclause-3">
              <num>3</num>
              <content>
                <p>For the purposes of subsection (1), the offences are indictable offences under any of the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39D__para-a">
              <num>a</num>
              <content>
                <p>the corporations legislation;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39D__para-b">
              <num>b</num>
              <content>
                <p>a provision of a law of the Commonwealth, or of a State or Territory in this jurisdiction, a contravention of which:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39D__para-i">
              <num>i</num>
              <content>
                <p>concerns the management or affairs of a body corporate or managed investment scheme; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39D__para-ii">
              <num>ii</num>
              <content>
                <p>involves fraud or dishonesty and relates to a body corporate or managed investment scheme or to financial products;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39D__para-c">
              <num>c</num>
              <content>
                <p>	(c)	the<i> Retirement Savings Accounts Act 1997</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39D__para-d">
              <num>d</num>
              <content>
                <p>	(d)	the <i>Superannuation Industry (Supervision) Act 1993</i>.</p>
              </content>
            </paragraph>

                <p>	(4)	For the purposes of this Division, the <b><i>applied provisions</i></b> are as follows:</p>

              <content>
                <p>	(a)	Divisions 1, 2, 4C and 5 of <i>Crimes Act 1914</i>;<ref href="#part-IA">Part IA</ref>A of the </p>
              </content>
            </paragraph>

              <num>b</num>
              <content>
                <p>any other provisions of that Act, to the extent that those other provisions relate to the operation of the provisions mentioned in paragraph (a).</p>

            <heading>Interpretation of modifications</heading>
            <content>
              <p>		To avoid doubt, a term used in Subdivision B in a modification of an applied provision has the same meaning as in the <i>Crimes Act 1914 </i>unless specified otherwise.</p>
              <p>Subdivision B—Modifications</p>
            </content>

            <num>39F</num>
            <heading>Major modifications—evidential material</heading>
            <content>
              <p>		For the purposes of subsection 39D(1), in the definition of <b><i>evidential material </i></b>in subsection 3C(1) of the <i>Crimes Act 1914</i>, omit the words “or a thing relevant to a summary offence”.</p>

            <heading>Major modifications—who may apply for a warrant etc.</heading>

                <p>	(1)	For the purposes of subsection 39D(1), in subsection 3E(1) of the <i>Crimes Act 1914</i>, after the words “by information on oath or affirmation”, insert “given by a constable, or by a member of ASIC or an ASIC staff member authorised in writing by ASIC for the purposes of this subsection”.</p>

            <num>39H</num>
            <heading>Major modifications—purposes for which things may be used and shared</heading>
            <content>
              <p>		For the purposes of subsection 39D(1), replace <i>Crimes Act 1914</i> with the following 2 sections.<ref href="#sec-3Z">section 3Z</ref>QU of the </p>
              <p>3ZQU  Purposes for which things may be used and shared</p>
              <p>a thing seized under this Part to be used by that agency for:</p>
              <p>Ministerial arrangements for sharing</p>
              <p>Note:	This subsection does not empower <role refersTo="#minister">the Minister</role> to make such an arrangement.</p>
              <p>Definition</p>
              <p><b><i>State or Territory law enforcement agency</i></b> means:</p>
              <p>3ZQUA  Commonwealth law permitting access to things seized under this Part does not apply</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-1">
              <num>1</num>
              <content>
                <p>A constable or Commonwealth officer may use, or make available to a member of ASIC or an ASIC staff member to use, a thing seized under this Part for the purpose of the performance of ASIC’s functions or duties or the exercise of its powers.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-2">
              <num>2</num>
              <content>
                <p>Without limiting the scope of subsection (1), a constable or Commonwealth officer may use, or make available to a person covered under subsection (3) to use, a thing seized under this Part for the purpose of any or all of the following if it is necessary to do so for that purpose:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>preventing or investigating any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-i">
              <num>i</num>
              <content>
                <p>a breach of an offence provision;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-ii">
              <num>ii</num>
              <content>
                <p>a breach of a civil penalty provision;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-iii">
              <num>iii</num>
              <content>
                <p>a breach of an obligation (whether under statute or otherwise), other than an obligation of a private nature (such as an obligation under a contract, deed, trust or similar arrangement);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>prosecuting a breach of an offence provision;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-c">
              <num>c</num>
              <content>
                <p>prosecuting a breach of a civil penalty provision;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-d">
              <num>d</num>
              <content>
                <p>	(d)	taking administrative action, or seeking an order of a court or tribunal (within the meaning of the <i>Australian Securities and Investments Commission Act 2001</i>), in response to a breach of an obligation (whether under statute or otherwise), other than an obligation of a private nature (such as an obligation under a contract, deed, trust or similar arrangement).</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-3">
              <num>3</num>
              <content>
                <p>A person is covered under this subsection if the person is any of the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>a constable;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>a Commonwealth officer.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-4">
              <num>4</num>
              <content>
                <p>Without limiting the scope of subsections (1) and (2), a constable or Commonwealth officer may use, or make available to a person covered under subsection (3) to use, a thing seized under this Part for the purpose of any or all of the following if it is necessary to do so for that purpose:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>	(a)	proceedings under the <i>Proceeds of Crime Act 1987</i> or the <i>Proceeds of Crime Act 2002</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>proceedings under a corresponding law (within the meaning of either of the Acts mentioned in paragraph (a)) that relate to a State offence that has a federal aspect;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-c">
              <num>c</num>
              <content>
                <p>proceedings for the forfeiture of the thing under a law of the Commonwealth, a State or a Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-d">
              <num>d</num>
              <content>
                <p>	(d)	the performance of a function or duty, or the exercise of a power, by a person, court or other body under, or in relation to a matter arising under, <i>Criminal Code</i>;<ref href="#dvs-104">Division 104</ref>, 105 or 105A of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-e">
              <num>e</num>
              <content>
                <p>investigating or resolving a complaint or an allegation of misconduct relating to an exercise of a power or the performance of a function or duty under this Part;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-f">
              <num>f</num>
              <content>
                <p>	(f)	investigating or resolving an AFP conduct or practices issue (within the meaning of the <i>Australian Federal Police Act 1979</i>) under Part V of that Act;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-g">
              <num>g</num>
              <content>
                <p>	(g)	investigating or resolving a complaint under the <i>Ombudsman Act 1976</i> or the <i>Privacy Act 1988</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-h">
              <num>h</num>
              <content>
                <p>	(h)	investigating or inquiring into a corruption issue under the <i>Law Enforcement Integrity Commissioner Act 2006</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-i">
              <num>i</num>
              <content>
                <p>proceedings in relation to a complaint, allegation or issue mentioned in paragraph (e), (f), (g) or (h);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-j">
              <num>j</num>
              <content>
                <p>deciding whether to institute proceedings, to make an application or request, or to take any other action, mentioned in:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-i">
              <num>i</num>
              <content>
                <p>any of the preceding paragraphs of this subsection; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-ii">
              <num>ii</num>
              <content>
                <p>subsection (1) or (2);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-k">
              <num>k</num>
              <content>
                <p>	(k)	the performance of the functions of the Australian Federal Police under <i>Australian Federal Police Act 1979</i>.<ref href="#sec-8">section 8</ref> of the </p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-5">
              <num>5</num>
              <content>
                <p>A constable or Commonwealth officer may use a thing seized under this Part for any other use that is required or authorised by or under a law of a State or a Territory.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-6">
              <num>6</num>
              <content>
                <p>A constable or Commonwealth officer may make available to another constable or Commonwealth officer to use a thing seized under this Part for any purpose for which the making available of the thing is required or authorised by a law of a State or Territory.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-7">
              <num>7</num>
              <content>
                <p>To avoid doubt, this section does not limit any other law of the Commonwealth that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>requires or authorises the use of a document or other thing; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>requires or authorises the making available (however described) of a document or other thing.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-8">
              <num>8</num>
              <content>
                <p>A constable or Commonwealth officer may make available to an agency that has responsibility for:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>law enforcement in a foreign country; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>intelligence gathering for a foreign country; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-c">
              <num>c</num>
              <content>
                <p>the security of a foreign country;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-d">
              <num>d</num>
              <content>
                <p>a purpose mentioned in subsection (1), (2), (4), (5) or (6); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-e">
              <num>e</num>
              <content>
                <p>the purpose of performing a function, or exercising a power, conferred by a law in force in that foreign country.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-9">
              <num>9</num>
              <content>
                <p>This Division does not prevent <role refersTo="#minister">the Minister</role> from making an arrangement with a Minister of a State or Territory for:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>
                <p>the making available to a State or Territory law enforcement agency of that State or Territory, for purposes mentioned in subsections (1), (2), (4), (6) and (8), of things seized under this Part; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-39H__para-b">
              <num>b</num>
              <content>
                <p>the disposal by the agency of such things, originals and copies when they are no longer of use to that agency for those purposes.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-39H__subclause-10">
              <num>10</num>
              <content>
                <p>In this section:</p>

            </hcontainer>
            <paragraph eId="schedule-1__clause-39H__para-a">
              <num>a</num>
              <content>

                <p>This section applies if, disregarding this section, a law of the Commonwealth (other than this Part) requires or permits any of the following to be made available to a person covered under subsection (3):</p>

                <p>a thing seized under this Part;</p>
              </content>

                <p>if a thing contains data that ASIC or the Australian Federal Police came into possession of as a result of exercising powers under this Part—the thing.</p>

                <p>Subject to subsection (4), that law does not require or permit the thing to be made available to the person.</p>

                <p>A person is covered under this subsection if the person is not, and is not representing, the Commonwealth, a State or a Territory.</p>

                <p>This section does not affect any of the following:</p>

                <p>proceedings in relation to a complaint, allegation or issue mentioned in paragraph (e), (f), (g) or (h);</p>

                <p>deciding whether to institute proceedings, to make an application or request, or to take any other action, mentioned in:</p>

              <content>
                <p>A constable or Commonwealth officer may make available to another constable or Commonwealth officer to use a thing seized under this Part for any purpose for which the making available of the thing is required or authorised by a law of a State or Territory.</p>

                <p>To avoid doubt, this section does not limit any other law of the Commonwealth that:</p>

                <p>requires or authorises the use of a document or other thing; or</p>
              </content>
            </paragraph>

                <p>information specified in the notice in relation to any matters that ASIC may or must have regard to in deciding whether to grant the licence;</p>
              </content>

                <p>an audit report, prepared by a suitably qualified person specified in the notice, in relation to matters that ASIC may or must have regard to in deciding whether to grant the licence;</p>

                <p>if ASIC proposes to grant the applicant a licence—a statement that either:</p>
              </content>

                <p>informs ASIC of any material changes in any information provided to ASIC in, or in connection with, the application; or</p>
              </content>
            </paragraph>

                <p>confirms that there have been no such changes.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-3__clause-5__subclause-4">

                <p>subsection (4B) applies in relation to such a request even if the applicant is unable to comply with the request.</p>

            </paragraph>

                <p>ASIC may, by written notice to the applicant within the time specified in the notice:</p>

                <p>that the first person is not a fit and proper person to provide the financial services covered by the licence;</p>

                <p>if the first person is a body corporate—that an officer of the first person is not a fit and proper person to perform one or more functions as an officer of an entity that provides the financial services covered by the licence;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BA__para-c">
              <num>c</num>
              <content>
                <p>if the first person is a partnership or the multiple trustees of a trust:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BA__para-i">
              <num>i</num>
              <content>
                <p>that any of the partners or trustees are not fit and proper persons to provide the financial services covered by the licence; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BA__para-ii">
              <num>ii</num>
              <content>
                <p>that any of the senior managers of the partnership or the trust are not fit and proper persons to perform one or more functions as an officer of an entity that provides the financial services covered by the licence;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BA__para-d">
              <num>d</num>
              <content>
                <p>that any person who controls the first person is not a fit and proper person to control an entity that provides the financial services covered by the licence;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BA__para-e">

                <p>if a controller mentioned in paragraph (d) is a body corporate—that an officer of the controller is not a fit and proper person to perform one or more functions as an officer of an entity that controls an entity that provides the financial services covered by the licence;</p>

                <p>if a controller mentioned in paragraph (d) is a partnership or the multiple trustees of a trust:</p>

                <p>that any of the partners or trustees are not fit and proper persons to control an entity that provides the financial services covered by the licence; or</p>

                <p>that any of the senior managers of the partnership or the trust are not fit and proper persons to perform one or more functions as an officer of an entity that controls an entity that provides the financial services covered by the licence.</p>

            </paragraph>
            <hcontainer name="subclause" eId="schedule-3__clause-913BA__subclause-2">
              <num>2</num>
              <content>
                <p>In considering whether a person is fit and proper for a purpose mentioned in a paragraph of subsection (1), ASIC must have regard to the matters in <ref href="#sec-913B">section 913B</ref>B.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-3__clause-913BB">
            <num>913BB</num>
            <heading>Fit and proper person test—matters to which ASIC must have regard</heading>
            <hcontainer name="subclause" eId="schedule-3__clause-913BB__subclause-1">

                <p>	(1)	ASIC must have regard to the matters set out in subsection (2) (subject to <i>Crimes Act 1914</i>) for the purposes of applying any of the following provisions to a person:<ref href="#part-VII">Part VII</ref>C of the </p>

                <p>	(ii)	an Australian credit licence, or a registration under the Transitional Act, within the meaning of the <i>National Consumer Credit Protection Act 2009</i>;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-b">
              <num>b</num>
              <content>
                <p>whether any of the following has ever been made against the person:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-i">
              <num>i</num>
              <content>
                <p>a banning order, or a disqualification order under Subdivision B of <ref href="#dvs-8">Division 8</ref> of this Part;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	a banning order, or a disqualification order, under <i>National Consumer Credit Protection Act 2009</i>;<ref href="#part-2">Part 2</ref>-4 of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-c">
              <num>c</num>
              <content>
                <p>if the person is an individual—whether the person has ever been disqualified under this Act, or any other law of the Commonwealth or of a State or Territory, from managing corporations;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-d">
              <num>d</num>
              <content>
                <p>	(d)	whether the person has ever been banned from engaging in a credit activity (within the meaning of the <i>National Consumer Credit Protection Act 2009</i>) under a law of a State or Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-e">
              <num>e</num>
              <content>
                <p>whether the person has ever been linked to a refusal or failure to give effect to a determination made by AFCA;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-f">
              <num>f</num>
              <content>
                <p>whether the person has ever:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-i">
              <num>i</num>
              <content>
                <p>been a Chapter 5 body corporate or an insolvent under administration; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	if the person is a partnership—had a creditor’s petition or a debtor’s petition presented against it under <i>Bankruptcy Act 1966</i>;<ref href="#dvs-2">Division 2</ref> or 3 of <ref href="#part-I">Part I</ref>V of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-g">
              <num>g</num>
              <content>
                <p>if the person is the multiple trustees of a trust—whether a trustee of the trust has ever been a Chapter 5 body corporate or an insolvent under administration;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-h">
              <num>h</num>
              <content>
                <p>whether, in the last 10 years, the person has been convicted of an offence;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-i">
              <num>i</num>
              <content>
                <p>any relevant information given to ASIC by a State or Territory, or an authority of a State or Territory, in relation to the person;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-j">

                <p>any other matter prescribed by the regulations;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-913BB__para-k">

                <p>	(1)	ASIC must have regard to the matters set out in subsection (2) (subject to <i>Crimes Act 1914</i>) for the purposes of applying any of the following provisions to a person:<ref href="#part-VII">Part VII</ref>C of the </p>

                <p>whether any of the following has ever been made against the person:</p>

            <paragraph eId="schedule-3__clause-37B__para-i">
              <num>i</num>
              <content>
                <p>a banning order, or a disqualification order under <ref href="#part-2">Part 2</ref>-4;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	a banning order, or a disqualification order, under <i>Corporations Act 2001</i>;<ref href="#dvs-8">Division 8</ref> of <ref href="#part-7">Part 7</ref>.6 of the </p>
              </content>
            </paragraph>

              <num>c</num>

                <p>	(c)	if the person is an individual—whether the person has ever been disqualified under the <i>Corporations Act 2001</i>, or any other law of the Commonwealth or of a State or Territory, from managing corporations;</p>

              <num>d</num>

                <p>whether the person has ever been banned from engaging in a credit activity under a law of a State or Territory;</p>
              </content>
            </paragraph>

                <p>	(e)	whether the person has ever been linked to a refusal or failure to give effect to a determination made by AFCA (<i>Corporations Act 2001</i>);<ref href="#sec-910C">as defined in section 910C</ref> of the </p>

              <num>f</num>
              <content>
                <p>if the person is not the multiple trustees of a trust—whether the person has ever been insolvent;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-g">
              <num>g</num>
              <content>
                <p>if the person is the multiple trustees of a trust—whether a trustee of the trust has ever been insolvent;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-h">
              <num>h</num>
              <content>
                <p>whether, in the last 10 years, the person has been convicted of an offence;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-i">
              <num>i</num>
              <content>
                <p>any relevant information given to ASIC by a State or Territory, or an authority of a State or Territory, in relation to the person;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-j">
              <num>j</num>
              <content>
                <p>any other matter prescribed by the regulations;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-37B__para-k">
              <num>k</num>
              <content>
                <p>any other matter ASIC considers relevant.</p>
              </content>
            </paragraph>

              <p>However, this section does not apply in relation to a power to which paragraph 46(2)(a) applies.</p>

                <p>ASIC may give a written notice to the applicant requesting the applicant to lodge with ASIC, within the time specified in the notice, any of the following:</p>

              <num>a</num>
              <content>
                <p>information specified in the notice in relation to any matters that ASIC must have regard to for the purposes of deciding whether the requirement in <ref href="#sec-37A">section 37A</ref> is satisfied as mentioned in subsection (2) of this section;</p>

            </paragraph>
            <paragraph eId="schedule-3__clause-46A__para-b">
              <num>b</num>

                <p>an audit report, prepared by a suitably qualified person specified in the notice, in relation to matters that ASIC must have regard to for the purposes of deciding whether the requirement in <ref href="#sec-37A">section 37A</ref> is satisfied as mentioned in subsection (2) of this section;</p>

                <p>if ASIC proposes to grant the application—a statement that either:</p>

            </paragraph>

                <p>informs ASIC of any material changes in any information provided to ASIC in, or in connection with, the application; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-46A__para-ii">
              <num>ii</num>
              <content>
                <p>confirms that there have been no such changes.</p>
              </content>
            </paragraph>

                <p>To avoid doubt:</p>

                <p>a notice under subsection (3), and the information, audit report or statement requested in the notice, may relate to any person mentioned in <ref href="#sec-37A">section 37A</ref> in relation to the applicant and the licence as proposed to be varied; and</p>

                <p>subsection (6) applies in relation to such a request even if the applicant is unable to comply with the request.</p>
              </content>
            </paragraph>

                <p>ASIC may, by written notice to the applicant within the time specified in the notice:</p>
              </content>
            </hcontainer>

                <p>withdraw the request; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-3__clause-46A__para-b">

                <p>If the applicant does not lodge with ASIC the information, audit report or statement requested by ASIC in a notice under subsection (3) within the specified time, the applicant is taken to have withdrawn the application.</p>

              </content>
            </paragraph>

                <p>to make submissions to ASIC in relation to the matter.</p>

            </paragraph>
