            <p>		This Act is the <i>High Speed Rail Authority </i><i>Act 202</i><i>2</i>.</p>

          <heading>Commencement</heading>
          <subsection eId="part-1__sec-2__subsec-1">
            <num>1</num>
            <content>
              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Simplified outline of this Act</heading>
          <content>
            <p>There is to be a High Speed Rail Authority.</p>
            <p><role refersTo="#authority">The Authority</role> has functions in relation to the high speed rail network and the high speed rail corridor. <role refersTo="#authority">The Authority</role> also has functions in relation to a faster rail network and additional corridors for that network.</p>
            <p><role refersTo="#authority">The Authority</role> must perform its functions in accordance with directions given by <role refersTo="#minister">the Minister</role>.</p>
            <p>There is to be a Board of <role refersTo="#authority">the Authority</role> and a Chief Executive Officer of <role refersTo="#authority">the Authority</role>.</p>
            <p><role refersTo="#authority">The Authority</role> can engage staff and consultants.</p>
            <p>This Act also deals with miscellaneous matters, including reviewing the operation of the Act and the power to make rules.</p>

          <num>4</num>
          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-authority">Authority</term> means <def>the High Speed Rail Authority.</def></p>
            <p><term refersTo="#term-board">Board</term> means <def>the Board of the Authority.</def></p>
            <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board and includes the Chair.</def></p>
            <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the Authority.</def></p>
            <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
            <p><term refersTo="#term-faster-rail-network">faster rail network</term> means <def>a network of railways in Australia that are not capable of supporting high speed trains.</def></p>
            <p><term refersTo="#term-high-speed-rail-corridor">high speed rail corridor</term> means <def>the area through which the high speed rail network will run.</def></p>
            <p><term refersTo="#term-high-speed-rail-network">high speed rail network</term> means <def>a network of railways that: are capable, in whole or in part, of supporting high speed trains; and connect: Sydney, Melbourne, Brisbane and Canberra; and some regional centres on the east coast of Australia or in New South Wales, Victoria or Queensland.</def></p>

              <p>are capable, in whole or in part, of supporting high speed trains; and</p>

              <p>some regional centres on the east coast of Australia or in New South Wales, Victoria or Queensland.</p>

              <p><term refersTo="#term-high-speed-train">high speed train</term> means <def>a vehicle that: is designed to transport passengers or goods and operates on a railway (including a vehicle that does not have wheels); and is capable of travelling at speeds exceeding 250 km/hr.</def></p>

              <p><term refersTo="#term-paid-work">paid work</term> means <def>work for financial gain or reward (whether as an employee, a self-employed person or otherwise).</def></p>
              <p><term refersTo="#term-rules">rules</term> means <def>rules made under <ref href="#sec-50">section 50</ref>.</def></p>

              <p>There is to be a High Speed Rail Authority.</p>
              <p><role refersTo="#authority">The Authority</role>’s main functions are the following:</p>
            </content>

              <num>a</num>
              <content>
                <p>developing policy and planning, consulting relevant parties, giving advice and recommendations and undertaking evaluations and research in relation to the high speed rail network, the high speed rail corridor, a faster rail network and additional rail corridors for a faster rail network;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-6__para-b">
              <num>b</num>
              <content>
                <p>constructing or extending a railway in a State for the high speed rail network or a faster rail network, with the State’s consent;</p>
              </content>
            </paragraph>
            <paragraph eId="part-2__dvs-1__sec-6__para-c">
              <num>c</num>
              <content>
                <p>constructing or extending a railway in a Territory for the high speed rail network or a faster rail network, with the Territory’s consent.</p>
              </content>
              <content>
                <p><role refersTo="#minister">The Minister</role> can give general directions to <role refersTo="#authority">the Authority</role> about the performance of <role refersTo="#authority">the Authority</role>’s functions.</p>

              <num>1</num>
              <content>
                <p>The High Speed Rail Authority is established by this section.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-7__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#authority">The Authority</role>:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-7__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>is a body corporate; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-7__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>must have a seal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-7__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>may acquire, hold and dispose of real and personal property; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-7__subsec-2__para-d">
                <num>d</num>
                <content>
                  <p>may sue and be sued.</p>
                </content>

                    <p>Note:	The <i>Public Governance, Performance and Accountability Act 2013</i> applies to the Authority. That Act deals with matters relating to corporate Commonwealth entities, including reporting and the use and management of public resources.</p>

            </subsection>

              <num>3</num>
              <content>
                <p><role refersTo="#authority">The Authority</role>’s seal is to be kept in such custody as the Board directs and must not be used except as authorised by the Board.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-2__dvs-2__sec-8">
            <num>8</num>
            <heading>Functions</heading>
            <subsection eId="part-2__dvs-2__sec-8__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#authority">The Authority</role> has the following functions:</p>
              </content>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>to:</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>lead and coordinate policy development and planning; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>consult, liaise and negotiate with States and Territories and other relevant parties; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>provide advice and recommendations to <role refersTo="#minister">the Minister</role> and other relevant parties (including advice and recommendations on environmental matters and interconnectedness); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-iv">
                <num>iv</num>
                <content>
                  <p>undertake evaluations and research and gather information;</p>
                </content>
                <content>
                  <p>in relation to the high speed rail network, the high speed rail corridor, a faster rail network and additional rail corridors for a faster rail network;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if the Commonwealth obtains a State’s consent, in accordance with paragraph 51(xxxiv) of the Constitution, to the construction or extension of a railway in the State for the high speed rail network or a faster rail network—to construct or extend the railway in the State for that network;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>if the Commonwealth obtains a Territory’s consent to the construction or extension of a railway in the Territory for the high speed rail network or a faster rail network—to construct or extend the railway in the Territory for that network;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>any other functions conferred on <role refersTo="#authority">the Authority</role> by this Act or any other Commonwealth law;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>any other functions that are prescribed by rules made for the purposes of this paragraph;</p>
                </content>
              </paragraph>
              <paragraph eId="part-2__dvs-2__sec-8__subsec-1__para-f">
                <num>f</num>
                <content>
                  <p>to do anything incidental to, or conducive to, the performance of the above functions.</p>

                <p>Rules made for the purposes of paragraph (1)(e) must specify the legislative power or powers of the Parliament in respect of each function of <role refersTo="#authority">the Authority</role> that is prescribed.</p>

            <heading>Powers</heading>
            <subsection eId="part-2__dvs-2__sec-9__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#authority">The Authority</role> has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>
              </content>
            </subsection>
            <subsection eId="part-2__dvs-2__sec-9__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#authority">The Authority</role>’s powers include, but are not limited to, the power to enter into contracts and agreements.</p>

            <heading>Authority does not have privileges and immunities of the Crown</heading>
            <content>
              <p><role refersTo="#authority">The Authority</role> does not have the privileges and immunities of the Crown in right of the Commonwealth.</p>

                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, give written directions to <role refersTo="#authority">the Authority</role> about the performance of its functions.</p>

              <p>There is to be a Board of <role refersTo="#authority">the Authority</role>.</p>
              <p>The Board’s main functions are:</p>

                <p>to decide, within the scope of any directions given to <role refersTo="#authority">the Authority</role>, the strategies and policies to be followed by <role refersTo="#authority">the Authority</role>; and</p>

              <num>b</num>
              <content>
                <p>to ensure the proper, efficient and effective performance of <role refersTo="#authority">the Authority</role>’s functions.</p>

                <p>The functions of the Board are:</p>
              </content>

                <content>
                  <p>to decide, within the scope of any directions given to <role refersTo="#authority">the Authority</role> under section 11, the strategies and policies to be followed by <role refersTo="#authority">the Authority</role>; and</p>
                </content>
              </paragraph>

                <num>b</num>
                <content>
                  <p>to ensure the proper, efficient and effective performance of <role refersTo="#authority">the Authority</role>’s functions; and</p>

                  <p>any other functions conferred on the Board by this Act.</p>

                <p>The Board has power to do all things necessary or convenient to be done for or in connection with the performance of its functions.</p>

          <heading>Board members</heading>

            <heading>Membership</heading>

              <p>The Board consists of the following members:</p>

            <heading>Appointment</heading>

                <p>Board members are to be appointed by <role refersTo="#minister">the Minister</role> by written instrument.</p>

                <p>The Chair may be appointed on a full-time or part-time basis.</p>

                <p>Other Board members are to be appointed on a part-time basis.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-16__subsec-4">

              <content>
                <p>A person must not be appointed as a Board Member unless <role refersTo="#minister">the Minister</role> is satisfied that:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>the person has appropriate qualifications, knowledge, skills or experience; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-4__para-b">
                <num>b</num>
                <content>
                  <p>the selection of the person for the appointment is the result of a process that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-4__para-i">
                <num>i</num>
                <content>
                  <p>was merit-based; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-4__para-ii">
                <num>ii</num>
                <content>
                  <p>included public advertising of the position.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-16__subsec-5">
              <num>5</num>
              <content>
                <p>Paragraph (4)(b) does not prevent <role refersTo="#minister">the Minister</role>:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>taking affirmative action in relation to the appointment of women to positions; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-16__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>taking into consideration appropriate representation among the States, Territories and local government areas in relation to appointments to positions.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-16__subsec-6">
              <num>6</num>
              <content>
                <p>Paragraph (4)(b) does not apply in relation to the reappointment of a person who, immediately before the start of the period of reappointment, holds office as a Board Member under a previous appointment under subsection (1).</p>

            </subsection>
          </section>

            <num>17</num>
            <heading>Term of appointment</heading>
            <content>
              <p>A Board member holds office for the period specified in the instrument of appointment. The period must not exceed 3 years.</p>
            </content>
          </section>
          <section eId="part-3__dvs-3__sec-18">
            <num>18</num>
            <heading>Acting appointments</heading>
            <subsection eId="part-3__dvs-3__sec-18__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by written instrument, appoint a Board member to act as the Chair:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-18__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-18__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>during any period, or during all periods, when the Chair:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-18__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-18__subsec-1__para-ii">

                  <p>during a vacancy in the office of a Board member (other than the Chair), whether or not an appointment has previously been made to the office; or</p>

                  <p>during any period, or during all periods, when a Board member (other than the Chair):</p>

              <p>A Board member holds office on the terms and conditions (if any) in relation to matters not covered by this Act that are determined by <role refersTo="#minister">the Minister</role>.</p>

            <num>20</num>
            <heading>Remuneration</heading>
            <subsection eId="part-3__dvs-3__sec-20__subsec-1">
              <num>1</num>
              <content>
                <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the Board member is to be paid the remuneration that is prescribed by the rules.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-20__subsec-2">
              <num>2</num>
              <content>
                <p>A Board member is to be paid the allowances that are prescribed by the rules.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-20__subsec-3">

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-21">

            <heading>Leave of absence</heading>
            <content>
              <p>Chair</p>
            </content>
            <subsection eId="part-3__dvs-3__sec-21__subsec-1">
              <num>1</num>
              <content>
                <p>If the Chair is appointed on a full-time basis:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-21__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>the Chair has the recreation leave entitlements that are determined by the Remuneration Tribunal; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-21__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p><role refersTo="#minister">the Minister</role> may grant the Chair leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that <role refersTo="#minister">the Minister</role> determines.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-21__subsec-2">
              <num>2</num>
              <content>
                <p>If the Chair is appointed on a part-time basis, <role refersTo="#minister">the Minister</role> may grant leave of absence to the Chair on the terms and conditions that <role refersTo="#minister">the Minister</role> determines.</p>

              <content>
                <p>Other Board members</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-21__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair may grant leave of absence to any other Board member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-21__subsec-4">
              <num>4</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants another Board member leave of absence for a period that exceeds 6 months.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-22">
            <num>22</num>
            <heading>Other paid work</heading>
            <subsection eId="part-3__dvs-3__sec-22__subsec-1">
              <num>1</num>
              <content>
                <p>If the Chair is appointed on a full-time basis, the Chair must not engage in paid work outside the duties of the Chair’s office without <role refersTo="#minister">the Minister</role>’s approval.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-22__subsec-2">
              <num>2</num>
              <content>
                <p>A Board member who is appointed on a part-time basis must not engage in any paid work that, in <role refersTo="#minister">the Minister</role>’s opinion, conflicts or could conflict with the proper performance of the member’s duties.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-22A">
            <num>22A</num>
            <heading>Disclosure of interests</heading>
            <subsection eId="part-3__dvs-3__sec-22A__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by a Board Member under <i>Public Governance, Performance and Accountability Act 2013</i><i> </i>(which deals with the duty to disclose interests) must be made to the Minister.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-22A__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-22A__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, the Board member is taken not to have complied with section 29 of that Act if the Board member does not comply with subsection (1) of this section.</p>

            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-23">
            <num>23</num>
            <heading>Resignation</heading>
            <subsection eId="part-3__dvs-3__sec-23__subsec-1">
              <num>1</num>
              <content>
                <p>A Board member may resign the Board member’s appointment by giving <role refersTo="#minister">the Minister</role> a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-23__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by <role refersTo="#minister">the Minister</role> or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-24">
            <num>24</num>
            <heading>Termination of appointment</heading>
            <content>
              <p><role refersTo="#minister">The Minister</role> may terminate the appointment of a Board member:</p>
            </content>
            <paragraph eId="part-3__dvs-3__sec-24__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-b">
              <num>b</num>
              <content>
                <p>if the Board member is unable to perform the duties of the member’s office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-c">
              <num>c</num>
              <content>
                <p>if the Board member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-i">
              <num>i</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-ii">
              <num>ii</num>
              <content>
                <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-iii">
              <num>iii</num>
              <content>
                <p>compounds with the Board member’s creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-iv">
              <num>iv</num>
              <content>
                <p>makes an assignment of the Board member’s remuneration for the benefit of the Board member’s creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-d">
              <num>d</num>
              <content>
                <p>for a Chair appointed on a full-time basis—if:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-24__para-i">

                <p>the Chair is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>
              </content>
            </paragraph>

                <p>the Chair engages, except with <role refersTo="#minister">the Minister</role>’s approval, in paid work outside the duties of the Chair’s office (see subsection 22(1)); or</p>

                <p>for a Board member appointed on a part-time basis—if:</p>

                <p>the Board member is absent, except on leave of absence, from 3 consecutive meetings of the Board; or</p>
              </content>

                  <p>must convene a meeting <quantity refersTo="#deadline">within 30 days</quantity> after receiving a written request to do so from:</p>

              </paragraph>

                  <p>3 or more other members; or</p>
                </content>
              </paragraph>

            <heading>Presiding at meetings</heading>

                <p>	(1)	The Chair<i> </i>must preside at all meetings at which the Chair is present.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-26__subsec-2">

              <content>
                <p>	(2)	If the Chair<i> </i>is not present at a meeting, the other Board members present must appoint one of themselves to preside.</p>

            </subsection>

            <heading>Quorum</heading>
            <subsection eId="part-3__dvs-4__sec-27__subsec-1">

                <p>At a meeting of the Board, a quorum is constituted by a majority of Board members.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-27__subsec-2">

                <p>However, if:</p>
              </content>
              <paragraph eId="part-3__dvs-4__sec-27__subsec-2__para-a">

                  <p>	(a)	a Board member<i> </i>is required by rules made for the purposes of section 29 of the <i>Public Governance, Performance and Accountability Act 2013</i> not to be present during the deliberations, or to take part in any decision, of the Board with respect to a particular matter; and</p>

                  <p>when the Board member leaves the meeting concerned there is no longer a quorum present;</p>

          </section>

            <heading>Voting at meetings</heading>
            <subsection eId="part-3__dvs-4__sec-28__subsec-1">

                <p>A question arising at a meeting of the Board is to be determined by a majority of the votes of the Board members present and voting.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-4__sec-28__subsec-2">
              <num>2</num>
              <content>
                <p>The person presiding at a meeting of the Board has a deliberative vote and, if the votes are equal, a casting vote.</p>
              </content>
            </subsection>
          </section>

            <heading>Conduct of meetings</heading>
            <content>
              <p>The Board may, subject to this Division, regulate proceedings at its meetings as it considers appropriate.</p>

            <subsection eId="part-3__dvs-4__sec-31__subsec-1">
              <num>1</num>
              <content>
                <p>The Board is taken to have made a decision at a meeting if:</p>
              </content>
              <paragraph eId="part-3__dvs-4__sec-31__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-31__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-4__sec-31__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the Board members of the proposed decision.</p>

                <p>Subsection (1) applies only if the Board:</p>
              </content>

                  <p>has determined that it may make decisions of that kind without meeting; and</p>
                </content>
              </paragraph>

                  <p>has determined the method by which Board members are to indicate agreement with proposed decisions.</p>

                <p><role refersTo="#ceo">The CEO</role> holds office for the period specified in the instrument of appointment. The period must not exceed 5 years.</p>

                <p><role refersTo="#ceo">The CEO</role> must not be a Board member.</p>
              </content>
            </subsection>

                <p>A person must not be appointed as <role refersTo="#ceo">the CEO</role> unless the Board is satisfied that:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the person has appropriate qualifications, knowledge, skills or experience; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>the selection of the person for the appointment is the result of a process that:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-5__para-i">
                <num>i</num>

                  <p>was merit-based; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-5__para-ii">
                <num>ii</num>

                  <p>included public advertising of the position.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-36__subsec-6">
              <num>6</num>
              <content>
                <p>Paragraph (5)(b) does not prevent the Board:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-6__para-a">
                <num>a</num>
                <content>
                  <p>taking affirmative action in relation to the appointment of women to the position; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-36__subsec-6__para-b">
                <num>b</num>
                <content>
                  <p>taking into consideration appropriate representation among the States, Territories and local government areas in relation to an appointment to the position.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-36__subsec-7">
              <num>7</num>
              <content>
                <p>Paragraph (5)(b) does not apply in relation to the reappointment of a person who, immediately before the start of the period of reappointment, holds office as <role refersTo="#ceo">the CEO</role> under a previous appointment under subsection (1).</p>

            <heading>Acting appointment</heading>
            <content>
              <p>The Board may, by written instrument and after consultation with <role refersTo="#minister">the Minister</role>, appoint a person (other than a Board member) to act as <role refersTo="#ceo">the CEO</role>:</p>

              <num>a</num>
              <content>
                <p>during a vacancy in the office of CEO (whether or not an appointment has previously been made to the office); or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-37__para-b">
              <num>b</num>
              <content>
                <p>during any period, or during all periods, when <role refersTo="#ceo">the CEO</role>:</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-37__para-i">
              <num>i</num>
              <content>
                <p>is absent from duty or from Australia; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-4__dvs-2__sec-37__para-ii">
              <num>ii</num>
              <content>
                <p>is, for any reason, unable to perform the duties of the office.</p>
              </content>

            <heading>Remuneration</heading>
            <subsection eId="part-4__dvs-2__sec-39__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, <role refersTo="#ceo">the CEO</role> is to be paid the remuneration that is prescribed by the rules.</p>

            </subsection>
            <subsection eId="part-4__dvs-2__sec-39__subsec-2">
              <num>2</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> is to be paid the allowances that are prescribed by the rules.</p>
              </content>
            </subsection>

                <p>	(3)	This section has effect subject to the <i>Remuneration Tribunal Act 1973</i>.</p>

            </subsection>
          </section>

            <heading>Leave of absence</heading>
            <subsection eId="part-4__dvs-2__sec-40__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> has the recreation leave entitlements that are determined by the Remuneration Tribunal.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-40__subsec-2">
              <num>2</num>
              <content>
                <p>The Chair may grant <role refersTo="#ceo">the CEO</role> leave of absence, other than recreation leave, on the terms and conditions as to remuneration or otherwise that the Chair determines.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-40__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair must notify <role refersTo="#minister">the Minister</role> if the Chair grants to <role refersTo="#ceo">the CEO</role> leave for a period that exceeds one month.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-41">
            <num>41</num>
            <heading>Other paid work</heading>
            <content>
              <p><role refersTo="#ceo">The CEO</role> must not engage in paid work outside the duties of <role refersTo="#ceo">the CEO</role>’s office without the Chair’s approval.</p>
            </content>
          </section>
          <section eId="part-4__dvs-2__sec-42">
            <num>42</num>
            <heading>Disclosure of interests</heading>
            <subsection eId="part-4__dvs-2__sec-42__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	A disclosure by the CEO under <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) must be made to the Board.<ref href="#sec-29">section 29</ref> of the </p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-42__subsec-2">
              <num>2</num>
              <content>
                <p>Subsection (1) applies in addition to any rules made for the purposes of that section.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-42__subsec-3">
              <num>3</num>
              <content>
                <p>	(3)	For the purposes of this Act and the <i>Public Governance, Performance and Accountability Act 2013</i>, the CEO is taken not to have complied with section 29 of that Act if the CEO does not comply with subsection (1) of this section.</p>

            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-43">
            <num>43</num>
            <heading>Resignation</heading>
            <subsection eId="part-4__dvs-2__sec-43__subsec-1">
              <num>1</num>
              <content>
                <p><role refersTo="#ceo">The CEO</role> may resign <role refersTo="#ceo">the CEO</role>’s appointment by giving the Board a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-43__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on the day it is received by the Board or, if a later day is specified in the resignation, on that later day.</p>
              </content>
            </subsection>
            <subsection eId="part-4__dvs-2__sec-43__subsec-3">
              <num>3</num>
              <content>
                <p>If <role refersTo="#ceo">the CEO</role> resigns under this section, the Chair must notify <role refersTo="#minister">the Minister</role> of the resignation.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-4__dvs-2__sec-44">
            <num>44</num>
            <heading>Termination of appointment</heading>
            <subsection eId="part-4__dvs-2__sec-44__subsec-1">
              <num>1</num>
              <content>
                <p>The Board may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>
              </content>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>for misbehaviour; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role> is unable to perform the duties of <role refersTo="#ceo">the CEO</role>’s office because of physical or mental incapacity; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role>:</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>becomes bankrupt; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-iii">
                <num>iii</num>
                <content>
                  <p>compounds with <role refersTo="#ceo">the CEO</role>’s creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-iv">
                <num>iv</num>
                <content>
                  <p>makes an assignment of <role refersTo="#ceo">the CEO</role>’s remuneration for the benefit of <role refersTo="#ceo">the CEO</role>’s creditors; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role> is absent, except on leave of absence, for 14 consecutive days or for 28 days in any 12 months; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-4__dvs-2__sec-44__subsec-1__para-e">
                <num>e</num>
                <content>
                  <p>if <role refersTo="#ceo">the CEO</role> engages, except with the Chair’s approval, in paid work outside the duties of <role refersTo="#ceo">the CEO</role>’s office (see section 41); or</p>
                </content>
              </paragraph>

            <p>This Part deals with miscellaneous matters, including additional requirements for <role refersTo="#authority">the Authority</role>’s corporate plan, reviewing the operation of the Act and the power to make rules.</p>

          <heading>Corporate plan</heading>
          <content>
            <p>		In preparing or varying a corporate plan under <i>Public Governance, Performance and Accountability Act 2013</i>, the Board must consult with:<ref href="#sec-35">section 35</ref> of the </p>

          <paragraph eId="part-5__sec-48__para-a">
            <num>a</num>
            <content>
              <p><role refersTo="#minister">the Minister</role>; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-5__sec-48__para-b">

              <p>such of the following as it considers appropriate:</p>

          </paragraph>
          <paragraph eId="part-5__sec-48__para-i">
            <num>i</num>

              <p>government, commercial, industrial, consumer and other relevant bodies and organisations;</p>

              <p>investors in infrastructure and owners of infrastructure.</p>

          </paragraph>
        </section>
        <section eId="part-5__sec-49">

          <heading>Review of this Act</heading>
          <subsection eId="part-5__sec-49__subsec-1">
            <num>1</num>
            <content>
              <p>At least once every 10 years, <role refersTo="#minister">the Minister</role> must cause a review of the operation of this Act and the rules to be undertaken.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-49__subsec-2">
            <num>2</num>
            <content>
              <p>The persons undertaking the review must give <role refersTo="#minister">the Minister</role> a written report of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-5__sec-49__subsec-3">
            <num>3</num>
            <content>
              <p><role refersTo="#minister">The Minister</role> must cause a copy of the report of the review to be tabled in each House of the Parliament within 15 sitting days of that House after the report is given to <role refersTo="#minister">the Minister</role>.</p>

          </subsection>
        </section>

          <num>50</num>
          <heading>Rules</heading>
          <subsection eId="part-5__sec-50__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The Minister<i> </i>may, by legislative instrument, make rules prescribing matters:</p>
            </content>
            <paragraph eId="part-5__sec-50__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed by the rules; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-50__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-5__sec-50__subsec-2">
            <num>2</num>
            <content>
              <p>To avoid doubt, the rules may not do the following:</p>
            </content>
            <paragraph eId="part-5__sec-50__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="part-5__sec-50__subsec-2__para-b">

                <p>provide powers of:</p>
