              <p>Note 2:	This Division provides that a person may sign a document in physical form or electronic form: see subsection 110A(1).</p>

              <p>Other ways of signing documents not limited</p>
              <p>Note:	For example, a company’s constitution may set out ways in which a document (including a deed) may be executed or signed in addition to the ways a document (including a deed) may be executed in accordance with sections 126 and 127 or signed in accordance with this Division.</p>

                <p>This Division applies to a document (including a deed) to be signed by a person:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110__para-a">
              <num>a</num>
              <content>
                <p>exercising the powers of a company under <ref href="#sec-126">section 126</ref> (making of contracts and execution of documents by an agent); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110__para-b">
              <num>b</num>
              <content>
                <p>under <ref href="#sec-127">section 127</ref> (execution of documents by a company).</p>
              </content>
            </paragraph>

              <num>2</num>
              <content>
                <p>This Division applies to a document (including a deed) required or permitted to be signed by a person under this Act that relates to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110__para-a">
              <num>a</num>
              <content>
                <p>a meeting of the members of a company or registered scheme (including a meeting of a class of members); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110__para-b">
              <num>b</num>
              <content>
                <p>a resolution to be considered by the directors or members of a company (including a resolution to be considered by a class of members of a company) without a meeting; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110__para-c">
              <num>c</num>
              <content>
                <p>a meeting of the directors of a company (including a meeting of a committee of directors).</p>
              </content>
            </paragraph>

                <p>This Division applies to a document (including a deed) required or permitted to be signed by a person under this Act if the document is, or is in a class of documents that is, prescribed by regulations made for the purposes of this subsection.</p>

                <p>This Division does not limit the ways in which a person may sign a document (including a deed).</p>
              </content>

          <hcontainer name="clause" eId="schedule-1__clause-110A">
            <num>110A</num>
            <heading>Technology neutral signing</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-110A__subclause-1">
              <num>1</num>
              <content>
                <p>A person may sign a document to which this Division applies:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>by signing a physical form of the document by hand; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>by signing an electronic form of the document using electronic means;</p>
              </content>
            </paragraph>
            <content>
              <p>if the method of signing satisfies subsection (2).</p>
              <p>Note:	A document (including a deed) may be executed by or on behalf of a company without the use of paper, parchment or vellum: see subsections 126(6) and 127(3A).</p>
              <p>What information the intention must cover</p>
              <p>Note:	This subsection allows minor differences that arise from the way a document is signed to be disregarded. For example, a person can sign to witness the fixing of a common seal to a document, and it is not necessary for the signed document to include the common seal (as long as a method is used to indicate that the person observed the fixing of the seal, as required by paragraph 127(2A)(c)).</p>
              <p>Avoidance of doubt</p>
              <p>Note:	For example, a company may execute a document by one director signing a physical form of the document by hand, and another director signing an electronic form of the document by electronic means.</p>
              <p>Persons signing in different capacities</p>
              <p>Example 1:	If a signature block in a document requires or permits a person to sign once as the sole director and sole company secretary of a company, the person may sign the document as the sole director and sole company secretary by signing that signature block.</p>
              <p>Example 2:	If a signature block in a document requires or permits a person to sign once on behalf of 2 companies as an agent for both those companies, the person may sign the document as an agent for both those companies by signing that signature block.</p>
              <p>Example 3:	A person who is to sign a document in their capacity as the director of one company and their capacity as the company secretary of another company must sign the document twice if:</p>

              <num>2</num>
              <content>
                <p>A method of signing satisfies this subsection if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>the method identifies the person and indicates the person’s intention in respect of the information recorded in the document; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>the method was either:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-i">
              <num>i</num>
              <content>
                <p>as reliable as appropriate for the purpose for which the information was recorded, in light of all the circumstances, including any relevant agreement; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-ii">
              <num>ii</num>
              <content>
                <p>proven in fact to have fulfilled the functions described in paragraph (a), by itself or together with further evidence.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-110A__subclause-3">
              <num>3</num>
              <content>
                <p>For the purposes of paragraph (2)(a), the person is not required to indicate an intention in relation to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>any material identifying another person signing the document or indicating another person’s intention in respect of the information recorded; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>the signature of another person signing the document; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-c">
              <num>c</num>
              <content>
                <p><i>	</i>(c)	if a common seal is fixed to the document—the seal; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-d">
              <num>d</num>
              <content>
                <p><i>	</i>(d)	any immaterial information in a form of the document generated for the purposes of signing and which arises in the normal course of communication, storage or display.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-110A__subclause-4">
              <num>4</num>
              <content>
                <p>	(4)	To avoid doubt, this section does <i>not</i> require:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>a person to sign the same form of the document as another person; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>a person to sign the same page of the document as another person; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-c">
              <num>c</num>
              <content>
                <p>a person to use the same method to sign the document as another person; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-d">
              <num>d</num>
              <content>
                <p>all the information recorded in the document to be included in the form of the document signed by a person as mentioned in paragraph (1)(a) or (b).</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-110A__subclause-5">
              <num>5</num>
              <content>
                <p>For the purposes of this section, a person who is to sign a document in more than one capacity:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>is treated as a different person in each such capacity they sign the document; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>may sign the document in some or all of those capacities by signing the document once, if the document:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-i">
              <num>i</num>
              <content>
                <p>requires or permits the person to do so; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-ii">
              <num>ii</num>
              <content>
                <p>states the capacities in which the person is signing the document.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-a">
              <num>a</num>
              <content>
                <p>one signature block in the document requires or permits the person to sign as the director of the first company; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110A__para-b">
              <num>b</num>
              <content>
                <p>another signature block in the document requires or permits the person to sign as the company secretary of the second company.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-110B">
            <num>110B</num>
            <heading>Lodgement of documents</heading>
            <content>
              <p>If:</p>
              <p>ASIC or <role refersTo="#registrar">the Registrar</role> (as the case requires) must not refuse to receive or register the document on the basis that the document has not been signed.</p>
            </content>
            <paragraph eId="schedule-1__clause-110B__para-a">
              <num>a</num>
              <content>
                <p>under this Act, the signature of a person is required or permitted on a document; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110B__para-b">
              <num>b</num>
              <content>
                <p>the person signs the document in accordance with <ref href="#sec-110A">section 110A</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-110B__para-c">
              <num>c</num>
              <content>
                <p>the person or another person submits the document for lodgement;</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-1__clause-2">
            <num>2</num>
            <heading>Paragraph 7 of the Small Business Guide in Part 1.5</heading>
            <content>
              <p>After “company’s power to sign, discharge and otherwise deal with contracts”, insert “, or execute documents,”.</p>
            </content>
          </hcontainer>

            <heading>Paragraph 7 of the Small Business Guide in Part 1.5</heading>
            <content>
              <p>Omit:</p>
              <p>•	for a company with a sole director who is also the sole secretary—that director.</p>
              <p>substitute:</p>
              <p>•	for a company with a sole director who is also the sole secretary—that director; or</p>
              <p>•	for a company with a sole director and no company secretary—that director.</p>

            <heading>Section 126</heading>
            <content>
              <p>Repeal the section, substitute:</p>
            </content>

            <num>126</num>
            <heading>Agent exercising a company’s power to make contracts and execute documents (including deeds)</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-1">
              <num>1</num>
              <content>
                <p>A company’s power to make, vary, ratify or discharge a contract, or execute a document (including a deed), may be exercised by an individual acting with the company’s express or implied authority and on behalf of the company.</p>
              </content>
            </hcontainer>
            <content>
              <p>Note 1:	If a company executes a document in this way, people will be able to rely on the assumptions in subsection 129(3) for dealings in relation to the company.</p>
              <p>Note 2:	For provisions about technology neutral signing, see <ref href="#dvs-1">Division 1</ref> of <ref href="#part-1">Part 1</ref>.2AA.</p>
              <p>Note:	An effect of paragraph (b) of this subsection is that, despite any common law rule, the document may be executed without the use of paper, parchment or vellum.</p>
              <p>Note:	For example, a company’s constitution may set out other ways in which a document (including a deed) may be executed.</p>

                <p>The power may be exercised without using a common seal.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-3">
              <num>3</num>
              <content>
                <p>This section does not affect the operation of a law that requires a particular procedure to be complied with in relation to the contract or document (including a deed), other than to the extent that the law is inconsistent with this section.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-4">
              <num>4</num>
              <content>
                <p>The individual mentioned in subsection (1) need not be appointed by a deed.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-5">
              <num>5</num>
              <content>
                <p>In exercising the company’s powers in accordance with subsection (1), the individual may execute a document as a deed if the document is expressed to be executed as a deed.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-6">
              <num>6</num>
              <content>
                <p>In exercising the company’s powers in accordance with subsection (1), the individual may execute a document as a deed:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-126__para-a">
              <num>a</num>
              <content>
                <p>without that execution being witnessed; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-126__para-b">
              <num>b</num>
              <content>
                <p>regardless of whether the document signed by the individual is in physical form or electronic form.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-7">
              <num>7</num>
              <content>
                <p>Delivery is not necessary if the individual executes a document as a deed in the exercise of the company’s powers in accordance with subsection (1).</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-126__subclause-8">
              <num>8</num>
              <content>
                <p>This section does not limit the ways in which the individual may execute a document (including a deed).</p>
              </content>
            </hcontainer>
          </hcontainer>

            <heading>Paragraph 127(1)(c)</heading>
            <content>
              <p>Repeal the paragraph, substitute:</p>

                <p>for a proprietary company that has a sole director—that director, if:</p>
              </content>
            </paragraph>

                <p>the person observes, by electronic means or by being physically present, the fixing of the seal; and</p>

                <p>the sender is required or permitted under this Act to send the document by a particular day; and</p>
              </content>

                <p>the sender receives notice of the election from the recipient on or after the day that is 30 days immediately before the day mentioned in paragraph (a) of this subsection.</p>

            <heading>Failure to comply with member’s election to be sent document in particular form</heading>

            <paragraph eId="schedule-2__clause-110F__para-a">
              <num>a</num>

                <p>an election by the recipient to be sent documents by the sender in physical form or electronic form is in force in relation to a document under <ref href="#sec-110E">section 110E</ref>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-110F__para-b">
              <num>b</num>
              <content>
                <p>the sender sends the document to the recipient in a manner that does not comply with the election; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-110F__para-c">
              <num>c</num>
              <content>
                <p>no determination is in force under <ref href="#sec-1345">section 1345</ref> allowing the document to be sent by the sender in that manner (see subsections 1345(2) and (3A)).</p>

            </paragraph>

                <p>The sender contravenes this subsection if the sender does not take reasonable steps to send the document in a manner that complies with the election:</p>

                <p>unless paragraph (b) applies—before, or within a reasonable time after, sending the document as mentioned in paragraph (1)(b); or</p>

                <p>if the sender is required or permitted under this Act to send the document to the recipient by a particular time—by that time.</p>

              <p>Effect of contravention</p>
              <p>Note:	In particular, the validity of the sending of the document as mentioned in paragraph (1)(b) is not affected. Regardless of any contravention of subsection (2), if the sender is required under another provision of this Act to send a document to which this Division applies, that requirement is met if the document is sent in accordance with <ref href="#sec-110D">section 110D</ref> and in accordance with any timing requirements under that other provision.</p>

                <p>an election by the recipient not to be sent documents from the sender is in force in relation to a document under <ref href="#sec-110E">section 110E</ref>; and</p>

                <p>the sender sends the document to the recipient, other than in the manner mentioned in paragraph 110D(1)(e).</p>

            </paragraph>

                <p>an election under <ref href="#sec-110E">section 110E</ref> not to be sent documents is in force in relation to the document.</p>

                <p>For the purposes of the provision mentioned in paragraph (1)(a) of this section:</p>

                <p>the recipient is taken to receive the document when it is taken to be sent under paragraph (a) of this subsection.</p>

            </paragraph>

            <heading>Ad hoc requests to be sent documents in a particular form</heading>

                <p>the recipient is covered by subsection (3); and</p>

                <p>the recipient requests (whether or not in writing) the sender to send a particular document to which this Part applies to the recipient in physical form, or in electronic form; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-110J__para-c">
              <num>c</num>
              <content>
                <p>either:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-110J__para-i">
              <num>i</num>

                <p>the sender is required or permitted under this Act to send the document to the recipient by a particular time; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-110J__para-ii">
              <num>ii</num>
              <content>
                <p>if subparagraph (i) does not apply—the sender has sent the document to the recipient in a manner that would not comply with the request; and</p>

                <p>no determination is in force under <ref href="#sec-1345">section 1345</ref> allowing the document to be sent by the sender in a manner that would not comply with the request (see subsections 1345(2) and (3A)).</p>

                <p>The sender must take reasonable steps to send the document to the recipient in a manner that complies with the request by the later of the following:</p>

                <p>3 business days after the day on which the sender received the request;</p>
              </content>
            </paragraph>

                <p>if the sender is required or permitted under this Act to send the document by a particular time—that time.</p>
              </content>
            </paragraph>
            <content>
              <p>Note:	A determination under <ref href="#sec-1345">section 1345</ref> may extend the time within which a document is required to be sent by the sender to the recipient.</p>

                <p>The recipient is covered by this subsection if:</p>

            </paragraph>

                <p>where the sender is the responsible entity of a registered scheme—the recipient is a member of the scheme; or</p>
              </content>
            </paragraph>

                <p>where the sender is a disclosing entity mentioned in subsection 111AC(1)—the recipient is a member of the disclosing entity; or</p>

            <heading>Transitional—elections to receive annual reports in particular form</heading>

              <num>1</num>
              <content>
                <p>This section applies to an election, by a member to receive reports from a company, registered scheme or disclosing entity in hard copy or as an electronic copy, that is in force under subsection 314(1AB) of this Act immediately before the day Schedule 2 to the amending Act commences.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687E__subclause-2">
              <num>2</num>
              <content>
                <p>Despite the repeal of that subsection by that Schedule, the election continues in force on and after that day as if it were an election under <ref href="#sec-110E">section 110E</ref> of this Act, as inserted by that Schedule, to be sent such reports:</p>

            <paragraph eId="schedule-2__clause-1687E__para-a">
              <num>a</num>
              <content>
                <p>for an election to receive in hard copy—in physical form; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687E__para-b">
              <num>b</num>
              <content>
                <p>for an election to receive as an electronic copy—in electronic form.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-1687F">
            <num>1687F</num>
            <heading>Transitional—elections not to be sent annual reports</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-1687F__subclause-1">
              <num>1</num>
              <content>
                <p>This section applies if a request of a member for a company, registered scheme or disclosing entity not to send them material required by <ref href="#sec-314">section 314</ref> of this Act is in force under subsection 316(1) of this Act immediately before the day Schedule 2 to the amending Act commences.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687F__subclause-2">
              <num>2</num>
              <content>
                <p>Despite the amendment of that subsection by that Schedule, the request continues in force on and after that day as if it were an election under <ref href="#sec-110E">section 110E</ref> of this Act not to be sent:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-1687F__para-a">
              <num>a</num>
              <content>
                <p>in the case of a standing request—the documents comprising that material; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687F__para-b">
              <num>b</num>
              <content>
                <p>in the case of a request for a particular financial year—the documents comprising that material in relation to that financial year.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-1687G">
            <num>1687G</num>
            <heading>Transitional—requests for full reports</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-1687G__subclause-1">
              <num>1</num>
              <content>
                <p>This section applies if a request of a member for a company, registered scheme or disclosing entity to send them a full financial report and the director’s report and auditor’s report is in force under subsection 316(1) of this Act immediately before the day Schedule 2 to the amending Act commences.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687G__subclause-2">
              <num>2</num>
              <content>
                <p>Despite the amendment of that subsection by that Schedule, the request continues in force on and after that day as if it had been made under that subsection as amended by that Schedule.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-1687H">
            <num>1687H</num>
            <heading>Transitional—other elections to be sent documents in particular form</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-1687H__subclause-1">
              <num>1</num>
              <content>
                <p><i>	</i>(1)	This section applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-1687H__para-a">
              <num>a</num>
              <content>
                <p>a member gave notice (whether or not in writing) before the day Schedule 2 to the amending Act commences to a company, the responsible entity of a registered scheme or a disclosing entity, to the effect that the member elects to be sent one or more classes of document in physical form, or in electronic form; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687H__para-b">
              <num>b</num>
              <content>
                <p>	(b)	some or all of the documents in those classes are documents to which <b><i>covered documents</i></b>); and<ref href="#dvs-2">Division 2</ref> of <ref href="#part-1">Part 1</ref>.2AA, as inserted by that Schedule, applies (the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687H__para-c">
              <num>c</num>
              <content>
                <p>the member is the recipient in relation to the covered documents under that Division and is mentioned in subsection 110E(1), as inserted by that Schedule; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687H__para-d">
              <num>d</num>
              <content>
                <p>the member had not withdrawn the election before that day; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687H__para-e">
              <num>e</num>
              <content>
                <p>the election is not an election under <ref href="#sec-253R">section 253R</ref>B, 253RC or 314 of this Act, as in force immediately before that day.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-1687H__subclause-2">
              <num>2</num>
              <content>
                <p>An election of the member under <ref href="#sec-110E">section 110E</ref>, as inserted by that Schedule, to be sent the covered documents in physical form or in electronic form (corresponding to the election mentioned in paragraph (1)(a)) is taken to be in force on and after that day.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687H__subclause-3">
              <num>3</num>
              <content>
                <p>Subsection (2) has effect subject to paragraph 110E(7)(b) (withdrawal of election).</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-1687J">
            <num>1687J</num>
            <heading>Review of operation of laws</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must cause a review to be undertaken of the operation of this Act, as in force immediately after the commencement of this section, resulting from the amendments made by:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-1687J__para-a">
              <num>a</num>
              <content>
                <p>	(a)	Schedule 1 to the <i>Treasury Laws Amendment (2021 Measures No</i><i>.</i><i> 1) Act 2021</i>; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687J__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the <i>Corporations Amendment (Meetings and Documents) Act 202</i><i>2</i>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-2">
              <num>2</num>
              <content>
                <p>	(2)	The review must be conducted no later than the earliest practicable day after the end of 2 years after the commencement of Schedule 1 to the <i>Corporations Amendment (Meetings and Documents) Act 202</i><i>2.</i></p>
              </content>
            </hcontainer>
            <content>
              <p>Note:	Paragraphs 249R(c) and 252P(c) of this Act (as inserted by Schedule 2 to the <i>Corporations Amendment (Meetings and Documents) Act 202</i><i>2</i>) cease to apply if a report is not prepared and tabled within a certain period: see section 1687K.</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-2A">
              <num>2A</num>
              <content>
                <p>The review, to the extent that it relates to sections 249R and 252P of this Act, must be conducted by an independent panel, with:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-1687J__para-a">
              <num>a</num>
              <content>
                <p>at least one member of the panel having experience in corporate governance and the role of company directors; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687J__para-b">
              <num>b</num>
              <content>
                <p>at least one member of the panel having experience advocating for corporate social responsibility; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687J__para-c">
              <num>c</num>
              <content>
                <p>at least one member of the panel having experience representing the interests of shareholders.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-3">
              <num>3</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must cause one or more written reports about the review to be prepared.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-4">
              <num>4</num>
              <content>
                <p>If there is more than one report under subsection (3), each of those reports need not deal with the operation of all the amendments mentioned in subsection (1). However, the reports as a whole must deal with all of those amendments.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-5">
              <num>5</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> must cause a copy of a report under subsection (3) to be tabled in each House of the Parliament within 15 sitting days of that House after the report is given to <role refersTo="#minister">the Minister</role>.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687J__subclause-6">
              <num>6</num>
              <content>
                <p>If a report under subsection (3) sets out recommendations, <role refersTo="#minister">the Minister</role> must cause:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-1687J__para-a">
              <num>a</num>
              <content>
                <p>a written response of the Commonwealth Government to the recommendations to be prepared; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1687J__para-b">
              <num>b</num>
              <content>
                <p>the response to be tabled in each House of the Parliament no later than the first sitting day of that House occurring 3 months or more after the day the report is first tabled in either House of the Parliament under subsection (5).</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-1687K">
            <num>1687K</num>
            <heading>Provisions relating to holding virtual-only meetings cease to have effect if report of review of operation of laws is not tabled within certain period</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-1687K__subclause-1">
              <num>1</num>
              <content>
                <p>	(1)	Paragraphs 249R(c) and 252P(c) of this Act do not apply to a meeting held after the first sitting day of a House of the Parliament to occur after the end of the period of 30 months beginning on the day Schedule 1 to the <i>Corporations Amendment (Meetings and Documents) Act 202</i><i>2</i> commences, if the Minister does not cause a report dealing with the amendments of sections 249R and 252P made by Schedule 2 to that Act to be prepared, and tabled in that House, on or before that first sitting day.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-1687K__subclause-2">
              <num>2</num>
              <content>
                <p>To avoid doubt, nothing in this section affects the validity of anything that is done, or not done, in reliance on this Act as in force before the end of that sitting day.</p>
