            <p>		This Act is the <i>National Reconstruction Fund Corporation Act 2023</i>.</p>

            <num>1</num>

              <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <heading>Object</heading>
          <content>
            <p>The object of this Act is to establish the National Reconstruction Fund Corporation to facilitate increased flows of finance into priority areas of the Australian economy.</p>
          </content>
        </section>
        <section eId="part-1__sec-4">
          <num>4</num>
          <heading>Simplified outline of this Act</heading>
          <content>
            <p>•	There is to be a National Reconstruction Fund Corporation.</p>
            <p>•	The functions of the Corporation include:</p>
          </content>
          <paragraph eId="part-1__sec-4__para-a">
            <num>a</num>
            <content>
              <p>the Corporation’s investment functions; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>to liaise with relevant persons and bodies, including other Commonwealth entities and State and Territory governments, for the purposes of facilitating the Corporation’s investment functions.</p>
            </content>
            <content>
              <p>•	There is to be a Board of the Corporation and a Chief Executive Officer of the Corporation.</p>
              <p>•	The Corporation can engage staff and consultants.</p>
              <p>•	The National Reconstruction Fund Corporation Special Account is established.</p>
              <p>•	Amounts are to be credited to the Account.</p>
              <p>•	The purpose of the Account is to make payments to the Corporation.</p>
              <p>•	The Corporation’s investment functions are:</p>

            <num>a</num>
            <content>
              <p>to provide financial accommodation for purposes relating to any of the priority areas of the Australian economy; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-4__para-b">
            <num>b</num>
            <content>
              <p>to acquire equity interests in entities that carry on activities in a priority area of the Australian economy.</p>
            </content>
            <content>
              <p>•	The Corporation may perform its investment functions itself or through subsidiaries.</p>
              <p>•	Each investment of the Corporation must be solely or mainly Australian-based.</p>
              <p>•	<role refersTo="#minister">The Minister</role> administering this Act and the Finance Minister jointly exercise various powers conferred by this Act in relation to the Corporation.</p>
              <p>•	The Corporation is bound by the Investment Mandate given to it by the Ministers.</p>

          <heading>Definitions</heading>
          <content>
            <p>In this Act:</p>
            <p><term refersTo="#term-account">Account</term> means <def>the National Reconstruction Fund Corporation Special Account established by <ref href="#sec-51">section 51</ref>.</def></p>
            <p><b><i>a</i></b><b><i>cquire</i></b><b><i> </i></b>includes:</p>
          </content>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>acquire by way of issue; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>acquire by way of formation.</p>
            </content>

                <p>Note:	Formation of a partnership involves acquiring an interest in the partnership.</p>

            </authorialNote>
            <content>
              <p><b><i>asset</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>any kind of real or personal property; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>any legal or equitable estate or interest in real or personal property; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-c">
            <num>c</num>
            <content>
              <p>any legal or equitable right.</p>
            </content>
            <content>
              <p><b><i>Australia</i></b>, when used in a geographical sense, includes the external Territories.</p>
              <p><b><i>Australia’s greenhouse gas emissions reduction targets</i></b> means:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-a">
            <num>a</num>
            <content>
              <p>if:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution was communicated in accordance with Article 4 of the Paris Agreement in June 2022; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>that nationally determined contribution has not been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement;</p>
            </content>
            <content>
              <p>		the greenhouse gas emissions reduction targets set out in paragraphs 10(1)(a) and (b) of the <i>Climate Change Act 2022</i>; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-b">
            <num>b</num>
            <content>
              <p>in any other case—the greenhouse gas emissions reduction targets included in:</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-i">
            <num>i</num>
            <content>
              <p>Australia’s current nationally determined contribution communicated in accordance with Article 4 of the Paris Agreement; or</p>
            </content>
          </paragraph>
          <paragraph eId="part-1__sec-5__para-ii">
            <num>ii</num>
            <content>
              <p>if that nationally determined contribution has been adjusted in accordance with paragraph 11 of Article 4 of the Paris Agreement—that nationally determined contribution, as adjusted and in force from time to time.</p>
            </content>
            <content>
              <p><term refersTo="#term-board">Board</term> means <def>the Board of the Corporation.</def></p>
              <p><term refersTo="#term-board-member">Board member</term> means <def>a member of the Board (and includes the Chair).</def></p>
              <p><term refersTo="#term-ceo">CEO</term> means <def>the Chief Executive Officer of the Corporation.</def></p>
              <p><term refersTo="#term-chair">Chair</term> means <def>the Chair of the Board.</def></p>
              <p><term refersTo="#term-commonwealth-entity">Commonwealth entity</term> has the same meaning as <def>in the Public Governance, Performance and Accountability Act 2013.</def></p>

              <p><term refersTo="#term-constitutional-corporation">constitutional corporation</term> means <def>a corporation to which paragraph 51(xx) of the Constitution applies. To avoid doubt, the definition of Corporation does not apply to this definition.</def></p>
              <p><term refersTo="#term-constitutionally-supported-activities">constitutionally-supported activities</term> means <def>activities covered by one or more of the following paragraphs: activities carried out with respect to constitutional trade or commerce; activities carried out with respect to the defence of Australia; activities with respect to a postal, telegraphic, telephonic or other like service (within the meaning of paragraph 51(v) of the Constitution); activities that contribute to the achievement of Australia’s obligations under the Paris Agreement; activities that contribute to the achievement of Australia’s obligations under an international agreement other than the Paris Agreement; activities with respect to the provision of medical or dental services by the Commonwealth; activities with respect to a fishery to which paragraph 51(x) of the Constitution applies; activities with respect to astronomical or meteorological observations; activities the carrying on of which would be supported by the power of the Parliament to make laws with respect to nationhood; activities carried out in a Territory; activities carried out in a Commonwealth place; activities with respect to persons, places, matters or things outside Australia.</def></p>

              <p><term refersTo="#term-designated-subsidiary-of-the-corporation">designated subsidiary of the Corporation</term> means <def>a subsidiary through which the Corporation performs any of the Corporation’s investment functions.</def></p>
              <p><b><i>entity</i></b> includes:</p>

              <p><term refersTo="#term-international-agreement">international agreement</term> means <def>an agreement whose parties are: Australia and a foreign country; or Australia and 2 or more foreign countries. <b><i>Investment Mandate</i></b>: see section 71.</def></p>

              <p><b><i>Ministers </i></b>means:</p>
            </content>
          </paragraph>

              <p><role refersTo="#minister">the Minister</role> administering this Act; and</p>

              <p><term refersTo="#term-national-security-information">national security information</term> means <def>information the publication of which is likely to prejudice national security.</def></p>
              <p><b><i>nominated Minister: </i></b>see section 86.</p>
              <p><term refersTo="#term-official-information">official information</term> means <def>information that: was obtained by a person in the person’s capacity as a Corporation official; and relates to the affairs of a person other than a Corporation official.</def></p>

              <p><b><i>priority area of the Australian economy</i></b>: see section 6.</p>
              <p><b><i>quarter</i></b>: see subsection 82(2).</p>
              <p><term refersTo="#term-realise">realise</term> includes <def>redeem or dispose of.</def></p>

                  <p>growing or improving Australia’s industrial capability; or</p>
                </content>
              </paragraph>

                  <p>improving Australian industry’s ability to pursue value-adding opportunities; or</p>
                </content>
              </paragraph>

                  <p>supporting a long-term improvement in Australia’s economic diversity; and</p>
                </content>
              </paragraph>

                  <p>the desirability of attracting private sector finance or investments into the priority areas of the Australian economy; and</p>

                  <p>Australia’s greenhouse gas emissions reduction targets and the desirability of supporting decarbonisation; and</p>

                  <p>the desirability of creating secure jobs and a skilled and adaptable workforce; and</p>

                <p>In performing its functions, the Board must have regard to the desirability of encouraging and improving economic participation by historically underrepresented groups, including:</p>
              </content>
              <paragraph eId="part-3__dvs-2__sec-17__subsec-4__para-a">
                <num>a</num>
                <content>
                  <p>women; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-17__subsec-4__para-b">

                  <p>First Nations Australians; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-2__sec-17__subsec-4__para-c">

                  <p>people with a disability; and</p>

              <paragraph eId="part-3__dvs-2__sec-17__subsec-4__para-d">

          <heading>Board Members</heading>

            <heading>Membership</heading>

              <p>The Board consists of:</p>
            </content>

              <num>a</num>

                <p>the Chair; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-18__para-b">
              <num>b</num>

                <p>at least 6, and no more than 8, other members.</p>

            <heading>Appointment of Board members</heading>

                <p>Board members are to be appointed:</p>

                  <p>by the Ministers by written instrument; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>on a part-time basis.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-2">
              <num>2</num>
              <content>
                <p>A person is not eligible for appointment as a Board member unless the Ministers are satisfied that the person has:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>substantial experience or expertise; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>professional credibility and significant standing;</p>
                </content>
                <content>
                  <p>in at least one of the following fields:</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>banking and finance;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-d">

                  <p>venture capital, private equity or investment by way of lending or provision of credit;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-e">

                  <p>economics;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-f">

                  <p>government funding programs or bodies;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-g">
                <num>g</num>
                <content>
                  <p>accounting;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-h">
                <num>h</num>

                  <p>law;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-i">

                  <p>a priority area of the Australian economy;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-j">
                <num>j</num>
                <content>
                  <p>industrial relations;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-k">
                <num>k</num>
                <content>
                  <p>industry growth;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-ka">
                <num>ka</num>
                <content>
                  <p>the commercialisation of innovative research;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-2__para-l">
                <num>l</num>
                <content>
                  <p>any other field that the Ministers consider appropriate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-2A">
              <num>2A</num>
              <content>
                <p>In appointing members, the Ministers must ensure that the Board members collectively have an appropriate balance of experience or expertise, professional credibility and significant standing in the fields mentioned in subsection (2).</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-19__subsec-3">
              <num>3</num>
              <content>
                <p>The following persons are not eligible for appointment as a Board member:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>an employee of the Commonwealth;</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-19__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the holder of a full-time office under a law of the Commonwealth.</p>
                </content>
              </paragraph>
            </subsection>
          </section>

            <heading>Chair</heading>
            <content>
              <p>The Ministers must, by writing, appoint one Board member to be the Chair.</p>
            </content>
          </section>
          <section eId="part-3__dvs-3__sec-21">
            <num>21</num>
            <heading>Term of appointment</heading>
            <content>
              <p>A Board member holds office for the period specified in the instrument of appointment. The period must not be more than 4 years.</p>

                  <p>during a vacancy in the office of Chair (whether or not an appointment has previously been made to the office); or</p>
                </content>

                  <p>during any period, or during all periods, when the Chair:</p>
                </content>
              </paragraph>

                  <p>is absent from duty or from Australia; or</p>
                </content>
              </paragraph>

            <heading>Remuneration</heading>
            <subsection eId="part-3__dvs-3__sec-23__subsec-1">
              <num>1</num>

                <p>A Board member is to be paid the remuneration that is determined by the Remuneration Tribunal. If no determination of that remuneration by the Tribunal is in operation, the member is to be paid the remuneration that is prescribed by the rules.</p>
              </content>
            </subsection>

                <p>A Board member is to be paid the allowances that are prescribed by the rules.</p>

            </subsection>

            <heading>Leave of absence</heading>

                <p>The nominated Minister may grant leave of absence to the Chair on the terms and conditions that the nominated Minister determines.</p>

                <p>Other Board members</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-24__subsec-2">
              <num>2</num>
              <content>
                <p>The Chair may grant leave of absence to another Board member on the terms and conditions that the Chair determines.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-24__subsec-3">
              <num>3</num>
              <content>
                <p>The Chair must notify the Ministers if the Chair grants a Board member leave of absence for a period that exceeds 3 months.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-25">
            <num>25</num>
            <heading>Resignation of Board members</heading>
            <subsection eId="part-3__dvs-3__sec-25__subsec-1">
              <num>1</num>
              <content>
                <p>A Board member may resign the member’s appointment by giving the Ministers a written resignation.</p>
              </content>
            </subsection>
            <subsection eId="part-3__dvs-3__sec-25__subsec-2">
              <num>2</num>
              <content>
                <p>The resignation takes effect on:</p>
              </content>
              <paragraph eId="part-3__dvs-3__sec-25__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the day it is received by the Ministers (or if the Ministers receive it on different days, the later of those days); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-3__dvs-3__sec-25__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>if a later day is specified in the resignation—on that later day.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-3__dvs-3__sec-26">
            <num>26</num>
            <heading>Termination of appointment of Board members</heading>
            <content>
              <p>The Ministers may terminate the appointment of a Board member:</p>
            </content>
            <paragraph eId="part-3__dvs-3__sec-26__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-b">
              <num>b</num>
              <content>
                <p>if the member is unable to perform the duties of the member’s office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-c">
              <num>c</num>
              <content>
                <p>if the member:</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-i">
              <num>i</num>
              <content>
                <p>becomes bankrupt; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-ii">
              <num>ii</num>
              <content>
                <p>applies to take the benefit of any law for the relief of bankrupt or insolvent debtors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-iii">
              <num>iii</num>
              <content>
                <p>compounds with the member’s creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-iv">
              <num>iv</num>

                <p>makes an assignment of the member’s remuneration for the benefit of the member’s creditors; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-3__dvs-3__sec-26__para-d">

                <p>if the member is absent, except on leave of absence, from 3 consecutive meetings of the Board.</p>

                <p>The person presiding at a meeting has a deliberative vote and, in the event of an equality of votes, a casting vote.</p>

                <p>The Board is taken to have made a decision at a meeting if:</p>

                  <p>without meeting, a majority of the Board members entitled to vote on the proposed decision indicate agreement with the decision; and</p>
                </content>

                  <p>that agreement is indicated in accordance with the method determined by the Board under subsection (2); and</p>

                  <p>all the Board members were informed of the proposed decision, or reasonable efforts were made to inform all the members of the proposed decision.</p>

                <p>during any period, or during all periods, when <role refersTo="#ceo">the CEO</role>:</p>

                <p>is absent from duty or from Australia; or</p>
              </content>
            </paragraph>

                </content>
              </paragraph>

                  <p>a body established for a public purpose by a law of the Commonwealth;</p>
                </content>
                <content>
                  <p>for the services of officers or employees of the Agency or body to be made available to the Corporation.</p>

                <p>The Corporation may enter into an arrangement with the appropriate authority of a State or Territory for the services of:</p>

                  <p>officers or employees of the Public Service of the State or Territory; or</p>
                </content>
              </paragraph>

                </content>

                  <p>to be made available to the Corporation.</p>

            <heading>Corporation’s request for a payment for itself</heading>
            <subsection eId="part-5__dvs-2__sec-54__subsec-1">
              <num>1</num>

                <p>The Corporation may request a payment by the Commonwealth of a specified amount:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-54__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>to meet liabilities or expenses of the Corporation:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-54__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>that are already due; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-54__subsec-1__para-ii">

                  <p>that will, or that are expected to, become due during the period specified in the request; or</p>

                  <p>so that the total balance of the Corporation’s bank account or accounts is at least the operating balance.</p>

                <p>The Corporation’s request must:</p>
              </content>

                  <p>be in writing; and</p>
                </content>

              <paragraph eId="part-5__dvs-2__sec-54__subsec-2__para-b">

                  <p>specify:</p>

                  <p>the liabilities or expenses the payment is to meet; or</p>

                  <p>the amount by which the Corporation’s bank balance falls short of the operating balance; and</p>

                  <p>be in accordance with the agreement under <ref href="#sec-56">section 56</ref>.</p>

                <p>The Corporation must not request a payment under subsection (1) of an amount that would exceed the uncommitted balance of the Account at the time the request is made.</p>

            <heading>Nominated Minister’s authorisation of payment to Corporation</heading>

                <p>As soon as practicable after a request is made under <ref href="#sec-54">section 54</ref>, the nominated Minister must:</p>
              </content>
              <paragraph eId="part-5__dvs-2__sec-55__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>determine whether the request is in accordance with the agreement under <ref href="#sec-56">section 56</ref>; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-2__sec-55__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>if satisfied that it is—give written authorisation for the requested payment.</p>
                </content>
              </paragraph>

                <p>If the nominated Minister gives written authorisation for the requested payment, the Commonwealth must, as soon as practicable, pay the authorised amount to the Corporation.</p>

                  <p>in performing the Corporation’s investment functions; and</p>

              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-57__subsec-2__para-b">

                <content>
                  <p>in exercising the Corporation’s investment powers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-57__subsec-2__para-c">
                <num>c</num>
                <content>
                  <p>in paying or discharging the costs, expenses and other obligations incurred by the Corporation in the performance of the Corporation’s functions; and</p>
                </content>
              </paragraph>

                <content>
                  <p>in paying any remuneration and allowances payable to any person under this Act; and</p>
                </content>

                  <p>in making payments to the Commonwealth under <ref href="#sec-58">section 58</ref>.</p>

              <paragraph eId="part-5__dvs-3__sec-58__subsec-1__para-b">

                  <p>any wholly-owned subsidiaries of the Corporation;</p>
                </content>
                <content>
                  <p>exceeds:</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-58__subsec-1__para-c">

                <content>
                  <p>$20 million; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-5__dvs-3__sec-58__subsec-1__para-d">

                  <p>if the rules prescribe a different amount—the prescribed amount;</p>

                  <p>the Ministers may, in writing:</p>

                  <p>direct the Corporation to pay to the Commonwealth an amount equal to the excess; or</p>

                  <p>direct the Corporation to pay to the Commonwealth an amount equal to a specified part of the excess.</p>

                <p>The Corporation must not borrow money for a purpose in connection with the Corporation’s investment functions unless the borrowing is authorised:</p>

                  <p>by subsection (2) or (3); or</p>
                </content>
              </paragraph>

                  <p>the purpose of the borrowing is to enable the Corporation to cover settlement of a transaction in connection with the Corporation’s functions; and</p>

                  <p>at the time the decision was made to enter into the transaction, it was likely that the borrowing would not be needed; and</p>

                  <p>the period of the borrowing does not exceed 7 days.</p>
                </content>
              </paragraph>

                <p>The Corporation is authorised to borrow money for a purpose in connection with the Corporation’s functions if the borrowing takes place in the circumstances (if any) prescribed by the rules.</p>

                  <p>to provide financial accommodation to entities (other than constitutional corporations, States or Territories) or individuals, where the financial accommodation satisfies the following conditions:</p>

                  <p>the financial accommodation is for purposes relating to any of the priority areas of the Australian economy;</p>

                  <p>the financial accommodation assists the entity or individual in carrying out constitutionally-supported activities; and</p>

                  <p>to acquire equity interests in entities that satisfy the following conditions:</p>
                </content>
              </paragraph>

                <num>i</num>
                <content>
                  <p>any of the entity’s activities are in a priority area of the Australian economy;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>all of the entity’s activities are constitutionally-supported activities; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-1__para-d">
                <num>d</num>

                  <p>to provide financial accommodation to the States and Territories, where the financial accommodation satisfies the following conditions:</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-1__para-i">
                <num>i</num>
                <content>
                  <p>the financial accommodation is for purposes relating to any of the priority areas of the Australian economy;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-1__para-ii">
                <num>ii</num>
                <content>
                  <p>the financial accommodation is provided by way of the grant of financial assistance to the State or Territory.</p>
                </content>
                <content>
                  <p>Subsidiaries</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-2">
              <num>2</num>
              <content>
                <p>The Corporation may perform its investment functions itself or through subsidiaries.</p>
              </content>
              <content>
                <p>Prohibited investments</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-3">
              <num>3</num>
              <content>
                <p>An investment of a Corporation body must not:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>directly finance the extraction of coal or natural gas; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>directly finance the construction of pipeline infrastructure primarily for the extraction of natural gas; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-63__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>directly finance the logging of native forests.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-63__subsec-4">
              <num>4</num>
              <content>
                <p>In this section:</p>
              </content>
              <content>
                <p><b><i>native forest</i></b> does not include a plantation.</p>
                <p><b><i>plantation</i></b> means an intensively managed stand of trees that is created by the regular placement of seedlings or seed.</p>

            <heading>Terms and conditions of financial accommodation provided to a constitutional corporation</heading>
            <subsection eId="part-6__dvs-2__sec-64__subsec-1">

                <p>This section applies to financial accommodation provided to a constitutional corporation by a Corporation body.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-64__subsec-2">
              <num>2</num>
              <content>
                <p>The terms and conditions on which that financial accommodation is provided must be set out in a written agreement between the Corporation body and the constitutional corporation.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-64__subsec-3">
              <num>3</num>
              <content>
                <p>The constitutional corporation must comply with the terms and conditions.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-65">

            <heading>Terms and conditions of financial accommodation provided to an entity (other than a constitutional corporation, a State or a Territory) or an individual</heading>

                <p>This section applies to financial accommodation provided to an entity (other than a constitutional corporation, a State or a Territory) or an individual by a Corporation body.</p>

                <p>The terms and conditions on which that financial accommodation is provided must be set out in a written agreement between the Corporation body and the entity or individual.</p>
              </content>
            </subsection>

              <content>
                <p>The entity or individual must comply with the terms and conditions.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-66">

            <heading>Terms and conditions of financial accommodation provided to a State or Territory</heading>
            <subsection eId="part-6__dvs-2__sec-66__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies to financial accommodation provided to a State or Territory by a Corporation body.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-66__subsec-2">
              <num>2</num>
              <content>
                <p>The terms and conditions on which that financial accommodation is provided must be set out in a written agreement between the Corporation body and the State or Territory.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-67">
            <num>67</num>
            <heading>A Corporation body may realise, or otherwise deal with, investments</heading>
            <content>
              <p>A Corporation body may realise, or otherwise deal with, an investment of the Corporation body.</p>
            </content>
          </section>
          <section eId="part-6__dvs-2__sec-68">
            <num>68</num>
            <heading>A Corporation body must realise equity interests in certain circumstances</heading>
            <subsection eId="part-6__dvs-2__sec-68__subsec-1">
              <num>1</num>
              <content>
                <p>This section applies if:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>a Corporation body holds one or more equity interests in an entity; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>the Corporation body becomes aware of the fact that one or more of the activities of the entity are not constitutionally-supported activities.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-68__subsec-2">
              <num>2</num>
              <content>
                <p>The Corporation body must:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>realise the equity interests; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-68__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>do so as soon as reasonably practicable in the circumstances after the Corporation body becomes aware of the fact.</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-69">
            <num>69</num>
            <heading>Investments of Corporation bodies to be solely or mainly Australian-based</heading>
            <subsection eId="part-6__dvs-2__sec-69__subsec-1">
              <num>1</num>
              <content>
                <p>The Board must take all reasonable steps to ensure that each investment of a Corporation body is at all times solely or mainly Australian-based.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-2">
              <num>2</num>
              <content>
                <p>As soon as practicable after the Board becomes aware that an investment of a Corporation body has ceased to be, or never was, solely or mainly Australian-based, the Board must give the Ministers a written statement:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-69__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>informing the Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-69__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>setting out the action that the Board proposes to take in order to ensure that all investments of the Corporation body are solely or mainly Australian-based.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-3">
              <num>3</num>
              <content>
                <p>If the Ministers are satisfied that an investment of a Corporation body has ceased to be, or was never, solely or mainly Australian-based, the Ministers may (whether or not the Board has given the Ministers a statement under subsection (2)), by written notice given to the Board, direct the Board:</p>
              </content>
              <paragraph eId="part-6__dvs-2__sec-69__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>to give the Ministers, within a period specified in the notice, a written explanation; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-2__sec-69__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>to take action specified in the notice, within a period specified in the notice, in order to ensure that all investments of the Corporation body are solely or mainly Australian-based.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-4">
              <num>4</num>
              <content>
                <p>The Board must comply with a direction under subsection (3).</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-5">
              <num>5</num>
              <content>
                <p>The fact that an investment of a Corporation body has ceased to be, or never was, solely or mainly Australian-based, does not affect the validity of any transaction.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-69__subsec-6">
              <num>6</num>
              <content>
                <p>A direction under subsection (3) is not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-2__sec-70">
            <num>70</num>
            <heading>When an investment of a Corporation body is solely or mainly Australian-based</heading>
            <subsection eId="part-6__dvs-2__sec-70__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	An investment of a Corporation body is <b><i>solely or mainly Australian</i></b><b><i>-</i></b><b><i>based</i></b> if the Board is satisfied, in accordance with guidelines made under subsection (2), that the investment is solely or mainly Australian-based.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-70__subsec-2">
              <num>2</num>
              <content>
                <p>The Board must, by writing, make guidelines setting out circumstances, conditions or other matters to which the Board will have regard in satisfying itself that an investment of a Corporation body is solely or mainly Australian-based.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-70__subsec-3">
              <num>3</num>
              <content>
                <p>The guidelines must not be inconsistent with the Investment Mandate.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-70__subsec-4">
              <num>4</num>
              <content>
                <p>The Board must publish guidelines made under subsection (2) on the Corporation’s website.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-2__sec-70__subsec-5">
              <num>5</num>
              <content>
                <p>Guidelines made under subsection (2) are not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
        </division>

          <heading>Performance of investment functions etc.</heading>
          <section eId="part-6__dvs-3__sec-71">
            <num>71</num>
            <heading>Investment Mandate</heading>
            <subsection eId="part-6__dvs-3__sec-71__subsec-1">
              <num>1</num>
              <content>
                <p>	(1)	The Ministers may, by legislative instrument, give the Board directions about the performance of the Corporation’s investment functions or the exercise of the Corporation’s investment powers (or both), and must give at least one such direction. The directions together constitute the <b><i>Investment Mandate</i></b>.</p>
              </content>

                <p>In giving a direction, the Ministers must have regard to:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the object of this Act; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>any other matters the Ministers consider relevant.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-71__subsec-3">
              <num>3</num>
              <content>
                <p>Without limiting subsection (1), a direction may set out the policies to be pursued by the Corporation in relation to any or all of the following:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-a">
                <num>a</num>
                <content>
                  <p>matters of risk and return;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-b">
                <num>b</num>
                <content>
                  <p>the allocation of investments of the Corporation between the various priority areas of the Australian economy;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-c">
                <num>c</num>
                <content>
                  <p>the types of financial accommodation that may be provided to constitutional corporations by a Corporation body and the circumstances in which they may be provided;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-d">
                <num>d</num>
                <content>
                  <p>the types of constitutional corporations to which financial accommodation may be provided by a Corporation body;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-e">
                <num>e</num>
                <content>
                  <p>providing financial accommodation to constitutional corporations on concessional terms;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-f">
                <num>f</num>
                <content>
                  <p>the types of financial accommodation that may be provided to entities (other than constitutional corporations, States or Territories) or individuals by a Corporation body and the circumstances in which they may be provided;</p>
                </content>
              </paragraph>

                  <p>the types of entities (other than constitutional corporations, States or Territories) or individuals to which financial accommodation may be provided by a Corporation body;</p>

                  <p>providing financial accommodation to entities (other than constitutional corporations, States or Territories) or individuals on concessional terms;</p>

                  <p>the types of equity interests that may be acquired by a Corporation body;</p>

                  <p>the types of entities in which a Corporation body may acquire equity interests;</p>
                </content>
              </paragraph>

                  <p>acquiring equity interests on concessional terms;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-l">

                  <p>the types of financial accommodation that may be provided to the States and Territories by a Corporation body and the circumstances in which they may be provided;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-m">

                  <p>providing financial accommodation to the States and Territories on concessional terms;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-n">

                  <p>the types of derivatives which the Corporation may acquire;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-o">

                  <p>national security;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-p">
                <num>p</num>
                <content>
                  <p>broad operational matters;</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-71__subsec-3__para-q">
                <num>q</num>
                <content>
                  <p>other matters the Ministers consider appropriate to deal with in a direction under subsection (1).</p>
                </content>
              </paragraph>
            </subsection>
          </section>
          <section eId="part-6__dvs-3__sec-72">
            <num>72</num>
            <heading>Limits on Investment Mandate</heading>
            <content>
              <p>The Ministers must not give a direction under subsection 71(1):</p>
            </content>
            <paragraph eId="part-6__dvs-3__sec-72__para-a">
              <num>a</num>
              <content>
                <p>that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring a Corporation body to, or not to, make a particular provision of financial accommodation to a constitutional corporation, a State, a Territory, an entity or an individual; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__dvs-3__sec-72__para-b">
              <num>b</num>
              <content>
                <p>that has the purpose, or has or is likely to have the effect, of directly or indirectly requiring a Corporation body to, or not to, make a particular acquisition of one or more equity interests; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-6__dvs-3__sec-72__para-c">
              <num>c</num>
              <content>
                <p>that is inconsistent with this Act (including the object of this Act).</p>
              </content>
            </paragraph>
          </section>
          <section eId="part-6__dvs-3__sec-73">
            <num>73</num>
            <heading>Board to be consulted on Investment Mandate</heading>
            <subsection eId="part-6__dvs-3__sec-73__subsec-1">
              <num>1</num>
              <content>
                <p>Before giving the Board a direction under subsection 71(1), the Ministers must:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-73__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>send a draft of the direction to the Board; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-73__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>invite the Board to make a submission to the Ministers on the draft direction within a reasonable time limit specified by the Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-73__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>consider any submission that is received from the Board within that time limit.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-73__subsec-2">
              <num>2</num>
              <content>
                <p>If:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-73__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>the Ministers give the Board a direction under subsection 71(1); and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-73__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>the Board made a submission to the Ministers on a draft of the direction within the time limit specified by the Ministers;</p>
                </content>
                <content>
                  <p>the submission is to be tabled in each House of the Parliament with the direction.</p>
                </content>

            <heading>Compliance with Investment Mandate</heading>
            <subsection eId="part-6__dvs-3__sec-74__subsec-1">
              <num>1</num>
              <content>
                <p>The Board must take all reasonable steps to ensure that the Corporation and its subsidiaries comply with the Investment Mandate.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-74__subsec-2">
              <num>2</num>
              <content>
                <p>As soon as practicable after the Board becomes aware that the Corporation or one of its subsidiaries has failed to comply with the Investment Mandate, the Board must give the Ministers a written statement:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-74__subsec-2__para-a">
                <num>a</num>
                <content>
                  <p>informing the Ministers; and</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-74__subsec-2__para-b">
                <num>b</num>
                <content>
                  <p>setting out the action that the Board proposes to take in order to ensure that the Corporation or subsidiary complies with the Investment Mandate.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-74__subsec-3">
              <num>3</num>
              <content>
                <p>If the Ministers are satisfied that the Corporation or one of its subsidiaries has failed to comply with the Investment Mandate, the Ministers may (whether or not the Board has given the Ministers a statement under subsection (2)), by written notice given to the Board, direct the Board:</p>

                <num>a</num>
                <content>
                  <p>to give the Ministers, within a period specified in the notice, a written explanation; and</p>

                <content>
                  <p>to take action specified in the notice, within a period specified in the notice, in order to ensure that the Corporation or subsidiary complies with the Investment Mandate.</p>

              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-74__subsec-4">
              <num>4</num>
              <content>
                <p>The Board must comply with a direction under subsection (3).</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-74__subsec-5">
              <num>5</num>
              <content>
                <p>A failure to comply with:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-74__subsec-5__para-a">
                <num>a</num>
                <content>
                  <p>the Investment Mandate; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-74__subsec-5__para-b">
                <num>b</num>
                <content>
                  <p>a direction under subsection (3);</p>
                </content>
                <content>
                  <p>does not affect the validity of any transaction.</p>
                </content>
              </paragraph>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-74__subsec-6">

                <p>A direction under subsection (3) is not a legislative instrument.</p>

            </subsection>

                <p>The Board must ensure that the policies are consistent with the Investment Mandate.</p>

                <p>The Board must cause copies of the policies to be published on the Corporation’s website.</p>
              </content>
            </subsection>

                <p>The Board must ensure that the first policies are published as soon as practicable after the commencement of this section.</p>
              </content>
            </subsection>

                <p>The Board must conduct periodic reviews of the policies.</p>
              </content>
            </subsection>

                <p>If there is a change in the Investment Mandate, the Board must review any affected policies.</p>
              </content>
            </subsection>

                <p>A Corporation body must comply with the policies.</p>
              </content>
            </subsection>

                <p>A failure to comply with a policy does not affect the validity of any transaction.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-75__subsec-9">

                <p>A policy formulated under subsection (1) is not a legislative instrument.</p>
              </content>
            </subsection>
          </section>
          <section eId="part-6__dvs-3__sec-76">

            <heading>Guarantees</heading>
            <subsection eId="part-6__dvs-3__sec-76__subsec-1">
              <num>1</num>
              <content>
                <p>A guarantee purportedly given by the Corporation is void if, at the time the Corporation purports to give the guarantee, it would secure an amount that is more than the uncommitted balance of the Account at that time, less any liabilities of the Corporation at that time (whether actual or contingent) that are not in respect of guarantees.</p>
              </content>
            </subsection>
            <subsection eId="part-6__dvs-3__sec-76__subsec-2">
              <num>2</num>
              <content>
                <p>To avoid doubt, the guarantee is wholly void regardless of whether a part of the amount it would secure could be covered by the amount worked out in subsection (1).</p>

            </subsection>
          </section>

            <num>77</num>
            <heading>Derivatives</heading>
            <subsection eId="part-6__dvs-3__sec-77__subsec-1">
              <num>1</num>
              <content>
                <p>The Corporation may acquire a derivative for the purpose of:</p>
              </content>
              <paragraph eId="part-6__dvs-3__sec-77__subsec-1__para-a">
                <num>a</num>
                <content>
                  <p>protecting the value of an investment of the Corporation (other than a derivative); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-77__subsec-1__para-b">
                <num>b</num>
                <content>
                  <p>protecting the return on an investment of the Corporation (other than a derivative); or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-77__subsec-1__para-c">
                <num>c</num>
                <content>
                  <p>achieving indirect exposure to one or more equity interests for a purpose in connection with the Corporation’s investment functions; or</p>
                </content>
              </paragraph>
              <paragraph eId="part-6__dvs-3__sec-77__subsec-1__para-d">
                <num>d</num>
                <content>
                  <p>achieving transactional efficiency for a purpose in connection with the Corporation’s investment functions;</p>
                </content>
                <content>
                  <p>but must not acquire a derivative for the purpose of:</p>
                </content>
              </paragraph>

                  <p>speculation; or</p>
                </content>

                <p>The acquisition of a derivative under subsection (1) must be consistent with the investment strategy embodied in a policy formulated by the Board under subsection 75(1).</p>

            <p>•	This Part deals with miscellaneous matters, including responsibilities of subsidiaries, reporting obligations, disclosure of information, reviewing the operation of this Act and the power to make rules.</p>

          <heading>Incorporation or formation of subsidiaries</heading>
          <content>
            <p>The Corporation must not incorporate or otherwise form a subsidiary in a place other than Australia.</p>
          </content>
        </section>
        <section eId="part-7__sec-80">
          <num>80</num>
          <heading>Responsibilities of designated subsidiaries</heading>
          <content>
            <p>A designated subsidiary of the Corporation must:</p>
          </content>
          <paragraph eId="part-7__sec-80__para-a">
            <num>a</num>
            <content>
              <p>only provide financial accommodation to a constitutional corporation if the financial accommodation could have been provided by the Corporation; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-80__para-b">
            <num>b</num>
            <content>
              <p>only provide financial accommodation to an entity (other than a constitutional corporation, a State or a Territory) or an individual if the financial accommodation could have been provided by the Corporation; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-80__para-c">
            <num>c</num>
            <content>
              <p>only acquire an equity interest if the interest could have been acquired by the Corporation; and</p>
            </content>
          </paragraph>
          <paragraph eId="part-7__sec-80__para-d">
            <num>d</num>
            <content>
              <p>only provide financial accommodation to a State or Territory if the financial accommodation could have been provided by the Corporation; and</p>
            </content>
          </paragraph>

              <p>take all reasonable steps to comply with the Investment Mandate, to the extent to which the Investment Mandate is capable of applying to the activities of the subsidiary; and</p>

              <p>comply with policies formulated by the Board under <ref href="#sec-75">section 75</ref>, to the extent to which the policies are capable of applying to the activities of the subsidiary; and</p>

              <p>only acquire derivatives for a purpose for which the Corporation may do so under <ref href="#sec-77">section 77</ref>.</p>

          <heading>Corporation body may charge fees</heading>
          <subsection eId="part-7__sec-81__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation may charge a fee in relation to anything done in performing the Corporation’s functions.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-2">
            <num>2</num>
            <content>
              <p>A designated subsidiary of the Corporation may charge a fee in relation to anything done in performing the Corporation’s investment functions.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-81__subsec-3">
            <num>3</num>
            <content>
              <p>A fee must not be such as to amount to taxation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-82">
          <num>82</num>
          <heading>Publication of investment reports</heading>
          <subsection eId="part-7__sec-82__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation must, within one month after the end of each quarter, publish a report on its website for the quarter that sets out the following information:</p>
            </content>
            <paragraph eId="part-7__sec-82__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>if, during the quarter, a Corporation body provided financial accommodation to a constitutional corporation:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-82__subsec-1__para-i">
              <num>i</num>
              <content>
                <p>the form of the financial accommodation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-82__subsec-1__para-ii">
              <num>ii</num>
              <content>
                <p>the value or amount of the financial accommodation; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-82__subsec-1__para-iii">
              <num>iii</num>
              <content>
                <p>the place or places where the main activities of the constitutional corporation are carried out;</p>

              <p>The Ministers may publish, on the internet or in any other way the Ministers consider appropriate:</p>

                <p>a report, a document or information given to <role refersTo="#minister">the Minister</role> administering this Act by the accountable authority of the Corporation; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-83__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>a report, a document or information given to the Finance Minister by the accountable authority of the Corporation;</p>
              </content>
              <content>
                <p>under paragraph 19(1)(b) of the <i>Public Governance, Performance and Accountability Act 2013</i>.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-83__subsec-2">

              <p>The Ministers must omit from the published report, document or information any information that the Board is satisfied in accordance with subsection (3) is commercial-in-confidence.</p>

              <p>The Board may be satisfied that information is commercial-in-confidence if a person demonstrates to the Board that:</p>

              </content>
            </paragraph>

              <p>A Corporation official may disclose official information to an agency, body or person specified in subsection (2) if:</p>
            </content>

                <p>the disclosure will:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-1__para-i">
              <num>i</num>

                <p>facilitate the performance of the Corporation’s investment functions; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-1__para-ii">
              <num>ii</num>
              <content>

          </subsection>
          <subsection eId="part-7__sec-85__subsec-2">
            <num>2</num>
            <content>
              <p>For the purposes of subsection (1), the agencies, bodies and persons are the following:</p>
            </content>
            <paragraph eId="part-7__sec-85__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>a subsidiary of the Corporation;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>the Australian Bureau of Statistics;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>an APS employee in a Department;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>the government of a State or Territory;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-2__para-e">
              <num>e</num>
              <content>
                <p>a prescribed agency, body or person.</p>
              </content>
              <content>
                <p>National security information and sensitive financial intelligence information</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-85__subsec-3">
            <num>3</num>
            <content>
              <p>	(3)	A Corporation official may disclose official information<b><i> </i></b>to an agency, body or person specified in subsection (4) if:</p>
            </content>
            <paragraph eId="part-7__sec-85__subsec-3__para-a">
              <num>a</num>
              <content>
                <p>the disclosure will:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-i">
              <num>i</num>
              <content>
                <p>facilitate the performance of the Corporation’s investment functions; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-ii">
              <num>ii</num>
              <content>
                <p>enable or assist the agency, body or person to perform or exercise any of the functions or powers of the agency, body or person; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-iii">
              <num>iii</num>
              <content>
                <p>if the disclosure is to a staff member of a national security agency—enable or assist the agency to perform or exercise any of the functions or powers of the national security agency; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-b">
              <num>b</num>
              <content>
                <p>the information is:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-i">
              <num>i</num>
              <content>
                <p>national security information; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-3__para-ii">
              <num>ii</num>
              <content>
                <p>sensitive financial intelligence information.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-85__subsec-4">
            <num>4</num>
            <content>
              <p>For the purposes of subsection (3), the agencies, bodies and persons are the following:</p>
            </content>
            <paragraph eId="part-7__sec-85__subsec-4__para-a">
              <num>a</num>
              <content>
                <p>a Minister of the Commonwealth who has responsibility for national security;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-b">
              <num>b</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> administering this Act;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-c">
              <num>c</num>
              <content>
                <p>the Finance Minister;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-d">
              <num>d</num>
              <content>
                <p>a person who:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>	(i)	is a person employed, under the <i>Members of Parliament (Staff) Act 1984</i>, as a personal employee of a Minister mentioned in paragraph (a), (b) or (c); and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>holds an appropriate security clearance;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-e">
              <num>e</num>
              <content>
                <p><role refersTo="#secretary">the Secretary</role> of a Department administered by a Minister mentioned in paragraph (a), (b) or (c);</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-f">
              <num>f</num>
              <content>
                <p>a national security agency;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-g">
              <num>g</num>
              <content>
                <p>a person who:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-i">
              <num>i</num>
              <content>
                <p>is a staff member of a national security agency; and</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-ii">
              <num>ii</num>
              <content>
                <p>holds an appropriate security clearance;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-85__subsec-4__para-h">
              <num>h</num>
              <content>
                <p>a prescribed agency, body or person.</p>
              </content>
            </paragraph>
          </subsection>
        </section>
        <section eId="part-7__sec-86">
          <num>86</num>
          <heading>Nominated Minister</heading>
          <subsection eId="part-7__sec-86__subsec-1">
            <num>1</num>
            <content>
              <p>	(1)	The <b><i>nominated Minister</i></b> is the Minister administering this Act, unless a determination under subsection (2) is in force.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-86__subsec-2">
            <num>2</num>
            <content>
              <p>	(2)	The Ministers may, by writing, determine that the <b><i>nominated Minister</i></b> is the Finance Minister.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-86__subsec-3">
            <num>3</num>
            <content>
              <p>A determination under subsection (2) is not a legislative instrument.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-86__subsec-4">
            <num>4</num>
            <content>
              <p>The nominated Minister may give the other of the Ministers any information or documents obtained by the nominated Minister under this Act.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-87">
          <num>87</num>
          <heading>Delegation by nominated Minister</heading>
          <subsection eId="part-7__sec-87__subsec-1">
            <num>1</num>
            <content>
              <p>The nominated Minister may, in writing, delegate to <role refersTo="#secretary">the Secretary</role> of the Department administered by the nominated Minister the nominated Minister’s function under subsection 55(1).</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-87__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the nominated Minister.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-88">
          <num>88</num>
          <heading>Delegation by Corporation</heading>
          <subsection eId="part-7__sec-88__subsec-1">
            <num>1</num>
            <content>
              <p>The Corporation may, in writing under its seal, delegate all or any of its powers or functions under this Act to <role refersTo="#ceo">the CEO</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-88__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the Corporation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-89">
          <num>89</num>
          <heading>Delegation by Board</heading>
          <subsection eId="part-7__sec-89__subsec-1">
            <num>1</num>
            <content>
              <p>The Board may, in writing, delegate to a Board member or <role refersTo="#ceo">the CEO</role> any of its powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-89__subsec-2">
            <num>2</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation, the delegate must comply with any directions of the Board.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-90">
          <num>90</num>
          <heading>Delegation and subdelegation by CEO</heading>
          <subsection eId="part-7__sec-90__subsec-1">
            <num>1</num>
            <content>
              <p><role refersTo="#ceo">The CEO</role> may, in writing, delegate to a senior member of the staff referred to in section 46 any of <role refersTo="#ceo">the CEO</role>’s powers or functions under this Act.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-90__subsec-2">
            <num>2</num>
            <content>
              <p>If the Corporation or the Board delegates a power or function under subsection 88(1) or 89(1) to <role refersTo="#ceo">the CEO</role>, <role refersTo="#ceo">the CEO</role> may, in writing, subdelegate the power or function to a senior member of the staff referred to in section 46.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-90__subsec-3">
            <num>3</num>
            <content>
              <p>In exercising any powers or performing any functions under the delegation or subdelegation, the delegate or subdelegate must comply with any directions of <role refersTo="#ceo">the CEO</role>.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-90__subsec-4">
            <num>4</num>
            <content>
              <p>	(4)	Sections 34AA, 34AB and 34A of the <i>Acts Interpretation Act 1901</i> apply in relation to a subdelegation in a corresponding way to the way in which they apply in relation to a delegation.</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-91">
          <num>91</num>
          <heading>Periodic reviews of the operation of this Act</heading>
          <subsection eId="part-7__sec-91__subsec-1">
            <num>1</num>
            <content>
              <p>The nominated Minister must cause independent reviews to be conducted of the operation of this Act.</p>
            </content>
            <content>
              <p>Public consultation</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-2">
            <num>2</num>
            <content>
              <p>A review under subsection (1) must make provision for public consultation.</p>
            </content>
            <content>
              <p>Report</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-3">
            <num>3</num>
            <content>
              <p>The person or persons who conduct the review must give the nominated Minister a written report of the review.</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-4">
            <num>4</num>
            <content>
              <p>The nominated Minister must cause copies of a report under subsection (3) to be tabled in each House of the Parliament within 15 sitting days of that House after the review is completed.</p>
            </content>
            <content>
              <p>First review</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-5">
            <num>5</num>
            <content>
              <p>The first review under subsection (1) must be completed by <date date="2026-12-31">31 December 2026</date>.</p>
            </content>
            <content>
              <p>Subsequent reviews</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-6">
            <num>6</num>
            <content>
              <p>Each subsequent review under subsection (1) must be completed within 5 years after the completion of the previous review.</p>
            </content>
            <content>
              <p>When review is completed</p>
            </content>
          </subsection>
          <subsection eId="part-7__sec-91__subsec-7">
            <num>7</num>
            <content>
              <p>For the purposes of subsections (4), (5) and (6), a review is completed when the report of the review is given to the nominated Minister under subsection (3).</p>
            </content>
          </subsection>
        </section>
        <section eId="part-7__sec-92">
          <num>92</num>
          <heading>Rules</heading>
          <subsection eId="part-7__sec-92__subsec-1">
            <num>1</num>
            <content>
              <p>The Ministers may make rules prescribing matters:</p>
            </content>
            <paragraph eId="part-7__sec-92__subsec-1__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-1__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
          </subsection>
          <subsection eId="part-7__sec-92__subsec-2">
            <num>2</num>
            <content>
              <p>To avoid doubt, the rules may not do the following:</p>
            </content>
            <paragraph eId="part-7__sec-92__subsec-2__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-2__para-b">
              <num>b</num>
              <content>
                <p>provide powers of:</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-2__para-i">
              <num>i</num>
              <content>
                <p>arrest or detention; or</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-2__para-ii">
              <num>ii</num>
              <content>
                <p>entry, search or seizure;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-2__para-c">
              <num>c</num>
              <content>
                <p>impose a tax;</p>
              </content>
            </paragraph>
            <paragraph eId="part-7__sec-92__subsec-2__para-d">
              <num>d</num>
              <content>
                <p>set an amount to be appropriated from the Consolidated Revenue Fund under an appropriation in this Act;</p>
