          <p>		This Act is the <i>Creative Australia (Consequential and Transitional Provisions) </i><i>Act </i><i>2023</i>.</p>

        <heading>Commencement</heading>
        <subsection eId="sec-2__subsec-1">
          <num>1</num>
          <content>
            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

            <heading>Definitions</heading>
            <content>
              <p>In this Schedule:</p>
              <p><b><i>Appropriation Act</i></b> means an Act appropriating money for expenditure out of the Consolidated Revenue Fund.</p>
              <p><b><i>asset</i></b> means:</p>
              <p><b><i>Australia Council</i></b> means the body corporate continued in existence by section 7 of the old Act under the name the Australia Council.</p>
              <p><b><i>Creative Australia</i></b> means the body corporate continued in existence by section 9 of the new Act under the name Creative Australia.</p>
              <p><b><i>instrument</i></b> includes:</p>
              <p><b><i>liability</i></b> means any liability, duty or obligation, whether actual, contingent or prospective.</p>
              <p><b><i>new Act</i></b> means the <i>Creative Australia Act 2023</i>.</p>
              <p><b><i>new Board</i></b> means the Australia Council Board established under section 19 of the new Act.</p>
              <p><b><i>old Act</i></b> means the <i>Australia Council Act 2013</i>, as in force immediately before the transition time.</p>
              <p><b><i>old Board</i></b> means the Board of the Australia Council established under section 14 of the old Act.</p>
              <p><b><i>transition time</i></b> means the commencement of this Schedule.</p>

              <num>a</num>
              <content>
                <p>any legal or equitable estate or interest in real or personal property, whether actual, contingent or prospective; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1__para-b">
              <num>b</num>
              <content>
                <p>any right, power, privilege or immunity, whether actual, contingent or prospective.</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1__para-a">
              <num>a</num>
              <content>
                <p>a contract, deed, undertaking, arrangement or agreement; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1__para-b">
              <num>b</num>
              <content>
                <p>a notice, authority, order or instruction; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-1__para-c">
              <num>c</num>
              <content>
                <p>an instrument made under an Act or regulation.</p>
              </content>
            </paragraph>

            <num>2</num>
            <heading>Object</heading>
            <content>
              <p>The object of this Part is to avoid doubt about the effect of continuing the existence of the body corporate Creative Australia, previously known as the Australia Council, on certain matters.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-3">
            <num>3</num>
            <heading>Appointment of CEO</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-3__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person who was, immediately before the transition time, holding office as the Chief Executive Officer of the Australia Council.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-3__subclause-2">
              <num>2</num>
              <content>
                <p>The person is taken, after the transition time, to have been appointed under <ref href="#sec-66">section 66</ref> of the new Act as the Chief Executive Officer of Creative Australia:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-3__para-a">
              <num>a</num>
              <content>
                <p>for the balance of the person’s term of appointment that remained immediately before that time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-3__para-b">
              <num>b</num>
              <content>
                <p>on the same terms and conditions as applied to the person immediately before that time.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-3__subclause-3">
              <num>3</num>
              <content>
                <p>This item does not prevent those terms and conditions being varied after the transition time.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-4">
            <num>4</num>
            <heading>Employees of the Australia Council</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-4__subclause-1">
              <num>1</num>
              <content>
                <p>A person who, immediately before the transition time, was employed by the Australia Council under <ref href="#sec-43">section 43</ref> of the old Act is taken, after the transition time, to be employed by Creative Australia under <ref href="#sec-74">section 74</ref> of the new Act on the same terms and conditions.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-4__subclause-2">
              <num>2</num>
              <content>
                <p>The repeal of the old Act does not affect the continuity of employment of the person.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-5">
            <num>5</num>
            <heading>Consultants to the Australia Council</heading>
            <content>
              <p>A person who, immediately before the transition time, was engaged by the Australia Council as a consultant under <ref href="#sec-44">section 44</ref> of the old Act is taken, after the transition time, to be engaged by Creative Australia as a consultant under <ref href="#sec-75">section 75</ref> of the new Act on the same terms and conditions.</p>

          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-6">
            <num>6</num>
            <heading>Assets and liabilities of the Australia Council</heading>
            <content>
              <p>Assets and liabilities of the Australia Council immediately before the transition time continue, after the transition time, to be assets and liabilities of Creative Australia (without any conveyance, transfer or assignment).</p>
            </content>

          <hcontainer name="clause" eId="schedule-2__clause-7">
            <num>7</num>
            <heading>References in instruments to the Australia Council</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to an instrument that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-7__para-a">
              <num>a</num>
              <content>
                <p>was in force immediately before the transition time; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-7__para-b">
              <num>b</num>
              <content>
                <p>contains a reference to the Australia Council.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-2">
              <num>2</num>
              <content>
                <p>The instrument has effect, after the transition time, as if the reference to the Australia Council were a reference to Creative Australia.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-3">
              <num>3</num>
              <content>
                <p>This item does not prevent the instrument from being amended or repealed after the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-7__subclause-4">
              <num>4</num>
              <content>
                <p>The rules may provide that subitem (2) does not apply in relation to a specified instrument or a specified reference.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-8">
            <num>8</num>
            <heading>Effect of things done by, or in relation to, the Australia Council</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-1">
              <num>1</num>
              <content>
                <p>A thing done by, or in relation to, the Australia Council before the transition time has effect, after the transition time, as if it had been done by, or in relation to, Creative Australia.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-8__subclause-2">
              <num>2</num>
              <content>
                <p>The rules may provide that subitem (1) does not apply in relation to a specified thing done by, or in relation to, the Australia Council.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-9">
            <num>9</num>
            <heading>Legal proceedings</heading>
            <content>
              <p>If any proceedings to which the Australia Council is a party are pending in a court or tribunal immediately before the transition time, Creative Australia is, after the transition time, that party to those proceedings.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-10">
            <num>10</num>
            <heading>Cessation of appointments of old Board members</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies to a person (other than the Chief Executive Officer of the Australia Council) who, immediately before the transition time, holds office as a member of the old Board.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-2">
              <num>2</num>
              <content>
                <p>The person ceases to hold that office at the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-10__subclause-3">
              <num>3</num>
              <content>
                <p>Nothing in this item prevents the person being appointed to an office under the new Act.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-11">
            <num>11</num>
            <heading>Committees cease to exist</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-11__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies in relation to a committee that:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-11__para-a">
              <num>a</num>
              <content>
                <p>was established under <ref href="#sec-31">section 31</ref> of the old Act; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-11__para-b">
              <num>b</num>
              <content>
                <p>existed immediately before the transition time.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-11__subclause-2">
              <num>2</num>
              <content>
                <p>The committee ceases to exist at the transition time.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-12">
            <num>12</num>
            <heading>Consultation for new appointments</heading>
            <content>
              <p>Appointment of new Board members</p>
              <p>Appointment of new Music Australia Council members</p>
              <p>Appointment of new Creative Workplaces Council members</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-12__subclause-1">
              <num>1</num>
              <content>
                <p>Subsection 22(2) of the new Act does not apply in relation to an appointment made under subsection 22(1) of the new Act that takes effect at the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-12__subclause-2">
              <num>2</num>
              <content>
                <p>Subsection 40(2) of the new Act does not apply in relation to an appointment made under subsection 40(1) of the new Act that takes effect at the transition time.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-12__subclause-3">
              <num>3</num>
              <content>
                <p>Subsection 52(2) of the new Act does not apply in relation to an appointment made under subsection 52(1) of the new Act that takes effect at the transition time.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-13">
            <num>13</num>
            <heading>Transfer of appropriated money</heading>
            <content>
              <p>For the purposes of the operation of an Appropriation Act after the transition time, references to the Australia Council are to be read as references to Creative Australia.</p>
            </content>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-14">
            <num>14</num>
            <heading>Annual reports for financial year ended before transition time</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-14__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-14__para-a">
              <num>a</num>
              <content>
                <p>the transition time occurs after the end of a financial year; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-14__para-b">
              <num>b</num>
              <content>
                <p>the annual report referred to in <ref href="#sec-51">section 51</ref> of the old Act had not been prepared for the financial year before the transition time.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-14__subclause-2">
              <num>2</num>
              <content>
                <p>The new Board must, as soon as reasonably practicable after the transition time, prepare the annual report for the financial year in accordance with the old Act as if the old Act had not been repealed.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-15">
            <num>15</num>
            <heading>Annual reports for financial year in which transition time occurs</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-15__subclause-1">
              <num>1</num>
              <content>
                <p>This item applies:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-15__para-a">
              <num>a</num>
              <content>
                <p>if the transition time occurs during a financial year; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-b">
              <num>b</num>
              <content>
                <p>in relation to the matters that would have been covered by the annual report referred to in <ref href="#sec-51">section 51</ref> of the old Act for the part of the financial year before the transition time if the old Act had not been repealed.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-15__subclause-2">
              <num>2</num>
              <content>
                <p>The first annual report prepared by the new Board under <ref href="#sec-77">section 77</ref> of the new Act must cover those matters.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-16">
            <num>16</num>
            <heading>Compensation for acquisition of property</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-16__subclause-1">
              <num>1</num>
              <content>
                <p>If the operation of this Act would result in an acquisition of property (within the meaning of paragraph 51(xxxi) of the Constitution) from a person otherwise than on just terms (within the meaning of that paragraph), the Commonwealth is liable to pay a reasonable amount of compensation to the person.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-2__clause-16__subclause-2">
              <num>2</num>
              <content>
                <p>If the Commonwealth and the person do not agree on the amount of the compensation, the person may institute proceedings in the Federal Court of Australia or the Supreme Court of a State or Territory for the recovery from the Commonwealth of such reasonable amount of compensation as the Court determines.</p>
              </content>
            </hcontainer>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-17">
            <num>17</num>
            <heading>Rules</heading>
            <hcontainer name="subclause" eId="schedule-2__clause-17__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by legislative instrument, make rules prescribing matters:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-17__para-a">
              <num>a</num>
              <content>
                <p>required or permitted by this Act to be prescribed by the rules; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-b">
              <num>b</num>
              <content>
                <p>necessary or convenient to be prescribed for carrying out or giving effect to this Act.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-17__subclause-2">
              <num>2</num>
              <content>
                <p>Without limiting subitem (1), the rules may prescribe matters of a transitional nature (including prescribing any saving or application provisions) relating to:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-17__para-a">
              <num>a</num>
              <content>
                <p>the repeals made by this Act; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-b">
              <num>b</num>
              <content>
                <p>the enactment of this Act or the new Act.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-17__subclause-3">
              <num>3</num>
              <content>
                <p>To avoid doubt, the rules may not do the following:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-2__clause-17__para-a">
              <num>a</num>
              <content>
                <p>create an offence or civil penalty;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-b">
              <num>b</num>
              <content>
                <p>provide powers of:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-i">
              <num>i</num>
              <content>
                <p>arrest or detention; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-ii">
              <num>ii</num>
              <content>
                <p>entry, search or seizure;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-c">
              <num>c</num>
              <content>
                <p>impose a tax;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-d">
              <num>d</num>
              <content>
                <p>set an amount to be appropriated from the Consolidated Revenue Fund;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-17__para-e">
              <num>e</num>
              <content>
                <p>directly amend the text of this Act or the new Act.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-2__clause-17__subclause-4">
              <num>4</num>
              <content>
                <p>This Schedule (other than subitem (3)) does not limit the rules that may be made for the purposes of subitem (1).</p>
