          <p>		This Act is the <i>Commonwealth Entities</i><i> </i><i>Legislation Amendment</i><i> Act </i><i>2026</i>.</p>
        </content>

        <heading>Commencement</heading>
        <subsection eId="sec-2__subsec-1">
          <num>1</num>
          <content>
            <p>Each provision of this Act specified in column 1 of the table commences, or is taken to have commenced, in accordance with column 2 of the table. Any other statement in column 2 has effect according to its terms.</p>

          <p>Legislation that is specified in a Schedule to this Act is amended or repealed as set out in the applicable items in the Schedule concerned, and any other item in a Schedule to this Act has effect according to its terms.</p>

            <heading>Paragraph 56(b)</heading>

              <p>After “CEO”, insert “is suspended from office,”.</p>

            <heading>Suspension</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may, by notice in writing, suspend the appointment of <role refersTo="#ceo">the CEO</role> if <role refersTo="#minister">the Minister</role> believes that the suspension would be in the interests of the Commission.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-2">
              <num>2</num>
              <content>
                <p>The appointment is suspended for such period (not exceeding 3 months) as <role refersTo="#minister">the Minister</role> considers appropriate in all of the circumstances. That period must be specified in the notice.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-3">
              <num>3</num>
              <content>
                <p>The suspension of the appointment of <role refersTo="#ceo">the CEO</role> does not affect any entitlement of <role refersTo="#ceo">the CEO</role> to be paid remuneration and allowances.</p>
              </content>
            </hcontainer>
            <content>
              <p>Extension of suspension</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-4">
              <num>4</num>
              <content>
                <p>Before the end of the period of suspension (including that period as previously extended under this subsection), <role refersTo="#minister">the Minister</role> may, by notice in writing, extend the period of suspension if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-58A__para-a">
              <num>a</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> believes that the extension would be in the interests of the Commission; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-b">
              <num>b</num>
              <content>
                <p>subsection (7) applies.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-5">
              <num>5</num>
              <content>
                <p>The suspension is extended for such period as <role refersTo="#minister">the Minister</role> considers appropriate in all of the circumstances. The period of suspension, as extended, must be specified in the notice.</p>
              </content>
            </hcontainer>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-6">
              <num>6</num>
              <content>
                <p>The period of suspension, as extended, must not exceed:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-58A__para-a">
              <num>a</num>
              <content>
                <p>if subsection (7) applies—12 months; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-b">
              <num>b</num>
              <content>
                <p>otherwise—3 months.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-7">
              <num>7</num>
              <content>
                <p>For the purposes of paragraphs (4)(b) and (6)(a), this subsection applies if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-58A__para-a">
              <num>a</num>
              <content>
                <p>when <role refersTo="#minister">the Minister</role> extends the period of suspension:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-i">
              <num>i</num>
              <content>
                <p>an inquiry to which subsection (8) applies is being conducted; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-ii">
              <num>ii</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> is satisfied that extending the period of suspension is necessary for the purposes of the conduct of the inquiry, <role refersTo="#minister">the Minister</role> considering the findings or report of the inquiry or action being taken in response to the findings or report; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-b">
              <num>b</num>
              <content>
                <p>both:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-i">
              <num>i</num>
              <content>
                <p>an inquiry to which subsection (8) applies was being conducted at any time in the 4 weeks before <role refersTo="#minister">the Minister</role> extends the period of suspension; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-ii">
              <num>ii</num>
              <content>
                <p>when <role refersTo="#minister">the Minister</role> extends the period of suspension, <role refersTo="#minister">the Minister</role> is satisfied that extending the period of suspension is necessary for the purposes of <role refersTo="#minister">the Minister</role> considering the findings or report of the inquiry or action being taken in response to the findings or report.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-8">
              <num>8</num>
              <content>
                <p>This subsection applies to an inquiry if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-58A__para-a">
              <num>a</num>
              <content>
                <p>the inquiry commences before the end of 3 months starting at the start of the period of suspension; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-b">
              <num>b</num>
              <content>
                <p>the inquiry is any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-i">
              <num>i</num>
              <content>
                <p>	(i)	an inquiry by the Australian Public Service Commissioner under <i>Public Service Act 1999</i> into whether the CEO has breached the APS Code of Conduct;<ref href="#sec-41A">section 41A</ref> of the </p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-ii">
              <num>ii</num>
              <content>
                <p>	(ii)	a corruption investigation (within the meaning of the <i>National Anti</i><i>-</i><i>Corruption Commission Act 2022</i>) into a corruption issue involving conduct of the CEO;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-58A__para-iii">
              <num>iii</num>
              <content>
                <p>an inquiry, conducted at the request or direction of <role refersTo="#minister">the Minister</role>, into whether <role refersTo="#ceo">the CEO</role>’s conduct or behaviour amounts to serious misconduct by <role refersTo="#ceo">the CEO</role>.</p>
              </content>
            </paragraph>
            <hcontainer name="subclause" eId="schedule-1__clause-58A__subclause-9">
              <num>9</num>
              <content>
                <p>	(9)	Subsections (4) to (8) do not limit the application of subsection 33(3) of the <i>Acts Interpretation Act 1901</i> in relation to a notice under subsection (1) of this section.</p>

            <num>5</num>
            <heading>Application of amendments</heading>
            <content>
              <p>The amendments made by this Division apply in relation to suspending an appointment if the suspension occurs on or after the commencement of this item, whether the appointment was made before, on or after that commencement.</p>

            <num>6</num>
            <heading>Subsection 59(1)</heading>
            <content>
              <p>Repeal the subsection, substitute:</p>
            </content>
            <hcontainer name="subclause" eId="schedule-1__clause-6__subclause-1">
              <num>1</num>
              <content>
                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of <role refersTo="#ceo">the CEO</role>:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-6__para-a">
              <num>a</num>
              <content>
                <p>for misbehaviour; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-6__para-b">
              <num>b</num>
              <content>
                <p>if <role refersTo="#ceo">the CEO</role> is unable to perform the duties of <role refersTo="#ceo">the CEO</role>’s office because of physical or mental incapacity; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-6__para-c">
              <num>c</num>
              <content>
                <p>if <role refersTo="#ceo">the CEO</role>’s conduct or behaviour amounts to serious misconduct by <role refersTo="#ceo">the CEO</role>.</p>
              </content>
            </paragraph>

            <num>7</num>
            <heading>Subsection 59(2)</heading>
            <content>
              <p>Omit “may”, substitute “must”.</p>
            </content>
          </hcontainer>

            <heading>At the end of subsection 59(2)</heading>
            <content>
              <p>Add:</p>
              <p>	; or (d)	the CEO fails, without reasonable excuse, to comply with <i>Public Governance, Performance and Accountability Act 2013</i> (which deals with the duty to disclose interests) or rules made for the purposes of that section.<ref href="#sec-29">section 29</ref> of the </p>

                <p><role refersTo="#minister">The Minister</role> may terminate the appointment of <role refersTo="#ceo">the CEO</role> if, in <role refersTo="#minister">the Minister</role>’s opinion, having regard to the performance standard (if any), the performance of <role refersTo="#ceo">the CEO</role> has been unsatisfactory.</p>

            <heading>Application of amendments</heading>
            <hcontainer name="subclause" eId="schedule-1__clause-10__subclause-1">

                <p>In this item:</p>

            <content>
              <p><b><i>new law</i></b> means the <i>Australian Trade and Investment Commission Act 1985</i>, as amended by this Part.</p>

              <num>2</num>
              <content>
                <p>Paragraph 59(1)(c) of the new law applies in relation to serious misconduct that occurs on or after the commencement of this item. For the purposes of this subitem, serious misconduct to which paragraph 59(1A)(c) of the new law applies is taken to occur when the investigation report is given to <role refersTo="#minister">the Minister</role>.</p>

                <p>Item 7 of this Schedule applies:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-10__para-a">
              <num>a</num>
              <content>
                <p>	(a)	to the extent it relates to paragraph 59(2)(a) of the <i>Australian Trade and Investment Commission Act 1985</i>—in relation to a matter mentioned in that paragraph that occurs on or after the commencement of this item; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-10__para-b">
              <num>b</num>
              <content>
                <p>	(b)	to the extent it relates to paragraph 59(2)(b) of the <i>Australian Trade and Investment Commission Act 1985</i>—in relation to:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-10__para-i">
              <num>i</num>
              <content>
                <p>an absence of 14 consecutive days if any of the 14 days occur on or after the commencement of this item; or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-10__para-ii">
              <num>ii</num>
              <content>
                <p>an absence of 28 days in any 12 months if any of the 28 days occur on or after the commencement of this item; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-10__para-c">
              <num>c</num>
              <content>
                <p>	(c)	to the extent it relates to paragraph 59(2)(c) of the <i>Australian Trade and Investment Commission Act 1985</i>—in relation to engaging in paid work (including paid employment) on or after the commencement of this item.</p>
              </content>
            </paragraph>

              <content>
                <p>Paragraph 59(2)(d) of the new law applies in relation to a failure to comply that occurs on or after the commencement of this item.</p>
              </content>

            <hcontainer name="subclause" eId="schedule-1__clause-10__subclause-5">
              <num>5</num>
              <content>
                <p>Subsection 59(3) of the new law applies in relation to the performance of <role refersTo="#ceo">the CEO</role> during a period if all of the period occurs on or after the commencement of this item.</p>

                <p>This subsection applies to an inquiry if:</p>

                <p>	(i)	an inquiry by the Australian Public Service Commissioner under <i>Public Service Act 1999</i> into whether the CEO has breached the APS Code of Conduct;<ref href="#sec-41A">section 41A</ref> of the </p>

              <num>ii</num>
              <content>
                <p>	(ii)	a corruption investigation (within the meaning of the <i>National Anti</i><i>-</i><i>Corruption Commission Act 2022</i>) into a corruption issue involving conduct of the CEO;</p>

              <num>iii</num>

                <p>an inquiry, conducted at the request or direction of <role refersTo="#minister">the Minister</role>, into whether <role refersTo="#ceo">the CEO</role>’s conduct or behaviour amounts to serious misconduct by <role refersTo="#ceo">the CEO</role>.</p>

                <p><role refersTo="#minister">the Minister</role> is satisfied that extending the period of suspension is necessary for the purposes of the conduct of the inquiry, <role refersTo="#minister">the Minister</role> considering the findings or report of the inquiry or action being taken in response to the findings or report; or</p>

              <num>b</num>

                <p>both:</p>
              </content>
            </paragraph>

                <p>an inquiry to which subsection (8) applies was being conducted at any time in the 4 weeks before <role refersTo="#minister">the Minister</role> extends the period of suspension; and</p>

              <num>ii</num>
              <content>
                <p>when <role refersTo="#minister">the Minister</role> extends the period of suspension, <role refersTo="#minister">the Minister</role> is satisfied that extending the period of suspension is necessary for the purposes of <role refersTo="#minister">the Minister</role> considering the findings or report of the inquiry or action being taken in response to the findings or report.</p>

                <p>This subsection applies to an inquiry if:</p>
              </content>
            </hcontainer>
            <paragraph eId="schedule-1__clause-47A__para-a">
              <num>a</num>
              <content>
                <p>the inquiry commences before the end of 3 months starting at the start of the period of suspension; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-47A__para-b">
              <num>b</num>
              <content>
                <p>the inquiry is any of the following:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-47A__para-i">
              <num>i</num>
              <content>
                <p>	(i)	an inquiry by the Australian Public Service Commissioner, under regulations made for the purposes of paragraph 41(2)(p) of the <i>Public Service Act 1999</i>, into whether the Director has breached the APS Code of Conduct;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-47A__para-ii">
              <num>ii</num>
              <content>
                <p>if, as mentioned in paragraph 48(1A)(a) of this Act, the Australian Public Service Commissioner has determined that a breach of the APS Code of Conduct by the Director has occurred—an inquiry, conducted at the request or direction of <role refersTo="#minister">the Minister</role>, into whether the breach is serious enough to justify termination of the Director’s appointment;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-1__clause-47A__para-iii">
              <num>iii</num>
              <content>
                <p>	(iii)	a corruption investigation (within the meaning of the <i>National Anti</i><i>-</i><i>Corruption Commission Act 2022</i>) into a corruption issue involving conduct of the Director.</p>

                <p>	(9)	Subsections (4) to (8) do not limit the application of subsection 33(3) of the <i>Acts Interpretation Act 1901</i> in relation to a notice under subsection (1) of this section.</p>

                <p>(4)	The repeal of paragraph 10(2)(a) of the <i>Parliamentary Counsel Act 1970</i> by item 10 of this Schedule does not apply in relation to:</p>

              <num>a</num>
              <content>
                <p>an absence of 14 consecutive days if all of the 14 days occur before the commencement of this item; or</p>

            </paragraph>

                <p>an absence of 28 days in any 12 months if all of the 28 days occur before the commencement of this item.</p>

            </paragraph>

                <p>(5)	The repeal of paragraph 10(2)(b) of the <i>Parliamentary Counsel Act 1970</i> by item 10 of this Schedule applies in relation to misbehaviour that occurs on or after the commencement of this item.</p>

                <p>Paragraph 10(3)(a) of the new law applies in relation to:</p>

                <p>an absence of 5 consecutive days if any of the 5 days occur on or after the commencement of this item; or</p>

            <num>14</num>
            <heading>Section 1A</heading>
            <content>
              <p>Insert:</p>
              <p><b><i>APS Code of Conduct</i></b> means the Code of Conduct (within the meaning of the <i>Public Service Act 1999</i>).</p>
              <p><b><i>serious misconduct</i></b> has a meaning affected by subsection 10(1A).</p>

            <num>15</num>
            <heading>After subsection 10(1)</heading>
            <content>
              <p>Insert:</p>
              <p>Parliamentary Counsel Act 1970</p>
            </content>
            <hcontainer name="subclause" eId="schedule-2__clause-15__subclause-1A">
              <num>1A</num>
              <content>
                <p>	(1A)	Without limiting the circumstances in which the First Parliamentary Counsel’s or a Second Parliamentary Counsel’s conduct or behaviour amounts to serious misconduct by the First Parliamentary Counsel or Second Parliamentary Counsel, the First Parliamentary Counsel’s or a Second Parliamentary Counsel’s conduct or behaviour amounts to <b><i>serious misconduct</i></b> by the First Parliamentary Counsel or Second Parliamentary Counsel in the following circumstances:</p>

            <paragraph eId="schedule-2__clause-15__para-a">
              <num>a</num>
              <content>
                <p>both:</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-i">
              <num>i</num>
              <content>
                <p>the conduct or behaviour constitutes a breach of the APS Code of Conduct; and</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-ii">
              <num>ii</num>
              <content>
                <p><role refersTo="#minister">the Minister</role> is satisfied that the breach is serious enough to justify termination of the First Parliamentary Counsel’s or Second Parliamentary Counsel’s appointment;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-b">
              <num>b</num>
              <content>
                <p>	(b)	the conduct or behaviour constitutes unlawful discrimination (within the meaning of the <i>Australian Human Rights Commission Act 1986</i>);</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-c">
              <num>c</num>
              <content>
                <p>the conduct or behaviour constitutes serious or repeated bullying or harassment of a person;</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-d">
              <num>d</num>
              <content>
                <p>	(d)	an investigation report (within the meaning of the <i>National Anti</i><i>-</i><i>Corruption Commission Act 2022</i>) includes a finding or opinion that the First Parliamentary Counsel or Second Parliamentary Counsel has engaged, is engaging or will engage in:</p>

            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-i">
              <num>i</num>
              <content>
                <p>corrupt conduct (within the meaning of that Act); or</p>
              </content>
            </paragraph>
            <paragraph eId="schedule-2__clause-15__para-ii">
              <num>ii</num>
              <content>
                <p>conduct that could constitute or involve corrupt conduct.</p>
              </content>
            </paragraph>
          </hcontainer>
          <hcontainer name="clause" eId="schedule-2__clause-16">
            <num>16</num>
            <heading>Section 1A</heading>
            <content>
              <p>Insert:</p>
              <p><b><i>paid work</i></b> means work for financial gain or reward (whether as an employee, a self-employed person or otherwise).</p>

            <heading>Section 9</heading>

            <heading>Other paid work</heading>

              <p>The First Parliamentary Counsel or a Second Parliamentary Counsel must not engage in paid work outside the duties of the First Parliamentary Counsel or Second Parliamentary Counsel without <role refersTo="#minister">the Minister</role>’s approval.</p>

            <num>18</num>
            <heading>Application of amendments</heading>
            <content>
              <p>The amendments made by this Part apply in relation to the First Parliamentary Counsel or a Second Parliamentary Counsel engaging in paid work (including engaging in practice as a barrister or solicitor or engaging in paid employment) on or after the commencement of this item, whether the First Parliamentary Counsel or Second Parliamentary Counsel was appointed before, on or after that commencement.</p>
